Memorandum of Understanding

(“Developer 1”, “Developer 2” and “Developer 3”, shall hereinafter collectively be referred to as the “Developers”)

AND

Indian Medical Association (IMA), a society registered under the Indian Societies Act, with its headquarters at I.M.A. House, Indraprastha Marg, New Delhi-110 002, India represented through its committee, duly authorized by IMA Society, consisting of:

(hereinafter referred to as the “Association” which expression shall unless repugnant to the subject or context thereof shall mean and include its representatives, successors and permitted assigns) of the FOURTH PART;

WHEREAS

A. The “Developers” are real estate developers with many delivered/ upcoming/ under-construction residential and commercial projects in various cities of North India like Noida, Ghaziabad, Delhi, Gurgaon and others.

B. The “Association” is the main representative voluntary organization of Indian Doctors of Modern Scientific System of Medicine, which looks after the interest of doctors as well as the well-being of the community at large. The “Association” has

come out with a ‘Health Friendly Homes’ Concept (Annexure A) that defines the parameters and related amenities/features for healthy living in Residential societies.

To fulfill aforementioned objective of the “Association”, the “Developers” hereby agree to construct and deliver exclusive towers having flats of various sizes and configurations in affordable luxury segment to the members of the “Association” at special discounted rates, in their Group Housing Project under the Antriksh Group flagship, called GOLF CITY, located at plot number SC-01/B2, Sector 150, Noida-Greater Noida Expressway, Noida, Gautam Buddha Nagar, U.P.

The towers dedicated to the members of the “Association” will be called “INDIAN MEDICAL GOLF TOWERS” (hereinafter referred to as the “Project”) and they will be constructed while following all requirements laid out in the concept document called ‘Health Friendly Homes’, a concept developed by IMA. These requirements are over and above the specifications and features and fixtures as mentioned in the product brochure.

The “Association” will inform its own members of such an offer without being part of any commercial transaction. Members would apply individually to the “Developers” vide prescribed application form at their own free will after fully understanding the details & merits of the project from the representatives of the “Developers”. The flat-buyers shall enter into Flat Buyer Agreement prescribed by the “Developers” on an individual basis.

The “Developers”, hereby confirm that the project land of the aforesaid project is free from all claims, encumbrances and nobody other than them has any claim, interest in the land or development. The “Developers” are developing the project in accordance with the development plan sanctioned by the competent authorities.

Now it is hereby agreed between the parties as follows:

1. That the “Association” has agreed to communicate to its members about the “Indian Medical Golf Towers” Project.

2. Special Price Offer:

That the “Developers” have agreed to offer special discounted rates to the members and associates of the “Association” as per the Pricelists and Payment Plans attached as “Annexure B”:

These Towers have around 500 units of following tentative configuration/sizes (super area)

A. 2025 sq ft 3 Bedrooms + 1 Living Room + 1 Dining Area + 1 Servant Room + 1 Kitchen + 4 Toilets + 1 Dressing + 3 Balconies

B. 2425 sq ft3 Bedrooms + 1 Living Room + 1 Dining Area + 1 Servant Room + 1 Kitchen + 4 Toilets + 1 Dressing + 4 Balconies

C. 2900 sq ft4 Bedrooms + 1 Living Room + 1 Dining Area + 1 Servant Room + 1 Kitchen + 5 Toilets + 1 Dressing + 5 Balconies

D. 3475 sq ft4 Bedrooms + 1 Living Room + 1 Dining Area + 1 Servant Room + 1 Kitchen + 5 Toilets + 1 Dressing+ 5 Balconies

The layouts of these flats are attached as “Annexure C”

The discounted price for the members of the “Association” will be valid for 11 (eleven) months from the date of signing this agreement or a maximum of sale of 200 Flats.

The “Developers”, will have the rights to continue selling the units to the members of the “Association” after the expiry of the above-mentioned period or after sale of 200 Flats, which-ever is earlier, at market rates.

4. Specifications

The broad specifications are given in the company’s official brochure and attached as “Annexure D”.

5. Support by the “Association”

The “Association” agrees to provide various print addresses of its members, other data such as list of its sub associations, details of their office bearers etc., branding opportunity in its offices & IMA Events, on its websites, official journals apart from

sending official communication to its members regarding the “Project” to the “Developers”.

The “Association” permits the “Developers” to use its name and logo, as approved on the project literature, websites and various marketing collaterals including hoardings, print and digital media etc. for the said project only for and during the life of the “Project”.

6. Other General Terms

a. Booking of flat shall be confirmed only after receipt of 10% of basic sale price of the flat within the agreed period of time.

b. No discounts shall be passed on the buyers under any circumstances.

c. First transfer of the flat shall be free till the completion of the project. Inclusion or deletion of name, or transfer to any member within the first family or blood relation of the flat-buyer shall not be considered as transfer.

d. That no escalation shall be charged till handing over of the flats. However if any other/additional Government duty, cess, new taxes, etc. imposed/charged from the “Developers” after the date of this MOU, the same will be charged from the flat-buyers on as and when applicable basis.

e. Under this MOU, bookings will be accepted from professional brothers of IMA, their blood relations, family members, friends and associates.

f. To get the advantage of special discounted prices and other special provisions of this contract, the buyer must furnish a letter of recommendation from the IMA, in that regard.

g. The “Developers” agree that during the validity period of this agreement, they shall not sell any apartments in the “Project” at any price less than their standard price list with B.S.P Rs. 5000/- psft plus additional charges through self-efforts or any other channel sales partner.

h. The “Developers” commit to handover the flats for possession within 36 plus minus 6 months from the date of signing this agreement. In the event the “Developers” are not able to handover the possession of the flats by agreed timeline, they shall be liable to pay Rs. 10/- per sq. ft. of the flat size per month of delay as the penalty to the flat-buyers members as damages.

i. The ‘Developers’ agree to accept any cancellation request of booked flat after 1 (one) year from the date of booking and receipt of payment of 50% of total cost of flat but before the offer of possession, and refund 100% money received without any deduction or interest thereof.

j. The “Developers” shall be solely liable to ensure quality of construction and amenities to be provided to customer of the flat/ premise. The “Association” will not be held responsible or liable for any complaints / legal notice received from flat/ premise buyers in this regard. The “Developers” indemnify the “Association” for any claim, litigation, case or demand in relation to the present agreement.

k. The “Developers” shall be solely liable to ensure timely possession of the residential complex to customer of the flat/ premise. The “Association” will not be held responsible for any complaints / legal notice received from flat/ premise buyers in this regard. The “Developers” indemnify the “Association” for any claim, litigation, case or demand in relation to the present agreement.

l. The “Association” shall not be held responsible for non-compliance of any applicable law relating to construction of the said project, defect or delay in construction of the said Project or any other statutory non-compliance with respect to the said project of whatever nature or kind.

m. The “Developers” ensures & warrants to the other parties that there are no pending claims, actions, suites or proceedings against them or affecting any of its assets & there has been no event of occurrence which might reasonably be expected to have a material adverse effect on its ability to perform its obligations hereunder.

n. It is understood and agreed that the “Association” or the will act under this engagement on a best efforts basis and nothing in this agreement or the nature of the services contemplated hereunder shall be deemed to create a fiduciary or agency relationship between the “Developers” and the “Association”, or any relationship between the “Association” and the persons interested for the investment in the flats.

o. The “Developers” indemnify the “Association” for any claim, litigation, case or demand against the “Association” from the buyer, members or any other person or authority.

p. That in the event of any dispute whatsoever arising between the parties in any way connected with this MOU, the same shall be referred to the arbitrator appointed with the mutual consent of both the parties and the

decision of the arbitrator shall be final and binding on both parties. The arbitration proceedings shall always be held in Delhi in accordance with “The arbitration and Conciliation Act 1996’ or any statutory amendments/ modifications thereto. Subject to arbitration, the courts of Delhi shall have the exclusive jurisdiction in all matters arising out of or touching and concerning this agreement.

IN WITNESS WHEREOF, The parties hereto have subscribed their hands to this writing on the day, month and the year first above written.

ANNEXURE A: Health Friendly Homes Concept

Health Friendly Homes @ Indian Medical GolfTowers(Compliance requirements laid out by IMA)

Air PollutionMany a time’s indoor air quality is worse than the most polluted outside air. Some facts:

Fresh air contains 21% oxygen Exhaled air contains 17% Oxygen and 83% CO 2

An adult emits 45 grams of sweat per hour containing bio aerosols An adult produces 300 BTU of heat per hour Carbon based gaseous pollutants (VOCs) indoors are 2-5 times higher than

outdoors

To counter this, the flats in Indian Medical GolfTowers are designed to promote and guide natural breezes by:

Orienting building and flat directions to maximize use of natural breeze Constructing flats at 120 degrees to each other to maximize open areas and

cross ventilation in all directions Windows, doors and balconies are given on at least so that the breeze has to

negotiate minimum corners and internal distance thereby promoting better natural cross ventilation

All Sleeping areas and similarly living areas have been kept together. A compartmentalized apartment allows for efficient summer cooling or winter heating.

The flats in the towers and the overall site layout utilize the design concept of X & Y and open hexagons to allow for best in class air flow.

Overall project is being constructed in the lowest FAR area of Delhi NCR. Being a designated sports city, the area is segregated from the industrial sectors and is near to the river bed and farm areas thereby enjoying the lowest construction density and uninterrupted air flow.

Noise PollutionThe maximum safe threshold for humans is 80 decibels. Those, who work above the limit, in the long run will have a hearing loss.

The World Health Organization (WHO) reports that the single most common irreversible occupational hazard worldwide is noise-induced hearing impairment. 

At least 15% of adults have permanent hearing damage due to noise exposure.

The WHO guidelines for community noise recommend less than 30 A-weighted decibels (dB(A)) in bedrooms during the night for a sleep of good quality and less than 35 dB(A) in classrooms to allow good teaching and learning conditions.

The WHO guidelines for night noise recommend less than 40 dB(A) of annual average (Night) outside of bedrooms to prevent adverse health effects from night noise.

To minimize the noise pollution, following measures are planned in the Indian Medical GolfTowers:

The fact that the township is away from any major road and is surrounded by a gold course on all sides naturally reduces the noise pollution levels substantially

No noise creating industry in atleast 2 KMs areal distance The excessive greenery in and around the project greatly help cut the noise

levels The society will strictly be a no-honking zone with vehicular movement limited to

residential vehicles only. The provision for ACs will be limited to the split tupe ACs. No provision for

installing window ACs will be given. The noise producing machinery such as the DG sets will be ‘silent’ kinds and

strategically placed to kill maximum noise. Fly ash bricks are used in the construction which has proven high insulation

qualities against external noise.

Vastu ComplianceAccording to vaastu shastra our world comprises of five basic elements. Earth has life because of the presence of these five elements. Harmony of these five elements in our body and environment keeps us healthy and active while any disturbance in the equilibrium devitalizes us. Vaastu shastra provides the ancient knowledge which instructs how to maintain the equilibrium of these five elements in a building and make best use of them to energize mental and physical energies of inhabitants.

The above has been kept in mind as the most practical manifestation for a healthy and peaceful living. The Indian Medical GolfTowers is being constructed in a perfect rectangular plot. All apartments have an almost perfect rectangular shape.

The building plan and apartment layouts have been designed taking inputs from expert Vasstu consultant.

Earthquake Resistance The building is designed for zone V, i.e. the highest seismic Zone of the country

although the project lies in zone IV and the legal compliance require design for Zone IV only. The reason for this extra preparedness is as follows:

“The seismic zone maps are revised from time to time as more understanding is gained on the geology, the seismotectonics and the seismic activity in the country. The Indian Standards provided the first seismic zone map in 1962, which was later revised in 1967 and again in 1970 (Figure 3). The map has been revised again in 2002 (Fig. 4) and it now has only four seismic zones – II, III, IV and V. The areas falling in seismic zone I in the 1970 version of the map are merged with those of seismic zone II. Also, the seismic zone map in the peninsular region has been modified.

This 2002 seismic zone map is not the final word on the seismic hazard of the country, and hence there can be no sense of complacency in this regard.”

We all are aware that cell phones emit electromagnetic fields (EMFs), which have an adverse effect on human health. Just like the harmful radiations from a cell phone, the cell phone towers in residential areas also have a negative impact on human life. We might save ourselves from the cell phone radiations by using it rarely, but how can we avoid the radiations emitted from cell phone towers? To that effect following precautions will be taken at the minimum.

No cell phone tower will be allowed within the perimeters of the Indian Medical GolfTowers.

The minimum distance of the nearest flat that will be maintained will be 500 meters

IGBC/Leeds Certified Eco friendly construction

The Indian Medical GolfTowers is planned as first Green Building in a Golf Couse and will be certified against Leeds/IGBC standards. It will have an effective energy conservation provisions for all the residents. The total construction will adhere to the best standards of green building construction technologies, process and material.

The Major goals kept in mind from this perspective are: Siting and structure design efficiency Energy efficiency Water efficiency Materials efficiency Indoor environmental quality enhancement Operations and maintenance optimization

Greenery and Plantation

Apart from the lush green surroundings of a signature golf course, the Indian Medical Golf Towers pay special attention to the gardens and greenery within the society which has health benefits too.

Apart from many theme gardens, there will be a special garden dedicated to plantation of high medicinal value

Each Flat will be given a money/bamboo plant to wish good luck, wealth and well being

The residents of the Indian Medical GolfTowers will be provided with the 24×7 potable water supply from dedicated water softening plant.

Besides this, the RO Systems will be installed in each flat for clean and safe drinking water.

Water Recycling

Also the Indian Medical GolfTowers will have the wastewater treatment plant where after certain chemical and physical processes the, wastewater will be converted to the water that either can be safely discharged to the environment or can be reused for the purposes like gardening, car wash etc.

Rain Water Harvesting Plant

Being the first green building in a golf property, The Indian Medical Golf Towers will provide its residents with an efficient rain water harvesting plant that will provide supply for water softening plant and also will suffice for the water required for managing the whole facility.

Sky Garden

Each tower in the Indian Medical GolfTowers will have a green roof top. The roof will be accessible to all resident of the society. The same can be used for organizing community programs and small informal get-togethers in fresh air right under the sky.

Security Provisions with Panic Alarm

The Indian Medical GolfTowers will be under the robust vigilance of well-trained security guards at every nook and corner, provided by a professional security agency.

It will have automatic boom barriers for traffic control. In addition to that, the society will be armed with hi-tech 3-tier security through

CCTV surveillance. This will ensure a visitor to first go through the CCTV camera installed at the entry gate of the society.

Then the visitor will have to go through the CCTV camera installed at the helpdesk check point in each tower.

Then again every floor lobby will also have the CCTV installed to capture all the activities. Besides all that every flat will have a door phone with camera to see and talk to your visitor before opening the door.

Every flat will have an intercom connected to a centralized control room and a panic alarm in case of any emergency.

Each flat will have a Panic Alarm. In the event of an intrusion or any other emergency, the resident will be able to press the secretly placed Panic Alarm which will send alarm to security command center.

Garbage Disposal and Sewage System

All the residents of the Indian Medical GolfTowers will have the facility of garbage collection from their doorsteps. They will be trained, motivated and provided with the facility of disposing of the different kinds of garbage separately like bio-degradable, recyclable etc. at the household/source level only.

The society will have a sewage treatment plant so that it can remove contaminants from wastewater, including household sewage and runoffs in order to produce environmentally safe waste stream.

Worship place for multi religions

The Indian Medical GolfTowers will have a dedicated single space to worship for many faith and religions

This Place will have a single facility having a Hindu Temple, a Mosque, a Gurudwara, a Church, a Sai Baba / Buddhist / Jain Temple.

Open Area for Recreational activities

The Indian Medical GolfTowers will have 80% of the total area left open and green for various recreational activities. Some of the facilities for this purpose will be as follows-

Gas Supply

Provision for PNG supply in each flat will be provided at the Indian Medical GolfTowers

Lift Ratio

High speed elevators- 3 lifts in each tower serving to 3 or 4 apartments on each floor at the Indian Medical GolfTowers

Nursing Home/Healthcare Centre

There is a provision for Nursing home cum healthcare center for the residents as well as nearby societies at the Indian Medical GolfTowers

Cable TV Pre-laid Optic fiber network for cable TV will be provided at the Indian Medical

GolfTowers

AC Provision Fitting provisions for split AC in each room shall be provided at the Indian

Medical GolfTowers Window AC shall be discouraged as they are less energy efficient as well as

cause higher noise pollution

I. PRICE LIST
