Meeting with individual members gives both members several opportunities.Mostimportantly,whenyougettoknoweachotherbetteronamorepersonallevelyoubegintobuildtrustwitheachother. One-2-One’swillhelpyougetto know each other’s business needs and try to plan way to find referrals tobenefiteachmember.

HousatonicBusinessAlliancePolicies

1. Only one person from each professional classification is permitted tojoin Housatonic Business Alliance. The Membership Committee has finalauthorityoverallclassificationconflicts.

2. Members must represent a single occupation, the occupation for whichtheirmembershipwasapproved.

3. Attendanceatweeklymeetingsisrequired.Membersarelateafter7:15amandareexpectedtostayfortheentiremeeting;thosearrivinglateorleavingbeforetheendofameetingshallreceivehalfandabsence.

4. MembersshallbelongtonootherbusinessnetworkinggroupwhichallowsonepersonperprofessionandwhosepurposeistopassbusinessreferralswhileamemberofHBA.Membershipinotherbusinessgroupswouldreducecommitmenttothegroup.

5. Membersarerequiredtobringareasonablenumberofbusinessreferralsto the members of the group, and/or visitors, and/or contribute to thegroupinothermeaningfulwaystothequalityandhealthofthegroupandmaintenanceofthemembership.

6. Visitorsmayattenduptotwomeetingsbeforeapplyingformembership.

7. Extended absences must be reviewed and approved by the MembershipCommittee.

8. It is the member’s responsibility to file a concern with the MembershipCommittee in the event a visitor conflicts with a member’s classification.This must be done before a visitor is approved for membership. Absentcomplaint,theMembershipCommitteewillassumetherearenoconflicts.

9. MemberswhowishtochangetheirbusinessclassificationmustsubmitanewapplicationforapprovalbytheMembershipCommittee.

10.In the event of problems with a member (ie: with business practices orabilitytocommittothepoliciesofthegroup),theMembershipCommitteemay,intheirsolediscretion,placethememberonprobation.

11.A member’s classification may be re-opened in event a member hasnot complied with the policies and rules of the group. The MembershipCommitteehassolediscretiontore-opentheclassification.

12.The Executive Committee: President, Vice President and Secretary-Treasurer,shallbecreditedwithone-halfoftheirmembershipduestheyearfollowingcompletionofafullyearserviceintheirposition.

13.Thegroupwilldevoteatleastonemeetingannuallytogrouptraining.

14.All new members must attend new member training within 60 days ofjoiningthegroupandpriortobeingaddedtothespeakerrotation.

15.Annual dues shall be due on the first of the month of each member’smembershipanniversary.Allduesarenon-refundableandnontransferabletoanothermember.

16.SubstituteprogramshallbeapprovedbytheMembershipCommittee.

BY-LAWSOFTHEHOUSATONICBUSINESSALLIANCE

ARTICLEONE:GENERAL

1.15--Purpose:TheHousatonicBusinessAlliance(the“HBA”)isanassociation established to bring together business and professional personsfor the purpose of supporting each other’s business development effortsthroughmutualreferralsandnetworking.

1.25--NetworkOffice: ThebusinessofficeoftheHBAshallbetheaddressoftheTreasurer.

1.35--FiscalYear:ThefiscalyearoftheHBAshallbethecalendaryear.

ARTICLETWO:MEMBERS

2.15 -- Members: The HBA shall have one class of members (each a“Member”orcollectivelythe“Members”),eachofwhomshallbeentitledtoone(1)vote.AMembermaybeanyindividualapprovedbytheMembershipCommittee.

2.25--MembershipCategories: TheMembershipCommitteeshalllimitmembershiptoone(1)memberfromeachbusinesscategoryasdefinedbytheMembershipCommittee.Recommendationsonmembershipcategories,includingsubcategoriesoflargergeneralbusinesscategories,shallbemadebytheMembershipCommitteeaftergivingothersinthatoverallgeneralcategorytheopportunitytogiveinput. (ForExample: fortheoverallgeneralcategoryofattorneysmayhavesubcategoriessuchasrealestatelaw,litigation,trustsandestates,etc. Prior toexpandingageneralcategoryintosubcategoriesotherattorneymembersshallbeconsultedbeforesubcategoriesoradditionalsubcategoriesarecreated.)Intheeventthatamemberproteststheexpansionof a category the matter shall be put before the membership for a vote.Membershipsshallnotbetransferabletoanotherindividual.

2.35 -- Termination of Membership: Membership may beterminated for good cause shown by the vote of two-thirds vote of theMembership.MembershipshallbeterminatedbyaMember’sresignation.

2.45 -- Membership Dues: The HBA may assess dues againstMembersprovidedsuchduesorassessmentshavebeendulyauthorizedbythevoteoftheMembership.AtterminationofMembershipthereshallbenorefundofdues.

2.55--MembershipRoster: TheSecretary/TreasurershallmaintainalistofMembersingoodstanding.

ARTICLETHREE:MEETINGSOFTHEMEMBERS

3.15 -- Regular Meetings: Member’s meetings shall be once eachweek for one and one-half hours at a per-selected location, as may bedeterminedbythevoteoftheMembership.

3.25 -- Elections of Officers: Election of Officers for the ensuingyear shall be held at on or around the first meeting of November annually.QualifiedcandidatesshallsubmittheirnamestotheExecutiveCommitteeatleastthreeweekspriortotheproposedelectiondate.TheslateofcandidatesshallbepresentedtotheMembershipatameetingatleasttwoweekspriortotheelectiondate.

3.35 -- Attendance: Each member shall attend the weekly meetings,providedthat,intheeventamemberisunabletoattendameetingtheymayhave a substitute individual attend in their place and further provided thateach member shall be permitted three unexcused absences in the first sixmonthcalendarperiodandthreeunexcusedabsencesinthesecondsixmonthcalendar period wherein no substitute is required. Exceptions for illness orotherextenuatingcircumstancesmaybemadebytheMembershipCommitteewhosedecisionsshallbebinding.

3.45--AgendaforMeetings: Meetingsshallcontainthefollowingagendaitems,providedthatexceptionsshallbepermissiblefromtimetotimeforspecialprograms,eventsordiscussionsatthediscretionoftheExecutiveCommitteeoravoteofamajorityofthosepresentatameeting: a. 3.55 -- Meeting Notices: The vice president or secretary/treasurershall provide reasonable notice of meeting changes and of meetings whicharescheduledoutsidethenormalweeklyschedule,toallMemberswhohaveprovidedtheire-mailaddresses.Noothernoticeswillbegiven.NoactiontakenatanymeetingoftheMembersshallbeinvalidduetolackofnotice.3.65--QuorumandVotingRequirements:

3.6.15--OneVotePerMember:EachmemberisentitledtoonevoteoneachmattervotedonatameetingofMembers.

3.6.25 -- Quorum: A quorum consists of all Members present at anyregular or annual meeting; provided, however, that a quorum shall consist ofat least two-thirds of the membership. The Membership may meet without aquorumpresent,butnovotesmaybetakenatsuchameeting.

3.6.35 -- Majority Vote: If a quorum exists, action on a matter isapprovedifthevotescastbysuchMembersvotingfavoringtheactionexceedthe votes cast by such Members opposing the action, unless these Bylawsrequireotherwise.

ARTICLEFOUR:OFFICERS

4.15 -- Officers: The HBA’s officers shall consist of a President, VicePresident,Secretary/Treasurer,andsuchotherofficersastheMembershipmaychoosetohave,fromtimetotime.TheofficersshallbeelectedbytheMembersannually.Termsshallbeforaoneyearduration,andundernocircumstancesextend beyond two consecutive years. A candidate shall not be eligible toholdhis/herpriorofficefortwoyearsfollowingtheexpirationoftheirtermofoffice.

4.25--QualificationsofOfficers:TobeeligibletobeplacedontheslateforthepositionofPresident,MembersshallhavebeenamemberofHBAfortwofullyearspriortheelectionofofficers.TobeeligibletobeplacedontheslateforthepositionofVicePresidentandSecretary/Treasurer,Membersshall have been a member of HBA for one full year prior to the election ofofficers.

4.35--President:ThePresidentshallbethechiefexecutiveofficer.ThePresidentshalloverseeallofthebusinessandaffairsoftheorganization.ThePresident shall, when present, preside at all meetings of the Members. The

President may sign any contract, or other instrument that the Members haveapproved, unless the execution thereof shall be expressly delegated by theMembersorby theseBylawstoanotherofficerorMember. Ingeneral, thePresidentshallperformallduties incident totheofficeofpresidentandsuchotherdutiesasmaybevoteduponbytheMembersfromtimetotime.

4.45--VicePresident:IntheabsenceofthePresident,orintheeventofthePresident’sinabilitytoact,theVicePresidentshallperformthedutiesofthePresident,andwhensoacting,shallhaveallthepowersofandbesubjecttoalltherestrictionsuponthePresident.TheVicePresidentshallperformsuchotherdutiesasfromtimetotimemaybeassignedbythePresidentorvoteduponbytheMembers.TheVicePresidentshallbeanex-officiomemberoftheMembershipCommittee.

4.5 -- Secretary/Treasurer: Shall be responsible for collecting andmanagingallfundsoftheorganization;andshalldepositallfundsinthenameoftheorganizationinsuchbanksorotherdepositoriesasshallbeselectedbytheMembers,andingeneralperformallofthedutiesincidenttotheofficeofsecretary/treasurerandsuchotherdutiesasfromtimetotimemaybeassignedbythepresidentorvoteduponbytheBoard.TheSecretary/Treasurer’sdutiesshallinclude:

a. BillingallMembers; b. Collectingandrecordingduespayments; c. Payingallbillsinatimelymatter: d. Reconcilingtheorganization’scheckingaccountonamonthly basis; e. Providing a treasurer’s report (on at least a monthly basis) on account balances and availability of funds for certain activities;and f. Providingprofitandlossstatementsandbalancesheetsona quarterlybasis.

4.65--StandardsofConduct:Anofficerwithdiscretionaryauthorityshalldischargesuchauthorityingoodfaith,withthecareanordinarilyprudentperson in a like position would exercise under similar circumstances, andinamanner theofficerreasonablybelievestobe in thebest interestsof theorganization.Indischargingduties,anofficerisentitledtorelyoninformation,opinions, reports or statements, including financial statements and otherfinancialdata, ifpreparedorpresentedbylegalcounsel,publicaccountantsorotherpersonsastomatterstheofficerreasonablybelievesarewithintheperson’sprofessionalorexpertcompetence.

4.75--ResignationandRemoval:Anofficermayresignatanytimeby delivering notice to the President or Secretary. A resignation is effectivewhenthenoticeisdeliveredunlessthenoticespecifiesalatereffectivedate.IfaresignationismadeeffectiveatalaterdateandtheExecutiveBoardacceptsthe future effective date, the Board may fill the pending vacancy before theeffectivedate;providedthesuccessordoesnottakeofficeuntiltheeffectivedate.TheMembersmayremoveanyofficeratanytimewithorwithoutcauseuponapprovalbytwo-thirdsofthemembership.

ARTICLEFIVE:TRAININGANDEDUCATION

5.15--NewMembers:NewMembersshallparticipateinNewMemberTrainingwithin60daysofbecomingmembersandshallhavecompletedsuchtrainingpriortogivinganindividualspeakerpresentation.Suchtrainingshallincludetrainingonthepurpose,structureandproceduresofHBA.

5.25 -- Board Training: Each outgoing officer shall review theresponsibilitiesandproceduresfortheirpositionwiththenewlyelectedofficerpriortothebeginningofthenewofficer’sterm.

5.35 -- General Membership Training: Such additional membertrainingas is requestedbytheExecutivecommitteeor theMembershipfromtimetotime.

5.45--Trainingcommittee:AllmandatorytrainingandjobdescriptionsforBoardrolesshallbeestablishedbytheTrainingCommittee.

ARTICLESIX:COMMITTEES

6.15--AppointmentofCommittees: ThereshallbetwostandingCommittees: Membership Committee and Training Committee; othercommittees may be established from time to time at the pleasure of theExecutiveCommitteeorasdeterminedatameetingofthemembership.Eachcommitteeshallhaveaminimumoftwo(2)Members,unlessotherwisestatedbelow.Inthecaseoftheresignation,removalorincapacityofanyCommitteemember,hisorhersuccessorshallbeelectedtofillouttheunexpiredtermatthenextregularmeeting.

6.25 -- Executive Committee: The Executive Committee shallconsist of the officers elected at the annual meeting. Three members of the

ExecutiveCommitteeshallconstituteaquorum.TheExecutiveCommitteeshallbe empowered to act in carrying out the general policies approved by theMembersoftheorganization;anditshallhavesuchotherpowersasmaybedelegatedtoitbytheMembers.MeetingsoftheExecutiveCommitteeshallbecalledbythePresidentorattherequestoftwo(2)membersoftheExecutiveCommittee.

6.35--MembershipCommittee: TheMembershipCommitteeshallconsistofatleasttwo(2)Membersappointedbythemembership.AmajorityofMembershipCommitteemembersshallconstituteaquorum.TheMembershipCommitteeshallrecommendmembershipcategories,policiesandproceduresfor approval by the general membership. It shall review the applicationssubmitted by prospective Members and shall make recommendations onMemberstobeacceptedformembership.

6.45--EducationandTrainingCommittee:Thiscommitteeshallconsistofatleasttwo(2)membersappointedbytheExecutiveCommitteeandshallberesponsiblefordevelopingandcarryingoutallorganizationeducationandtrainingasrequiredbytheby-laws,withthegoaltowardpreservingtheintegrity,structureandgoalsoftheorganization.

6.55--LimitofCommitteeAuthority:ACommitteemayexercisetheauthoritydelegatedtoitbytheOrganization.CommitteesshallworkonsuchissuesasarewithintheirpurposeandshallmakerecommendationstotheMembership,theyshallnothaveauthoritytotakebindingactionsindependentlywithoutexpressauthorityfromtheMembership.

ARTICLESEVEN:AMENDMENTSTOBYLAWS

7.1TheMembershipmayamendorrepealtheseBylawsbyatwo-thirdsvoteof the Members at any meeting of the Organization, provided that writtennoticeoftheproposedamendmentorrepealtoallMembersatleastfive(5)businessdayspriortothemeetingatwhichthevoteontheBylawswilloccur.
