Welcome and Call to Order Todd Hamilton called the meeting to order at approximately 12:00 Noon, thanked everyone for attending and conducted a roll call of participation by teleconference and in person. Todd then gave some preliminary comments regarding starting out the new year positively and keys to looking at the first half of the fiscal year including operations and finances, and where the organization has come in the last year of change with respect to employee morale, focus and delivery of mission to the kids. Todd then turned the floor over to Mike Clark, Interim CEO and President. President’s Report Mike Clark, Interim President & CEO, gave the overall picture of operations for the past 4 months, operations/employee changes and impacts, and outlook for the balance of the fiscal year. The transition year has been a positive as opposed to a loss of momentum. Average Daily Attendance (ADA) across the Clubs is generally up. Mike indicated a focus will be a look at safety at the Clubs and discussed bringing in a National Office safety facilitator to look at safety policies. Discussed that we have met the $150,000 challenge grant for the Teen Reach program shortfall as a result of underfunding by the State. Discussed promotion of Milo Hinojosa to Interim Vice President of Youth Development after the departure of Alicia

Vega to better align the staff and the mission and improve communication across the organization. Briefly discussed the Youth of the Year Program coming up in March.

Approval of October 15, 2015 Executive Committee Minutes Todd Hamilton asked for a motion approving the minutes from the October 15, 2015 Executive Committee meeting. A motion was so moved and seconded and all were in favor of approval of the minutes. Operations Report

The floor was then turned over to Milo Hinojosa to discuss Youth Development initiatives. Milo discussed his role and the three main areas on which he and Mike Clark agreed would be his primary focus, safety, ADA and the quality of the programs at the various Clubs that affect ADA and enhancing communication across the organization, with particular focus on communication between the field and the corporate office. In addition, Milo indicated a couple of added points of focus will be holding peers and field staff accountable and doing some advocacy for the Clubs as he sees positive changes that can be made and obtaining corporate resources for those changes. Reported that he believed that employee morale at both the corporate office and the field is at a high level currently and the intent is to do the work to sustain that level. Milo then discussed in more detail his three main areas of focus and steps being taken to improve in each area. As to safety, discussed planned training, data collection and National Office safety person visit. As to ADA, discussed that organization has surpassed the overall goals set for the Clubs to date and feel positive about how the Clubs are trending. Highly engaged members (members who come to the Clubs frequently) are also trending upward. Data supports that kids that attend Clubs frequently are more positively impacted. Cotter Club is one Club that is running counter to this trend. Questions were discussed regarding Cotter Club and ADA decline of 17% overall, although numbers are starting to trend up slowly. Looking at establishing some best practices to see if we can turn the numbers around in this new space, including outreach to prior members. Work to do and will decide at some point if this is ultimately the best use of resources. Overall programming at the Clubs is robust and staff at the Clubs is driving the effort. Discussed dynamics of Youth of the Year and participants and how the mission is positively reflected in the kids participating this year.

Development Report Jill Reid opened her presentation by giving a status on the Teen Reach Fundraising campaign to close the gap on funding from the State of Illinois. Total raised to date is $409,000. The $150,000 challenge grant has been met as indicated by Mike Clark. Jill next took the committee through the tracking report. Individual giving is behind plan (mostly has to do with software implementation not available in the first half of the year as anticipated). Major gifts is behind plan, and believe that the major reasons are due to prospects sitting on the sideline until the leadership transition is resolved and the late start of the Board campaign. Corporate donations are continuing to trend upward and are slightly above plan. Mentioned a new $75,000 donation by Nike. Foundation giving is tracking at plan. Auto Show is tracking at plan. Youth of the Year fundraising is going well, although the overall projection will be lowered for the event. Women’s Board believes they will hit their numbers. Overall fundraising received towards goal is down for the first half of the year, but some things are timing and momentum is ramping up. Finally, Jill discussed projections for the balance of the year (an aggregate $500,000 decrease) in the various categories and initiatives to reach those projections. Individual giving will remain at current level. Taking major gifts number down by $400,000. Taking corporate donations up by $100,000. Taking Youth of

the Year down by $200,000. Discussed partnership with After School Matters. We have applied to have 6 locations do an internship program offered by them. King, North Lawndale and Little Village Clubs have been approved so far.

Financial Report Mike Clark next walked the committee through the financial report for the first six months. Total operating revenue is down approximately $600,000 for the first six months. Timing issues related to $650,000 of projected Youth of the Year dollars is the largest factor and last year (in comparison) also included $300,000 received from leadership dinner, which we did not have this year. Government revenue is down approximately $200,000, which is the Teen Reach shortfall to date. Total operating budget is ahead of plan by approximately $200,000 and will continue to be managed aggressively. Overall, Mike Clark believes we will be on plan for budget for the fiscal year.

Human Resources Report Michelle Daniels a general update on HR matters including changing the review cycle to an end of the year process for performance merit cycle. Moved to end of the year from mid-summer. New tool put in place at employee request and merit review is more about the communication during the review process and not just the form. Discussed proposed merit raise pool for employees and factors. Michelle noted that there has been a noticeable positive morale shift with employees at the corporate office and in the Clubs. The communication with field staff has been paying dividends and joint projects and increased collaboration have been having positive results. Organization employee tenor is generally young (88 new employee hired last year) Nominating Committee Matt Basil discussed board prospects and ongoing meetings and lunches. Obtaining potential board members from True Value, BMO, ConAgra and GE Healthcare Services were specifically discussed. Meeting Adjourned

• For the period the total organizational Operating Revenue was $6,755,846. This is behind the planned amount of $8,098,476, and is behind (unfavorable) by $1,342,630. Please note our largest Special Event (The Women’s Board Ball – “WBB”) we have an actual vs. budget timing issue of $921,000. (The plan was to have raised $1,000,000 for WBB, as of March 31, 2016, BGCC has raised approximately $700,000 which is a timing issue of $3000,000. Youth of the Year raised a net total of approximately $690,000 and missed its plan budget of $1,100,000. This is a unfavorable variance of just over $400,000. Additionally, Government Revenue is also behind (unfavorable) by $521,125 primarily due to the loss of the State-Teen Reach Funding.

• For the period, Total Operating Revenue of $6,755,846 is $34,628 behind (unfavorable) the Total Operating Revenue when compared to the same period last year. Please note, last year (FY 2015) included $305,165 of revenue from the Leadership Dinner. The Leadership Dinner was not held in the current year.

• For the period the Total Organizational Operating Expenses (before depreciation) were

$7,807,727. This is ahead of plan (favorable) by $426,178.

• On March 31, 2016 the outstanding balance on the Line of Credit was $2,400,000 and has a current balance (as of today) of $2,400,000.

• BGCC’s Endowment Investment Account balance on March 31, 2016 was $8,071,703 while

the Board Designated Investment Account balance was $3,304,975.
