This bill seeks to resolve a djspute~tlJ:at has gone on for decades. I believe it is fail:' andreasonable, and in the words of both OHA and the State, long overdue.

The $200 million settlement is mostly in land that- will be transferred from the State of Hawaii tothe Office of Hawaiian Affairs. Given the overall tightening of revenues, this solution makessense. ..... .

Resolution of this matter will also strengthen the state's ability to borrow money for publicprojects. The uncertainty about the money owed for ceded lands was Ii liability in the bondrating evaluation process. This settlement agreement resolves that liability" and it shouldimprove the State's bond rating.

The timeline is important foX" another reason. This settlement to pay what is legally owed toOHA for certain disputed ceded land revenues, along with a set amount going forward, cameafter more than four years of what I understand were tough negotiations followed by mediation.

I strongly support SB2733 SD1 relating to the settlement negotiated by the Office ofHawaiian Affairs (aHA) with the State of Hawaii on disputed ceded land revenues dueaHA and the Hawaiian community. I understand that amendments were incorporatedinto SD1 to allow for continued consideration by the Senate. Its important to keep thediscussion flowing, but the final agreement on these amendments is crucial as long aswhat's agreed upon supports the original intent and purpose of the bill, and does notdecrease the value of the settlement.

This settlement is long overdue and has remained in dispute for thirty years and fouradministrations back to the formation of OHA. I understand there have been four and ahalf years of arduous negotiations and mediation resulting in a $200 million settlement ofland and cash.

I have been working for over twenty years in Native Hawaiian organizations to helppromote economic and social progress for our people. I am currently working to helpperpetuate Hawaiian culture, traditions, and values in the visitor industry. Its interestingthat all of the different people I meet and speak with; those born and raised here, long­time residents, relative newcomers, and visitors agree on one thing - Hawai'i is uniqueand has a special beauty and "character" unlike any other place. They further agree thatHawai'i's unique character has been greatly shaped by Native Hawaiian culture andvalues.

The 2008 State Legislature can make a statement by adopting SB2733 SD1 - one thatshows Hawai'i honors its commitments to the indigenous people of Hawai'i. Such ameasure of support demonstrates that Hawai'i is indeed a role model with committedleadership worthy of its high reputation. Please do what is fair and just, and support thislegislation.

I am opposed to the OHA/Lingle Ceded Land Settlement for the followingreasons:

1. The Settlement dispossesses Hawaiians of their Ceded Lands trust assets.OHA has negotiated a small package ofland and revenue and has agreed torelinquish all claims ofour peoples to 1.8 million acres ofland, the submergedlands, energy resources, biodiversity and surface and subsurface naturalresources.

The settlement is to resolve claims to "the portion of income and proceeds fromthe lands of the public trust for use by OHA" Settlement Agreement (SA), pg. 1 of9 from1978 - 2008.

In return for the settlement, OHA waives or gives up, not only claims to theincome from 1978 -2008, but. ....any other tangible right, item or benefit from the publicland trust...." (SA, pg. 2 of 9). OHA is giving up these rights not only for OHA, but for"any other person or entity."

This waiver is res judicata for all Hawaiians, their organizations and nation - thismeans that we will never be able to sue the state for our trust lands, revenues or otherrights including an accounting and inventory of our trust assets. This language is sobroad and sweeping that Hawaiians will lose rights not related to the OHA 20% pro ratadebate. Other rights that Hawaiians claim to the public trust include HRS 7-1 rights(access and gathering) rights to worship at heiau on 5(t) lands, genetic resources, etc.These rights will now be ignored by the State.

2. OHA is entitled to 20% of the Ceded Land revenues. There is no relationbetween the 20% figure and the 15 million dollar figure. The figure appears

to be an arbitrary amount. In addition, the legislative bill deletes all statutorylanguage relating to the Hawaiians share (20%) of revenues. This theft ofrevenue from Hawaiians is based on the claim of OHA that the courtsoverruling ofAct 304 also overruled the OHA 20% share ofproceeds. This isfalse - in January, 2008, the Hawaiian Supreme Court ruled in OHA vs.HCDH that the State cannot dispose of Ceded Lands trust assets withoutresolving native claims - the court cited the Apology Bill, the DOl Mauka toMakai report and OHA's claims for 20%.

3. For several weeks I have requested that OHA provide the valuation reportsand other documents (Phase 1 & 2 Real Estate reports) on the status of thelands, and valuation figures and formulas used in the settlement. I have yet toreceive data underlying the settlement. These data have not been provided tothe legislature.

4. While serving as an OHA Trustee and a member of the Ceded Landnegotiating team (1998-2000), I questioned the State's insistence thatKalaeloa land be considered because of toxicity. The settlement demonstratesthat the parties know ofthis problem but that OHA will accept the land, paytrust assets to conduct an environmental due diligence effort and then returnthe land or get a 25% credit once the toxicity is proven. Why is OHA takingtoxic land?

5. Under this measure Hawaiians will not be able to sue OHA for accountability.

The settlement is fatally flawed:

a. The waiver language and the provisions relating to res judicata shouldbe deleted from the measure;

b. A reservation clause should be added that states that all claims ofNative Hawaiians against the state relating to the Ceded lands trust areserved and that the scope ofthe settlement is only for claims relatingto revenues owed to OHA from 1978 - 2008;

* Hawaiians do not need to reserve claims against the US as the settlementdoes not involve the US or federal claims.

* Hawaiians know who owns the Ceded Lands - it belongs to the public andthe Native Hawaiians under the Admissions Act.

c. All references to a prospective figure for OHA revenue share (15million) should also be deleted until OHA and the Governor canjustify the figure. We are entitled to 20% of the 5(t) revenues;

d. Any prospective agreement should be subject to reopening andrecalculation every 5 years in order to ensure that Hawaiians benefitfrom the increase in value, revenue and proceeds of the public landtrust.

Conclusion:

I oppose the Ceded Lands Trust Settlement and urge the Legislature to stop thismeasure. OHA and Lingle should make a full disclose of the data including estimatesand formulas used to calculate the figures, and valuation and other reports that reveal thestatus of the lands involved.

In conclusion, the Legislature should take note that the Hawaiian peoples havebeen excluded from the legislative and legal discussions relating to this measure.Legislative hearings will be over before the "informational sessions" which the Senateforced on OHA are completed. The negotiations took place in secret, the valuationreports and data regarding the figures have been withheld. OHA is soliciting letters ofsupport from its grantees, not its beneficiaries. Finally, the OHA video pushing thesettlement features Aunty Gladys Brandt calling for unity and justice. This manipulationis intended to dupe Hawaiians into believing that Aunty Gladys supported this travesty­in reality, she died years before this shameful settlement was conceived by the currentOHA trustees (Rowena Akana excepted).

For over one hundred years, we the indigenous people of Hawai'i, the Kanaka MaoH have been pressured byan incredible amount of violations of human rights and living under the regime of military occupation. Asdetermined by the United Nations Charter, we have the right to exercise self-determination, based on therespect for the principle of equal rights and continuing to strengthen universal peace. We the Kanaka Maolihave the requirements necessary to be independent.1.) A fixed territory, that being the Hawaiian Archipelago.2.) Population of the native Hawaiians, a distinguishable people, who can trace their ancestry back before thefirst Europeans first arrived on these lands.3.) A Government based on communal structures, the Kupuna (elders) and the Kupuna Council, that we alwayshad.4.) The capacity to enter into International relations to deal with other states and keep commitments.

Because what has happened to my people and myself, I am basing my conduct and what I am doing on thedomestic law provided by the United States of America.Under Public Law 103-150, otherwise known as the Apology Bill, The United States of America conceded thatthey illegally invaded and occupied the Kingdom of Hawai'i. With such a severe violation of International law, asimple apology is not enough. Damages are required reparations and restitution to return the situation to what itwas before the violations occurred, especially when a treaty was violated. In this case not one treaty wasviolated, but three treaties violated against the Kingdom of Hawai'i.

THE INVASION. This violated International Law at the time. It even violated the United States Constitution atthe time. Treaties were the "supreme law of the land," and the invasion and annexation of Hawai'i wereviolated by both international law ,and the United States Constitution.The three treaties being friendship,commerce, and navigation. That the United States of America clearly admitted illegal acts through U.S.Congress, which lawyers call "admission against interest." That over one hundred years the Americanpresence has been nothing more than an illegal, colonial, military regime.

According to the Public Law 103-150, the "whereas" clauses are binding facts of law by the United StatesCongress. The United States Congress admits that the invasion, overthrow, occupation, and annexationviolated all these treaties. Because the magnitude of these violations, the World Court has ruled that the onlyappropriate remedy is restitution. Restitution means to 1. Reparation made by giving an equivalent orcompensation of loss, damage, or injury caused. 2.The restoration of property or rights previously taken away,conveyed, surrendered. 3. Restoration to the former or original state or position. Restitution deemed granted tothe Kingdom of Hawai'i. As Queen Liliuokalani made it very clear that she was simply yielding to a superiorforce, preserving the rights for her people for their future, and the right to self-determination and restoration.According to the United States of America Congress, we have the right to restoration, to restitution, and toproclamation of our State. The United Nations Charter provides the rest of the authority to us. being extinct. That by plebiscite, people for the government vs. people for the people, it would be in directinterference of our right to self-determination, to reparations, to restitution and to restoration. Why would anentity who is suppose to be looking out for our best behalf not even ask us what we would like? How can OHAeven say that they were acting on behalf of the Hawaiian people? When it is the Native Hawaiian people whohave the right to make settlements as a majority not a few members of a State elected board. Why would theysettle on three parcels of land that will cost millions of dollars to clean? I keep asking myself why would I everwant to listen to an entity which cannot even get along? It is OHA's obligation to consult with their constituents,us the Native Hawaiians who are the beneficiaries.

As a Native Hawaiian, I humbly ask our Senators our Legislatures to remember what due process is? It is "Wethe People," the Kanaka Maoli, the Native Hawaiian People. Chair Baker and Members of the Committee:

The Attorney General understands that this bill is being

considered by the Committee on Ways and Means to continue the

process of affording the public, and particularly Native Hawaiians,

the opportunity to be heard on this important matter. After the

community's input and opinion have been received and weighed,

however, for all of the reasons detailed below, the Attorney General

respectfully requests the bill be restored to the form jointly

proposed by the Office of Hawaiian Affairs and the Governor.

The Attorney General testifies in strong support of S.B. No.

2733, Relating to the Public Trust Lands Settlement, in the form

that it was introduced. The Legislature's approval of this bill,

which is a necessary step to the effectuation of an important

settlement reached between the State of Hawaii and the Office of the

Hawaiian Affairs (OHA) , is manifestly in the best interest of the

State of Hawaii, OHA, and all the people of the State of Hawaii -­

Hawaiians and non-Hawaiians alike.

It is impossible to either understand or evaluate this bill,

without an understanding of the history that preceded it. Crown

lands and government lands of the Kingdom of Hawaii passed first to

the Republic of Hawaii, and the United States-Territory of Hawaii,

before they passed, through the 1959 Hawaii Admission Act, to the

State of Hawaii. However, the transfer of these lands from the

United States to the State was not in any sense unconditional.

Section 5(f) of the Admission Act requires that these lands,

together with the proceeds from the sale or other disposition of

such lands, and the income from them for their use, were to be held

by the State of Hawaii as a "public trust" "for the support of the

public schools and other public educational institutions, for the

betterment of the conditions of native Hawaiians . ., for the

development of farm and home ownership on a widespread a basis as

possible for the making of the making public improvements, and for

the provision of lands for public use." Section 5(f) also provides:

"Such lands, proceeds, and income shall be managed and

disposed for one or more of the foregoing purposes in

such manner as the constitution and laws of said state

may provide, and their use for any other object shall

constitute a breach of trust for which suit may be

brought by the United States."

From Statehood through 1978, proceeds from these public trust

lands, also known as the Ceded Lands, were used primarily to benefit

public education in the State of Hawaii. This usage did not violate

the Admission Act, as the Admission Act did not mandate that the

lands or their income and proceeds be used for anyone of the

purposes set forth in section 5(f). Thereafter, the Constitutional

Convention of 1978, and the amendments to the State Constitution

proposed by the Convention and ratified by the electorate in 1978,

established the Office of Hawaiian Affairs, in what is now Article

XII, sections 5 and 6 of the Constitution, and directed OHA's

trustees, as provided by law, to manage the income and proceeds from

the Ceded Lands OHA received for native Hawaiians. Although it does

not specify an amount, or include a formula or methodology for

making that allocation, Article XII makes clear that a portion of

the income and proceeds from the Ceded Lands was to be allocated by

law to the Office of Hawaiian Affairs, to manage and administer for

native Hawaiians.

Beginning almost immediately after 1978, the Legislature on a

number of occasions tried to formulate the allocation for OHA.

Unfortunately, for a variety of reasons, no formulation enacted by

the Legislature satisfactorily fixed how much OHA was to receive, or

even how the amount OHA was to receive was to be calculated. Almost

since the adoption of what is now Article XII, the State and OHA

have been involved in controversy and lawsuits regarding how much of

the income and proceeds from the Ceded Lands are to be allocated by

the State to OHA.

Three separate times the matter has gone to the Hawaii Supreme

Court. Although the Hawaii Supreme Court has never directed that a

particular percentage of the income and proceeds, or a particular

method of allocation of the income and proceeds be adopted, it has

said that the "State's obligation to native Hawaiians is firmly

established in our Constitution" and that "it is incumbent upon the

Legislature to enact legislation that gives effect to the right of

native Hawaiians to benefit from the Ceded Lands Trust." See e.g.,

Office of Hawaiian Affairs v. State ("OHA I"), 96 Hawai'i 388, 401,

31 P.3d 901, 914 (2001) (in OHA I, the court also quoted from a

speech by then State Senator Neil Abercrombie to the Legislature at

the first of these legislative attempts to fix OHA's share of the

Ceded Lands income and proceeds in 1980:

"I fear that for those who are interested in seeing [OHA]

move forward that they have won a Pyrrhic victory, that

this is merely a skirmish in a very large battle ....

[A] 1 though I would be delighted to say otherwise, I regret

to say that I expect that the moment this passes into

statute, there will be a suit and that the business of the

Office of Hawaiian Affairs is, as a result, going to be

tied up in court for God-knows how many years.".

Despite attempts by the Legislature to fulfill the State's

constitutional obligation, and despite efforts by the Executive

Branch to implement the laws the Legislature has enacted,

differences, particularly as to whether income from the Ceded Lands

underlying many of the State's airports, hospitals and housing

projects, have remained unresolved.

The instant bill, thirty years in coming, finally and

completely settles all past disputes between the State and OHA over

the how much of the income and proceeds from the Ceded Lands OHA is

to receive under Article XII, and fixes a process for the future

that, if unchanged by future legislatures, assures that there will

never be litigation over the share of the income and proceeds from

the Ceded Lands due to OHA again.

First, the legislation and the Settlement Agreement between the

State and the Office of Hawaiian Affairs (attached to this testimony

without a copy of the bill as an exhibit), requires the payment to

OHA of approximately $13 million in cash, and the transfer of

approximately $187 million (tax assessed value) of real estate owned

by the State, in full and complete settlement of all past amounts

due or which might be due to OHA from the income and proceeds of the

Ceded Lands from 1978-2008. The Settlement Agreement and the

legislation make absolutely clear that this is the case. Moreover,

there are no other claims that can be brought for income and

proceeds from the Ceded Lands other than those that are settled by

the Settlement Agreement with the Office of Hawaiian Affairs and by

this legislation.

Second, the Settlement Agreement and this bill provide that for

the future, beginning July I, 2008, for every year in which OHA

retains the right to receive $15.1 million in income and proceeds

from the Ceded Lands, there can be no claim relating to the income

and proceeds from Ceded Lands for that year. This is a workable way

of settling this issue for the future. This Legislature cannot bind

a future legislature with a requirement to pay money in the future.

This Legislature cant however t make it clear that there is no right

to sue for any year in the future in which OHA has received at least

$15.1 million t and both this bill and the Settlement Agreement

explicitly provide a waiver by OHA of suit for any year in which OHA

has that right.

It should be noted moreover t that even were the parties to

purport to guarantee future payments in future years to OHA t or pay

enough now to bar any future paYments t such a settlement could not

be binding on a future legislature t which could still decide to

allocate future proceeds from the Ceded Lands to OHA t or reduce

future amounts t notwithstanding anything in a bill. The Agreement

and the proposed legislation t on the other hand t recognize the

reality that this Legislature cannot bind its successors t but

nonetheless t set in place a process which if not changed t forecloses

all future disputes over the income and proceeds from the Ceded

Lands.

With regard to a dispute that has lasted thirty years t and

about which there has been great controversYt it is axiomatic that

those on one side of the dispute or the other t with one interest or

another t can claim that a different settlement t paying moret paying

less t paying in a different waYt would have been better for one

group or another t or even the State as a whole. Such views are

wholly understandable t given the complexity of the dispute t and the

length it has lasted. If this were a dispute susceptible of easy

It isresolution t it would have been settled years or decades ago.

the difficulties that have made the dispute last this long.

Notwithstanding those difficulties t however t and

notwithstanding all the diverging views t the fact remains that it is

my belief that this is a fair and reasonable settlement for all the

beneficiaries of the public land trust -- native Hawaiians and all

of the people of Hawaii alike.

For those who say there should be no benefits for Hawaiians

because providing benefits is un-American or violates the Fourteenth

Amendment to the United States Constitution, my response is no court

has ever issued such a ruling, and Article XII of the Constitution

of the State of Hawaii, which I and every legislator have sworn to

uphold, directs that OHA receive a portion of the income and

proceeds from the Ceded Lands for native Hawaiians.

For those who discuss historical grievances by the Hawaiian

people against the United States, and its successor to the Ceded

Lands -- the State of Hawaii -- I can say only that this bill does

not and cannot address those grievances. It is my belief that such

grievances can only be addressed after the passage of a bill like

the Akaka Bill, and subsequent negotiations and other political

processes, not through a bill like this or in the courts.

Irrespective of the validity of the historical grievances of

Hawaiians (and as I have said publicly on many occasions, I believe

the historical grievances have validity), the existence of those

grievances should not interfere with the Legislature fulfilling its

responsibilities under Article XII of the State Constitution. Nor

should the possibility of a future political resolution of those

grievances (and no one can predict whether or not that political

resolution will or will not come) deter the Legislature from

fulfilling its responsibilities under Article XII.

This bill and the settlement it effects, neither is nor can be

all things to all people. What it does do, however, is make a final

and complete resolution of all claims to the income and proceeds

from the Ceded Lands that OHA has or may have had thus far under

Article XII of the Constitution, and put a process in place for the

future, so that there will not be lawsuits or disputes over OHA's

Article XII share of such income and proceeds hereafter.

Again then, in closing, this bill and the Settlement Agreement

represent a fair and just resolution of complex and lengthy

controversies. I know the Legislature will exercise its

constitutional duty to scrutinize the bill and the Agreement, and

SB 2733, SDlRELATING TO THE PUBLIC TRUST LANDS SETTLEMENT

Aloha Chair Baker, Vice Chair Tsutsui, and Members. I am Clyde Namu'o,Administrator of the Office of Hawaiian Affairs. OHA strongly supports, withamendments, Senate Bill No. 2733, SOl Relating to the Public Trust Lands Settlement.

This bill would resolve and settle any and all claims and disputes relating to theportion of income and proceeds from the lands of the public land trust for use by aHA,including under sections 4 and 6 of Article XII of the State Constitution and any relevantstatute or act, between November 7, 1978 and July 1, 2008. The bill would also fix,prospectively, the minimum amount of income and proceeds of the public land trust thatare to be paid to aHA to use under section 6 of Article XII of the Constitution at$15,100,000 each fiscal year.

The purposes of this bill are shared by a Settlement Agreement (the "SettlementAgreement") dated January 17, 2008 signed by Governor Linda Lingle for the State ofHawai'i and Chairperson S. Haunani Apoliona for aHA (see Attachment). By its terms, theSettlement Agreement is contingent upon (1) enactment of the proposed legislationattached to the Settlement Agreement as its Exhibit "A" in substantially the form proposedin the Settlement Agreement, without material changes, or (2) agreement in writing by theState and aHA to any material changes to the proposed legislation. The SettlementAgreement between aHA and the Governor has been approved by aHA's Board ofTrustees.

This bill provides the opportunity for the Legislature to bring closure to an issue thathas remained incompletely addressed for three decades and that the Hawai'i SupremeCourt has ruled is primarily under the authority and responsibility of the Legislature. Thebill would help fulfill the State's solemn obligation to Hawaiians. A Ward Research pollconducted in November 2007 found that with regard to the aHA-State negotiations, 68percent of respondents believed that the Legislature should approve a settlement that boththe State and aHA have agreed to.

The Settlement Agreement and the proposed legislation resulted from several yearsof arm's length negotiations between aHA and the current State Administration.

In recent weeks the media has repetitively highlighted a proposed deal, a Cayetanoadministration settlement offer to aHA in 1999. Fact is, Governor Cayetano's proposedoffer was rejected and then countered by aHA. Governor Cayetano provided no timely

response to OHA's counter offer; so after waiting nearly two weeks, the majority of OHATrustees voted to end negotiations. The ultimate flaw of the Cayetano administration offerwas that OHA was required to release claims that would bar all future claims by NativeHawaiians to ownership of State controlled ceded lands.

With regard to the period between November 7, 1978 and July 1, 2008, both theSettlement Agreement and the bill before you today include payment to OHA of$13,189,860, and (2) conveyance to OHA of land and improvements valued in total at$186,810,140 and located at Kaka'ako Makai, at Kalaeloa Makai (the former CampbellFeed Lot), and at Hilo Banyan Drive.

In connection with the settlement, the bill also amends Chapter 10, Hawaii RevisedStatutes to effectuate these changes and amends Chapter 206E, HRS to allow OHArepresentation on the board of the Hawaii Community Development Authority (HCDA)and to partially exempt OHA's settlement lands from certain elements of HCDA's existingauthority, for example HCDA's power to condemn real property.

I would like to mention two matters important to the bill. First, the bill contains aprovision in Section 16 that requires that the conveyances made and funds paid under thebill shall be deemed income and proceeds from the public land trust. This is importanttoensure that the payments and transfers are counted towards the State's constitutionalobligation under Article XII, section 6, to provide OHA with a pro rata share of the publicland trust revenues.

Second, the release-of-c1aims provisions in Section 13 of the bill and in subsections(b) and (c) of the new Section of Chapter 10, HRS proposed in Section 2 of the bill applyonly to OHA's right to income and proceeds from the public land trust pursuant to ArticleXII, sections 4 and 6, and not other claims such as overthrow claims relating to ownershipof the public lands.

Whi Ie a detai led historical narrative of the issue of land trust revenues wou.ld notbe appropriate in this testimony, kindly note the following:

• Following many years of relatively small transfers to OHA, Act 304, SessionLaws of Hawaii of 1990, sought to establish how the State would carry outits state constitutional and statutory mandate to dedicate 20 percent ofpublic land trust revenues to OHA's activities.

• Act 35, Session Laws of Hawaii 1993, appropriated $136.5 million ingeneral obligation bond funds to OHA as a settlement of undisputed claimsto that point in time.

• Act 329, Session Laws of Hawaii 1997, established OHA's pro rata share tobe $15.1 million for each of the fiscal years 1997-1998 and 1998-1999.

• In 2001, the Hawaii Supreme Court ruled that Act 304 was invalid due to aconflict between one of its technical provisions and federal law.

• Act 34, Session Laws of Hawaii 2003, required the transfer of severalmillion dollars to OHA to help continue the revenue stream following thecourt ruling against Act 304.

• Executive Order No. 03-03 set forth Governor Lingle's procedure forcontinuing the revenue stream.

• Act 178, Session Laws of Hawaii 2006, included an interim provisionsetting OHA's annual amount of land trust revenues at $15.1 million andproviding a lump sum payment of $17.5 million for certain amounts thatthe Legislature determined were underpaid between July 1, 2001 throughJune 30, 2005.

We are mindful that some have urged OHA to increase its communications withthose most affected by the settlement. We are mindful of Senate Concurrent ResolutionNo. 49 of this Regular Session "Requesting that the Office of Hawaiian Affairs and theAttorney General, as Representative of the Executive Branch, Conduct StatewideInformational Hearings on the Ceded Lands Trust Settlement Agreement." In this light, weare conducting various meetings in the community to educate our beneficiaries and otherson the settlement and to respond to questions. We have already conducted or will soonconduct public informational meetings as follows:

• Nine physical meetings (two on Hawai'i island, one on Maui, one onMoloka~i, four on O'ahu, and one on Kaua'j)

• Two electronic town meetings to accommodate Hawaiians living outsidethe state of Hawai'i

These meetings will be in addition to briefings of legislators, briefings ofcommunity groups and organizations that have invited OHA, meetings planned by ouroutside contractors, and other outreach activities (for example television, print, and radio).

We respectfully request three amendments to the bill before you today. First, weask that you re-insert into Section 15 of the bill, the dollar figure that was in the bill asintroduced ($13,189,860) for the general obligation bond authorization. Second, werequest that in Section 21 of the bill, you replace July 1, 2050 with July 1, 2008, theeffective date that was in the bill as introduced. Third, we ask that you insert a newSection in the bill amending Section 10-9, Hawaii Revised Statutes, specifically subsection(1 )(A), to change the designated funding source for OHA Trustees' salaries from Section 10­13.5, HRS, to the new Section of the HRS created by Section 2 of the present bill. Thecurrent HRS reference to Section 10-13.5 would no longer make sense in light of therepeal of that section by Section 10 of the present bill.

I urge your Committee to respond favorably to this bill, which would give effect tothe Settlement Agreement reached by OHA and the Administration.

17, 2008, is made by and on behalf of the followingentities: (i) the Office of Hawaiian Affairs (hereinafterreferred to as "OHA"), a body corporate existing under theConstitution and laws of the State of Hawai'i, whoseprincipal place of business and mailing-address is 711Kapi 'olani Boulevard, Suite 500, Honolulu, Hawai'i 96813,and (ii) the State of Hawai'i (hereinafter referred to as"STATE"), a state of the United States of America. OHA andSTATE are referred to collectively herein as the "Parties. 1f

-THE PARTIES TO THIS AGREEMENT HEREBY AGREE AS FOLLOWS:

Proposed Legislation

This Agreement is contingent upon passage oflegislation negotiated by the Parties and s~bmitted or tobe submitted to the Hawai'i State Legislature (hereinafterreferred to as "Proposed Legislation") or upon furtheragreement by both of the Parties as to any changes to theProposed Legislation. A true copy of the ProposedLegislation is attached hereto as Exhibit "A." ThisAgreement shall be null and void ab initio unless either:1) The Proposed Legislation is enacted in substantially theform attached hereto, without material changes or 2) Anymaterial changes to the Proposed Legislation are agreed toin writing by both Parties. Effective Date

This Agreement shall take effect on the date the Actbecomes law or on such other date as may be agreed to inwriting by the Parties.

Claims Against the STATE

The release, waiver and discharge of claims againstthe STATE are governed by the Act, and are in addition tothe waiver of .claims against the STATE by OHA set outbelow.

Waiver of Claims Against the STATE

. OHA releases, waives, and forever discharges claims asfollows:

1) For claims which arose between November 7, 1978 up toand including June 30, 2008:

OHA releases, waives, and forever discharges any andall claims of any kind concerning, relating to, or arisingout of controversies at law and in equity, known orunKnown, now existing or hereafter arising, established, orinchoate, arising out of or in any way related to any rightOHA or any other person or entity may have to income,proceeds, or any other tangible right, item, or benefit,from the public land· trust lands under sections 4 and 6 ofArticle XII of the Constitution or any statute or act.

Each and every claim or suit that is predicated in anyway upon an act or omission that arises out of or is in anyway related to any right OHA or any other person or entitymay have to the income, proceeds, or any other tangibleright, item, or benefit from the public land trust landsunder sections 4 and 6 of Article XII-of the Constitutionor any statute or act, that occurred between November 7,1978 up to and including June 30, 2008, is forever barred

OHA further agrees that this Ag~eement shall have theeffect of res judicata as to all persons, claims, andissues which arise and defenses which have been at issue,or which could have been, or could in the future be, atissue, which arose between November 7, 1978 'up to and'including and June 30, 2008, whether brought against theSTATE or its departments, agencies, officials, andemployees; directly or indirectly, by subrogation,derivative or third party action, tender, federal action,or by any other means whatsoever arising out of or in anyway related to any right OHA or any other person or entitymay have to the income, proceeds, or any other tangibleright, item, or benefit from the public land trust landsunder sections 4 and 6 of Article XII of the Constitutionor any statute or act.

2) For claims on or after July 1, 2008:

For each and every fiscal year following June 30,2008, during which OHA retained the statutory right toreceive an annual payment of income and proceeds from thepublic land trust lands of at least $15,100,000, OHAreleases, waives, and forever discharges any and all claimsof any kind concerning, relating to, or arising out of eachand every claim for damages or any other relief against theSTATE, or its departments, agencies, officers, oremployees, by the office or any other person or entity,

, with respect to any controversy, claim, cause of action, orright of action arising out of, or relating to any rightOHA or any other person or entity may have to income,proceeds, or any other tangible right, item, or benefitfrom the public land trust lands under sections 4 and 6 ofArticle XII of the Constitution or any statute or act.Such claims are forever barred, and to the extent anywaiver of sovereign immunity for such a suit, claim, causeof action, or right of action still exists, that w~iver iswithdrawn by the Proposed Legislation.

Settlement Payment

Without admitting the validity of any claim, and inorder to resolve all outstanding issues relating to incom~

and proceeds from the public-Iand-trust funds that OHAal~eges are due OHA between November 7, 1978 and July 1,2008, the STATE shall deed or pay to OHA, as the case maybe, real property and cash. The identification andsettlement value of the real property is set forth inExhibit "B" attached hereto (hereinafter referred to as"Settlement Properties"). That real property is conveyedto OHA by the Act. $13,189,860 in cash shall be paid toOHA by the STATE, no later than June 30, 2009. The mannerof conveyance of the real property and the source of fundsfor the payment of cash is as set forth in the Act.

Environmental Due Diligence

For the purpose of this Environmental Due Diligencesection of the Agreement, the Kalaeloa Makai property shallbe viewed as one separate and discrete property with a'settlement value of $59,607,000, all Hilo Banyan Driveproperties shal'l be viewed as one separate and discreteproperty with a settleme~t value of $34,483,725, and allKaka'ako Makai properties shall be viewed as one separateand discrete property with a settlement value of$92,719,415.

OHA shall have until September 1, 2009 to conductenvironmental due diligence.

If, with regard to any of the three properties, eachof these conditions is satisfied: 1) Environmentalcontamination on the property is discovered; 2) Theenvironmental contamination reduces the fair market valueof the propertyl by more than 25% (i.e., the fair marketvalue of the property taking into account the environmentalcontamination is more than 25% less than what the fairmarket value of the property would have been had theenvironmental contamination not been present) (the totalsuch reduction in the fair market value is the "reduction

in value amount")2; 3) OHA has the ability to tenderunencumbered title to the property back to the STATE; 4)The property is in materially the same condition it was inwhen conveyed to OHA; and 5) OHA provides the STATE writtenevidence of 1, 2, 3, and 4, no later than October 1, 2009("Environmental Contamination Rights Notice")--then OHAshall have the ffEnvironmental Contamination Rights" withregard to that property, as set forth below.

If the STATE does not accept that OHA has met each ofthe five conditions listed above with regard to one (ormore) of the three properties, it may demand BindingArbitration within 90 days from receipt of OHA's written"Environmental Contamination Rights Notice. ff Failure bythe STATE to inform OHA of a decision within 90 days shallbe deemed a demand for Binding Arbitration. Such BindingArbitration shall be conducted by Keith Hunter pursuant tothe rules of DPR. 3 The arbitration shall decide a singleissue; "Has OHA proven by a preponderance of the evidencethat it has separately satisfied each of conditions 1-5"above?,,4 If the answer is ffNo," OHA has no further rights. s

If the STATE does accept that OHA has separatelysatisfied each of conditions 1-5 above, or if thearbitrator determines that OHA has separately satisfiedeach of conditions 1-5 above by answering the single issuearbitration question ffYes," thus giving rise toffEnVironmental Contamination Rights" with regard to theproperty at issue, then the STATE shall have two options;

satisfy conditions 3 and 4 above, and shall pay OHAwithin two years, subject to legislative appropriation(that the Parties agree to support and submit to the2010 Legislature), 75% of the settlement value of eachproperty as set forth herein: Kaka'ako Makai$69,539,561 (75% of $92,719,415); Hilo Banyan Drive$25,862,794 (75% of $34,483,725); Kalaeloa Makai$44,705,250 (75% of $59,607,000). In the event theLegislature declines to appropriate the money, OHAshall have no further remedy, except to retain orreturn the property.

Option 2--The STATE shall, within two years, pay aHA,subject to legislative appropriation (that the Partiesagree to support and submit to the 2010 Legislature),"the amount by which the "reduction in value amount"exceeds 25% of the settlement value of each property

as set forth herein: Kaka'ako Makai $23,179,854 (25%of $92,719,415); Hilo Banyan Drive $8,620,931 (25% of$34,483,725); Kalaeloa Makai $14,901,750 (25% of$59,607,000) ("the Option 2 Amount,,).6 If the STATEselects Option 2, it shall inform OHA of the amount itbelieves is the appropriate "Option 2 Amount." In theevent the Legislature declines to appropriate themoney, OHA shall have no further remedy, except toretain the property.

OHA may accept the "Option 2 Amount" offered by theSTATE, negotiate with the STATE for a different "Option 2Amount," or seek "Binding Arbitration" as to the "Option 2Amount." If the STATE exercises Option 2, OHA shall have30 days, or such other time as agreed to in writing by the

Parties, in which to accept the "Option 2 Amount" offeredby the STATE. If aHA does not timely accept the "Option 2Amount" offered' by the STATE, it will be deemed to havedemanded Binding Arbitration as to the "Option 2 Amount."Such Binding Arbitration shall be conducted by Keith Hunterpursuant to the rules of DPR. 7

The STATE shall make reasonably available to aHA andto aHA's authorized representatives during regular businesshours, the STATE's files that contain, with regard to thethree properties: (i) 'copies of soil reports, site plans,engineering reports, archaeological and historical studies,plans and surveys; (ii) zoning entitlement and other landuse documents and records, including, without limitation,all current governmental permits, approvals andauthorizations; (iii) copies of notices from governmentalagencies regarding any violations of laws or ordinances;(iv) copies of all leases and correspondence with anylessees under any of the leases; (v) copies of licenses andconcession agreements and all correspondence with any ofthe parties to such licenses and concession agreements;(vi) copies of any other agreements affecting or relatingto any of the properties, and correspondence with any ofthe parties to such other agreements; (vii) copies of anyexisting surveys, and aerial photos; and (viii) copies ofall plans and other documents relating to any improvementson any of the properties (the material described in clause(i) through clause (viii) above are, collectively, the "DueDiligence Documents").

Mediation

If the Parties have any dispute concerning enforcementof this Agreement, the Parties hereby agree to submit thedispute to Keith Hunter for mediation.

No Arbitration

The Parties have not agreed to arbitrate any dis~ute

other than as specifically set forth herein.

Title Insurance

OHA may, if it chooses, procure title insurance to anyof the properties at its own expense.

Proration

If the STATE receives rent from the propertiesconv.eyed to OHA attributable to periods after July 1, 2008,it shall pay to OHA the amounts attributable to any periodsafter that date. If the State incurs expenses for theproperties like taxes, maintenance fees, assessments,association dues, utility charges, for periods after July1, 2008, OHA shall pay the STATE the amounts attributableto any periods after that date.

In the event that the amount of any rent or expense isnot known July 1, 2008, the Parties agree that such itemsshall be prorated at that date upon the basis of the bestinformation available, and shall be adjusted when theactual amount(s} of such items are known, with appropriatecharges and credits to be made.

Other Terms

This Agreement and its terms shall survive thetransfer of the parcels to OHA.

This Agreement neither represents nor is to beconstrued as an acknowledgement or admission of anynegligence, misconduct, liability, or fault of any kindwhatsoever by any party.

The STATE does not admit to or concede the validity ofany claim, but has entered into this Agreement in order toresolve and satisfy all controversies and claims describedin the Proposed Legislation.

The Parties agree that no statement of fact or opinionhas been made by either to the other, or by anyone actingon behalf of either to the other, to induce the executionof this Agreement, other than as expressly set forth inthis Agreement and that ·this Agreement is executed freely

on the part of each party hereto. The Parties alsorepresent and agree: (1) that they may hereafter discoverfacts in addition to or different from those they now knowor believe to·be true with respect to the subject matter ofthese releases; and (2) that this Agreement and thereleases given in· this Agreement shall fully remain ineffect, notwithstanding the subsequent discovery orexistence of any such additional or different facts.

The terms of this Agreement have been negot~ated atarm's length among the Parties represented by experiencedcoun~el. As a result, the rule of "interpretation againstthe draftsman" shall not apply in any dispute overinterpretation of the terms of this Agreement.
