It is our policy to protect our buyers and sellers personal information until atransaction is underway, at the time when that disclosure becomes necessary.

This is the reason for requesting that ICPOs be made to PRECONSTRUCTIONCATALYSTS, INC AND ITS ASSIGNS.

Many of our buyers have no problem doing this once they realize our intention is to

use this only to provide our seller network the information they need to decidewhether they will send an FCO. It protects them, and it shields you from any directapproach from the intermediaries and brokers it might fall into.

It also does one other important thing to help you acquire product: We have a sellernetwork, and with some orders that are large, we need to spread them out to morethan one source. WHEREAS the undersigned wish to enter into thisAgreement to define certain parameters of the futurelegal obligations, are bound by a duty ofConfidentiality with respect to their sources andcontacts. This duty is in accordance with theInternational Chamber of Commerce.

WHEREAS the undersigned desire to enter a working

business relationship to the mutual and commonbenefit of the parties hereto, including their affiliates,subsidiaries, stockholders, partners, co-ventures,trading partners, and other associated organizations(hereinafter referred to as Affiliates).

NOW THEREFORE in consideration of the mutualpromises, assertions and covenants herein and othergood and valuable considerations, the receipts ofwhich is acknowledged hereby, the parties herebyagree as follows:

place when the letter of credit issued by the buyerhas been drawn down at the counters of theissuing bank.

We, the SELLER, agree to provide all beneficiarieswith written evidence of the pay orders lodgedwith our bank together with acknowledgements oftheir acceptance. Furthermore, our bank shall beinstructed to provide duly signed and stampedacknowledgement of this instruction as set out inthe annex. Forming part of this agreement. It isunderstood that for the purposes of this MasterFee Protection Agreement, our bank shall be thesame bank and this IMFPA acts as an integral partof it.

That in the event of circumvention of this Agreementby either party, directly or indirectly, thecircumvented party shall be entitled to a legalmonetary penalty equal to the maximum service itshould realize from such a transaction plus any andall expenses, including but not limited to all legalcosts and expenses incurred to recover the lostrevenue.

All considerations, benefits, bonuses, participationfees and/or commissions received as a result of thecontributions of the parties in the Agreement,relating to any and all transactions will be allocatedas mutually agreed.

This Agreement is valid for any and all transactionbetween the parties herein and shall be governed bythe enforceable law in All Commonwealth Countrys,European Union Countrys, USA Courts, or underSwiss Law in Zurich, in the event of dispute, thearbitration laws of states will apply.

The signing parties hereby accept such selectedjurisdiction as the exclusive venue. The duration ofthe Agreement shall perpetuate for five (5) yearsfrom last date of signing.

This master fee protection agreement and anysubsequently issued pay orders shall beassignable, transferable and divisible and shallnot be amended without the express written andnotarized consent of the receiving beneficiary. Allparties agree neither to circumvent nor toattempt circumvent either for the transaction ofthis current contract or in the future for a periodof five (5) years from the date of the execution ofthis fee protection agreement. This documentbinds all parties, their employees, associates,

transferees and assignees or designees.

All faxed and/or e-mailed signatures shall beconsidered as original signatures for the purposeof binding all parties to this agreement. Thisdocument may be signed & in any number ofcounterparts all of which shall be taken togetherand shall constitute as being one & the same

Any party may enter into this document and theagreement constituted thereby by signing any

counterpart any time, date or period mentioned inany provision of this document shall only beamended by agreement in writing and signed offby all parties concerned.

Furthermore, we agree that any and allcommissions due shall be paid to the beneficiaryas a result of any extension or rolls of the contractand that we shall effect all necessarydocumentation with our bank without any unduedelays to ensure such commissions and paidwithin the terms of the agreement.

PARTIAL INVALIDITY:

The illegality, invalidity and non-enforceableprovision of this document under the laws of any

jurisdiction shall not affect its illegality, validity orenforceability under the law of any other

jurisdiction or provision.

GOVERNING LAW AND JURISDICTION:

This document shall be governed & construed inaccordance with current English or I.C.C400/500/600 signed between partners NCND laws.

ARBITRATION:

All parties agree to refer any disputes betweenthe parties arising out of or in connection with thisagreement including any questions regarding itsexistence, validity or termination to arbitrationrules of the international arbitration centre (I.A.C).

The appointed arbitrator shall hold theproceedings in any country chosen by the partiesand the rules of the IAC shall apply.

This document is signed and accepted by partiesnamed below as to be included in the maincontract.
