ABOUT THE PROGRAMME

Around the world, and in Malaysia, compensation of executives has come under increasing scrutiny. Non-Executive Directors (NEDs) have an increasing role in the review and approval of executive compensation plans. This Masterclass focuses on how effective compensation plans for top executives can be developed. NEDs serving on Remuneration Committees, need to be able to defend pay decisions and outcomes to a wide range of stakeholders including shareholders, regulators, employees and the media.

In line with the third thematic review in the Corporate Governance (CG) Monitor 2019 on “CEO Remuneration”, this Masterclass will discuss CEO and Executive Remuneration in Malaysia and benchmarks against best practices within the region. It will review critical elements of good remuneration design, including appropriate pay levels, linkage with performance, alignment with shareholders’ interests, and ability to attract and retain key talent.

Module 2:NED fees and Executive Compensation Programs

• Explore non-executive director fee trends anddesign considerations.

• Outline the trends in executive pay and thedesign of executive compensation plans.

Module 3: Equity Compensation, Disclosures, Stakeholder Management

• Design and implement equity plans.

• Identify the disclosure requirements andstakeholder management.

Shai is the Managing Director; Rewards Business Leader – Asia Pacific of Willis Towers Watson. As one of ICDM’s esteemed Faculty Member, he has been conducting multiple learning programmes for ICDM for both bespoke and public, focusing on HR and talent matters for directors. He serves on the Compensation Committee of a leading FMCG company in ASEAN, the Human Resource and Finance Committees of not-for-profit organisations in Singapore and more recently, as a non-executive director of a listed company in Singapore.

His expertise is in the diagnosis, design and implementation of human capital solutions; notably board and executive reward frameworks, long and short-term incentive plans (equity and cash based), sales force effectiveness, organisational development, career architecture, change management and culture transformation – in other words, the attraction-motivation-retention-productivity strategies. Shai is passionate about enhancing corporate governance in Asia, helping companies make informed people-decisions based on sound analytics, and buildings and growing teams in new markets.
