SECTION 1

PART 1

INSTRUCTIONS TO TENDERS

1. GENERAL

This Invitation to Tender (hereinafter “ITT”) is issued by SONANGOL PESQUISA E PRODUÇÃO S.A. (hereinafter referred to as COMPANY) for the provision of Freight Forwarding Services

TENDERER is required to check the contents of the ITT documents to ensure that there are no omissions or discrepancies therein. TENDERER’s Rates and Prices shall take account of all matters contained in the ITT documents.

In addition to the examination of the ITT documents, each TENDERER shall make whatever arrangements are necessary to become fully informed regarding all existing and future risks, conditions, matters, regulations and codes which might in any way affect the cost or the performance of the work. Any failure to investigate fully the foregoing conditions shall not relieve the TENDERER from the responsibility for estimating properly the difficulty or cost of successfully performing the work.

2. REQUIRED COMMENCEMENT DATE

The successful TENDERER will be expected to have all of its resources in place in order to commence the Work on January 1st, 2011.

3. SUBMISSION OF TENDER

In order to comply with COMPANY Procedures and minimize the time required for the evaluation of Tenders, TENDERER must submit their bid strictly in accordance with the following format:

All tenders should be sent in a SEALED PACKING either by courier, registered post or hand delivered prior to the closing date indicated in the Letter of Invitation to Tender securely sealed and in the format shown in Section 1, Part 2 “Form of Tender”.

On the external of the SEALED PACKING Tender shall be marked as follows:

TENDERER to submit:

1. One (1) complete original and two (2) copies of Priced Tender marked: COMMERCIAL

3. The soft copies of the tender would be forwarded on two (2) CDs, includes with:(i) A complete priced Tender (COMMERCIAL); and(ii) A complete un-priced Tender (TECHNICAL); and(iii) All price information required to be in Microsoft Excel Format.

Qualifications will not be accepted unless the TENDERER specifically identifies in writing those items that are to be treated as exceptions and the cost implications to COMPANY of accepting such qualifications.

TENDERER shall give the full legal name and registered address of its COMPANY and shall sign, date with the usual signature of the person or persons authorised to legally bind the TENDERER.

TENDERER is responsible for all its costs and expenses incurred in the preparation, delivery and clarification of its tender.

The tender and any supporting information shall be in the English language.

4. COMMUNICATIONS

All communications associated with this tender enquiry shall be directed to:

5. CLARIFICATIONS

All requests for clarifications or interpretations must be submitted no later than seven (7) working days prior to the specified tender closing date. All responses to requests for clarification or technical information will be copied to all TENDERERS.

TENDERERS are advised that COMPANY prefers e-mail as the method for submitting Tender requests for clarifications or interpretations.

6. ACKNOWLEDGEMENT

TENDERER shall acknowledge receipt of this ITT and confirming the participation or not by notifying via email to Mr. Daniel Watele, email: [email protected] and copy to [email protected] no later than November 10th, 2010. In the event that you do not acknowledge receipt of this ITT it may be assumed COMPANY that you do not wish to tender.

7. TENDER VALIDITY

Tenders shall be valid for a minimum period of no less than one hundred and twenty (120) days from the closing date.

8. COMMERCIAL

TENDERER will submit prices in US Dollars ($), which will remain firm and fixed for the duration of the Contract.

For the avoidance of doubt, payment of invoices shall be made within forty five (45) days of date of receipt of a correctly presented invoice and payment shall be subject to written release of the subject material by the nominated inspection authority and delivery of all documentation required.Prior to the commencement of the Contract, the successful TENDERER must supply evidence of all insurance policies required under the Contract for approval by COMPANY.

9. TECHNICAL

TENDERER is requested to design and propose a fit for purpose solution that is commercially competitive and complete for the specified characteristics as more particularly described in the Scope of Work hereof.

10. CONTRACTUAL

COMPANY wishes to make it clear that it intends its business dealings to be characterized by honesty and integrity, freed from deception and fraud. COMPANY will not accept illegal, dishonest or unethical behaviour whatsoever. Practices that COMPANY considers illegal, dishonest or unethical may include but may not be limited to fraud, deception, clandestine brokering, sharing of tender information, collusion for the purpose of corrupting a competitive tender, and payments, gifts, or entertainment from suppliers and/or TENDERER to COMPANY its affiliates, conveners, its and their staff, agents and representatives.

Where the COMPANY becomes aware of such illegal, dishonest or unethical behaviour, the outcome, potentially, for the TENDERER concerned is disqualification.

11. ALTERNATIVE OFFERS

COMPANY encourages TENDERERS to highlight possibilities to optimize the supply of equipment and services either in a commercial or technical way. Such would include instances where TENDERERS can show that commercial benefits can be achieved through changes to scope of work whilst ensuring that the technical integrity of the equipment or services are of a quality satisfactory to the COMPANY and are fit for their intended purpose. As such TENDERERS wishing to submit an alternative tender, in addition to that requested herein, are encouraged to do so as a separate and identifiable package clearly stating any and all commercial or other benefits that the COMPANY may enjoy.

12. CONFIDENTIALITY

All TENDERERS (whether their tender is accepted or not) and all recipients of specifications and documents (whether they submit a tender or not) shall treat the contents of this document and attachments hereto as private and confidential and will not disclose any such contents to any third party without the prior written consent of the COMPANY.

13. TENDER ACCEPTANCE

COMPANY does not undertake to accept the lowest priced or any tender and reserves the right, at its sole discretion, to accept or reject any or all tenders.

The receipt of any tender shall not constitute any agreement between the COMPANY and the TENDERER.

The acceptance of any tender shall be conditional upon the TENDERER satisfying any technical or commercial audit conducted by COMPANY or its representatives. COMPANY reserves the right to reject any tender where the TENDERER fails to meet COMPANY’s technical standards.

All tenders received shall be deemed to be the TENDERERS only and final offer, and any unsolicited re-tenders, of any kind, will not be considered and may result in TENDERER’s disqualification from this and/or future Invitation to Tenders.

14. REJECTION OF TENDER

Tenders submitted after the date and time for submission of tenders as stated in the ITT letter or any permitted extension thereto may not be considered.

Failure to complete properly the tender documents and comply with all requirements as detailed in the ITT documents may result in the rejection of the tender.

15. EVALUATION OF TENDERS

COMPANY evaluation of tenders will be based upon detailed analysis of all aspects with particular emphasis upon the following,

i. Rates and Prices included in the submission.ii. Technical experience and proven record of past performance for similar projects.iii. Safety, health and environment, operating and quality proceduresiv. Programme and method statementsv. Personnel and equipment resourcesvi. Local Content

TENDERER shall note that COMPANY may require interviews with TENDERER’s Key Personnel prior to award.

16. COMPANY PROVIDED INFORMATION

COMPANY does not warrant the accuracy or adequacy of the information contained in this Tender Enquiry and accepts no liability for same except as explicitly provided for in the CONTRACT.

All shortcomings identified in terms of the specification of this ITT must be corrected at TENDERER’s expense prior to commencement of operation.

Tender Attachment 1 - Remuneration

All rates and prices shall be deemed to be fully inclusive of all taxes including but not limited 5.25 % for the Industrial Tax ("Imposto Industrial"), and in addition the Compulsory Contribution of 0.5% for Education of Angolan Oil Industry Personnel (total withholding 5.75%) and also the importation and exportation fees.

The work will be all encompassing and your services would be provided to the minimum extent, standards and levels, contained therein, on a turnkey basis. Accordingly, the successful TENDERER shall provide everything necessary in terms of expertise, manpower, equipment, materials, consumables, licenses, etc. to carry out and complete the work. The rates shall include all related costs but not limited to travelling/moving, overtime, benefits, salaries, individual income taxes, maintenance, spare parts and transportation. Salary package for the TENDERER’s personnel must comply with Angolan law.

Notwithstanding any personnel identified by COMPANY herein, TENDERER shall propose its minimum requirement for personnel in order that the Services may be performed to the industry standard.

TENDERER shall prepare and submit its USD rates and prices for the following categories:

Mobilization/Demobilization Fee (If applicable)

Tender Attachment 2 - Management Structure

1.0 TENDERER shall submit full and detailed particulars of its proposed dedicated management structure for the performance of the work. Any personnel not solely dedicated to the Contract shall be clearly identified.

1.1 TENDERER shall demonstrate in detail its proposed method of effecting the day to day supervision and liaison with its proposed SUB-CONTRACTORS during the progress of the work, specifically with a view to ensuring the work proceeds efficiently and without interruption.

1.2 TENDERER shall outline its proposal for liaising with the COMPANY including liaison with the Certifying Authorities and Regulatory bodies.

1.3 Information supplied by TENDERER within this attachment will be incorporated into any resultant Contract.

Tender Attachment 3 - Method Statement / Execution Proposal and Contract Schedule

1.0 TENDERER shall provide, within its tender, a detailed method statement/execution proposal defining the operational strategy to be utilized with respect to freight forwarding services.

1.1 TENDERER shall also provide within its tender, a proposed Contract Schedule detailing all key activities.

1.2 The successful TENDERER will be expected to perform the work in accordance with such Contract Schedule.

Tender Attachment 4 - Organigrams

1.0 TENDERER shall submit detailed Organigrams of the resources intended to be deployed upon the work covering all levels of staff.

1.1 Information provided by TENDERER in this attachment will be incorporated into any resultant Contract.

Tender Attachment 5 - Key Personnel

1.0 TENDERER shall submit full and detailed particulars of the Key Personnel to be deployed for the performance of the work. TENDERER Key Personnel shall include the CONTRACTOR’s Representative and designated deputy. TENDERERS Key Personnel shall include:

(a) The CONTRACTOR’s Representative and designated deputy. (b) The Contracts Manager (if not the CONTRACTOR’s Representative)(c) Field Operations Manager(d) Head of each department and designated deputy.

TENDERERS PERSONNEL (to be completed by Tenderer – SEE SCOPE OF WORK)

1.1 Personnel Qualification: TENDERER shall provide Qualification certificates and curriculum vitae of key personnel.

Tender Attachment 6 - Sub Contract Plan

1.2 TENDERER is required to detail plans for any sub-Contract work in connection with this Invitation to Tender.

1.3 The successful TENDERER will be required to comply with the SUB-CONTRACTOR requirements identified within the Contract.

(a) If the TENDERER proposes to sub-Contract with others for the purpose of carrying out this Contract, the division of Work between the Contracting companies shall be described in full detail. Only the TENDERER can be the prime Contracting COMPANY and shall negotiate, sign all Contracts and take full responsibility for the project.

Tender Attachment 7 - Financial Details

1.0 Prior to the award of any Contract, COMPANY shall require satisfactory evidence of the TENDERER’s credit worthiness and financial soundness. In this connection TENDERER is required to obtain a bankers reference from its principal banker which shall also detail any existing third party loans or guarantees.

1.1 TENDERER is advised that COMPANY may require a performance bond and TENDERER shall confirm that such a bond in a form acceptable to COMPANY will be provided if required.

1.2 TENDERER is advised that COMPANY may require TENDERER ultimate parent, if applicable, to guarantee its obligations.

Tender Attachment 8 - Health, Safety and Environmental Management

TENDERER should be capable of executing the Contract work scope in accordance with the COMPANY requirements set out in the Health, Safety and Environment ‘HSE’ terms and conditions in the Contract. As part of a written response to this Invitation to Tender, TENDERER is required to provide the following:

Terms & Conditions

TENDERER required reviewing of HSE terms and conditions with commentary on ability to satisfy HSE requirements. In particular, TENDERER is invited to challenge any aspects not considered relevant or appropriate to the defined work scope and to justify such challenge.

HSE Management System

An important aspect of the bid evaluation will be COMPANY’s assessment of the TENDERER ability to effectively manage HSE issues and in particular to comply with relevant legislation. To facilitate this assessment, TENDERER is required to provide an overview description of the TENDERER HSE Management System and to provide any documentary support of that description as necessary.

HSE Management Planning and Execution

TENDERER will be required to collaborate with COMPANY in the development and implementation of agreed HSE Management arrangements. In preparation for such collaboration, TENDERER is required to describe an effective approach to HSE risk management within the subject scope of work by providing the following responses (and documents where necessary):

TENDERER should provide a high level description of the main HSE risks associating with the subject scope of work and the means by which such risks can be effectively managed.

TENDERER should provide a typical HSE Plan or Interface document in relation to a scope of work similar to that being tendered. Preferably this should be from an actual Contract although COMPANY will accept a draft or sample document should that be necessary.

Training & Competence

TENDERER is required to provide information on how Training and Competence is managed within the HSE Management System. Specific data should be available to demonstrate that these systems are implemented and that relevant training is identified and provided, and that appropriate competence standards are defined, reached by relevant personnel and maintained.Incident and Performance Reporting

TENDERER is required to provide details of the following:i. TENDERER HSE incident reporting and investigation.ii. TENDERER’s system tracking and closed action points; HSE incidents and other

dissemination of lessons learned.iii. TENDERER safety performance for last three (3) years should cover fatalities,

personal injuries and significant plant or equipment damage. TENDERER to provide reports and statistical figures where necessary.

iv. Environmental events attributable to TENDERER’s activities for last three years. v. Regulatory enforcement HSE actions incurred in last three years.

Tender Attachment 9 - Additional Information

1.0 Details of recent Contracts awarded, or awards that are pending which may impact on an award Contract.

1.1 Copies of insurance certificates required to be exhibited in accordance with the Services performed.

1.2 Details of any pending take-overs, mergers or corporate reorganisation/ restructuring.

1.3 Any other additional information which the TENDERER believes will support its Tender.

Tender Attachment 10 - Qualifications.

TENDERER to give details of any qualifications that it may have (if any) to COMPANY’s Contract, it’s reasons therefore and any cost implications that such qualifications may have on the COMPANY and the Contract.

Tender Attachment 11 - Local Content

TENDERER is encouraged to use Local goods and services where these are technically and commercially acceptable.  TENDERER shall state the level of local Content of the Tender, which shall be a percentage of the total CONTRACT price in due consideration of:-

1.0 Wages and salaries to be paid to personnel who are ordinarily resident in Angola.

1.1 Materials and supplies manufactured in Angola.

1.2 Payments to be retained in Angola for services engaged and/or other direct or indirect costs.

SECTION 2

SCOPE OF SERVICES

1. Introduction

CONTRACTORS are expected to quote for their most recent generation of equipment where applicable. In the event that older generation equipment is available and quoted, the price for both should be clearly indicated and any technical differences described.

COMPANY wishes to use the services of a Freight Forwarding COMPANY that is capable of bringing innovation and creativity, cost reductions and operating efficiencies for its logistics and transportation requirements in support of Its Operations. CONTRACTOR shall be expected to provide, on a world-wide basis, full “door to door” management of national and international logistics, transportation, freight forwarding and customs brokerage, material management and tracking, and where necessary, storage and inventory, and other relevant administrative services as required by COMPANY.COMPANY is in the process of placing contracts and purchase orders for long-lead items and other COMPANY supplied equipment (the GOODS) that will be required for its operations. CONTRACTOR shall be required to provide detailed shipment status information, updated on a daily basis.COMPANY reserves the right to award the Scope of Services, whole or in part to one or more contractor(s) in support of its Operations. CONTRACTOR is encouraged to demonstrate any benefits to be gained by COMPANY, by consolidating shipments.In performing the SERVICES, CONTRACTOR must be able to demonstrate “best value” for COMPANY and operate in accordance with good commercial practice taking due regard to upholding COMPANY’s reputation.COMPANY makes no commitments as to the quantity of work to be authorized under the CONTRACT.

2. Origins and destinations of the GOODS

This Agreement covers the "door-to-door" integrated logistics activities (Services) associated with the movement of material, equipment and supplies (ME&S) used in direct and indirect support of the exploration, development and / or production of hydrocarbons:

from designated worldwide export locations to warehouses and storage yards located in Angola.

from warehouses, storage yards and other facilities located in Angola to various worldwide locations; and

including the execution of those processes required by COMPANY and the Angolan law for customs clearance and export of crude oil from Angola.

The possible countries of origin and destinations of the GOODS are identified on the attached Material Equipment List (MEL) and this information, together with the possible destinations, is given below.

This list is not exhaustive nor should it be considered a limitation of the SERVICES required under the CONTRACT. CONTRACTOR is requested to submit a list of consolidation points as a part of the SERVICES of the CONTRACT.

3. Definitions And AbbreviationsIn the Scope of Services the following words, expressions, and abbreviations shall have the meaning hereby assigned to them:

Definitions

CONSOLIDATION POINT means:A pre-planned and approved assembly point for the purpose of consolidating GOODS for shipment, in order to minimize transport costs.

DELIVERY POINT means:The destination to which the GOODS are to be sent, as requested by COMPANY.

FREIGHT TON means:One (1) tonne weight or one cubic metre whichever is the greater.

HSE means: Health Safety and Environment

KEY PERSONNEL means:Those Personnel appointed by CONTRACTOR and approved by COMPANY, occupying positions in CONTRACTOR’s organisation that are considered strategically important, by COMPANY, for the effective execution of the CONTRACT.

GOODS means:Certain equipment, materials and supplies, including long-lead items, utility packages and other materials (not bulks), provided by COMPANY.

OUTSIZE PIECES means:Out-of-gauge and over-dimensional items in excess of 12.5 metres length x 2.5 metres width and 2.5 metres height, or items in excess of 20,000Kgs in weight.

PERIOD OF SHIPMENT means:The total time taken for the shipment to be collected from the SUPPLIER and handled/stored/transported, by whatever means required, through to hand-over at the DELIVERY POINT.

All COMPANY Operations Onshore and Offshore.

PURCHASE ORDER means:The contract or order placed by COMPANY for the purchase of the GOODS from a SUPPLIER.

RESOURCES means:The resources and the personnel deployed by CONTRACTOR to execute the SERVICES.

SUPPLIER means:A vendor or company from which COMPANY has purchased GOODS for the PROJECT.

TRACKING SYSTEM means: COMPANY’s logistical control.

Abbreviations :

ATA means: Actual time of arrival of the GOODS.

ATD means: Actual time of departure of the GOODS.

COC: Carrier Owned Containers

EDI means: Electronic Data Interchange

ETA means: Estimated time of arrival of the GOODS.

ETD means: Estimated time of departure of the GOODS.

FAS: Free Alongside Ship

FCA: Free Carrier (shipping)

FCL: Full Container Load

FCR means: Forwarders Certificate of Receipt.

IMDG: International Maritime Dangerous Goods (United Nations)

IRC means: Inspection Release Certificate.

Kg means: One (1) kilogram

LCL: Less than Container Load

M means: One (1) linear metre

m3 means: One (1) cubic metre

MEL means: Material Equipment List, given in Section 10 (a), which shall list and fully describe the GOODS.

4. General RequirementsCONTRACTOR shall provide facilities and specialist services to COMPANY to support the collection, movement and delivery of certain equipment, materials and supplies (the GOODS) for the support of COMPANY Operations.CONTRACTOR shall be required to undertake the SERVICES in an efficient and expeditious manner focussed on the safe transportation and delivery of the GOODS. CONTRACTOR shall be responsible for such co-ordination and the management of interfaces between COMPANY’s other contractors and SUPPLIERS as may be required and which are relevant to the CONTRACT.

CONTRACTOR shall be required to provide a seamless freight forwarding service, SUPPLIER to DELIVERY POINT, on a world-wide basis, in support of the COMPANY operations. The SERVICES to be provided by CONTRACTOR shall include but not be limited to the following services to/from all areas of the operations:

Management and administration. Transport to port of export. Organising the handling, which shall include proposing ports, and arranging dock

handling and storage at port of export or port of transhipment or both, as necessary or where requested by COMPANY.

Implementing the transportation and delivery of the GOODS, which shall include furnishing all PERSONNEL, all necessary plant and equipment, including specialist equipment where necessary, and all other items necessary for the transportation and delivery of the GOODS.

Offloading and consolidation (as applicable) Loading to vessels Export Documentation and associated matters from source. Import Customs Clearance and associated matters in Angola. Sea and other freight through to Angola. Completion and provision of all Customs and other Shipping Documentation including

but not limited to: Commercial Invoices (from the SUPPLIER’s data) Packing Lists (from the SUPPLIERS Certificate of Origin Bills of Lading or similar Export Customs Entry Certificate of Shipment Import Customs Entry Other, where necessary to fulfill the SERVICES.

Transport between the Supplier’s premises and COMPANY’s supply base in Angola, as requested by COMPANY.

Planning of all CONTRACTOR’s activities to fulfill the SERVICES. Maintaining The COMPANY’s Excel Report Spreadsheet. Reporting on the transportation and delivery of the GOODS. Undertaking all other activities necessary for the transportation and delivery of the

GOODS, as required by COMPANY, by all necessary modes of transport, as appropriate for the particular consignment, to the DELIVERY POINTS designated by COMPANY.

Provision of all necessary RESOURCES to complete the above.

Freight forwarding, transportation & customs clearance services must be provided to minimise the transit/clearance time, avoiding any unnecessary double handling, whilst providing “best value” to COMPANY.

5. Description of Services

5.1 The Logistics CONTRACTOR's responsibilities include but are not limited to:

Conducting business in a safe manner; Providing a comprehensive electronic material tracking system that allows

restricted COMPANY access to "view only" and that is capable of multi-report functionality during the complete cycle from materials receipt to destination delivery;

Unloading and loading ME&S from / to trucks and rail cars delivered to consolidation yards at export locations

Taking receipt and custody of ME&S at designated export locations; Providing line item verification of ME&S against COMPANY's and Service

Providers' purchase orders; Interfacing with COMPANY Suppliers and Service Providers’ purchasing

organization to expedite ME&S as required; Arranging and coordinating BIVAC (or equivalent) inspection of ME&S when

and where required; Providing export preservation and packing services of ME&S as required; Providing storage and consolidation services of ME&S as required; Transporting ME&S from consolidation yards to export dockside; Scheduling of ocean and air shipments for ME&S; Preparing all shipping and customs clearance documents for ME&S in English,

Portuguese or other languages as required; Classifying all shipments of ME&S for export clearance and identifying those

requiring validated export licenses or designation of the appropriate general license and making sure all import requirements of Angola have been met prior to export;

Loading of ME&S onto vessels and aircraft; Achieving minimum weight or dimensional load-ability standards for container

stuffing prior to transport; Distributing all documentation related to the export / import of ME&S; Executing ocean / air shipping for ME&S including the charter of vessels or

aircraft; Tracking the delivery of ME&S shipments from port of export to arrival at

destination locations in Angola; Coordinating customs clearance in Angola for ME&S imported into Angola; Loading of trucks / aircraft, inland transportation and delivery of ME&S to

warehouses / storage yards in Angola; Transport of heavy / oversize loads Providing handling and security for ME&S in Angola until such time as care,

custody and control is taken by COMPANY; Handing over custody of ME&S at warehouses / designated storage yards; “Door to door” integrated logistics activities associated with the re-exportation

of ME&S including, but not limited to, delivery to repair facility, expediting, pick-up and return (ocean / air and customs clearance);

Return of Carrier Owned Containers to shipping companies; Supply of manpower as required by COMPANY; Providing Marine Agency Services in Angola; Executing those processes required by COMPANY and Angolan law for

customs clearance and export of crude oil samples and bulk cargoes from Angola;

Making use of Angolan individuals, contractors and suppliers with due consideration to competitiveness and capability;

Developing the capability of Angolan individuals and contractors, where appropriate, to meet business needs;

5.2 Resources Required from Logistics CONTRACTOR:

Adequate facilities, equipment and personnel in Angola who have documented logistics experience in-country including truck, fixed wing and rotary aircraft as well as vessel transportation

Worldwide resources consisting of existing / new storage / consolidation yards at export locations. These resources shall include operational teams consisting of experienced personnel to efficiently manage ME&S receipt, inspection, line item verification, preservation, export packing, storage, consolidation, international export customs clearance, transportation and cargo

Written procedures and processes to manage ME&S receipt, inspection, line item verification, preservation, export packing, storage, consolidation, international export customs clearance, transportation and cargo tracking on a worldwide basis

Experienced personnel to manage charter vessel and air shipping Flexibility to develop new or adopt existing systems and procedures to match

ME&S export-import initiative requirements A cargo tracking and notification system that can be dedicated to the ME&S

export-import initiative and which employs the latest proven technology. CONTRACTOR must have dedicated personnel experienced in managing such a system

Management team dedicated to the ME&S export-import initiative Financial capability to handle an initiative of this magnitude

6. Background and Assumptions

6.1. ME&S Types

Types of ME&S includes, but are not limited to:

Pipe bundled and loose Valves and pipe components Pumps, drivers, diesel engines, vessels, tanks, and skid mounted units Electrical equipment, transformers Drilling equipment and materials Chemicals Drilling mud, additives Explosives and radioactive materials Fabrications, beams, structures, modules Buoys, anchors and chains, wire rope Construction equipment (i.e. cranes, earth moving equipment, bulldozers) Spare parts Ropes, slings Automation and telecommunications equipment Office and housing furniture Consumables - field / administrative / personal Household goods shipments Core samples Crude oil samples / bulk cargoes

7. Schedule

It is expected that the Services will commence upon CONTRACTOR’s receipt of COMPANY’s written notice specifying start of work. The Services include but are not limited to:

Providing consulting services / developing procedures for approval by COMPANY in such areas as:

Customs clearance, including the proper documentation to be provided by COMPANY, COMPANY suppliers, Service Providers, Service Providers' suppliers, and government entities (including but not limited to Sonangol E.P., Ministry of Finance, and Ministry of Petroleum) in accordance with the Angolan law

Interface procedure development with COMPANY, COMPANY suppliers, Service Providers and Service Providers' suppliers to establish delivery priorities / schedules, etc.

Handling and storage of hazardous materials such as explosives, radioactive materials, etc.

Risk Assessment plans, for COMPANY’s review and approval, in critical areas of hazardous materials (HAZMATS) handling, transport, storage, distribution and disposal

Handling of heavy / oversize loads Obtaining Services related approvals of permits from various Angola government

bodies including but not limited to: Angola Ministry of Commerce and Tourism Ministry of Environment Ministry of Finance (Treasury) Angolan National Bank Angolan Telecom Port Authorities Local Angolan or Town Councils Angola Customs & Excise

Development of shipping, quality assurance and inspection plans Developing inspection plans (i.e., when material arrives at port, marine surveyors) CONTRACTOR’s in-country mobilization preparation / staffing plans Modifying CONTRACTOR’s Safety, Health and Environmental manual to reflect

COMPANY’s requirements as set forth in the Agreement, including Drug, Alcohol and Malaria Control Programs

Tailoring CONTRACTOR’s execution plans and procedures to meet COMPANY’s requirements for the Services as set forth in the Agreement

Providing Marine Agency Services in Angola

Managing the transport of ME&S to minimize transit time and overall cost, avoid trans-shipment yet meet the destination delivery requirements of COMPANY and Service Providers

Assisting with other contract or bid evaluations as requested by COMPANY Other activities identified by COMPANY

8.1. General

COMPANY places the highest importance on safety and health during performance of the Services and requires CONTRACTOR to do the same. A Health and Environmental Manager acceptable to COMPANY, will be provided by CONTRACTOR for the duration of the Project. Detailed Sonangol HSE requirements are attached to this CONTRACT as Schedule IV.

9. Facilities and Services

9.1 Consolidation Yards

CONTRACTOR shall provide all facilities, equipment, personnel, and services necessary to operate the consolidation yards at the designated export locations. CONTRACTOR shall provide a Port Captain (for the cargo) as required at each export consolidation yard to:

Develop and carry out procedures in segregating ME&S in consolidation areas according to material type, color code, criticality, storage requirements (indoor / outdoor), etc

Develop procedures and supervise the loading of all ME&S to minimize the incidence of damage

Develop procedures and supervise the loading of oversize loads. These procedures will require that all lifts shall be engineered and documented which shall be subject to COMPANY’s written approval prior to lifts being undertaken

Provide stowage plans of cargo loaded to Angola and cargo lifting requirements for use during discharging operations

Determine special lifting equipment (including spreader bars, etc.) that may be required

Forward special lifting instructions / methods which meet COMPANY approved preservation and export packing specifications to Angola Area Cargo Master to aid in cargo offloading

9.2 Luanda and Soyo

9.2.1 General Facilities

CONTRACTOR shall provide all facilities, equipment, personnel, and services to handle ME&S at designated Angolan ports, including, but not limited to, vessel unloading, truck loading, truck unloading and materials handling operations.

CONTRACTOR shall provide a dedicated stevedoring team at designated port of import / export in Angola.

9.2.2 Cargo MasterA Cargo Master shall be provided to:

Develop procedures and supervise the unloading of material to minimize damage

Develop procedures and supervise the loading and unloading of oversize loads. These procedures will require that all lifts shall be engineered and documented, which shall be subject to COMPANY's written approval prior to lifts being undertaken

Develop requirements and arrange for adequate truck, and unloading equipment per vessel for cargo unloaded in Angola

Incorporate special offloading considerations that meet COMPANY approved preservation and export packing specifications into the offloading plan

Forward special lifting instructions / methods which meet COMPANY approved preservation and export packing specifications to designated storage yard personnel to aid in cargo offloading

Develop and carry out procedures in segregating cargo in staging areas according to material type, color code, criticality, storage requirements (indoor / outdoor), etc.

9.2.3 Pipe Lifting Devices

CONTRACTOR shall provide all lifting devices for the handling of pipe at designated export / import location as specified by COMPANY approved preservation and export packing specifications

These devices shall be maintained by CONTRACTOR in good condition at all times and replaced by CONTRACTOR as required by Service Provider's and / or COMPANY’s representative.

10. Material Delivery Requirements

10.1 General

The requirements for packing, preservation and transportation of COMPANY Supplier's and Service Providers’ ME&S from the designated export consolidation locations to final destination will vary depending upon the size, weight, and other characteristics of the materials concerned.

10.2 Export / Import Licenses

Licenses for the export of all ME&S from the country of origin shall be the responsibility of COMPANY supplier / Service Provider prior to export.

Licenses for the import of materials into Angola are the responsibility of CONTRACTOR.

10.3 Packaging and Delivery

10.3.1 Export Packing

Export packing shall be in accordance with COMPANY approved preservation and export packing specifications.

Protruding or vulnerable components shall be provided with suitable protection.

10.3.2 Receipt, Inspection, Line Item Verification, Preservation and Export Packing

CONTRACTOR shall be responsible for receipt, inspection and line item verification of all ME&S received for shipment to Angola. CONTRACTOR shall develop procedures for receipt, inspection, and

line item verification. Aside from receiving exceptions reflected in the Overage, Short and Damage (OS&D) report, CONTRACTOR shall prepare each line item of the purchase order receipt for shipment according to COMPANY's approved preservation and export packing specifications.

Specifically, ME&S will be labeled with the following details:

Bar code material version of the SAP Material Master Number Numerical printing of the SAP Material Master Number Short description of the ME&S Purchase order number and line item number QA/QC material and preservation specification (alphanumeric as

designated against the line item on the purchase order Unit of measure and quantity. The SAP unit of issue appears on the

purchase order line item detail. COMPANY shall provide CONTRACTOR with SAP unit of issue terminology

COMPANY in-country destination location for ME&S. COMPANY will provide CONTRACTOR with warehouse location terminology

10.3.3 Delivery

Unless otherwise specified in the purchase order, all ME&S shall be delivered by the COMPANY, COMPANY’s suppliers, Service Providers or Service Providers' suppliers to the CONTRACTOR’s designated consolidation yard for stuffing into containers: FCA – (Free Carrier…named place) (Incoterms 2000)

CONTRACTOR’s designated / agreed consolidation yard; and FAS – (Free Alongside Ship…named port of shipment) (Incoterms

2000), CONTRACTOR’s designated / agreed consolidated yard.

Based on guidelines established by COMPANY and CONTRACTOR for carriage of cargo, CONTRACTOR shall instruct COMPANY, COMPANY’s suppliers or Service Providers on the delivery address.

10.4 General Shipping Considerations

CONTRACTOR shall be responsible for arranging ME&S for shipping as follows:

Small items such as 12" valves and under, small machinery, etc. will be boxed together consolidated by the COMPANY suppliers and / or Service Provider suppliers and delivered to the export yard for receipt, inspection, line item verification, preservation and export packing, consolidation and stuffing into containers by the CONTRACTOR

Larger items, for example 14" valves and above, pumps and drivers mounted on base plates will be crated by the COMPANY's suppliers or Service Providers' suppliers and delivered to the consolidation yard for receipt, inspection, line item verification, preservation and export packing by the CONTRACTOR

Bulk materials such as material in drums, etc. will be export packed, shrink wrapped in plastic, and fastened to pallets by COMPANY’s suppliers and / or Service Providers' suppliers. These may be delivered in containers or on pallets to CONTRACTOR’s consolidation yard at one of the designated export ports for receipt, inspection, line item verification

Skid mounted and fabricated items may be transported in open top or flat rack containers or as break bulk freight depending on weight and size

10.5 Special Materials

For materials that have special characteristics such as

Fragile materials (e.g. electronics); and Materials that have N2 blankets.

Special handling and packing may be required. Such materials may be air freighted with COMPANY’s prior written approval.

10.6 Hazardous Materials, Including Explosives

10.6.1 PackagingAll hazardous materials shall be export packed by COMPANY’s suppliers and Service Provider suppliers and delivered to CONTRACTOR’s consolidation yard at one of the designated export ports for receipt, inspection, line item verification.

CONTRACTOR will be responsible for loading into containers or pallets for shipping and onward transportation.

10.6.2 Handling, Shipping, Transportation

Hazardous materials shall be handled, shipped, and transported in accordance with the COMPANY's approved preservation and export packing specifications and applicable international law

10.7 Export Ports (Ocean Carriage)

Export ports shall be among major ports in North America, South America, Europe, Africa, Middle / Near East or Far East as listed below:

This list will lead to the most economical combination of land transport / shipping and packing / marshaling costs. With COMPANY’s prior written approval, ports may be added to or deleted from the list of export ports based on origin of ME&S.

Other ports will be used only if prior, written approval is received from COMPANY.

10.8 Expediting

CONTRACTOR will be responsible to provide all expediting relate matters to guarantee the on time delivery of the goods for those PO's issued by COMPANY's Procurement group whose delivery date is overdue or nearing due date.

CONTRACTOR will not be responsible to provide transportation from the vendor to FF consolidation yard.

The in country FF representative will be responsible to keep close contact with COMPANY's Procurement group to update o weekly bases status of PO's and/or shipment.

COMPANY's Procurement group and CONTRACTOR will agree on the business process to guarantee a fluid communication and expediting.

11. Consolidation Yards

11.1. General

CONTRACTOR’s consolidation yards located at the designated export ports will be provided and operated by CONTRACTOR. These yards will:

Provide a place where ME&S from many sources can be received, inspected, verified by line item

Enable such ME&S to be properly maintained (materials preservation) and export packed prior to shipping

Allow shipping documentation to be developed, verified, issued and maintained Allow sufficient ME&S to be accumulated so that

Schedule needs by end user can be met ME&S can be economically and properly loaded into containers Economies of scale and control of ME&S can be realized for the shipping of

containers, palletized materials and skid-mounted prefabricated assemblies Ships can be loaded to the maximum extent possible

Provide a specific and segregated area for safe storage and handling of HAZMAT material prior to shipping

Such yards shall have segregated open and covered spaces that can be dedicated to ME&S.

12. Ocean Freight

Ocean freight can be divided into three primary categories, pipe, general cargo, and oversize loads. Transportation of this freight includes shipping and unloading using ships’ tackle. CONTRACTOR will ensure that all Company and Service Provider freight will have priority on all vessels owned, operated or controlled by CONTRACTOR’s subcontractors.

12.1. General Cargo

Ocean freight for general cargo originating from consolidation yards and other loading points at designated export ports will be the responsibility of CONTRACTOR.

CONTRACTOR shall be responsible for scheduling the movement of ships carrying ME&S (including pipe) to avoid ship demurrage charges.

CONTRACTOR shall ensure that ME&S move through consolidation yards and are shipped to meet delivery schedules agreed with Company and Service Providers.

For those ocean / air shipments with final destination delivery to Luanda, CONTRACTOR shall ensure shipment delivery is made to the Sonil’s Terminal and / or Terminal de Cargas (TC2)

13. Freight Forwarding13.1. General

CONTRACTOR will be responsible for freight forwarding for all ME&S including but not limited to:

Safety Export / import customs clearance Permanent / temporary import regime detail management in Angola Dockside handling (stevedoring) of unloaded material Loading onto truck or aircraft Security of ME&S, data, and documentation Ocean container utilization and management Customs clearance for re-export of ME&S Customs Clearance / Freight Forwarding of material for export (core samples) Customs Clearance for crude oil, and Material data management including track and trace

To the extent possible, ME&S will be unloaded from vessels / aircraft and placed directly on trucks.

Notes:1) CONTRACTOR to maximize use of Angolan resources consistent with

performance which matches quality, cost, schedule and execution objectives2) Vessel unloading / loading is expected to operate continuously up to 24 hours

/ day, 7 days / week where weather permits

13.2. Customs Clearance

CONTRACTOR shall be responsible for developing procedures for expeditiously clearing ME&S through Angola Customs. Additionally, CONTRACTOR will provide dedicated personnel to facilitate all Angolan Customs clearance / freight forwarding documentation between government entities (Sonangol, Ministry of Petroleum, Ministry of Finance, etc…)

13.3. Coordination with Other Organizations

CONTRACTOR shall develop procedures to ensure that the delivery of ME&S to final destination is coordinated with COMPANY. Deliveries must be made in time to ensure work by others is not impeded.

The operation of all facilities required for Services at ports in Angola are the responsibility of CONTRACTOR and includes:

Temporary storage of ME&S that cannot be received by the COMPANY warehouse manager

All materials handling equipment and personnel Safeguard of all Project ME&S

14. Care, Custody and Control 14.1. Transfer of Custody

The documentation procedure for each custody transfer will be, at least, the following:

A. Issue of a waybill (Air Waybill, Rail Waybill, Road Waybill, Ocean Bill of lading), with the description of the consignment.

B. Issue of a D.A.N. (Dispatch Advice Note) with a detailed description of the materials transferred (P.O. numbers, pipes serial numbers, item numbers…)

C. Copy of supplier’s invoice and packing lists.

D. On receipt of the consignments, the destination yards checks the consignments and returns a copy of the D.A.N. referred as “delivery acknowledgment” to the location from where the consignment was originated. The material tracking system is updated on receipt of the delivery acknowledgment.

Hazardous consignments will be segregated in an area specially marked with proper HAZMAT markings as well as safety panels.

Small consignments will be stored in dedicated locked containers sufficient to prevent unauthorized third parties having access to the hazardous materials.

E. To prevent possible disputes between the CONTRACTOR and COMPANY, CONTRACTOR will arrange a formal survey of the ME&S received stored at the warehouse with:a. CONTRACTOR’s representative;b. COMPANY’s representative; andc. An independent insurance surveyor provided by CONTRACTOR.

15. Heavy/Oversize Loads15.1. General

Heavy/Oversize loads are those loads that exceed the transportation envelope: 20 gross tones x 12 meters long x 2.4 meters wide x 2.5 meters high

15.2. Heavy / Oversize Lift Loads

The CONTRACTOR is expected to unload Heavy / Oversized loads at the warehouses / storage yards.

CONTRACTOR shall provide all tractor / trailer equipment necessary to carry out Services required and enable the passage of the oversize loads to be effected.

15.3. COMPANY Suppliers' / Service Providers' Responsibilities

COMPANY suppliers and Service Provider suppliers that manufacture heavy / oversize loads shall be responsible for:

Preservation and export packing in accordance with the COMPANY's approved preservation and export packing specifications

Transportation FAS to export dockside including all permits, police escorts (if required) and all other special requirements

Export documentation as required per term of sale

15.4. CONTRACTOR Responsibilities

15.4.1. GeneralCONTRACTOR will be responsible for the movement of heavy / oversize loads from export docks to warehouses / storage yards in Angola. These responsibilities include but are not limited to:

Documentation Export customs clearance and loading onto ships Engineering and documentation for all heavy lifts for approval by

COMPANY Ocean shipping by heavy-lift, RO-RO ships or normal ships Coordination of ships sailing Import customs clearance Offloading onto transporters Maintenance of all equipment required for handling loads including

maintenance during transit All permits, escorts (if needed) for oversize load convoys Night travel over congested roads, if necessary Arrangements for lifting wires across the road route Arrange police escorts if required Locating trailers alongside foundation or other designated area Coordinating delivery with COMPANY or Service Provider

15.4.2. Special Equipment

CONTRACTOR shall provide all necessary special and other equipment required for the handling of oversize loads including:

Special equipment (if any) at export dock Steel plates for load distribution in Angola, if required Multi-axle / multi-wheel oversize load transporters and tractors

suitable for traversing the road Escort vehicles to accompany oversize load convoys Lifting devices for wires crossing roads

15.4.3. Combination with General Cargo

Oversize loads may be combined with other Company / Service Provider freight to facilitate the most cost effective use of the ship. CONTRACTOR shall review its plans with COMPANY and shall be responsible for handling all such freight.

16. Other RequirementsOther requirements are summarized below. They may be applicable to multiple organizations and multiple locations.

16.1. Project Numbering System

A numbering and / or color coding system to identify COMPANY and Service Provider, purchase order / contract numbers and destinations will be developed by CONTRACTOR as part of the Materials Management Plan in Section 17.0 of this Description of Services. Those numbers will be painted on or affixed by CONTRACTOR to all containers and equipment.

Each piece of equipment, container, box, bundle, etc. must have a unique number code assigned and attached to aid in material tracking and identification in the field

16.2. Visible Identification

A system of visible codes and colors (shipping marks) shall be developed by CONTRACTOR and approved by COMPANY so that the storage yard destination of materials is readily visible. The preferred method consists of colored stickers pre-printed with destination names in letters no less that 150 mm high. These stickers are to be fixed to the four sides of containers, materials and equipment so that they are readily visible.

COMPANY should review the system as additional codes and shipping marking may be required. Where applicable, CONTRACTOR shall be responsible to mark/indicate with a visible label "Final Destination SOYO" in all ocean and/or air shipments destined to Soyo (Kwanda Base)

16.3. Containers

16.3.1. Unpacking, Empty Containers

For Carrier Owned Containers (COC), emptied and returned by COMPANY or Service Provider, it is CONTRACTOR’s responsibility to inspect for damage prior to returning to the care and responsibility of the shippers or other organizations who own or lease such containers, in a timely manner so as to avoid demurrage costs.

Every container will be maintained in a log kept by CONTRACTOR until it is removed from Angola. A scheduled monitoring procedure will be implemented by CONTRACTOR to avoid / minimize demurrage, loss or disposal. Should it be required by COMPANY and cost effective, an electronic tracking system will be implemented. In any case, consistent procedures and systems will be developed by CONTRACTOR in cooperation with COMPANY to ensure that containers are re-exported or disposed of in a timely and environmentally acceptable manner in accordance with Agreement.

16.3.2. Container Charges

Demurrage and / or damage charges for COC will be back charged to COMPANY or Service Provider when incurred.

After Shipper Owned Containers (SOC) have been handed over to their owner, all costs associated with the further movement, use, and handling of such containers will be at the expense of the owner.

Shipper Owned Containers shall, before completion of the work, be removed from site and exported or sold locally by CONTRACTOR. The removal, export, and sale of Shipper Owned Containers shall be at the cost of COMPANY.

17. Materials Management 17.1. Materials Management

The computerized, integrated system of materials management and control established in CONTRACTOR’s proposal and agreed with COMPANY shall be fully documented and implemented within 6 weeks of contract award.

Such a system shall include but not be limited to the following features:

Tracking of ME&S from receipt at consolidation yards to return of care, custody, and control to COMPANY at storage yard in Angola

Ability to communicate to / from project elements outside Africa Read-only access by authorized organizations Capable of easily identifying items that are critical Worldwide input / output capability by CONTRACTOR’s organization An integrated bar coding system System security requirements Recording of opening of export packaging during transit Alternate operating capability in the event of failure of primary operating

equipment Approval / permission of Angola government to operate system

CONTRACTOR’s Materials Management procedure shall clearly establish what information is required to be provided by the Constructor and COMPANY’s suppliers.

18. Air Transporst18.1. Air Freight - Normal Requirements

ME&S that are identified as fragile may be air freighted if approved in advance by COMPANY in writing. Fragile materials may include:

Electronic materials Computers Programmable controllers Delicate instruments Equipment requiring N2 blankets

Agreed fragile ME&S will be packed and delivered FCA (Incoterms 2000) to designated consolidation yards or an airport facility in accordance with agreed procedures.

19. Procedures, Language and Reports19.1. Procedures

CONTRACTOR shall be responsible for drafting existing / new procedures. These shall be agreed with COMPANY and distributed to other organizations for implementation. A partial list of procedures that will be required is presented below. However, this should not be considered as complete. Each Agreement and operation will require its own set of procedures to be developed by the appropriate organizations.

20. Interface With Other Organizations

CONTRACTOR will be responsible for developing procedures and implementing interface communications with other organizations. Existing CONTRACTOR, COMPANY, or other procedures may be used as a basis and developed so that they meet the requirements of the Project. These should be arranged so that the handling of materials is not impeded by poor communications. These interfaces include but are not limited to:

Direct communications consistent with keeping COMPANY and Service Providers informed:- Regarding schedule, materials movements so as to avoid delay in delivery;- Agreed / designated port of export, consolidation yard, FCA or FAS;- Agreed storage yard / location for delivery / pickup in Angola;- Documentation, bills of lading, export / import documents, etc.

1. Introduction

1.1. GeneralThe Agreement comprises all Services required to complete the “door-to-door” logistics services including everything whether of a temporary or permanent nature specified in or which can reasonably be inferred from the Agreement documents.

The rates and prices contained herein are the fully inclusive value of the finished Services for the activity specified and cover the cost of everything necessary for the proper execution of the Services, in accordance with the Agreement including all CONTRACTOR’s obligations and liabilities under the Agreement.

CONTRACTOR shall carry out the Services in accordance with the Agreement, such that the movement of COMPANY’s and Service Providers' ME&S from designated worldwide export locations to warehouses and storage yards in Angola are done so in an expeditious and cost effective manner. Provided, however, that at its sole discretion COMPANY may request that CONTRACTOR transport ME&S via a certain mode (e.g. air vs. sea, or vice versa), carrier, or schedule (e.g. earlier/later than intended). CONTRACTOR must comply with COMPANY’s request and will be compensated in accordance with this Fixed Rate Schedule.

CONTRACTOR’s quotations shall be stated in U.S. Dollars. CONTRACTOR expects to be paid in U.S. Dollars.

COMPANY shall have the right to elect to rent containers at any time. Rates for rental for 24 hr day (pro-rata or portion thereof) reflect the following conditions:

1) Minimum rental of 90 days. Rental fee applies from 15 (fifteen) days after the container arrives at the port until the day it is returned empty to CONTRACTOR at the storage yard.

2) For the purpose of determining ocean freight rates, rented containers are considered C.O.C.

3) Containers shall clear customs as C.O.C. and CONTRACTOR shall assume responsibility for tracking containers and re-exporting them or paying applicable duties if they are not re-exported.

4) CONTRACTOR shall assume responsibility for all costs related to the containers after they are returned empty and in satisfactory conditions at the Storage Yard.

2.7. Marine Agency Services (Supply Vessel, Tug Boats, Barges, Crude Tankers and Rigs)

2.7.1. The rates per occurrence is deemed to include but not be limited to receiving and clearing vessel (including rigs and barges) calling for bunkers, water, stores, spare gear, crew matters, inward/outward port and cargo clearance, customs clearance (excluding duties), preparing all related documentation, directing vessels into wharf, etc. Per occurrence is defined as either inward or outward clearance individually.

2.7.2. 3. Development of Additional Fixed Rate

3.1. COMPANY may instruct CONTRACTOR to develop additional Fixed Rates if in the sole opinion of COMPANY the existing Fixed Rates do not cover a particular situation. CONTRACTOR shall prepare additional Fixed Rates on the same basis as the existing Fixed Rates within five calendar days for COMPANY’s review and approval. CONTRACTOR shall be responsible for demonstrating that its additional Fixed Rates are consistent with the existing Fixed Rates.Manning Services

Standby time will only be accepted for delays to normal operations that are beyond the control of Contractor. All delays due to Contractors negligence, error, lack of planning, equipment failure will not be considered as chargeable Standby time. B) In the situation of extreme weather conditions, such that it would create a hazard if recording operations were not halted.

Standby Rate shall not be paid for:

Standby rates shall not become applicable prior to COMPANY acceptance of Contractor’s demonstration of full compliance with the technical and HSE specifications are in place.

As a result of a review of HSE Clauses within Contract Documents, additions and amendments have been consolidated into a single Sonangol document intended as an attachment to tender inquiries and contracts.

For convenience, these HSE Clauses are available as a free-standing document.

Com efeito, o presente documento reflecte as rubricas de SSA que a Sonangol exige dos seus Empreiteiros, ficando estes informados de que devem diligenciar no sentido de incluírem estas obrigações nas respectivas propostas.

This document, in effect, reflects the HSE issues that Sonangol requires of its Contractors, and Contractors are advised to allow for these obligations to be included in their proposals.

1. Requisitos Gerais de SSA 1. General HSE Requirements

1.1 A Sonangol confere uma importância primordial às questões de saúde, segurança e ambiente (SSA) e exige que o Empreiteiro e respectivo(s) Subempreiteiro(s) subscreva(m) e se empenhe(m) activamente nos mais elevados padrões de desempenho em termos de SSA.

1.1 Sonangol places prime importance on health, safety, and environmental (HSE) issues and requires that the Contractor and his Subcontractor(s) subscribe to, and actively pursue the highest standards of HSE performance.

1.2 Por isso, o Empreiteiro deve observar e cumprir as disposições e regulamentos da Sonangol em termos de SSA, bem como quaisquer outros aditamentos existentes e, caso os mesmos não seja cumpridos ou não satisfaçam a Sonangol no respeitante aos riscos de SSA, esta situação será considerada como justa causa para a rescisão do Contrato sem prévia notificação e sem qualquer penalidade financeira para a Sonangol.

1.2 The Contractor shall therefore observe and comply with Sonangol’s HSE provisions, regulations and any other subsequent amendments hitherto, and failure to meet them or to satisfy Sonangol with regards to HSE risks will be regarded as due cause for termination of the Contract without notice and without financial penalty to Sonangol.

(Competence is defined as a person having had the appropriate training, experience and to demonstrate motivation to carry out the work for which he has been employed.)

An agent or consultant in the employ of Sonangol may undertake such testing. As a result of an unsatisfactory test result, the person(s) will be removed from the worksite, and replaced with suitable replacement(s) by the Contractor.

6.1 O Empreiteiro deve notificar através dos meios mais rápidos possíveis o Corpo Directivo Superior da Sonangol e o Director de SSA da Sonangol, por escrito no prazo de 24 horas, do seguinte:

6.1 The Contractor shall report by the quickest practicable means to Senior Management of Sonangol, and to the Sonangol HSE Manager, and thereafter in writing within 24 hours of the following:

6.3 No respeitante a fatalidades ou incidentes com baixa (LTI), ou outros incidentes graves, incluindo danos patrimoniais ou ambientais, o Empreiteiro deve, caso ocorra um incidente deste tipo num local ou embarcação que não seja propriedade ou não seja gerido pela Sonangol mas esteja ao trabalho da Sonangol, levar a efeito uma investigação formal que poderá incluir a participação da Sonangol.

6.3 With regard to fatalities or LTIs, or other serious incidents including property or environmental damage, the Contractor shall, if such an incident occurs on an installation or location not owned or managed by Sonangol, but associated with work being carried out on behalf of Sonangol, carry out a formal and recorded investigation which may include the participation of the Sonangol.

7.1 All persons proposed by the Contractor for carrying out work for Sonangol shall have a certificate of medical fitness, with, as a minimum, examination requirements as laid down by Sonangol.

7.2 Os pormenores relativos ao exame médico encontram-se descritos no Apêndice B do presente Documento.

8.5 Sonangol reserves the right to conduct searches of any or all personnel for alcohol or substances of abuse in any of their premises, or operational locations, or at entry points to these locations (such as the heliport). Such searches may be carried out without warning. Sonangol also reserves the right to conduct random alcohol and drug screening.

9.1 Contractors’ personnel who are required to work offshore shall have successfully completed a Basic Survival Course at a recognised training centre, and such refresher courses as may be required.

This section deals with working hours in the offshore environment. Other sites or locations of Sonangol Companies will be subject to local agreements or Angolan legislation, and as described in the “Manual of Standards for the Sonangol Group”.

Todas as pessoas a bordo de uma instalação ou embarcação na zona marítima, quer seja do pessoal da Sonangol ou de Empreiteiros, deverão cumprir com as seguintes normas relativas às Horas de Trabalho:

All persons on board an offshore site or vessel, whether Sonangol or Contractors’ personnel, shall comply with the following Working Hours standards :

Horas de Trabalho Working HoursServiço Normal: Até 12 horas de serviço normal, com um máximo de 6 horas antes de um intervalo para refeições. Um mínimo de 1 hora de intervalos acumulados durante um período de serviço de 12 horas. Um mínimo de 8 horas de interrupção para descanso antes do período de serviço seguinte.

Normal Duty: Up to 12 hours normal duty period, with a maximum of 6 hours before a meal break. A minimum of 1 hour accumulative breaks during a 12 hour period of duty. A minimum of 8 hours uninterrupted rest before the next duty period.

Serviço Prolongado: Serviço prolongado até 16 horas, com o risco avaliado, aprovado e registado pelo Director da Instalação da zona marítima (OIM) ou Representante da Sonangol, seguido de um mínimo de 8 de interrupção para descanso antes do período de serviço seguinte.

Extended Duty: Extended duty up to 16 hours, risk assessed, approved and recorded by Offshore Installation Manager (OIM) or Sonangol Representative, followed by a minimum of 8 hours uninterrupted rest before the next duty period.

Emergências: Numa emergência, ou quando se encontra ameaçada a segurança da instalação ou das pessoas a bordo da mesma, estas normas podem ser suspensas pelo OIM / Mestre / Representante da Sonangol.

Emergencies: In an emergency, or when the safety of the installation or people on board is threatened, these standards may be suspended by the OIM / Master / Sonangol Representative.

Existe uma disposição semelhante no respeitante a simulacros (simulações) de emergências.
