RECORD STORAGE AND MANAGEMENT SERVICES

Requirements IDBI Bank is a company incorporated and registered under the Companies Act, 1956 (1 of 1956) and a

Company within the meaning of Section 2 (20) of the Companies Act, 2013 and a banking company

under section 5 (c) of the Banking Regulation Act, 1949 (10 of 1949). IDBI Bank is also a scheduled

bank as notified by the Reserve Bank of India (RBI) under the Reserve Bank of India Act, 1934 and has

been categorized under a new sub group "Other Public Sector Bank". As on March 31, 2015, IDBI Bank

had a network of approximately 1744 branches and approximately 3000 ATMs across the country.

The Regional Processing Unit - EAST (RPU) and CCU Kolkata of the Bank is situated at 1st & 2nd Floor,

ABHILASHA Annex, 6, Royd Street, Beside RBI, NCC, KOLKATA 700 016. Many records are generated

in usual course of business at this office, which need to be preserved. Bank is looking for bidders who

can provide such storage facility along with related services to safe keep some of its existing records

as well as records which may be generated in future.

SECTION - I

Request for Proposal (RFP)

Scope of Work: Record Storage and Management System :

Our Bank is looking for a Managed Service Provider for archiving, storing and managing records with following deliverables: 1. The proposed system will be implemented for IDBI Bank RPU EAST and CCU Kolkata. 2. Service Provider is expected to perform the following for at least 5 years: i) Archival of physical records viz. Account Opening Forms, Cheques and Miscellaneous Requests based on Standard Glossary and Destruction Schedules. ii) Safely transport records / stock of around 29 lac files / documents from our existing vendor’s premises at OEC Records Management Co Pvt Ltd. Dhulagar, Purana Chowrashta, Bombay Road, Howrah 711302 and from IDBI Bank RPU EAST Kolkata to the storage locations with proper enabled tracking mechanism.

iii) Provide safe and secured space for storing physical records of the Bank. 3. On – Site retrieval of records:

i) Retrieve and dispatch of the required records based on the request given by the bank official. ii) Maintain in and out movement of Records maintained both in hard and soft copy iii) Destroy aged documents according to the policy of the Bank and its Regulators with the proper authorization. v) Provide access to the authorized representatives of the Bank for retrieval, inspection of records for the submission to various Auditing authority. vi) Maintaining of Bank's records, documents or vouchers in strong cartons for storage as per the requirement of the Bank.

Pre-qualification Criteria

To qualify for submission of the bid, each bidder should meet all of the following pre-qualification criteria: 1. The vendor should be a legally incorporated entity, incorporated under Indian Companies Act. 2 The Bidder should have minimum 5 years of experience in storing and managing physical records for Nationalized / Scheduled / Commercial Banks in India. The Bidder should have registered office in India and shall submit the Certificate of Incorporation in respect of this requirement. 3 The Bidder should have experience of storing and managing minimum 5 Lac cubic feet of physical records for Nationalized / Scheduled / Commercial Banks cumulatively. 4 In the last three financial years, the Bidder should have achieved satisfying average annual financial turnover and also have good net profit consecutively, from their business of records storage services rendered, aggregating minimum 4 crores 5 Vendors should not be under a declaration of ineligibility for corrupt and fraudulent practices issued by the Tendering Authority. A Self-declaration Certificate should be enclosed. Performa in Annexure 4 6 Storage building should be a permanent Construction, & maintained as per due regulatory provisions & approvals of preferably on minimum four feet high plinth, with RCC / Strong and corrosion resistance modern metal roofing, specially designed to protect Bank’s Records from fire, theft, pests, dust and having proper drainage provision as per proper approval.

7. Good quality racks / compartments capable to take load of documents when fully filled should be installed. 8. The storage space should be available within radius of 100 KMs from RPU. The distance from road through which trucks & tempos can travel during any normal day to be considered.

9. The place should be easily accessible by public transport. 10. Storage space should be equipped with 24 x 7 Manned Security and should have updated with latest Electronic Security, which includes CCTV Surveillance Cameras with Recording. The CCTV recordings should be maintained for at least 90 days. The storage area should be a Restricted Area equipped with advanced computer controlled Access Control system allowing access to only authorized persons. 11. Storage space should be equipped with a state of the art smoke and fire detection system. 12. Storage space should have adequate Fire Fighting equipment and the staff should be trained to operate the same.

13. There should be provision of power backup for CCTV systems, smoke detectors & emergency lighting. During the tenor of agreement CCTV system & smoke detectors should be kept under warranty/ AMC to ensure their performance. Bank reserves the right to get the CCTV system & smoke detectors checked or call their service/ AMC records from time to time 14. Service Provider must confirm that Pest Control, Rodent control, Termite treatment and control of anything else which can harm the documents are carried out regularly in the storage space for a Pest Free environment. 15. Service Provider must confirm and furnish their Business Continuity Plan, Disaster Recovery Plan, Emergency Response Plan, Waste Management Policy, Safety Manual and Standard Operating Procedure for record storage and services. 16. The Service Provider should have trained / experienced personnel and manpower to carry out records maintenance activity. 17. Registers / logs should be maintained containing list of persons visiting the storage along with time of entry & exit. 18. The vendor should have E.S.I.C., P.F. registration and hold Labor License. Photocopies of valid registrations and license should be furnished with the Tender. 19. Tender can be submitted only on prescribed Tender form issued by the above mentioned office or downloaded from Bank’s website. Tender submitted on any other form shall be rejected and declared invalid. 20. Title of Space acquired by the Vendor should be owned by the Vendor or in case the vendor is operating from leased premises, 66 months residual lease period should be available. Subcontracting the work is not permitted. Title of space should be clear and it should be free from any encumbrances. Vendor should certify that all legal & technical formalities are completed for this storage space. 21. Vendor should certify that proper Shops & Establishment licenses are acquired and able to produce whenever required by the Bank. 22. Storage areas should be insured against fire, flood, cyclone and other natural calamity besides theft, burglary etc. and the vendor will bear the cost of such insurance. 23. Sketch Map of storage area with its location shall have to be furnished to the bank 24. Storage Services should be available on all working days of Bank. Storage timing should match Bank’s working hours. 25. The Vendor shall allow any person, officers and auditors or authorized representative from the Bank to visit / inspect the Storage arrangement only after receipt of prior written notice issued / given by the Bank. 26. Few times bank may undertake shredding & disposal of old documents at site. Same should be permitted & supported by providing suitable space & electricity connection without any cost. The documents taken out for disposal should also be recorded

27. Preference will be given to such Vendors who will be having their own arrangement for providing vehicle to carry out boxes and documents from Bank to Vendor’s place & Vice-versa.

The Service provider has to ensure that the TAT is maintained with strict compliance. Any non compliance in this regard will be viewed seriously and attract penalty to the service provider

Tender Rejection Criteria

Even though the bidders meet the above qualifying criteria, they are subject to be disqualified if they have:

a) Made misleading or false representations in the forms, statements and attachments submitted in proof of the qualification requirements; and/or

b) Record of poor performance such as abandoning the works, not properly completing the contract, inordinate delays in completion, litigation history or financial failures etc. Any change in the structure or formation of the bidder after being technically qualified shall not be entertained. The same will be considered as a breach and the bidder shall be disqualified by the Bank and be rejected without any further notice.

Turnaround Time (TAT) Nature of Retrievals

Ordinary Retrievals All requests by fax/ e-mail received by 5 P.M. will be delivered by the next working day. ( 24 hrs TAT)

Urgent Retrievals All requests by fax/ e-mail received by 2 pm noon will be delivered on the same day. Those received after 2 pm will be delivered the next day before 11 am.

SECTION -3

Technical Bid Evaluation Criteria

The Bank shall constitute an Evaluation Committee (EC) of minimum four persons, which shall carry out the entire evaluation process. . The Technical proposal evaluation process would focus on the ability of bidder to satisfy technical requirements of the assignment, quality assurance procedures and experience of safekeeping of records. Technical proposals will be evaluated based on the following criteria.

Evaluation Criteria

Only the bidders who score more than 60 (Sixty) marks in Technical Evaluation process will be short listed. In case, only two of the participating bidders qualify on technical criteria and reach or exceed the cut-off score of 60, then the Bank, at its sole discretion, may qualify three bidders on the basis of the top 3 scores. The commercial proposals of technically short listed bidders will be opened. The bidder whose bid has been determined as the lowest final commercial quote (i.e. L1) shall be awarded the project.

Final evaluation

The bidder selection will be done based on techno commercial evaluation with weightage of technical evaluation score and lower price quotation in ratio of 70:30

as per below formula:

Total score of a bidder = {(T / TH1)*70} + {(PL1 / P)*30}

Where:

T = bidders. score in technical evaluation

TH1 = technical score of bidder having highest technical score

P = price quoted by the bidder

PL1 = price quoted by bidder quoting lowest price

On the basis of total score of bidders the bidders shall be ranked. Work will be awarded to bidder with highest score.

OR

Bank may, at its sole discretion, call L2 bidder and allot the total work to L2 at the rates quoted by L1, if L2 is equally or more technically sound than L1 and ready to work on the rates quoted by L1. (may be challenged)

At the sole discretion and determination of the Bank, the Bank may add any other relevant criteria for evaluating the proposals received in response to this RFP.

Payment Terms

Payment will be made within 15 days from the date of invoice raised through NEFT. No payments will be made in Cash or cheque/ DD.

Bidding Document

The Bidder is expected to examine all instructions, forms, terms and specifications in the bidding documents. Failure to furnish all information required by the bidding documents or submission of a bid not substantially responsive to the bidding documents in every respect will be at the Bidder’s risk and may result in rejection of the bid.

Clarification of Bidding Documents

All enquiries / clarifications from the bidders, related to this RFP must be directed in writing exclusively to the contact person notified by the Tendering Authority in section I above. The preferred mode of delivering written questions to the aforementioned contact person would be through email. Telephone calls will not be accepted.

Format of AGREEMENT FOR STORAGE OF OLD RECORDS

This agreement made and entered at Kolkata this ______ day of September 2015 between IDBI

Bank Ltd., a company registered under the Companies Act, 1956 and a banking company within

the meaning of Section 5(C) of the Banking Regulation Act 1949, and having its Registered

Office at IDBI Tower, World Trade Center Complex, Cuffe Parade, Colaba, Mumbai 400005 and

Regional Processing Unit (RPU) at 1st Floor, ABHILASHA Annex, 6, Royd Street, Beside RBI, NCC,

KOLKATA 700 016 (hereinafter referred to as “IDBI Bank”, which expression shall, unless

repugnant to context and meaning hereof, shall deem to include its Successors and assigns) on

the one part

AND

<VENDOR NAME> , a company registered under the Companies Act, 1956 and having its

Registered Office at Address…. (hereinafter referred to as …………) which expression shall

unless repugnant to the context or meaning hereof shall deem to include its successors and

assigns) on the OTHER PART

WHEREAS:

(i) The IDBI Bank is in the business of the Banking and desires to outsource the storage of

old record of the IDBI Bank.

(ii) The <VENDOR NAME> is in the business of providing specialized services of storing of

old record. <VENDOR NAME> represented to IDBI Bank that they have requisite

expertise, the resources and the skilled personnel for providing the services and is

desirous of providing the same to IDBI Bank.

(iii) The IDBI Bank has agreed to avail of the services offered by <VENDOR NAME> for

Storage of old record more particularly referred to in Annexure and the parties agreed to

enter into this agreement for the purpose of recording the mutually agreed terms,

conditions concerning the provisions of the services.

NOW IN CONSIDERATION OF THE PROMISES THE PARTIES HERETO WITNESTH AS

UNDER:

1. SCOPE AND STANDARD OF SERVICES:

1.1 <VENDOR NAME>hereby agrees to provide to the IDBI Bank and the IDBI Bank hereby

agrees to avail of from <VENDOR NAME>old record storage services as more particularly

mentioned in the annexure to this Agreement.

1.2 <VENDOR NAME>shall store the IDBI Bank's old record at Approved storage center as

indicated in Annexure – B.

1.3 <VENDOR NAME>shall not, without a prior, written permission from IDBI Bank shift the

Approved Storage Center or change the Approved Storing Methods.

1.4 <VENDOR NAME>shall periodically furnish to IDBI Bank, Management Information

Reports pertaining to Inventory of Files & Boxes, their Retention Schedules, Checked-Out

lists, Destruction Eligibility Reports, Destruction Certificates, etc.

1.5 <VENDOR NAME>agrees to extend services during validity period of this agreement, as

mentioned in the annexure to this agreement.

1.6 Information pertaining to IDBI Bank shall be maintained by the <VENDOR NAME>in strict

confidence.

1.7 Records of IDBI Bank will be stored separately and not mixed with other banks records.

1.8 <VENDOR NAME>shall observe the best service quality standards and ensure to render its

obligations to the satisfaction of the IDBI Bank.

2. TENURE OF THE AGREEMENT:

This Agreement shall remain in full force and effect commencing from October 1, 2015 to

September 30, 2020 both days inclusive.

3. CONSIDERATION:

"In consideration of availing the services of storage of old record, the Bank shall pay to

<VENDOR NAME>charges as mentioned against each service more particularly described in

Annexure- I. The IDBI Bank shall be entitled to set off against / deduct / recover from the

aforesaid charges and any other sums payable by the IDBI Bank to <VENDOR NAME>at any

time in respect of any amount due or claimed to be due to the bank or any statutory or

regulatory bodies by the service provider. However, IDBI Bank’s right will be subject to

limitation as per clause 19. <VENDOR NAME> will reserve the right to challenge any set off/

deduction/ recovery under this clause in court of law.

The IDBI Bank shall be entitled to set off against / deduct / recover from the aforesaid charges

and any other sums payable by the IDBI Bank to VENDOR NAME, however provided that:

1. the IDBI Bank's right will be subject to Limitation of Liability and

2. where such set off / deduction / recovery is specifically required by any Government and

/or Regulatory authority through any law, rule, regulation or notification, the IDBI Bank's right

to set off / deduction / recovery, shall be subject to <VENDOR NAME>'s right to challenge

such action in court of law."

4. STANDARD TERMS AND CONDITIONS:

4.1 STORED RECORD: From and after the effective date for a period of agreement, the

<VENDOR NAME>shall store and service the Stored Record on “individual document/file

” basis. IDBI Bank and <VENDOR NAME>may add to the Stored Record by written

agreement. Such additional Record shall, unless otherwise indicated in writing, be deemed

to be held under the same terms and conditions as the Stored Record.

4.2 ACCEPTANCE : In the absence of an executed contract, the act of tendering any Record for

storage by the IDBI Bank and/or other services rendered by the <VENDOR NAME>shall

constitute acceptance by the IDBI Bank to the standard Terms and Conditions of the

VENDOR NAME.

4.3 RATES : IDBI Bank agrees to pay <VENDOR NAME>for its services according to mutually

agreed Schedule of Rates (as per annexure). Monthly rates/payment shall be made by the

IDBI Bank within 10 days upon receipt of invoices raised by the <VENDOR NAME>. The

basis of charging monthly rentals for the Fresh Pick-ups will be as per Annexure-I. All

Taxes, Service Tax and other levies (except Octroi) if applicable will be charged extra.

4.4 DESTRUCTION OF USELESS RECORD : Upon written instructions from the IDBI Bank or

its Authorised Representative, the <VENDOR NAME>may destroy Stored Record. The IDBI

Bank releases the <VENDOR NAME>from all liability by reason of the destruction of such

Stored Record pursuant to such authority and agrees to pay the actual cost of destruction to

the <VENDOR NAME>.

4.5 SIZE OF BOX: <VENDOR NAME>has agreed to maintain the size of Boxes 16"X12.8"X10.8”

(1.25 Cub.Ft.) to store the IDBI Bank's old record and <VENDOR NAME>premium Boxes

shall be suitable to carry a maximum load of 20 Kgs.

4.6 TITLE WARRANTY: The IDBI Bank warrants that it is the owner or legal custodian of the

Stored Record and has full authority to store the said Record in accordance with the terms of

this Agreement.

5. OBLIGATIONS OF THE <VENDOR NAME>(SERVICE PROVIDER):

The <VENDOR NAME>Service Provider shall:

(a) render the Services in a lawful manner ,

(b) perform and observe all rules and regulations of the IDBI Bank as may be applicable,

(c) not to do or cause to be done anything which is prejudicial to the interest of the IDBI Bank

or whereby the business or reputation of the IDBI Bank may be injured or damaged,

(d) maintain in full force and effect all applicable licenses, permits, registrations and

permissions as may be require for the purpose of rendering the Services under this

Agreement and for matters incidental thereto,

(e) engage requisite number of <VENDOR NAME>Staff for rendering of the Services in an

efficient and timely manner and to supervise the work of <VENDOR NAME>Staff in

rendering the services,

(f) be solely responsible and liable for payment of salaries, wages, bonuses, payroll taxes or

accruals in respect of the <VENDOR NAME>Staff engaged for delivering the services

under this agreement,

(g) meet with the IDBI Bank's Personnel to discuss and review its performance and progress

of the Services under this Agreement as may be stipulated by the IDBI Bank,

(h) to compensate the IDBI Bank for any loss and/or damage caused to the Bank as a

consequence of misconduct or negligence, forgery, fraud committed in person or in

collusion with the third party by all or any of <VENDOR NAME>'s Staff.

6. AUTHORITY/CONFIDENTIALITY:

6.1 <VENDOR NAME>recognizes, accepts and agrees that all tangible and intangible

information obtained/received/gained/developed or disclosed to them and/or its Staff,

including all details, documents, data, business/customer information and the IDBI Bank’s

practices and trade secrets (all of which are hereinafter collectively referred to as

“Confidential Information”).

6.2 <VENDOR NAME>irrevocably agrees, undertakes and ensures that :

a. <VENDOR NAME>and all its Staff shall keep all the Confidential Information as

secret and confidential and shall not disclose the same, at all to any person/s at any

time or use, nor shall allow to be used for any purpose other than as may be

necessary for the due performance of <VENDOR NAME>’s obligations under this

Agreement.

b. it shall not disclose or publish on its own or through any one else, the existence or

the terms or conditions of this Agreement including any information relating to the

IDBI Bank’s business, to any third party unless such disclosure or publication is

strictly required by law or specifically permitted by the IDBI Bank in writing.

c. the Confidential Information will not be used or permitted to be used by <VENDOR

NAME>and its Staff in any manner even after the term / termination of this

Agreement.

d. <VENDOR NAME>shall be responsible for any act / deed done to the contrary to

the above terms and indemnify the IDBI Bank for any loss / damage that may be

caused to or suffered by the IDBI Bank due to such acts.

6.3 In the event of a breach or threatened breach by <VENDOR NAME>of the aforesaid

clause, the IDBI Bank, shall be entitled to injunctive relief in addition to monetary damages

to restrain <VENDOR NAME>from any such breach, threatened or actual.

6.4 The provisions of the aforesaid clauses and the indemnity contained therein shall survive

after the termination or expiry of this agreement.

6.5 If <VENDOR NAME>is directed by a court or by a Regulator to disclose information or

documents relating to the IDBI Bank including confidential information, it shall notify the

IDBI Bank in writing, along with a copy of such order / notice, in sufficient detail

immediately upon receipt of such orders in order to permit the IDBI Bank to make an

application for an appropriate protective order and provide such information / documents

as may be advised by the IDBI Bank in writing.

6.6 <VENDOR NAME>shall give an opportunity to the IDBI Bank for a period of three days to

move the appropriate court in appeal to obtain a stay order, if the Bank so desires, against

any orders of the court / regulator as mentioned in the foregoing.

7. LIMITATION OF LIABILITY:

<VENDOR NAME>’s Liability, if any, for loss, damage or destruction of the Stored Material

shall be limited to the actual Material Value. Stored Material is not insured by <VENDOR

NAME>against loss or injury, however caused as ownership of the Records lies with the

IDBI Bank.

7.1. The IDBI Bank understands and acknowledges that normal deterioration and aging of

all Material media occurs with time for which <VENDOR NAME>shall not be liable.

Provided that such deterioration is on account of natural process and is in no way

attributable to neglect, fault in storage) by the <VENDOR NAME>.

7.2. Upon delivery of the Stored Material in full as requisitioned to the IDBI Bank by the

<VENDOR NAME>under the Delivery Ticket shall be deemed to be good delivery and

the <VENDOR NAME>shall thereafter not be liable for any discrepancy or claim of any

nature whatsoever. The <VENDOR NAME>is entitled to deliver the requisitioned item

in part upon notice to the client with reasons & should be within the deliverable time as

set herein unless mutually agreed.

7.3. Any claim by the IDBI Bank for loss, damage or destruction must be presented to the

<VENDOR NAME>, in writing, within 30 days after the IDBI Bank is notified by the

<VENDOR NAME> that loss, damage or destruction to part or all of the said Stored

Material has occurred. Thereafter IDBI Bank’s rights of claim shall automatically stand

extinguished. <VENDOR NAME> here by declare that it would advice / inform IDBI

bank for any damage / loss incurred on such.

7.4. Any actions or suits to be initiated by the IDBI Bank in respect of any claim whatsoever

under this Agreement can be initiated by the IDBI Bank against the <VENDOR

NAME>within the time provided therefor under the relevant and appropriate statutes

governing this provision.

8 SECURITY AND CONTROL PROCESSES:

a. <VENDOR NAME>hereby agrees to have sufficient security practices; control processes

and checks in respect of the job/work/activity outsourced by the IDBI Bank

executed/handled at its premises or in the IDBI Bank’s premises on a regular basis.

b. The IDBI Bank has the right to notify the regulators in the event of any breach of security

and leakage of confidential customer information / data / records by <VENDOR

NAME>or its Staff.

c. In these eventualities, if the IDBI Bank is liable to its customers for any damages and

<VENDOR NAME>agrees to indemnify the IDBI Bank for such losses/damages.

9 RIGHT OF IDBI BANK AND REGULATOR FOR INSPECTION AND AUDIT :

a. <VENDOR NAME>shall, upon being required by the IDBI Bank allow any person

authorised by the IDBI Bank or its Regulators (which means and includes the Reserve

Bank of India (RBI), the Securities and Exchange Board of India (SEBI), National

Securities Depositories Ltd. (NSDL) and/ or the Central Depository Services Ltd.

(CDSL)) to enter upon the premises of <VENDOR NAME>and inspect, examine and

audit <VENDOR NAME>’s operations and records and take copies of all or any of the

records.

b. In case any information or documents are not readily available, <VENDOR NAME>shall

furnish the same within a reasonable period of time.

c. <VENDOR NAME>shall, upon being required by the IDBI Bank shall furnish

information pertaining to the <VENDOR NAME>'s (Service Provider's) operations and

business records in connection with services rendered under this Agreement.

10 MONITORING AND ASSESMENT :

a. <VENDOR NAME>shall and undertakes to provide regular updates at such intervals as

may be specified by the IDBI Bank with respect to services provided in terms of this

Agreement.

b. <VENDOR NAME>hereby agrees to ensure that high standards of care in performing the

Services in terms of this agreement and the IDBI Bank has the right to intervene with

appropriate measures to meet legal and regulatory obligations.

11. DEFAULT:

11.1 The occurrence of any one or more of the following events shall constitute a default

(“Events of Default”) by the IDBI Bank :

a. Failure to pay any sum due hereunder within thirty (30) days of when due; or

b. Breach of any provisions of this agreement; or

c. IDBI Bank becomes insolvent or files or has filed against it any proceeding in court

seeking debtor relief

11.2 Upon the occurrence of any of the Events of Default, <VENDOR NAME>, at its sole

option, may exercise any or all of the following remedies without terminating the

Agreement:

a. Demand in writing that IDBI Bank pick up the Stored Material by; or

b. Deliver the Stored Material to the Delivery Address, or if none specified, to the IDBI

Bank Address, or

c. Upon thirty (30) days advance written notice to IDBI Bank, <VENDOR NAME>may

destroy the Stored Material. (In this regard, the IDBI Bank recognizes that since Stored

Material has little or no market value, that sale of the Material would be impossible, and

destruction is the only way for the <VENDOR NAME>to mitigate its damage.)

11.3 The occurrence of one or more of the following event shall constitute a default (Events of

Default) by the <VENDOR NAME>

a. Breach of any of the terms of this Agreement by the <VENDOR NAME>

b. Failure by the <VENDOR NAME>to act or omitting to act or perform any of the

obligations required to be performed or agreed to be performed by it;

c. Any representations of the <VENDOR NAME>being proved erroneous or incorrect

d. The <VENDOR NAME>becoming insolvent or bankrupt or is wound up or a

Trustee or a Liquidator or a Receiver is appointed for the <VENDOR NAME>or a

substantial part on the <VENDOR NAME>’s property or any winding up

proceedings are initiated against the <VENDOR NAME>voluntary or otherwise, the

IDBI Bank is convinced of the inability of the <VENDOR NAME>to meet its

obligations under this Agreement.

e. The <VENDOR NAME>doing any act, deed or thing which in the opinion of the

IDBI Bank prejudices the rights of the IDBI Bank under this Agreement, the

<VENDOR NAME>having execution or sequestrian levied against its estate or any

of its properties are seized under any distress, execution or any other process.

11.4 Upon the occurrence of any of the events of default on the part of the <VENDOR

NAME>, the IDBI Bank at its sole option may exercise any or all of the remedies with

terminating the agreement:

a. Demand return of the Stored Material forthwith to the IDBI Bank.

b. Terminate this agreement forthwith.

The exercise by the IDBI Bank and/or the <VENDOR NAME>of any one or more of the

remedies provided in this Agreement shall not prevent the subsequent exercise by

<VENDOR NAME>or the IDBI bank as the case may be of any one or more of the other

remedies herein provided. All remedies provided for in this agreement are cumulative

and may, at the election of <VENDOR NAME>, or the IDBI bank be exercised

alternatively, successively or in any other manner and are in addition to any of the

rights provided by law. <VENDOR NAME>and / or the IDBI bank shall be entitled to

include all reasonable attorneys’ fees and costs incurred in connection with the

enforcement of this Agreement.

12. INTELLECTUAL PROPERTY RIGHTS:

As a part of this Agreement, the IDBI Bank as well as <VENDOR NAME>shall respect each

other’s intellectual property rights including without limitation, patent, copyright,

trade/service mark(s), trade names(s), trade secret(s) and logos. (hereinafter referred to as "the

Intellectual Property Rights")

12.1 <VENDOR NAME>agrees not to use or cause to be used the Intellectual Property Rights

of the IDBI Bank in any communication to a third party without explicit written

permission from the IDBI Bank.

12.2 <VENDOR NAME>agrees that all the work entrusted by IDBI Bank in terms of the

provisions of this agreement shall be the sole and exclusive property of the IDBI Bank.

12.3 <VENDOR NAME> further agrees that the name, trademark and/or logo of the IDBI

Bank shall not be used by <VENDOR NAME>or it's Staff, in any sales or marketing

publication or advertisement or in any other manner whatsoever without prior written

consent of the IDBI Bank.

13. TAXES:

13.1. <VENDOR NAME>shall be solely liable for the payment of all taxes, duties, fines and

penalties by whatever name called as may become due and payable any law, rules or

regulations as applicable from time to time in relation to the Services hereby agreed to

be rendered to the IDBI Bank .

13.2. The IDBI Bank shall be entitled to deduct tax at source on payments made to <VENDOR

NAME>in accordance with the applicable provisions of law. <VENDOR NAME>shall

be responsible to report any non-receipt of certificate of taxes deducted at source within

ninety (90) days of deduction of such taxes at source by the IDBI Bank.

14. INSURANCE:

14.1. <VENDOR NAME>shall maintain at its sole expense, throughout the tenure of this

Agreement and the extensions thereto, sufficient insurance coverage in respect of all

possible threats / losses that may result from the obligations under this Agreement.

14.2. It is expressly clarified that <VENDOR NAME>shall be solely liable for maintaining

sufficient Insurance coverage and the IDBI Bank shall in no circumstance be responsible /

liable for any risks that may arise due to any failure to comply with terms of agreement.

15. GENERAL PROVISIONS:

15.1. Waiver: Failure by the IDBI Bank at any time to enforce any obligation of <VENDOR

NAME>to claim a breach of any term of this Agreement or to exercise any power

agreed to hereunder, will not be construed as a waiver of any right, power or obligation

under this Agreement and it will not affect any subsequent breach and will not

prejudice the IDBI Bank as regards any subsequent action.

15.2. Severability: If any term or provision of this Agreement should be declared invalid, the

remaining terms and provisions of this Agreement shall remain unimpaired and will

remain in full force and effect.

15.3. Modification: No modification, waiver or amendment of any term or conditions of this

Agreement shall be effective unless and until it shall be reduced in to writing and

signed by the IDBI Bank and <VENDOR NAME>.

16. ASSIGNMENT AND SUB-CONTRACTING:

16.1. <VENDOR NAME>shall not assign, delegate, sub-contract or transfer any of its

responsibility or any right or obligation contained in this Agreement to any agent and /

or sub-agent without prior written permission of the IDBI Bank, which permission may

be denied by the IDBI Bank solely in the IDBI Bank’s discretion.

16.2. If such assignment is as a result of operation of any laws, then the IDBI Bank shall have

the option on such assignment to forthwith terminate this Agreement and <VENDOR

NAME>shall be liable to compensate the IDBI Bank for damages suffered by the Bank for

what would otherwise have been the remainder of the agreed tenure of this Agreement.

16.3. The IDBI Bank shall be entitled to assign/transfer part / all of its rights and benefits

under this Agreement to any person or entity without any intimation or notice or consent

of / from VENDOR NAME.

17. NON EXCLUSIVE AGREEMENT:

It is expressly agreed and understood between the parties hereto that :

a. this agreement is on a non-exclusive basis and <VENDOR NAME>does not have any

exclusive right to provide the Services to the IDBI Bank.

b. the IDBI Bank is free to engage as many companies/firms, to provide the Services at

IDBI Bank’s sole discretion;

c. <VENDOR NAME>will not have any objections to any such arrangements /

outsourcing by the IDBI Bank to any other companies / firms or otherwise.

d. <VENDOR NAME>shall also be at liberty to secure assignments from any other body

corporate or Bank.

e. COMPLETE AGREEMENT:

This Agreement supersedes any and all agreements, contracts or addenda relating to

the said Services performed by <VENDOR NAME>. This Agreement together with all

the Schedules is entire in itself and cannot be changed or terminated orally. No

modification of this agreement shall be binding unless communicated in writing and

signed by the Bank and <VENDOR NAME>.

18. INDEPENDENT SERVICE PROVIDER:

18.1. This Agreement is on a principal to principal basis and does not create any employer-

employee relationship.

18.2. <VENDOR NAME>shall provide the Services hereunder as an independent service

provider and nothing contained herein shall be deemed to create an association,

partnership, joint venture or relationship of principal and agent or master and servant, or

employer and employee between the IDBI Bank and <VENDOR NAME>.

18.3. <VENDOR NAME>and its Staff or its agents have no authority to bind the IDBI Bank in

any manner by any action / representation whatsoever.

19. INDEMNITY:

19.1. <VENDOR NAME>hereby agrees and undertakes to indemnify, keep indemnified

and hold harmless the IDBI Bank and its employees against all claims, demands,

damages, penalties, costs or expenses of any kind whatsoever which may arise

against or be incurred by the IDBI Bank or its employees as a result of any act,

omission or commission, negligence or any other reasons whatsoever, on the part of

<VENDOR NAME>or any of the its Staff.

19.2. In any event <VENDOR NAME> liability to indemnify IDBI Bank, for any loss,

damage, liability or destruction suffered or incurred by IDBI Bank as a result of

Commission & or omission of any act by <VENDOR NAME> shall be limited as

below

a) Important Documents (Account Opening Forms, KYC Documents): The actual loss or

cost incurred by the Bank with a maximum of previous 3 months bills paid by IDBI Bank to

<VENDOR NAME>. Such liability in any financial year (April to march) shall not exceed 6

months total bill of <VENDOR NAME> paid by IDBI Bank under the contract.

b) All other documents (other than mentioned at (a) above): the actual loss incurred by IDBI

Bank or Rs.45/- per document lost, whichever is lower.”

20. TERMINATION:

20.1 Without prejudice to the provision of clause 2 of this agreement, the IDBI Bank may

terminate this Agreement, by giving 90 days notice in the event of breach of this

agreement by <VENDOR NAME>.

20.2 The termination of this agreement shall not affect the rights, remedies and

obligations of the parties accruing prior to such termination.

20.3 Notwithstanding the aforesaid, this Agreement may be terminated by IDBI Bank

before the term of this agreement by giving the <VENDOR NAME>30 day’s prior notice

in writing.

20.4 The provisions of this Article shall not preclude the IDBI Bank from recourse to any

other remedies available to it any statute or otherwise, at law or in equity.

20.5 <VENDOR NAME>shall upon termination of this Agreement forthwith hand over to

the IDBI Bank all documents, material and any other property belonging to the IDBI Bank

including any confidential information.

21. EVENTS OF BREACH:

a. Non observance of the provisions of this Agreement by <VENDOR NAME>,

b. Negligence on the part of <VENDOR NAME>in rendering the services,

c. In the opinion of the IDBI Bank, the performance of <VENDOR NAME>is not in

accordance with the service standards expected,

d. In case <VENDOR NAME>fails to meet its debts as they become due, or a petition of

winding up is filed by or against <VENDOR NAME>, if <VENDOR NAME>fails

makes an arrangement for the benefit of its creditors, goes into liquidation.

e. if <VENDOR NAME>ceases to do business in a normal and customary manner.

f. if the rendering of the Services under this Agreement is illegal or violation of any law

for any reason whatsoever.

g. if in the opinion of the IDBI Bank, the interests of the Bank are jeopardized in any

manner whatsoever.

22 SURVIVAL OF PROVISIONS & RIGHTS:

22.1 The terms and provisions of this Agreement that by their nature and content are

intended to survive the performance hereof by any or all parties hereto shall so

survive any termination of this Agreement.

22.2 All rights and remedies conferred under this Agreement or by law shall be cumulative

and may be exercised singularly and concurrently.

23 SUCCESSORS:

This Agreement binds the heirs, executors, administrators, successors and permitted

assigns with respect to all covenants herein, and cannot be changed except by written

agreement signed by both the Parties.

24 ARBITRATION & JURISDICTION:

24.1 In the event of any dispute or difference of opinion between the parties arising

out of or in connection with this Agreement or with regard to performance of any

obligations by either party, the parties hereto shall use their best efforts to settle

such disputes or differences of opinion amicably by mutual negotiation.

However, if the same still remains unresolved, then such dispute, difference or

question in respect of this Agreement or the subject matter thereof, shall be

referred to for the decision of two persons as Arbitrators, one to be appointed by

each party. The Award of the Arbitrators shall be final and binding on the parties

and the provisions of the Indian Arbitration and Conciliation Act, 1996 or any

statutory modifications or re-enactment thereof shall apply to such Arbitration.

Any Legal Disputes shall be subject to Mumbai city jurisdiction.

All notices to be given pursuant to the provisions of this Agreement shall be sent by

hand delivery, registered mail, facsimile / fax or reputable overnight courier service to

the parties at the following address;

(a) IDBI Bank address:

IDBI BANK LTD, Regional Processing Unit 1st Floor, ABHILASHA Annex, 6, Royd Street, Beside RBI, NCC, KOLKATA 700 016

(b) <VENDOR NAME>address:

25.2 The address for notice may be changed by either party by giving notice to the other

party as provided herein.

25.3 Nothing in the aforesaid clauses shall affect any communication given by way of the

Internet or other electronic medium as otherwise provided in this Agreement for the

purpose of rendering the Services.

26. This Agreement is executed in one set; The original shall be retained with IDBI Bank and

Photo copy thereof to be kept with <VENDOR NAME>.
