Pulko ventili Ruše, LLC is a niche producer of high pressure valves for aggressive gases.

All high-pressure gas equipment is engineered and manufactured in the company.

The whole production is based … technology and the R&D process is supported with CAD software solutions.

The five product groups consist of: industrial and medical, aquaristic equipment, compressors, and products for cutting and welding.

Products are exported to _ EMU countries (% of revenues).

Main company production facilities and headquarters are located in Ruše (Slovenia) employing 22 people.

At the moment of selling a portion of equity the Company is 100% owned and managed by Aleš Pulko (the “Seller”).

About Pulko ventili Ruše, LLC

The Companies origin dates back to 1930 when it started producing accessories for technical gases.

Since 1st August 2007 the Company has been under 100% capital control of the new owner Mr. Aleš Pulko.

The company is headquarted in Ruše (Slovenia), employing 22 people, and manage 2.126.969 € of assets.

Whole production facilities are located in Ruše (Slovenia).

Main Company’s activities are:

- production of high pressure valves for aggressive gases;

- products for cutting and welding.

The Company sells to various industries: general industry, health services, metal production.

Reasons and rationale for the transaction

The owner of PVR kicked-off a new growth cycle based on an innovative new product and sees great potential for the whole product portfolio if the productions assets and sales force would be upgraded.

The objective of present owner is to share the Company’s potential in exchange for equity investment and market access capabilities.

Primary location – Ruše Production Facilities

Adress: Mariborska cesta 48A, Selnica ob Dravi, Slovenia Location: In small town, with 4.457 residents and near the railway station. The PVR is placed in the industrial zone, with free space for potential expansion. To the highway and Slovenian 2nd biggest town Maribor (with 94.318 residual) is faraway 15km, by good road link.

Plot: owned by PVR consist of two grounds with area of 936m2 (1) and 3.503m2 (2), total 4.439m2. Building: measures 2.336m2 (4) and was buld in 1988. Building material is concreate and reinforced concrete – walls and floor. Walls are plastered and painted. Central heating system. Building lies on plots 2 and 3. Plot 3 is owned by Institute of Welding Ltd., which is owner of a smaller share of space in the building.

Production and equipment Production Facilities

Production process in the PVR is in constant development and modernization. Products are manufactured by high quality machines that promise required accurancy and reliability. TRANSFER MACHINE CNC controlled with graphical programming, and all involved equipment and tools for processing of valve bodies. Production capacity is between 150-220 valve bodies per hour (depandes on valve complexity).

VALVE TIGHTNESS TESTING MACHINE This equipment is PVR`s own invention and production for 100% accurate valve testing. The assembled valves are put into place, pressurized to the required pressure and submerged in water. With this process is ensured quality of tightness. Every valve is tested before laving the company.

CNC TURNIN MASCHINE CNC controlled turning machines, some of them with double spindle, with turning diameter up to 50mm with automatic bar feeder. Production capacity is up to 100 parts per hour.

Production and equipment Production Facilities

ELECTROMAGNETIC VALVE TIGHTNESS TESTING MASCHINE Is own invention and production by PVR. It enables exptremly high accurate testing of electromagnetic valves or complex valved blocks. The equipment is made in a way various pressure range can be tested, low pressure (up to 10bar), high pressure (up to 300bar) or vacuum (up to -095bar). The assembled valve or complete valve block is tested with measuremenet of pressure drop on digita pressure sensors.

Engeneering All the high pressure gas equipment produced in PVR is own develop. The products are engineered in way, that esure 100% reliability and safety, which are two most important characteristic in this line of production.

Quality control The production is certified and controlled according to the TPED standard, issued on the base of Transportable Gas Equipment Directive 2010/35/EC, wich means:

That the PVR have implemented following control process:

o Entrance control, performed by employed controller; o Process control – self-control, performed by the workers at

individual working place, and controlled by the controller; o Final control – self-control, performed py the workers at the

assembley process, and controlled by the controller.

To assure the traceability of the production documentation, from the entrance of raw material into the production process, till the exit of final product;

That the employees are familiarized and consider all process that are stated in the Quality regulations, and that they are controlled by the controller;

That each proucst is subject of total pressure control, based on the intended prpose.
