    DEED OF TRUST

    This declaration of trust executed on this 10 th day of September, 2007 in the name

    and style of AMURTHA SAVAYAVA KRISHI PARIWAR.

    Whereas the autors are the members of a group of formers who have in their

    informal meeting resolved to form themselves in to a registerd body namely. A Public

    Charitable Trust for the furtherance of the objects described hereunder. The group hasauthorized 4 persons of its members to represent the group as the autoir and to observe

    the formalities connected with the formation and registration of the trust with appropriate

    registering authorities.

    And Whereas the autors is directed to creae a Trust to be registered as a publicCharitable Trust under the provisions of Indian Trust Act with the aims as mentioned

    hereunder thereby further and achieve the objectives of the organization now this deed oftrust witnesseth as follows.

    1) Name and address:

    (a) The trust name shal be Amrutha Savayava Krishi Pariwar, N.R Pura.

    (b) A office of the trust shall be situated at Danivasa durgamba Temple Guest house,Madabur Post, N.r. Pura Taluk in Chick magalur district in Karnataka state the office

    of the trust may be changed an other place with the consent of majority of the

    trustees.

    2) Aims and objectives:

    The Aims and objects of the trust shall be charitable in nature which include:

    1. To conduct and encourage cultural, educational, helath, agriculture, sports an

    dsoical activites in rural and urban areas.

    2. To conduct or assit in conducting such activities that helps the farmers an

    dmember sin cultivation, procession and marketing their products in national andinternational markets.

    3. To organize programmes for t sustenance and growth of science. Technology,

    environmental sciences, folk art and culture; to conduct research in this field andorganize connected programmes.

    4. To organize or conduct seminar conference demonstration, exhibition, workship,

    etc, to popularize science and technology in rural and urban areas.

    5. To propageae and to popularize the scheme and progrmmees sponsored by the

    government and toher organisaitons.

    6. To act as branches, divisions, franchises for any national or interntional institions,universities or such other organizations.

    7. To establish, maintain an dmanage a fund for helping needy urban or rural people.

    8. To develop civic sense amongst the people and to conduct research in problemsrelting to urban areas.

    9. To give stipend, award honorarium fellowship etc. in health, education, sports,

    ocdial and cultural fields.10. To establsihn, maintain and run hostels, guest houses, hospitals, free boarding

    houses, charitable organization of caste, creed or religion.

    11. To undertake and promote any type of rural development programs incuding

    projects of environmental and national importance like literacy drives, adulteducation, environmental awareness programs, mass marriaes, family planning,

    population contro, women welfare programs, national integration programmes for

    youth, public awreness programs for communal harmony, pollution control,

    (water, noise, air and environment). Undertaking relief works in times of naturaland other calamities like flood, earthquake, famine, war hostilities, communal

    riots and other distress.12. To establish maintain and run orphanages, old age homes, working women

    hostels, etc, for the needy people.

    13. To print, publish and distribute books, souvenir, agazines hand-outs brochers tec

    or encourage such activities.14. To start a website exclusively for te trust and its activities.

    15. To establish or run or assist in establishing or running educational institutions

    including schools, colleges, polytechnics, computer centers, technical institutes,industrial and other training centers, academies, cultural centers, libraries and

    reading rooms, museums, research institutions, auditoriums, exhibition halls

    gymnasiums, health clubs, entertainment resorts, community centers, medical aswell as other relief centers for the benefit of the genral public in the large rinterst

    of siocal welfare.

    16. The Co-operate an dcollaborate wit hother national or international organizationshaving similar aims an dobjectives.

    17. To conduct and enoucartge all such progrmmes which are not determintal to the

    aims and objectives of the Trust.

    18. To open, estailbhs, run, maintain, take over, let on lease, sell or otherwise transferbfranches at any palce or palces irrespective of geographical boundaries.

    19. To give donations to the charitable institutions provided that such institutions are

    eligible to get th eexemoiton U/S 80 G of the Income Tax Act 196.1.

    20. To train yong men and women in the rural and hiome industries and to provide a

    suitable marketing facility for them.

    21. To undertake any other activity incidential to the above aims.

    3. Activities:

    For the implementation of the above objects, the following advances shall beundertaken:

    a) To collect funds by way of subscripotions, contributtios, fees, charities, donations,grants, subsidies, loans, deposits etc, from trustees, the general public,

    Government State/Central, other Gov/Non-Govt. organizations and bodies

    corporate including foreign agencies and organizations.b) To acquire and hold, construct, sell, mortgage, dispose of, turn to account or

    otherwise to deal with all or any of the properties of the Trust, by way of purchase

    hire etc.

    c) To sell, lease, license, mortgage, exchange, gift, alienate, dispose off, develop,improve or turn into account anyof the properties or assets of the Trust as may be

    thought fit for, with a view to promote the objects of the Trust.

    d) To collaborate, join hands with similar institutions for the purposes and objects of

    the Trust.e) To take such other objects not inconsistent with the spirit of the Trust and the

    objects that th etrusteees may add to the above mentioned objects, having regrd tothe particular needs of the time and not inconsistent with the provisions of Income

    Tax Act, 1961.

    f) To promote, register, establish, run, takeover, transfer toher institutions for the

    fulfillment of the objects of the trust under any act.

    4. Membership:

    a) The membership of the trust shall be open to all those persons hailing from

    agricultural families, who have belief in the objectives and are interested inactivities of the Trust.

    b) In roder to admit a person into the trust the following broad guidelines aer to be

    observed.

    1) The applicant must be practicing organic farming in letter and spirit at least for

    the last three years.2) If te applicant is doing business, he must be dealing in only indigenous and

    organic products only.

    3) He msut adhere to the norms and conditions set by the Board of Trustee regardingthe practice of using organic material sinhis life style.

    4) He sold try in all respect to strengthen the dimensions of practices of agriculture

    and human life.5) He should abide himself by the tems and conditions setout by the Board of

    Trusteee from time to time.

    c) The admission to membership is at the sole discretion of the Board of Trutee of

    the Trust. They may admit any eligible person who fulfills all the formalities

    regarding membership.d) The founder members of the trust are empowered to admit new members and to

    fix their term of membership.

    e) The perso admitted to the membership of the trust shall ay the annual subscriptionas fixed by the Board form time to time within the stipulated time.

    f) The minimum and maximum numbers for membership is not fixed. It may be

    fixed at any time by the unanimous decision of the Board of Trustee in theirmeeting.

    5. Founder members:

    Following members ahll be the founder members of the trust as selected by the

    group of farmers in tiher informal meeting.

    1) Sri. K.D. Krishnappa Gowda S/o Late Duggappa Gowda, Aged about56 years, Madabur Post N.R. Pura Talul.

    2) Sri. B,R. Ravishankar S/o Late B.C. Ramappa Gowda, Aged abourt42 years, Madabur Post, N.R Pura Taluk.

    3) Sri, D.L. Venkatesh S/o Lae G. Linganna Gowda, Aged about 42

    years, Dwaramakki, B.H. Kaimara Post N.R. Pura Taluk.

    4) Sri. B.r Krishnakumar S/o Late B.C. Ramappa Gowda, aged about 36years, madabur Post, N.R Pura Taluk.

    And wheras for the above said purpose the author trustees desire dedicate and set

    apart Rs. 500-00 (Rupees Five hundred only) each a a token amount and shall had to this

    corpus nucleus such amount from time to time to enlarge the nucleus and to strengthen tocorpus amount.

    No wit is hereby declared by the author trustees of the trust as under, that theauthor trustees have contributed and endowed to the trust a total sum of Rs. 2,00-00

    (Rupees Two thousand only) irrevocably and permanently and said fund is hereby

    transferred and dedicated only infavour of the trust to form a nucleus of properties and

    funds of the trust.

    6. Board of Trustee:

    1) There shall be a Board of Trustee with the founder members as the initial

    members of the Board. Furhter they may co-opt the other members as and when

    necessary from among the trustees with their powers and rights defined and alsothe term of office ementioned.

    2) The Board of Trustee shall consist of not less than four persons and not more than

    twelve persons for the time being.

    3) The members of the Board shall be selected or elected by the members in the

    annual general meeting of the trustees held every year.

    4) The term of office of the Trustee shall be three years The retiring trustee iseligible for a next term.

    5) Office of a Trustee shall be honorary; but he shall be entitled to b epaid the actual

    expenses and charges incurred by him in attending to the activites and in carryingout of the objects of the Trust.

    6) If any of the Trustee vacates his office for any reason, the remaining Trustee, with

    the concurrence of the Authors may co-opt antoher eligible person as a trustee.Trustee vacating the office will lose all his rights and claims over Trusteeship.

    7) The office of the trustee shall be vacated.

    a) If he is absent at the meetings of the Board consecutively three times without

    the consent of the other Trustees and the other Trustees consequently resovle

    that he ceases to be a Trustee.

    b) If he is Trustee appointed by the Board for a specified period, onteh expiry ofthe said specififed period.

    c) If he acts against the interest of the trust or it activities, then on majority of theTrustee resolving to remove him in a meeting specially convened with a due

    notice to him in writing.

    7. Powers of the board of trustee:

    The day to day administration of the trust shal be vesed in the Board of Trustee.They shall haeg all powers, authority and discretion to carry out the instructions &

    directions of theBoard, to do all such acts, as are calculated t promote the objects, for

    which the trust is created. Without prejudice to the generalit of the powers inherent in theBoard, they shall hae the following powrs for the purpose of administration of theTrust.

    1. To take decisions relating to the administration of the trust and to give direction tothe office bearers to execute them.

    2. To take the decisions relting to the movable and immovable assets and properties

    of the trust.

    3. To accept in cash or kind, contributions, gift or donations form any one oand toaccept or execute trusts, which hae objects similar to this Trust.

    4. To enter into all contracts on behalf of the Trust and to rescind them.

    5. To institute, defend, prosecute or compromise any suit or other application in anycourt of law.

    6. To raise secured or unsecured loans from any banks, financial institutions or

    individuals or other institutions on such terms and conditions as may beprescribed there to.

    7. To appoint employees, on such terms and conditions as may be prescribed by the

    trustees and to take disciplinary action against them and to suspend or dismisss

    any employees.

    8. To maintain any construction or building of the trut and to keep them in good

    conditions by periodical repairs.

    9. To open accounts in any banks, Co-operatives and to perate and to close them asand when necessary.

    10. To take the decisions relating to the winding up or dissolution of the trust.

    11. To do all such acts which are not specifically mentioned herein above, but whichae found to be necessary for furthering the objects of the Trust.

    12. To appoint or dissolve Committees, Advisory Boards or Governing Bodies for all

    or any of its institions and delegate powers to such bodies or to some of theirmembers upon such terms and conditions as they may think fit.

    8. Office Bearers:

    a. There shall be a president, a Secrettary and a Treasurer elected from amongst the

    trustee having all the necessary power srequired for and incidental to the

    administration of the Trust. They shall be the executive officers of the Trust.b. Th eerm of office of the Officers shall be three years or such other priod as may

    be decided by the majority of the trustees and the retiring officer can offer himselffor another term.The office of the officers shall be on such terms and conditions,

    as may be prescribed thereto.

    c. The President or in his absence the Secretary shall preside vo ermeetings

    connected with the Trust & shall exercise such powrs with regard to the meetingas the Trust may delegate to him from time to time.:Decision shall be by majority

    of votes of t etrustees present, the Presient of the meeting having a casting vote

    incase of a tie.d. The Secretary shall be the Chief Executive of theTrust and shall be responsible

    for the day-to-day adminstraiton Subject to the direction and control of the Board,

    he shall b eincharge of the reoutine administration of the Trust, its properties andaffairs.

    e. The Secretary shall also be responsible to covney the meeting of the Board,

    orindary or emergent, maintains minutes, documents and records of the Trust,execute all the decisions and directions of the Board of Trustee.

    f. The Secretary may delegate any of his powers to other trustees for specific

    periods wit the prior permission of the Board.

    g. The Treasurer shall maintain the accounts, be accountable for all receipots &payments of the trust and he shall be in conformity with the decisions of the

    Board inall financial matters.

    9. Board Meetigns;

    1. The Secretaryor the President shall convene the meetings of the Board of Trustee

    as and when required.

    2. A minimum of four meetings shall be held every year and the gap between two

    meeting shall not be more than six moinths.

    3. The meetings quorum shal be two trustees present and voting.4. All the decisions shall be by the majority votes of trustee present an dvoting and

    the president of the meeting shall have a casting vote in case of a tie.

    5. No quorum shall be required for a meeting adjourned for want of quorum6. The meeting of the Board of Trustee of office bearers shall be called as and when

    necessary giving notice of at least 24 hours.

    7. In case of emergency, when any specific point is to be decided, such matter maybe decided by circulation of resouliton.

    8. The Seretary shall cause the minutes of the Boards meetings to be duly recorded

    in a book specially kept for the purpose as early as possible after the close of the

    meeting and in no case later than fourteen days.9. If any member of the Board desires to refer to the confirmed minutes, he shall be

    allowed to do so at theoffice of Trust during working ours on any day

    10. General meetings:

    1. The general meeting of the trustees or the members shall be held at least once ina year to discuss and decide the following matter.s

    a. Annaual activities report.b. Audited Staements of Accounts,

    c. Budget for the next financial year,

    d. Appintment of Auditorse. Eleciton of members of the Board of Trustee, if necessary,

    f. Any other subjects in the agenda as eprthe meeting notice.

    2. Secretary or the president shall convene the genral meetings with the concurrence

    of the Board of Trustee.

    3. All the decisions shall be by the majority votes of the trustees present and votingand the President of the meeting shall have a casting vote incase of a tie.

    4. A 14 clear days notice shall be issued and served to the members and the notice

    shall contain, among other matters, the matters to be discussed and decided at the

    meeting.5. In cse of emergency, when any specific point is to be decided, such matter may be

    decided by circulation of resouton.

    6. The Secretary shall cause theminutes of the general meetings to be duly recordedina book specialy kept for the purpose as early as possible after the close of the

    meeting and in no case later than fourteen days.

    7. If any member of the trust desires to refer to the confirmed minutes, he shal beallowed to do so at the office of Trust during working hourse on any day.

    11. Idnemnity:

    The trustees shall be kept fully indernifiefd and harmless by the trust against any

    loss suffered or lliablity arising agaaisnt them for anyting done by them in good faithpursuant to powr and authority conferred onthem by this deed.

    12. Bank Accounts:

    The trust shall opoen a suitable banking account ias decided by the Board of

    Trustee intheir meeting and the said bank account shall be operated by any two of thethree officers of the Trust, namely, the President, the Secretary and the Treasurer. The

    authorized signatures to oeprte the bank accounts may be changed at an time by a

    majority decision of the Board with a notice to the Bank to that effect

    13. Vacatoin:

    The membership of a trust shall be vacated:-

    1. If he dies or found to be liunatic or person of unsound mind.2. If he filed a petition for insolvency or if any insolvency or receiving order made

    against him.

    3. If he r3esign sfrom the trusteeship by giving notice in writing.

    4. If he is absent at the annual general meetings of the Trust consecutively threetimes witout the leave of absence and the Trustee consequently resolve that he

    ceases to be a trustees.

    5. If he is trustee appointed by the Board for a specified period, on the expirty of thesaid specified period.

    6. If he acts against the interest of the trust or its activities, then on majority of the

    Trustee resolving to remove him in a meeting specially convened with a duenotice to ihm in writing.

    7. If he has not paid his subscriptions fixed by the Board within the time stipulated.

    1.4 Investments:-

    To convert and deal with investment comprised in the Trust Fund and or to carrythe investment for the time being. The funds of te Trust shall not be invested gainst the

    provisons of Sections 11, 12, 13 of te Indian Income Tax Act 1961. Assets of the Trust

    shall be utilized for the purpose of general public irrespective of caste, creed, religion sexand community subject to with in the objectives of the Trust. No member or office

    bearers or members of the Trust shall be alloed to take financial benefit out of the funds

    of the Society.

    15. Accounts and Audit:

    The Treasurer shall cause to maintain true and correct accounts of the trust funds

    and such accounts shall be closed once in a year on 31st March. Within three months of

    the close of the accounting year, a statement of receipts and payments, income andexpenditure account and balance sheet be got audited by a Chartered Accountant and it

    shall be placed before the meeting of the trustees within a period of six months.

    16. Amendments/alteration of bye law:-

    The Bye-Laws can be alterd by means of the resolution passed with not less than75% of the votes in favour of the resolution of members present at a general body

    meeting. The alteration of Memorandum of Associaiton shall be in accordance with

    Section 11, 12,13 and Section 80(G) of Income tax Act 1961.

    17. Utilisaiton of funds:-

    The funds an dIncome of the Society shall be solely utilized for the fulfillment of

    its objectives and no portio of it shall be utilized for distribution to the members by wayof profit, interest, dividends, etc.

    18,. Dissolution:

    In the event of the determination of the trust or dissolution for any reason, the

    trustees may make over or transfer the assets and properties remaining as on the date ofdissolution to a charitable institution or a trust whose objectives are msiliar to those of

    this trust and which enjoys recognition under Sectio 80G of the Income Tax Act 1961, as

    amended from time to time provided, under no circumstances the properties of the trust atthe time of dissolution or at any time shall be distributed amongst the trustees.

    All Indians, non residents Indian s irrespective of caste, creed, sec, religion andcommunity aer free to participate in the activities of the trust.
