Review written by Sir Adrian Cadbury, who in 1992 gave the world its first code on corporate
governance, was born in 1929; studied at Cambridge; joined the Cadbury business in 1952;
became Chairman of Cadbury Limited in 1965 and retired as Chairman of Cadbury Schweppes
in 1989. Sir Adrian was Chairman of the UK Committee on Financial Aspects of Corporate
Governance which published its Report and Code of Best Practices in December 1992. He
received the International Corporate Governance Network Award in 2001. His book, ‘Corporate
Governance and Chairmanship-A Personal View’ was published by Oxford University Press in
October 2002 and has been translated into Japanese, Chinese and Italian. In 2005 he was
awarded the Laureate Medal for Corporate Governance.
“I congratulate Professor Sharma on his latest book, Corporate Governance, Business Ethics
and CSR. In it, he makes a valuable contribution to the international literature on these
interrelated and important subjects and I am honoured that he should have dedicated his up-to-
date study of them to me.
Professor Sharma has an established reputation as an authority on international corporate
governance and we met when he was contributing to an International Corporate Governance
conference in Birmingham on the subject of his research into a major corporate governance
failure. His analysis of that failure brings out important lessons, not only for those responsible
for the governance of public companies, but for those running other types of organisation and
for those charged with regulating the governance of all manner of institutions .
While Professor Sharma’s case studies of corporate failure have an important part to play in
illuminating the role of governance in providing the basis for sustainable and profitable
businesses, he uses them as a practical introduction to the importance of governance in a
general and wider sense. He covers the origins and background of corporate law and
governance worldwide, drawing attention to the way in which differences of history and culture
have resulted in the individual approach to corporate governance of each country. All this is
brought to life by a very useful summary of the sequence of international reports on corporate
governance, including Indian initiatives in this field. The chapters on the proper role of boards
of directors in governing their companies explain why they are central to the maintenance and
raising of corporate governance standards.
He leads on from the duties of boards in the internal governance of their companies to the extent
to which their responsibilities have broadened into the fields of business ethics and corporate
social responsibility. These wider aspects of governance raise fundamental questions about the
role of business in society and therefore in the way in which the social as well as the economic
impact of companies on communities worldwide has moved up the public and political agenda.
A particular value of Corporate Governance, Business Ethics and CSR lies in its clarity, its
international scope and its comprehensiveness. It pulls together the different strands of the study
of governance and explains why governance has both broadened in its scope and increased in its
importance. As a result, Professor Sharma’s book is a contemporary guide to the subject as a
whole. Clearly his book will be of direct value to those studying and teaching the way in which
companies are and should be governed, but it will also be of value to those concerned with the
