Review written by Sir Adrian Cadbury, who in 1992 gave the world its first code on corporate

governance, was born in 1929; studied at Cambridge; joined the Cadbury business in 1952;

became Chairman of Cadbury Limited in 1965 and retired as Chairman of Cadbury Schweppes

in 1989. Sir Adrian was Chairman of the UK Committee on Financial Aspects of Corporate

Governance which published its Report and Code of Best Practices in December 1992. He

received the International Corporate Governance Network Award in 2001. His book, ‘Corporate

Governance and Chairmanship-A Personal View’ was published by Oxford University Press in

October 2002 and has been translated into Japanese, Chinese and Italian. In 2005 he was

awarded the Laureate Medal for Corporate Governance.

“I congratulate Professor Sharma on his latest book, Corporate Governance, Business Ethics

and CSR. In it, he makes a valuable contribution to the international literature on these

interrelated and important subjects and I am honoured that he should have dedicated his up-to-

date study of them to me.

Professor Sharma has an established reputation as an authority on international corporate

governance and we met when he was contributing to an International Corporate Governance

conference in Birmingham on the subject of his research into a major corporate governance

failure. His analysis of that failure brings out important lessons, not only for those responsible

for the governance of public companies, but for those running other types of organisation and

for those charged with regulating the governance of all manner of institutions .

While Professor Sharma’s case studies of corporate failure have an important part to play in

illuminating the role of governance in providing the basis for sustainable and profitable

businesses, he uses them as a practical introduction to the importance of governance in a

general and wider sense. He covers the origins and background of corporate law and

governance worldwide, drawing attention to the way in which differences of history and culture

have resulted in the individual approach to corporate governance of each country. All this is

brought to life by a very useful summary of the sequence of international reports on corporate

governance, including Indian initiatives in this field. The chapters on the proper role of boards

of directors in governing their companies explain why they are central to the maintenance and

raising of corporate governance standards.

He leads on from the duties of boards in the internal governance of their companies to the extent

to which their responsibilities have broadened into the fields of business ethics and corporate

social responsibility. These wider aspects of governance raise fundamental questions about the

Page 2: Major Publications of the Chairman of GRFCG (Prof Jai ... · Major Publications of the Chairman of GRFCG (Prof Jai Prakash Sharma) Book “Corporate Governance, Business Ethics &

role of business in society and therefore in the way in which the social as well as the economic

impact of companies on communities worldwide has moved up the public and political agenda.

A particular value of Corporate Governance, Business Ethics and CSR lies in its clarity, its

international scope and its comprehensiveness. It pulls together the different strands of the study

of governance and explains why governance has both broadened in its scope and increased in its

importance. As a result, Professor Sharma’s book is a contemporary guide to the subject as a

whole. Clearly his book will be of direct value to those studying and teaching the way in which

companies are and should be governed, but it will also be of value to those concerned with the

governance of a much wider range of institutions in the public and voluntary sectors. In

addition, it should be studied by those responsible for the regulation of companies and other

institutions.”

Review written by Stuart Locke who is Professor of Finance at the University of Waikato, New

Zealand and visiting Professor of Corporate Governance at the Institute of Public Enterprises,

Hyderbad, India.

“Professor JP Sharma you are a constant source of encouragement and when I see a scholarly

volume like this I really do think how fortunate students and scholars are to have such clear and

concise treatment of what is often a complex and dry topic. Your updates and revised treatment

make the subject matter easy to understand and for practitioners makes it clear what needs to be

done. I do hope it will be widely read as significant advancements in corporate governance are

needed if businesses are to fulfil their potential in the public and private sectors and increasingly

the hybrid, partially privatised public, sector entities.

In this neo-liberalisation period (Modinomics) an understanding of the key tenets of corporate

governance and how these apply are essential for India to go forward and reap the benefits in an

expanding world economy. Your book will resonate with readers and for me it plays a tune to

accompany the march forward to a greater prosperity for all. We need to ensure that all

stakeholders share in the pie and resources are neither wasted nor diverted for inappropriate

purposes.

This second edition bears testimony to the scholarship and diligence you have brought to the

task not only thoroughly revising material to bring it up-to-date but in adding new thoughts

which reflect current thinking. What I particularly like about this volume is that issues like

whistle blowing, corporate funding of political parties and shareholder activism are handled.

Too often newer issues seen as trendy get slipped into books without receiving the robust

analysis which you have applied.”

“I am pleased to write this message on Corporate Governance, Business Ethics & CSR, Second

Edition, by the Delhi School of Economics Professor J. P. Sharma, a renowned author and global

scholar of corporate social responsibility. His works and engagements in the area of ethics and

CSR are well known. It is so good to know that he has decided to share his wealth of knowledge in

Page 4: Major Publications of the Chairman of GRFCG (Prof Jai ... · Major Publications of the Chairman of GRFCG (Prof Jai Prakash Sharma) Book “Corporate Governance, Business Ethics &

this field with others. This book is a kind of compendium that covers anything and everything to do

with ethics and corporate social responsibility, globally. It has come out as an encyclopedia of

corporate scandals worldwide. This coverage includes Australia, Korea, India, Ireland, Italy,

Switzerland, UK, USA, and others.

It seems like anything in the area of ethics and CSR that has happened anywhere in the world,

Professor Sharma’s book has it. His analyses are very insightful and reflect the depth of his

knowledge and understanding of the subject. Likewise, his lessons for managers to avoid failures

of the type the past managers experienced are so practical that they have the potential to become

meaningful applications. In my opinion, just like its first edition, this book will also be a big

contribution to the field, most likely, even bigger that the first one. It is as thorough as the

knowledge Professor Sharma has on this subject.”
