1. Principles applicable to all delivery locations

1.1 Definition Husqvarna Logistics GmbH handles operative logistics for the HUSQVARNAGROUP at the following locations: Ulm, Laichingen and Hermaringen. Delivered goods are stored by our Incoming Goods department in a fully automated high bay warehouse, in bulk storage, shelf storage or special storage areas. The HUSQVARNAGROUP factories Niederstotzingen and Heuchlingen run their logistics operation under their own responsibility (GARDENA Manufacturing GmbH). Different regulations may apply to the factories in order to take the local circumstances into account. It is therefore necessary to observe the requirements listed below. In the event of failure to observe just one of these regulations, we will not accept the delivery or we will charge the costs thus incurred to the supplier / deliverer.

1.2 Safety data sheet For articles requiring a safety data sheet, or where such a sheet is required by the HUSQVARNAGROUP, this must be provided before the first delivery. The safety data sheet must comply with the format specified in ANNEX II of the REACH ordinance and must not be older than 3 years. The HUSQVARNAGROUP PNC (article) number must be printed on the first page of the safety data sheet. More than one PNC number per safety data sheet is permitted.

4

1.3 Deliveries / packaging regulations 1.3.1 Finished product Provided no other agreement has been reached between Husqvarna and the supplier as, for example, is generally the case with finished products (see point 1.4 Palletising plans), the following packaging regulations are to be observed: Consignments are to be delivered in sufficiently strong, pallet-compatible packaging which permits stock rotations by our personnel and must include complete shipping documents. Delivery is to be effected with vehicles suitable for ramps. Loose packages must not exceed a maximum weight of 30 kg. If possible, for safety reasons, homogenous stacking on the lorry is required. Exceptions can be made in the following cases:

- excessive weight - palletising plan does not permit it.

Goods packaged in high gloss cardboard boxes must be covered on top with a layer of cardboard. It must be ensured that this cardboard layer lies under the edge protectors and under the lashing straps. No projections are permitted (see Fig.).

1.3.2 Spare parts Provided no other agreement has been reached between Husqvarna and the supplier, the following packaging regulations are to be observed: Consignments are to be delivered in sufficiently strong, pallet-compatible packaging which permits stock rotations by our personnel and must include complete shipping documents. Individual articles must be delivered homogeneously within their packaging. Each package must be identified with an article number, a bar-coded article number and the number of articles it contains. These homogenous packages may be packed into an outer package, provided this is also labelled with a list of all article numbers and associated quantities. Delivery is to be effected with vehicles suitable for ramps. Single packages or outer packages must not exceed a maximum weight of 20 kg. If possible for safety reasons, homogenous stacking on the lorry is required. Exceptions can be made in the following cases:

- excessive weight - material master data sheet does not allow it - special agreements

Cover goods in offset box!

1.3.3 Raw parts and components Provided no other agreement has been reached between Husqvarna and the supplier, the following packaging regulations are to be observed: Consignments are to be delivered in sufficiently strong, pallet-compatible packaging which permits stock rotations by our personnel and must include complete shipping documents. The individual articles must be delivered homogeneously in their packaging. Labelling of dispatch boxes and pallets The label of a dispatch box must contain all data according to the following example:

• Husqvarna or GARDENA part number • Designation of the article • Number of packaging units • Number of sub-packaged units

The label shall be applied on the side of the load carrier or dispatch box and shall be well legible. The individual packages may not exceed a maximum weight of 12 kg. The packaging sizes per article number are to be agreed upon by recipient and supplier. This agreed quantity, type and size of packaging remains valid until further notice and must be adhered to regularly. Husqvarna obtains raw parts and components in standardised containers (small load carrier system KLT according to VDA standard). The use of these KLT's is agreed upon by recipient and supplier, ensuring a proper organisational process such as the provision and exchange of containers. Delivery of packages: Delivery is to be effected with vehicles suitable for ramps. The outer packaging shall not exceed a maximum weight of 30 kg. If possible for safety reasons, homogenous stacking on the lorry is required. Exceptions can be made in the following cases:

- excessive weight - special agreements

1.4 Palletising plans and packaging instructions Agreement between the purchasing department of Husqvarna and the supplier / deliverer.

1.5 Securing loads In accordance with the palletising plan and standard load securing procedures, the stability of the pallets over a transport distance of at least 2,000 km must be ensured. The goods in the pallets must not bulge or be damaged.

6

1.6 Fumigants and outgassing goods Where fumigants are used, the supplier / importer must ensure that fumigated containers are registered and declared. A release certificate for the release of fumigated containers must be enclosed with the shipping documents. The supplier must ensure the concentration of gases used in production processes (benzol, formaldehyde, trichloronitromethane, 1,2-dichloroethane etc.) as well as fuel residues are not hazardous to health on delivery to Husqvarna. Costs for measurements, experts and measures for elimination of the hazardous condition are to be borne by the supplier.

1.7 Transport containers If cargo carriers / containers are provided by Husqvarna, these are to be requested or collected in time by the supplier so that the specified delivery dates are met.

1.8 Shipping documents Delivery notes and shipping orders are to be drawn up correctly. A set of delivery notes and all other necessary accompanying documents (customs papers EUR1, T1, CMR, invoice) are to be attached with every forwarding order. The following information is required on the delivery notes: Order number Article number Article designation Quantity supplied Number of packages Delivery note number

1.9 Loading aids / dimensions / securing of load (1) Unless otherwise agreed, only replaceable, undamaged 'Euro Pool' pallets with control

clamps (as per UIC standard 435-2) may be used.

(2) The weight of a loaded Euro pallet must not exceed 450 kg, unless otherwise stated in the palletising plan / packaging instructions (see 1.4).

(3) The pallets delivered must not have overhangs on any side. Lashing straps, labels, sheets, etc. shall not protrude unless otherwise mentioned on the palletising plan / packaging instructions (see 1.4).

(4) Plastic films may only be used if this is specified in the palletising plan / packaging instructions (see 1.4). In the case of goods secured with stretch film, it must be ensured that the complete Euro pallet remains free. The protective packaging and anti-slip protection must only be secured with corrugated cardboard, lashing straps (as per palletising plan / packaging instructions) and strong edge protectors! Stabilisation must be carried out so carefully that transport by lorry over long distances is possible without slipping and crushing of the pallet packaging.

(5) The height of any single pallet shall not exceed 110 cm unless otherwise recorded in the palletising plan / packaging instructions.

(6) If corrugated cardboard pallet containers are used, the external dimensions of 1170 mm x 760 mm x height 920 mm must not be exceeded.

(7) If the properties of the goods require, other specifications for palletising and load securing may be agreed upon.

1.10 Load positioning (1) The pallets must be loaded onto the lorry in longitudinal direction so that the latter can be

unloaded from behind (see Fig.).

(2) Finished goods and raw materials must be separated in the lorry allowing the control

centre to steer the goods to 2 different unloading points. The background being that our raw materials warehouse has a different unloading point to the finished goods warehouse. This implies that raw materials and finished goods require a separate delivery note.

Flat pallet

1.11 Condition of loading aids

Flat pallets are not exchangeable if a) a board is missing, crooked or broken transversely (1), b) more than two base edge or top edge boards or a transverse board are so splintered that

more than one nail or screw shaft per board is visible (2), c) a block is missing, so broken or splintered so that more than one nail or screw shaft is

visible (3), d) the main markings are missing or are illegible (4), e) obviously unauthorised components have been used for repair (too thin, too narrow, too

short boards or blocks)

f) or the general condition is so poor that the load capacity is no longer ensured (crumbling, rotten or several splintered boards or blocks).

1.12 Loading aid replacement The Euro pallets and the official railway lattice box cages are generally replaced if not otherwise agreed. The supplier ensures that his forwarder replaces the tendered loading aids. Husqvarna manages a pallet account for every supplier, which is settled every month. If the replacement is not handled by the forwarder, for whatever reason, the supplier bears the costs for separate return.

9

1.13 Master data 1.13.2 Finished goods We require master data in order to collect the delivery. In detail, these are the article number, the dimensions of the box, the contents of the box in pieces and the gross and net weight per piece in grams. These data are to be supplied to Husqvarna one week before initial delivery based on the form specified in the following. The supplier will then receive a palletising plan which is valid for this article until further notice.

1.13.1 Spare parts We require master data in order to collect the delivery. In detail, these are the article number, the dimensions of the article, the contents of the box in pieces and the gross and net weight per piece in grams. These data are to be supplied to Husqvarna one week before initial delivery based on the form specified in the following.

1.14 Labelling 1.14.1 Finished goods The individual finished goods and the packaging units must be clearly and visibly marked with the complete and correct Husqvarna article number, designation, quantity, EAN code and serial number. Handling of EAN codes:

• The EAN code must have a certain level of legibility.

• The EAN code must be adapted on every packaging unit (e.g. EAN code on packaging unit 1 must be different to packaging unit 4).

• Only 13-digit and 9-digit EAN codes may be used.

• The label of the EAN code must not be glossy, in order to prevent possible reflection on our scanners.

• This label must not be damaged in any way either, in order to ensure legibility of the EAN code.

• The label must not be rippled, as the EAN code is then broken up and cannot be read.

In the case of finished goods, marking is required in accordance with the product features. No mixed pallets may be delivered without written permission. If permitted, these must be marked accordingly.

12

1.14.2 Spare parts The individual articles and the packaging units must be clearly and visibly marked with the complete and correct Husqvarna article number, designation and quantity. Also a bar-coded article number must be affixed to the smallest possible packaging unit. If available, an EAN code and the serial number must be affixed to each article. Affiliated companies who have access to PAID must check to ensure that an EAN code is indeed available.

Handling of bar-coded article numbers:

• Bar-coded article numbers must ensure a certain level of legibility.

• The bar code must match the article number and its code shall not deviate from the article number.

• The label of the bar-coded article number must not be glossy, in order to prevent possible reflection on our scanners.

• This label must not be damaged in any way either, in order to ensure legibility of the bar-coded article number.

• The label must not be rippled, as the bar-coded article number is then broken up and cannot be read.

1.14.3 Raw parts and components Designation of single unit packages Single unit packages must contain the following data:

• Husqvarna or GARDENA part number (Font size 12 mm) • Designation of the article • Number of packaging units • Production date (if requested)

1.15 Incoming goods inspection With every delivery of an article, an incoming goods inspection is carried out by Husqvarna. This is carried out by random sampling. If a fault is revealed by the incoming goods inspection, the following steps are initiated by Husqvarna: - Introduction of an 8D process for the supplier - Introduction of a process to record all costs incurred due to the failure.

13

1.16 Charging of costs for supplier / deliverer error The supplier must ensure that the goods reach the delivery location in proper condition. Goods delivered damaged can be returned at the expense of the deliverer or invoiced. Husqvarna points out that undamaged goods belonging to a damaged consignment can also be rejected. For all non compliant deliveries that arrive at Husqvarna, i.e. all articles that do not correspond to the specified design or its requirements (see all points listed in the delivery regulations), the supplier will be charged for the expenses incurred. The additional expenses incurred by Husqvarna will be charged to the supplier according to the table listed below. In the case of damage to the goods or the packaging, a flat rate of 20 % of the value of the goods will be charged.

In the event of failure to observe one of the points of these delivery regulations, the supplier will be invoiced for the following costs: 1. Stabilisation € 5.00 / pallet 2. Stabilisation and re-packaging € 10.00 / pallet 3. Stabilisation, re-packaging and disposal of pallet € 15.00 / pallet 4. Processing crate/wooden boxes/etc. € 15.00 / pallet 5. Processing pallets € 2.50 / pallet
