Note: UNICELL® products are not included in the Haworth LockProgram; locks cannot be retrofitted nor keyed alike to matchHaworth lock plugs or keys.

Locking Components ShippingFormat

Locking components in all Haworth systems, casegoods, files and storage furniture are shipped with thelock housings factory-installed in each unit ready to receive separate lock plug cores. Lock plugs are fieldinstalled by means of a control key. Lock plugs and keys will be shipped with random numbering unlessthey are specified ‘‘keyed-alike’’. Quantity of locks will match quantity required for locking components onthe order.

HW Lock Program All HW lock plugs and keys will be standard in a Master Lock Program. A Master Lock program allows forbetter management of the facility where one ‘‘Master Key’’ can be used by Facility Management to serviceall locking components within a facility. Individual offices can be keyed-alike and will receive single-keyaccess specific to the locking components within that workstation. Multiple locks in credenza componentsshould be keyed-alike for the convenience of single-key access. General storage or file areas may also bekeyed-alike so that individuals may have access to shared department documents or supplies.

To order new products within a workstation keyed-alike, the specifier should select the number of lockswithin the workstation and specify LSET quantities through Orderline. CSET lock plug and keys are tokey-alike existing product for reconfigurations.

On Site Lock Installation One Control Key for installing the lock plug will be included with each incremental order unit of up to 200locks. The control key is used to insert and remove the lock plug into the housing at the installation site.The control key cannot be used to remove a lock plug in the locked position from its housing. Additionalcontrol keys are available and should be considered for the convenience of installing locks in widelyseparated areas of a facility (see Keys Only, page 9).

Coding the Office Plan Each lock location should be identified graphically on the plan by a dash mark. Encode your office floorplan by using your own coding system to identify each workstation or area that requires keyed-alike locks.Remember that some furniture will have more than one lock — a double pedestal desk, for instance. Thecoded floor plan with office identification numbers and lock quantities and color code will be required at thetime of installation. The installer will be responsible for assignment of lock quantities based on this plan.

HW Lock Program The Haworth HW Lock Program is a Master Lock Program and offers the option to have workstations keyed-alike with 300 lock numbers. LSET keyed-alike lock plugs/keys are for new locking product orders only andare available at no charge.

For reconfiguration projects, there are CSET lock plugs and keys available at a nominal charge.

Work Sheet Preparation Photocopy the HW Lock Work Sheet to assist in specifying locks. This work sheet is for your convenience andis not to be submitted with your purchase order.

Using the Coded Office Plan Enter the workstation or area identification codes from the plan into the columns headed OFFICE NUMBERon the HW Lock work sheet. The work sheet can accommodate 100 location entries.

Specifying Keyed-Alike LockQuantities and Colors

NO KEYED-ALIKE NOTE:When no LSETS are specified,plugs and keys for the totalnumber of locking componentswill be shipped automatically.

Using the plan, count the number of locking components in each workstation. Enter the number of locks under‘‘QUANTITY’’ columns, taking into account the chrome or black finish, depending on lock finishes offered (referto page 14). When completed, each workstation should be assigned a quantity of LSETs. For file banks orstorage areas requiring a larger quantity of the same lock numbers, specify LSET-999.

A Master Key will need to be separately specified.Example:

Total the number of LSET quantities at the bottom of the work sheet. Transfer each total quantity to yourOrderline or written purchase order.

When specifying Keyed-Alike (LSETS): LSETS must be ordered for the total number of locking components.Only the quantity of LSETS ordered will be shipped. We do not ship based upon number of lockingcomponents on order.

LSETS ordered in excess of quantities required for new locking product on the order may result in the orderbeing place on hold.

As a final verification of quantity, review the plan carefully to be sure that all products with locks have beenidentified. Remember that desks, credenzas and storage units may have multiple locking components.

Line Item Entry Transfer the data from the work sheet to your Orderline or written purchase order. Enter the appropriate LSETcatalog numbers on your order, followed by finish option code -BP or -BL.Example:

Haworth will assign the lock numbers for all keyed-alike orders. Note: Specific key numbers cannot berequested.

Upon receipt of your keyed-alike order, Haworth will draw from our standard inventory of 300 lock numbers.Lock plugs will be shipped according to finish in sets per the quantity specified. HW locks and keys (Figure 3)will carry a stamped ‘‘HW’’ on one side with 1 through 300 on the other side as an indication of the‘‘HW lock’’program.

These Terms of Sale are part of a quotation,bid response, or other sales documentissued by Haworth, Inc., Haworth, Ltd.(‘‘Haworth’’).

These Terms of Sale do not cover productsmanufactured in North America shipping tonon-North American countries nor do theycover products manufactured in non-NorthAmerican countries shipping to NorthAmerica. For those terms of sale, pleasecontact Haworth’s Global Trade andCompliance Department at 616.393.3000 orthrough Haworth.com.

A. Ordering Information

Haworth sells its products on the terms set forthin these standard Terms of Sale:

ORDERS MUST BE SUBMITTED IN WRITINGOR ELECTRONICALLY (OrderLine) ASREPRESENTED BY A VALID PURCHASEORDER, WHICH INCLUDES PRODUCTTOTAL.

An order is not binding upon Haworth untilHaworth issues an order acknowledgment to thecustomer (the ‘‘Customer’’), which will includeprice information and an anticipated shippingdate.

1. Order Changes/CancellationsFor Specials, Customer’s Own Material(C.O.M.), finish matches, custom colors, customproducts, Master lock and key orders, andRUSH orders, no changes or cancellations areallowed 24 hours after order placement.Standard lock orders (key schedules) cannot bechanged if they fall within 2 weeks of theacknowledged ship date. All other productsrequire approval for changes or cancellations. Achange/cancellation fee may apply. ContactOrder Services for applicable charges.

Ship-to addresses changed within five (5)business days of shipment will incur fees tocover administrative costs due to re-labeling ofproduct and/or reconsignment fees with thecarrier.

Order cancellations are complete annulments oforders. Order changes are the deletion of lineitems or a change in size, color, quantity, ship-toaddress, or scope of work. There is no penaltyfor additions; however, any change may causethe order or the line items affected to berescheduled. Order changes involving additionalproduct and services which increase the valuemust be accompanied by an amended PurchaseOrder or other document as agreed.

ALL CHANGES MUST BE IN WRITING,REGARDLESS OF THE (DOLLAR) VALUE.CHANGES ARE NOT BINDING UPONHAWORTH UNTIL HAWORTH ISSUES ANACKNOWLEDGMENT OF THE CHANGE.

2. C.O.M. (Customer’s Own Material)A Customer who requests a fabric, surface orfinish material (C.O.M.) not in Haworth’sstandard finish offering must first confirm

approval of or request new approval for theC.O.M.

Haworth will determine feasibility of the materialfor manufacturability. For a description of theprocedure to submit C.O.M. samples, contactHaworth’s Order Services department. Fortesting information, see the C.O.M. section of thecatalog, or call Haworth Order Services.

If Haworth agrees to use the C.O.M., (1)Haworth shall have no responsibility for thecondition, quality, value, performance, physicalproperties, or any other aspect of the C.O.M.;and (2) Haworth shall have no liability for anydamages, injuries, or losses to the Customer orto any third party that shall be caused by anyC.O.M., and the Customer shall hold Haworthharmless for all such liability.

3. Valid/Complete Purchase OrderThe following information is required in order toprocess an order with Haworth:

a. Customer Informationi. Sold To: Legal name, complete address

(if Haworth is to bill the end user, provideend user Purchase Order made out toHaworth, Inc., Haworth, Ltd.) and phoneand fax number.

ii. Ship To: Legal name and address.

iii. Purchase Order Number: From the partyHaworth will be billing.

iv. Authorized Signature: All PurchaseOrders must be signed by a dulyauthorized representative if a signature lineis present. Electronically transmittedPurchase Orders will be accepted withouta signature if dealer billed and the dealerhas an electronic purchase paymentagreement on file.

v. Contact Name and Phone Number:Person Haworth should contact with anyquestions regarding the order.

vi. Shipping Contact: Name and phonenumber of person to be contactedregarding shipping and delivery matters.

vii. Tagging Instructions: This information willappear on all documentation received fromHaworth including: cartons,acknowledgments, and invoices. Normally1 tag is allowed per $8,000.

viii. Price Agreement or National SalesAgreement Number

ix. Product Total: Net dollars.

vii. A deposit may be required for custommaterials.

c. Order ConfirmationAll orders will be acknowledged.

B. Pricing Policies

1.Terms of PaymentTerms of payment and credit limits will beestablished based on financial information.Standard payment terms on open credit are netthirty (30) days from invoice date. Advancepayments or other payment security may berequired by Haworth. The account balance mustbe at or below the credit limit and current at alltimes (no past-due balances). Haworth reservesthe right to delay or cancel any shipment to aCustomer whose Haworth account balance isover the credit limit and/or past due. For wallsand floors a deposit will be required.

2.Terms of CreditCustomer hereby authorizes Haworth to obtainsuch credit reports, financial information or otherinformation as Haworth may request, including,without limitation, credit information from anyfinancial institutions or others having a businessrelationship with the Customer. Customer herebyauthorizes any credit references to answerHaworth’s inquiries and provide such creditinformation and documentation as Haworth mayrequest.

The Customer hereby releases and holdsHaworth harmless for any inconveniencewhatsoever, caused by any temporary orpermanent withdrawal or restriction of creditprivileges hereunder, or the enforcement of anyof the provisions contained in this paragraph.

3. Past-Due ChargesPast-due balances will be increased by amaximum of 1.5% per month, or 18% annually,without forfeit of Haworth’s right to immediatepayment.

4. Applicable PricesPrices and discounts are subject to changewithout notice or approval. In the event of anadjustment to pricing, National Sales Agreement(NSA) Customers will be notified in advanceaccording to the terms of the NSA.

Applicable prices are those in effect at the timeof the RECEIPT of an order; Haworth reservesthe right to use the published pricing effective atthe time of shipment, if the requested shippingdate is more than 120 days after the orderreceipt date.

The price of any product sold to Customer byHaworth will be based upon the price for theproducts as follows:

6.Taxesa. U.S.A.: Haworth prices do not include anysales, use or similar taxes. The Customer isresponsible to remit directly to Haworth all suchtaxes when invoiced.

b. Canada: Prices listed in the Canadiancatalogs include applicable customs duty. Pricesdo not include the Federal Goods and ServicesTax or any provincial or other sales taxes. Anyfederal, provincial or other taxes or assessmentsbased upon the sale or shipment of products orservices sold applicable to the Customer atpresent or later imposed by federal, provincial ormunicipal agencies, shall be added and paid bythe Customer.

c. Mexico: Prices listed in the U.S.A. catalogsdo not include customs duty, value added or anyother tax with respect to the sale, use,ownership, or value of any product or serviceprovided by Haworth. Customer is responsiblefor all such taxes.

NOTE: For all countries a valid sales taxexemption certificate must be approved by andon file with Haworth prior to product shipment.Otherwise, sales tax will be due and payable toHaworth when such tax is invoiced to Customer.

7. ServicesIf, as a result of Customer request, the Haworthdealer or Haworth subsidiary provides planning/design services, storage, project management,special handling, set-up, installation and/or otherservices, the Customer will be charged at thelocal Haworth dealer/subsidiary’s prevailingrates.

8.Termination by HaworthHaworth may immediately terminate an orderupon written notice in the event bankruptcy orinsolvency proceedings are instituted by oragainst the Customer, or the Customer isadjudicated as bankrupt, becomes insolvent,makes an assignment for the benefit of creditors,or proposes or makes any arrangements for theliquidation of its debts, or a receiver or receiverand manager is appointed with respect to all orany part of the assets of the Customer.

C. Shipping and Delivery

Haworth will have the right to determine themethod of shipment and routing of product.

This section does not apply to Haworth’sTecCrete or TecFlor products. TecCrete andTecFlor are sold freight collect.

If, for any reason, a delivery has to be made toan intermediate location (i.e. a location otherthan the ‘‘Ship To’’ location noted on the order orultimate end user location), all handling andre-delivery costs incurred would be at theCustomer’s expense.

1. U.S.A. - ContiguousAll deliveries will be CPT (Carriage Paid To)(ICC Incoterms 2010) Haworth’s manufacturingfacilities or distribution centers. Freight chargeswill be prepaid by Haworth on all orders tolocations within the continental United States.Customer bears all risk of loss or damage to thegoods when they are placed on Haworth’smeans of transport.

2. U.S.A. - Non-contiguous (Alaska, Hawaiiand Puerto Rico)All deliveries will be CIF (Cost, Insurance andFreight) (ICC Incoterms 2010). Haworth’scatalog prices include ocean freight andinsurance to the port of the final destination.Haworth has the right to determine the carrier,method of shipment and routing. Haworth willcontract with the insurer and provide minimalinsurance coverage (CIF @ 110%) madepayable to the Customer. Customer isresponsible to obtain greater insurance if sodesired.

Customer bears all risk of loss or damage to thegoods when the goods are effectively at thedisposal of the Customer on board the vessel atthe named port of destination. Proof of deliveryis a clean on board bill of lading. Customer willbe responsible for all on-carriage from thereceiving port to the final destination.

3. CanadaAll deliveries will be DDP (Delivered Duty Paid)(ICC Incoterms 2010). Haworth’s catalog pricesinclude delivery to Customer’s named place, notunloaded from any arriving means of transport.Customer bears all risk of loss or damage to thegoods when they are delivered to theCustomer’s named facility not unloaded.Haworth will assume responsibility to file allfreight claims with the carrier for anyloss/damage which may occur while product isin transit, and will promptly repair or replace anydamaged or lost product. Haworth requires theCustomer to report all freight damage and/orloss to both the carrier and to Haworth.

NOTE: Under all shipping terms (U.S.A. andCanada), any additional expense resulting fromCustomer’s request for expedited transportation,special services, packaging, handling, routing,and/or shipping method will be billed toCustomer.

4. MexicoAll deliveries will be DAP (Delivered to Place)(ICC Incoterms 2010). Haworth’s catalog pricesinclude freight charges for normal surfacetransportation to a United States point ofexportation within the 48 contiguous states.Haworth has the right to determine the carrier,method of shipment and routing.

Customer bears all risk of loss or damage to thegoods when the goods are delivered to thenamed United States point of exportation.Haworth will provide customs clearancefacilitation and arrangement of local deliverythrough an Authorized Dealer in Mexico, on aseparately negotiated basis. Otherwise theCustomer will be responsible for all customsclearance formalities and on-carriage from theUnited States point of exportation to the finaldestination in Mexico.

5. Ship Dates and DelayIf Haworth cannot ship products as scheduleddue to causes beyond its reasonable control(such as casualty, labor disputes, or accident;inability to obtain necessary labor, material ortransportation; or changes requested by theCustomer), the ship date will be extended tocompensate for the delay as determined byHaworth.

6. Delivery Shortages and DamageProduct shortages and damage must be notedon delivery receipts at the time of delivery andreported to the carrier for correction.

Claims against Haworth for shortages, errors, ordamage must be made within three (3) days ofthe date of delivery or the Customer waives theright to make such a claim. Signed Bill ofLadings or Delivery Receipt must be sent in withclaims.

7. StorageHaworth may transfer product to storage at theCustomer’s risk and expense if the Customer isunable or unwilling to take delivery of product asoriginally scheduled. Upon such transfer tostorage, the Customer assumes risk of loss.Haworth will invoice the Customer for storagefees and the Customer will make payments inaccordance with Haworth’s standard paymentterms.

D. General Terms

1. Governing LawFor products purchased for delivery in the U.S.pursuant hereto, this Agreement shall begoverned by and construed according to thelaws of the State of Michigan. Where Productsare purchased for delivery in Canada pursuanthereto, this Agreement shall be governed by andconstrued according to the laws of the Provinceof Alberta. In either case, the parties attorn tothe exclusive jurisdiction of the courts ofMichigan and Alberta, respectively for thepurpose of hearing any disputes arising underthis Agreement or with respect to any Productssold pursuant hereto, and agree that theprovisions of the United Nations Convention onContracts for the International Sale of Goodsand any other provision or law which would havethe effect of applying the laws of any jurisdictionother than Michigan or Alberta, as the case maybe, shall be excluded.

2. Force MajeureIn the event that the performance of Customeror Haworth or its participating dealer assignee(s)would be prevented, restricted, interfered with orrendered commercially impracticable by reasonof Force Majeure, then upon the giving of noticeto the other parties, the party affected by theForce Majeure shall be excused from performinghereunder until the Force Majeure no longerprevents, restricts, interferes with, or renderssuch performance commercially impracticable.

‘‘Force Majeure’’ shall mean: fire, explosion,breakdown of plant, epidemic, hailstorm,snow/ice storms en route, hurricane, tornado,cyclone, flood or power failure; war, revolution,civil or military disturbances, acts of publicenemies, acts of terrorism, blockade orembargo; any law, order, proclamation,regulation, ordinance, demand or requirement ofany applicable governmental authority or anysubdivision, authority, or representative of anysuch government; labor difficulties, includingwithout limitation, strikes, slowdowns, picketingor boycotts; or difficulties beyond Haworth’sreasonable control in obtaining necessary rawmaterials, labor, fuels and electric power,components or facilities, and any othercircumstances beyond the control of the partyaffected.

3. Delays by CustomerWhere Haworth has not received adequate sitedimensions, Product specifications, shippinginformation, installation particulars or otherinformation required by Haworth to permit theefficient manufacture of any Products, or wheresite conditions are not in accordance with theInstallation Requirements set forth, or are nototherwise suitable to permit effective andefficient installation, the manufacture and/ordelivery of Products may be delayed, and suchevent shall constitute a delay by the Customer.When manufacture, delivery or installation isdelayed by the Customer or at the Customer’s

request: (i) Haworth may, at its option, presentthe invoice for the full price of the Products tothe Customer as then due and payable; (ii) theCustomer shall pay to Haworth all reasonablestorage, handling and other reasonableincidental expenses incurred by Haworth inconnection with such delay; and (iii) theCustomer shall bear all risk of loss or damage tothe Products being held by Haworth for theCustomer.

4. Use and Installation of ProductsHaworth recommends that its products beinstalled by certified, qualified and approvedinstallers according to Haworth’s writteninstallation procedures. The Customer agrees touse Haworth products properly; not to remove oralter safety devices, warnings, or operationinstructions placed on products by Haworth, andto instruct employees as to the proper care anduse of the products according to printedinstructions.

5. WarrantyHaworth’s standard North American LifetimeWarranty will apply as appropriate. All productline warranty specifics are available in eachcatalog or upon request.

E. Services

Service requests for design, installation,relocation, storage, etc. are handled by the localHaworth dealer on a separately negotiatedbasis. Contact the local Haworth dealer, affiliateor area sales office for more details.

Scope of Work - DesignCustomer acknowledges that the Products to bemanufactured or procured by Haworth inconnection with the order are or may be custommanufactured for the Customer and thatHaworth may be required to perform extensivework in relation to the design and specificationof such Products. Where Customer requests thatHaworth create as-built drawings or make morethan two material revisions to any particularProduct design or specification, Customeragrees that Haworth shall be entitled to invoiceCustomer with respect to such additional workon the basis of Haworth’s then prevailing ratesfor related design and specification services.

Installation RequirementsWhere installation services are to be providedby Haworth, its Authorized Dealer orsubcontractor, a document will be providedsetting forth the scope of installation work to beperformed (the ‘‘Scope of Work’’) and the priceto be charged therefore. Unless otherwisespecified in the scope of work, Haworth’sinstallation services are limited to products soldby Haworth with the exception of lighting, underfloor electrical and data.

General Conditions(a) Sufficient time shall be allocated by theCustomer following delivery of Products andprior to Customer’s occupation of the premisesto allow the installation of all Products duringconventional working hours, Monday throughFriday, 7:30 a.m. to 4:30 p.m. Where sufficienttime is not allocated and Haworth is required orrequested to perform installation work outside ofsuch times, overtime charges shall be chargedat Haworth’s then prevailing rates. (b) Haworthshall be given free and exclusive access to; (i) aloading dock within 150′ of the freight elevator orhoist, which loading dock shall be of sufficientsize to enable full-size tractor-trailer deliveries tothe premises (where required by Haworth); (ii) afreight elevator or hoist of sufficient size andcapacity to allow the efficient movement of theProducts; (iii) an unobstructed and safe pathwayto the area where Products are to be stored orstaged; (iv) a secure storage / staging area; (v)convenient trash facilities; (vi) adequate lighting;(vii) a work site that complies with applicablehealth and safety legislation. Where such areasand facilities are not available, Haworth shall beentitled to bill Customer for all amounts incurredby Haworth for double-handling, productmovement, lifting, hoisting, trash removal andany other resulting charges. (c) The installationsite shall be free and clear of existing furniture,debris, or other obstructions (includingconstruction in progress) and shall otherwise bein the reasonable opinion of Haworth ready forinstallation of the Products. Any building whereProducts are to be installed shall be fully closedin, dry and protected from the natural elements,with temperatures between 40°F and 90°F (4°Cand 32°C) and relative humidity not to exceed70% at all times including receipt of products,during and after installation and shall beadequately heated and/or air-conditioned.Where unusual site conditions exist whichimpede or prevent the normal installation of anyProducts, applicable extra charges shall apply atprevailing rates. (d) Haworth’s installation pricingis based upon the installation occurring as onecontinuous delivery and installation project.Phased installation pricing shall be provided byHaworth on a case by case basis. (e) Electricalhardwiring, plumbing and mechanical work isnot included and shall be the responsibility ofthe Customer. (f) Except as may be otherwisespecifically indicated, installation pricing doesnot apply to projects where union labor isrequired. Where Haworth has providedinstallation pricing on the basis that non-unionlabor be utilized, and where Haworth is requiredto use union labor or it otherwise becomesimpractical to use non-union labor, or whereHaworth is required by law to use prevailingwages, Haworth shall be entitled to charge theCustomer for any cost differential between theanticipated cost of non-union labor and theactual cost of utilizing union or prevailing wagelabor. (g) Haworth shall not be responsible forobtaining permits.

Project / Site ConditionsLateral load bracing is not included in the scopeof Haworth’s work and shall not be performed byHaworth. In areas where Nexus™ or TecCreteflooring Products are to be installed by Haworthoverhead construction must be completed priorto the commencement of such work to avoiddamage to the panels and finishes. The existingsubfloor must be smooth, mopped clean, free ofmoisture, dust, dirt and debris. Once installed,the access floor must be maintained in the samemanner. The subfloor must have a maximumvertical elevation deviation of 0.375″ (10mm)over a horizontal span of 10′-0″ (3m), andwithout discontinuities in floor slope. For greatercertainty, the scope of Haworth’s installationwork in such areas shall not be deemed toinclude any work required to level such subfloor,remove protrusions, remove pre-existing floorcoverings or adhesives, or any other work whichis required to remedy any conditions which mayimpede the efficient installation of Nexus™flooring. Except as may be otherwise specificallyindicated in the order, installation pricing forNexus™ flooring Products and the Scope ofWork in relation thereto shall not include anywork required to remove and replace floorpanels following their initial installation to providetradespersons or others with access to theunderpanel cable management cavity. In areaswhere movable walls are to be installed, allflooring (including carpeting) and ceilingcomponents (including dropped ceiling gridcomponents) shall be fully complete and readyfor the installation of the movable wall products.Further, the existing floor (or other surface onwhich the movable wall panels are to beinstalled) shall have a maximum verticaldeviation of 1.25″ (30mm) and the droppedceiling grid shall have a maximum verticaldeviation of 0.375″ (10mm) from thespecifications to which such movable wall panelswere designed and manufactured (collectivelythe ‘‘Permitted Tolerances’’), and shall otherwisecomply with any site condition assumptionsmade known to Haworth prior to themanufacture of such Products (the ‘‘SiteAssumptions’’). Where the Permitted Tolerancesor Site Assumptions are not strictly adhered toor met, additional charges may be incurred inconnection with site remediation and/or themodification or remanufacture of affectedmovable wall products, together with all resultingshipping and labor charges at Haworth’s thenprevailing rates for such Products and services.

Installation Change OrdersWhere Customer requests work to be performedor materials to be provided which are notcontemplated in the Scope of Work, orCustomer otherwise requests Products orservices not contemplated in the order(collectively ‘‘Extras’’), prior to providing suchExtras Haworth reserves the right to require theCustomer to provide and sign a writtenPurchase Order or Change Order acceptable toHaworth describing the Extras and the amounts

to be charged therefore, and the Customeragrees to pay such charges.

Entire AgreementThe order and this Agreement (includingapplicable Schedules) constitute the soleagreement between the parties and supercedeany prior understanding or written or oralagreements between the parties (excludingNational Sales Agreements). No waiver of any ofthe provisions of these Standard Terms andConditions shall be binding on Haworth unlessexpressly agreed in writing.

This North American Haworth Product Non-Obsolescence and Warranty Policy (the “policy”) applies to products manufactured after August 1, 2013. Forproducts manufactured before this date please refer to the policy published in the NA Price List when purchased or contact your local Authorized HaworthDealer*. All Haworth products are warranted for 24 hour / 7 day use over the length of the Applicable Warranty Period as set forth below.

Haworth, Inc. or Haworth, Ltd., (each called “Haworth”) will make a good faith effort to maintain product compatibility within our various generations ofintegrated product platforms to provide our customers with spaces that adapt to change. Under our non-obsolescence policy, we commit to provide ourcustomers with products of comparable function or operational characteristics for a term equal to the Applicable Warranty Period. Haworth fabrics and finishesmust be updated periodically to maintain the market appeal of our products and respond to the demands and changing preferences of our customers. As aresult, we or the manufacturer may discontinue some fabrics and finishes before expiration of the Applicable Warranty Period.

If a new product purchased or leased from Haworth or from an Authorized Haworth Dealer proves to be defective (as defined below) while the product is stillin the possession of the initial purchaser or lessee and if they, within the Applicable Warranty Period, send notice of the defect to Haworth by electronic mail([email protected]), then, except as provided below, Haworth will, at Haworth’s option, either repair or replace the product, at Haworth’sexpense, or refund the purchase price of the product. Except as provided below, a product shall be considered “defective” if Haworth finds that it is defective inmaterial or workmanship and if the defect materially impairs the value of the product to the purchaser or lessee. The applicable warranty period begins on theday the product is manufactured. If a product that the purchaser or lessee references in a notice of defect was not installed by a Haworth Certified installerand/or reconfigured by a Haworth-trained installer, then the product may not be considered defective and Haworth will not be obligated to repair or replace itor to refund its price.

PRODUCTS / APPLICABLE WARRANTY PERIOD

LIFETIMEAll Haworth products are warranted for lifetime except products,components and materials described below:

TWELVE YEARSAll Haworth NA manufactured seating is warranted for 24/7 multiple shift useby persons up to 325 lbs and includes the framework, mechanisms, seatingfoam, seat & back mesh and seating glides & casters.

All wood or wood framed products.

TEN YEARSAll wall products (excluding soft close door mechanisms warranted for TwoYears), electrical components (excluding Power Base™ AI and workwareproducts), electrical accessories, fixed task lighting (excluding LED lighting),adjustable keyboard pads, monitor arms and products that are at any timeused in a classroom or educational environment (other than administrationareas) except as limited or described below:

FIVE YEARSFabric scrims and fabrics rated Heavy Duty (A) under the Association ofContract Textiles Guidelines, leather, vertical use markerboard laminates,user-adjustable worksurface mechanisms, gel arm caps, thermofusedlaminates, slow close mechanisms, LED lighting, electronic ballasts used intask lighting, horizontal glass or thermoplastic table assemblies and SystemsAccessories.

THREE YEARSworkware™ products, Hoop products (excludes any warranty for surfacedamage such as scratches, dents or abrasions), plastic ultraviolet light colorfastness and fabrics rated General Contract (a) under the Association ofContract Textiles Guidelines.

ONE TO FIVE YEARS**Products that are manufactured outside North America and sold into theNorth American market.

ONE YEARHorizontal use markerboard laminate, soft palm rest, mouse pad insert andtranslucent edging.

Each Haworth “specials” product will be warranted for the same applicable warranty period of the comparable catalogue product unless otherwise stated onthe specials solutions department inquiry response.

All software is without warranty of any kind, either expressed or implied.

All service parts are warranted for two years or the remaining balance of the assembly’s original warranty period, whichever is longer.

*An Authorized Haworth Dealer is any dealer or retailer that sells and installs within their primary contracted area and/or under the DealerLink ProgramAgreement.

**The Applicable Warranty Period for each such product is specified in Haworth’s price list for the product.

A product will not be considered to be defective, and Haworth will not repair, or replace it or refund its price if the product (1) is a consumable product, such asa lamp; (2) is “Customer’s Own Material” (i.e. material specified by the purchaser or lessee that is not a standard Haworth product offering, such as HaworthAlliance fabrics); (3) is not installed and used as recommended in Haworth’s written specification, installation and user guides; (4) has been otherwisemisused or suffered abusive damage or (5) is a product that is manufactured by a third-party supplier from whom Haworth purchases it for resale withoutincorporating it into Haworth product (in which case Haworth will assign to the purchaser or lessee any warranty that the manufacturer provides), unlessotherwise specified by Haworth in writing.

A defect in material or workmanship does not include damage to a product, or failure of a product to operate or perform properly or to maintain appearance,caused by (a) normal wear and tear; (b) an Act of God or transportation; (c) a product alteration made without Haworth’s express written authorization; (d) thenatural variation of color, grain or texture found in wood and leather; (e) the natural aging found in materials such as wood, fabric and leather which results incolors shifting during use; (f) dye lot variations in fabric, leather or wall covering (g) the natural patina of leather during use; (h) “puddling” of leather or fauxleather; or (i) reverse crocking of dyes from clothing onto our seating materials.

EXCEPT AS STATED ABOVE, HAWORTH DOES NOT MAKE A WARRANTY AS TO ANY PRODUCT AND, IN PARTICULAR, DOES NOT MAKE AWARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE. Product repair or replacement or refund of the price, at Haworth’soption, in accordance with this Policy, is the purchaser’s or lessee’s exclusive remedy for a product defect. Haworth shall not have tort liability with respect to aproduct, and Haworth shall not be liable for any consequential, economic, indirect, special, punitive or incidental damages arising from a product defect.Haworth shall not be liable for repair or product placement due to improper installation or any defect in materials used for installation which are notmanufactured, sold or supplied by Haworth.
