THE FOLLOWING SOFTWARE LICENSE AGREEMENT ("LICENSE") FOR ONE LICENSED COPY OF THE MAXTOR ONETOUCH III SOFTWARE (THE "SOFTWARE") APPLIES TO YOU. THIS IS A LEGALAGREEMENT BETWEEN YOU ("YOU") AND MAXTOR CORPORATION ("MAXTOR"). USE OF THIS SOFTWARE IS SUBJECT TO THE TERMS AND CONDITIONS OF THIS LICENSE.

YOU SHOULD READ ALL OF THE TERMS OF THIS LICENSE CAREFULLY. YOU WILL BE ASKED TO REVIEW AND EITHER ACCEPT OR NOT ACCEPT THE TERMS OF THIS LICENSE. NOTWITHSTANDING THE FOREGOING, INSTALLING OR OTHERWISE USING THE SOFTWARE INDICATES YOUR ACCEPTANCE OF THE TERMS OF THIS LICENSE.

1. License. The Software is licensed pursuant to the terms of this Licenseand not sold. Maxtor grants to you a personal, nonexclusive license to Use theSoftware only on a computer that is directly or indirectly coupled to, and only

for operation in conjunction with, one or more Maxtor OneTouch III Disk Drives."Use" means storing, loading, installing, executing or displaying the Software

. You may not modify the Software or disable any licensing or control featuresof the Software. You are obtaining no rights in the Software except those given in this limited license.

2. Ownership. The Software, together with all intellectual property rightsembodied therein, is owned by Maxtor and/or its third party suppliers and the Software is protected by United States copyright laws and international treaties.Your license confers no title or ownership in the Software. Maxtor's third pa

rty suppliers may protect their rights in the event of any violation of this License.

3. Copies. You may make one copy of the Software for backup or archival purposes, or when copying is an essential step in the authorized Use of the Software. You must reproduce all copyright notices in the original Software on all copies. You may not copy the Software onto any bulletin board or similar system, nor can you copy the user documentation provided with the Software except for your own authorized use.

4. Restrictions on Use. The Software contains copyrighted material, trade secrets, and other proprietary material of Maxtor and its suppliers. You are not permitted to, nor are you permitted to cause or permit others to: (i) modify, adapt,alter, translate, decompile, disassemble or otherwise reverse engineer the Software or reduce the Software to human-readable form by any means whatsoever; (ii)

remove any identification, copyright or other notices from the Software; (iii)create a derivative work of any part of the Software; or (iv) rent, lease, loanor distribute the Software in whole or in part.

In addition to the restrictions set forth above, you are expressly not permittedto Use the Software for use in conjunction with the operation of nuclear facilities, aircraft navigation, aircraft communication, aircraft flight control, aircraft air traffic control systems, weapons devices or systems, or in any devicesor systems in which a malfunction (including, without limitation, software related delay or failure) would result in foreseeable risk of injury or death to theoperator of the device or system, or to others. If EC law is applicable, the re

strictions in Section 4(i) are limited so that they prohibit such activity onlyto the maximum extent such activity may be prohibited without violating the EC Directive on the Legal Protection of Computer Programs.Notwithstanding the foregoing, prior to any such legally excused decompiling, disassembly or reverse engineering of the Software, you must first issue a writtenrequest to Maxtor for information or assistance and you shall refrain from decompiling, disassembly, or otherwise reverse engineering any of the Software unless Maxtor cannot, or fails, to comply with such request within a commercially reasonable period of time.

5. Transfer. Your license will automatically terminate upon any transfer of theSoftware. Upon transfer, you must cease all use and deliver the Software, incl

uding any copies and related documentation, to the transferee. The transferee must accept and be bound by this License as a condition of the transfer.

6. Third Party Software. The media containing the Software includes third software products ("Third Party Software") which require that you enter into a separate license agreement with the publisher of such software in conjunction with your original installation. You understand that your use of the Third Party Software is governed by the terms of that end user license agreement and not by this License, and you agree to abide by that third party license agreement.

7. Termination. Maxtor may terminate your license upon notice of failure to comply with any of the terms of this License. Upon termination, you must immediately destroy the Software, together with all copies thereof. The disclaimers

in Sections 8 and 9 and the provisions of Sections 6, 10, 11 and 12 shall survive any termination.

8. Limited Warranty. Maxtor warrants for a period of ninety (90) days after the date of delivery of the Software to you that the media on which the Software is distributed will be free from damage or physical defects at the time of first distribution to you. If the damaged or defective media is returned to Maxtor (postage prepaid) within ninety (90) days from the date of delivery of the Software to you, then Maxtor will provide you with a replacement copy at no cost.Your sole and exclusive remedy in the event of breach of this warranty will be that Maxtor will, at its option, replace any defective media returned to Maxtor within the warranty period or refund the money you paid attributable to the Software. Except for the foregoing, Maxtor is licensing the Software to you "as is."Neither Maxtor nor its suppliers warrant that the Software will meet your requ

10. Export Restrictions You agree and certify that neither the Software norany technical data received from Maxtor, nor the direct product thereof, will be exported outside the United States except as authorized and as permitted by the laws and regulations of the United States. If the Software has been rightfully obtained by you outside the United States, you agree that you will not re-export the Software nor any other technical data received from Maxtor, nor the direct product thereof, except as permitted by the laws and regulations of the UnitedStates and the laws and regulations of the jurisdiction in which you obtained the Software.You agree to comply fully with all laws and regulations of the United States andother countries to assure that neither the Software, not any direct products thereof are: exported, directly or indirectly, in violation of any applicable expo

rt control laws or used for any purpose prohibited by such export control laws,including, without limitation, nuclear, chemical or biological weapons proliferation. None of the Software or underlying information or technology may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, North Korea, Iran, Syria or any other country to which the U.S. hasembargoed goods; (ii) or to anyone on the U.S. Treasury Department's Table of Denial Orders. 11. Government Restricted Rights. The Software is provided with RESTRICTEDRIGHTS. The Software is a commercial software product, licensed on the open market, and was developed entirely at private expense and without government funds.Any use, modification, reproduction, release, performance, display, or disclosure of the Software by any government entity shall be governed solely by the terms of this License and shall be prohibited except to the extent expressly provided under this License. No license to the Software is granted to any government entity requiring different terms. sionnaire le logiciel accompagn de toutes les copies et de la documentation y affrant. L'acceptation et la soumission cette licence de la part du cessionnaire constituent une condition du transfert.

6. Logiciel tiers. Le support contenant le logiciel inclut d'autres logiciels tiers ("logiciels tiers") qui impliquent que vous concluiez une licence d'utilisation distincte avec l'diteur de ces logiciels, concurremment avec votre installati

on originale. Vous vous rendez compte que l'utilisation du logiciel tiers est rgie par les conditions de cette licence d'utilisation particulire et non par la prsente et vous acceptez de vous conformer cette licence d'utilisation tiers.

7. Rsiliation. Maxtor peut rsilier votre licence par une notification de non-respect de l'une des conditions de cette licence. Suite la rsiliation, vous devezimmdiatement dtruire le logiciel ainsi que toutes les copies de celui-ci. Les dcharges de responsabilit stipules aux sections 8 et 9 et les clauses des sections 6,10, 11 et 12 subsisteront aprs la rsiliation.

8. Limitation de la garantie. Maxtor vous garantit, pendant une priode de 90jours compter de la date de livraison du logiciel, que le support sur lequel es

t distribu le logiciel sera exempt de tout dommage ou dfaut physique au moment desa premire distribution. Si le support endommag ou dfectueux est renvoy Maxtor (affranchissement prpay) dans les quatre-vingt-dix (90) jours suivants la date de livraison du logiciel, Maxtor vous fournira gratuitement une copie de remplacement. Votre recours unique et exclusif, en cas de violation de cette garantie sera queMaxtor remplace, sa discrtion, tout support dfectueux qui lui sera renvoy au coursde la priode de garantie ou vous rembourse la somme verse attribuable au logiciel.A l'exception de ce qui prcde, Maxtor vous octroie par la prsente licence l'autorisation d'utiliser le logiciel "en l'tat." 1. Licence. Le logiciel vous est donn en licence conformment aux termes de cette convention ; il ne vous est pas vendu. Maxtor vous accorde une licence personnelle non exclusive pour n'utiliser le logiciel que sur un ordinateur qui est directement ou indirectement reli un ou plusieurs lecteurs de disque Maxtor OneTouch III et uniquement pour qu'il fonctionne conjointement avec eux. Le terme utiliser signifie tlcharger, installer, excuter ou afficher le logiciel. Vous n'tes pas

autoris modifier le logiciel ni dsactiver ses fonctions d'attribution de licencesou de contrle. Maxtor ne vous accorde aucun droit sur le logiciel part les droitsqui vous sont accords dans le cadre de cette licence restreinte.

2. Proprit. Le logiciel et tous les droits de proprit intellectuelle y relatifssont la proprit de Maxtor et/ou de ses fournisseurs indpendants et il est protg parles lois sur le droit d'auteur des tats-Unis et les traits internationaux. Votrelicence ne vous accorde aucun titre ou droit de proprit sur le logiciel. Les fournisseurs indpendants de Maxtor peuvent protger leurs droits en cas de violation decette licence.

3. Copies. Vous pouvez faire une copie du logiciel titre de copie de sauvegarde ou d'archives ou lorsque la copie constitue une tape essentielle de l'utilisation autorise du logiciel. Vous devez reproduire tous les avis relatifs au droitd'auteur figurant dans le logiciel original sur toutes les copies. Vous n'tes pas autoris copier le logiciel sur un tableau d'affichage lectronique ou sur un systme semblable, ni reproduire les documents d'utilisateur qui l'accompagnent saufpour votre propre usage autoris.

4. Conditions d'utilisation. Le logiciel comporte des produits protgs par le droitd'auteur, des secrets commerciaux et d'autres lments qui sont la proprit de Maxtoret ses fournisseurs. Vous n'tes ni autoris(e), ni avez-vous le droit d'autoriser une tierce partie, : (i) modifier, adapter, altrer, traduire, dcompiler, dsassemblerou rorganiser le logiciel ou le rduire une forme lisible pour l'homme de quelquefaon que ce soit ; (ii) retirer du logiciel toute identification, ou tout avis co

ncernant les droits d'auteur ou tout autre avis; (iii) crer une version drive de quelque partie que ce soit du logiciel ; ou (iv) louer, prter ou distribuer tout oupartie du logiciel.

En plus des restrictions dtermines ci-dessus, il vous est formellement interdit d'utiliser le logiciel conjointement avec l'exploitation d'installations nuclaires,de systmes de navigation arienne, de communication arienne, de commande de pilotage arien, de contrle de la circulation arienne, de dispositifs ou de systmes d'armement ou dans un dispositif ou un systme dont une dfaillance (y compris, notamment, un retard ou une dfectuosit relis au logiciel) entranerait un risque prvisible de dommages corporels ou de dcs pour l'oprateur du dispositif ou du systme ou autrui. Si le

droit de la Communaut europenne est en vigueur, les restrictions des clauses 4 (i) sont limites de faon interdire cette activit seulement dans la mesure o elle peutre interdite sans que soit enfreinte la directive de la CE sur la protection juridique des programmes d'ordinateurs.En dpit de ce qui prcde, avant de procder une dcompilation, un dmontage ou une ie inverse du logiciel autoris par la loi, vous devez pralablement faire parvenir une demande crite Maxtor pour information ou pour assistance et vous devez vous abstenir de procder la dcompilation, au dmontage ou l'ingnierie inverse du logicielins que Maxtor soit dans l'impossibilit ou omette de satisfaire cette demande dans une priode conforme aux usages du commerce.

5. Cession. Votre licence prendra automatiquement fin en cas de cession du logic

iel. Lors d'une cession, vous devez cesser toute utilisation du logiciel et le livrer, y compris toute copie et documents connexes, au cessionnaire. Ce dernierdoit accepter d'tre li par cette licence comme condition de la cession.

6. Logiciel de socit indpendante. Le support qui contient le logiciel inclut des produits logiciels de socit indpendante ( Logiciel de socit indpendante ) qui vous ot conclure un accord de licence spar avec l'diteur de ces logiciels lors de l'installation initiale. Vous reconnaissez que votre utilisation du logiciel de socit indpendante est rgie par les modalits de cet accord de licence d'utilisateur et non pas par les termes de cette convention de licence et vous acceptez de respecter ledit accord.

7. Rsiliation. Maxtor peut rsilier votre licence moyennant un avis de non-res

pect des conditions de celle-ci. Dans le cas d'une rsiliation, vous devez immdiatement dtruire le logiciel, ainsi que toutes les copies qui en ont t faites. Les limitations de garantie et de responsabilit envisages dans les clauses 8 et 9 ainsi que les dispositions des clauses 6, 10, 11 et 12 resteront en vigueur aprs la rsiliation.

8. Garantie limite. Pour une priode de quatre-vingt-dix (90) jours suivant ladate laquelle le logiciel vous est livr, Maxtor garantit que le support sur lequel le logiciel est distribu sera exempt de tous dommages ou dfauts physiques au moment de la premire distribution qui vous est faite. Si le support endommag ou dfectueux est retourn Maxtor (par courrier affranchi) dans les quatre-vingt-dix (90) jours suivant la date de livraison qui vous est faite, Maxtor vous fournira une autre copie sans frais. Votre seul et unique recours en cas de violation de cettegarantie est que Maxtor remplacera, son choix, tout support dfectueux qui lui sera retourn durant la priode de garantie ou qu'elle remboursera la somme d'argent que vous avez verse attribuable au logiciel. l'exception de ce qui prcde, le logiciel vous est donn en licence par Maxtor en l'tat .Ni Maxtor ni ses fournisseurs ne garantissent que le logiciel rpondra vos exigences ou que son excution ne sera pas interrompue ou qu'il sera sans erreur ou virus. 1. Lizenz. Gem den Lizenzbestimmungen wird die Software nicht verkauft, sondern lizenziert. Maxtor rumt Ihnen eine persnliche, nicht-exclusive Lizenz zur Verwendung der Software ein. Dieses Recht zur Verwendung ist nur auf einen Computer beschrnkt, der direkt oder indirekt mit einem oder mehreren Maxtor OneTouch III Festplattenprodukt(en) verbunden ist und gilt ausschlielich fr den Betrieb in Verbindung damit. Verwendung" bedeutet Speichern, Laden, Installieren, Ausfhren und Anzeigen der Software. Sie drfen die Software weder verndern noch die Funktionen zur Lizenz oder die Kontrollfunktionen der Software de-akctivieren. Auer den im Rahmendieser eingeschrnkten Lizenz gewhrten Rechten werden Ihnen keine weiteren Rechtean der Software eingerumt.

2. Eigentum. Die Software und die damit verbundenen intellektuelle Eigentumsrechte sind Eigentum von Maxtor und/oder seinen entsprechenden Drittanbietern.Die Software ist urheberrechtlich durch die Gesetze der Vereinigten Staaten von

Amerika sowie durch internationale Abkommen geschtzt. Die Lizenz beinhaltet keinebertragung von Rechts- oder Eigentumsansprchen an der Software. Die Drittanbietervon Maxtor behalten sich das Recht zum Schutz ihrer Ansprche bei Verletzung eine

r dieser Lizenzbedingungen vor.

3. Kopien. Zum Zwecke der Sicherung oder Archivierung oder wenn dies im Rahmen der rechtmigen Verwendung der Software erforderlich ist, drfen Sie eine Kopie der Software anlegen. Jede Kopie muss alle Urheberrechtshinweise der Originalsoftware aufweisen. Sie sind nicht berechtigt, die Software auf einem ffentlichen Nachrichtensystem oder einem entsprechenden System zu verffentlichen. Des Weiteren dr

fen Sie die mit der Software gelieferte Dokumentation nicht kopieren, auer fr authorisierte Privatzwecke und in bereinstimmung mit den Lizenzbedingungen.

4. Nutzungsbeschrnkungen. Die Software beinhaltet urheberrechtlich geschtztesMaterial, Handelsgeheimnisse und sonstiges Eigentum von Maxtor und seinen Lieferanten. Es ist Ihnen untersagt und Sie sind nicht berechtigt, andere dazu zu veranlassen oder anderen zu gestatten: (i) die Software auf irgendeine Art und Weise zu verndern, zu bearbeiten, zu bersetzen, zu dekompilieren, zu disassemblieren oder anderweitig zurckzuentwickeln sowie in eine von Menschen lesbare Form zu bertragen; (ii) jegliche Erkennungsmerkmale, Urheberrechts- oder andere Hinweise vonder Software zu entfernen; (iii) abgeleitete Werke von einem Bestandteil der Software zu erstellen sowie (iv) die Software im Ganzen oder in Teilen zu leasen, z

u vermieten, zu verleihen oder zu vertreiben.Zustzlich zu den vorstehend dargelegten Beschrnkungen ist es Ihnen ausdrcklich untersagt, die Software im Zusammenhang mit dem Betrieb Nuklearer- Anlagen, der Flugzeugnavigation und -kommunikation oder der Flugleitung sowie mit Anlagen zur Luftverkehrskontrolle, mit Waffen oder Waffensystemen, oder in jedweden Gerten oderSystemen, in denen eine Fehlfunktion (einschlielich und ohne Einschrnkung auf software-bedingte Verzgerung oder Fehlfunktion) ein absehbares Risiko der Verletzungoder des Todes des Betreibers des Gerts bzw. des Systems oder anderer Personen zur Folge htte, zu verwenden. Bei Anwendbarkeit von EU-Recht gelten die in Sektion4(i) genannten Einschrnkungen nur in solchem Mae, wie derartige Handlungen unter Beachtung der Europischen Softwareschutzrichtlinie untersagt werden knnen.Ungeachtet des zuvor Genannten muss vor Durchfhrung einer derart gesetzlich gestatteten Handlung wie dem Dekompilieren, Disassemblieren oder der Zurckentwicklung

der Software eine schriftliche Anfrage bei Maxtor fr den Erhalt entsprechender Informationen oder Untersttzung erfolgen. Das Dekompilieren, Disassemblieren oder die anderweitige Zurckentwicklung der Software ist untersagt, ausser Maxtor kann dieser Anfrage nicht innerhalb eines wirtschaftlich angemessenen Zeitraums nachkommen.

5. bertragung. Ihre Lizenz erlischt automatisch mit der bertragung der Software an Dritte. Bei einer bertragung sind Sie verpflichtet, die Verwendung der Software einzustellen und die Software sowie alle Kopien und damit verbundenen Dokumentationen an den bernehmer zu bergeben. Die bertragung gilt nur dann als wirksam,wenn der bernehmer die vorliegenden Lizenzbedingungen bindend akzeptiert.

6. Software von Drittanbietern. Das Medium, auf dem sich die Software befindet, beinhaltet auch Produkte von Drittanbietern (Software von Drittanbietern"),fr welche die Annahme eines separaten Lizenzvertrages mit dem jeweiligen Hersteller dieser Software in Verbindung mit der Erstinstallation erforderlich ist. DieVerwendung von Software von Drittanbietern ist im jeweiligen Endbenutzer-Lizenzvertrag und nicht in der vorliegenden Lizenz geregelt und Sie erklren sich hiermitzur Einhaltung dieses Drittanbieter-Lizenzvertrages bereit.

7. Aufhebung. Diese Lizenz kann von Maxtor jederzeit aufgehoben werden, wenn Sie die genannten Lizenzbestimmungen nicht einhalten. Wird die Lizenzvereinbarung aufgehoben, sind Sie zum Lschen der Software sowie aller Kopien verpflichtet. Die Gltigkeit der Ausschlussklauseln in den Abschnitten 8 und 9 sowie die Bestimmungen der Abschnitte 6, 10, 11 und 12 bleiben auch nach einer Aufhebung der Li

zenzvereinbarung bestehen.

8. Beschrnkte Garantie. Maxtor garantiert Ihnen fr einen Zeitraum von neunzig

(90) Tagen ab dem Auslieferungsdatum der Software, dass das Medium, auf dem dieSoftware geliefert wird, zum Zeitpunkt der erstmaligen Auslieferung an Sie unbeschdigt und frei von Material- oder Verarbeitungsfehlern ist. Wird das beschdigteoder defekte Medium innerhalb von neunzig (90) Tagen nach dem Datum der Auslieferung der Software an Sie an Maxtor zurckgeschickt (frankiert), stellt Maxtor Ihnen kostenfrei eine Ersatzkopie zur Verfgung. Ihr einziger und ausschlielicher Rechtsbehelf im Fall der Garantieverletzung ist, dass Maxtor das fehlerhafte, innerha

Die Lizenz unterliegt den Gesetzen des Staates Kalifornien,so wie diese gesetzlichen Bestimmungen auf Vertrge, die innerhalb Kaliforniens zwischen Brgern Kaliforniens abgeschlossen und ausgefhrt werden mssen angewendet werden, ohne Einbeziehung kollidierender Rechtsprincipien. Die Anwendbarkeit des UN-Abkommens ber den Internationalen Warenkauf wird in diesem Zusammenhang ausdrcklich abgelehnt. Der Umfang dieser Lizenz und die Bedeutung der einzelnen Begrifferichten sich ausschlielich nach der Fassung in englischer Sprache. nderungen der Lizenz bedrfen der Schriftform und mssen sowohl von Ihnen als auch von Maxtor unterzeichnet werden.
