SETTLEMENT AGREEMENT BETWEEN

LEVI STRAUSS & Co.. DOLCE & GABBANA S.p.A.

AND ITTIERR S.p.A.

RECITALS

A. Levi Strauss & Co. (hereinafter "LS&CO.") is the owner of the

Tab Device trademark (hereinafter the "Tab trademark") which it has used

for many years to identify itself as the source of its clothing products,

including jeans.

B. Dolce & Gabbana S.p.A. (hereinafter "Dolce & Gabbana") is the

owner of the national and international registered trademarks "Dolce &

Gabbana", "D&G Dolce & Gabbana" and "Dolce & Gabbana J&ANS".

C. Ittierre S.p.A. of Pettoranello del Molise (hereinafter "Ittierre") is

the licensee of Dolce & Gabbana for the trademarks "D&G Dolce &

Gabbana"and "Dolce & Gabbana J&ANS".

D. Ittierre has manufactured, distrbuted, and sold jeans bearing the

trademark "Dolce & Gabbana J&ANS". Dolce & Gabbana jeans have

displayed a pocket tab device (hereinafter the "Dolce & Gabbana tab

device") which LS&CO. alleges to be highly similar to LS&CO.'s Tab

trademark. A photocopy of the rear~pocket of Dolce & Gabbana jeans

displaying the Dolce & Gabbana tab device is attached hereto as Exhbit A..

E. LS&CO., Dolce & Gabbana and Ittierre desire to compromise,

settle, and release all actual and potential claims and disputes between them,

which could arse out of or be connected to the Dolce & Gabbana tab

device. Therefore, in consideration of the terms, conditions, and

representations set forth below, LS&CO., Dolce & Gabbana and Ittierre

hereby agree to the following terms and conditions.

TERMS

1. This Agreement is worldwide in scope and shall be binding on the

parties, their affliates, subsidiaries, assignees, licensees and successors

throughout the world, according to the following provisions.

2. Dolce & Gaiibana and Ittierre acknowledge the validity of the Tab

trademark and the exclusive right of LS&CO. to use that trademark

throughout the world.

3. Dolce & Gabbana and Ittierre agree to discontinue, no later than

August 31, 1998, all manufacture and marketing of jeans that display the

Dolce & Gabbana tab device ilustrated in Exhibit A on a vertical seam of a

rear patch pocket.

4. Dolce & Gabbana and Ittierre agree that they will not institute or

re-institute in the future any manufacture, distribution, or sale of jeans,

anywhere in the world, that display:

a) the Dolce & Gabbana tab device illustrated in Exhibit A on a vertical

seam of a rear patch pocket, or

b) any other design which is substantially similar to LS&CO.'s Tab

trademark.

5. Dolce & Gabbana and Ittierre also guarantee that their affiliates,

subsidiares, assignees, licensees and successors wil not manufacture in the

futue jeans that display the Dolce & Gabbana tab device ilustrated in

Exhibit A on a vertical seam of a rear patch pocket.

6. In consideration for Dolce & Gabbana's and Ittierre's promises

and representations, as above summzed, LS&CO. will not seek any legal l

remedy relating to the manufacture, distribution, or sale by Dolce &

Gabbana and/or by Itierre and/or their affliates, subsidiaries, assignees,

licensees and successors prior to August 31, 1998, of jeans displaying the

Dolce & Gabbana tab device. In addition, LS&CO. releases Dolce &

Gabbana, Ittierre, their affliates, subsidiares, assignees, licensees,

successors, distributors and customers from any claims, actions, or causes of

action arsing from the manufacture, distribution or sale prior to August 31,

1998, of jeans displaying the Dolce & Gabbana tab device. The paries

understand that some jeans displaying the Dolce & Gabbana tab device may/R

be in channels of distribution, including distributors' or retailers' stock, after

August 31, 1998, and may be offered for sale by entities other than Dolce &

Gabbana and/or Ittierre after August 31, 1998. Such sales shall not be

considered as being in violation of this Agreement.

7. Nothing in this agreement shall be construed to mean that

LS&CO. has approved or waived its rights to challenge any tab device used'J

in the past, now, or in the future, other than that ilustrated in Exhibit A. The

parties acknowledge that LS&CO.'s release does not apply to any futue use

by Dolce & Gabbana or Ittierre of any design which infrnges or dilutes any

ofLS&CO.'s trademarks, or to any past use by Dolce & Gabbana or Ittierre

of any design which is not included in Exhbit A, regardless of whether such

design was first used prior to the date ofthis Agreement.

8. All agreements and releases by LS&CO. herein are conditioned

on Dolce & Gabbana and Ittierre complying with all of the terms of this

Agreement.

9. The paries each represent that this Agreement is

voluntarly entered into, with the independent advice of each pary's

attorneys; that no promise, inducement, or agreement not contained in this

Agreement has been made on any subject in connection with this

Agreement; and that they have not been induced to execute this Agreement

by reason ofthe non-disclosure or suppression of any fact.

10. This Agreement constitutes the entire agreement between the

paries. It may not be altered, modified or otherwise changed in any respect

except by a written instrument, duly executed by the paries or their

authorized representatives.

11. This Agreement is entered into and is to be construed pursuant to

the laws of the State of California, and where pertinent, the laws of the

United States, and any action arising out of or related to this Agreement

shall be fied in the United States District Cour for the Northern District of

California or in San Francisco Superior Cour.

12. In the event any provision o(this Agreement or the application

of any such provision shall be held by a court or trbunal to be invalid or-

unenforceable, the remaining provisions of this Agreement shall remain in

full force and effect.

13. The paries declare that each of them has read this Agreement,~

knows and understands its contents, and comprehends and agrees to all of

its terms, conditions and meanings and their significance.

IN WITNSS WHEREOF, the parties hereto have executed and

delivered this Agreement as of the date on which the last-signng part

signes below.
