II Part GENERAL PROVISIONS OF THE LEASEBACK CONTRACT

1. Definitions

Amortization method Vehicle leasing payments are the same during the whole Lease period.

Penalty Penalty specified in the general provisions is calculated for the nonfulfillment of the obligations stated in the Contract or delay of the implementation in the cases specified in the Contract till the termination of the Contract.

Annuity method The total amount of monthly Vehicle leasing payments and Interest payments is the same during the whole Lease period.

Contract execution fee

Fee for the examination of Leasing application and Contract execution specified in the Basic provisions.

Insurer legal person who insures the Vehicle. Total costs of leasing

Amount calculated on the conclusion of the Contract in accordance with the Regulations of Cabinet of Ministers that consists of Leasing amount, Contract execution fee, Interests and all costs that Lessee pays in connection with the Contract and is known to Mogo. Vehicle insurance costs (OCTA, KASKO) and costs associated with the vehicle registration at CSDD on Mogo's name, as well as other Additional payments listed in the Basic provisions are not included in the calculation of total costs of Leasing.

Bullet method Vehicle leasing payments are paid in one instalment on the Leasing closing date.

Lessee mail address

Declared place of residence of the Lessee and/or actual place of residence of the Lessee provided to Mogo under the procedure outlined in the p. 4.13 of the General provisions.

Lessee registration confirmation fee

Standard Information on European Consumer Credit

Standard Information on European Consumer Credit – in accordance with the European Parliament and Council Directive on Consumer Credit 2008/48/EC of April 23 2008 approved standard form for the provision of the most important information to the consumer prior to the conclusion of the contract, for the comparison of the offers of the various credit services in case of loan granting in the Republic of Latvia and abroad.

Lease (credit) amount

Lease amount specified in the Basic provisions that Mogo grants to the Lessee that is transferred or paid to the Lessee as payment of the Vehicle purchase price and which the Lessee is obliged to repay Mogo in accordance with the provisions of the Contract.

Annual interest rate (AIR)

The interest rate calculated in accordance with the effective regulations of Cabinet of Ministers and stated in the Basic provisions. Calculating AIR, it is assumed that initially determined interest rate is fixed for the entire Lease period; payments are made every month according to the schedule. All costs related to the execution of the Contract by Mogo are taken into account in the calculation. Additional payments, Renewal fee, Penalties and the approval fee for the amendments of the Contract specified in the Basic provisions are not taken into account in the calculation.

Leasing period Period specified in the Basic provisions during which the Lessee is entitled to use the Vehicle and is obliged to pay the Vehicle leasing payments and Interest payments. If the lease term is extended or another contract payment date is assigned upon agreement of the Parties, the leasing period is prolonged respectively; in this case Parties shall draw up a new schedule, which forms an integral part of the Contract.

Schedule Vehicle leasing payment and interest payment schedule specified in the Basic provisions or newly developed in accordance with the Contract provisions.

Leasing Vehicle rental with redemption in accordance with the provisions of the Contract.

Scheduling method Annuity, amortization or Bullet method. Website Mogo’s website with address www.mogo.lv.

KASKO insurance policy

Insurance policy, confirming that the insurance contract is concluded for a Vehicle insurance against damage and theft. KASKO insurance policy is required only for the following vehicles: 1) vehicle which is intended to be used as a taxi for passengers transportation; 2) vehicle which is intended to be used as a training vehicle; 3) tractors, trailers (of both vehicles and tractors), semi-trailers, tractor equipment, trucks, buses; 4) Mopeds, motorcycles, tricycles, quadricycles if Unpaid amount of the vehicle is more than EUR 2,500 (two thousand five hundred euros).

Mogo bank and account

Mogo bank and account specified in the Basic provisions or in the invoice/ statement of the monthly payment sent to the Lessee.

The total amount payable by the Lessee

Amount calculated on the day of conclusion of the Contract in accordance with the Regulations of Cabinet of Ministers that consists of the vehicle purchase price and all costs that Lessee have to pay in connection with the Contract.

Regulations of Cabinet of Ministers

effective Regulations of the Cabinet of Ministers of the Republic of Latvia No.1219 "On the consumer lending" dated December 28, 2010.

Statutory interests in accordance with effective legislation of the Republic of Latvia certain interests which amount on the day of the conclusion of the Contract is 6% per annum and which are calculated after termination of the Contract.

Outstanding value of the vehicle

Value of the vehicle on specific day that constitutes the difference between the Vehicle purchase price and the Vehicle leasing payments performed by the Lessee.

Price of the vehicle specified in the basic provisions that Mogo pays for the purchase of the Vehicle, including value added tax, if applicable in accordance with the effective normative acts of the Republic of Latvia.

Party/ies Lessee or/and Mogo Vehicle Vehicle or vessel (or several vehicles or vessels) stated in the Basic provisions that Mogo will purchase from the Lessee upon the Lessee's instructions in accordance with the provisions of the Contract and which will be provided to the possession and use of the Lessee, but after the fulfilment of the Contract obligations – transferred to the ownership in the manner prescribed by the Contract. Hereafter and above in the text of the Contract the definition of the Vehicle will be used in relation to both single vehicle or vessel and all of them.

Vehicle inspection Vehicle state inspection in CSDD that has to be performed to all motor vehicles mentioned in the Regulations of the Cabinet of Ministers of the Republic of Latvia No. 466 "Regulations on state vehicle inspection and technical control on roads" dated April 29, 2004

2. Subject of the Contract 2.1. In order to get Leasing, Lessee undertakes to transfer ownership of the Vehicle to Mogo, by selling the Vehicle to Mogo, and Mogo undertakes to pay the Vehicle purchase price to the Lessee. 2.2. After Mogo has obtained ownership of the Vehicle, Mogo grants the Lessee the right to hold, use (rent) and to redeem the Vehicle, but the Lessee undertakes to accept the Vehicle on lease - lease with a right to redeem, as well as to pay the Contract payments in accordance with the provisions of the Contract. 2.3. The lessee certifies that the Vehicle is used and is not considered as a new vehicle within the meaning of paragraph 9 of Article 1 of the Value Added Tax Law. Deriving from the Contract Vehicle purchase transaction is subject to Value Added Tax Law. 3. Leasing application 3.1. Lessee can get acquainted with the Standard Information on European Consumer Credit before the submission of the leasing application. 3.2. . In order to submit Leasing application and to conclude Leasing Contract, the Lessee must meet, and the Lessee declares that it will correspond to the following criteria during the whole Contract period: 3.2.1. Lessee is a natural person; 3.2.2. Lessee is from 18 till 75 years old; 3.2.3. Constant place of residence of the Lessee is declared in the Republic of Latvia; 3.2.4. During the submission of Leasing application un conclusion of the Contract the Lessee is legally capable and is not under the influence of alcoholic, narcotic, psychotropic, toxic or other intoxicating substances. 3¹. Submission of the Leasing application to Customer Service Centre 3.3. In order to conclude the Contract the Lessee shall submit Leasing application to Mogo by filling it in the Customer Service Centre. 3². Submission of the Leasing application via website 3.4. In order to conclude the Contract the Lessee fills Leasing application on the website indicating all requested data. Confirming filled Leasing application on the website the Lessee submits it to Mogo and agrees to personal data processing

specified in p. 18.9 and 18.10 of the General provisions. 3.5. When submitting Leasing application the Lessee confirms that the Lessee has an account in any credit institution registered in the Republic of Latvia, with which and with the funds on it, if any, it has the right to freely dispose. 4. Leasing granting and conclusion of the Contract 4.1. Mogo is entitled to refuse the granting of leasing to the Lessee by informing the Lessee. Mogo is not obliged to justify its refusal to grant Lease. If the refusal to grant Lease is based on the data of the debtors' database, Mogo immediately and free of charge informs Lessee about this fact and data of the used database. 4.2. The Lessee is entitled to apply for Lease unlimited number of times. Mogo is entitled not to consider Leasing application and not to take decision on granting the Lease if the Lessee is in breach of any of the above provisions of the Contract concluded with Mogo. 4.3. Before the conclusion of the Contract the Lessee is obliged to check the quality and compliance of the vehicle to the requirements of the Lessee and to check the legal status of the Vehicle. Mogo is not responsible for the quality of the vehicle and its compliance with the requirements of the Lessee. 4.4. By concluding the Contract the Lessee certifies and guarantees that any type of damages are not caused to Vehicle after the last State vehicle inspection in CSDD or check of the technical condition, Vehicle wasn’t involved in road or water accident or if damage is incurred or Vehicle was involved in traffic accident, the Lessee has prevented damage to the vehicle and the Vehicle has been restored to no worse condition in which the Vehicle was during the last State Vehicle inspection in CSDD or technical check, and it is allowed to drive the Vehicle (to participate in road and water traffic) 4.5. If provided in the Basic provisions the Lessee is obliged within 15 (fifteen) days from the conclusion of the Contract to submit reference – confirmation of the sale of personal staff (property), drawn up in accordance with the reference template on the Website: (a) by sending scanned reference to Mogo’s e-mail address specified in the Contract, or (b) by submitting the original reference in the Customer Service Centre.

4.6. The Lessee pays the Contract performance fee within 5 (five) days after the conclusion of the Contract, by transferring it to Mogo account. If within that period the Lessee has not paid Mogo Contract performance fee, Mogo is entitled, in written, to unilaterally withdraw from the Contract or to add Contract performance fee to outstanding value of the vehicle, that the Lessee pays to Mogo in accordance with schedule or together with the first Vehicle leasing payment, or by splitting in equal instalments, which will be added to each Vehicle leasing payment. 4¹. Leasing granting and Conclusion of the Contract in the Customer Service Centre 4.7. Mogo decides on the granting of Leasing and informs the Lessee immediately after Mogo has received and evaluated Leasing application and get acquainted with the value of the vehicle. 4.8. Provisions of the Contract are explained to the Lessee and the Contract is concluded on-site in the Customer service centre in the presence of the Lessee. Submission of the Leasing application and clarifying of the provisions of the Contract to the Lessee is not considered conclusion of the Contract. Contract is considered concluded when it is signed by both Parties. 4². Leasing granting and Conclusion of the Contract on the Website 4.9. Mogo draws up Leasing offer and informs the Lessee in one of the following ways immediately after Mogo has received and evaluated Leasing application and get acquainted with the value of the vehicle: 4.9.1. by calling on the Lessee’s phone number provided in the Leasing application and informing the Lessee about the offered Vehicle purchase price, Leasing period, AIR and Total amount to be paid by the Lessee to Mogo; 4.9.2. by sending the Leasing offer and Contract to the e-mail address of the Lessee specified in the Leasing application. 4.10. After the receipt of the offer mentioned in the p. 4.9 of the General provisions necessary for the conclusion of the contract and acceptance of the vehicle the Lessee confirms the offer of the Mogo by transferring registration fee of the Lessee to Mogo’s account and providing in the payment purpose "agree with the provisions of the contract No. (Please specify the contract

number)” from the Lessee's account opened in the credit institution registered in Latvia. 4.11. After the receipt of the registration confirmation fee Mogo identifies the Lessee, ascertains the solvency of the Lessee and makes a decision on granting the Leasing to the Lessee. Mogo informs the Lessee about the decision using one of the ways specified in the p. 4.9 of the General provisions. 4.12. If Mogo refuses to grant Leasing to the Lessee, the Contract is considered as not existed. In this case, In this case, Lessee registration confirmation fee will not be refunded to the Lessee. 4.13. If Mogo has made a decision on granting the Leasing to the Lessee, then the Lessee during the phone call or by sending answer to Mogo’s e-mail address provides Mogo information on the declared and/or physical address of the Lessee to which proxy for performance of all the activities required for the registration of Mogo as Vehicle owner and Lessee as Vehicle holder in CSDD on behalf of Mogo will be sent. 4.14. Contract as sent to the e-mail address of the Lessee specified in the Leasing application, enters into force at the time when Mogo has taken a decision to grant leasing to the Lessee and has informed about it the Lessee in a manner prescribed in the p. 4.9 of the General provisions. 4.15. Leasing application submitted in a manner prescribed in the General provisions and payment of the Lessee’s registration confirmation fee confirms that the Lessee wishes to sell the Vehicle to Mogo and to receive Leasing in accordance with the provisions of the Contract. 5. Purchase and acceptance of the vehicle via e-CSDD 5.1. The Lessee not later than within [●] ([●]) working days from the effective date of the Contract deregisters the vehicle in Latvia via e-CSDD or in CSDD and informs Mogo. Mogo makes a note in e-CSDD about the taking ownership of the Vehicle and notifies the Lessee at once after deregistration of the Vehicle. 5.2. Immediately, but not later than within 5 (five) days after Mogo has informed the Lessee about the note mentioned in p. 5.1 of the General provisions, the Lessee informs in e-CSDD or CSDD about the transferring of the Vehicle to Mogo confirming the note made by Mogo. If the Lessee does not approve the Mogo’s note within the period specified in this paragraph, the Vehicle registration process on Mogo’s name is interrupted and Mogo’s mark is automatically removed from e-CSDD. In this case, Mogo is entitled to either make a new note about the taking ownership of the Vehicle, or to unilaterally withdraw from the Contract in a manner prescribed in the p. 16.3 of the General provisions. 5.3. Mogo provides a note about authorization in CSDD system or/and issues a proxy to Lessee for performing of all the activities necessary for the registration of Mogo as the vehicle owner and Lessee as the vehicle holder in CSDD on behalf of Mogo by one of the following ways 5.3.1. if the Contract is concluded in the Customer Service Centre then Mogo issues proxy to the Customer in person immediately after the conclusion of the Contract; 5.3.2. if the Contract is concluded remotely via Website, then Mogo sends the proxy to the Lessee’s mail address within 2 (two) working days after the conclusion of the Contract. 5.4. The Lessee, no later than during five (5) days from the date of acceptance of the Mogo’s note of the acceptance of the Vehicle ownership, has to register the Vehicle in CSDD on Mogo's name indicating the Lessee as holder of the Vehicle, and if provided in the section of Basic provisions "Special provisions", has to submit Mogo a copy of the Vehicle registration certificate, presenting the original. In case of delay of execution of the liabilities specified in this paragraph the Lessee pays Mogo penalty in the amount of 0.5% (zero point five per cent) of the outstanding value of the Vehicle for each day

of delay, but not more than 10% (ten percent) of the outstanding value of the Vehicle. In addition to the above mentioned, till the complete fulfilment of the obligations specified in this paragraph participation in traffic on this Vehicle is prohibitted to the Lessee, as well as Mogo is not entitled to deregister the vehicle in CSDD. 5.5. Mogo acquires ownership of the vehicle and Mogo transfers, but the Lessee accepts and acquires the Vehicle in the actual possession and use at the time when the Lessee confirmed the Mogo’s note about the acceptance of the ownership of the Vehicle in accordance with p. 5.2 of the General provisions. There is no need for separate Vehicle Acceptance Deed. 5¹. Vehicle purchase and acceptance in CSDD 5.6. Mogo issues the proxy to the Lessee to perform all the activities on behalf of Mogo necessary for the registration of Mogo as the Vehicle owner and the Lessee as the holder of the Vehicle in CSDD in one of the following ways: 5.6.1. if the Contract is concluded in the Customer Service Centre then Mogo issues the proxy to the Customer in person immediately after the conclusion of the Contract; 5.6.2. if the Contract is concluded remotely via Website, then Mogo sends the proxy to the Lessee’s mail address within 2 (two) working days after the conclusion of the Contract. 5.7. The Lessee has to register the Vehicle in CSDD on Mogo's name indicating the Lessee as holder of the Vehicle, and if provided in the section of Basic provisions "Special provisions", has to submit Mogo a copy of the Vehicle registration certificate, presenting the original within one of the following period of time: 5.7.1. if the Contract is concluded in the Customer Service Centre, within 3 (three) working days after the conclusion of the Contract; 5.7.2. if the Contract is concluded remotely via Website, within 5 (five) days after the sending of the proxy mentioned in p. 5.6. of the General provisions. 5.8. Mogo acquires ownership of the vehicle and Mogo transfers, but the Lessee accepts and acquires the Vehicle in the actual possession and use at the time when Vehicle is registered on Mogo’s name in CSDD. There is no need for separate Vehicle Acceptance Deed. 6. Payment of the Purchase price of the Vehicle 6.1. Vehicle purchase price is paid to the Lessee in cash in the Customer Service Centre or credit institution or via bank transfer to the Lessee’s account only after the fulfilment of all the provisions mentioned below: 6.1.1. if the Vehicle is purchased in CSDD - the Lessee has registered Vehicle in CSDD on Mogo's name indicating the Lessee as holder of the Vehicle, and if it is specified in the section of Basic provisions "Special provisions", submitted a copy of Vehicle registration certificate issued by CSDD to Mogo, which states that Mogo is registered as the owner and the Lessee as a holder, by presenting Mogo the original document; 6.1.2. if the Vehicle is purchased via e-CSDD - the Lessee has approved Mogo’s note on acceptance of the Vehicle ownership in accordance with the p. 5.2 of the General provisions; 6.1.3. The Lessee has provided Mogo one spare set of the keys of the Vehicle, if it is specified in the section "Special Provisions" of the Basic provisions; 6.1.4. The vehicle has OCTA, except it is specified in the Basic provisions that OCTA insurance is covered from the vehicle purchase price; 6.1.5. If in accordance with the provisions of the Contract KASKO insurance policy has to be provided to the Vehicle the Lessee has submitted Mogo the requested documents, which certifies that the Vehicle is KASKO insured under the provisions of the Contract, except if specified in the Basic provisions that KASKO insurance is covered from the Vehicle purchase price;

6.1.6. Collateral security contract has been signed and entered into force, if provided in the Basic provisions; 6.1.7. the other prerequisites specified in the section "Special Provisions" of the Basic provisions about the payment of the Vehicle purchase price are executed. 6.2. If specified in the Basic provisions that OCTA and/or KASKO insurance is covered from the Vehicle purchase price, then the Vehicle purchase price is paid in instalments in the amounts specified in the Basic provisions, by transferring the part to the Insurer as OCTA insurance premium and/or KASKO insurance premium, and part to the Lessee under the p. 6.1 of the General provisions when the provisions stated in the p. 6.1 of the General provisions are executed. 6.3. If specified in the Basic provisions that the Vehicle operating tax is covered by the Purchase price of the vehicle, the Vehicle purchase price is paid in instalments in the amounts stated in the Basic provisions as follows: 6.3.1. The first part is transferred to the Treasury as a vehicle operating tax after the fulfilment of all the provisions specified in the p. 6.1.3, 6.1.6 and 6.1.7 of the General provisions; 6.3.2. The second part is transferred to the Lessee under the p. 6.1 of the General provisions after the fulfilment of the provisions stated in the p. 6.1 of the General provisions. 6.4. It is considered at the moment of the performance of payments specified in the p. 6.1, 6.2 or 6.3 of the General provisions that the Lessee has received the purchase price of the vehicle (the relevant part). 6.5. If the Lessee within 5 (five) days after the receipt or sending of the proxy mentioned in the p. 5.6 of the General provisions or after Mogo has notified the Lessee about the note mentioned in the p. 5.1 of the General provisions 5, has not complied with the obligations specified in the p. 6.1 of the General provisions or at the moment of payment of the purchase price of the vehicle the Vehicle is encumbered with third party tangible rights, exclusions, restrictions or claims that may impede Mogo rights of use, Mogo is entitled not to pay the purchase price of the vehicle (its part). In this case, it is considered that the Contract is terminated and the Lessee within 5 (five) working days from the termination of the Contract pays back the first part (if any) of the Vehicle purchase price received from Mogo and re-register the Vehicle on its own name in CSDD. If the Lessee within the mentioned period hasn’t re-registered the Vehicle in CSDD on its own name, Mogo is entitled to deregister the vehicle in CSDD. 6.6. In case of the termination of the Contract, the Registration confirmation fee of the Lessee will not be returned to the Lessee. 7. Contract payments 7.1. The Lessee undertakes to make Vehicle leasing payments and interest payments within the deadlines, amounts and currency specified in the Schedule. Mogo prepares and submits to the Lessee invoices/statements on the monthly payment on the contract payments. Upon agreement of the parties, the new Schedule can be drawn up, setting another contract payment date. 7.2. The Lessee shall pay by bank transfer to Mogo’s account. 7.3. The Lessee is obliged to provide the Contract number in the payment purpose when paying by bank transfer in accordance with the Contract. 7.4. If the Lessee’s payment doesn’t comply with the provisions of p. 7.3 of the General provisions, Mogo is entitled to consider such payments as not received till its identification moment. Upon occurrence of the circumstances mentioned in this paragraph Mogo undertakes to inform the Lessee using one of the communication ways specified in p. 4.9 of the General provisions. 7.5. The Lessee is entitled to fully or partially redeem the vehicle before the end of the Leasing period by notifying Mogo on the exercise of these rights 3 (three) days in advance. If the Lessee redeems the vehicle prior to schedule in full, then

in such case the Lessee must pay Mogo the Outstanding value of the vehicle, including value added tax and accrued Interests. Interests shall be calculated on the assumption that there are 360 (three hundred sixty) days. 7.6. If the Contract payment date coincides with a weekend or holiday, the payments must be made on the next working day. 7.7. If during the Contract taxes or duties or laws and/or administrative decisions enter into force, resulting in conditions which impose additional payments on Mogo or reduce payments in connection with the Contract or the Vehicle, Mogo is entitled to respectively increase or decrease the contract payments upon 30 (thirty) days advance notice to the Lessee about the changes by sending the Lessee relevant invoice/ statement of monthly payments or new Schedule. 7.8. Mogo prepares invoices/ statements of monthly payment in electronic form, and they will be valid without a signature and stamp. Invoices/ statements of the monthly payment will be sent to the Lessee by e-mail specified in the Leasing application or the Contract. 8. Interests 8.1. The Lessee pays Mogo the Interests of the outstanding value of the vehicle for all the actual funding period until the termination of the Contract. After the termination of the Contract the Lessee shall pay the statutory interests to Mogo. 8.2 Interests, Statutory interests and penalty is calculated on the assumption that there are 360 days in a year. 8.3. Mogo calculates Interests on the basis of Interest rate. The Interest rate is expressed as monthly interest and is fixed. 9. Right of cancellation 9.1. The Lessee is entitled within 14 (fourteen) days from the date of the conclusion of the Contract to use the right of cancellation to withdraw from the Contract, without provision of reasons of cancellation. 9.2. The Lessee shall notify Mogo about the use of right of cancellation in writing, personally and by filling in the withdrawal form, or by sending Mogo completed and signed withdrawal form by post to the Mogo’s registered office or by e-mail. 9.3. If the Contract is concluded in the Customer Service Centre, then the Lessee receives withdrawal template at the moment of the conclusion of the Contract. If the Contract is concluded remotely via Website, it is possible to download the withdrawal template using this link: https://www.mogo.lv/uploads/mogo_atteikuma_tiesibu_izmantosanas_iesnieguma_veidlapa.pdf . 9.4. The Lessee is obliged not later than within 30 (thirty) days after the sending of notification of the use of right of cancellation, to repay Mogo the Outstanding vehicle value and accrued interests. Interests shall be calculated on the assumption that there are 360 (three hundred sixty) days. 9.5. In case of use of cancelation right the Lessee Registration confirmation fee will not be returned. The Lessee shall bear all costs associated with Outstanding vehicle value and accrued interest payment to Mogo, as well vehicle re-registration in CSDD on the Lessee's name. 9.6. . In case the right of cancellation has not been used within the period specified in the p. 9.1 of the General provisions the Lessee has no right to withdraw from the Contract, even in case of reimbursement of losses of Mogo. 10. Leasing period prolongation 10.1. The lessee is entitled to propose leasing prolongation, (i) by completing a Leasing prolongation application in the Customer Service Centre, or (ii) by sending Leasing prolongation application in the following format: "Please extend the period of the contract No. (Please specify the contract number)" from the Lessee’s e-mail address specified in the Leasing application to the Mogo’s e-mail address provided in the Contract or Website

10.2. Immediately after Mogo has received and evaluated the Leasing prolongation application, Mogo decides on leasing prolongation and Prolongation fee by notifying the Lessee in person or using one of the ways provided in the subsections of the p. 4.9 of the General provisions. 10.3. Not later than within 3 (three) working days after the notifying the Lessee about Mogo’s decision on leasing prolongation and prolongation fee the Lessee confirms Leasing prolongation by transferring Prolongation fee from the Lessee’s account opened in the credit institution registered in Latvia to Mogo account and in payment purpose indicating "agree to prolongation of the contract No. (Please specify the contract number)". If Mogo has not received the Prolongation fee from the Lessee within the period specified in this paragraph, Mogo decision on leasing prolongation and prolongation fee shall lapse and the Lessee must apply for Leasing prolongation period one more time. 10.4. Mogo is entitled to reject Leasing prolongation by notifying the Lessee. Mogo is not obliged to justify its refusal to extend the leasing period. 10.5. Leasing prolongation shall enter into force after Mogo has taken a decision on the leasing prolongation and prolongation fee and received a Prolongation fee. 10.6. Immediately after entry into force of Leasing prolongation Mogo sends new Schedule to the Lessee. 11. The rights and obligations of the Lessee 11.1. The Lessee is obliged to deal with the vehicle-related disputes, prevent all vehicle deficiencies and imperfections, as well as to take action against third parties if they somehow caused the loss to Mogo, by damaging the vehicle or unlawfully using it. The Lessee receives from Mogo power of attorney for fulfilment of these obligations in accordance with the p. 13.1 of the General provisions. 11.2. The lessee is obliged to use the vehicle carefully, according to its purpose and technical characteristics, according to the requirements of use and operation of the manufacturer and Mogo, as well as the technical documentation of the vehicle. 11.3. The Lessee is obliged at own expense to take measures to maintain the vehicle in good operating order, including warranties and/or to perform vehicle and warranty inspections and repair in a manner and within the period prescribed in the technical documentation of the vehicle, as well as timely perform state vehicle inspection. 11.4. The lessee is not entitled to alienate, pledge or otherwise encumber vehicle or its part. 11.5. The lessee is not entitled to give the vehicle in use to a third party without written consent of Mogo. As a third party within the meaning of this paragraph is not considered Leasing's spouse, children and parents. By giving the vehicle in use to the persons specified in this paragraph, the Lessee is responsible that such persons comply with the obligations specified for the driver, user, holder or owner in the normative acts of the Republic of Latvia, and the Lessee shall remain fully liable to Mogo for the fulfilment of the provisions of the Contract. 11.6. The lessee pays all additional payments and other costs associated with the vehicle registration and state vehicle inspection in CSDD specified in the Basic provisions, including insurance costs, as well as taxes and fees provided in the normative acts of the Republic of Latvia. The Lessee is obliged within the period specified by law to pay administrative penalties or other fines and other payments relating to the vehicle or which is obligatory to the driver, user, holder or owner of the vehicle. 11.7. The lessee is not entitled to make changes to vehicle technical package and make improvements without Mogo’s written consent, which contradict to the technical documentation of the vehicle or the requirements specified in the normative acts of the Republic of Latvia or which

cannot be removed without damaging the vehicle. Any improvements (equipment and parts) made in a vehicle and which cannot be removed without damaging the vehicle, is the property of Mogo in case of the takeover of the vehicle. 11.8. The Lessee is obliged to keep technical, warranty and vehicle-related documentation during the Contract period. In case of the document loss, the Lessee shall take the necessary measures to restore the documents, or receive the duplicate. 11.9. Upon the Mogo request the Lessee is obliged to present documents related to the use and insurance of the vehicle within 3 (three) working days. 11.10. If Mogo has a suspicion about the possible failure to perform obligations by the Lessee, the Lessee is obliged to show the vehicle within 3 (three) days upon the Mogo’s request and to provide Mogo the possibility to check the condition of the vehicle. 11.11. Partial or complete restriction to use the vehicle due to vehicle damage, loss or total destruction, vehicle-related disputes as well as disputes with the Insurer shall not release the Lessee from the execution of the obligations of the Contract. 11.12. The Lessee is obliged to pass the vehicle to Mogo with the manufacturer's assembly (including vehicle keys) in the cases specified in the Contract immediately upon first request. For the delay of the vehicle transfer in full manufacturer’s assembly the Lessee pays Mogo penalty in the amount of 0.5% (zero point five per cent) of the outstanding value of the vehicle for each day of vehicle in full manufacturer’s assembly provision delay, but not more than 10% (ten percent) of the outstanding value of the vehicle. Presented vehicle must have a manufacturer's assembly, it may not have any defects or faults that are not related to the vehicle normal wear and tear during the Contract, otherwise the Lessee is obliged to cover repairs and material costs necessary for the restoration of the vehicle condition in which it was on the day of payment of the vehicle purchase price within 3 (three) working days upon Mogo request. 11.13. The Lessee agrees that in cases specified in the Contract Mogo is entitled to acquire possession of the vehicle, taking over the vehicle in its power, if the Lessee fails to pass the Vehicle to Mogo on time. 11.14. The Lessee is obliged to immediately, but not later than within 5 (five) days to inform Mogo in written if: 11.14.1. The vehicle is lost, damaged, lost, confiscated or the probability of occurrence of such circumstances becomes known; 11.14.2. state registration number of the vehicle is changed; 11.14.3. technical and/or other documentation of the vehicle is lost; 11.14.4. the prohibition mark is registered on the vehicle; 11.14.5. court decision on the lessee's insolvency comes into legal force. 11.15. The Lessee undertakes to unconditionally fulfil obligations under the Contract and in connection with its execution undertakes the delay and random risk. The Lessee undertakes the random risk only if the Lessee has acted contrary to the law or contrary to the provisions of the Contract. 11.16. The Lessee is obliged to use only safe electronic communication and data transfer tools and equipment during the Contract period. 11.17. The lessee is obliged to carry out technical inspection not later than within 5 (five) days after the first registration of the vehicle and at least once a year. If the technical condition of the vehicle and its equipment is assessed with a "2" during the inspection, the Lessee has to eliminate all the defects assessed with “2” not later than within 30 (thirty) days after the inspection, at its own expense and to repeat the inspection. If the Lessee has not carried out technical inspection within 5 (five) days after the vehicle first registration or within 30 (thirty) days

after the technical inspection has not eliminated the defects assessed with "2", and has not carried out repeated inspection and obtained a permit to participate in road traffic, the Mogo is entitled, upon written notice, to unilaterally withdraw from the Contract, by complying with the other paragraphs of the Contract. 11.18. The Lessee is obliged to immediately, but not later than within 5 (five) working days to inform Mogo in writing, if the Lessee’s name, address, e-mail address, telephone number and other contact information is amended. 12. Insurance 12.1. The Lessee is obliged: 12.1.1. within 5 (five) days after the receipt or sending of the power of attorney mentioned in the p. 5.6 of the General provisions or after Mogo has notified the Lessee about the note specified in the p 5.1 of the General provisions, whichever comes sooner, to provide OCTA insurance of the Vehicle; 12.1.2. to ensure that during the whole period of the Contract OCTA insurance and KASKO insurance if necessary in accordance with the provisions of the Contract) of the vehicle is valid by submission of new KASKO insurance policy to Mogo not later than 5 (five) days prior to the KASKO insurance contract expires: (a) by sending scanned KASKO insurance policy to Mogo’s e-mail specified in the Contract, or (b) by submitting a copy of KASKO insurance policy to the Customer service Centre, presenting the original. 12.2. If the Lessee has not complied with the requirements of the section “Special provisions” of the Basic provisions and p. 12.1 of the General provisions Mogo is entitled to insure the vehicle for the period at its discretion. In this case the Lessee is obliged not later than within 10 (ten) days upon Mogo written invoice to reimburse Mogo insurance premiums paid by Mogo in accordance with Mogo’s invoice submitted to the Lessee. 12.3. The Lessee is obliged to comply with provisions of KASKO (if necessary in accordance with the provisions of the Contract) and OCTA insurance. 12.4. If specified in the Basic provisions KASKO insurance of the vehicle is not necessary from the moment when outstanding vehicle value is less than € 5,000 (or € 2500.00 in case of motorcycle). 12.5. In case of damage, destruction, theft or robbery of the vehicle the Lessee informs Mogo in writing and by means of other communication tools (e-mail, phone, etc.) within 1 (one) working day from the occurrence of the circumstances. 12.6. In case of insurance indemnity receipt, Mogo directs it first to cover the liabilities of the Lessee. If received insurance indemnity is not sufficient to cover the Lessee's liabilities, the Lessee is obliged to pay Mogo the difference within 5 (five) working days from the receipt of the insurance indemnity. 12.7. If the vehicle is damaged and the insurance indemnity is not received, the Lessee must restore the vehicle at its own expense, as well as continue to pay Contract payments. 12.8. If the insurance compensation exceeds the total amount of the debt of the Lessee Mogo pays the occurred difference to the Lessee, provided that the Lessee has no debts, arising from other contracts concluded between Mogo and the Lessee. If the Lessee has debts resulting from other contracts with Mogo, the difference is directed for coverage of such debts. 12.9. If insurance indemnity is not paid in case of destruction, theft or robbery of the vehicle and there is a notice of Insurer about that, the Lessee is obliged to pay Mogo the Outstanding vehicle value and other payments, calculated In accordance with the Contract provisions, within 15 (fifteen) working days from the refusal of compensation payment of insurance company. 12.10. Disputes concerning the refusal to pay insurance compensation or amount of the insurance compensation do not release the Lessee from the contractual obligations.

12.11. The Lessee, if necessary, represents Mogo in disputes with the Insurer on issues related to the payment of insurance indemnity or its amount. Disputes concerning the refusal to pay insurance compensation or amount of the insurance compensation do not release the Lessee from the contractual obligations. 13. Authority 13.1. After the receipt of the written request of the Lessee Mogo issues power of attorney to the Lessee in the following cases: 13.1.1. in cases specified in the p. 11.1 and 12.11 of the General provisions; 13.1.2. For driving and use of the Vehicle outside the territory if the Republic of Latvia if the vehicle has appropriate insurance and the Lessee does not have fulfilled obligations to Mogo. 13.2. Mogo is entitled to refuse the issuance of the power of attorney specified in the p. 13.1.2 of the General provisions, by giving notice to the Lessee. Mogo is not obliged to justify its refusal to issue the power of attorney. 14. Execution of the obligations 14.1. Contractual obligations are carried out in the currency of the Schedule. If the Lessee makes a payment in another currency, then Mogo at its option converts the corresponding amount into the currency of Schedule upon the commercial exchange rate of credit institution selected by Mogo or exchange rate of Bank of Latvia on the date of receipt of payment. If, after the conversion, the payment does not cover current payment in accordance with the Schedule, the Lessee undertakes to pay the debt within 3 (three) working days from the time of payment. Any charges associated with money transfers, contributions, etc., shall be covered by the Lessee. 14.2. The Contract shall continue until complete execution of the obligations and is deemed to be fulfilled from the moment the Lessee has paid Mogo the Outstanding vehicle value, the total amount of interests as well as the calculated penalty (if any were applied) and Mogo in accordance with the provisions of the Contract has passed ownership of the vehicle to the Lessee. In case the Lessee fails to register the vehicle in CSDD on his name within 5 (five) days from the day of fulfilment of contractual obligations, Mogo is entitled to deregister the vehicle in CSDD. 14.3. Contractual obligations are considered fulfilled on time, if executed not later than on the last day of the deadline. Payment obligation is fulfilled at the moment when the payment amount has been credited to the Mogo’s account. 14.4. In case of any conditions mentioned in the p. 16.3 of the General provisions the contract shall be considered terminated on the day when the Lessee sent a notice of termination of the Contract to Mogo. 14.5. Payments for the fulfilment of the obligations of the Contract are credited in the following order: 14.5.1. payment of Interests; 14.5.2. payment of vehicle-related costs (including vehicle insurance costs and costs associated with the vehicle registration in CSDD, administrative penalties, Additional payments, vehicle acquisition, elimination of deficiencies or damages and sales related costs); 14.5.3. payment of the Contract performance fee and other Mogo commissions; 14.5.4. payment of Leasing (laon) amount; 14.5.5. payment of penalty. 15. Liability 15.1. The Lessee assumes the risk of accidents (vehicle loss or damage) and responsibility of the owner of the source of increased danger with the acceptance of the vehicle under the provisions of p. 5.5 and 5.8 of the General provisions. 15.2. The lessee must report Mogo about the submission of application on Lessee’s insolvency to the court, within 1 (one) working day from the moment the application is submitted to the court. 15.3. Mogo is entitled to apply the penalty to the delay of payments specified in the Contract,

except Contractual penalty, till the execution of obligation or till the termination of the Contract in amount of 0.5% (zero point five percent) of the overdue amount for each day of delay, but not more than 10% (ten percent) of the outstanding value of the vehicle, but after the termination of the Contract statutory interests. 15.4. If the Lessee fails to comply with or violates any of the obligations stated in the p. 4.4, 4.5, 11.1-11.3, 11.6-11.8, 12.3, 12.7 or 18.13 of the General provisions the Lessee pays Mogo Penalty 1% (one percent) of the outstanding vehicle purchase price for each default. 15.5. For the violation of the provisions specified in the section “Special provisions” of the Basic provisions or p. 11.4, 11.5, 12.1.2, 12.2 or 16.4 of the General provisions the Lessee pays Mogo Penalty 5% (five percent) of the outstanding purchase price of the vehicle. 15.6. For the improper performance or failure to perform obligations specified in the p. 11.9, 11.10, 11.14, 12.1.1, 12.5, 12.9 or 15.2 of the General provisions on time (date) Mogo is entitled to apply penalty of 0.5% (zero point five percent) of the outstanding value of the vehicle for each day of delay, but not more than 10% (ten percent) of the outstanding value of the vehicle. 15.7. Payment of the penalty specified in the Contract shall not release the Lessee from the execution of its obligations specified in the Contract. 15.8. By using the means of communication during the execution of the Contract by the parties, Mogo is not responsible for losses incurred by mail, facsimile, electronic or other means of communication, as well as technical equipment used in order to provide relevant services of Mogo due to the use disturbances, including, but not limited to, communication failures, website malfunction, malfunction of electronic data exchange and payment systems of credit institutions (including Internet banking). 16. Duration and early termination of the Contract 16.1. The Contract enters into force upon signature and is concluded for the period specified in the Basic provisions. 16.2. The Contract shall lapse automatically if the the Lessee does not comply with the provisions of the p. 5.6 of the General provisions within 10 (ten) working days after the sending of power of attorney specified in the p. 5.7 of the General provisions. 16.3. Mogo is entitled, upon written notice, to unilaterally withdraw from the Contract upon occurrence of any of the following cases: 16.3.1. The Lessee within 5 (five) days after the Mogo has notified the Lessee about the note specified in the p. 5.1 of the General provisions, doesn’t confirm the note made by Mogo in a manner prescribed in the p. 5.2 of the General provisions; 16.3.2. The Lessee hasn’t fully or partially paid on time the amount specified in the Contract or the invoice/ statement of monthly payment of Mogo and the delay lasts for 10 (ten) days; 16.3.3. The vehicle has been stolen, completely lost, cannot be found, it is confiscated, adjudged or its use rights are limited from the side of third parties, and within 5 (five) working days after Mogo’s written warning the Lessee failed to provide other security of obligation acceptable for Mogo; 16.3.4. The lessee has provided false or incomplete information in the documents submitted to Mogo (including on the vehicle condition, road and water traffic accidents, additional equipment and damage) and the provision/ failure to provide such information has affected the execution of the obligations by the Lessee or Mogo’s decision on Leasing granting; 16.3.5. The value of the vehicle reduced due to activity or inactivity of the Lessee and it is less then Outstanding vehicle value for more than 10% (ten percent) and the Lessee has not reimbursed such difference between the value of the vehicle and the Outstanding vehicle value within 30 (thirty) days from the receipt of written notice of Mogo;

16.3.6. The lessee does not fulfil or improperly fulfils the obligations specified in the p. 11.2., 11.3., 11.9., 11.10 of the section “Special provisions” of the Basic provisions and such infringement is not eliminated within 5 (five) working days from written notice of Mogo or such infringement has been committed repeatedly; 16.3.7. The Lessee does not fulfil or improperly fulfils obligations stated in the p. 5.4 of the General provisions; 16.3.8. The Lessee violates the p. 11.4, 11.5 or 11.7 of the General provisions that results in the reduction of the value of the vehicle for more than 10% (ten percent); 16.3.9. guarantor - legal person who secured the obligations of the Lessee becomes insolvent, is in process of liquidation or fails to comply with the security provisions of the Contract, and the Lessee fails to provide other acceptable security to Mogo within 5 (five) working days after the receipt of written notice of Mogo; 16.3.10. guarantor - a natural person who secured the obligations of the Lessee is dead, is declared absent or missing, becomes insolvent or fails to comply with the security provisions of the Contract, and the Lessee fails to provide other acceptable security to Mogo within 5 (five) working days after the receipt of written notice of Mogo; 16.3.11. Justified claims are brought against the Lessee by the third parties which total amount exceeds 20% (twenty percent) of the outstanding value of the vehicle; 16.3.12. The lessee has failed to pay the administrative fines or other fines and other payments relating to the vehicle or which driver, user, holder or owner is obliged to pay within the period specified by law, if such total unpaid amount exceeds 140 EUR (one hundred forty euros) and such delay exceeds 30 (thirty) days; 16.3.13. if the Lessee has not complied with any other provisions provided in any other contract concluded between the Lessee and Mogo, and due to violation of which Mogo is entitled to unilaterally withdraw from this contract; 16.3.14. if the Lessee failed to insure the vehicle in a manner prescribed in the Contract and such breach is not eliminated within 5 (five) working days from receipt of the written notice of Mogo; 16.3.15. Court decision on the Lessee's insolvency comes into legal force; 16.3.16. The Lessee has died or is declared absent or missing. 16.4. In case of unilateral withdrawal of Mogo the Lessee is obliged to pass the Vehicle immediately to Mogo or its authorized person upon Mogo’s request, and to pay all contract payments prior to the vehicle transfer date, as well as other sums under this Contract within 7 (seven) working days. 16.5. If Mogo recedes from the Contract in accordance with the p. 16.3.3 of the General provisions the Lessee pays Mogo the Outstanding vehicle value, if any, within 10 (ten) working days from receipt of the Mogo request, if the Insurer decides to refuse to pay the insurance indemnity or insurance indemnity paid by the Insurer is less than Outstanding vehicle value and other payments to which Mogo is entitled in accordance with the Contract or incident with vehicle is not an insurance case. 16.6. If the Contract is early terminated or Mogo unilaterally withdraws from the contract (with the exception of certain cases of p. 16.3.3 of the General provisions), Mogo is entitled to sell the vehicle at a free price. Income from the vehicle sale will be allocated to the execution of the Lessee's obligations and coverage of the costs associated with the vehicle acquisition, deficiencies or damage prevention and selling. Lessee covers the difference between the amount of the Lessee’s debt and costs associated with the vehicle acquisition, deficiencies or damage prevention and selling and the price at which Mogo in accordance with the provisions of this paragraph sells vehicle to the third party within 5 (five) working days after receipt of the Mogo request.

16.7. After the Contract expires, when the Lessee has executed all obligations arising from the Contract and made all payments and on condition that the Lessee has no unfulfilled obligations to Mogo, Mogo transfers the ownership of the vehicle to the Lessee. The Lessee undertakes to register the ownership provided in this paragraph in CSDD at his own expense within 3 (three) working days after the expiry of the Contract. Mogo transfers and the Lessee acquire the ownership of the vehicle at the moment of vehicle registration in CSDD on the name of the Lessee. A separate deed of vehicle transfer to the Lessee is not required. 17. Gas equipment installation 17.1. The provisions of this Article shall be applied, if it is specified in the Basic provisions that Mogo finances gas equipment installation on the vehicle. 17.2. Vehicle purchase price is determined on the assumption that gas equipment will be installed on the Vehicle in accordance with the provisions of the Contract. 17.3. The Lessee is obliged within 30 (thirty) days after the receipt of the Vehicle purchase price (i) to take all necessary steps to install gas equipment on the Vehicle, (ii) to register reconstruction of the Vehicle in CSDD and (iii) to submit a copy of the Vehicle registration certificate to Mogo, presenting the original. 17.4. The lessee is obliged to ensure that gas equipment is installed on the Vehicle in accordance with the technical documentation of the Vehicle and requirements stated in the normative acts of the Republic of Latvia, as well as the installation of gas equipment shall be carried out only at the official vehicle manufacturers and constructors in Latvia, whose technical documentation is coordinated with CSDD. 18. Other provisions 18.1. If the Contract is concluded remotely Mogo upon the written request of the Lessee sends the Contract in writing to the e-mail address of the Lessee. Thus sent copy of the Contract should not be signed from Mogo’s side. 18.2. Within 3 (three) working days after the Lessee’s request Mogo shall send the Schedule free of charge to the e-mail address of the Lessee provided in the Contract or Leasing application in which Vehicle leasing payments and interest payments that should be performed by the Lessee, and their performance periods are indicated. 18.3. The Lessee is entitled to receive in the Customer Service Centre, by prior agreeing a mutually acceptable meeting time: (a) The draft of the contract in writing, and (b) information on the results obtained from the database/ databases, if Mogo justifies the refusal to issue leasing by information obtained from it/them. 18.4. If the Lessee requests Mogo to issue a written information about the Lessee's obligations performance history, Mogo prepares the requested information in writing not more than within 3 (three) working days, and Mogo is entitled to request the Lessee to cover the costs associated with written preparation and/or sending of the information, but not more than 7 EUR (excluding VAT) for each such written information. Mogo provides information on payments made in accordance with the Contract (payment extract) to the Lessee not more than within 3 (three) working days not asking the payment mentioned in this paragraph. 18.5. If the verbal expression of the figures in the text of the Contract differs from the numerical expression the verbal expression prevails. If Basic provisions are contrary to the General provisions, Basic provisions prevail. 18.6. Surveillance Authority: Consumer Rights Protection Centre, registration No. 90000068854, Brivibas Street 55, Riga, LV-1010. 18.7. All previous negotiations, agreements and correspondence of the Parties lose their legal force at the moment of conclusion of the Contract.

18.8. All notifications of the Parties have to be developed in writing in Latvian language and sent to the other party by mail, fax or e-mail to the mail address and/or e-mail address or fax number of the Lessee specified in the Contract or Leasing application. Sent mail is deemed received on the 5 (fifth) calendar day after the date of receipt of the registered letter indicated on the stamp of the Latvian post service. 18.9. Mogo is entitled to process the personal data of the Lessee (registered in State Data Inspectorate of the Republic of Latvia), as well as transfer and receive the data of the Lessee and other information from the third parties, databases, accounting systems (e.g., Population Register, State Social Insurance Agency, etc.) and process it in order to evaluate the solvency, to check the conformity of the provided information to the reality, customer records, offer, provision and maintenance of the services. The Lessee agrees to the procession of its data by third parties, and to the provision of the Lessee’s data to third parties on the Lessee and his liabilities (including active obligations, properly fulfilled obligations, as well as improperly fulfilled obligations) in order to evaluate the solvency of the Lessee, taking into account of the obligations of the Lessee to other creditors, to develop the credit history of the Lessee about both performed and outstanding obligations, well as to provide the opportunity to other creditors of the Lessee to get acquainted with the credit history of the Lessee and current liabilities to Mogo. 18.10. The Lessee agrees to the receipt, sending of Lessee’s data to the debt collection service providers, including, but not limited to, SIA Creditreform Latvijā, single registration number 40003255604, Lindorff Oy Latvian branch, single registration number 40003514990, SIA Paus Konsults, single registration number 40003352670, SIA Julianus Inkasso Latvija, single registration number 40003717522, UAB Gelvora Latvian branch, single registration number 40103208983, SIA Sergel, single registration number 40103183181, SIA Konsultatīvā sabiedrība Conventus, single registration number 40003428538, SIA Creditinfo Latvija, single registration number 40103239517, not only about the proper, but also about the improper fulfilment of the obligations. Mogo is entitled to provide information on the Lessee to the Mogo’s mother company, its managing company and any dependent company of the managing company, other companies or institutions that are directly or indirectly acquired a qualifying shareholding in Mogo share capital or in which Mogo has acquired direct or indirect shareholding, and to the personal data operators of the data processing systems, whose manager is Mogo, registered in the Data State Inspectorate of the Republic of Latvia, insofar as the information is necessary for execution of delegated functions. 18.11. The lessee agrees that Mogo uses e-mail address and/or phone number of the Lessee specified in the Contract for the delivery of commercial materials about Mogo or products provided by the affiliates of Mogo or campaigns. The Lessee is entitled to refuse receiving of Mogo’s commercial materials. 18.12. Mogo is entitled to call and send text messages (SMS) to the specified mobile operator number of the Lessee or any other phone number, send e-mails to the e-mail address specified by the Lessee and send the mail to the Lessee’s mail address in order to achieve the Lessee. 18.13. The Parties undertake not to disclose to third parties any information derived from the Contract, except cases provided in the normative acts of the Republic of Latvia and provisions of the Contract. 18.14. All amendments and supplements to the Contract will be valid only if expressed in writing and signed by both Parties, or if the following procedure is observed: 18.14.1. Mogo publishes and sends to the Lessee’s e-mail address offer of the amendments to the Contract, i.e. the General provisions, in

version sent to the e-mail address provided by the Lessee; 18.14.2. The Lessee shall adopt or reject the offer in writing or provide its counterproposal within 30 (thirty) calendar days from the offer of the amendments to the Contract, which can be approved or rejected by Mogo. Mogo informs the Lessee about the amendments in relation to the contract payments individually 30 (thirty) calendar days prior the effective day; 18.14.3. The Lessee agrees/ disagrees with Contract amendments offered by Mogo (new version of the Contract), by sending an e-mail from the e-mail provided in the Leasing application to the e-mail of the Mogo provided in the Contract or the home page in the following format: "Agree" or if rejects amendments - "Disagree”. 18.15. The lessee is not entitled to transfer all or part of the rights and obligations specified in the Contract as well as claims arising from the Contract to third parties without the written consent of Mogo. 18.16. Disputes between the parties in connection with the Contract shall be reviewed in court of the Republic of Latvia in accordance with effective normative acts of the Republic of Latvia. 18.17. If the Contract is concluded in the Customer Service Centre, the contract is drawn up and signed in two copies, one of which is for Mogo and one for the Lessee. Both copies of the Contract have the same legal force. 18.18. If the Contract is concluded remotely via Website, the Contract is stored in the Mogo’s database in the PDF format. Concluded Contract is stored in the database for an unlimited period. 18.19. The lessee agrees to Mogo right to transfer (cede) claims or their part arising from the Contract to an unlimited number of third parties. The lessee does not object that in this case Mogo discloses to third parties any information derived from the Contract. The lessee agrees and understands that Mogo is not obliged to inform the Lessee about the Mogo’s assignment to third parties arising from the Contract. 18.20. The Lessee agrees that, by assignment of the claims or its part to a third party arising from the Contract such third parties (assignees) are entitled to the assign these assigned claims or its part to unlimited number of third parties. In this case, a third party (assignee) has the same right as Mogo in accordance with the Contract to disclose to third parties the information which arise from the Contract, as well as information on the Lessee and the vehicle and is not obliged to inform the Lessee of such an assignment. 18.21. The Lessee agrees that in case of the assignment of claims arising from the Contract the Mogo has the right but not the obligation to continue to process the Contract payments under the Contract and vehicle in favour of new creditors, acting as a creditor agent (trustee) in accordance with section 18 of the Civil law. If Mogo continues to process Contract payments and vehicle under the Contract, the Lessee continues to make Contract payments to Mogo account or another account, specified in the Mogo’s notice to the Lessee. In addition, the Lessee agrees that Mogo is not obliged to inform the Lessee about the fact that Mogo continues to act as agent for the creditors (the Trustee). If Mogo assigns the claims arising from the Contract to third parties without further processing of the Contract payments and vehicle under the Contract, the Lessee continues to make Contract payments to the new creditor accounts indicated in the Mogo’s notice to the Lessee. 18.22. The lessee agrees that Mogo offering (advertising) to third parties the possibility to assign the claims arising from this Contract, is entitled to publicly disclose to third parties, including by publishing on the website the following information about the Borrower and vehicle: the gender of the Lessee, location, monthly net revenues, expenses, credit history, age, model of the vehicle, colour, manufacture year, engine capacity, mileage, value, images and other information about the Lessee and

vehicle. By public disclosure (promoting) of the possibility to assign claims arising from the Contract Mogo undertakes not to disclose publicly the Lessee's name, personal code, telephone number, email address, address and picture, as well as the vehicle state registration number.

II Part

GENERAL FINANCIAL LEASING CONTRACT PROVISIONS

1. Definitions

Deed Vehicle holding acceptance deed that is concluded between Mogo, Seller and Lessee.

Contract payments

Lessee payments to Mogo, which includes fee for contract execution, vehicle leasing payments, interests, contractual penalties and other payments specified in the Contract.

Amortization method Vehicle leasing payments are the same during the whole Lease period.

Contract This financial leasing contract concluded between the Lessee and Mogo with all its annexes and amendments.

Annuity method The total amount of monthly Vehicle leasing payments and Interest payments is the same during the whole Lease period.

Penalty Penalty specified in the general provisions is calculated for the nonfulfillment of the obligations stated in the Contract or delay of the implementation in the cases specified in the Contract till the termination of the Contract.

Insurer Legal person who insures the Vehicle. Contract execution fee

Lease (credit) amount

Lease amount specified in the Basic provisions that Mogo grants to the Lessee and that together with the First instalment in accordance with the provisions of the Contract is transferred or paid to the Seller as payment of the vehicle purchase price and which the Lessee is obliged to repay Mogo in accordance with the provisions of the Contract.

Guarantee letter Guarantee letter of Mogo to the Seller on the payment of the Purchase price, provided in accordance with the Purchase agreement, if the purchase of the vehicle is not executed via e-CSDD.

Annual interest rate (AIR)

The interest rate calculated in accordance with the effective regulations of Cabinet of Ministers and stated in the Basic provisions. Calculating AIR, it is assumed that initially determined interest rate is fixed for the entire Lease period; payments are made every month according to the schedule. All costs related to the execution of the Contract by Mogo are taken into account in the calculation. Additional payments, Renewal fee, Penalties and the approval fee for the amendments of the Contract specified in the Basic provisions are not taken into account in the calculation.

Leasing period Period specified in the Basic provisions during which the Lessee is entitled to use the vehicle and is obliged to pay the vehicle leasing payments and interest payments. If the lease term is extended or another contract payment date is assigned upon agreement of the Parties, the leasing period is prolonged respectively; in this case Parties shall draw up a new schedule, which forms an integral part of the Contract.

Schedule Vehicle leasing payment and interest payment schedule specified in the Basic provisions or nwly developed in accordance with the Contract provisions.

Leasing Vehicle rental with redemption in accordance with the provisions of the Contract.

KASKO insurance policy

Insurance policy, confirming that the insurance contract is concluded for a Vehicle insurance against damage and theft. KASKO insurance policy is required only for the following vehicles: 1) vehicle which is intended to be used as a taxi for passengers transportation; 2) vehicle which is intended to be used as a training vehicle; 3) tractors, trailers (of both vehicles and tractors), semi-trailers, tractor equipment, trucks, buses; 4) mopeds, motorcycles, tricycles, quadricycles if Unpaid amount of the vehicle is more than EUR 2,500 (two thousand five hundred euros).

Amount calculated on the day of conclusion of the Contract in accordance with the Regulations of Cabinet of Ministers that consists of the vehicle purchase price and all costs that Lessee have to pay in connection with the Contract.

Effective Regulations of the Cabinet of Ministers of the Republic of Latvia No.1219 "On the consumer lending" dated December 28, 2010.

Grace period The schedule indicates the period from the day of conclusion of the Contract (if applicable), during which Interests are calculated, but there is no need to make vehicle leasing payments and interest payments.

Mogo bank and account

Mogo bank and account specified in the Basic provisions or in the invoice/ statement of the monthly payment sent to the Lessee.

Statutory interests in accordance with effective legislation of the Republic of Latvia certain interests which amount on the day of the conclusion of the Contract is 6% per annum and which are calculated after termination of the Contract.

Outstanding value of the vehicle

Value of the vehicle on specific day that constitutes the difference between the amount of leasing and the vehicle leasing payments by the Lessee.

OCTA Compulsory civil liability insurance of owners of motor vehicles on behalf of vehicle owners.

Basic provisions I part of the Contract. Purchase price of the vehicle

Price of the vehicle specified in the basic provisions, which consists of Leasing amount and the First instalment.

Seller person from which the Lessee acquires the vehicle. Vehicle Vehicle or vessel (or several vehicles or vessels) stated in the Basic provisions that Mogo will purchase from the Seller upon the Lessee's instructions in accordance with the provisions of the Contract and the Purchase contract and which will be provided to the possession and use of the Lessee, but after the fulfilment of the Contract obligations – transferred to the ownership in the manner prescribed by the Contract. Hereafter and above in the text of the Contract the definition of vehicle will be used in relation to both single vehicle or vessel and all of them.

First instalment the amount corresponding to the participation of the Lessee in the Vehicle purchase transaction and is the securing performance of the obligations undertaken by the Lessee under the Contract.

Third party any person who is not a party of the contract.

II part of the Contract.

2. Subject of the Contract 2.1. Mogo undertakes to obtain ownership of the vehicle selected by the Lessee from the Seller designated by Lessee and give the Lessee the right to possess, use (rent) and to redeem the vehicle, but the Lessee undertakes to lease - rent vehicle with the right to redeem, as well as to pay the Contract payments in accordance with the provisions of the Contract. 2.2. The Lessee confirms that independently, at own discretion, has chosen Vehicle and is aware that the Vehicle is used. 2.3. Lessee on the instruction of Mogo purchased chosen vehicle on its own name for the Vehicle purchase price corresponding to the sum of Lease amount and the First instalment amount, if the Lessee has complied with the prerequisites for obtaining of the lease amount provided in the Contract. 3. Leasing application

3.1. Lessee can get acquainted with the Standard Information on European Consumer Credit before the submission of the leasing application. 3.2. In order to submit an application and Leasing to conclude Leasing Contract, the Lessee must meet, and the Lessee declares that it will correspond to the following criteria during the whole contract period: 3.2.1. Lessee is a natural person; 3.2.2. Lessee is from 18 till 75 years old; 3.2.3. Declared place of residence of the Lessee is in Republic of Latvia; 3.2.4. During the submission of Leasing application un conclusion of the Contract the Lessee is legally capable and is not under the influence of alcoholic, narcotic, psychotropic, toxic or other intoxicating substances.

3¹. Submission of the Leasing application to

Customer Service Centre

3.3. In order to conclude the Contract the Lessee shall submit Mogo’s Leasing application by filling in the Customer Service Centre.

3². Submission of the Leasing application via

website

3.4. In order to conclude the Contract the Lessee fills Leasing application on the website indicating all requested data. Confirming filled Leasing application on the website the Lessee submits it to Mogo and agrees to personal data processing specified in p. 17.9 and 17.10 of the General provisions. 3.5. When submitting Leasing application the Lessee confirms that the Lessee has an account in any credit institution registered in the Republic of Latvia, with which and with the funds on it, if any, it has the right to freely dispose. 4. Leasing granting and conclusion of the

Contract

4.1. Mogo is entitled to refuse the granting of leasing to the Lessee by informing the Lessee. Mogo is not obliged to justify its refusal to grant Lease. If the refusal to grant Lease is based on the data of the debtors' database, Mogo immediately and free of charge informs Lessee about this fact and data of the used database. 4.2. The Lessee is entitled to apply for Lease unlimited number of times. Mogo is entitled not to consider Leasing application and delay the decision on granting the Lease if the Lessee is in breach of any of the above provisions of the Contract concluded with Mogo. 4.3. Before the conclusion of Purchase contract the Lessee is obliged to check the quality and compliance of the vehicle to the requirements of

the Lessee and to check the legal status of the Vehicle. Mogo is not responsible for the quality of the vehicle and its compliance with the requirements of the Lessee, as well as for the proper execution of the obligations specified in the Purchase contract by the Seller. 4.4. The Lessee pays the Contract performance fee within 5 (five) days after the conclusion of the Contract, by transferring it to Mogo account. If within that period the Lessee has not paid Mogo Contract performance fee, Mogo is entitled, in written, to unilaterally withdraw from the Contract or to add Contract performance fee to outstanding value of the vehicle, that the Lessee pays to Mogo in accordance with schedule or together with the first vehicle leasing payment, or by splitting in equal instalments, which will be added to each Vehicle leasing payment.

4¹. Leasing granting and Conclusion of the

Contract in the Customer Service Centre

4.5. Mogo decides on the granting of Leasing and informs the Lessee immediately, but not later than within [●] ([●]) working days after the Mogo has received and evaluated Leasing application and get acquainted with the value of the vehicle. 4.6. Provisions of the Contract are explained to the Lessee and the Contract is concluded on-site in the Customer service centre in the presence of the Lessee. Submission of the Leasing application and clarifying of the provisions of the Contract to the Lessee is not considered conclusion of the Contract. Contract is considered concluded when it is signed by both Parties. 4.7. After the conclusion of the Contract the Lessee pays the First instalment to Mogo on the date specified in the Mogo’s invoice.

4². Leasing granting and Conclusion of the

Contract on the Website 4.8. Mogo draws up Leasing offer and informs the Lessee in one of the following ways immediately, but not later than within [●] ([●]) working days after the Mogo has received and evaluated Leasing application and get acquainted with the value of the vehicle: 4.8.1. by calling on the Lessee’s phone number provided Leasing application and informing the Lessee about the offered Leasing amount, First instalment, Leasing period, AIR and Total amount to be paid by the Lessee to Mogo; 4.8.2. by sending the Leasing offer and Contract to the e-mail address of the Lessee specified in the Leasing application. 4.9. After the receipt of the offer mentioned in the p. 4.8 of the General profisions necessary for the conclusion of the contract and acceptance of the vehicle the Lessee confirms the offer of the Mogo by transferring first instalment to Mogo’s account and providing in the payment purpose "agree with the provisions of the contract No. (Please specify the contract number)” from the Lessee's account opened in the credit institution registered in Latvia. 4.10. After the receipt of the First instalment in accordance with the p. 4.9 of the General provisions Mogo identifies the Lessee, ascertains the solvency of the Lessee and makes a decision on granting the Leasing to the Lessee. Mogo informs the Lessee about the decision using one of the ways specified in the p. 4.8 of the General provisions. 4.11. If Mogo refuses to grant Leasing to the Lessee, the Contract is considered as not existed. In this case, Mogo reimburses the First instalment to the Lessee within 3 (three) working days from the decision on refusal to grant leasing to the account from which the first instalment was transferred to Mogo. 4.12. If Mogo has made a decision on granting the leasing to the Lessee, then the Lessee during the phone call or by sending answer to Mogo’s e-mail address provides Mogo information on the declared and/or physical address of the Lessee to which proxy for performance of all the activities required for the acceptance of the vehicle from the Seller and signature of the Deed on behalf of the Mogo will be sent. 4.13. Contract as sent to the e-mail address of the Lessee specified in the Leasing application, enters into force at the time of Mogo has taken a decision to grant leasing to the Lessee and has informed the Lessee in a manner prescribed in the p. 4.10 of the General provisions. 4.14. Leasing application submitted in a manner prescribed in the General provisions and payment of the First instalment confirms that the Lessee wishes to receive Leasing in accordance with the provisions of the Contract.

5. Purchase and acceptance of the vehicle 5.1. Purchase contract will be concluded after the Lessee has paid the First instalment and Mogo has taken a decision on granting the leasing. By signing the Contract, the Lessee agrees to the provisions of the Purchase contract. 5¹. Purchase of the vehicle via e-CSDD

5.2. Seller not later than within [●] ([●]) working days from the effective date of the Purchase contract e-CSDD or CSDD deregisters the vehicle in Latvia and informs Mogo. Mogo shall make a note about the taking ownership of the vehicle and notifies the Lessee and the Seller immediately after deregistration of the vehicle in Latvia. 5.3. Immediately, but not later than within 5 (five) days after Mogo has informed the Seller about the note mentioned in p. 5.2 of the General provisions, Seller informs in e-CSDD or CSDD about the transferring of the vehicle to Mogo confirming the note made by Mogo. If the Seller does not approve the Mogo’s note within the period specified in this paragraph, the vehicle registration process on Mogo’s name is interrupted and Mogo’s mark is automatically removed from e-CSDD. In this case, Mogo is

entitled to either make a new note about the taking ownership of the vehicle, or to unilaterally withdraw from the Contract in a manner prescribed in the p. 16.3 of the General provisions. 5.4. Mogo (a) provides a note about authorization in CSDD system or sends a proxy for performing of all the activities necessary for the registration of Mogo as the vehicle owner and Lessee as the vehicle holder in CSDD on behalf of Mogo to the Seller’s address specified in the Purchase contract and (b) personally issues or sends to the Lessee a proxy for performing of all the activities necessary for acceptance of the Vehicle from the Seller and signature of the Deed on behalf of Mogo to the Lessee’s address. 5.5. Vehicle delivery deadline, place and other vehicle purchase and sales provisions are specified in the Purchase contract. 5.6. Mogo acquires ownership of the vehicle at the time when the Seller has approved Mogo’s note on taking ownership of the vehicle in accordance with the p. 5.3 of the General provisions. Mogo passes, but Lessee accepts and acquires the Vehicle in the actual possession and use upon the provisions of the Contract at the time when Mogo, Lessee and Seller have signed the Deed in accordance with the provisions of the Purchase contract. 5². Vehicke purchase in CSDD

5.7. Within 2 (two) working days after the conclusion of the Purchase contract Mogo (a) makes authorization note in the CSDD system and/or personally issues or sends a proxy for performing of all the activities necessary for the registration of Mogo as the vehicle owner and Lessee as the vehicle holder in CSDD on behalf of Mogo to the Seller’s address specified in the Purchase contract and (b) personally issues or sends to the Lessee a proxy for performing of all the activities necessary for acceptance of the Vehicle from the Seller and signature of the Deed on behalf of Mogo to the Lessee’s address. 5.8. Vehicle delivery deadline, place and other vehicle purchase and sales provisions are specified in the Purchase contract. 5.9. Mogo passes, but Lessee accepts and acquires the Vehicle in the actual possession and use upon the provisions of the Contract at the time when Mogo, Lessee and Seller have signed the Deed in accordance with the provisions of the Purchase contract. 6. Payment of the Purchase price of the

vehicle 6.1. Seller registers Mogo as the vehicle owner and the Lessee as a vehicle holder in CSDD within 5 (five) days after the receipt or sending of the proxy specified in p. 5.7 of the General provisions or after the Seller has approved Mogo’s note about the taking ownership of the vehicle. Before the complete fulfillment of the obligations specified in this paragraph the Lessee and/or the Seller is prohibited to drive vehicle on the highways, as well Mogo is entitled to deregister the vehicle in CSDD. 6.2. It is considered that the Lessee has received Leasing amount under the Contract from the moment Mogo has transferred the Purchase price of the vehicle to the Seller or Purchase price of the vehicle is paid to the seller or assigned person in cash. 6¹. Payment of the Purchase price of the

vehicle if acquired via e-CSDD 6.3. Mogopays the vehicle purchase price to the Seller within 3 (three) working days after the fulfilment of all the following provisions: 6.3.1. Seller has approved Mogo’s note on taking ownership of the vehicle in accordance with the p. 5.3 of the General provisions; 6.3.2. The Lessee has provided Mogo one set of spare keys of the vehicle, if it is specified in the section “Special provisions” of the Basic provisions; 6.3.3. The Lessee has submitted documents requested by Mogo, which certifies that the

vehicle is insured in accordance with the provisions of the Contract; 6.3.4. if it is specified in the section of the Basic provisions, Collateral security contract has been signed and entered into force; 6.3.5. the other prerequisites of the vehicle purchase price payment conditions specified in the section “Special provisions” of the Basic provisions are fulfilled; 6.3.6. The Lessee has submitted effective Deed to Mogo. 6.4. Vehicle purchase price is paid to the Seller by transferring it to the Seller's account or by paying in cash to the seller or his assigned person in the Customer Service Centre or credit institution. 6.5. Mogo is entitled not to pay vehicle purchase price in the following cases: 6.5.1. If the seller and/or the Lessee has not fulfilled the obligations mentioned in p. 6.3 of the General provisions within 5 (five) days after the Mogo has notified the Seller about the note specified in p. 5.2 of the General provisions; or 6.5.2. at the moment of payment of the vehicle purchase price vehicle is encumbered with tangible rights, exclusions, restrictions or claims of the third parties that may impede the use of Mogo’s rights. 6². Payment of the Purchase price of the

vehicle if acquired in CSDD

6.6. Mogo issues Guarantee letter to the Seller within 2 (two) working days after the fulfillment of all the following conditions: 6.6.1. The seller has registered vehicle in CSDD on Mogo's name as holder of the vehicle indicating the Lessee, and if it is specified in the section “Special provisions of the Basic provisions the Lessee has provided Mogo a copy of the vehicle registration certificate issued by CSDD which states that Mogo is registered as owner and the Lessee as the holder, presenting the original to Mogo; 6.6.2. The lessee has submitted to Mogo one set of spare keys of the vehicle, if it is specified in the section “Special provisions” of the Basic provisions; 6.6.3. The Lessee has submitted documents requested by Mogo, which certifies that the vehicle is insured in accordance with the provisions of the Contract; 6.6.4. if it is specified in the section of the Basic provisions, Collateral security contract has been signed and entered into force; 6.6.5. the other prerequisites of the vehicle purchase price payment specified in the section “Special provisions” of the Basic provisions are fulfilled. 6.7. Vehicle purchase price is paid to the Seller by transferring it to the Seller's account or by paying in cash to the Seller or his assigned person in the Customer Service Centre or credit institution within 3 (three) working days after the Seller or the Lessee has submitted effective Deed to Mogo. 6.8. Mogo is entitled not to pay vehicle purchase price in the following cases: 6.8.1. If the Seller and/or the Lessee has not fulfilled the obligations mentioned in p. 6.1 or 6.6 of the General provisions within 5 (five) days after the issuance or sending of the proxy mentioned in p. 5.7 of the General provisions; 6.8.2. if within 5 (five) working days after receipt of the Guarantee letter the Seller and/or the Lessee did not submit effective Deed to Mogo; or 6.8.3. At the moment of payment of the vehicle purchase price vehicle is encumbered with tangible rights, exclusions, restrictions or claims of the third parties that may impede the use of rights of Mogo. 6.9. It is considered in cases specified in paragraph 6.5 or 6.8 that the Contract and the Purchase contract have been terminated and the Lessee registers the vehicle in CSDD on the name of the Seller within 5 (five) working days from the termination of the Contract. If the Lessee fails to register the vehicle in CSDD on the name of the Seller within the specified period,

Mogo is entitled to carry out the registration on behalf of Lessee. In case specified in this paragraph the Mogo returns the Lessee First instalment from which kept back Mogo’s costs of the vehicle registration in CSDD on the name of the Seller (if any), within 5 (five) days from the vehicle registration moment in CSDD to the account from which the first instalment has been transferred to Mogo. 7. Contract payments 7.1. The Lessee undertakes to make Vehicle leasing payments and interest payments within the deadlines, amounts and currency specified in the Schedule. Mogo prepares and submits to the Lessee invoices/statements on the monthly payment on the contract payments. Upon agreement of the parties, the new Schedule can be drawn up, setting another contract payment date. 7.2. The Lessee shall pay by bank transfer to Mogo’s account. 7.3. The Lessee is obliged to provide the Contract number in the payment purpose when paying by bank transfer in accordance with the Contract. 7.4. If the Lessee’s payment doesn’t comply with the provisions of p. 7.3 of the General provisions, Mogo is entitled to consider such payments as not received till its identification moment. Upon occurrence of the circumstances mentioned in this paragraph Mogo undertakes to inform the Lessee using one of the communication ways specified in p. 4.8 of the General provisions. 7.5. The Lessee is entitled to fully or partially redeem the vehicle before the end of the Leasing period by notifying Mogo on the exercise of these rights 3 (three) days in advance. If the Lessee redeems the vehicle prior to schedule in full, then in such case the Lessee must pay Mogo the Outstanding value of the vehicle, including value added tax and accrued Interests. Interests shall be calculated on the assumption that there are 360 (three hundred sixty) days. 7.6. If the Contract payment date coincides with a weekend or holiday, the payments must be made on the next working day. 7.7. If during the Contract taxes or duties or laws and/or administrative decisions enter into force, resulting in conditions which impose additional payments on Mogo or reduce payments in connection with the Contract or the Vehicle, Mogo is entitled to respectively increase or decrease the contract payments upon 30 (thirty) days advance notice to the Lessee about the changes by sending the Lessee relevant invoice/ statement of monthly payments or new Schedule. 7.8. Mogo prepares invoices/ statements of monthly payment in electronic form, and they will be valid without a signature and stamp. Invoices/ statements of the monthly payment will be sent to the Lessee by e-mail specified in the Leasing application or the Contract.

8. Interests 8.1. The Lessee pays Mogo the Interests of the outstanding value of the vehicle for all the actual funding period until the termination of the Contract. After the termination of the Contract the Lessee shall pay the statutory interests to Mogo. 8.2 Interests, Statutory interests and penalty is calculated on the assumption that there are 360 days in a year. 8.3. Mogo calculates Interests on the basis of Interest rate. The Interest rate is expressed as monthly interest and is fixed. 8.4. During the grace period the Lessee is exempted from the obligation to make vehicle leasing payments and interest payments. 8.5. The Lessee shall pay Interests calculated during the grace period at the end of the grace period in equal instalments on a monthly basis together with the interests calculated after the grace period. Interest payments specified in the Schedule include interests calculated during the Grace period. 8.6. If the Lessee exercises its rights to fully redeem the vehicle specified in the p. 7.5 of the General provisions or its right of cancellation

specified in the p. 9.1 of the General provisions during the Grace period before the end of the Leasing period the Lessee is obliged to pay to Mogo Accrued interests on the use of funding during the Grace period simultaneously with the Outstanding vehicle value. 8.7. If the Lessee makes partial Vehicle leasing payments or Interest payments during the Grace period, accrued interests will be covered the first from the received amounts and then the vehicle leasing payments. Mogo undertakes to send nw Schedule to the Lessee within 5 (five) working days from the receipt of payment. 9. Right of cancellation 9.1. The Lessee is entitled within 14 (fourteen) days from the date of the conclusion of the contract to use the right of cancellation to to withdraw from the Contract, without provision of reasons of cancellation. 9.2. The Lessee shall notify Mogo about the use of right of cancellation in writing, personally and by filling in the withdrawal form, or by sending Mogo completed and signed withdrawal form by post to the Mogo’s registered office or by e-mail. 9.3. If the Contract is concluded in the Customer Service Centre, then the Lessee receives withdrawal form at the moment of the conclusion of the Contract. If the Contract is concluded remotely via Website, it is possible to download the withdrawal form using this link: https://www.mogo.lv/uploads/mogo_atteikuma_tiesibu_izmantosanas_iesnieguma_veidlapa.pdf. 9.4. If at the receipt of the Lessee’s notification about the use of right of cancellation Mogo has paid Vehicle purchase price to the Seller the Lessee is obliged not later than within 30 (thirty) days after the sending of notification of the use of right of cancellation, to repay Mogo the Outstanding vehicle value and accrued interests. Interests shall be calculated on the assumption that there are 360 (three hundred sixty) days. 9.5. If at the receipt of the Lessee’s notification about the use of right of cancellation Mogo has not paid Vehicle purchase price to the Seller then Mogo reimburses the Lessee the First instalment within 30 (thirty) days from the receipt of the Lessee’s notification about the use of right of cancellation to the account from which the first instalment has been transferred to Mogo. 9.6. In case of the use of Lessee’s right of cancellation the Lessee shall bear all costs associated with Outstanding vehicle value and accrued interest payment to Mogo or repayment of the First instalment, as well vehicle re-registration in CSDD on the Lessee's name. The use of right of cancellation specified in this Contract shall not affect the validity of the Purchase contract and the Lessee comes into Mogo place as the Buyer of the vehicle, taking all the rights and obligations resulting from the Purchase contract, including the obligation to pay the Seller the purchase price of the vehicle and accept the Vehicle. 9.7. In case the right of cancellation has not been used within the period specified in the p. 9.1 of the General provisions the Lessee has no right to withdraw from the Contract, even in case of reimbursement of losses of Mogo. 9.8. If during the period of this Contract in accordance with the requirements of normative acts the Lessee gets the right to require the Seller to cancel the Purchase contract due to the non-compliance of the Vehicle and reimburses the vehicle purchase price paid by the Lessee or the right to unilaterally terminate the Purchase contract as Seller fails to deliver the vehicle within the prescribed period, but the Lessee by fulfilling the activities specified in the normative acts fails to achieve the performance of the legal requirements from the Seller, the Lessee is entitled to bring a claim against Mogo within 6 (six) months from the date of receipt of the vehicle or the date on which the Lessee in accordance with the Purchase contract had to receive Vehicle. In this case, Mogo reviews the Lessee’s claim within 30 (thirty) days. 10. Leasing period prolongation

10.1. The lessee is entitled to propose leasing prolongation, (i) by completing a Leasing prolongation application in the Customer Service Centre, or (ii) by sending Leasing prolongation application in the following format: "Please extend the period the contract No. (Please specify the contract number)" from the Lessee’s e-mail address specified in the Leasing application to the Mogo’s e-mail address provided in the Contract or Website. 10.2. Immediately after Mogo has received and evaluated the Leasing prolongation application, Mogo decides on leasing prolongation and Prolongation fee by notifying the Lessee in person or using on of the ways provided in the subsections of the p. 4.8 of the General provisions. 10.3. Not later than within 3 (three) working days after the notifying the Lessee about Mogo’s decision on leasing prolongation and prolongation fee the Lessee confirms Leasing prolongation by transferring Prolongation fee from the Lessee’s account opened in the credit institution registered in Latvia to Mogo account and in payment purpose indicating "agree to prolongation of the contract No. (Please specify the contract number)". If Mogo has not received the Prolongation fee from the Lessee within the period specified in this paragraph, Mogo decision on leasing prolongation and prolongation fee shall lapse and the Lessee must apply for Leasing prolongation period one more time. 10.4. Mogo is entitled to reject Leasing prolongation by notifying the Lessee. Mogo is not obliged to justify its refusal to extend the leasing period. 10.5. Leasing prolongation shall enter into force after Mogo has taken a decision on the leasing prolongation and prolongation fee and received a Prolongation fee. 10.6. Immediately after entry into force of Leasing prolongation Mogo sends new Schedule to the Lessee.

11. The rights and obligations of the Lessee

11.1. The Lessee is obliged to deal with the vehicle-related disputes, prevent all vehicle deficiencies and imperfections, as well as to take action against third parties if they somehow caused the loss to Mogo, by damaging the vehicle or unlawfully using it. The Lessee receives from Mogo power of attorney for fulfilment of these obligations in accordance with the p. 13.1 of the General provisions. 11.2. The lessee is obliged to carefully use the vehicle, according to its purpose and technical characteristics, according to the requirements of use and operation of the manufacturer and Mogo, as well as the technical documentation of the vehicle. 11.3. The Lessee is obliged at own expense to take measures to maintain the vehicle in good operating order, including warranties and/or a to perform vehicle and warranty inspections and repair in a manner and within the period prescribed in the technical documentation of the vehicle, as well as timely to perform state vehicle inspection. 11.4. The lessee is not entitled to alienate, pledge or otherwise encumber vehicle or its part, as well as without written consent of Mogo to give the vehicle in use to a third party. As a third party within the meaning of this paragraph is not considered Leasing's spouse, children and parents. By giving the vehicle in use to the persons specified in this paragraph, the Lessee is responsible that such persons comply with the obligations specified to the driver, user, holder or owner in the normative acts of the Republic of Latvia, and the Lessee shall remain fully liable to Mogo for the fulfilment of the provisions of the Contract. 11.5. The lessee pays all additional payments and other costs associated with the vehicle registration and state vehicle inspection in CSDD specified in the Basic provisions, including insurance costs, as well as taxes and fees provided in the normative acts of the Republic of Latvia. The Lessee is obliged within the period

specified by law to pay administrative penalties or other fines and other payments relating to the vehicle or which is obligatory to the driver, user, holder or owner of the vehicle. 11.6. The lessee is not entitled without Mogo’s written consent to make changes to vehicle technical package and make improvements, which contradict to the technical documentation of the vehicle or the requirements specified in the normative acts of the Republic of Latvia or which cannot be removed without damaging the vehicle. Any improvements (equipment and parts) made in a vehicle and which cannot be removed without damaging the vehicle, is the property of Mogo in case of the takeover of the vehicle. 11.7. The Lessee is obliged to keep technical, warranty and vehicle-related documentation during the Contract period. In case of the document loss, the Lessee shall take the necessary measures to restore the documents, or receive the duplicate. 11.8. Upon the Mogo request the Lessee is obliged to present documents related to the use and insurance of the vehicle within 3 (three) working days. 11.9. If Mogo has a suspicion about the possible failure to perform obligations by the Lessee, the Lessee is obliged to show the vehicle within 3 (three) days upon the Mogo’s request and to provide Mogo the possibility to check the condition of the vehicle. 11.10. Patial or complete restriction to use the vehicle due to vehicle damage, loss or total destruction, vehicle-related disputes as well as disputes with the Insurer shall not release the Lessee from the execution of the obligations of the Contract. 11.11. The Lessee is obliged to pass the vehicle to Mogo with the manufacturer's assembly (including vehicle keys) in the cases specified in the Contract immediately upon first request. For the delay of the vehicle transfer in full manufacturer’s assembly the Lessee pays Mogo penalty in the amount of 0.5% (zero point five per cent) of the outstanding value of the vehicle for each day of vehicle in full manufacturer’s assembly provision delay, but not more than 10% (ten percent) of the outstanding value of the vehicle. Presented vehicle must have a manufacturer's assembly, it may not have any defects or faults that are not related to the vehicle normal wear and tear during the Contract, otherwise the Lessee is obliged to cover repairs and material costs necessary for the restoration of the vehicle condition in which it was on the day of payment of the vehicle purchase price within 3 (three) working days upon Mogo request. 11.12. The Lessee agrees that in cases specified in the Contract Mogo is entitled to acquire possession of the vehicle, taking over the vehicle in its power, if the Lessee fails to pass the Vehicle to Mogo on time. 11.13. The Lessee is obliged to immediately, but not later than within 5 (five) days to inform Mogo in written if: 11.13.1. The vehicle is lost, damaged, lost, confiscated or the probability of occurrence of such circumstances becomes known; 11.13.2. state registration number of the vehicle is changed; 11.13.3. technical and/or other documentation of the vehicle is lost; 11.13.4. the prohibition mark is registered on the vehicle; 11.13.5. court decision on the lessee's insolvency comes into legal force. 11.14. The Lessee undertakes to unconditionally fulfil obligations under the Contract and in connection with its execution undertakes the delay and random risk. The Lessee undertakes the random risk only if the Lessee has acted contrary to the law or contrary to the provisions of the Contract. 11.15. The Lessee is obliged to use only safe electronic communication and data transfer tools and equipment during the Contract period. 11.16. The lessee is obliged to carry out technical inspection not later than within 5 (five)

days after the first registration of the vehicle and at least once a year. If the technical condition of the vehicle and its equipment is assessed with a "2" during the inspection, the Lessee has to eliminate all the defects assessed with “2” not later than within 30 (thirty) days after the inspection, at its own expense and to repeat the inspection. If the Lessee has not carried out technical inspection within 5 (five) days after the vehicle first registration or within 30 (thirty) days after the technical inspection has not eliminated the defects assessed with "2", and has not carried out repeated inspection and obtained a permit to participate in road traffic, the Mogo is entitled, upon written notice, to unilaterally withdraw from the Contract, by complying with the other paragraphs of the Contract.11.17. The Lessee is obliged to immediately, but not later than within 5 (five) working days to inform Mogo in writing, if the Lessee’s name, address, e-mail address, telephone number and other contact information is amended. 12. Insurance 12.1. The Lessee is obliged: 12.1.1. within 5 (five) days after the receipt or sending of the power of attorney mentioned in the p. 5.2 of the General provisions or after Mogo has notified the Lessee about the note specified in the p 5.7 of the General provisions, whichever comes sooner, to provide OCTA insurance of the Vehicle; 12.1.2. to ensure that the during the whole period of the Contract OCTA insurance and KASKO insurance if necessary in accordance with the provisions of the Contract) of the vehicle is valid by submission of new KASKO insurance policy to Mogo not later than 5 (five) days prior to the comprehensive insurance contract expires: (a) by sending scanned KASKO insurance policy to Mogo’s e-mail specified in the Contract, or (b) by submitting a copy of KASKO insurance policy to the Customer service Centre, presenting the original. 12.2. If the Lessee has not complied with the requirements of the section “Special provisions” of the Basic provisions and p. 12.1 of the General provisions Mogo is entitled to insure the vehicle for the period at its discretion. In this case the Lessee is obliged not later than within 10 (ten) days upon Mogo written invoice to reimburse Mogo insurance premiums paid by Mogo in accordance with Mogo’s invoice submitted to the Lessee. 12.3. The Lessee is obliged to comply with provisions of KASKO (if necessary in accordance with the provisions of the Contract) and OCTA insurance. 12.4. In case provided in the Basic provisions KASKO insurance of the vehicle is not necessary from the moment when outstanding vehicle value is less than € 5,000 (or € 2500.00 in case of motorcycle). 12.5. In case of damage, destruction, theft or robbery of the vehicle the Lessee informs Mogo in writing and by means of other communication tools (e-mail, phone, etc.) within 1 (one) working day from the occurrence of the circumstances. 12.6. In case of insurance indemnity receipt, Mogo directs it first to cover the liabilities of the Lessee. If received insurance indemnity is not sufficient to cover the Lessee's liabilities, the Lessee is obliged to pay Mogo the difference within 5 (five) working days from the receipt of the insurance indemnity. 12.7. If the vehicle is damaged and the insurance indemnity is not received, the Lessee must restore the vehicle at its own expense, as well as continue to pay Contract payments. 12.8. If the insurance compensation exceeds the total amount of the debt of the Lessee Mogo pays the occurred difference to the Lessee, provided that the Lessee has no debts, arising from other contracts concluded between Mogo and the Lessee. If the Lessee has debts resulting from other contracts with Mogo, the difference is directed for coverage of such debts. 12.9. If insurance indemnity is not paid in case of destruction, theft or robbery of the vehicle and

there is a notice of Insurer about that, the Lessee is obliged to pay Mogo the Outstanding vehicle value and other payments, calculated In accordance with the Contract provisions, within 15 (fifteen) working days from the refusal of compensation payment of insurance company. 12.10. Disputes concerning the refusal to pay insurance compensation or amount of the insurance compensation do not release the Lessee from the contractual obligations. 12.11. The lessee, if necessary, represents Mogo in disputes with the Insurer on issues related to the the payment of insurance indemnity or its amount. Disputes concerning the refusal to pay insurance compensation or amount of the insurance compensation do not release the Lessee from the contractual obligations.

13. Authority 13.1. After the receipt of the written request of the Lessee Mogo issues power of attorney to the Lessee in the following cases: 13.1.1. in cases specified in the p. 11.1 and 12.11 of the General provisions; 13.1.2. For driving and use of the Vehicle outside the territory if the Republic of Latvia if the vehicle has appropriate insurance and the Lessee does not have fulfilled obligations to Mogo. 13.2. Mogo is entitled to refuse the issuance of the power of attorney specified in the p. 13.1.2 of the General provisions, by giving notice to the Lessee. Mogo is not obliged to justify its refusal to issue the power of attorney. 14. Execution of the obligations 14.1. Contractual obligations is carried out in the currency of the Schedule. If the Lessee makes a payment in another currency, then Mogo at its option converts the corresponding amount into the currency of Schedule upon the commercial exchange rate of credit institution selected by Mogo or exchange rate of Bank of Latvia on the date of receipt of payment. If, after the conversion the payment does not cover current payment in accordance with the Schedule, the Lessee undertakes to pay the debt within 3 (three) working days from the time of payment. Any charges associated with money transfers, contributions, etc., shall be covered by the Lessee. 14.2. The Contract shall continue until complete execution of the obligations and is deemed to be fulfilled from the moment the Lessee has paid Mogo the Outstanding vehicle value, the total amount of interests as well as the calculated penalty (if any were applied) and Mogo in accordance with the provisions of the Contract has passed ownership of the vehicle to the Lessee. In case the Lessee fails to register the vehicle in CSDD on his name within 5 (five) days from the day of fulfilment of contractual obligations, Mogo is entitled to deregister the vehicle in CSDD. 14.3. Contractual obligations are considered fulfilled on time, if executed not later than on the last day of the deadline. Payment obligation is fulfilled at the moment when the payment amount has been credited to the Mogo’s account. 14.4. In case of any conditions mentioned in the p. 16.3 of the General provisions the contract shall be considered terminated on the day when the Lessee sent a notice of termination of the Contract to Mogo. 14.5. Payments for the fulfilment of the obligations of the Contract are credited in the following order: 14.5.1. payment of Interests; 14.5.2. payment of vehicle-related costs (including vehicle insurance costs and costs associated with the vehicle registration in CSDD, administrative penalties, Additional payments, vehicle acquisition, elimination of deficiencies or damages and sales related costs); 14.5.3. payment of the Contract performance fee and other Mogo commissions; 14.5.4. payment of Leasing (laon) amount; 14.5.5. payment of penalty.

15. Liability

15.1. The Lessee assumes the risk of accidents (vehicle loss or damage) and responsibility of the owner of the source of increased danger with the acceptance of the vehicle under the provisions of p. 5.6 and 5.9 of the General provisions. 15.2. The lessee must report Mogo about the submission of application on Lessee’s insolvencyto the court, within 1 (one) working day from the moment the application is submitted to the court. 15.3. Mogo is entitled to apply the penalty to the delay of payments specified in the Contract, except Contractual penalty, till the execution of obligation or till the termination of the Contract in amount of 0.5% (zero point five percent) of the overdue amount for each day of delay, but not more than 10% (ten percent) of the outstanding value of the vehicle, but after the termination of the Contract statutory interests. 15.4. If the lessee fails to comply with or violates any of the obligations stated in the p. 4.3, 11.1-11.3, 11.5-11.7, 12.3, 12.7 or 17.15 of the General provisions the Lessee pays Mogo Penalty 1% (one percent) of the outstanding vehicle purchase price for each default. 15.5. For the violation of the provisions specified in the section “Special provisions” of the Basic provisions or p. 11.4, 12.1.2, 12.2 or 16.4 of the General provisions the Lessee pays Mogo Penalty 5% (five percent) of the outstanding purchase price of the vehicle. 15.6. For the improper performance or failure to perform obligations specified in the p. 11.8, 11.9, 11.13, 12.1.1, 12.5, 12.9 or 15.2 of the General provisions on time (date) Mogo is entitled to apply penalty of 0.5% (zero point five percent) of the outstanding value of the vehicle for each day of delay, but not more than 10% (ten percent) of the outstanding value of the vehicle. 15.7. Payment of the penalty specified in the Contract shall not release the Lessee from the execution of its obligations specified in the Contract. 15.8. By using the means of communication during the execution of the Contract by the parties, Mogo is not responsible for losses incurred by mail, facsimile, electronic or other means of communication, as well as technical equipment used in order to provide relevant services of Mogo due to the use disturbances, including, but not limited to, communication failures, website malfunction, malfunction of electronic data exchange and payment systems of credit institutions (including Internet banking). 16. Duration and early termination of the

Contract 16.1. The Contract enters into force upon signature and is concluded for the period specified in the Basic provisions. 16.2. The Contract shall lapse automatically if the Seller and/or the Lessee does not comply with the provisions of the p. 6.5 of the General provisions within 10 (ten) working days after the sending of power of attorney specified in the p. 5.7 of the General provisions. 16.3. Mogo is entitled, upon written notice, to unilaterally withdraw from the Contract upon occurrence of any of the following cases: 16.3.1. The Seller within 5 (five) days after the Mogo has notified the Seller about the note specified in the p. 5.2 of the General provisions, doesn’t confirm the note made by Mogo in a manner prescribed in the p. 5.3 of the General provisions; 16.3.2. The Lessee hasn’t fully or partialy paid on time the amount specified in the Contract or the invoice/ statement of monthly payment of Mogo and the delay lasts for 10 (ten) days; 16.3.3. The vehicle has been stolen, completely lost, can not be found, it is confiscated, adjudged or its use rights are limited from the side of third parties, and within 5 (five) working days after Mogo’s written warning the Lessee failed to provide other security of obligation acceptable for Mogo; 16.3.4. The lessee has provided false or incomplete information in the documents submitted to Mogo (including on the vehicle

condition, road and water traffic accidents, additional equipment and damage) and the provision/ failure to provide such information has affected the execution of the obligations by the Lessee or Mogo’s decision on Leasing granting; 16.3.5. The value of the vehicle reduced due to activity or inactivity of the Lessee and it is less then Outstanding vehicle value for more than 10% (ten percent) and the Lessee has not reimbursed such difference between the value of the vehicle and the Outstanding vehicle value within 30 (thirty) days from the receipt of written notice of Mogo; 16.3.6. The lessee does not fulfil or improperly fulfils the obligations specified in the p. 11.2., 11.3., 11.8., 11.9 of the section “Special provisions” of the Basic provisions and such infringement is not eliminated within 5 (five) working days from written notice of Mogo or such infringement has been committed repeatedly; 16.3.7. The seller does not fulfil or improperly fulfils obligation of the Purchase contract to register Mogo in CSDD as the vehicle owner and the Lessee as the vehicle holder; 16.3.8. The Lessee violates the p. 11.4 or 11.6 of the General provisions resulting the reduction of the value of the vehicle for more than 10% (ten percent); 16.3.9. guarantor which secured the obligations of the Lessee becomes insolvent, is in process of liquidation or fails to comply with the security provisions of the Contract, and the Lessee fails to provide other acceptable security to Mogo within 5 (five) working days after the receipt of written notice of Mogo; 16.3.10. Justified claims are brought against the Lessee by the third parties which total amount exceeds 20% (twenty percent) of the outstanding value of the vehicle; 16.3.11. The lessee has failed to pay the administrative fines or other fines and other payments relating to the vehicle or which driver, user, holder or owner is obliged to pay within the period specified by law, if such total unpaid amount exceeds 140 EUR (one hundred forty euros) and such delay exceeds 30 (thirty) days; 16.3.12. if the Lessee has not complied with any other provisions provided in any other contract concluded between the Lessee and Mogo, and due to violation of which Mogo is entitled to unilaterally withdraw from this contract; 16.3.13. if the Lessee failed to insure the vehicle in a manner prescribed in the Contract and such breach is not eliminated within 5 (five) working days from receipt of the written notice of Mogo; 16.3.14. Court decision on the Lessee's insolvency comes into legal force. 16.4. In case of unilateral withdrawal of Mogo the Lessee is obliged to pass the Vehicle immediately to Mogo or its authorized person upon Mogo’s request, and to pay all contract payments prior to the vehicle transfer date, as well as other sums under this Contract within 7 (seven) working days. 16.5. If Mogo recedes from the Contract in accordance with the p. 16.3.3 of the General provisions the Lessee pays Mogo the Outstanding vehicle value, if any, within 10 (ten) working days from receipt of the Mogo request, if the Insurer decides to refuse to pay the insurance indemnity or insurance indemnity paid by the Insurer is less than Outstanding vehicle value and other payments to which Mogo is entitled in accordance with the Contract or incident with vehicle is not an insurance case. 16.6. If the Contract is early terminated or Mogo unilaterally withdraws from the contract (with the exception of certain cases of p. 16.3.3 of the General provisions), Mogo is entitled to sell the vehicle at a free price. Income from the vehicle sale will be allocated to the execution of the Lessee's obligations and coverage of the costs associated with the vehicle acquisition, deficiencies or damage prevention and selling. Lessee covers the difference between the amount of the Lessee’s debt and costs associated with with the vehicle acquisition, deficiencies or damage prevention and selling and the price at which Mogo in accordance with

the provisions of this paragraph sells vehicle to the third party within 5 (five) working days after receipt of the Mogo request. 16.7. After the Contract expires, when the Lessee has executed all obligations arising from the Contract and made all payments and on condition that the Lessee has no unfulfilled obligations to Mogo, Mogo transfers the ownership of the vehicle to the Lessee. The Lessee undertakes to register the ownership provided in this paragraph in CSDD at his own expense within 3 (three) working days after the expiry of the Contract. Mogo transfers and the Lessee acquire the ownership of the vehicle at the moment of vehicle registration in CSDD on the name of the Lessee. A separate deed of vehicle transfer to the Lessee is not required. 17. Other provisions 17.1. If the Contract is concluded remotely Mogo upon the written request of the Lessee sends the Contract in writing to the e-mail address of the Lessee. Thus sent copy of the Contract should not be signed from Mogo’s side. 17.2. Within 3 (three) working days after the Lessee’s request Mogo shall send the Schedule free of charge to the e-mail address of the Lessee provided in the Contract or Leasing application in which Vehicle leasing payments and interest payments that should be performed by the Lessee, and their performance periods are indicated. 17.3. The Lessee is entitled to receive in the Customer Service Centre, by prior agreeing a mutually acceptable meeting time: (a) The draft of the contract in writing, and (b) information on the results obtained from the database/ databases, if Mogo justifies the refusal to issue leasing by information obtained from it/them. 17.4. If the Lessee requests Mogo to issue a written information about the Lessee's obligations performance history, Mogo prepares the requested information in writing not more than within 3 (three) working days, and Mogo is entitled to request the Lessee to cover the costs associated with written preparation and/or sending of the information, but not more than 7 EUR (excluding VAT) for each such written information. Mogo provides information on payments made in accordance with the Contract (payment extract) to the Lessee not more than within 3 (three) working days not asking the payment mentioned in this paragraph. 17.5. If the verbal expression of the figures in the text of the Contract differs from the numerical expression the verbal expression prevails. If Basic provisions are contrary to the General provisions, Basic provisions prevail. 17.6. Surveillance Authority: Consumer Rights Protection Centre, registration No. 90000068854, Brivibas Street 55, Riga, LV-1010. 17.7. All previous negotiations, agreements and correspondence of the Parties lose their legal force at the moment of conclusion of the Contract. 17.8. All notifications of the Parties have to be developed in writing in Latvian language and sent to the other party by mail, fax or e-mail to the mail address and/or e-mail address or fax number of the Lessee specified in the Contract or Leasing application. Sent mail is deemed received on the 5 (fifth) calendar day after the date of receipt of the registered letter indicated on the stamp of the Latvian post service. 17.9. Mogo is entitled to process the personal data of the Lessee (registered in State Data Inspectorate of the Republic of Latvia), as well as transfer and receive the data of the Lessee and other information from the third parties, databases, accounting systems (e.g., Population Register, State Social Insurance Agency, etc.) and process it in order to evaluate the solvency, to check the conformity of the provided information to the reality, customer records, offer, provision and maintenance of the services. The Lessee agrees to the procession of its data by third parties, and to the provision of the Lessee’s data to third parties on the Lessee and his liabilities (including active obligations, properly

fulfilled obligations, as well as improperly fulfilled obligations) in order to evaluate the solvency of the Lessee, taking into account of the obligations of the Lessee to other creditors, to develop the credit history of the Lessee about both performed and outstanding obligations, well as to provide the opportunity to other creditors of the Lessee to get acquainted with the credit history of the Lessee and current liabilities to Mogo. 17.10. The Lessee agrees to the receipt, sending of Lessee’s data to the debt collection service providers, including, but not limited to, SIA Creditreform Latvijā, single registration number 40003255604, Lindorff Oy Latvian branch, single registration number 40003514990, SIA Paus Konsults, single registration number 40003352670, SIA Julianus Inkasso Latvija, single registration number 40003717522, UAB Gelvora Latvian branch, single registration number 40103208983, SIA Sergel, single registration number 40103183181, SIA Konsultatīvā sabiedrība Conventus, single registration number 40003428538, SIA Creditinfo Latvija, single registration number 40103239517, not only about the proper, but also about the improper fulfilment of the obligations. Mogo is entitled to provide information on the Lessee to the Mogo’s mother company, its managing company and any dependent company of the managing company, other companies or institutions that are directly or indirectly acquired a qualifying shareholding in Mogo share capital or in which Mogo has acquired direct or indirect shareholding, and to the personal data operators of the data processing systems, whose manager is Mogo, registered in the Data State Inspectorate of the Republic of Latvia, insofar as the information is necessary for execution of delegated functions. 17.11. The lessee agrees that Mogo uses e-mail address and/or phone number of the Lessee specified in the Contract for the delivery of commercial materials about Mogo or products provided by the affiliates of Mogo or campaigns. The Lessee is entitled to refuse receiving of Mogo’s commercial materials 17.12. Mogo is entitled to call and send text messages (SMS) to the specified mobile operator number of the Lessee or any other phone number, send e-mails to the e-mail address specified by the Lessee and send the mail to the Lessee’s mail address in order to achieve the Lessee. 17.13. The Parties undertake not to disclose to third parties any information derived from the

Contract, except cases provided in the normative acts of the Republic of Latvia and provisions of the Contract. 17.14. All amendments and supplements to the Contract will be valid only if expressed in writing and signed by both Parties, or if the following procedure is observed: 17.14.1. Mogo publishes and sends to the Lessee’s e-mail address offer of the amendments to the Contract, i.e. the General provisions, in version sent to the e-mail address provided by the Lessee; 17.14.2. The Lessee shall adopt or reject the offer in writing or provide its counterproposal within 30 (thirty) calendar days from the offer of the amendments to the Contract, which can be approved or rejected by Mogo. Mogo informs the Lessee about the amendments in relation to the contract payments individually 30 (thirty) calendar days prior the effective day; 17.14.3. The Lessee agrees/ disagrees with Contract amendments offered by Mogo (new version of the Contract), by sending an e-mail from the e-mail provided in the Leasing application to the e-mail of the Mogo provided in the Contract or the home page in the following format: "Agree" or if rejects amendments - "Disagree”. 17.15. The lessee is not entitled to transfer all or part of the rights and obligations specified in the Contract as well as claims arising from the Contract to third parties without the written consent of Mogo. 17.16. Disputes between the parties in connection with the Contract shall be reviewed in court of the Republic of Latvia in accordance with effective normative acts of the Republic of Latvia. 17.17. If the Contract is concluded in the Customer Service Centre, the contract is drawn up and signed in two copies, one of which is for Mogo and one for the Lessee. Both copies of the Contract have the same legal force. 17.18. If the Contract is concluded remotely via Website, the Contract is stored in the Mogo’s database in the PDF format. Concluded Contract is stored in the database for an unlimited period. 17.19. The lessee agrees to Mogo right to transfer (cede) claims or their part arising from the Contract to an unlimited number of third parties. The lessee does not object that in this case Mogo discloses to third parties any information derived from the Contract. The lessee agrees and understands that Mogo is not obliged to inform the Lessee about the Mogo’s

assignment to third parties arising from the Contract. 17.20. The Lessee agrees that, by assignment of the claims or its part to a third party arising from the Contract such third parties (assignees) are entitled to the assign these assigned claims or its part to unlimited number of third parties. In this case, a third party (assignee) has the same right as Mogo in accordance with the Contract to disclose to third parties the information which arise from the Contract, as well as information on the Lessee and the vehicle and is not obliged to inform the Lessee of such an assignment. 17.21. The Lessee agrees that in case of the assignment of claims arising from the Contract the Mogo has the right but not the obligation to continue to process the Contract payments under the Contract and vehicle in favour of new creditors, acting as a creditor agent (trustee) in accordance with section 18 of the Civil law. If Mogo continues to process Contract payments and vehicle under the Contract, the Lessee continues to make Contract payments to Mogo account or another account, specified in the Mogo’s notice to the Lessee. In addition, the Lessee agrees that Mogo is not obliged to inform the Lessee about the fact that Mogo continues to act as agent for the creditors (the Trustee). If Mogo assigns the claims arising from the Contract to third parties without further processing of the Contract payments and vehicle under the Contract, the Lessee continues to make Contract payments to the new creditor accounts indicated in the Mogo’s notice to the Lessee. 17.22. The lessee agrees that Mogo offering (advertising) to third parties the possibility to assign the claims arising from this Contract, is entitled to publicly disclose to third parties, including by publishing on the website the following information about the Borrower and vehicle: the gender of the Lessee, location, monthly net revenues, expenses, credit history, age, model of the vehicle, colour, manufacture year, engine capacity, mileage, value, images and other information about the Lessee and vehicle. By public disclosure (promoting) of the possibility to assign claims arising from the Contract Mogo undertakes not to disclose publicly the Lessee's name, personal code, telephone number, email address, address and picture, as well as the vehicle state registration number. .
