Follow These Simple Steps to Get Your Credit Approvals @once:1. Go to www.OnceFinanceUS.com and enter your UserID and (initial) Password provided to you

following your account setup.

2. The Homepage will display a list of your recent Credit Applications.

3. To submit a Credit Application click on Apply, then select Lease Application and Standard Lease.

4. On the Vendor Selection page select your vendor number.

5. On the Customer Search page, find your customer. Search with a Customer Phone NumberOR combination of the Customer Name and first three digits of the Zip Code. If your areunable to find your customer, then click on: Enter a New Customer.

6. Complete the Credit Application by entering the following Required Information:

9. Review the Verification page and click on Submit this Application.

10. Click on Home to track the status of your Credit Applications.

Cisco Capital Commercial’s autodoc process allows the Partner to control the lease processfrom application entry to funding. The Partner controls the interaction with the end user, thesubmittal of documents to Cisco Capital Commercial and the solution installation. Of course theCisco Capital team is always available to assist you where needed. To be eligible for AutoDocs,the application must be entered via the @once internet tool. If you are not a Partner registeredfor @once, please call 866-CISCO-80 to get set up.

Next Steps:

1. AutoDocs will be generated after a lease application has been priced and credit approved.

2. The 1-page lease document will be attached to the approval email notification and accompa-nied with an approval memo.

3. Please review the approval memo and the 1-page lease document to ensure that the lesseename, address, lease term, and payment amounts are in agreement with your expectations.See Section 2 of the sample lease document. The approval letter will identify any approvalconditions that were imposed that are different from the application submittal. If they areincorrect, or if the transaction changes in any way after the original submittal, simply call yourInside Sales Representative noted in the approval letter at 866-CISCO-80. They will be ableto assist you in getting these changes approved and obtaining a new set of lease documents.

4. Identify the final BOM, equipment quote or equivalent for this transaction.

5. Simply handwrite into the equipment info field (Section 2) the BOM or quote number andthe date of issuance (Section 3). This BOM or quote is now part of the lease documentationpackage.

6. Section 4 identifies the amount of all advance payments that are due by the customer uponlease signing. Please review this amount.

7. The authorized signor is identified in item 4 (Section 5) of the approval letter. Please have thisindividual sign the lease document and the attached BOM or quote.

8. Fax the signed documentation package (1-page lease document and signed BOM/quote) toCisco Capital Commercial.

9. Mail the signed documentation package to:

Upon receipt and review of the completed doc package, Cisco Capital Commercial will issuea purchase order for an amount equal to the total solution cost as stated on the BOM or quote.

taxes or charges on your behalf, you will (except as to those taxes or charges listed above which we haveincluded in the System cost and which will be repaid to us through your Lease Payments) reimburse us for allsuch payments and will pay us interest at a late charge (as calculated in Section 1) on such payments, plus afee for our collecting and administering any taxes, assessments or fees and remitting them to the appropriateauthorities, such reimbursement, interest and fee to be due and payable with the next Lease Payment. Youwill indemnify us on an after-tax basis against the loss, unavailability or recapture of any System ownershiptax benefits anticipated by us at the Commencement Date arising out of your acts or omissions.

You will give us at least 60 days but not more than 120 days written notice (to our addressbelow) before the expiration of the initial lease term (or any renewal term) of your intention to purchase orreturn the System. With proper notice you may: a) purchase the complete System as indicated above under“End of Lease Option”(fair market value purchase option amounts will be determined by us based on theSystem’s in place value); or b) return the complete System in good working condition at your cost in a timelymanner, and to a location we designate. If you fail to notify us, or if you do not (i) purchase or (ii) return theSystem as provided herein, this Lease will automatically renew at the same payment amount for consecutive60-day periods. If any System Software license, Software or Support is in your name your ownership orrights thereto, as applicable, shall automatically, at our election and without further action, hereby vest in us,and, in connection therewith, you hereby relinquish any subsequent claims with respect thereto. If, inconnection with our Software or Support rights, licensor’s or provider’s consent is required, you will assist usin obtaining such consent.

You are in default on this Lease if: a) you fail to pay a Lease payment or anyother amount when due; or b) you breach any other obligation under this Lease or any other lease orfinancing with us. If you are in default on this Lease we may: (i) declare the entire balance of unpaid Leasepayments for the full Lease term immediately due and payable to us; (ii) sue you for and receive the totalamount due on the Lease plus, as applicable, the System’s anticipated end of Lease fair market value (asdetermined by us) or fixed price purchase option (the “Residual”) with future Lease payments and theResidual discounted to the date of default at the lesser of (A) a per annum interest rate equivalent to that of aU.S. Treasury constant maturity obligation (as reported by the U.S. Treasury Department) that would have arepayment term equal to the remaining Lease term, all as reasonably determined by us, or (B) 3% perannum, plus reasonable collection and legal costs; (iii) charge you interest on all monies due at the rate of18% per year or the highest rate permitted by law from the date of default; (iv) require that you immediatelyreturn the System to us or we may peaceably repossess it if you fail to return it to us, and/or (v) cause anySoftware or Support provider to terminate, as applicable, all of your rights to use or have available, asapplicable, any or all of any or all Software and/or Support, and you acknowledge that Cisco Systems, Inc, orany affiliate thereof (collectively, “Cisco”), as third party beneficiary of this Lease provision, may terminateyour right to use any or all Cisco Software and/or Cisco Support under any Software or Supportarrangement, without liability for any reason whatsoever. Any return or repossession will not be considered atermination or cancellation of the Lease. If the System is returned or repossessed we will sell, re-rent orotherwise dispose of the System at terms we determine, at one or more public or private sales, with orwithout notice to you, and apply the net proceeds (after deducting any related expenses) to your obligations.You remain liable for any deficiency with any excess being retained by us.

You agree the Lease is a Finance Lease as defined in Article 2A of the UniformCommercial Code (“UCC”). You acknowledge we have given you the name of the System supplier; agreethat you may have rights under the contract with the supplier and may contact the supplier for a descriptionof these rights.

You agree to waive any and all rights and remedies granted to you underSections 2A-508 through 2A-522 of the UCC. You agree that the System will only be used for businesspurposes and not for personal, family or household use. You agree that a facsimile copy of the Lease withfacsimile signatures may be treated as an original and will be admissible as evidence of the Lease. We mayinspect the System during the Lease term.

I unconditionally guaranty prompt payment of all the Lessee’s obligations. The Lessor is notrequired to proceed against the Lessee or the Equipment or enforce other remedies beforeproceeding against me. I waive notice of acceptance and all other notices or demands of anykind to which I may be entitled. You (“Lessee”) agree to lease from us (“Lessor”), pursuant to this Lease, the System (defined inthis Lease as the equipment (“Equipment”), and software (“Software”) listed above) and the right to receiveconsulting, maintenance and other related services (collectively, “Support”), and you agree that the Systemcost shall include any Equipment costs, Software costs, Support costs, Software license fees and taxes listedabove and on any attached schedule. You authorize us to adjust the Lease payments by up to 15% if theSystem’s cost differs from the supplier’s estimate. You are deemed to have unconditionally and irrevocablyaccepted the System on the earlier of (i) the date you sign the Acceptance below or (ii) if we in our solediscretion do not require that you sign the Acceptance, the date the System is delivered or otherwiseprovided to you, unless you notify us in writing of your non-acceptance within two (2) days of the date theSystem is delivered or otherwise provided to you (the “Commencement Date”). The Lease starts on theCommencement Date and the periodic Lease payments (“Payments”) shall be payable in advance beginningon the Commencement Date or any later date designated by us and thereafter until all amounts are fullypaid. If we designate the Lease Payments to begin later than the Commencement Date, you will pay aninterim Lease payment for the System’s use for the period from the Commencement Date until the first LeasePayment due date, based on the Lease Payment amount, the number of days in the period, and a year of360 days. Your Lease payment obligations are absolute, unconditional, and are not subject to cancellation,reduction, setoff or counterclaim. You agree to pay us a fee of $99.95 to reimburse our expenses forpreparing financing statements, other documentation costs and all ongoing administration costs during theLease term. Security deposits are non-interest-bearing, unless otherwise required by law, and may beapplied to cure a Lease default. If you are not in default, we will return the deposit to you at Leasetermination. You will pay us a late charge of 5% of the payment or $10.00, whichever is greater, on anyLease payment not made when due. We may charge you a fee of $25.00 for any check that is returned. YOUACKNOWLEDGE THAT NO ONE IS AUTHORIZED TO WAIVE OR CHANGE ANY LEASE TERM,PROVISION OR CONDITION.

Unless you have a $1.00 purchase option, we will own the System. If you have a $1.00purchase option and/or the Lease is deemed to be a security agreement, you grant us a security interest inthe System and all proceeds thereof. You authorize us to file financing statements.

We are leasing the System to you “AS-IS” AND MAKE NOWARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, ORFITNESS FOR A PARTICULAR PURPOSE. We transfer to you any System manufacturer or providerwarranties for the Lease term. You are required at your cost to keep the System in good working conditionand to pay for all supplies and repairs. If the Lease payment includes the cost of Support provided by a thirdparty, you agree that we are not responsible to provide the Support and you will make all Support claims tothe third party. You agree that any Support or Software claims will not impact your obligation to pay all Leasepayments when due.

You agree not to transfer, sell, sublease, assign, pledge or encumber either the System orany Lease rights without our prior written consent. You agree that we may sell, assign, or transfer the Leaseand the System, portion thereof or rights therein, and the transferee will have the transferred Lease, Systemor rights, as applicable, and will not have to perform any of our obligations and the rights of the transferee willnot be subject to any claims, defenses, or setoffs that you may have against us or any supplier.

You are responsible for all System risks of loss or damage and if any lossor damage occurs you are required to satisfy all of your Lease obligations. You will keep the System insuredagainst all risks of loss or damage for an amount equal to its replacement cost. You will list us as the soleinsurance loss payee and give us written proof of the insurance. If you do not provide such insurance, youagree that we have the right, but not the obligation, to obtain such insurance, and add an insurance fee to theamount due from you, on which we may make a profit. We are not responsible for any losses or injuriescaused by the System and you will reimburse us and defend us against any such claims. This indemnity willcontinue after the Lease termination. You will obtain and maintain comprehensive public liability insurancenaming us as an additional insured with coverages and amounts acceptable to us.

You agree to pay all license and registration fees, sale and use taxes, personal property taxes andall other taxes and charges, relating to the ownership, leasing, licensing, rental, sale, purchase, possessionor use of the System as part of the Lease Payment or as billed by us. You agree that if we pay any such
