    #:#1. A party may %it"in t"irty F3) days from t"e date of receipt of an arbitral a%ard

    unless t"e parties "ave some ot"er agreement about t"is time@limit re8uest t"e arbitrationtribunal to rectify obvious errors in spelling or figures caused by a mistaEe or incorrectcomputation in t"e arbitral a%ard and must immediately notify t"e ot"er party of suc"

    re8uestD. If t"e arbitration tribunal considers t"e re8uest legitimate it s"all maEe t"e

    rectification %it"in t"irty F3) days from t"e date of receipt of t"e re8uest.2. A party may %it"in t"irty F3) days from t"e date of receipt of an arbitral a%ard

    unless t"e parties "ave some ot"er agreement about t"is time@limit re8uest t"e arbitration

    tribunal to e6plain specific points or items in t"e arbitral a%ard and must immediatelynotify t"e ot"er party of suc" re8uest. If t"e arbitration tribunal considers suc" re8uest

    legitimate it s"all provide an e6planation %it"in a time@limit or t"irty F3) days from t"e

    date of receipt of t"e re8uest. "e e6planation provided s"all form a part of t"e a%ard.

    3. "e arbitration tribunal may on its o%n initiative %it"in t"irty F3) days from t"edate of issuance of t"e arbitral a%ard rectify any of t"e errors prescribed in clause 1 of

    t"is article and immediately notify t"e parties.

    4. If t"e parties do not "ave some ot"er agreementt"en %it"in t"irty F3) days fromt"e date of receipt of an arbitral a%ard a party may re8uest t"e arbitration tribunal to

    issue a supplementary a%ard %it" matters raised during t"e process of t"e proceedings

    but not yet recorded in t"e a%ard and must immediately notify t"e ot"er party of suc"

    re8uest. If t"e arbitration tribunal considers suc" re8uest legitimate it s"all issue a

    supplementary a%ard %it"in forty@five F45 days from t"e date of receipt of t"e re8uest.

    5. In necessary cases t"e arbitration tribunal may e6tend t"e time@limitsD forrectification e6planation or issuance of a supplementary a%ard prescribed in clauses 1 2

    and 4 of t"is article.

    A$%'e !4 A-%6%n ,%'e1. An arbitration centre s"all be responsible to arc"ive files on disputes over %"ic" it

    "as accepted !urisdiction. ,iles on disputes resolved by ad "oc arbitration s"all bearc"ived by t"e parties or by t"e arbitratorHs.

    2. Arbitration files s"all be arc"ived for a period of five years as from t"e date of

    issuance of t"e arbitral a%ard or decision staying dispute resolution by arbitration.

    CHAPTER 10

    En,&een$ &, A*%$#' A:#A$%'e ! &'un$#+ #+%n &u$ &, #*%$#' #:#

    "e +tate encourages t"e parties to voluntarily carry out arbitral a%ards.

    A$%'e !! R%-$ $& #//'+ ,& en,&een$ &, #*%$#' #:#1. If only e6piry of t"e time@limit for carrying out an arbitral a%ard t"e a%ard debtor

    "as not voluntarily carried out t"e a%ard and "as not re8uested t"at t"e a%ard be set asidepursuant to article ' of t"is *a% t"e a%ard creditor s"all "ave t"e rig"t to re8uest t"e

    competent civil !udgment enforcement agency to enforce suc" a%ard.

    2. In t"e case of an ad "oc arbitral a%ard t"e a%ard creditor s"all "ave t"e rig"t to

    apply to t"e competent civil !udgement enforcement agency re8uesting enforcement oft"e arbitral a%ard after suc" a%ard "as been registered in accordance %it" article 2 of

    t"is *a%

    A$%'e !7 En,&een$ &, #*%$#' #:#Arbitral a%ards s"all be enforced in accordance %it" t"e la% on enforcement of civil

    !udgments.

    CHAPTER 11

    Se$$%n A%e A*%$#' A:#A$%'e !" 5&un ,& e$$%n #%e #*%$#' #:#1. "e court s"all "ear an application forD setting aside an arbitral a%ard on receipt of

    a petition from one of t"e parties.

    2. An arbitral a%ard %"ic" falls %it"in any one of t"e follo%ing cases s"all be setaside?

    Fa "ere %as no arbitration agreement or t"e arbitration agreement is void

    Fb "e composition of t"e arbitration tribunal %as orD t"e arbitration proceedings%ere inconsistent %it" t"e agreement of t"e parties or contrary to t"e provisions of t"is

    *a%.

    Fc "e dispute %as not %it"in t"e !urisdiction of t"e arbitration tribunal %"ere an

    a%ard contains an item %"ic" falls outside t"e !urisdiction of t"e arbitration tribunal suc"

    item s"all be set aside.Fd "e evidence supplied by t"e parties on %"ic" t"e arbitration tribunal relied to issue

    t"e a%ard %as forged orD an arbitrator received money assets or some material benefit

    from one of t"e parties in dispute %"ic" affected t"e ob!ectivity and impartiality or t"earbitral a%ard.

    Fdd "e arbitral a%ard is contrary to t"e fundamental principles of t"e la% of

    ietnam3. "en t"e court "ears a petition to set aside an arbitral a%ard burden of proof s"all

    be regulated as follo%s?

    Fa Any petitioner relying on t"e groundsD prescribed in sub@clauses Fa Fb Fc or Fd

    of clause 2 of t"is article s"all "ave t"e burden of proving t"at t"e arbitration tribunalissued t"e arbitral a%ard in one of suc" prescribed cases

    Fb In t"e case of a petition to set aside an arbitral a%ard relying on t"e groundsD

    prescribed in sub@clause Fe of clause 2 of t"is article t"e court s"all "ave t"e

    responsibility to itself collect and verify evidence in order to decide to set aside or not setaside t"e arbitral a%ard.

    A$%'e !9 R%-$ $& /e$%$%&n ,& #*%$#' #:# $& *e e$ #%e1. A party %it" sufficient evidence proving t"at t"e arbitration tribunal issued t"e

    arbitral a%ard in any of t"e cases prescribed in article &.2 on t"is *a% s"all "ave t"erig"t %it"in t"irty F3) days from t"e date of receipt of suc" a%ard to lodge a petition

    %it" t"e competent court to set aside t"e arbitral a%ard. A petition re8uesting an arbitral

    a%ard be set aside must be accompanied by materials and evidence proving t"at suc"petition "as sufficientD grounds and is la%ful.

    2. If a petition is lodged out of time due to an event of force ma!eure t"en t"e duration

    of suc" event s"all not be included %"en calculating t"e time@limit for re8uesting t"earbitral a%ard be set aside.

    A$%'e 70 Pe$%$%&n e?ue$%n #*%$#' #:# *e e$ #%e1. A petition re8uesting an arbitral a%ard to be set aside must contain t"e follo%ingmain particulars?

    Fa $ate on %"ic" t"e petition is made

    Fb (ame and address of t"e petitionerFc -elief soug"t and grounds for setting aside t"e arbitral a%ard.

    2. "e follo%ing documents must accompany t"e petition?

    Fa :riginal or validly certified copy of t"e arbitral a%ard

    Fb :riginal or validly certified copy of t"e arbitration agreement.$ocuments accompanying a petition in a foreign language must be translated into

    ietnamese and t"e translations must be validly certified.

    A$%'e 71 He#%n *+ &u$ &, /e$%$%&n e?ue$%n #*%$#' #:# *e e$ #%e1. "e competent court s"all after it accepts !urisdiction of a petition re8uesting an

    arbitral a%ard to be set aside immediately notify t"e arbitration centre or t"e arbitratorHsin an ad "oc arbitration t"e parties in dispute and t"e same level procuracy.

    2. "e c"ief !udge s"all %it"in seven F# business days from t"e date of %"ic"

    !urisdiction is accepted assign a council of t"ree !udges including one !udge to act as

    c"airman of t"e council assigned by t"e c"ief !udge to "ear t"e petition."e council of !udges must commence a session to "ear t"e petition to set aside t"e

    arbitral a%ard %it"in t"irty F3) days from t"e date of being assigned. "e court must

    seven F# business days prior to t"e date of opening t"e session transfer t"e file to t"eprocuracy for it to revie% and participate in t"e session "earing t"e petition. >pon t"e

    e6piry of suc" time@limit t"e procuracy must return t"e file to t"e court in order for t"e

    court to open t"e session "earing t"e petition.3. "e session must be conducted in t"e presence of t"e parties in dispute and t"eir

    la%yers Fif any and a prosecutor of t"e same level procuracy. If eit"er of t"e parties

    re8uests t"e council of !udges to "ear t"e petition in "is or "er absence or if after being

    validly summonsed a party is absent %it"out a legitimate reason or leaves t"e session%it"out t"e consent of t"e council of !udges t"en t"e council of !udges s"all continue

    "earing t"e petition to set aside t"e arbitral a%ard.

    4. "en "earing t"e petition t"e council of !udges s"all rely on t"e provisions in

    article & of t"is *a% and t"e materials accompanying t"e petition in order to reac" itsdecision and s"all not revie% t"e merits of t"e dispute %"ic" t"e arbitration tribunal

    already resolved. "e council of !udges s"all after considering t"e petition andaccompanying materials after "earing %itnesses if any %"o "ave been summoned and

    after "earing t"e procurator provide t"e opinion of t"e procuracy discuss and reac" a

    ma!ority decision.5. "e council of !udges "earing t"e petition s"all "ave t"e rig"t to issue a decision

    setting aside or not setting aside t"e arbitral a%ard. If t"e petitioner %it"dra%s t"e

    petition or if after being validly summonsed fails to attend t"e session %it"out a

    legitimate reason or leaves t"e session %it"out t"e consent of t"e council of !udges t"ent"e council of !udges s"all issue a decision staying t"e application

    . "e court s"all %it"in five F5 business days from t"e date of issuing its decision

    send t"e decision to t"e parties to t"e arbitration centre or to t"e arbitratorHs of an ad "ocarbitration and to t"e same procuracy .

    #. "e council of !udges may at t"e re8uest of a party and if t"e council considers it

    appropriate ad!oum a petition to set aside an arbitral a%ard for a period not to e6ceedsi6ty F) days in order to facilitate t"e arbitration tribunal in rectifying %"at in t"e

    opinion of t"e arbitration tribunal %ere errors in t"e arbitration proceedings t"ereby

    removing t"e grounds for setting aside t"e arbitral a%ard. "e arbitration tribunal must

    notify t"e court %"en it "as rectified errors in t"e arbitration proceedings. If t"earbitration tribunal does not rectify errors in t"e proceedings t"en t"e council of !udges

    s"all continue to "ear t"e petition to set aside t"e a%ard.

    &. In a case %"ere t"e council of !udges issues a decision to set aside t"e arbitrala%ard t"e parties may reac" a fres" agreement to bring t"eir dispute before arbitration or

    any one party s"all "ave t"e rig"t to institute court proceedings. If t"e council of !udges

    does not set aside t"e arbitral a%ard suc" a%ard s"all be enforceable.'. In all cases t"e time taEen for dispute resolution by arbitration and t"e time taEen to

    conduct court procedures to set aside an arbitral a%ard s"all not be included %"en

    calculating t"e limitation period for instituting proceedings.

    CHAPTER 12

    O#n%@#$%&n #n O/e#$%&n &, F&e%n A*%$#$%&n %n %e$n#

    A$%'e 73 C&n%$%&n ,& ,&e%n #*%$#$%&n %n$%$u$%&n $& &/e#$e %n

    %e$n#,oreign arbitration institutions %"ic" "ave been legally establis"ed and are currentlegally operating in foreign countries and %"ic" respect t"e constitution and la% of t"e

    +ocialist -epublic of ietnam s"all be permitted to operate in ietnam in accordance

    %it" t"is *a%.

    A$%'e 74 O/e#$%&n#' ,& &, ,&e%n #*%$#$%&n %n$%$u$%&n %n %e$n#,oreign arbitration institutions s"all operate in ietnam in t"e follo%ing forms?1. ;ranc" of t"e foreign arbitration institution F"ereinafter referred to as branc".

    2. -epresentative office of t"e foreign arbitration institution F"ereinafter referred to as

    representative office.

    A$%'e 7 B#n-e1. ;ranc" is a dependent unit of a foreign arbitration institution establis"ed and

    conducting arbitration activities in ietnam pursuant to t"is *a%.2. "e foreign arbitration institution and its branc" s"all be liable before t"e la% of

    ietnam for t"e operation of t"e branc".

    3. "e foreign arbitration institution s"all elect one arbitrator to act as "ead of t"ebranc". "e "ead of t"e branc" s"all be t"e aut"oriBed representative of t"e foreign

    arbitration institution in ietnam.

    A$%'e 7! R%-$ #n &*'%#$%&n &, *#n- &, ,&e%n #*%$#$%&n %n$%$u$%&n

    %n %e$n#1. o rent an office and to "ire or purc"ase facilities and materials necessary for t"e

    activities of t"e branc".2. o recruit ietnamese and foreign employees to %orE at t"e branc" in accordance

    %it" t"e la% of ietnam.

    3. o open ietnamese dong and foreign currency accounts at a banE aut"oriBed tooperate in ietnam in order to service t"e activities of t"e branc".

    4. o remit income of t"e branc" overseas in accordance %it" t"e la% of ietnam.

    5. o "ave a seal bearing t"e name of t"e branc" in accordance %it" t"e la% ofietnam.

    . o appoint arbitrators to establis" arbitration tribunals pursuant to aut"ority

    delegated by t"e foreign arbitration institution.

    #. o provide arbitration mediation services and ot"er commercial dispute resolution

    13. o operate strictly in t"e sectors recorded in its establis"ment licence andD

    certificate of registration of operation.

    14. o comply %it" t"e relevant la% of ietnam on operation of t"e branc".15. o provide annual reports on t"e operation of t"e branc" to t"e $epartment of

    7ustice in t"e locality %"ere t"e branc" is registered for operation.

    A$%'e 77 Re/een$#$%6e &,,%e1. -epresentative office is a dependent unit of a foreign arbitration institutionestablis"ed and seeEing and promoting opportunities for arbitration activites in ietnamin accordance %it" t"is *a%.

    2. "e foreign arbitration institution s"all be liable before t"e la% of ietnam for t"e

    operation of its representative office.

    A$%'e 7" R%-$ #n &*'%#$%&n &, e/een$#$%6e &,,%e &, # ,&e%n

    #*%$#$%&n %n$%$u$%&n %n %e$n#1. o seeE and promote opportunities for arbitration activities for its institution in

    ietnam .

    2. o rent an office and to "ire or purc"ase facilities and materials necessary for t"eactivities of t"e representative office.

    3. o recruit ietnamese and foreign employees to %orE at t"e representative office in

    accordance %it" t"e la% of ietnam.

    4. o open foreign currency and ietnamese dong accounts at a banE aut"oriBed tooperate in ietnam and only to use suc" accounts for t"e operation of t"e representative

    office.
