    Sebagai salah satu perusahaan yang bergerak di industri perhotelan, PT Hotel Sahid Jaya International Tbk (“Perseroan”) senantiasa berkomitmen untuk terus mencatatkan kinerja yang optimal agar dapat memberikan manfaat yang terbaik bagi seluruh pemegang saham, pelanggan dan seluruh pemangku kepentingan. Sepanjang 2019, Perseroan terus berfokus untuk menghadapi berbagai tantangan usaha dengan menerapkan langkah-langkah yang strategis dan tepat sasaran, yaitu dengan bersikap adaptif terhadap perkembangan industri serta efektif dalam mengelola kegiatan operasional. Hal ini terus dilakukan agar Perseroan tetap dapat bertahan dan tumbuh dalam segala situasi.

    As an operating company in hospitality industry, PT Hotel Sahid Jaya International Tbk (“The Company”) remains committed to record an optimum performance in order to give best benefit to all shareholders, customers and other stakeholders.

    Throughout 2019, the Company was highly focused in facing a number of business challenges by carrying out strategic and right-on-target steps, by being adaptive with industry development and manage operational activities effectively. These strategies were executed so than the Company is able to sustain and grow in all conditions.

    Supervision of the Company’s Strategy ImplementationAs a form of carrying out duties and responsibilities, the Board of Commissioners constantly supervises the management, implementation of the Company’s strategy and performance periodically. We are fully aware that various business challenges such as dynamic macroeconomic and political conditions, increasing room availability, and intense industrial competition affect the Company’s performance. Therefore, we continue to remind the Board of Directors to continue to be prudent and careful in dealing with external situations by continuing to strengthen internal consolidation. View on the Company’s Business Outlook Prepared by the Board of DirectorsWith the rapid escalation of the Corona Virus Disease (COVID)-19 pandemic since early 2020, we agree with the Board of Directors that most industries have experienced a significant decline in performance, including the hospitality and tourism industries, both domestically and internationally. Nevertheless, we are optimistic about the recovery of the situation that will be occurred in the future. This optimism is based on our belief that Indonesia has a prospective and promising domestic tourism sector and commercial property projects that will strengthen regional connectivity in Jakarta. Meanwhile, we also consider that accommodation, various activities, and culinary areas have the potential to continue to grow in the future.

    View on the GCG Implementation in the CompanyAs a company engaged in the hospitality sector, we always prioritize optimal service. Providing sincere and optimal services is part of our commitment in carrying out business activities that are professional, trustworthy, and full with integrity. Throughout 2019, we have conducted supervision activities upon the GCG practice implementation in the Company, with supports from Audit Committee and Nomination and Remuneration Committee. We evaluated that the GCG practice implementation has been conducted well, and is continuously improved from time to time.

Kondisi PerekonomianDari segi kondisi geopolitik, kondisi perekonomian global yang diwarnai ketidakpastian turut memberikan dampak pada dinamika suasana ekonomi nasional, termasuk industri perhotelan. Jumlah tamu mancanegara yang mengunjungi Jakarta menurun untuk pertama kalinya menjadi 2,5 juta orang, setelah mengalami pertumbuhan selama bertahun-tahun. Dalam lingkup domestik, penyelenggaraan pemilu turut menyebabkan penundaan berbagai kegiatan besar, terutama kegiatan Meeting, Incentives, Convention and Exhibition (MICE).     Economic ConditionsIn terms of geopolitical conditions, global economy which hit by uncertainty influenced the national economic dynamics, including the hospitality industry. The number of foreign visitors visiting Jakarta declined for the first time to 2.5 million, after experiencing growth over the years. In the domestic market, the holding of general elections led to postponement of various major activities, especially the activities of Meetings, Incentives, Convention and Exhibition (MICE). It affected the performance of the hospitality industry as a whole, including the Company.

    Strategic PolicyAs one of the leading hotels in Jakarta, we continuously strive to be innovative and creative, so that we are able to maintain

    our position as one of the leading accommodation providers in Jakarta. Therefore, the Company implemented a series of strategic policies to continuously improve the quality of products and services in 2019. In terms of rooms, we added a number of Grand Executive Suites units with direct access to the Executive Lounge on the 20th Floor. We also renewed the mechanical and electrical facilities, including modernizing elevators and acquiring new equipment that focuses on heating, ventilation and air conditioning (HVAC) as well as water heaters. In the food and beverage business line, we carried out a number of updates and innovations in our restaurant menus. Bengawan Solo and Andrawina introduced various new favorite menus. We also collaborated with well-known chefs to create weeks specialty, as well as weekly thematic events that collaborated with local communities. In order to support the Car Free Day event, we have held a pop-up alfresco dining which is currently a typical icon in the SCBD area on Sunday morning. In addition, we also welcomed the presence of a new restaurant in our hotel, namely Mare Nostrum by Mallolas Group, a modern Mediterranean-style restaurant that offered a unique gastronomic menu.

    Company PerformanceThe development of the infrastructure sector, which continues to be carried out by the government over the past few years, has also given an added-value to the Company. The inauguration of the Mass Railway Transit (MRT) increased the ease of accessibility of the Company’s hotel location and strengthened the profile of the Company’s hotel presence which increased hotel restaurant visitor traffic and the number of Free Independent Travelers (FIT) reservations. Moreover, Sahid City’s population growth also contributed to the increase in hotel revenue as well as an increase in the average number of days of stay.

    In 2019, the Company recorded a revenue of IDR156 billion and a net loss of IDR13 billion. This achievement was mainly due to a decrease in occupancy rates, to an average of 32.51% per year. The Company’s consistency in continuously improving its performance has enabled the Company to win the Agoda Gold Circle award, which is given to hotels with the best performance

Menghadapi Tantangan UsahaDengan berbagai tantangan usaha yang terjadi seperti kondisi perekonomian yang fluktuatif dan kurang kondusif, Perseroan tetap berupaya untuk menghadapi dan mengatasi tantangan-tantangan tersebut dengan melakukan langkah-langkah strategis. Kendati tingkat okupansi hotel Perseroan menurun, pendapatan dari lini bisnis makanan dan monuman serta MICE tetap stabil dan menunjukkan pertumbuhan. Kedua lini bisnis ini memberikan kontribusi sebesar 48%. Sementara itu, Perseroan berhasil mempertahankan kestabilan Laba Kotor Operasi sebesar Rp115 miliar, yang menunjukkan kemampuan Perseroan dalam menjaga efisiensi biaya dengan baik. Kemudian, pada 2019 Perseroan berhasil melakukan diversifikasi segmen pasar, di mana segmen Online Travel Agent (OTA) berkontribusi sebesar 28% terhadap pendapatan usaha Perseroan, meningkat dari tahun lalu yaitu 18%. Keberhasilan ini menunjukkan kapabilitas Perseroan dalam mengelola portofolio pelanggannya. Prospek UsahaKehadiran pandemi COVID-19 menyebabkan situasi perekonomian baik global dan nasional menjadi tidak stabil. Kami memproyeksikan bahwa industri pariwisata dan perhotelan berpotensi mengalami penurunan yang cukup signifikan pada tahun 2020, yang turut dipengaruhi oleh larangan bepergian dan penurunan volume perjalanan. Namun demikian, kami senantiasa mengikuti arahan pemerintah serta mematuhi peraturan perundang-undangan yang berlaku guna mendukung upaya pemerintah dalam mengatasi pandemi ini. Sementara itu, kami terus merumuskan berbagai rencana dan strategi di masa mendatang agar dapat meningkatkan kinerja Perseroan secara berkesinambungan.

    Facing Business ChallengesCoping with various business challenges, such as fluctuating and less conducive economic conditions, the Company continues to strive to face and overcome these challenges by taking strategic steps. Despite the declining occupancy level of the Company’s hotels, revenue from the food and beverage business line and MICE remained stable and indicated growing performance. Both of these business lines contributed 48%. Meanwhile, the Company managed to maintain the stability of Operating Gross Profit of IDR115 billion, which indicated the Company’s ability to maintain cost efficiency well. In 2019, the Company succeeded in diversifying market segments, in which the Online Travel Agent (OTA) segment contributed 28% to the Company’s operating revenues, an increase from 18% in the previous year. This achievement demonstrated the Company’s capability in managing its customer portfolio.

    Business OutlookThe COVID-19 pandemic has caused the global and national economic conditions to become unstable. Projected economic growth has changed drastically along with the pandemic escalation. We project that the tourism and hospitality industries have the potential to experience a significant decline in 2020, which is also affected by travel bans and decreasing in travel volume. Nevertheless, we always follow the direction of the government and comply with applicable laws and regulations to support the government’s efforts to overcome this pandemic. Meanwhile, we continue to formulate various future plans and strategies in order to continuously improve the Company’s performance.

    Perseroan didirikan di Jakarta pada 23 Mei 1969 dengan maksud dan tujuan untuk menjalankan usaha dalam bidang industri perhotelan dan pariwisata.

    The Company was established in Jakarta on May 23, 1969 with aims and goals to operate in hospitality and tourism industries.

    1970

    Perseroan memulai pembangunan sebuah hotel di Jalan Jenderal Sudirman, Jakarta.

    The Company started the construction of a hotel located at Jalan Jenderal Sudirman, Jakarta.

    1987

    Hotel Grand Sahid Jaya mendapatkan status sebagai hotel bintang lima.

    In 1987, Grand Sahid Jaya Hotel was marked as a five-star hotel.

    1974

    Hotel Grand Sahid Jaya resmi beroperasi pada 23 Maret 1974. Selain memiliki 439 kamar pada waktu itu, Hotel Grand Sahid Jaya juga memiliki sejumlah ruang pertemuan, restoran, dan ruangan untuk perkantoran, pertokoan kecil serta fasilitas olahraga seperti kolam renang dan lapangan tenis.

    Grand Sahid Jaya Hotel officially started its operation on March 23, 1974. Aside of providing 439 rooms at that time, Hotel Grand Sahid Jaya also has a number of meeting rooms, restaurants, office spaces, shopping arcade, and sports facilities such as swimming pool and a tennis court

    1986

    Pada 22 Desember 1986, para pemegang saham Perseroan mulai membangun sebuah bangunan yang merupakan pengembangan dari hotel yang lama, sehingga pada akhirnya Hotel Grand Sahid Jaya memiliki 751 kamar.

    On December 22, 1986, the Company’s shareholders began to construct an extension building as a development for the existing hotel. Grand Sahid Jaya Hotel was able to provide 751 rooms later on.

    Selaras dengan perkembangan perusahaan dan usaha perhotelan, Perseroan melakukan Penawaran Umum Perdana dan mencatatkan sahamnya di BEI pada 8 Mei 1990 dengan total 11.000.000 lembar saham. Upaya ini dilakukan untuk memperoleh dana segar dari masyarakat guna meningkatkan kinerja Perseroan.

    In line with the Company’s progress in the hospitality industry, the Company conducted an Initial Public Offering and listed its shares at the Indonesia Stock Exchange in May 8, 1990 with total 11,000,000 shares. This action was taken in order to obtain fresh fund from the public to improve the Company’s performance.

    1997

    Pada 26 September 1997, Perseroan memperoleh Surat Pernyataan Efektif dari Otoritas Jasa Keuangan (d/h Bapepam) untuk melakukan Penawaran Umum Terbatas I dengan Hak Memesan Efek terlebih dahulu sebesar 217.600.000 lembar saham, di mana setiap pemegang 1 (satu) lembar saham berhak untuk membeli 2 (dua) lembar saham.

    On September 26, 1997, the Company obtained an Effective Statement from Financial Services Authority (previously Bapepam) to conduct a Limited Public Offering (Rights Issue) I with Pre-emptive Rights amounted to 217,600,000 shares, in which each holder of 1 (one) share was entitled to purchase 2 (two) shares.

    2019

    Hotel Grand Sahid Jaya meluncurkan sebuah coffee shop bernama “Arkopilago”.

    Grand Sahid Jaya Hotel launched a coffee shop with brand “Arkopilago”.

    1993

    Perseroan mendistribusikan 40.800.000 lembar saham bonus yang berasal dari kapitalisasi agio saham di mana setiap pemegang 5 (lima) lembar saham mendapatkan 3 (tiga) lembar saham bonus.

    The Company distributed 40,800,000 bonus shares from share premium capitalization, in which each holder of 5 (five) shares received 3 (three) bonus shares.

    2011

    Pada 22 Desember 2011, Perseroan mengadakan kuasi reorganisasi yang telah disetujui oleh Rapat Umum Pemegang Saham Luar Biasa pada tanggal yang sama. Dengan demikian, Perseroan telah mengeliminasi saldo defisit Perseroan atas Laporan Konsolidasian Perseroan per 30 Juni 2011.

    On December 22, 2011, the Company has conducted a quasi reorganization which has been approved by Extraordinary General Meeting of Shareholders held on the same date. Therefore, the Company has eliminated the Company’s deficit balance on the Company’s Consolidated Report as of June 30, 2011.
