[Docket No. 2593] (the “Claim Objection Protocol Order”).

The Omnibus Objection is based on the attached Memorandum of Points and Authorities and

Exhibit “1,” the Declaration of Jody Tuthill attached hereto, any and all subsequent pleadings filed

by the Liquidating Trustee relating to the Omnibus Objection, the arguments and representations of

counsel, any oral or documentary evidence presented at or prior to the time of the hearing on the

Omnibus Objection, and the record in these cases.

BASIS FOR RELIEF

The Liquidating Trustee has determined that all or part of certain of the claims asserted

against the above-captioned debtor and its related debtor affiliates (collectively, the “Debtors”) are

misclassified as either priority, secured, or general unsecured claims (each a "Misclassified Claim"

and collectively, the “Misclassified Claims”). By and through the Omnibus Objection, the

Liquidating Trustee objects to the Misclassified Claims as set forth in detail on Exhibit “1,” 1 which

is attached hereto and incorporated herein by this reference, and moves to have each of the

Misclassified Claims reclassified and/or modified as more particularly described on Exhibit "1."

The Liquidating Trustee’s objections are subject to the reservation of rights contained herein to bring

additional objections to such claims on other grounds.

WHEREFORE, the Liquidating Trustee requests that this Court enter an order:

(1) Sustaining the Omnibus Objection and reclassifying and/or modifying as applicable,

with prejudice, the Misclassified Claims as set forth on Exhibit “1”;

(2) Providing that for any Misclassified Claim reclassified and/or modified pursuant to

this Omnibus Objection, the Claimant forever waives such claim against the Trust, the Liquidating

Trustee, and the Debtors and their subsidiaries, including without limitation, Gibraltar Insurance Co.

Ltd.;

(3) Providing that any such ruling on the Omnibus Objection shall have no preclusive

effect on, and is without prejudice to, the Liquidating Trustee’s (a) right to object to or seek

disallowance, reclassification and/or reduction of any Misclassified Claim on any other grounds as

the Liquidating Trustee may later assert; (b) right to assert any claims, demands for relief requiring

an adversary proceeding consistent with Rules 3007(b) and 7001 of the Federal Rules of Bankruptcy

Procedure (the “FRBP”), counterclaims, rights of offset or recoupment, preference actions,

fraudulent-transfer actions, or any other bankruptcy or non-bankruptcy claims and causes of action

against the Claimants; and (c) the right to withdraw without prejudice the Omnibus Objection as it

applies to any Misclassified Claim that is subject to the Omnibus Objection prior to the hearing

thereon and, in case of any such withdrawal, to assert the same (or other) objections to such claim in

a later objection (or later objections) to such claim;

(4) Providing that if any Claimant files or asserts an amendment of any other proof of

claim related to the Misclassified Claim, then such amendment shall be deemed disallowed with

prejudice without further order of the Court;

(5) Providing that, pursuant to Rule 54(b) of the Federal Rules of Civil Procedure, made

applicable in contested matters through FRBP 7054 and 9014, any such ruling on the Omnibus

Objection shall be treated as a final judgment with respect to each Claimant and Misclassified Claim

subject to such ruling, and determining that there is no just reason for delay in entry of a final

judgment on the Misclassified Claims resolved by this Omnibus Objection;

(6) Directing and authorizing Kurtzman Carson Consultants LLC to modify its claims

database consistent with the terms of the Order granting this Omnibus Objection; and

MEMORANDUM OF POINTS AND AUTHORITIES

I. JURISDICTION AND VENUE

1. This Court has jurisdiction pursuant to 28 U.S.C. §§ 157 and 1334.

2. Venue of these cases and this Omnibus Objection in this district is proper pursuant to

28 U.S.C. §§ 1408 and 1409.

3. The statutory predicates for the relief sought herein are sections 502 and 507 of title

11 of the United States Code (the “Bankruptcy Code”).

II. BACKGROUND

4. On March 10, 2009 (the “Petition Date”) and subsequent dates thereafter, the above-

captioned debtor and its related debtor affiliates (collectively, the “Debtors”) filed voluntary

petitions for relief under chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court

for the Central District of California. The Debtors in these cases include forty-five separate

affiliated entities.

5. On May 11, 2009, and subsequent dates thereafter, the Debtors filed their respective

Schedules of Assets and Liabilities [Docket Nos. 499-543, 857-865] (the “Schedules”) with the

Court. The Schedules, which were based on the Debtors’ books and records as of the Petition Date,

list thousands of claims against the Debtors.

6. On August 6, 2010, the Court entered an order confirming the Fourth Amended Joint

Plan of Liquidation of Fleetwood Enterprises, Inc. and its Affiliated Debtors and the Official

Committee of Creditors Holding Unsecured Claims (together with any and all amendments thereto,

all exhibits and schedules thereto and all documents incorporated by reference therein (as the same

may be amended, modified or supplemented from time to time in accordance with the terms and

provisions thereof)) [Docket No. 2436] (the “Plan”). The Plan became effective on August 23,

2010.

7. In addition, pursuant to the Plan, SltnTrst LLC, the duly appointed liquidating trustee

(the “Liquidating Trustee”) for the Fleetwood Liquidating Trust (the “Trust”) succeeded to all of the

rights and powers of a debtor-in-possession under sections 1107 and 1108 of the Bankruptcy Code,

and is now entrusted to administer the Trust, and its assets, and make distributions from the proceeds

of the Trust in accordance with the Plan. The Liquidating Trustee is authorized, empowered and

directed to take all actions necessary to comply with the Plan and exercise and fulfill the duties and

obligations thereunder, including, but not limited to, objecting to the allowance of claims pursuant to

the terms of the Plan.

8. A total of approximately 18,450 proofs of claim have been filed against the Debtors.

The Liquidating Trustee is in the process of reviewing these claims and has determined that many of

the claims are objectionable, including the Misclassified Claims (as defined below) which are

subject to this Omnibus Objection. See Declaration of Jody Tuthill (the "Tuthill Declaration") at ¶ 7.

III. LEGAL STANDARD

9. A properly-filed proof of claim constitutes prima facie evidence of the validity and

amount of the claim if the allegations set forth all facts necessary to establish a claim, and are not

self contradictory. See 11 U.S.C. § 502(a); Fed. R. Bankr. P. 3001(f). A claimant must attach copies

of writings upon which claims are based in order to carry its burden of establishing a prima facie

case against the debtor. Hardin v. Gianni (In re King St. Invs., Inc.), 219 B.R. 848, 858 (B.A.P. 9th

Cir. 1998). However, a claim should not be allowed if that claim is unenforceable against the debtor

and property of the debtor, under any agreement or applicable law. 11 U.S.C. § 502(b)(1).

10. Bankruptcy Code section 502 authorizes a “party in interest,” such as the Liquidating

Trustee, to object to claims. 11 U.S.C. § 502(a). Once the objector raises “facts tending to defeat

the claim by probative force equal to that of the allegations of the proofs of claim themselves,” then

the burden reverts to the claimant to prove the validity of the claim by a preponderance of the

evidence. Wright v. Holm (In re Holm), 931 F.2d 620, 623 (9th Cir. 1991); Ashford v. Consol.

Pioneer Mortgage (In re Consol. Pioneer Mortgage), 178 B.R. 222, 226 (B.A.P. 9th Cir. 1995), aff'd

sub nom. Ashford v. Naimco, Inc. (In re Consol. Pioneer Mortgage Entities), No. 95-55491, 1996

WL 393533 (9th Cir. July 15, 1996). Indeed, “the ultimate burden of persuasion is always on the

claimant.” Holm, 931 F.2d at 623. In considering an objection to a claim, a bankruptcy court may

take judicial notice of the underlying records in the bankruptcy case, including the debtor’s

schedules. See O'Rourke v. Seaboard Sur. Co. (In re E.R. Fegert, Inc.), 887 F.2d 955, 957-58 (9th

Cir. 1989).

11. The holders of priority claims are granted special rights and, as such, priorities under

the Bankruptcy Code are to be narrowly construed. See Nw. Fin. Express, Inc. v. JWD, Inc. (In re

Nw. Fin. Express, Inc.), 950 F.2d 561, 563 (8th Cir. 1991); Gill v. CBS Records, Inc. (In re Peaches

Records & Tapes, Inc.), 102 B.R. 193, 195 (B.A.P. 9th Cir. 1989) (quoting Trs. of Amalgamated Ins.

Fund v. McFarlin’s, Inc., 789 F.2d 98, 100 (2nd Cir. 1986)); 4 Collier on Bankruptcy ¶ 507.01 (Alan

N. Resnick & Henry J. Sommer eds., 16th ed. rev. 2011). The party seeking to establish a priority

claim bears the burden of proving that the party’s claim qualifies for priority status. In re Jennings,

306 B.R. 672, 676 (Bankr. D. Or. 2004) (citing In re Prickett, No. 00-00353, 2000 WL 33712200

(Bankr. D. Idaho Aug. 28, 2000)); In re Terra Distrib., Inc., 148 B.R. 598, 600 (Bankr. D. Idaho

1992) (citation omitted); Bonner v. Allman (In re Heritage Vill. Church & Missionary Fellowship,

Inc.), 137 B.R. 888, 892 (Bankr. D. S.C. 1991) (citation omitted).

12. Once an objection to a claim is made, the Court, after notice and a hearing, must

determine the proper claim amount, if any, of the claim at issue. See 11 U.S.C. § 502(b).

IV. ARGUMENT

As more particularly described in the Tuthill Declaration attached hereto, each of the proofs

of claim subject to this Omnibus Objection (each a “Misclassified Claim” and collectively, the

“Misclassified Claims”) have been reviewed and compared against the Debtors’ books and records

and the Schedules. Based upon this review, among other determinations that may be the subject of

subsequent objections, the Liquidating Trustee has determined that all or part of the Misclassified

Claims should be reclassified as either general unsecured or priority claims as more particularly

described on Exhibit “1.” The Liquidating Trustee's determination regarding the disposition of the

Misclassified Claims is based on the legal grounds discussed below, the attached Tuthill Declaration,

and on such other evidence submitted by the Liquidating Trustee in support of the Omnibus

Objection.2

A. Certain of the Misclassified Claims Must Be Reclassified as General Unsecured Claims.

Portions of certain of the Misclassified Claims have been misclassified as priority claims

under section 507(a)(4) of the Bankruptcy Code. Pursuant to this subsection of the Bankruptcy

Code, compensation3 earned within 180 days of a bankruptcy filing is afforded priority treatment up

to the amount of $10,950 (the "Priority Cap"). 11 U.S.C. § 507(a)(4).4

1. Certain of the Misclassified Claims Include Compensation Earned Outside the 180-Day Window

As described above, only compensation earned within 180 days before a bankruptcy filing is

afforded priority treatment. 11 U.S.C. § 507(a)(4). As certain of the Misclassified Claims include

compensation that was not earned within the 180 days preceding the Petition Date, such portions of

the Misclassified Claims must be reclassified as general unsecured claims in the amounts set forth on

Exhibit “1.”5

2. Certain of the Misclassified Claims Assert Amounts that Exceed the Priority Cap

In addition, Section 507(a)(4) of the Bankruptcy provides that a Claimant may receive no

more than $10,950 on account of priority claims. As such, any amounts asserted that exceed the

Priority Cap — regardless of whether such amounts would otherwise be entitled to priority treatment

— must be reclassified as general unsecured claims. As such, the portions of the Misclassified

Claims that assert claims for priority treatment that exceed the Priority Cap must be reclassified as

general unsecured claims as more particularly described on Exhibit "1."

B. Certain of the Misclassified Claims Should Be Reduced to the Extent that CertainPriority Payments have been Received

Moreover, certain of the amounts asserted in the Misclassified Claims must be reduced to the

Certain of the Misclassified Claims assert priority claims for outplacement services and/or service awards. Outplacement services were offered to certain managers, as a part of their severance packages, if such managers were laid off through no fault of their own. Such outplacement services ranged from career guidance to assistance with resume writing. Historically, and at the Debtors’ discretion, some managers eligible for outplacement services were offered a cash payment in lieu of such services. Service awards were awarded to full time employees upon the completion of five-year increments of uninterrupted service with the Debtors. See Tuthill Decl., at ¶ 9 n.1. Accordingly, the Misclassified Claims that assert claims for outplacement services and/or service awards are not entitled to priority treatment under Section 507(a)(4) of the Bankruptcy Code. Moreover, with respect to those Misclassified Claims that assert priority claims for outplacement services, the Liquidating Trustee seeks, for the purposes of this Omnibus Objection, to reclassify such claims as general unsecured claims subject to any further objection that the Liquidating Trustee may assert.4 Although the current priority cap is $11,725, the priority cap for the purposes of this Omnibus Objection was calculated at the priority cap in effect as of the Petition Date. 5 The portions of the Misclassified Claims that fall within the 180-window prior to the Petition Date will be subject to the Priority Cap.

extent that certain priority payments have already been received by Claimants. Such payments

include, but not are limited to, priority payments received by the Claimants: (1) for severance and/or

pay under the Worker Adjustment and Retraining Notification Act pursuant to the Compromise and

Settlement Agreement which was approved by this Court on August 13, 2010 pursuant to the Order

Approving Class Action Settlement [Docket No. 2457]; (2) for pre-petition compensation,

including, but not limited to, wages, business expenses, and vacation pay pursuant to the Order (A)

Authorizing The Debtors To Pay Certain Pre-Petition Reimbursable Employee Expenses, Health

Plan Claims, Insurance Premiums And Administrative Fees, (B) Authorizing The Debtors To Make

Deductions From Employees’ Paychecks; And (C) Authorizing And Directing Banks And Other

Financial Institutions To Honor All Checks And Electronic Payment Requests Made By The Debtors

Related To The Foregoing [Docket No. 129]; (3) for pre-petition commissions pursuant to the Order

Authorizing The Debtors To Pay Prepetition Commissions To Employees [Docket No. 290]; and/or

(4) for pre-petition severance payments arising under or related to certain pre-petition severance

agreements entered into with the Debtors.

C. Certain of the Misclassified Claims Should be Reduced to the Extent that Certain Priority Amounts are Included in Other Proofs of Claim

Furthermore, certain amounts asserted in the Misclassified Claims must be reduced to the

extent that certain priority amounts have been asserted in other proofs of claim filed by the same

Claimant in these bankruptcy cases. Such a reduction would be necessary under one of the

following two scenarios: First, the Claimant may have filed another or multiple proofs of claim (in

one or more of the Debtors' related bankruptcy cases) that assert claims for certain priority amounts

that would be deemed allowed under the Bankruptcy Code. See 11 U.S.C. § 502(a).6 As such, the

priority amounts sought in the Misclassified Claims should be reduced by the priority amounts

asserted in other proofs of claim.7

Second, the Claimant may have filed another or multiple proofs of claim (in one or more of

the Debtors' related bankruptcy cases) that assert claims for certain priority amounts, the disposition

of which has already been determined by this Court. For example, through the four omnibus

objections filed with this Court on July 11, 2011 [Docket Nos. 3409, 3413, 3417, and 3421], the

Liquidating Trustee sought to reclassify certain priority amounts. At the hearings on August 10,

2011, the Court granted the relief requested in such omnibus objections. As such, the priority

amounts sought in the Misclassified Claims must be adjusted in accordance with the Court's rulings.

D. Certain of the Misclassified Claims Are Not Entitled to Priority Treatment Under Section 507(a)(4)(B)

In addition, portions of certain of the Misclassified Claims have been misclassified as priority

claims under section 507(a)(4)(B) of the Bankruptcy Code (the “Sales Claims”). Pursuant to this

subsection of the Bankruptcy Code, only “sales commissions earned by an individual . . . acting as

an independent contractor in the sale of goods or services for the debtor in the ordinary course of the

debtor’s business if, and only if, during the 12 months preceding that date, at least 75 percent of the

amount that the individual . . . earned by acting as an independent contractor in the sale of goods or

services was earned from the debtor . . .” are entitled to priority treatment. 11 U.S.C. § 507(a)(4)(B).

The holders of the Sales Claims (as more particularly described on Exhibit 1) did not provide any

documentation or other evidence whatsoever indicating that they earned, within the year preceding

the respective Sales Claims, at least 75 percent of their aggregate income in connection with services

performed as an independent contractor in the sale of goods or services from the Debtors. See

Tuthill Decl., at ¶ 12. In addition, the Debtors' books and records do not indicate that such

Claimants asserting Sales Claims qualify for priority treatment under Section 507(a)(4)(B). As such,

the Sales Claims are not entitled to priority treatment under the Bankruptcy Code.

For the foregoing reasons, the Liquidating Trustee requests that the Court reclassify all or

parts of the Misclassified Claims as general unsecured claims as more particularly set forth on

Exhibit “1.”

E. Certain of the Misclassified Claims Must Be Reclassified As Priority Claims.

In addition, certain Claimants filed proofs of claim that assert either secured or general

unsecured claims even though part or all of such claims are entitled to priority treatment under the

Bankruptcy Code and were scheduled as priority claims on the Debtors’ Schedules.8 As discussed

above, section 507(a)(4) affords priority treatment to compensation earned within 180 days before a

bankruptcy filing up to the Priority Cap. As such, the Misclassified Claims that assert claims for

compensation earned within 180 days of the Petition Date should be afforded priority treatment up to

the Priority Cap, and the balance of such claims (if any) in excess of the Priority Cap should only be

afforded treatment as general unsecured claims. Exhibit “1” more particularly sets forth such

Misclassified Claims and their proposed priority treatment.

F. Reservation of Rights

In addition to the foregoing, the Liquidating Trustee reserves its right to object to any of the

Misclassified Claims set forth on Exhibit “1” on any other grounds whatsoever.

V. CONCLUSION

For the foregoing reasons, the Liquidating Trustee requests that this Court enter an order:

(1) Sustaining the Omnibus Objection and reclassifying and/or modifying, as applicable,

with prejudice, the Misclassified Claims as set forth on Exhibit “1”;

(2) Providing that for any Misclassified Claim reclassified and/or modified pursuant to

this Omnibus Objection, the Claimant forever waives such claim against the Trust, the Liquidating

Trustee, and the Debtors and their subsidiaries, including without limitation, Gibraltar Insurance Co.

Ltd.;

(3) Providing that any such ruling on the Omnibus Objection shall have no preclusive

effect on, and is without prejudice to, the Liquidating Trustee’s (a) right to object to or seek

disallowance or reclassification of any Misclassified Claim on any other grounds as the Liquidating

Trustee may later assert; (b) right to assert any claims, demands for relief requiring an adversary

proceeding consistent with Rules 3007(b) and 7001 of the Federal Rules of Bankruptcy Procedure

(the “FRBP”), counterclaims, rights of offset or recoupment, preference actions, fraudulent-transfer

actions, or any other bankruptcy or non-bankruptcy claims and causes of action against the

Claimants; and (c) the right to withdraw without prejudice the Omnibus Objection as it applies to

any Misclassified Claim that is subject to the Omnibus Objection prior to the hearing thereon and, in

case of any such withdrawal, to assert the same (or other) objections to such claim in a later

objection (or later objections) to such claim;

(4) Providing that if any Claimant files or asserts an amendment of any other proof of

claim related to the Misclassified Claim, then such amendment shall be deemed disallowed with

prejudice without further order of the Court;

(5) Providing that, pursuant to Rule 54(b) of the Federal Rules of Civil Procedure, made

applicable in contested matters through FRBP 7054 and 9014, any such ruling on the Omnibus

Objection shall be treated as a final judgment with respect to each Claimant and Misclassified Claim

subject to such ruling, and determining that there is no just reason for delay in entry of a final

judgment on the Misclassified Claims resolved by this Omnibus Objection;

(6) Directing and authorizing Kurtzman Carson Consultants LLC to modify its claims

database consistent with the terms of the Order granting this Omnibus Objection; and

(7) Granting such other and further relief as this Court may deem just and proper.

DECLARATION OF JODY TUTHILL

I, Jody Tuthill, declare and state as follows:

1. I was the Division Human Resources Manager of the RV group for Fleetwood

Enterprises, Inc. (together with its affiliated debtors and debtors-in-possession, the “Debtors”), and

held this position from May 1, 2007 through June 26, 2009. As Division Human Resources

Manager, my responsibilities included overseeing the day-to-day operations of the Debtors'

employees. I have been a human resources manager for the Debtors and various other companies

since 1999.

2. In my capacity as the Division Human Resources Manager of the Debtors, I was

required to and have become generally familiar with the manner in which the Debtors' documents

and books and records are prepared and maintained. I have personally worked on and/or reviewed

the books and records and documents that pertain to the Omnibus Objection (as defined below). I

know the following facts to be true to my own knowledge or have gained knowledge from the

Debtors' business records, which were made at or about the time of the events recorded, and which

were maintained in the ordinary course of the Debtors' business at or near the time of the acts,

conditions, or events to which they relate. Each document was prepared in the Debtors' ordinary

course of business by an individual who had personal knowledge of the events being recorded and

had or has a business duty to record such events accurately. Such records are available for

inspection and copies can be submitted to the Court under seal, if required.

3. Since August 23, 2010, when the Fourth Amended Joint Plan of Liquidation of

Fleetwood Enterprises, Inc. and its Affiliated Debtors and the Official Committee of Creditors

Holding Unsecured Claims (together with any and all amendments thereto, all exhibits and schedules

thereto and all documents incorporated by reference therein (as the same may be amended, modified

or supplemented from time to time in accordance with the terms and provisions thereof)) (the

“Plan”) became effective, I have served as a consultant for the Fleetwood Liquidating Trust (the

“Trust”).

4. In my capacity as a consultant for the Trust, I was similarly required to and have

7. A total of approximately 18,450 proofs of claim have been filed against the Debtors.

The Liquidating Trustee is in the process of reviewing these claims and has determined that many of

the claims are objectionable, including the Misclassified Claims (as defined below) which are

subject to the Omnibus Objection.

8. I have prepared Exhibit “1” to the Omnibus Objection, which is based on the Debtors'

Schedules of Assets and Liabilities [Docket Nos. 499-543, 857-865] (the “Schedules”), the proofs of

claim listed on such exhibit, and the Debtors' books and records. A true and correct copy of the

Exhibit that I prepared is attached as Exhibit "1" to the Omnibus Objection and incorporated herein

by this reference. Specifically, for each of the claims set forth in Exhibit “1,” I reviewed the

Schedules, the Debtors’ books and records, and the proofs of claim subject to the Omnibus

Objection. Based on my review, I have determined that all or portions of the Misclassified Claims

are misclassified as secured, priority, or general unsecured claims (each a “Misclassified Claim” and

collectively, the “Misclassified Claims”) as more particularly described below and on Exhibit “1.”

9. Based on my review of the Debtors’ books and records and Schedules, I have

determined that all or part of the Misclassified Claims (1) include compensation that was not earned

within the 180 days preceding the Petition Date, (2) assert claims for priority treatment in an amount

that exceeds the Priority Cap, and/or (3) seek priority treatment on account of outplacement services

or service awards that are not entitled to priority treatment under the Bankruptcy Code.1

10. Moreover, based on my review, I have determined that certain of the amounts

asserted in the Misclassified Claims should be reduced to the extent that certain priority payments

have already been received. Such payments include, but not are limited to, priority payments

received by the Claimants: (1) for severance and/or pay under the Worker Adjustment and

Retraining Notification Act WARN pursuant to the Compromise and Settlement Agreement which

was approved by this Court on August 13, 2010 pursuant to the Order Approving Class Action

Settlement [Docket No. 2457]; (2) for pre-petition compensation, including, but not limited to,

wages, business expenses, and vacation pay pursuant to the Order (A) Authorizing The Debtors To

Pay Certain Pre-Petition Reimbursable Employee Expenses, Health Plan Claims, Insurance

Premiums And Administrative Fees, (B) Authorizing The Debtors To Make Deductions From

Employees’ Paychecks; And (C) Authorizing And Directing Banks And Other Financial Institutions

To Honor All Checks And Electronic Payment Requests Made By The Debtors Related To The

Foregoing [Docket No. 129]; (3) for pre-petition commissions pursuant to the Order Authorizing

The Debtors To Pay Prepetition Commissions To Employees [Docket No. 290]; and/or (4) for pre-

petition severance payments arising under or related to certain pre-petition severance agreements

entered into with the Debtors.

11. I have also determined that certain amounts asserted in the Misclassified Claims

should be reduced to the extent that certain priority amounts have been asserted in other proofs of

claim filed by the same Claimant. Such a reduction would be necessary under one of the following

two scenarios: First, the Claimant may have filed another or multiple proofs of claim in one or more

of the Debtors' related bankruptcy cases, that assert claims for certain priority amounts that would be

deemed allowed under the Bankruptcy Code.2 See 11 U.S.C. § 502(a). As such, the priority

amounts sought in the Misclassified Claims should be reduced by the priority amounts asserted in

other proofs of claim.3

12. Second, the Claimant may have filed another or multiple proofs of claim in one or

more of the Debtors' related bankruptcy cases, that assert claims for certain priority amounts, the

disposition of which has been determined by this Court. For example, through the four omnibus

objections filed with this Court on July 11, 2011 [Docket Nos. 3409, 3413, 3417, and 3421], the

Liquidating Trustee sought to reclassify certain priority amounts. At the hearings on August 10,

2011, the Court granted the relief requested in such omnibus objections. As such, the priority

amounts sought in the Misclassified Claims must be adjusted in accordance with the Court's rulings.

13. In addition, portions of certain of the Misclassified Claims have been misclassified as

priority claims under section 507(a)(4)(B) of the Bankruptcy Code (the “Sales Claims”). The

holders of the Sales Claims did not provide any documentation or other evidence whatsoever

indicating that they earned, within the year preceding the respective Sales Claims, at least 75 percent

of their aggregate income in connection with services performed as an independent contractor in the

sale of goods or services from the Debtors. In addition, the Debtors' books and records do not

indicate that such Claimants asserting Sales Claims qualify for priority treatment under Section

507(a)(4)(B). As such, the Sales Claims are not entitled to priority treatment under the Bankruptcy

Code.

14. Finally, based on my review, certain Claimants filed proofs of claim that assert

secured or general unsecured claims even though part or all of such claims are entitled to priority
