Championing business practices that are grounded in good ethics.
Actively engaging in the appointment of the external auditor
Proactive in monitoring and evaluating the audit process
Meeting alone from time to time, and separately with internal audit and external audit
Having a strong and candid relationship with the external auditors
Evaluating and assessing the performance of the external auditor, including its independence
Determining the scope and fee of the external audit and ensuring that it provides the necessary level of assurance
Determining what, if any, services the external auditors may provide over and above their audit role.
Proactivity in determining internal audit resourcing and plans, with regular review of progress against plan
Ensuring there is an effective reporting process with no gaps in the overall audit

7.6.3 Relationship with theinternal auditor
The head of internal audit is inthe unique position of beingemployed by management butexpected to review its conduct.As such, it is important for theinternal auditor to retain adegree of independence frommanagement.
Where the internal auditfunction resides in-house, it ispreferable that the head ofinternal audit reportfunctionally to the auditcommittee, recognising that on aday-to-day basis it shouldreport administratively to thechief executive officer of theorganisation.
The internal auditor should alsohave unfettered access to theaudit committee.Where the internal auditfunction is outsourced, the headof internal audit usually reportsdirectly to the audit committeeand a senior executive.
The committee should receiveregular reports from the internalauditor on the results of theiractivities includingmanagement’s responses torecommendations made oncontrols and compliance. Theinternal auditor should be pro-active in bringing matters to theattention of the auditcommittee.
7.6.4 Relationship with theexternal auditor
The external auditor should alsohave unrestricted access to theaudit committee. If the auditcommittee comprises executivedirectors, then the non-executive members of the auditcommittee should requestseparate meetings with theexternal auditor to allow themto freely discuss issuesinvolving management.
In reviewing the scope ofexternal audit and theremuneration of the externalauditor, the audit committeeshould undertake the necessarysteps to satisfy themselves thata comprehensive, complete andindependent audit can be and isundertaken.
There should be open and frankdialogue with the externalauditor throughout the year andnot simply at the time offinalising the financial report.
The above, together withformalisation of the terms ofreference for the AuditCommittee, is consistent withthe MCCG’s 9 recommendationfor the Board to establishformal and transparentarrangements for maintainingan appropriate relationship withthe company’s auditors.

The audit committee shouldhave a formal process to induct
new committee members toensure they understand theirresponsibilities, current issues,the objectives of the auditprocesses and the expectationsof the board concerning theperformance of audit committeemembers. As a minimum, theinduction process shouldinclude:
providing a copy of thecommittee’s charter andrecent committee papersand minutes;
providing copies ofrelevant company policies;
an explanation bymanagement and internalaudit of the control, riskand complianceframeworks and currentaudit and financialreporting issues. Writtenmaterials should supportoral presentations;
meetings with managementand internal audit todiscuss any unusualtransactions or othermatters as required; and
introduction to the externalauditor.

The meetings of the auditcommittee for a publicorganisation are generally timedto match the regulatoryreporting and audit cycle.Typically audit committeesshould meet at least four times ayear. However, there is a viewemerging that the number of9 MCCG, Principle DIII

meetings and their durationshould vary depending on therange and complexity of thecommittee’s responsibilities.
For audit committees toproperly undertake theiractivities, it is suggested thatthe committee agree a “workplan” for the year to ensureadequate oversight of theorganisation’s assuranceprocesses throughout the year.This is consistent with theMCCG’s recommendation thatthe audit committee meetregularly, with due notice ofissues to be discussed. 10 Inaddition, the MCCGrecommends that the auditcommittee should meet with theexternal auditors withoutexecutive board memberspresent at least once a year. 11

Each director has the right toaccess all organisationinformation. 12 In addition, eachdirector should be entitled toseek independent professionaladvice at the organisation’sexpense, subject to an agreedupon procedure which mayinclude prior consultation withthe board chairman. 13 A copy ofthe advice received by thedirector should be madeavailable to all members of theboard.
The right to receiveindependent professional advice
is a policy that should apply toall members of the boardwhether serving on boardcommittees or the board itself.In addition, to ensure theindependent role of auditcommittee members, it ispreferable if the auditcommittee charter authorisesthe committee to seekindependent professional adviceas it considers necessary.
This may be particularlynecessary where errors ordeficiencies have occurred ormay potentially occur.
The rights of audit committeesfor public listed companies areexplicitly covered underParagraph 15.18 of the MSEBLR which provides that a listedcompany must ensure that,whenever necessary andreasonable for the performanceof its duties, an audit committeeshall:
have explicit authority toinvestigate any matterwithin its terms ofreference;
have the resources whichare required to perform itsduties;
have full and unrestrictedaccess to any informationpertaining to the company
have direct communicationchannels with the externalauditors and person(s)carrying out the internalaudit function (if any);
be able to obtainindependent professionalor other advice; and
be able to convenemeetings with the externalauditors, excluding theattendance of the executivemembers of the committee,whenever deemednecessary.

An audit committee report mustbe prepared by the board andclearly set out in the annualreport of the public listedcompany. 14 This is to enable itsstakeholders to assess theeffectiveness of the auditcommittee in performing itsoversight and assurancefunctions.

the composition of theaudit committee, includingthe name, designation(indicating the chairperson)and directorship of themembers (indicatingwhether the directors areindependent or otherwise);
the terms of reference ofthe audit committee;
