History

> KNIPEX was founded in 1882 by Carl Gustav Putsch in Cronenberg, Wuppertal, forging carpenters’ and farriers’ pincers by hand. At that time, production yielded 16 pliers per day or 720 pliers per week.

> One of the smallest of about 100 hand tool manufacturers in the region, KNIPEX specialized in pliers by the end of the 19th century.

> By 1927, 27 employees produced approximately 7,000 pliers per week.

> The KNIPEX brand was registered in 1942 by Carl Putsch, Carl Gustav Putsch’s son.

> The “Alligator®”, a new style of water-pump pliers with self-locking jaws for pipes and nuts, was introduced in 1973. The Alligator made it no longer necessary to press the pliers handles together during use.

> The Cobra® Water Pump Pliers were developed in 1984; water pump pliers that can be adjusted quickly and in fine increments at the touch of a button.

EligibilityAll Knipex Tools LP distributors must be current and in good standing to be eligible.

AccuralCo-op funds are accrued at the rate of 2% of the previous year’s net purchases. Funds accrued in one year are available for use only in the following calendar year. No rollover of funds from year-to-year is allowed.

What Knipex Tools Pays > 50% of net cost, up to total accrued amount. > Co-op claim over $250 needs Sales Manager Approval.

Media > Trade Journals Trade press advertising may appear in any business publication appropriate to the Knipex Tools LP tool market that has circulation and rates verifiable through Standard Rate & Data Service or other independent audit. The participation of Knipex Tools LP is limited to documented space costs in such trade journals. No production charges are allowed.

> Newspaper Newspaper advertising may appear in any paid circulation, general interest daily, Sunday or other newspaper and has circulation and local rates verifiable through Standard Rate & Data Service or other independent audit. The participation of Knipex Tools LP is limited to documented space costs of newspapers serving the principal trading area of the distributor. No production charges allowed.

> TV and Radio The use of radio and television is also authorized. The participation of Knipex Tools LP is limited to documented time charges of spot announcements only. No

program or program sponsorships, barter or trade purchases are allowed. No invoices that include production talent, program costs or agency fees will be honored.

> Direct Mail/Circulars and Flyers Documented charges for the pro-rata share of flyers, circulars and other direct mail ma-terials devoted to Knipex Tools LP products will be honored. Participation of Knipex Tools LP will be limited, however, to the amount pre-authorized for payment of such materials. No creative development charges are allowed.

> Brand Merchandise Branded merchandise, i.e. clothing must include the Knipex Tools logo. Other

branded products/advertising specialty items do not qualify unless agreed to in writing by Knipex Tools LP.

Copy and Art RequirementsAdvertisements must be illustrated and must prominently display the Knipex Tools logo. The advertised product must be described. Broadcast advertising must prominently mention the brand name and must describe the product fully.

No Charge MaterialsHigh resolution files of individual product lines and the pages from the Knipex Tools LP catalog are available. Contact Marketing for more information. There is no charge for these images.


KNIPEX Tools LP Co-Op Advertising Program


Payment Procedure > Trade Journal Send a full tear sheet of each ad placement featuring Knipex Tools LP products. Include an invoice from the publication describing what products were advertised, the publication, issue date, space used, space cost, total cost and total of the reimbursement due from Knipex Tools LP. Invoices must reflect actual net cost, less all discounts and rebates, and must show any additional consideration, bonus or gratis space or commissions. A Co-Op Claim form must be filled out by the Knipex Tools LP Representative and filed with above information.

> Newspaper Send full tear sheet of each ad placement featuring Knipex Tools LP products. Include an invoice from the newspaper describing what products were advertised, the date of the ad, the name of the newspaper, the lineage run, cost per line or inch, total cost and total of the reimbursement due from Knipex Tools LP. Invoice must reflect actual net cost, less all discounts and rebates, and

must show any additional considerations, bonus or gratis space or commissions. A Co-op Claim form must be filed out by the Knipex Tools LP Representative and filed with the above information.

> TV and Radio Claims must include an invoice from the broadcast station listing the length, unit cost and airtime of each commercial devoted to Knipex Tools LP products. Invoice must reflect actual net cost, less all discounts and rebates, and must show any additional considerations, bonus or gratis spots or commissions. Each script broadcast must be attached with a notarized affidavit of performance indicating the product advertised and date. A Co-Op claim form must be filled out by the Knipex Tools LP Representative and filed with the above information.

> Direct Mail/Circulars and Flyers Claims for direct mail activities must include an invoice for the full cost of the material, the pro-rata share of space

devoted to Knipex Tools LP products and Knipex Tools LP share of the cost. A postal receipt, stamped by the post office, should accompany the claim, along with a printer’s invoice and other proof of distribution such as an invoice from a mailing service if used. A Co-Op Claim form must be filled out by the Knipex Tools LP representative and filed with the above information.

> Brand Merchandise Claims must include a paid invoice and a Co-Op Claim form filed out by the Knipex Tools LP representative.

LimitationThis program does not include distributor signs or line cards, except as agreed to in writing by Knipex Tools LP. Knipex Tools LP will not reimburse for any form of advertising it deems objectionable. Unapproved expenditures are not reimbursed. This program is available on all Knipex Tools LP except any special products, which are specifically excluded from this program. Co-Op advertising payments shall not exceed 2% of the prior calendar year’s net purchases from Knipex Tools LP.

60-Day Limit – All claims, along with proof of performance, must be submitted to Knipex Tools LP within 60 days of the event.

Method of ReimbursementReimbursement will be made by credit memo directly to the distributor’s account. No advertising claim deductions will be allowed from Knipex Tools LP invoices to distributor.

TerminationKnipex Tools LP reserves the right to terminate or amend this program at any time without prior notice. However, termination or amendment will not affect allowable claims arising prior to change.

USA KNIPEX Tools LP Stocking Distributor Program


Orders > Placing Orders: Orders may be placed by e-mail, fax, or EDI.

> Confirming Orders: Confirming orders are not required by KNIPEX Tools LP, and should not be sent.

Order MinimumOrder minimum is $100 per order, excluding any freight charges.

Cancellations And AdditionsDue to automated equipment, it is impossible to add to orders that have already been placed. Cancellation of an order for standard merchandise will be accepted without penalty, prior to shipment. Cancellation of an order for non-standard merchandise will not be accepted once item is in production.

Payment TermsStandard payment terms are 2%, 30, net 31. A service charge of 1.0% per month or fraction thereof, or the highest interest rate permitted by applicable law, will be charged on all overdue accounts. Freight charges do not qualify for cash discount.

Price ChangesAll prices and terms are subject to change without notice. Orders are accepted on the basis that they will be invoiced at the prices and terms in effect on the date an order is received by KNIPEX Tools LP, providing order calls for immediate shipment. Orders requesting future shipments will be invoiced at the price in effect at the time of shipment.

Shipments > Regular Freight Terms: Shipments of all orders placed with KNIPEX Tools LP will be F.O.B. Warehouse, Buffalo Grove. All orders exceeding $350, net billing for standard merchan-dise, will be shipped prepaid via our routing.

> Special Freight Terms: Freight allowance is not available for special routing. KNIPEX Tools LP has no responsibility for notifying distributors if orders do not meet the requirements for prepayment of freight charges.

> Multiple Shipping Dates: On orders requesting multiple shipping dates,

each shipment will be considered a separate order in applying the above freight terms. To facilitate handling, it is requested that separate orders be submitted when multiple shipping dates are de-sired. All orders calling for multiple shipping dates will be shipped and billed at prices in effect on the date of shipment.

> Tracing Shipments: If after a reasonable time merchandise in transit is not received, consignee should trace through carrier or should contact KNIPEX Tools, LP Customer Service for assistance.

> Shortage or Damage: Should a shipment become damaged in transit, immediately contact the carrier for inspection, and have them issue an inspection report. The claim then should be filed with the carrier. Shortages must be reported to KNIPEX Tools LP Customer Service within 14 days of shipment. Claims not reported within this time period will not be allowed. On UPS shipments damaged in transit, contact KNIPEX Tools, LP to file claim. Do not throw out the shipping carton – inspector must see the carton.

> For Shipping Errors: Contact our Customer Service department at 847-398-8520.

Returns > Return of Merchandise: Only current products will be accepted for return. MERCHANDISE CANNOT BE RETURNED WITHOUT PRIOR AUTHORIZATION. All returns must include a KNIPEX Tools LP Return Goods Authorization (RGA) number. The RGA number can be obtained by calling Customer Service. All returns are subject to a restocking charge of 15% of distributor net price and must be shipped prepaid. We will not be responsible for, nor guarantee credit or replacement on, any product returned to KNIPEX Tools LP, without prior authorization. Under no circumstances will we accept collect shipments. Products returned must be received by KNIPEX Tools LP in re-saleable condition. Product that cannot go back to stock as received will not be accepted. Please

pack shipments carefully.

> Repacking: A minimum repacking fee of 35% of current distributor net price will be charged for all returned product requiring repackaging. Specific items may require additional charges.

> Warranty Returns: All warranty returns must include a Warranty Return Authorization (WRA) number. The WRA number can be obtained by calling Customer Service.

GeneralPossession of a price list does not constitute the right to purchase merchandise at the prices shown. Prices on any KNIPEX Tools LP price sheet will apply only to duly authorized KNIPEX Tools LP distributors.

Advertising Allowance (See KNIPEX Tools LP Co-Op Advertising Program)

Acceptance of General TermsAll distributor purchase orders submitted by our distributors are accepted by KNIPEX Tools, LP per the general terms as stated herein. These terms supersede all conflicting terms contained in any distributor purchase order.

Warranty KNIPEX Tools LP manufactures the highest quality tools for industrial and commercial use. Any product manufactured by KNIPEX Tools LP that fails due to workmanship or materials will be replaced at no charge. In the unlikely event that the exact type of tool should not be available, for example due to program change, KNIPEX Tools LP will replace with a similar item of the same or better performance. This warranty does not apply in any way to product failures caused by misuse, abuse, alteration or tools worn out by use. KNIPEX Tools LP makes no other warranties, express or implied, with respect to the tools and their suitability for specific applications. Replacement is the exclusive remedy and KNIPEX Tools LP neither assumes, nor authorizes any person to assume for it, any other warranty, or obligation express or implied. In no event shall KNIPEX Tools LP be liable for incidental or consequential damage.


KNIPEX Tools LP USA General Terms & Conditions


KNIPEX Tools LP distributes the highest quality tools for industrial and commercial use.

In the unlikely event that the exact type of tool should no longer be available, KNIPEX Tools LP may elect to replace the tool with a comparable tool of equal or greater value, or at KNIPEX Tools LP’s option, KNIPEX Tools LP may elect to refund the purchase price for the defective tool. The foregoing remedies are the sole and exclusive remedies available under this warranty, and in no event will KNIPEX Tools LP be liable for incidental, special, or consequential damages, lost profits or other economic loss.

This warranty applies only to the original

end-user that purchased the tool, and does not apply in any way to failures caused by misuse, abuse, alteration, accident, or tools worn out by use.

Warranty claims require return of the defective tool, proof of purchase, and confirmation from you that you are the original end-user purchaser of the tool.

This warranty is KNIPEX Tools LP’s sole warranty for its tools, and is in lieu of all other warranties and conditions, expressed or implied. KNIPEX tools LP disclaims all other express or implied warranties and conditions, including the implied warranties or conditions of merchantable quality, merchantability, and fitness for a particular purpose.
