1. The Chairman of Statutory Representatives' Statement

Ladies and Gentlemen,

A subsidiary of innogy Česká republika a.s., innogy Zákaznické služby, s.r.o. sells innogy products and provides services to 1.6 million customers of innogy Energie, s.r.o. and 2.3 million customers of GasNet, s.r.o.

All tasks related to serving customers in the Czech Republic are handled by a wide network of customer service centers, three modern contact centers, and other departments that conduct various sales-and customer care-related activities.

On 1 August 2017, Lukáš Roubíček was appointed as the Company's second Executive Director and COO.

Throughout the reported year, innogy Zákaznické služby provided customers with a comprehensive array of convenient services in adherence to the new brand philosophy. In line with innogy's strategy, we offered innovative customized products with a view to making our customers' lives easier wherever possible. We help customers understand ways of managing and optimizing energy needs in their households and businesses.

innogy has rapidly earned the trust of both customers and the general public. We maintained our position on the natural gas market and continued to grow on the market for electricity. We provided effective high-quality services, which translated into high customer satisfaction and excellent sales figures.

As previous years, 2017 saw an enlargement of our product portfolio. A new addition in the reported year was Consumption Monitoring, a service that monitors gas consumption online and recommends the optimal structure of prepayments. Consumption Monitoring is the first smart solution on the Czech gas market.

We enlarged our network of branches in 2017 to be even closer to our customers and to improve their convenience in communicating with their energy supplier. The innogy network now counts 41 customer service centers. In line with our commitment to providing customers with better and more convenient care and offering cutting-edge services, we decided to redesign our customer service centers. During a pilot project executed in December, we remodeled a customer service center in Ostrava. In addition to redesigning the interior, we changed the philosophy of sales and approach to customers in line with our goal to use innovative methods for presenting our products and services.

It matters to us to understand how innogy is perceived by our customers, and we want to hear their opinions. With that in mind, we implemented a new solution as part of the iCE project in 2017, which allows us to obtain and assess feedback from customers.

I want to thank all employees of innogy Zákaznické služby because their work was instrumental in the Company's achievements. My thanks also extend to our business partners and customers for their support and loyalty throughout 2017.

In the forthcoming year, we will face new challenges; we will continue to enhance the quality of services, enlarge the portfolio of products, and fulfill the ambitions of the innogy brand. 2.3 Business activities

innogy Zákaznické služby, s.r.o. is responsible for the sale of products and the provision of customer

services. The Company's services cater to the Group's gas trading company and distribution system

operator. Communication with customers is secured by a network of customer service centers and contact

centers. The Company's responsibilities also include billing, processing of complaints and inquiries, and

accounts receivable.

Customer Service Center Department

At the end of 2017, innogy Zákaznické služby, s.r.o. had 41 customer service centers. To improve the

accessibility of our services, we added 12 new outlets to our network of customer service centers. In 2017,

innogy customer service centers were visited by more than 360 000 customers.

As in previous years, we succeeded in maintaining the quality of service in our facilities, providing

comprehensive customer care for the sale and distribution of natural gas and electricity, and in enlarging

the portfolio of supplementary products and services. We introduced a new service under the name

Consumption Monitoring. Using a gas meter-mounted sensor, the system connects to the innosvět

(innoWorld) application, which allows monitoring gas consumption online. Among other features, the

application provides an overview of current payments.

During 2017, we focused on facilitating customers' access to customer service centers. Seven of our

facilities were moved to new locations that provide better accessibility and visibility. The reported year saw

the completion of the rebranding of our customer service centers. In line with our commitment to making

customer service centers attractive and to provide maximum convenience, we reconstructed the innogy

Customer Service Center in Ostrava in December. Redesigned in accordance with the most recent retail

trends, the facility now offers such modern features as 3D animations depicting our products. In the

forthcoming year, we will monitor consumers' response to the new design, and we will continue to remodel

other centers based on the findings.

Customers' opinions are important to us. The new iCE software solution we deployed in 2017 allows us

to obtain and assess feedback from customers and to analyze and respond to reasons behind both

satisfaction and dissatisfaction on their part.

To be able to provide customers with services of the same scope as until now, we took part in the collection

of consents to the processing of personal data to comply with Regulation (EU) 2016/679 of the European

Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the

processing of personal data and on the free movement of such data.

Our priority in 2018 will be maintaining a high standard of customer care, enlarging the portfolio

of products and services, and meeting set targets.

Contact Center Department

The main objectives of the Contact Center Department in 2017 were maintaining a high quality of service

and meeting sales targets. In communicating with customers, we relied on incoming and outgoing calls,

electronic mail, Skype, and online chat. As part of supporting the new Consumption Monitoring service, we

also processed customers' inquiries via Facebook. The above communication channels were used

to provide sales and distribution services. In 2017, contact center employees handled 911,543 incoming

calls, made 552,430 outgoing calls, processed 206,645 e-mails, and engaged in 47,877 chat conversations.

Overall, there were 1,718,495 interactions between customers and contact center employees.

During the year under review, we focused extra attention on customer satisfaction and the development

of communication channels. As in the previous year, the Contact Center Department operated several

incoming customer service lines, a sales line, and several lines for other specific purposes. Other methods

used to communicate with customers were chat and electronic mail. In all interactions with customers,

emphasis was placed on the quality of service, which was monitored using mystery shopping and iCE,

a new system for measuring consumer experience implemented in 2017. The Contact Center Department

continued to use intelligent routing, a solution that automatically distributes customer calls to specific

specialists based on the level of their sales and customer-care skills in consideration of the purpose

of individual calls.

In 2017, the staff of external call centers took part in the Contact Center Department's operations,

specifically employees of Quality Brands, s.r.o. and EFSETE s.r.o. The Contact Center Department served

customers from three facilities located in Ostrava, Opava, and Karviná.

Another important area was employee satisfaction and efforts to improve their professional abilities. The

reported year saw the execution of an employee training and development program, which targeted all

positions within the Contact Center Department.

In the reported year, contact center operators offered several types of products to customers – electricity,

natural gas, mobile communication services, insurance, and sensors for monitoring consumption and solar

panel installation, the most recent additions to our portfolio. Apart from standard assistance, operators

provided customers with information on products, such as LED lightbulbs, smoke detectors, and carbon

monoxide detectors.

In 2018, the Contact Center Department's main goals will include meeting the sales plan, developing

communication channels and IT systems that serve for managing operations and communicating with

customers. The aim of all planned activities is to enhance the quality of customer care and to improve

customer and employee satisfaction.

Campaign and Retention Department

In 2017, the Campaign and Retention Department followed in the footsteps of work done during previous

years, focusing on improving customer service through retention and sales activities. Throughout the year,

processes and products were adapted to best meet the needs of our customers. In doing so, we were

assisted by a new customer satisfaction measuring system, which became an integral part of our everyday

work. Thanks to feedback from customers, we were rapidly able to respond to their needs and adjust

internal processes in order to improve customer satisfaction.

An important milestone last year was focus on digitization. Innovative strategies helped us improve the

quality of our services and make them attractive to the young generation. Using the new Virtual Trader

service, we are able to present to customers our entire service portfolio in the convenience of their home,

including online sharing of documents on their computers. For our experts, the new system brought a major

change in work tasks, which required new professional skills and further personal development.

The expansion of the department and the implementation of new technologies translated into new

employment opportunities, particularly in the Moravian-Silesian and Zlín Regions. The expansion allowed

innogy to improve customer service, to stabilize the existing client portfolio, and to attract more satisfied

customers.

In total, we made 508,000 calls. In 2018, we will continue to improve the service portfolio by focusing

on proactive retention, where opportunities exist to better satisfy our customers' needs.

Operating Methodology and Training Department – Academy

In the year under review, the department oversaw the delivery of services in three main segments –

training, methodological support, and development. Services were provided to the Customer Service

Department, the Contact Center Department, and the Campaign and Retention Department. The Operating

Methodology and Training Department began to cater to BO units in the third quarter. Since that time, the

department has been providing services to all units of innogy Zákaznické služby.

As regards training, the priority was the initial training for new employees and their subsequent overall

adaptation. The department's other key activities included training for new innogy products, legislative

changes, the new customer experience management system (iCE), and fine-tuning the new concept for

serving clients at customer service centers through sales consultations. New additions included training for

retention calls and new channels for communication with customers (e-mail and chat).

Methodological support services remained focused mainly on FO units. Support was provided through

a help line and online communication in non-standard situations, where the objectives included ensuring

a high quality of customer service and increasing customer satisfaction.

Further development of the Company's workforce was supported by regional coaches in the Customer

Service Center Department. Team leaders received individual support from trainers. The objective was

to improve management skills and to boost the overall performance of teams. Simultaneously, targeted

support was provided for the development of talented employees throughout all innogy customer service

centers under the UP!Basic and UP!Leader programs.

For a second year, satisfaction with services provided by the Operating Methodology and Training

Department was mapped in an internal cooperation survey. The aim was to determine the level

of satisfaction with the delivery of service in all of the Company's departments and to collect suggestions

for further improvement. The department repeatedly received high marks from internal customers, as

targeted activities during 2016/2017 resulted in a considerable improvement of service quality ratings.

The department's main projects in 2017 included training for a new customer experience management

platform (iCE), which focused on the use of the system and reporting options as well as on communication

with customers, callbacks to customers who gave lower satisfaction ratings, and other specific ways

of improving customer satisfaction. Work was also done on the preparation and launch of tasks necessary

for the gradual digitization of the entry training.

At the end of 2017, the NWoW project team merged with the Operating Methodology and Training

Department as part of the sustainability stage of the innogy Group's NWoW strategic program. The

incorporation of the project team into the management structure of innogy Zákaznické služby resulted

in the creation of the Academy Department whose task in 2018 will be to continue such strategic projects

as entry training digitization, maintenance of proved management concepts, further development of the

employee and department performance management system, and international projects, such as

CXfactory.

E2E Methodology Department

The main responsibility of the E2E Methodology Department is to oversee procedural and systemic

changes, ranging from the collection of requests, their definition, prioritization, detailed analysis, and

function testing, to the formulation of the end-user methodology. Our collaborators mainly include

colleagues from the Sales, Distribution, and IT Departments, and we also maintain a close partnership with

the Operating Methodology and Training Department and other units responsible for operations.

Methodologists analyze and process user requests and incidents, most of them concerning the CRM and

IS-U systems, and respond to their inquiries, which customarily involve action taken in non-standard

situations and applications for exemptions.

Last year, the department underwent restructuring aimed at improving efficiency and exploiting the

synergic effects of separating operating methodology and FO training. Two sub-teams were set up within

the department, the Methodology Team and the Methodological Support and Development Team, where

workers in charge of back office training and coaching were transferred to the Operating Methodology

Department, which has been renamed innogy Academy.

Moreover, last year saw greater and more active involvement in so-called E2E customer journeys, where

a structured approach is applied using the D-MAGIC or PDCA methodology – a process for solving problems

using standard process management techniques ranging from problem definition, implementation

of corrective measures, assessment, and verification – with a view to continually improving processes,

enhancing customer satisfaction, and assisting departments in charge of operations in meeting sales

targets.

Another pillar of last year's activities was the management of Robotic Process Automation (RPA), a project

aimed at increasing efficiency through the use of the Blueprism software and the automation of certain

routine tasks and end-user actions in all of the Company's departments.

Billing Department

Throughout 2017, the Billing Department of innogy Zákaznické služby, s.r.o. provided a full range of billing

services for the natural gas and electricity segments. The relevant tasks included billing, payment

processing, printing, mailing, transaction processing, and communication with banks and the Czech Post.

Financial transactions were processed for innogy companies in the Czech Republic based on service level

agreements. Key customers included innogy Energie, s.r.o. and GasNet, s.r.o. Billing operations and related

tasks were carried out for end customers and for other consumers, designated as the MASS and INDI

segments. Billing included the consumption and distribution of natural gas and electric power and the cost

of related services.

From the organizational viewpoint, the Billing Department is divided into independent centers responsible

for billing, payment processing, accounting, and printing.

The success rate of payment pairing remained stable throughout the year. The time between meter reading

and invoice issue amounted to three and four days for natural gas and electricity, respectively. Throughout

the year, the Printing Center produced and mailed documents to customers, including marketing materials.

The bulk of billing operations were conducted in a central facility at the Ostrava-based head office. Printing,

envelope insertion, and stamping was conducted by an external provider of printing services in Brno and

Ostrava.

During the reported year, billing services were provided for end customers in the electricity and natural gas

segments and for natural gas suppliers. As many as 1.97 million and 2.8 million invoices were issued for

innogy Energie, s.r.o. and GasNet, s.r.o., respectively, and 17.7 million incoming payments were processed.

Complaint and Request Processing Department

In the year under review, the Complaint and Request Processing Department's Complex Request Processing

Section, Claim and Complaint Processing Section, and Archiving Section provided support to and dealt with

requests made by internal and external customers with regard to electricity and natural gas and non-

commodity products.

In processing inquiries from customers in the MASS and SEMI INDI segments, we sustained a consistent

standard of high quality. The number of inquiries increased in both segments, as 13 and 995 thousand

submissions were processed in the SEMI INDI and MASS segments, respectively. To maintain high

productivity and to further increase efficiency, we relied on automation in supplier switching process,

active cooperation in E2E teams to define new and improve existing processes and getting our experts

involved in internal and intra-company rotations.

The Complex Request Processing Section and the Claim and Complaint Processing Section dealt

with submissions made by customers in person, by regular mail, and by electronic means. An increased

number of issues were dealt with through telephone communication. The primary objective was

to increase customer loyalty by providing fast solutions and an individual approach. We began using the

new iCE web-based application to test customer satisfaction.

In 2017, the Central Archive received 140,000 separate documents and 340,000 documents in archiving

boxes from the Front Office and the Back Office. As many as 5,000 documents were searched based

on submitted requests.

Debt Collection Department

The Debt Collection Department is responsible for the recovery of accounts receivable for innogy Energie, s.r.o. and GasNet, s.r.o. with regard to the MASS and SEMI INDI segments. In 2017, we recorded excellent results in regard to all key performance indicators thanks to well-defined debt recovery processes and, more importantly, thanks to our long-term efforts to prevent debt from occurring, where we focus on configuring the relevant parameters at the time business partnerships with customers are established. Preventing debt from occurring and managing credit risks in cooperation with other departments (Contact Center, Customer Service Centers, etc.) is one of key tasks on which focus will continue to concentrate in the forthcoming period. In the departments that communicate directly with our customers (debt collection by telephone, team in charge of preventing unauthorized offtake), close attention was paid to the success rate of the debt recovery process as well as on the quality of this service vis-à-vis customers, professionalism, accuracy of provided information, financial consulting, and specialized assistance in dealing with complicated life situations. The fact that we are on the right track was confirmed by feedback received from our customers, either directly or through iCE questionnaires. Legislative changes introduced in recent years have been fully incorporated into our processes. Likewise, we have taken technical and procedural measures to accommodate changes that are currently being prepared. We pay ongoing attention to improving our competences at the international level, where we share new trends, processes, and IT options with other members of the DCEG Group with a view to improving performance and enhancing quality.

2.4 Human Resources

On 1 October 2017, we celebrated one year under the name innogy Zákaznické služby. Both 2016 and 2017

were marked by changes both in the top management and in the management of individual departments.

On 1 August 2017, Lukáš Roubíček was appointed Executive Director to replace Jitka Adámková who will

pursue further professional career with innogy SE in Germany.

Likewise, Tomáš Jungmann decided to add international experience to the list of his professional

achievements, and was replaced by Jana Quisová as the new Head of the Contact Center on 1 December

2017.

In addition to restructuring and staff changes, the HR Department continued to standardize and streamline

staff processes and improve HR services. The main topic for the reported and the forthcoming years is

the digitization of processes and offered services. At the end of the year featured a presentation

of an electronic signature concept that will be fully implemented in January 2018 was introduced. The first

document signed by an electronic signature will be the Remuneration Guidelines that will enter into effect

on 1 April 2018.

Close attention continued to be paid to the recruitment and selection of new employees, a key area in the

partnership between the human resources and departments in charge of business operations. We

welcomed prospective candidates at an Open Door Day in Ostrava, Karviná, and Zlín. Recruitment was also

supported by participation in professional trade fairs. We maintained active partnerships with secondary

schools. All activities were aimed at communicating with prospective new employees and building the

Company's reputation in the region.

An integral part of our cooperation within the group is professional training and development; in this area,

we expanded the Trainee program by its implementation in our Company. Trainee is now offered in three

specialized departments, and the UP!Basic and UP!Leader successfully continue.

In 2017, employee headcount (FTE) in the Company was 800.

Employee Structure by Education

As regards the education structure, 70.5% of employees had complete secondary school education, 25.1%

had university education, 3.5% had secondary school education, and 0.9% had elementary school

education. The average age of the Company's workforce was 35 years.

Social Policy

As in previous years, the Company continued to support and develop the social program. Under the benefit scheme, contributions were paid to employees for supplementary retirement savings and live insurance, individual recreation, entertainment and sports, healthcare, and education.

In 2017, wages developed in accordance with the Company's business strategy and the remuneration

principles agreed in the Collective Agreement.

Occupational Health and Safety

In the reported year, the Company concentrated on the development of occupational health and safety.

In 2017, we continued workshops for management employees to strengthen the positive influence they

exert on the culture of occupational health and safety.

At the same time, we launched a mobile application for reporting safety inspections and interviews, which

leads us in the direction of digitization in occupational health and safety. The application also allows

employees to report defects in the workplace, near accidents, and work accident.

In the reported year, a total of 18 accidents at work occurred in the Company; three of them resulted

in incapacity for work, and 15 involved minor injury.

2.5 Environmental Protection

One of the strategic objectives of innogy Zákaznické služby, s.r.o. is maintaining the environmental

management system in which the Company participates. The environmental management system serves

as an instrument for managing all operations from the viewpoint of environmental protection.

Due to the trading and administrative nature of our business, the Company's operations have a negligible

adverse impact on the environment. The Company maintains a responsible attitude to all parts of the

natural world with a view to minimizing negative impact on ecology.

Under the Environmental Protection Policy, the Company is committed to an active and responsible

approach to environmental protection. Emphasis is placed on the systematic sorting of waste and the

prevention of emergencies liable to have an adverse impact on the environment and the health of our

employees.

There was no incident with an adverse impact on the environment in the reported year.

2.6 Subsequent Events

As the date of this report, there have been no reportable events liable to have a material effect

on the Company's business.

2.7 Outlook

In 2018, the Company will continue improving the quality and effectiveness of customer services provided

to the Group's clients with a view to contributing to the overall competitiveness of the innogy Group

on the Czech energy market.

3.2 Notes to Financial Statements

1. General information

1.1 Introductory information about the Company

innogy Zákaznické služby, s.r.o., until 30 September 2016 registered as RWE Zákaznické služby, s.r.o., (“the Company”) was incorporated on 27 July 2007 in the Commercial Register kept with the Regional Court in Ostrava, section C, insert 30666 and has its registered office at Ostrava - Moravská Ostrava, Plynární 2748/6, Czech Republic. Identification number of the Company is 279 35 221.

The Company’s primary business activity is providing customer care services and communication with the customers of innogy companies.

The Company does not have any arrangements that are not included in the balance sheet as at 31 December 2017 and 31 December 2016.

The Company updated its Articles of Association that are now fully governed by the new Corporations Act. This fact became effective as at 19 May 2014.

The Company is not a shareholder having unlimited liability in any undertaking.

The Statutory Representatives as at 31 December 2017 were as follows:

2. Accounting policies

2.1 Basis of preparation

The financial statements have been prepared in accordance with Generally Accepted Accounting Principles in the Czech Republic relevant for medium-sized companies and have been prepared under the historical cost convention.

2.2 Intangible and tangible fixed assets

All intangible (and tangible) assets with a useful life longer than one year and a unit cost of more than CZK 60 thousand (CZK 10 thousand) are treated as intangible and tangible fixed assets. Tangible fixed assets with a unit cost more than CZK 2 thousand and less than CZK 10 thousand are treated as inventory and are expensed upon consumption and are kept in off balance sheet evidence.

Purchased intangible and tangible fixed assets are initially recorded at cost, which includes all costs related to its acquisition.

Intangible and tangible fixed assets are amortised/depreciated applying the straight-line method over their estimated useful lives. The rates used differ from those allowable for taxation purposes.

The amortization/depreciation plan is updated during the useful life of the intangible and tangible fixed assets based on the expected useful life.

A provision for impairment is created when the carrying value of an asset is greater than its estimated recoverable amount. The estimated recoverable amount is determined based on expected future cash flows generated by the certain asset. Repairs and maintenance expenditures of tangible fixed assets are expensed as incurred. Technical improvements of intangible and tangible fixed assets are capitalised.

2.3 Receivables Receivables are stated at nominal value less a provision for doubtful amounts. A provision for doubtful amounts is created on the basis of an ageing analysis and individual evaluation of the credit worthiness of the customers. Receivables from related parties have not been provided for.

2.4 Foreign currency translation Transactions denominated in a foreign currency are translated and recorded at the daily exchange rate published by the Czech National Bank. Cash, receivables and liabilities balances denominated in foreign currencies have been translated at the exchange rate published by the Czech National Bank as at the balance sheet date. All exchange gains and losses on cash, receivables and liabilities balances are recorded in the income statement.

2.5 Changes of accounting policies and corrections of prior period errors Changes of accounting policies (inclusive of deferred tax impact) and corrections of errors arising from incorrect accounting or unrecorded expenses and income in prior periods, if material, are recorded on financial statements line Restatements of retained earnings.

2.6 Provisions The Company recognises provisions to cover its obligations or expenses, when the nature of the obligations or expenses is clearly defined and it is probable or certain as at the balance sheet date that they will be incurred, however their precise amount or timing is not known. The provision recognised as at the balance sheet date represent the best estimate of expenses that will be probably incurred, or the amount of liability that is required for their settlement.

The Company recognises a provision for its income tax payable which is presented net of advances paid for the income tax. If advances paid are higher than the estimated income tax payable, the difference is recognised as a short-term receivable.

2.7 Employment benefits The Company recognises a provision for unpaid holidays and employee benefits according to the collective agreement.

The Company recognises a provision for rewards and bonuses of employees. The Company takes into account an expected average ratio of payments for social and health insurance and payroll expenses when calculating the provision.

Regular contributions are made to the state to fund the national pension plan. The Company also provides contributions to defined pension and life insurance contribution plans operated by independent pension funds.

2.8 Revenue recognition

The Company renders its services to the companies innogy Energie, s.r.o., GasNet, s.r.o. and innogy Energo, s.r.o., more precisely to its customers in B2C segment. Revenues are generated mainly from sale of billing and printing services, debt collecting services, personal contacts and correspondence with customers, from provision of call centre and finally from services providing in the field of acquisitions, re-acquisitions, customer’s retention and in the segment of non-commodity products and services.

Sales are recognised as at the date the services are rendered and are stated net of discounts and value added tax.

2.9 Related parties

The Company’s related parties are considered to be the following:

parties, which directly or indirectly control the Company, their subsidiaries and associates;

parties, which have directly or indirectly significant influence on the Company;

members of the Company’s or parent company’s statutory and supervisory boards and management and parties close to such members, including entities in which they have a controlling or significant influence.

Material transactions and outstanding balances with related parties are disclosed in Note 9 Related party transactions.

2.10 Leases

The costs of assets held under both finance and operating leases are not capitalised as fixed assets. Lease payments are expensed evenly over the life of the lease. Future lease payments not yet due are disclosed in the notes but not recognised in the balance sheet.

2.11 Deferred tax

Deferred tax is recognised on all temporary differences between the carrying amount of an asset or liability in the balance sheet and its tax base. Deferred tax asset is recognised if it is probable that sufficient future taxable profit will be available against which the asset can be utilised.

2.12 Cash-flow statement

The Company has prepared a Cash-flow statement using the indirect method. Cash equivalents represent short-term liquid investments, which are readily convertible for a known amount of cash.

The Company uses so-called cash-pooling within the group. A receivable (liability) that arises from cash-pooling is presented in the Cash-flow statement as a part of the item Cash and Cash equivalents. If the liability arising from cash-pooling represents a form of financing, then it is not presented in the Cash-flow statement as a part of the item Cash and Cash equivalents.

2.13 Subsequent events

The effects of events, which occurred between the balance sheet date and the date of preparation of the financial statements, are recognised in the financial statements in the case that these events provide further evidence of conditions that existed as at the balance sheet date.

Where significant events occur subsequent to the balance sheet date but prior to the preparation of the financial statements, which are indicative of conditions that arose subsequent to the balance sheet date, the effects of these events are disclosed, but are not themselves recognised in the financial statements.

5. Receivables

Unsettled receivables have not been covered by guarantees and none of them are due after more than 5 years. The Company has no receivables nor contingent receivables, which are not recognized in the balance sheet. Receivables - subsidiaries and controlling parties as at 31 December 2017 and 2016 represent cash equivalents from cash-pooling, which is used by the Company within the group. Overdue receivables as at 31 December 2017 amounted to CZK 918 thousand (as at 31 December 2016: CZK 824 thousand). Receivables from related parties are disclosed in Note 9 Related party transactions.

6. Equity

The Company is fully owned by innogy Česká republika a.s., incorporated in the Czech Republic. The ultimate holding company is RWE Aktiengesellschaft, incorporated in Germany. The Company innogy SE with the registered office at Opernplatz 1, 451 28 Essen, Germany, prepares the consolidated financial statements of the smallest group of entities of which the Company forms a part as a subsidiary. The Company RWE Aktiengesellschaft with the registered office at Opernplatz 1, 451 28 Essen, Germany, prepares the consolidated financial statements of the largest group of entities of which the Company forms a part as a subsidiary. The consolidated financial statements of the smallest group can be obtained at innogy SE registered office and the consolidated financial statements of the largest group can be obtained at RWE Aktiengesellschaft registered office. The Company is fully governed by the new Corporations Act and used the option not to create a reserve fund. The sole shareholder approved the financial statements for 2016 and decided about the allocation of profit earned in 2016 of CZK 28,051 thousand on 20 March 2017.

5. Report on Relations for the Accounting Period of 2017

Pursuant to Section 82 et seq. of Act No 90/2012 on Business Corporations and Cooperatives (“the Business

Corporations Act”), as amended, the Statutory Representatives of innogy Zákaznické služby, s.r.o.

(“the Company”) prepared this report on relations between the Company and controlling persons and

between the Company and other persons under common control for the accounting period of 2017, insofar

as such persons are known to the Company. This Report forms an annex to the Company's annual report

for 2017. The shareholder of the Company has the right to access the report on relations at the same time

and under the same conditions as the financial statements.

1. Structure of relations

The Company is part of the RWE Concern. Within the meaning of Section 79 of the Business Corporations

Act, the Company is subject to uniform management consisting in the coordination and strategic

management of at least one of the important components or activities of the Concern’s business,

such arrangement pursuing the objective of promoting the Concern’s interests on a long-term basis as part

of the Concern’s consistent policy. The Company’s membership of the RWE Concern is published on

The Statutory Representatives are not aware of the Company having any additional controlling persons.

b) Other controlled persons

The Company requested the above controlling persons to provide a list of the other persons that were

under common control in the past accounting period. The Company’s Statutory Representatives have

drawn up this Report on the basis of the information provided by the controlling persons and other

information available to the Statutory Representatives. The Scheme of the relations between controlling

and controlled persons as at 31 December 2017, i. e. the last day of the accounting period, can be found

in Annex No. 1 hereto.

c) Role of the controlled person

The Company is responsible for the various tasks involved in selling products and providing customer care

to the Concern's clients. The Company's services cater to the Concern's gas trading company

and distribution system operator. Communication with customers is secured by a network of Customer

Service Centres and the Contact Centres. The Company’s responsibilities also include billing, complaint

and inquiry processing, and accounts receivable management.

d) Method and means of control

The controlled person was controlled by the controlling person through the general meeting, the powers

of which were exercised by the controlling person as the sole member acting in the capacity of the general

meeting of the controlled person.

2. Overview of acts

In the last accounting period, the Company did not make, upon suggestion and/or in the interest

of the related parties under point 1 above, any legal acts concerning assets exceeding 10%

of the Company’s equity determined on the basis of the latest financial statements, ie. CZK 4,014 thousand.

The Company made a profit distribution to innogy Česká republika a.s., the amount of which exceeded

the above stated limit.

3. Overview of mutual agreements

In the last accounting period, or at least a part thereof, contractual relationships under agreements listed

in Annex No. 2 hereto existed between the Company and the related persons under point 1 above.

4. Assessment of damage and compensation for damage

In the last accounting period, the Company did not suffer any damage caused by the acts described herein.

5. Advantages and disadvantages arising from relationships between the Concern entities

In the last accounting period, the Company benefited from the advantages stemming from its membership

of the RWE Concern. First and foremost, the Company enjoys, thanks to the orientation of the other

companies within the Concern, access to support know-how in almost all areas of its operations, such

support being procured for the whole Concern. Throughout 2017, we exchanged expertise with other RWE

companies in such areas as customer service, product sales, billing, and accounts receivable. The Company

sold products and provided services to the Concern's customers through the Contact Centre and Customer

Service Centres, including billing, complaint processing, and debt recovery.

Furthermore, the Company uses the advantage of the Concern's centralised purchase of IT hardware

and software, and also of access to the Concern’s solutions in this area, which are tailor-made

for the Concern.

Last but not least, the Company uses the advantage of centralised support services, such as procurement,

asset and vehicle fleet management, etc. An important area where the Company uses the advantages

stemming from its Concern membership is that of financing, where financing arranged centrally within

the Concern ensures stability of financing.

The Company is not aware of any disadvantages arising from its membership in the Concern. The Company

has not identified any risks arising from relationships between the persons within the Concern.

6. Confidentiality

This Report does not disclose any information that is subject to the Company's trade secret.

7. Conclusion

This Report was approved by the Company's Statutory Representatives on 16 February 2018, and it has

been presented for examination to the Company’s auditor.
