    Merchandise: Eddie Bauer LLC’s designed products are referred to as “Core.” Under the direction of Core design, EBJ incorporates the current trend(s), fit, and/or regulation(s) in the Japanese market and the results are referred as a Solo/Unique. In addition, to adhere to the Japanese regulation, EBJ may be required to change workmanship and/or its labels.

    Section 2. LABELING REQUIREMENTS 2.1 Overview:

    For all Core items, review your specification package for exact instructions/details on label type and application. For all Solo/Unique item(s), consult with designated MD or PCD.

    2.2 Labels and Tags EBJ orders must follow “Sew-in Label” guidelines as listed:

    LABEL: Main Trademark Logo Label (Same as US main trademark label).

    Sew-in Label PR6700 or PR6750 USED BY ALL BUSINESSES (EXHIBIT: 1): * PR6750 for harsh or pigment wash products. Content/Country of Origin, Size, and Care (In multilingual: Japanese, German, English, French and Spanish) This is a woven-edge satin label tape, printed on four (4) panels with the above information, offset folded at the top-sew edge to allow visibility of all four sides of the label panels. The labels are to have ultra-sonic cut top and bottom edges to provide a soft, non-raveling label edge.

    All Sew-in Labels (including ID 15000(EXHIBIT: 2)) must be approved by EBJ Production

    before ordering for bulk. THIS LABEL MUST BE DURABLE AND ELIGIBLE FOR THE LIFE OF THE PRODUCT. It is the responsibility of each vendor to confirm that any “special” (in addition to the standard) processing done to the garments will not compromise the standard of Eddie Bauer quality (i.e., special garment dyeing processes, and chemical washes. Color is to match label #1 logo.)

    A. FOLDING SPECIFICATIONS (applies to Shirts, Jersey items and Sweaters):

    Finished fold size: 11” x 14” (27.94cm x 35.56cm)

    B. PACKAGING METHOD All goods must be packed individually by poly bag. Fold open end of polybag over and seal with two pieces of clear tape. Minimum 1/4” wide, adequately spaced. (EXHIBIT: 4)

    C. PACKAGING WOVEN SHIRTS (Men and Women) SPORTS SHIRTS: Flat pack and no trim needed.

    D. CLASSIC SHIRT (Wrinkle Free):

    Stand up pack with I-cardboard, Plastic Lopper, Plastic Collar and Butterfly. No pins are used for EBJ order and special hangtag is needed.

    E. BELLY BAND (for Wrinkle Free shirt):

    No need to use Belly-band for ALL EBJ orders.

    F. WRINKLE FREE HANGTAG (Supplier’s Hangtag) Use one plastic loop that factory can prepare of for price tag and Wrinkle free hang tag. Place price tag “UP and place price tag “Down” (behind) Wrinkle free hang tag on the same plastic loop.

    G. SIZE DOT STICKER:

    Do not use the size dot sticker for ALL EBJ Orders.

    H. BASTING STICHES: No need to close all pockets by using basting stitches within one garment for both EBJ retail and catalog orders.

    I. FOLDING METHOD FOR EBJ PRODUCTION Twisted and rolled packaging (for crinkle fabric) is not accepted.

    Otherwise same as Core, unless changes are specified in writing. 3.3 For ALL Apparels, hangers should be from the same vendor as Core. Hangers should be ordered by Vendor.

    Section 4.PRICE TICKETS 4.1 Overview: The International price ticket must be purchased by Vendors.

    Each product shipped to EBJ must have a price-ticket.

    Section 5. Packaging for Shipment 5.1 The following defines the minimum requirements of container used in the packaging and shipping of Eddie Bauer products to Eddie Bauer Japan:

    5.2 Manufacture Joint:

    Japan: Glue or fiberglass reinforced tape. For deliveries from overseas please follow standard “H-Seal Pattern” closing all

    seams of the container. 5.3 Printing: see required markings.

    1color (GCMI-90 Black). All images to be clear, and legible. Poly bag liners for shipping cartons are not allowed. Mixed SKU’s are not allowed. Pack only one SKU per carton. Always use the

    smallest carton listed for small quantities. Exceptional case should be approved by Eddie Bauer Japan.

    5.4 CARTON LAYOUT: 2 Labels are required as Illustrated in (EXHIBIT: 8). Each carton must be marked with its contents clearly readable on one front and both sides. Marking form must be 20 cm (length) X 30cm (width). Stamps or prints all information in black heavy-faced figures and the figure height must be

    larger as 20 mm (not hand written). Specification on both sides and actual contents must match each other in any case. Marking form must be attached by using glue (do not use adhesive tape).

    Section 7.INTERNATIONAL INVOICE 7.1 GENERAL TERMS: T/T Remittance rule is same as EBUS.

    These are the terms Japanese would like to utilize with all agents/vendors. All charges other than those of the issuing bank are for the account of the beneficiary.

    7.2 DOCUMENTS REQUIRED FOR EBJ:

    Original signed commercial invoice indicating purchase order number + 3 copies. Color and Description must match the EB International PO exactly. The vendor is liable for costs incurred due to delays with customs resulting from incorrect or incomplete commercial invoices.

    Original packing list + 3 copies. For AIR SHIPMENTS:

    Original airway bill will be sent to International business with cargo. Inspection Certificate (as required).

    7.3 BILLING INVOICE:

    Vendors must send a copy of the billing invoice to EBJ for payment. Payment will NOT be effected for invoices sent to Eddie Bauer International Sales in

    Bellevue. Payment will NOT be effected for invoices sent to Eddie Bauer Inc. (USA) accounts payable. The following information is required on the billing invoice for payment to be effected.

    - Purchase Order Number - Bank Telephone and Fax Numbers - Bank Name - Vendor name and Account Number #

    - Bank Address - Correct Bill to Party - Swift code

    Section 8.Shipment Instructions to EBJ 8.1 When shipping to EBJ, please note:

    Each international business has designated freight forwarders that are contracted by EBJ. When product is ready to ship, contact the freight forwarder. The freight forwarder will work with you to arrange transportation shipment of goods. Use only the freight forwarder contracted by EBJ.

    Vendors shipping from the United States must ship from their factory to the designated freight forwarder.

    All products are to be shipped freight collect if it will be shipped on time. If it will be late, late policy will be applied.

    Product shipment is by sea unless otherwise specified on the purchase order. Include all of the required document(s) with the shipment. Direct Vendors should E-mail copies of the required documents to the person in charge at

    EBJ. The freight forwarder will send documentation back to the vendor for the ORIGINAL B/L.

    The vendor must forward these documents within one day of receipt to EBJ via overnight/courier and prepaid.

    If vendor cannot keep ORIGINAL PO ETD DATE, vendor have to report to EBJ and follow to EBJ instruction. If keep by SEA shipments, not upgraded transportation method to AIR, As for FOB DISCOUNT RATE, will be count from ORIGINAL PO ETD DATE to ACTUAL ETD DATE. If upgraded transportation method to AIR, vendor need to bear SEA-AIR incremental cost.     Section 10.PURCHASE CONTRACT (EXHIBIT 13: EBJ Purchase Contract) A Purchase Contract (or a Purchase Order “P/O”) contains all of the information necessary to produce the Price Tickets (as authorized) in preparation for shipment.     Section 11. EBJ Requirements – Quality Assurance 11.1 DANGEROUS SUBSTANCES Dangerous or unauthorized items (i.e. broken needles, pins, staples, wires, tools, box knives, scissors, rocks) in merchandise purchased by Eddie Bauer Japan are strictly prohibited based on “Product Liability Law.” Vendor must do the Metal Detection based on EBUS policy before shipment and Metal Detection (MD) stickers to be applied on all cartons.

    Re-mark: Submit the certificate to EBJ if EBJ requested. Vendors are required to use Metal Detection Free (Kenshin) materials, such as zippers, buttons, eyelets, and etc. DO NOT apply or use safety pins or sewing pins. These are strictly forbidden. (EXHIBIT: 15) (EXHIBIT: 15) 11.2 PRODUCTION SAMPLES EBJ to receive one early product sample in size as below for ALL COLOR / STYLE ordered. Refer to EBJ section 9 or actual Purchase Contract.     11.8 Additional care labels. Attach additional care label only if EBJ requested. EBJ has 5 different additional care labels as below and each of them can be purchased at Avery Dennison. (EXHIBIT: 23) EBJ-ACL1 : For rubber printing with rib production on its surface. EBJ-ACL2 : For products using beads, spangle and embroidery. EBJ-ACL3 : For down insulation products (with no baffle). EBJ-ACL4 : For denim and pigment dyed products. EBJ-ACL5 : For products with French seaming or for products using thin fabric.(Ex. Lawn, Gauze etc…) (EXHIBIT: 23)

    11.10 J-Spec measurement and Sample/Production flow for EBJ A. Japan sends J-specs to vendor: This happens 2 weeks from time of order placement.

    Japan will send sooner if special request is made. Please take note J-measurement will come in Excel format from EB-Japan tech team only for all department. Please contact EBJ Tech Designer for J-Measurement (Not production manager).

    B. Fit sample submission:

    Send fit sample with evaluation report, sample exception report. Send fit sample directly to EBJ TD via DHL, and alert the EBJ TD of the AWB#.

    Cost must be paid by Vendors. Submission sample size: Men’s: Tops S / Bottoms W31×30

    Women’s: Tops PS / Bottoms P4 or PS EBJ TD will review sample and send comments to vendor. If the 1st fit sample does

    not meet standards, a 2nd will be requested.

    C. FSS (Full Size Spec): After the fit sample is approved for production, the EBJ TD will send the J-fit full size spec (FSS) to vendor/agent.

    D. Vendor and Solo/Unique Products: Vendor sends J-fit PSSP directly to the EBJ TD once the fit sample is approved for

    production. EBJ TD provides PSSP approval.

    H. QC Inspection at EBJ inspection center: All garments should be inspected by EBJ inspection center.

    EBJ will inspect products in Japan once the products arrive. Inspection cost:

    - Vendor must pay full inspection cost to EBJ inspection center or EBJ if the rejected ration of 1st inspection results is over 8% and if the products are inspected for 2nd inspection.

    - Vendor must pay full needle inspection cost to EBJ inspection center or EBJ if the dangerous substances are found.

    11.11 Product Status Report Japan would like to receive a PSR (Product Status Report) to advice counter sample send dates, comment tracking etc. Please document labeled Japan PSR.
