1. INTRODUCTION1.1. These Terms and Conditions (referred to hereinafter as T&C) govern the use of the JANA Rewards Program, the collection of rewards points, the membership of the JANA Rewards Program and the use of Banque Saudi Fransi Website and Mobile Application.1.2. By accessing and/or using any page of the Website and Mobile Application and the services they offer, Member declares that Member read, understood, and accepted the following terms, conditions, and disclaimers in full and hereby agrees to comply with and be bound by them. These T&C may be changed or updated occasionally; therefore Members are encouraged to frequently visit these sections in order to be updated about the changes made. Any such variations or amendments will become effective and binding on the member thirty (30) days after notification to the member by any means of authenticated communication the Bank deems fit.2. DEFINITIONSFor the purpose of these T&C, the following terms shall have the following meaning:2.1. JANA Rewards Program– means the loyalty program run by Banque Saudi Fransi pursuant to which Member earns rewards points by performing transactions through his/her Banque Saudi Fransi Products and Services and then redeeming the earned points for Rewards.2.2. JANA Points – means the common loyalty currency points earned by a Member under the JANA Rewards Program and credited to a Member’s account. These points can be redeemed at the Banque Saudi Fransi online catalog available on the Banque Saudi Fransi website and/or Mobile Application, at JANA Program Partners or through the JANA Network.2.3. Delinquent - means a Member who has not paid their monthly installment or minimum payment amount for 3 consecutive months on any home finance, credit card or personal finance with Banque Saudi Fransi.2.4. JANA Network – means the network loyalty program consisting of businesses where JANA Points can be earned or redeemed.2.5. JANA POINTS Network Partner – means any business entity participating in the JANA Rewards Network and offers rewards to Members.2.6. Member – means the person who is a member of JANA Rewards Program and JANA Program whose name is registered against the Membership Number.2.7. Membership Number – means the membership number allocated to a Member in accordance with these T&C.2.8. Member Loyalty Account – an account number that is set up under one Membership Number and which is used by Member within the JANA Rewards Program to earn and redeem points.2.9. PIN Code –a four-digit number sent to Member at the time of enrollment and used for redemption purposes.2.10. Banque Saudi Fransi Products and Services – shall mean Banque Saudi Fransi offers and programs which are offered by Banque Saudi Fransi, from time to time, and that Members make use of.2.11. Transactions – mean the transactions that are performed by Member through using his/her Banque Saudi Fransi Products and Services.2.12. Reward(s) – goods or services supplied, by or on behalf of JANA Rewards Program, upon redemption by a Member of an appropriate number of points or, where permitted, a combination of cash and points.2.13. Reward Points – the points awarded through the JANA Rewards Program and which are issued as JANA points.2.14. Suppliers and/or Merchants – means third party vendors through whom Rewards are procured and delivered.2.15. Website and Mobile application – mean the pages and the screens applicable to JANA Rewards Program available at www.fransijana.com.sa and on JANA mobile app.

1. مقدمــة1.1 تحكم هذه الشروط و االحكام (المشار اليها فيما يلي بـ الشروط واألحكام) استخدام برنامج الفرنسي، وجمع نقاط المكافآت، وعضوية بالبنك السعودي برنامج الوالء الخاص

2.11 المعامالت – أي المعامالت التي ينفذها العضو من خالل استخدامه لمنتجات و خدمات البنك السعودي الفرنسي.

3. LOYALTY PROGRAM MEMBERS3.1. The Members in JANA Rewards Program are the individuals enrolled to the program.3.2. Enrollment in JANA Rewards Program is free of charge.3.3. Enrollment to JANA Rewards Program can be only through FransiPlus.com or FransiMobile.3.4. Member must accept the terms and conditions to enroll.3.5. Member will earn, accumulate and redeem Reward Points through the methods stated herein.3.6. Banque Saudi Fransi will set up a Member Loyalty Account to record Reward Points earned or redeemed by the Member. Reward Points can only be redeemed once the Account is activated by using the PIN and entering it online on the Website and/or Mobile Application.3.7. By becoming a Member in the JANA Rewards Program, Member enrolls automatically in the JANA Rewards Program. The Jana Rewards Program will be subject to its own Member terms. Please visit the JANA Rewards website on www.fransijana.com.sa for further details.4. POINTS COLLECTION4.1. Member will earn Reward Points relative to the eligible Transactions made through the Banque Saudi Fransi Products and Services. The number of Reward Points a Member may earn is determined according to Member’s use of said products and services and in accordance with Banque Saudi Fransi terms that regulate the Banque Saudi Fransi Products and Services.Please visit the Jana rewards website on www.fransijana.com.sa for the number of points earned for every qualified transactions or points.4.2. Reward Points cannot be redeemed until credited to the Member’s Loyalty Account. Rewards Points are usually credited within 30 days.4.3. The number of points earned for every qualified transactions and eligible transactions may change or canceled without prior notice.4.4. Reward Points can be transferred to another Member Loyalty Account. The transfer will be subject to a transfer fee equivalent to 5% of the amount of the Reward points transferred or 100 (one hundred) Reward Points, whichever is greater.4.5. Reward Points can only be earned, held, transferred or redeemed as set out in these T&C. Any other use, award, sale, exchange or transfer of Reward Points, or attempt to do so, against these terms and conditions is a serious breach of these T&C. Any Reward Points not earned and held in accordance with these T&C will be invalid and cannot be redeemed for Rewards. Any such Reward Points on a Member Loyalty Account will be deducted and, if they are redeemed, we will cancel the relevant Rewards. Reward Points have no cash value.4.6. No paper statements will be issued. Members must log into www.fransijana.com.sa to obtain statements of their current position in the Loyalty Program including Reward Points collected and redeemed..4.7. If a Member is Delinquent no Rewards Points will be accumulated, but Member can still use the accumulated Rewards Points to perform transactions.5. REDEMPTION AND REWARDS5.1. All Rewards are subject to availability and stocks may be limited. These transactions and all Rewards are subject to applicable terms and conditions (including booking requirements, cancellation restrictions, return conditions, warranties and limitations of liability) of the Reward’s suppliers and/or Merchants.5.2. The number of Reward Points required to redeem any Reward can be found on the Banque Saudi Fransi Website or Mobile application and may change without prior notice.5.3. At the time of requesting the Reward, Member’s current Reward Points balance must be at least equal to the total Reward Points value that the Reward Member is requesting. 4.1 يقوم األعضاء بكسب نقاط المكافآت المتعلقة بالمعامالت التي تتم بواسطة منتجات و خدمات البنك السعودي الفرنسي. يتم تحديد عدد نقاط المكافآت التي يكسبها العضو السعودي البنك لشروط ووفقًا والخدمات المنتجات لهذه العضو استخدام حسب

يتم االعالن عادة عن نقاط المكافآت خالل 30 يوم من تاريخ العملية .4.3 العمليات المؤهلة و عدد النقاط المكتسبة يتم تحديدها واحتسابها وفق تقدير البنك

المطلق و دون الرجوع الى العميل.4.4 يمكن تحويل نقاط المكافآت الى حساب والء عضو آخر. ويخضع التحويل لرسوم تحويل

تعادل %5 من مبلغ نقاط المكافآت المحّولة أو مائة من نقاط المكافآت، أيهما أكبر4.5 يمكن فقط كسب و االحتفاظ أو تحويل أو استبدال نقاط المكافآت على النحو المبين لنقاط آخر تحويل أو تبادل و وبيع منح أو استخدام وأي األحكام. و الشروط هذه في المكافآت أو محاولة القيام بذلك بنحو يعارض هذه الشروط واالحكام، هو انتهاك خطير لهذه وفقًا جمعها أو اكتسابها يتم لم مكافآت نقاط أي و األحكام. و الشروط لهذه نقاط باطلة وال يمكن استبدالها بمكافآت. كما سيتم خصم الشروط و األحكام ستكون المكافآت الموجودة في حساب الوالء الخاص بالعضو و إذا تم استبدالها فسنقوم بإلغاء

other Reward offers unless otherwise stated.5.4. Once a Reward has been delivered or picked up, it cannot be returned or exchanged for Reward points or other Rewards.5.5. If the Reward is faulty or damaged , the supplier’s warranty will apply and the Member must revert to the supplier for support and assistance. The bank will not hold any responsibility for any faulted or damaged reward.5.6. If a product is out of stock, we will suggest a replacement and it is the Member’s decision to accept or refuse the replacement. Where a replacement is not taken then the Reward Points will be credited back into Member’s account within 15 working days after notifying us.5.7. Some Rewards may differ slightly from the image shown on the Website and/or on the Mobile Application.5.8. Rewards redeemed through the Website and or Mobile Application will be delivered directly to the address provided within 15 working days.5.9. Rewards which are redeemed and requested and not claimed within six months after the date of redemption, will expire if the Member is not reachable on the address provided through the Website and/or Mobile Application.6. OTHER REDEMPTION TERMS6.1. Banque Saudi Fransi cannot be held liable for any loss, theft, damage or unauthorized use of Member’s PIN Code, or Reward, whether in the course of delivery or otherwise.6.2. All conditions and warranties, whether expressed or implied and whether arising under legislation or otherwise, as to the condition, suitability, quality, fitness or safety of any Reward supplied are expressly excluded to the full extent permitted by law. Any liability that cannot be fully excluded is limited, where permitted, to replacing, repairing or crediting the value of the Reward at our discretion.6.3. A Member must enter his/her personal PIN Code when conducting a redemption transaction on JANA Rewards Program. Additional security questions might be asked by the Banque Saudi Fransi staff.6.4. It is the Member’s responsibility to ensure the PIN Code is not compromised, shared with anyone, or mishandled. Any loss resulting from the unauthorized use of the Member’s PIN code is the Member’s responsibility alone.7. POINTS VALIDITY7.1. Reward Points will be valid for two-year. Except the cash back points (Credit Card’s Cash Back Points Terms will be applied).7.2. Points will be lost if expired. Additionally, they will be lost if the relevant Member’s Account is closed or the JANA Rewards Program ends.8. CASH BACK POINTS TERMS8.1. Collecting the cash back can be only form credit card purchases.8.2. Cash back is available only for points eligible for cashback and are subjected to the terms available on JANA website www.fransijana.com.sa 8.3.The Reward Points for cash back have a validity period of 1 year . Customer has no right to claim on expired reward points.8.4. Once the customer is registered to the Loyalty Program and is a credit card holder, customer will only accumulate points in the Loyalty Program.9. OTHER GENERAL TERMS9.1. Redeemed Reward Points cannot be used again. If a transaction on which Reward Points are issued or redeemed is cancelled, reversed or not completed, Banque Saudi Fransi will reverse the associated Reward Points movement. If insufficient Reward Points are available, or we suspect fraud or misconduct, rewards may be refused or cancelled.9.2. Member is responsible for the security of his/her Member Account. If a PIN code is lost or the holder thinks an unauthorized person has become aware of any security code, password or account number, they should contact Banque Saudi Fransi Call Center at 8001242121 immediately and/or change the PIN through the Website or Mobile Application. الخاص بالعضو هو مسؤولية العضو فقط.7. صالحية النقاط

7.1 تكون نقاط المكافأة صالحة لمدة سنتين ميالدية، �باستثناء نقاط االسترداد النقدي (ستطبق شروط وأحكام نقاط االسترداد النقدي للبطاقات االئتمانية) �

7.2 ال يحق للعميل المطالبة بالنقاط المنتهية او في فقدنها في حال إغالق حساب العضو أو عند انتهاء برنامج المكافآت جنى.

8. شروط االسترداد النقدي8.1 يتم جمع نقاط االسترداد النقدي لعميات الشراء على البطاقات االئتمانية فقط.

8.2 االسترداد النقدي يكون متاح فقط للنقاط المتوفرة في رصيد نقاط االسترداد النقدي www.FransiJana.com.sa وفق اآللية والشروط المذكورة في موقع جنى

للعميل يحق وال فقط. واحد عام لمده النقدي االسترداد مكافأة نقاط تسري 8.3المطالبة بالنقاط المنتهية.

8.4 عند تسجيل العميل في برنامج المكافآت جنى جميع نقاط االسترداد النقدي الخاصة بعمليات البطاقة االئتمانية يتم احتسابها ضمن برنامج المكافآت جنى فقط.

9. أحكام عامة أخرى9.1 ال يمكن استخدام نقاط المكافآت المستبدلة مرة أخرى. في حال تم إلغاء العملية التي أصدرت بها نقاط المكافأة أو استبدلت أو عكست أو لم تكتمل، فسيقوم البنك السعودي الفرنسي بعكس حركة نقاط المكافآت ذات الصلة. وفي حال عدم توفر نقاط مكافأة كافية

أو في حال اشتبهنا وجود حالة احتيال أو سوء سلوك فسيتم رفض أو إلغاء المكافآت 9.2 يعد العضو مسؤوال عن أمن حسابه. في حالة فقدان الرمز السري أو شك صاحب الرمز بعلم شخص غير مصرح به بأي رمز حماية، أو كلمة مرور أو رقم الحساب، فعليه االتصال بمركز اتصال البنك على 8001242121 على الفور و/أو تغيير الرمز السري من خالل الموقع االلكتروني أو تطبيق الجوال. البنك السعودي الفرنسي غير مسؤول عن أي استخدام غير

responsible for any unauthorized use of Reward Points.9.3. Banque Saudi Fransi may close any Member Loyalty Account on which no Reward Points have been earned or redeemed for a continuous period of at least 24 months. Banque Saudi Fransi may also, on notifying the Member, immediately suspend or terminate the rights of any Member and/or close any relevant Member Account, if they breach these T&C, if we reasonably believe that they have dealt with Reward Points in a manner not permitted by these T&C, if there is any theft from or misconduct in connection with the JANA Rewards Program, if they supply false or misleading information to us or if they are abusive or offensive to any member of our staff. A Member can close his/her Loyalty Account at any time by notifying us. If a Member Loyalty Account is closed, Member’s rights to redeem Reward Points from that Account are lost.9.4. Banque Saudi Fransi may make changes to these T&C with a 30 days prior notice. Earning or redeeming Reward Points on a Member Loyalty Account will constitute acceptance of the revised T&C. We may suspend or terminate the JANA Rewards Program by giving at least a 30 days prior notice. After thirty (30) days after notification to the member by any means of authenticated communication the Bank deems fit If this happens, all Member Accounts will be suspended or terminated.9.5. We will only be liable to a Member who suffers loss as a result of a material breach of these T&C and, if so, our sole liability will be to credit to the relevant Member account any Reward Points which have been wrongly deducted or should have been credited but were not. These T&C prevail in the event of any conflict or inconsistency with any other communications, including advertising or promotional materials.9.6. Member can contact us by calling the Banque Saudi Fransi Call center at 8001242121. The Bank may record calls to check the quality of service or for training, audit or security purposes.10. WEBSITE AND MOBILE APPLICATION TERMS OF USE10.1. The Website and Mobile Application Terms of Use shall set out the legal conditions related to the Member’s use of and access to the Website and Mobile Application. By checking any acceptance boxes, clicking any acceptance buttons, submitting any text or content or simply by making any use of the Website and Mobile Application, Member (a) accepts these terms and agrees to be bound by each of them, and (b) represents and warrants to Banque Saudi Fransi that (i) Member is at least 15 years of age and have the authority to accept these terms (either on Member’s own behalf or by having a parent or legal guardian agree to the terms set forth herein on Member’s behalf), (ii) these terms are binding and enforceable against Member, (iii) to the extent an individual is accepting these terms on behalf of an entity, such individual has the right and authority to agree to all of the terms set forth herein on behalf of such entity, and (iv) Member has read and understood Banque Saudi Fransi Privacy Policy.10.2. The purpose of the Website and Mobile Application Terms of Use is to set forth the terms and conditions under which, among other things, (i) Banque Saudi Fransi will license to the Member the use of certain of Banque Saudi Fransi 's technology, software and/or services such that Member can utilize the Website and Mobile Application through Member’s mobile device, and (ii) Member can access and/or use the Website. As stipulated elsewhere herein, Banque Saudi Fransi do not exert any control over any Program Partner and Supplier, and as such is not liable or responsible for any actions taken or omitted to be taken by any such third party.10.3. Banque Saudi Fransi hereby grants Member a non-transferable, non-exclusive, revocable, limited license to access and use Banque Saudi Fransi ‘s Website and Mobile Application solely for the purpose outlined before. الدخول الى الموقع االلكتروني أو تطبيق الجوال.10.4 يجب على العضو بشكل مباشر أو غير مباشر عدم نسخ أو استنساخ كل أو أي جزء من الموقع وتطبيق الهاتف الجوال الكترونيا أو آليا أو بأي طريقة أخرى بأي شكل من األشكال، وعلى سبيل المثال ال الحصر: نسخ العرض أو التصميم أو التنظيم. على العضو استخدام الموقع وتطبيق الهاتف الجوال لألغراض المصمم لها فقط وعدم استخدامهما لمصلحة طرف آخر إال كما هو منصوص عليه خصيًصا في هذه الشروط واألحكام. يجب على العضو عدم استخدام الموقع وتطبيق الهاتف الجوال لنشر أو نقل أو تحويل أو ارسال أو توزيع أو تخزين أو اتالف أي محتوى أو صور أو وصف أو رسومات أو المواد السمعية أو النصوص أو الرسائل أو غيرها من المعلومات (بشكل جماعي "المعلومات المنشورة") :أ- في انتهاك أي قانون معمول به أو الئحة أو قرار أو نظام. ب- بطريقة تنتهك حقوق الملكية الفكرية بطريقة ت- التجاري. التشهير بقصد أو باآلداب مخلة أو تشهيرية بطريقة ج- لآلخرين. تحتوي على أي فايروسات أو حصان طروادة أو الديدان أو القنابل الموقوتة أو روبوتات االلغاء أو روتينيات برمجة الحاسوب األخرى المصممة إليقاع الضرر – تتدخل بشكل ضار –

Member shall not be permitted to sub license or transfer any of Member’s rights hereunder including, without limitation, access to the Website and Mobile Application.10.4. Member shall not directly or indirectly copy or reproduce all or any part of the Website and Mobile Application whether electronically, mechanically or otherwise, in any form including, but not limited to, the copying of presentation, style or organization. Member shall use the Website and Mobile Application solely for its intended purposes and shall not use the Website and Mobile Application for the benefit of any third party except as specifically contemplated under these T&C. Member shall not use the Website and Mobile Application to post, transmit, convey, submit, distribute, store or destroy any content, photographs, descriptions, drawings, content, audio materials, text, messages or other information (collectively, "Posted Information"): (a) in violation of any applicable law, statute, ordinance or regulation. (b) in a manner that will infringe the intellectual property rights of others. (c) that is defamatory, obscene or trade libelous. (d) that contains any viruses, Trojan horses, worms, time bombs, cancel bots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information. (e) that is false, misleading or inaccurate in any way. or (f) in violation of the any acceptable use policy or other policy posted at the Website and Mobile Application from time to time. Member shall not violate or attempt to violate the security of the Website and Mobile Application. Member shall not reverse engineer, decompile, disassemble or otherwise attempt to derive source code or other trade secrets from the Website and Mobile Application, including, without limitation, any of the software comprising or in any way making up a part of the Website and Mobile Application. In addition, Member will not export, re-export or permit any third party to export or re-export, directly or indirectly, the Website and Mobile Application where such export or re-export is prohibited by applicable law without appropriate licenses and clearances. Member shall defend and indemnify Banque Saudi Fransi, at Member’s sole cost and expense, from and against any claims, damages, liabilities and/or expenses arising out of Member’s breach of any of Member’s obligations or representations set forth in this section.10.5. Member shall be solely responsible for: (i) all Posted Information Member input into the Website and Mobile Application. (ii) ensuring that all Posted Information is appropriate in tone and is accurate. (iii) complying with all applicable laws, rules and regulations at all times. (iv) maintaining all passwords and access codes to the Website and Mobile Application, and refraining from sharing or otherwise permitting third parties to use any such passwords and/or access codes to access the Website and Mobile Application.10.6. Banque Saudi Fransi shall be entitled, at its sole discretion, to suspend, restrict and/or terminate, without notice of any kind, Member’s access to the Website and Mobile Application or Member’s Loyalty Account for any reason. Notwithstanding the foregoing, Banque Saudi Fransi shall not be required to review or monitor any Posted Information entered into the Website and Mobile Application or otherwise submitted by Member, and Member shall be solely responsible for the veracity and accuracy of all such data, content and information.10.7. Banque Saudi Fransi does not currently charge its members to access and use the website and mobile application, however Banque Saudi Fransi may, at any point and in its discretion, elect to begin charging fees for use of various portions of the website and mobile application and/or different levels of subscription or account. After thirty (30) days after notification to the member by any means of authenticated communication the bank sees fit. Said fees will need to be approved and in compliance with local regulations as stipulated by the Saudi Central Bank (SAMA).

األعضاء المنصوص عليها في هذا الفصل.10.5 يكون العضو وحده مسؤوال عن: -1 جميع المعلومات المنشورة التي أدخلها العضو في الموقع والتطبيق.-2 التأكد من أن جميع المعلومات المنشورة ذات أسلوب مناسب ودقيقة. -3 االلتزام بجميع القوانين والقواعد واألنظمة المعمول بها في كل األوقات. -4 الجوال وعدم الهاتف وتطبيق للموقع الدخول ورموز المرور كلمات الحفاظ على جميع مشاركتها مع االخرين أو السماح لطرف ثالث باستخدامها للوصول إلى الموقع أو التطبيق.

10.6 يحق للبنك السعودي الفرنسي- حسب تقديره المطلق- ايقاف أو تقييد و/أو انهاء – دون انذار من أي نوع- وصول العضو للموقع وتطبيق الهاتف الجوال أو حساب الوالء للعضو ألي سبب. بالرغم من ما سبق، ال ُيطلب من البنك السعودي الفرنسي مراجعة أو مراقبة أي معلومات منشورة في الموقع أو التطبيق أو ُقدمت بطريقة أخرى من األعضاء. البيانات والمحتوى والمعلومات من العضو وحده مسؤوال عن صحة ودقة جميع يكون

البنك المركزي السعودي.10.8 سيوقف الوصول للموقع وتطبيق الهاتف الجوال اذا: -1 قدم العضو و/أو البنك السعودي الفرنسي اشعار مكتوب أو الكتروني باإلنهاء (وفي هذه المرحلة لم يعد للعضو حق في الوصول الى الموقع والتطبيق أو استخدامهما) أو -2 يختار البنك السعودي الفرنسي انهاء وصول العضو للموقع والتطبيق بإشعار أو بدون اشعار. لغرض التوضيح، يحق للعضو انهاء حساب الوالء الخاص به في أي وقت. عند الموقع إلى الوصول للعضو يحق ال األسباب من الوالء ألي سبب انهاء حساب والتطبيق أو استخدامهما أو غيرها من االجزاء غير العامة من الموقع. كما يجب على العميل استبدال نقاطه قبل انهاء عضويته في البرنامج او اغالق حسابه وإال سيتم الغاء رصيد النقاط الخاص بالعميل. إضافًة إلى ما سبق، في حال قرر البنك –وفق تقديره المطلق- أن العضو انتهك الشروط واألحكام، يهدد بانتهاك الشروط واألحكام، ارتكب أي تزوير أو احتيال، انتهك أي سياسة معمول بها للبنك السعودي البنك من المطلوبة للمعايير وفقا االداء في فشل أو آلخر وقت من الفرنسي السعودي الفرنسي يحق للبنك – وفًقا لتقديره المطلق وإضافة إلى أي تعويضات للموقع العضو وصول ايقاف أو الغاء أو انهاء القانون- في و/أو أدناه أخرى والتطبيق في أي من الحاالت السابقة في أي وقت وألي مدة من الزمن. البنك غير مسؤول عن إعادة أي نوع من المعلومات المنشورة إلى العضو عند انهاء أو ايقاف وصول العضو للموقع والتطبيق بما في ذلك على سبيل المثال ال الحصر: أي معلومات ُأدخلت في الموقع والتطبيق من عضو. سيخسر العضو جميع النقاط

المتبقية في حسابه وستعاد للبنك.حقوق من وغيرها الطبع وحقوق االختراع وبراءات التجارية العالمات كل 10.9

الملكية الفكرية التي يملكها البنك السعودي الفرنسي و/أو العضو في تاريخه

10.8. Access to the Website and Mobile Application will end if: (i) Member and/or Banque Saudi Fransi provide written or electronic notice of termination (at which point Member shall no longer be entitled to access or use the Website and Mobile Application), or (ii) Banque Saudi Fransi elects to terminate Member’s access to the Website and Mobile Application, with or without notice. For purposes of clarity, Member is entitled to terminate Member’s Loyalty account at any time. Upon termination of the Loyalty Account for any reason, Member shall no longer be entitled to access or use the Website and Mobile Application or any other non-public portions of the Website. In addition member should redeem his points before cancelling this membership or his account otherwise the points will be cancelled.In addition to the foregoing, in the event that Banque Saudi Fransi determines, in its sole and absolute discretion, that Member have breached the T&C, threatened to breach the T&C, committed any fraud or deception, breached any Banque Saudi Fransi policy in effect from time to time or otherwise failed to perform to the standards required of Banque Saudi Fransi, Banque Saudi Fransi shall be entitled, at its discretion and in addition to any other remedies it may have hereunder and/or at law, to terminate, cancel or suspend Member’s access to the Website and Mobile Application, in each of the foregoing cases at any time and for any period of time. Banque Saudi Fransi shall not be responsible for the return of any Posted Information of any kind to Member upon any termination or suspension of Member’s access to the Website and Mobile Application, including without limitation any information input into the Website and Mobile Application by Member. All outstanding points remaining in the Member’s balance will be forfeited by Member and returned to Banque Saudi Fransi.10.9. All trademarks, patents, copyrights and other intellectual property rights owned by Banque Saudi Fransi and/or the Member on the date hereof shall continue to be owned solely by each of them, and except as set forth herein, nothing in these T&C shall be deemed to confer any rights to any such intellectual property on the other. Member acknowledges and agrees that the applicable supplier(s) of any third party software included within the Website and Mobile Application shall own all worldwide rights, title and interest in and to such third party software (and any intellectual property rights therein), subject to such suppliers' license, if any, of such third party software to Banque Saudi Fransi.11. CONFIDENTIALITY TERMS11.1. Member agrees to treat as confidential all confidential information of Banque Saudi Fransi, not to use such confidential information for any purpose other than to the limited extent necessary to use the Website and Mobile Application and not to disclose such confidential information to any third party except as may be reasonably required pursuant to these T&C and subject to confidentiality obligations at least as protective as those set forth herein. Without limiting the generality of the foregoing, Member shall use at least the same degree of care which Member uses to prevent the disclosure of Member’s own confidential information of like importance to prevent the disclosure of confidential information disclosed by Banque Saudi Fransi, provided, however, that in no event shall such degree of care be less than reasonable in light of general industry practice.12. WARRANTY, DISCLAIMERS AND LIMITATION OF LIABILITY12.1. Except as explicitly set forth herein, neither Banque Saudi Fransi its affiliates or any of any such party's equity holders, directors, officers, employees, agents, suppliers, licensors nor the like, makes any warranties of any kind, either expressed or implied, including, without limitation, (a) warranties of merchantability or fitness for a particular purpose, (b) that the Website or the and Mobile Application will be error-free, (c) as to a minimum level of uptime for the Website and Mobile Application, or (d) as to the results that may be obtained by Member by accepting these T&C and/or using the Website and Mobile

البنك يقدم ال الوثيقة، هذه في صراحة عليه منصوص هو ما باستثناء 12.1القبيل المساهمون من هذا أو االطراف له التابعة الفرنسي والشركات السعودي والمدراء والمسؤولون والموظفون والوكالء والموردون والمرخص لهم أي نوع من الضمانات سواء الصريحة أو الضمنية ، بما في ذلك على سبيل المثال ال الحصر: أ- تطبيق أو الموقع أن لغرض محدد، ب- بمالءمتها أو بالتسويق الخاصة الضمانات التشغيل لمدة األدنى للحد بالنسبة ج- األخطاء، من خاٍل سيكون الجوال الهاتف للموقع والبرنامج، أو د- بالنسبة للنتائج التي يحصل عليها العضو بموافقته على هذه األحكام والشروط و/أو استخدام الموقع والتطبيق. يوافق العضو ويقر بأن الموقع والتطبيق مرخصين و/أو تم توفيرهما على قاعدة "كما هي". اضافة إلى ذلك، يقر العضو ويوافق بموجب هذه الوثيقة على: -1 البنك السعودي الفرنسي غير مسؤول عن أي اجراء يقوم به طرف ثالث باستخدام الموقع والتطبيق أو استعراض أي من بأي يوصي وال الفرنسي السعودي البنك يجيز ال 2- المنشورة. العضو معلومات طرف ثالث بموجب هذه الوثيقة وال يقدم أي اقرارات أو ضمانات من أي نوع فيما يتعلق بالطرف الثالث. -3 البنك السعودي الفرنسي ليس طرًفا في أي عملية بين معه، تجارية البنك عالقة لدى منشأة مع من مورد، ، برنامج أي شريك و العضو وعلى هذا النحو فإن أي نزاعات بشأن المشتريات والمكافآت و/أو أي نقطة أخرى والطرف العضو بين فقط تكون األخرى التجارية المعامالت أو عملية أي في الثالث.-4 البنك السعودي الفرنسي غير مسؤول عن التزام أي طرف ثالث بالقانون والقواعد واألنظمة المعمول بها. -5 البنك السعودي الفرنسي – تحت أي ظروف- غير مسؤول عن أي محتوى ونصوص وصور و/أو أي معلومات منشورة بما في ذلك أي معلومات منشورة تنتهك القانون المعمول به و/أو حقوق الملكية الفكرية للغير. -6 قد ال يعمل الموقع والتطبيق بشكل صحيح أو على النحو المنشود في بعض

أو عدم توفر على األعضاء.

Application. Member agrees and acknowledges that the Website and Mobile Application are licensed and/or provided hereunder on an "as is" basis. In addition, Member hereby agrees and acknowledges that: (i) Banque Saudi Fransi shall not be responsible for any actions taken by any other party using the Website and Mobile Application or reviewing any of Member’s Posted Information. (ii) Banque Saudi Fransi does not recommend or endorse any third parties hereunder, and makes no representations or warranties whatsoever regarding any such third party. (iii Banque Saudi Fransi is not a party to any transaction between Member and any Program Partner, Supplier, or business with which Banque Saudi Fransi has a business relationship, and as such, any disputes regarding purchases, rewards and/or any other aspect of any transaction or other commercial dealings is solely between Member and such third party. (iv) Banque Saudi Fransi is not responsible for any other party's compliance with applicable laws, rules or regulations. (v) Banque Saudi Fransi shall not, under any set of circumstances, be responsible or liable for any content, text, photographs and/or other Posted Information, including any Posted Information which may violate applicable law and/or a third party's intellectual property rights. and (vii) the Website and Mobile Application may not function properly or as intended at times.12.2. Member is responsible, at Member’s sole cost and expense, for providing all equipment necessary to access the Internet, the Website and Mobile Application. While it is Banque Saudi Fransi objective to make the Website and Mobile Application accessible at all times, the Website and/or Mobile Application may be unavailable from time to time for any reason including, without limitation, routine maintenance. In addition, various portions of the Website and Mobile Application may operate slowly from time to time. Member understands and acknowledges that due to circumstances both within and outside the control of Banque Saudi Fransi access to the Website and/or Mobile Application may be interrupted, suspended or terminated from time to time. In particular, and not in limitation of the foregoing, Banque Saudi Fransi shall not be liable in any way for any delay in responding to an inquiry or question forwarded by Member or the effects any delay or unavailability may have on Member.12.3. Member agrees that Banque Saudi Fransi shall not be liable for any damages arising from any such interruption, suspension or termination of the Website and/or Mobile Application and that member shall put in place contingency plans to account for such periodic interruptions or suspensions of the Website and/or Mobile Application.12.4. Banque Saudi Fransi shall not, under any set of circumstances, be liable to member for any special, incidental, indirect, punitive or consequential damages, including, but not limited to, lost profits or data, arising out of accepting these terms or member’s use of the Website and Mobile Application, whether based in contract, tort or any other legal theory, even if advised of the possibility of such damages.12.5. Banque Saudi Fransi shall not be liable to Member for failure or delay in performing any obligations hereunder if such failure or delay is due to circumstances beyond its reasonable control.13. NOTICE13.1. Except where explicitly provided otherwise herein, any notice required or permitted hereunder will be delivered to the Banque Saudi Fransi as follows (with notice deemed given as indicated): (i) by personal delivery when delivered personally; (ii) by established overnight courier upon written verification of receipt; (iii) by facsimile transmission when receipt is confirmed orally; (iv) by certified or registered mail, return receipt requested, upon verification of receipt; or (v) by electronic delivery when receipt is confirmed orally.14. ASSIGNMENT14.1. Member may not, without the prior written consent of Banque Saudi Fransi, assign the Agreement, in whole or in part, either voluntarily or by operation of

13.1 باستثناء الحاالت المنصوص عليها صراحًة أدناه، أي اشعار مطلوب أو مسموح به في ما يلي سيسلم للبنك السعودي الفرنسي كالتالي ( بحيث يعتبر االشعار مستلما كما يلي) بناء على الواحد اليوم بريد التسليم الشخصي. -2 عن طريق -1 استالمها شخصيا عند :تحقق كتابي باالستالم -3 عن طريق الفاكس عند تأكيد االستالم شفوًيا. -4 عن طريق 5- االستالم. من التحقق عند مطلوب- االستالم –تأكيد المسجل أو المعتمد البريد

التسليم االلكتروني عند تأكيد االستالم شفوًيا.14. التنازل

14.1 ال يحق للعضو – بدون موافقة خطية مسبقة من البنك السعودي الفرنسي- التنازل عن االتفاقية ككل أو جزء منها طوعا أو بحكم القانون، وأي محاولة لفعل ذلك ستعتبر مخالفة اساسية لالتفاقية وستعتبر باطلة، لكن بشرط في حال بيع جميع أصولك وأسهمك لطرف ثالث أو اندماج لجهتك مع طرف ثالث، تعتبر هذه االتفاقية – دون أي اجراء اخر من جانب أي طرف- متنازل عنها تلقائيا ويفترض ذلك هذا على ملزمة تكون النحو هذا وعلى العمليات، هذه مثل في المستحوذ المستحوذ. هذه االتفاقية ستكون ملزمة وتعود لصالح األطراف المعنية في هذه وورثتهم الشرعيين ووكالئهم الفائدة في المعنيين لهم والتابعين الوثيقة

وأصحاب الحق.15. ال يوجد طرف ثالث مستفيد

أي تمنح وال الحق وأصحاب لهم والتابعين األطراف لصالح فقط االتفاقية هذه 15.1حقوق أو تعويضات عن أي شخص أو جهة أخرى.

16. التعديل والتنازلمن نسخة محدثة بنشر االتفاقية يغير هذه قد الفرنسي السعودي البنك 16.1الوالء برنامج ضمن و/أو الفرنسي السعودي البنك موقع على االتفاقية هذه المعمول به الخاص بالبنك، مثل هذه التغييرات تصبح نافذه بعد ثالثين (30) يومَا من إخطار عضو البرنامج بأي وسيلة اتصال معتمدة يراها البنك مناسبة. فشل أحد الطرفين في ممارسة أو تطبيق أي حق من حقوقه بموجب هذه االتفاقية ال يعتبر تنازل عن تبعات هذا االختراق والتنازل عن أي اختراق ال يعتبر تنازل عن تبعات هذا

االختراق.17. قابلية الفصل

17.1 في حال ُاعتبر أي حكم من أحكام هذه االتفاقية من المحكمة أو محكمة أخرى ذات اختصاص غير قابل للتطبيق، سيطبق ذلك الحكم بأقصى حد مسموح به بموجب القانون

المعمول به وتبقى األحكام األخرى سارية المفعول ونافذة بالكامل.18. القوة القاهرة

law, and any attempt to do so will be a material default of the Agreement and will be void; provided, however, that in the event of a sale of substantially all of your assets or equity to a third party or any merger of your entity with an into a third party, this Agreement shall be deemed, without any further action on the part of any party, to automatically be assigned to and assumed by the acquirer in such transaction and as such, shall be binding on such acquirer. The Agreement will be binding upon and will inure to the benefit of the respective parties hereto, their respective successors in interest, legal representatives, heirs and assigns.15. NO THIRD PARTY BENEFICIARIES15.1. The Agreement is solely for the benefit of the parties and their successors and permitted assigns, and does not confer any rights or remedies on any other person or entity.16. AMENDMENT AND WAIVER16.1. This Agreement may be changed by Banque Saudi Fransi upon posting an updated version of the Agreement at Banque Saudi Fransi’s website and/or within the applicable JANA Rewards Program, any such change to become effective After thirty (30) days after notification to the member by any means of authenticated communication the Bank deems fit after posting such updated version of the Agreement as described above. The failure of either party to exercise or enforce any of its rights under the Agreement will not act as a waiver of subsequent breaches and the waiver of any breach will not act as a waiver of subsequent breaches.17. SEVERABILITY17.1. If any provision of the Agreement is held by a court or other tribunal of competent jurisdiction to be unenforceable, that provision will be enforced to the maximum extent permissible under applicable law and the other provisions of the Agreement will remain in full force and effect.18. FORCE MAJEURE18.1. Neither party shall be liable to the other if such party is prevented from performing any of its obligations under the Agreement (excluding fee payment obligations) due to any cause beyond the partydc’s reasonable control including, without limitation, an act of God, fire, flood, explosion, terrorism, war, embargo, government regulation, civil or military authority, acts or omissions of carriers, transmitters, providers, or acts of vandals, or hackers. The time for that party’s performance will be extended for the period of the delay or failure to perform due to such occurrence, except that you will not be excused from the payment of any sums of money owed by you to Banque Saudi Fransi provided prior to the force majeure event.19. INDEPENDENT CONTRACTOR19.1. The Agreement will not be construed as creating or constituting a partnership, joint venture, or agency relationship between the parties. Neither party will have the power to bind the other or incur obligations on the other’s behalf without the other’s prior written consent.20. COMPLIANCE WITH LAWS20.1. This agreement shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.21. ENTIRE AGREEMENT21.1. The Agreement constitutes the entire agreement between Banque Saudi Fransi and the Member with respect to the subject matter hereof and all prior oral or written agreements, representations or statements with respect to such subject matter are superseded hereby.

21. كامل االتفاقية 21.1تشكل االتفاقية كامل االتفاقية بين البنك السعودي الفرنسي والعضو فيما يتعلق بموضوعها وجميع االتفاقيات المسبقة الشفهية أو المكتوبة أو االقرارات أو األقوال فيما

يتعلق بموضوعها تلغى بموجب هذه االتفاقية.
