1. The Priority YOU Membership does not cover labor or materials to repair damage to the heating system or residence caused by the customer’s neglect or misuse, insufficient water for boiler, blown fuses or other failure of or defect in the electrical system, improper thermostat settings or faulty thermostat, having heating system switches in the “OFF” position, debris buildup in the air or venting systems, and other causes related to the improper operation or maintenance of the heating system by the customer. Damage, repairs, or replacement of parts or components caused by Acts of God, fire, flood, freezing, storm or weather conditions, power loss or surges, water damage, water intrusion and fuel flow problems due to outside fuel storage are not covered by the agreement.

2. Ranck reserves the right to inspect the equipment at any time and may terminate this Agreement if in its sole discretion, the equipment is unsatisfactory.

3. Ranck will provide regular services during regular business hours within a reasonable time after request or may provide services on an emergency basis provided an Emergency Work Authorization form is signed by Customer. Services performed after Ranck’s normal working hours will be an additional charge.

4. Ranck will not be liable for any damages arising from a delay or failure to provide service or equipment due to conditions beyond its control such as Acts of God, labor disturbances or strikes, unavailability of or delays in shipment of mechanics or parts, failure or interruption of Customer’s electricity, inaccessibility of the heating system, storms, floods or other severe weather conditions, or government laws or regulations.

5. Customer agrees to release, hold harmless, defend and indemnify Ranck from and against all claims, suits, actions, demands and causes of action alleging property damage and personal injury caused by fire, explosion, flood, freezing, power loss or surges, oil leakage, and premises left unattended or negligence or willful misconduct by Customer or those within its custody or control. Customer agrees that Ranck shall not be liable for any incidental, special, or consequential damages incurred by Customer or by third parties, including environmental cleanup costs.

6. Ranck will contact Customer by email or phone, in attempt to schedule the service. Failure by Customer to promptly contact Ranck to schedule or allow this service within a reasonable time shall give Ranck the right to terminate this Agreement.

7. The term of this Agreement shall be one year from the date signed by Customer unless cancelled by either party within thirty (30) days of its expiration date and prior to renewal, by written notice. If Customer wishes to cancel, the written notice must be delivered or mailed to Ranck and actually received by Ranck at least thirty (30) days of its expiration date. Either party may immediately terminate this Agreement at any time should there be a material default, including Customer’s failure to timely pay amounts when due. Customer shall remain responsible for all unpaid amounts after termination. By enrolling in the monthly payments or auto-renew option, Customer authorizes Ranck to charge bank account/

credit card in the amount indicated on the Agreement, at the frequency indicated on the Agreement, until the Agreement is effectively terminated. If the Customer’s credit card on file with Ranck is rejected for any reason or there are insufficient funds in Customer’s account, Customer shall immediately provide Ranck with a replacement credit card, bank account or shall otherwise immediately pay the amount due. Otherwise. Ranck may cancel this Agreement but Customer shall remain responsible for all amounts due prior to cancellation.

8. This plan does not include repair and/or replacement parts or equipment, which will be the responsibility of the Customer, will be an additional charge and will be due and payable at the time of service. This work will be performed pursuant to, and following execution of, a separate written Agreement between you and Ranck setting forth the scope of work, price and other subjects.

9. Ranck will give Priority YOU members priority/preference over those not enrolled in the plan. Priority YOU benefits and maintenance will only be honored if payment(s) are up to date and Customer is in good standing. Priority YOU member benefits take effect upon enrollment.

10. Early termination of Priority YOU agreement must be given in writing and upon cancellation, any work performed or services rendered shall be due in full, or deducted from any refund. Any balance on Customer’s account is immediately due and payable. Ranck will not issue refunds for early termination if customer has received the contracted maintenance, or has received monetary discounts from Priority YOU membership, including but not limited to reduced service work fees or replacement rebate.

11. Ranck reserves the right to change these terms and conditions at any time by giving you prior written notice of the change(s). The notice may be in the form of a bill insert, email or other written notification. By accepting services or by paying any invoice, fees, rates, or charges after you have been given notice of the change(s), you will be deemed to have agreed to the change(s). These terms and conditions may not be modified orally.

12. Ranck is registered with the PA Bureau of Consumer Protection as a Home Improvement Contractor and its # is [PA1962]. Ranck carries general liability insurance in excess of $50,000 and will maintain at least that amount of insurance for the life of this Agreement.

13. ANY DISPUTES ARISING UNDER THIS AGREEMENT SHALL BE RESOLVED, AT RANCK’S OPTION, BY ARBITRATION IN ACCORDANCE WITH THE AMERICAN ARBITRATION ASSOCIATION COMMERCIAL ARBITRATION RULES, OTHERWISE BY LITIGATION IN THE COURT OF COMMON PLEAS OF LANCASTER COUNTY IF ELECTED BY RANCK, THE ARBITRATION SHALL BE HELD IN LANCASTER, PA. RANCK SHALL BE ENTITLED TO RECOVER ATTORNEYS’ FEES AND COSTS IN THE EVENT THAT LEGAL PROCEEDINGS ARE NECESSARY TO COLLECT AMOUNTS OWED HEREUNDER. THE RESULT SHALL BE BINDING ON THE PARTIES AND WILL BE CONFIDENTIAL.
