1. GLOSSARY

The following standard terms shall be used throughout this ITT:

Applicable Law means all applicable laws, regulations, rules, codes of practice, guidelines, directions, licences, certificates and decrees imposed or issued by law or any competent authority.

Applicant means any legal entity that submits a Proposal in response to this ITT.

Host City(ies) means any or all of the four cities within Poland which shall be used for football matches of UEFA EURO 2012™, namely Warsaw, Gdansk, Poznan and Wroclaw.

Mobility Concept means that each Host Cities prepared a special transport measures to host the Tournament in the city, with additional public transport routes and services

ITT means this Invitation to Tender and all of its appendices.

“Just-in-time” means signage production made on last notice.

Proposal means the binding Proposal made by the Applicant with the documentation submitted by the Applicant in response to this ITT in order to be considered in the Tender.

Services means the production and delivery of traffic and pedestrian signage and related services to be provided by the Applicant in accordance with the rules set out in this ITT.

Signage means the directional and way finding signage to be produced and delivered by the Successful Applicant pursuant to this ITT.

Statement of Undertaking means the Statement of Undertaking in the form provided in Annex 5 of this ITT, which shall be signed by the duly authorised representative(s) of each Applicant and submitted with its Proposal.

Successful Applicant means the Applicant(s) appointed by UEFA for the provision of all or part of the Services pursuant to a long-form agreement to be executed between such Successful Applicant(s) and UEFA.

Tender means the tendering process for the Services, in accordance and as set forth in this ITT.

UEFA means the Union des Associations Européennes de Football whose registered office is at Route de Genève 46, 1260 Nyon, Switzerland and shall include all of its wholly-owned subsidiaries including but not limited to UEFA Events S.A.

UEFA EURO 2012™ means the final tournament of the UEFA European Football Championship™ due to be held in Poland and Ukraine from 08 June to 01 July 2012 inclusive.

2. INTRODUCTION

The Union des Associations Européennes de Football (UEFA) is responsible to its members as the governing body of European football. It is the owner and organiser of the top European national team competition, the UEFA European Football Championship™.mm

UEFA hereby invites Applicants to submit Proposals for the production and delivery of the traffic and pedestrian signage for the Polish territory for UEFA EURO 2012™. Proposals will be assessed in accordance with the Requirements of this ITT as set out below. The appointment of the Successful Applicant(s) will be made by UEFA (or any other entity indicated by UEFA).

a) Project goals and objectives

The final tournament of the UEFA European Football Championship™ (“UEFA EURO 2012™”) will take place from 8th June 2012 to 1st July 2012 in Poland and Ukraine. Matches will be played in eight different Host Cities. The objective of this Tender is to identify a supplier to provide consistent and easily understandable signage. It is an important element in view of the number of spectators and UEFA target groups that will be attending UEFA EURO 2012™. The routes for the spectators should be signposted as uniformly as possible in the eight Host Cities within Poland and Ukraine to help spectators find their way easily. Signage is one of the most important and effective tools in the realization of the Mobility Plans and proper management of the transport and pedestrian flows. UEFA has prepared a special signage concept, based on experience from previous events, to be adapted to the existing signage in the Host Cities. Together with the Host Cities, national authorities and the local organising committees of both Poland and Ukraine this document is continuously being updated.

b) Purpose of this Invitation to Tender

UEFA hereby invites all interested entities of any nationality (“Applicants”) to submit Proposals for the production and delivery of the traffic and pedestrian signage for the four Polish Host Cities of the UEFA EURO 2012™ (GDANSK, POZNAN, WARSZAWA, WROCLAW) in accordance with the requirements as set out in this ITT. The following Services are within the scope of this ITT:

Production and printing of the Signage in accordance with the Signage Catalogue (Annex 1) and the Signage Costs Grid (Annex 2);

Production of additional stickers in accordance with the Signage Costs Grid (Annex 2);

Fixing material (installation elements) for signage in accordance with the Signage Catalogue, including fixing elements to use on public transport vehicles;

Delivery of Signage packed in accordance with the Signage Costs Grid (Annex 2)

”Just-in-time” manufacturing and delivering availability of spare signposts to replace in case of any damage to Signage during the period of UEFA EURO 2012™;

The installation and removal of the Signage will be supplied by the Host Cities and is not covered within the scope if this ITT. c) Tender Project Plan

3. KEY REQUIREMENTS

Applicants of any nationality are invited to submit a Proposal pursuant to this ITT. All of the Applicant’s production facilities for the production of Signage shall however, be

based within the territory of Poland.

All of the Applicant’s facilities must be available for inspection (upon 72 hrs notice) by UEFA or its nominees during the bidding phase.

Applicants must have adequate economical and technical capability to cover the Services

required without causing any delay and/or level of service degradation during the whole contracted period.

“Consortia” comprising several companies or entities that submit a Proposal to UEFA in

response to this ITT as a joint entity are permitted. A “consortium” will be considered to be one Applicant. Details of all entities forming the “consortium” must be provided. The “consortium” must communicate to UEFA a single organisational structure with one point of contact for the “consortium”.

The Successful Applicant shall be permitted to use sub-contractors, however details of all

sub-contractors must be provided in the Proposal as well as the organizational structure between the Applicant and its sub-contractors. The Applicant shall be the unique reference point for UEFA and UEFA shall not manage any relationship with the Applicant’s sub-contractors. The Applicant shall be fully responsible and liable for the acts and omissions of any sub-contractors.

The Applicant shall confirm that it is able to comply with any and all applicable laws in the provision of the Services, and also that it is able to meet and comply with any and all timescales and deadlines contained herein.

The Applicant must submit a signed copy of the Statement of Undertaking contained at Annex 5 in order to be considered for selection pursuant to this ITT.

4. TECHNICAL REQUIREMENTS

The Applicant shall place on the signs the UEFA EURO 2012™ logo that will be provided by UEFA in .eps or .ai format. Self-designed symbols (pictograms) as well will be provided in .eps or .ai format.

The material to be used for the production of signs must be Dibond 3mm or

equivalent. Applicants may give their own proposal for alternative material that must assure same performances of quality and resistance.

Signage layers are not requested to be made in reflective material.

With regard to the Signage dimensions, the requirements specified in the Signage

Catalogue must be observed; a tolerance of +/-5% compared to the Signage

Catalogue is permitted if required to match production standards. Any dimensional variation must be highlighted in the Proposal with an indication of the new proposed Signage dimensions.

With regard to the quantity of Signage, the requirements specified in the Signage

Costs Grid must be considered. Due to the fact that Host City Signage Plans are still under finalisation a variation of +/-10% on the quantity indicated must be taken in account and included in the economic Proposal.

Fixing mechanisms they must comply with the basic requirements of resistance and

security. An example of fixing system is provided in Annex 3. The Applicant shall be available in any case to implement additional and specific integrations to the fixing systems in the event that the Host Cities require them.

”Just-in-time” manufacturing and delivering of spare Signage to replace any

damaged/missing Signage during UEFA EURO 2012™ must be foreseen. In the event that the damage is caused by a defect in the production or fixing mechanisms of the Signage the replacement Signage shall be provided by the Successful Applicant with no additional costs for UEFA. The Applicant shall indicate in the Proposal the time required for ”Just-in-time” production and delivery, in working days from the day Signage is ordered until the day it is delivered.

All Signage shall have the complete article code clearly marked on the reverse.

5. COST INFORMATION

a) Budget

UEFA has allocated for the Services supplied a maximum budget of 160’000 (One hundred and sixty thousand) Euros (excluding taxes). Proposals will be evaluated based on the reduction that the Applicant will be able to offer compared to the budget.

b) Economic Proposal

The Proposal must include the economic details filled in the Signage Costs Grid file contained in Annex 2. Prices must be quoted in Euros (€) inclusive of any and all taxes and charges. The Applicant should complete in the Signage Costs Grid following instructions contained at the bottom of the table. The Signage Costs Grid shall contain the following costs listed separately per each Signage type:

Material costs: amount charged for the material used in the signage production including rejects.

Printing costs: amount charged for colour printing of the signs.

Other costs: eventual additional costs to be specified in the “remarks” column

The sum of the previous costs will give the Unit costs per sign (total amount charged per sign) that multiplied for the quantity will give The Cumulated cost per Host City.

The total cost for the whole Signage production will be calculated at the end of the table.

The Applicant shall then indicate packaging and delivery costs (amount charged for the packing and delivering of the Signage to the Host Cities as indicated in the table).

The Applicant may add any remark that is useful to understand its Proposal.

6. CONTENT OF THE PROPOSAL

Each Proposal must include at least the following information:

Full corporate name, address, place of incorporation, company registration number, and legal form; also the address of production facilities should be provided.

Contact person with address, telephone, fax numbers, and email address.

A signed copy of the Statement of Undertaking contained at Annex 5.

Organisational structure (management, functions, responsibilities), including any anticipated sub-contractors.

Annual reports or key accounting figures from the last three years.

Production process diagram and detailed technical information on materials used; photo shall present examples of proposed signposts and fixing systems as used in previous experiences.

”Just-in-time” production and delivery time for missing/damaged Signage, in working days, from the day a signpost is ordered until the day it is delivered.

Description of similar projects undertaken by the company, including following information:

o Client

o Geographical distribution

o Amount of signage produced

o Overall budget of the project

Quality-control procedures put in place in the production process.

Timetable for production and delivery of Signage.

Signposts dimensions confirmation per sign type.

Economic Proposal as detailed in section 5 above.

Required activity of Applicants:

Together with the Proposal the Applicant shall provide UEFA / LOC “EURO 2012 Poland” with a printed sample of a signpost including fixing mechanism to allow material and graphics evaluation. Layout and dimensions of the sample are presented in Annex 4.

Required activities of the Successful Applicant

All Applicants must take in consideration that the following preliminary activities will be required from the Successful Applicant:

Revise and confirm the “Host City Signage Plans” and provide UEFA with a definitive version of the document containing all signs and stickers “ready to print” not later than February 29th, 2012.

Before the start of production provide UEFA with a complete set of printed sample

(one sign per type) for final approval, not later than February 29th, 2012.

UEFA reserves the right to ask for any kind of additional information to permit a better understanding of the Proposal. These additional information must be provided within 3 working days from such request.

7. SUBMISSION GUIDELINE

The Applicants must ensure that the following requirements for the submission of Proposals in response to this ITT are met. Failure to comply with these requirements may invalidate any Proposals submitted.

8. LEGAL PROVISIONS

1. Nothing in this ITT nor any communication made by UEFA or its representatives, agents or employees shall constitute a contract between UEFA and any Applicant, nor shall it be taken as constituting any representation that an Applicant will be appointed in accordance with this ITT or at all.

2. UEFA does not undertake to accept any Proposal submitted in response to this ITT and reserves the right to organise the Services in a different way. UEFA reserves the right to change any aspect of this ITT at any time or to issue an amended ITT for all or part of the Services.

3. The Applicants may be shortlisted and/or rejected by UEFA at any time and/or asked to clarify or re-submit any Proposal which fails to meet the requirements of UEFA as set out in this document. UEFA is under no obligation to give any reasons for any rejection or for any other decision made in connection with this ITT or the Tender procedure. UEFA reserves the right to enter into negotiations with one or more Applicants on such a basis as may be determined by UEFA at its sole discretion

4. UEFA has taken all reasonable care to ensure that this ITT is accurate in all material respects. This ITT is provided solely by way of explanation of the services which UEFA intends to use and neither UEFA nor any of its representatives, agents or employees make any representation or warranty or accept any responsibilities for the accuracy or completeness of any of the information contained in this ITT; nor shall they be liable for any loss or damage suffered by any Applicants in reliance on this ITT or any subsequent communication.

5. The Applicant agrees that:

a) it (and its officers, employees, agents and advisers) shall keep confidential the terms of this ITT and any information relating to affairs or business of UEFA which comes into its possession in relation to this ITT;

b) it shall not disclose any confidential information to any third party without the prior written consent of UEFA, which may be given or withheld in its absolute discretion (save, where required by law);

c) it shall only be entitled to use confidential information for the purpose of this ITT; and

d) it shall not discuss the financial terms of this ITT with rival Applicants.

6. The Applicant warrants and represents to UEFA that:

a) its expression of interest and all related elements of the Proposal do not infringe any third party rights;

b) it owns all rights in the Proposals submitted;

c) it shall not use any UEFA marks or logos except as permitted by UEFA;

d) it shall not claim any association with UEFA or UEFA EURO 2012™ in relation to its Proposal or otherwise;

e) it will observe all statutory and competition-related provisions of UEFA and UEFA EURO 2012™, as well as specific instructions and all applicable national and international laws;

f) it warrants to UEFA that the information contained in its ITT shall not be false or misleading and that if, following submission of the ITT, there is any change in the Applicants’ circumstances which may adversely affect such information, the Applicant shall promptly notify UEFA in writing setting out the relevant details in full, and

g) it shall comply with these terms and conditions.

7. If UEFA considers that any Applicant is or is likely to be in breach of any of these terms and conditions, then UEFA shall (without prejudice to its rights and/or remedies arising under law) be entitled to withdraw from any co-operation with the Applicant without any requirement to give such Applicant notice and without any further liability to such Applicant.

8. The Applicant is responsible for all costs, expenses and liabilities incurred in the preparation of its Proposal, any responses to requests for further information by UEFA and any negotiation with UEFA following receipt by UEFA of its ITT (whether or not an Agreement is entered into with such Applicant).

9. The Applicant acknowledges that all intellectual property rights and all commercial rights in relation to UEFA EURO 2012™, including but not limited to its name, logo and trophy, remain the exclusive property of UEFA.

10. Once received by UEFA, each document submitted as part of an Proposal shall become the physical property of UEFA. Irrespective of whether any Proposal is successful or not, UEFA shall be entitled to use (free from any payment or restriction) all ideas, concepts, Proposals, recommendations or other materials (save for trade marks and copyrighted materials) contained in such Proposal or otherwise communicated to UEFA during the Tender. The Applicant waives and shall not make any claim against UEFA in respect of any use made by UEFA of any intellectual property or other similar rights relating to the ideas, concepts or any other materials (save for any trade marks or copyrighted materials of the Applicants) contained in their Proposals.

11. Applicants who have not been selected will be informed in writing by UEFA. UEFA shall not be obliged to give any reason for making any selection and/or rejection.

12. Any appointment of Successful Applicant(s) shall be subject to the signing of a long-form agreement by UEFA and such Applicant(s). Such agreement shall contain the detailed terms and conditions of such appointment and, inter alia, include indemnification of UEFA from and against all losses, liabilities and expenses which may be incurred by UEFA as a result of or arising out of any claim by a third party which results from or arises out of any failure by the Successful Applicant(s) to provide the Services in the agreed and timely manner.

13. The Applicant will immediately inform UEFA of any change in the ownership or senior management. UEFA reserves the right to reallocate the award of any and all aspects of the project if the ownership or senior management of the appointed Applicant changes.

14. The Applicant is strictly prohibited from making any form of public announcement or statement relating directly or indirectly to this ITT, the Tender, UEFA, UEFA EURO 2012™ and/or its Proposals (whether appointed or not) without the prior written consent of UEFA, which may be given or withheld in its absolute discretion. Each Applicant acknowledges and agrees that UEFA shall have the sole right to make any announcement in relation to this ITT, the Tender and the selection and/or appointment of any Applicant(s) (if at all).

15. Neither UEFA nor any of its representatives, agents or employees shall be responsible for any loss, damage, liability or expense that may be suffered or incurred in relation to this ITT and/or subsequent negotiations. The Applicant expressly waives any right of action it may have against UEFA with regards to the Tender process.

16. Successful Applicants shall obtain and maintain appropriate insurances with regard to their own or sub-contracted staff, public liability as well as indemnities and warranties in regard to UEFA.

17. The Applicant must provide confirmation that its Proposal for the provision of the Services complies with any and all applicable national and local laws.

18. UEFA shall select the Applicant whose Proposal and subsequent presentation, in UEFA’s sole opinion, most closely satisfy the scope of the task described. The Applicant shall, however, be bound under all circumstances to the declaration of interest submitted.

19 This ITT and all related documentation pertaining to the Proposals and the Tender (including any contracts) shall be governed and interpreted in accordance with Swiss law without regard to choice of law principles. The exclusive place of jurisdiction shall be Nyon.

1. no information provided nor representations made to UEFA are false, inaccurate or misleading;

2. none of the Company’s representatives or employees shall make any form of public announcement or statement relating directly or indirectly to UEFA, the ITT and/or the Tender to any media without the prior written approval of UEFA and that any non-compliance will lead to the penalty of being held responsible for any damages caused;

3. all intellectual property and commercial rights in relation to UEFA, UEFA EURO 2012™, the ITT and/or the Tender belong exclusively to UEFA;

4. it is capable of meeting any deadlines provided in its bid or otherwise agreed in writing with UEFA and that the Company guarantees to indemnify, hold harmless and defend UEFA from and against liabilities, damages or costs incurred in connection with the Services provided by the Company, and that sufficient insurance will be implemented by the Company in respect of this;

5. UEFA shall not be held responsible for any costs, expenses and/or liabilities incurred in by the Company in the preparation and submission of the information and/or documentation in response to the ITT and/or any responses to requests for further information by UEFA;

6. any association with UEFA or the UEFA EURO 2012™ in any manner whatsoever without UEFA’s prior written approval is strictly prohibited;

7. UEFA shall not be required to select any Proposal submitted by the Company in relation to the ITT and reserves the right to organise any services related to the Tender or to re-open part of or the entire tendering process at a later stage;

8. this Statement of Undertaking and any related documentation shall be governed by and construed in accordance with the substantive laws of Switzerland. The place of jurisdiction shall by Nyon, Switzerland.
