BRiCs’s responses to global economic challenges, and the road ahead The BRICS economies are expected to continue driving world economic growth during 2013. However, 2012 was a difficult year in many respects for BRICS, in light of slow growth and uncertaintygloballyandintheEuropeanandUSeconomiesinparticular. These conditions resulted in investment outflows, stock market falls, weakened export positions and moderation of growth rates in some or all of the BRICS.

This session will address the challenges BRICS are facing in the short to medium term and how they have been responding to these challenges. Panellists will discuss how BRICS may improve their competitiveness and promote economic recovery, particularly in light of their relevant advantages in terms of economic size, resources, domestic markets and availability of capital, and how theseadvantagesmaybemobilisedinacquiringinvestments, technology and markets globally.

inbound and outbound corporate/mergers and acquisitions in BRiCs In recent years BRICS countries have experienced an active role in M&A transactions, accounting for an important portion of the M&A market in emerging economies. This session will analyse the different laws and regulations affecting foreign investment, inbound and outbound M&A rules, foreign exchange control issuesandotherregulationsandissuesfrequentlyencounteredbypractitioners in M&A transactions in BRICS countries.

Trade, antitrust and other regulatory matters in BRiCsInvestments into businesses activity in the BRICS countries may be subject to regulatory review and can raise substantive or procedural issues. These may in turn significantly affect the way that transactions are structured, overall deal timing as well as deal certainty. In many of these jurisdictions, effective antitrust enforcement is a fairly recent phenomenon and the law and practice of local authorities may still be in a state of flux.

In order to provide practical insights into current enforcement priorities and future trends, this interactive panel will bring together practitioners from all BRICS countries. Panellists will look at the legal framework, administrative practices of local authorities and local policies that shape the application of antitrust rules. They willalsoconsidertheimpactoftheregulatoryrequirementsonthetiming of transactions, the relationship between substantive rules andquestionsofcontractualriskallocationthatmaydeterminenegotiation strategies for corporate and antitrust practitioners involved in the M&A process.
