Smugglers Cove Beach Resort (SCBR) is developing a six floor 40 apartment complex comprising of a mix of studio, one and two bedroom suites and are offering the suites for sale to individual purchasers. The development is located on Wailoaloa Beach adjacent to the existing Smugglers Cove Beach Resort and just 15minutes drive from the Nadi International Airport and Port Denarau Marina. Facilities will include spa & beauty salon, Gym, Delicartesent, Lap pool,Kids Club, Rooftop Bar & Resturant, Conference Room, Rental cars & Beach Deck.
Suites are now available for purchase “off plan”. This document provides a summary of the development. Purchasers will be required to sign a Sale, Purchase & Construction Agreement a Management Agreement and pay a 10% deposit to secure an suites.
Smugglers Cove Beach Resort Ltd Directors, Mark & Jenice Hinton signed a Franchise Agreement with Wyndham Hotel Group - Asia Pacific on the Gold Coast in September 2013. The franchise allows Smug-glers Cove to operate the proposed new apartment complex under the globally and readily identifiable brand – Ramada Suites. Wyndham offer the expertise of the world’s largest and most diverse hotel com-pany, encompassing more than 7,340 hotels and 610,000 rooms in 66 countries. Wyndham Hotel Group is a sister company to Wyndham Vacation Resorts Asia Pacific.
The Ramada Suites brand has strong product and service standards and understands the need to bal-ance operational costs with apartment owner returns. Ramada Suites Smugglers Cove Fiji are conscious of the need for high cost control, effective sales and marketing strategies and tailored staff training all de-signed to improve the Owners return on investment. For the Ramada Suites Smugglers Cove Fiji property being under Franchise by Wyndham Hotel Group, the property will benefit not only from the traditional Hotel Group expertise and distribution but from a wider Wyndham business model in an abundance of areas including being represented by 125 Global Sales Offices all connected to the Central Reservation System located across 66 countries.

1.5 Description of the Development
Suites will be sold subject to a Management Scheme. Cove Management Limited(Manager) a related company to SCBR will be engaged by the Body Corpo-rate to look after the common areas and facilities, overseeing the Body Corporate Structure, and operating the Management Scheme including marketing in association with Ramada Worldwide & Wyndham Hotel Group, servicing & maintenance of the apartments and financial reporting. Cove Management will be investing in trust account management software which will allow them to monitor and adjust occupancy distribution which means that overall all owners will receive a similar occupancy on a rolling 12 months basis based upon their room type. This will ensure that guest allocation (occupancy) to apartments is con-ducted on a fair and reasonable basis.
Purchasers will join a Management Scheme under which the apartment will be let for short stays by the Manager. Apartment Owners will be entitled to occupy their apartment for 28 nights each year and required to make their respective Apartment available for letting for a minimum of 337 nights each year. Owners are to make arrangements with the Manager by giving minimum 30 days prior notice of there intension to utilize their apartment.
Owner’s usage will be subject to availability at the time of booking and payment of an Owner’s surcharge (15% of the published rack rate per nite for the period occupied) will be paid to Cove Management by the owner as contribution to operating costs of the Apartment during Owner stays.
The suites will be housed within a five story building. The development is adjacent to the existing Smugglers Cove Beach Resort and is an absolute beachfront development on Freehold land.
Fortech Construction won the tender to construct the hotel. Construction commenced on December 2015 and expected completion by Mid 2017.
Construction will be a combination of reinforced concrete and masonry/steel frames. Apartment will be delivered with fully tiled floor, painted wall and high quality Furniture, Fittings and Equipment (FFE)including Kitchenettes, Modern Ensuite, Keycard Door Locks, Air Conditioning, Ceiling Fans, Tea Coffee making facilities, Pantry, Laundry, Kitchen Utensils, Linen, Wardrobes, TV and Furniture Package as per Appendix 4.

Each Purchaser will acquire a Freehold Unit Title to the Suite they purchase.
The Furniture Package is mandatory and is included in purchase price. See Appendix 4
A limited number of undercover car parking spaces are available.
All Purchasers will be members of a Body Corporate which will own and control the common areas and facilities excluding the adjoining SCBR hotel facilities. The Body Corporate will engage the Manager to manage and maintain those common areas and facilities.
The Body Corporate will be a Fiji company limited by guarantee. All Purchasers will become members from settlement of an Apartment purchased and will be bound by the Body Corporate constitution and rules. Members will be required to contribute to all Body Corporate costs on a pro rata basis according to relative suites Unit Entitlements as set out in Appendix 2.
Cove Management Limited (Manager) will contract with Apartment Owners (in respect of the Management Scheme) and the Body Corporate (in respect of caretaking of the common facilities) to perform all of the relevant management functions on substantially the same terms and conditions.
The Body Corporate will appoint a single representative to supervise the compliance of the Manager with the relevant agreements.

2.0 Fiji
2.1 Smugglers Cove Beach Resort
Fiji is situated in the South Pacific and in flying terms is 4 hours from Sydney, 3 hours from Auckland, 6 hours from Honolulu, 10 hours from Los Angeles and 9 hours from Tokyo. Fiji consists of 332 islands of which only about one third are inhabited.
Fiji has a population of approximately 850,000 made up of various ethnic communities. The Fiji economy has been largely dependent on sugar, tourism and the garment industry. Of the three industries, tourism is seen as the most important in terms of future growth.
The official language is English. There is a high level of expertise in the service sector including all the major international accounting firms and Australian banks.
Smugglers Cove Beach Resort is a two storey, 40 room 3 1/2 star beachfront hotel owned and operated by Mark and Jenice Hinton. The hotel opened April 2006 by the former President of Fiji Ratu Epeli Nailatikau.
Since commencing operation the hotel has operated exceptionally well running at a year round high occupancy levels. A new Beach Wing extension compris-ing of further 22 rooms opened in April 2011.
Hotel facilities include Cove Spa, White Tip Dive Shop, Island Surf Fiji, Cove Café, Ghost Ship Bar & Grill, Travel Zone Tour Desk, Internet Café, 24 hour airport meet & pick up 24 hour security, surveillance security systems and beachside pool and deck area. All major tourist transport providers offer free pick and drop daily from Smugglers Cove Beach Resort to Port Denarau Marina.

4.1 Risk Factors
Purchasers should be aware that investment in an Apartment carries an element of risk and the future value of a suite will depend on the financial results for the Suite, the property and tourism market conditions generally and economic conditions in Fiji and overseas.
Apart from the normal business management and operational risks associated with the Suites, a number of other factors are relevant to an investment in an Apartment. Some of the factors which could influence the financial performance of the Suites and returns to investors are outlined as follows:
• Lower levels of tourism visitation to Fiji than assumed may adversely impact on the financial performance of the Suites.
• Increases in tourist numbers may be constrained by low or no growth in inbound airline capacity.
• Supply of competitive accommodation facilities in the Nadi region of Fiji may increase at a faster rate than assumed in the financial projections.
• Natural disasters or other occurrences which impact on the timing of completion of the Suites, the Suites operations and the level of visitation to
Fiji such as cyclone, tsunami, earthquake, strikes, adverse weather conditions or environmental disaster.
• Political risk.
• The completion of the Suites could be significantly delayed due to the failure of the builder to meet contractual commitments.
• The Manager may fail to manage the Suites effectively.
• Adverse foreign currency movements could affect the revenue or costs associated with the Suites.
• Owner’s usage of a Suite (particularly during peak demand periods) may have a significant impact on the occupancy levels and average daily room
rates (and consequently the financial returns) for a Suite.

4.2 Fijian Tax

The Minister of Finance has approved granting of Provisional Approval for Standard Allowance (SA) (29th January 2015) to apartment owners in the hotel letting scheme. Owners will be entitled to an allowance of 25% of approved expenditure (including the construction cost component of the purchase price) which can be applied to offset subsequent taxable income earned from the hotel accommodation business for income tax purposes, providing a significant incentive for those Purchasers.
A value added tax (“VAT”) applies in Fiji currently at the rate of 9%.
A foreign investor will pay Fijian stamp duty at the rate of 10% on the purchase price.
A capital gains tax (CGT) at the rate of 10% was introduced with effect from 1 May 2011.

Attached as Appendix 2 is the current price list showing individual Suite numbers, areas, number of bedrooms and availability as at the date that is shown on the top of the price list. Purchasers should note that more recent sales information may be available and they should contact Cove Management Limited to ensure they have the latest listing.
In addition, prices may increase and Smugglers Cove Beach Resort Limited or Cove Management Limited will not be held to the validity of any price that is out of date.
Attached as Appendix 3 are a number of plans including the site plans for the development (which shows the location of all Apartments). In addition, individual designs for studio, one and two bedroom Apartments are attached. As with any construction the finished Apartments may vary from the plans.
Attached in Appendix 4 is the breakdown of the items that are contained in the furniture package. As stated, the furniture package is included in all prices.

6.1 Sale, Purchase and Construction Agreement
Part 6 - Legal Documents Overview
Estate: Freehold Unit Title
Subject Matter: The Purchaser acquires a freehold unit title, the furniture fit-out and rights (as a member of the Body Corporate) to use the common facilities except the SCBRL facilities. The vendor undertakes to construct the suite for the Purchaser.
Price: The apartment price is inclusive of furniture prices. Stamp duty will only be payable in respect of the purchase price (if applicable).
The price does not include Value Added Tax (VAT).
Payments: A deposit of 10% is payable on signing the agreement which is held by the vendors solicitor as stakeholder until the Freehold Unit Title has been issued (when the vendor can tender settlement).
The balance is payable on settlement date.
Construction: Subject to the pre-sale conditions being satisfied, the vendor is required to proceed with all due diligence to construct the suites and balance of the development in accordance with the floor plans.
The vendors can alter the plans and specifications provided that the Purchasers consent must be obtained for any alteration or variation which materially de-tracts from the layout or quality of the Suites.
If any materials or finishes are not procurable on reasonable terms, the vendor may substitute materials which are of a value and quality as near as practical to the specified materials.

6.2 Body Corporate Constitution/Rules
Parties: The constitution and rules bind the Owners are all members of the Body Corporate.
Subject Matter: The matters covered by the constitution include:
• The Body Corporate objects (primarily to operate and maintain the property for the benefit of the members);
• Members’ obligations to pay monthly levies which will include contributions to a sinking fund to provide for the maintenance of the property and the Common
Areas and fees payable to Cove Management Limited to manage the Body Corporate;
• Members obligations to comply with the constitution and rules;
• The Body Corporates obligation to maintain and insure the property;
• Members’ voting rights is based on unit entitlements as set out in Appendix 2 (proportionate to the original list price of each apartment owned);
• The powers of the Body Corporate board which will comprise a minimum of 2 and a maximum of 4 members and will include a chairperson and a treasurer;
• The requirements for an annual meeting and special meetings.
The Purchaser has a right of inspection following receipt of the practical completion certificate. A maintenance period of 90 days applies from settlement date.
If construction has not commenced by 30 June 2015 either party may cancel the agreement unless extended by mutual agreement in writing by the parties.
Apartment Management Agreement: Purchasers are required to sign the Apartment Management Agreement(described below) upon delivery (prior to set-tlement) and the vendor must procure the Manager to sign that agreement before settlement date.
Body Corporate: The Body Corporate must be duly established as a pre-condition to settlement.

6.3 Apartment Management Agreement
Parties: Cove Management Limited and Purchasers.
Management fee: The management fee payable to the Manager is 15% of Gross Operating Profit or FJD2, 500 (whichever is greater) per annum. This will provide the right set of drivers for the manager to only seek to optimise revenue but also contain costs.
Service Fee: A service fee at the rate of 32% of Total Revenue is payable to the Manager to cover the cost of guest supplies, housekeeping, utilities and other services provided to guests staying in the Apartment.
Reserve: In addition to the management fee from year 2, 3% of gross income will be set in a reserve account to replace the furniture, fittings and equipment (FF&E) and refurbish the apartment as required. This account is held in trust for the owner and the balance of the account will be paid to the owner on the ter-mination of the agreement.
No Furniture, Fittings and Equipment (FF&E) deduction is made in the first year.
Should an owner transfer the apartment subject to the apartment management arrangement; the owner must transfer its interest in the FF&E account.
The manager will account monthly to the owner for gross rents received less management fees paid (and applications to the FF&E reserve account).
Body Corporate Account: The manager operates and pays outgoings from the Body Corporate Account (into which the Body Corporate levies paid by owners will be deposited) but must only make payments from that account in accordance with the annual budget or as otherwise permitted by the Body Corporate.

6.4 Apartment Management Agreement
Rules: Property rules which every member & guests must comply with are attached to the body corporate constitution and generally prohibit conduct which will be a nuisance to other members & guests. The categories covered by the rules include:
• Conduct and noise within the property;
• Restrictions on use of apartments and requirements relating to the appearance of the apartment;
• General conduct within the property;
• Restrictions on guest use;
• Liability for owners and guests property.
