The Executive Summary The investment prospectus is designed to provide the reader an overview for the successful production, marketing, and distribution of the feature film titled The Bend. Company Overview The Bend Film 2017, LLC., is an independent film company formed in California. This company has been assembled from creative and business entertainment industry professionals with the common goal of producing the independent film, The Bend. Purpose The Bend Film 2017, LLC., seeks a capital investment of $350,000 (United States Dollars). Objective / Mission The Production Team’s primary objective and mission is to produce an independent feature film that will emulate the look and appeal of a studio produced film through collaborative efforts of an experienced, resourceful, and professional production team as well as an experienced and desirable cast. The Offering The Bend, staring Kevin Nash, Tom Sizemore, and Henriett Novak, written by Scott Olmstead and Michael Ward, directed by Ricky Borba, and produced by Han Seo and Scott Olmstead. Investors are being offered a twenty percent (20%) return on their investment and will be in the first position to receive their investment and interest. Investors may receive up to fifty percent (50%) equity ownership based on their contribution up to $350,000 (USD). Equity ownership revenue will be based on the net profits after production and distribution expenses. The remaining fifty percent (50%) equity ownership will go to the Producers and if there are any third-party, back-end participants (i.e. actors, etc.), their share will come from the Producer’s fifty percent (50%). Timeframe and Location The Bend will be shot over the course of 30 days of principal photography in select regions of Northern California and Oregon.

The Film Genre The Bend is a suspense-thriller, mystery drama. Rating The Bend anticipates receiving an “R” rating from the Motion Picture Association of America (MPAA) due to language and adult themes. Tagline They thought it was the road trip from Hell. The Bend was worse. Synopsis The Bend is a story about troubled brothers Royce and Jonathan Barstrand. Their childhood was marred by abuse at the hand of their father, Tobias Barstrand (Tom Sizemore). The world knew Tobias as a motivational speaker of both renown and infamy. His family knew a different man; a man who tore them apart throughout the years. When an emergency road trip thrusts the brothers together after years of estrangement, it seems there will be no reconciliation. Especially when their trip takes them through The Bend, a remote region fraught with deeds of an active serial killer, and patrolled by mountain legend, Sheriff Eli Kegan (Kevin Nash).

The Cast

Kevin Nash As Sheriff Eli Kegan Kevin Nash is one of the most well-known personalities in the wrestling business and has established himself not only in the realm of sports, but in the entertainment world, as well. Kevin’s early work in television and film include Brothers (2009; FOX), Love Boat: The Next Wave (1998; UPN), Sabrina, the Teenage Witch (1996; ABC), and Nikki (2000; WB). He has also hosted VH1’s The List and been a guest on such talk shows as The Test, The Tonight Show with Jay Leno (1992), Politically Incorrect (1993), and Jimmy Kimmel Live (2003). Kevin’s additional work on the big screen includes Almighty Thor

(2011) directed by Christopher Ray, The Newest Pledge (2012) directed by Jason Michael Brescia, and Monster Brawl (2011) directed by Jesse Thomas Cook. Kevin Nash has recently appeared in Steven Soderberg’s Magic Mike XXL (2015) and Magic Mike (2012) with Matthew McConaughey and Channing Tatum as well as Rock of Ages (2012) directed by Adam Shankman, with Tom Cruise, Paul Giamatti, and Russell Brand. Kevin has also appeared in Paramount Pictures’ The Longest Yard (2005) directed by Peter Segal, with Adam Sandler, Chris Rock, and Burt Reynolds. In Marvel Comic’s/Artisan Entertainment’s The Punisher (2004) directed by Jonathan Hensleigh, opposite John Travolta and Thomas Jane and as “Bass Armstrong” in DOA: Dead or Alive (2006) directed by Corey Yuen, based on the popular video game with Jaime Pressly. Formerly in TNA - Total Non-Stop Action Wrestling on Spike TV, Kevin is now back with the WWE as “Diesel”. Kevin’s down-to-earth personality, professionalism, and true passion for the entertainment arts (acting) has allowed him to obtain a variety of roles in film and he immediately adds domestic and foreign value to any project. Besides his role of Sheriff Eli Kegan in The Bend, he is currently being considered for other large-budget, box-office blockbusters that are currently in production.

Henriett Novak As Valerie Tanner Henriett Novak is an actress, known for her roles in For Better or Worse (2005), Creature of Habit (2013), and Wild Things in Europe 3D (2016). Slovakian born Henriett Novak studied acting at the tender age of 15 when she moved to Miskolc, Hungary. After a few years of training, producers of the critically acclaimed hit European soap opera, For Better or Worse, asked Henriett to join the cast to play the sinister and beautiful character, Linda. She moved to Budapest, Hungary and starred in over 700 episodes. Shortly after her long run on the show, she moved to Hollywood to work in feature film.

The Crew

Ricky Borba (Director) Born and raised in the San Francisco Bay Area, Ricky has been involved with film and television for the last 30 years. Though he's acted in numerous independent films and hosted a nationally syndicated television show on the Warner Brothers Network, Ricky's talents are not only in front of the camera. His writing, directing, producing, and editing credits include commercials and media for major companies such as Disney, The Game Show Network, Comcast, SMOSH, the City of Sacramento, and IGN. These days, Ricky resides in Roseville, California with his wife and three

daughters. He has degrees in Pastoral Ministries and Theology and all of his pets are named after Star Wars Characters.

Dena Hysell (Writer)

Dena Hysell is a restless creative, working across mediums depending on the direction the story takes her as a writer, director, photographer, producer, and multimedia artist. Her work has been recognized with top honors at multiple festivals (Toronto, Seattle, Indiana, NYFF), and acquired by major distributors. After beginning her career at Gold Circle Films, known for My Big Fat Greek Wedding and White Noise, she decided that she needed something to combine her creative and production skills and she

moved to operate Just Singer Entertainment. In this capacity, she sourced and brought from concept to completion movies for Disney's specific mandate including such projects as Halloweentown 1-3, Read it and Weep, Cow Belles, Go Figure, and Now You See It. In addition, she worked on SoapNet's flagship series, One Minute Soaps. Dena's feature project, Down for Life, starring Danny Glover and Snoop Dogg, premiered at the Toronto International Film Festival in 2009. She produced A Little Help, Michael J. Weithorn's feature directional debut starring Jenna Fischer and Chris O'Donnell, which released theatrically in July 2011 to rave reviews in the Los Angeles Times, New York Times, and received 3.5 out of 4 stars by Roger Ebert.

Isak Borg (Writer)

Isak was born on a humble farm in Sweden in 1964. After an accident left him orphaned, he was adopted by Texas cattle ranchers who found him on the streets of Stockholm. He spent the remainder of his youth running cattle all day and watching the movie "Giant" all night to learn English. At 17, he set out on his own and landed at 19 in flophouse in St. Louis where he met poet Charles Bukowski who encouraged him to write and to drink. After several years of this, he honed his story telling skills, entertaining his co-workers with tales of love and violence. His next stop was New York City, where he

began to write in earnest and had his first unpublished work of short stories (Coal Heart) turned into an off-off-Broadway play. By 1990, Isak quit writing and took a job as a dog-walker and a chance encounter with Dena Hysell made way for multiple collaborations.

Han Seo (Producer) As a graduate of California State University, Sacramento, Han served as a teaching assistant to the first Latino mayor of a metropolitan city with a population over one million citizens. After a career in the retail car business, he pursued and focused on his passion of screen writing and producing feature films. Han has authored two novels (TB's Story and Selling the Sizzle) and his screenplay productions include Janitors (2016) and Blood is Alive (pre-production). Han is the Chief Executive Officer of Say-O-Productions and signed a

production agreement with Legacy Entertainment Partners (2016). Han has several projects in the works, including a feature film and television series based on the car business, as well as a story based on his friendship with a policeman. Han has a son, Brando, a daughter, Bailee, and is currently married to his second wife Carolyn.

Mike Ward (Writer) Born and raised in the East Bay, Mike's early film career started and ended on the same day while posing as a cameraman on location at Lucas Arts during one of Ricky Borba's shoots for the Warner Brothers Network. He didn't have a camera, but he did have a resume. That day began a 12-year career working on hits like Star Wars: Republic Commando, Battlefront 1 and 2, Star Wars: Episode

III The Video Game, and more. He co-created Farmville, the top grossing video game of

all time. After finding his ardor for creating characters and stories in video games, Mike's recent focus has been writing for the screen. He holds a Bachelor of Arts in Music with focuses on Songwriting and Classical Guitar from Sonoma State University. Mike still resides in the East Bay, and lives with his wife Kimberly and their beloved pit bull, Betty.

Scott Olmstead (Producer and Story) Raised in the greater Seattle area, Scott always had a passion for television and film. After serving four years in the United States Army (1992-1996), Scott pursued and received a Bachelor of Science from California Polytechnic State University (Cal Poly), San Luis Obispo, in business administration and management. Besides creating and developing story concepts, Scott has strong

organizational and project management skills, knowledge, and experience and it allows him to add immediate value to any production project. Scott's creative ability allowed him to develop the original story for The Bend and he continues to create other original stories for television and film. Scott resides in Sacramento, California and has two beautiful girls, Carlissa (Carli) and Alexis (Lexi).

Charles Lago (Executive Producer)

Having always had a love for the arts, Charles Lago began producing many notable solo performers such as Annie Sprinkle, Sherry Glaser, Tim Miller, Michael Kearns, Karen Miller, and Quentin Crisp to name a few. In 2000, Charles began a business (Authors on Tour) that organized

book signing tours for well-known authors and celebrities. During the period of 2000 - 2003, Charles produced book tours and/or large book signing events for many well -known luminaries such as, Arianna Huffington, Bill Maher, the cast of Bravo's Queer Eye for the Straight Guy, Dennis Rodman, Tommy Chong, Phyllis Diller, Terri Garr, Tab Hunter, Julie Andrews, as well as many well-known political figures including left-wing icon John W. Dean and Senator George McGovern. By 2004, after working with so many authors and entertainers, Charles soon saw an opportunity and Polimedia Management and Polimedia Films was born. Since opening

Polimedia LLC, with partner Christopher Johnson, Charles has been a persona l manager to several well-known figures from the world of television and entertainment and continues to provide excellent management services to his clients.

Gena Vazquez (Executive Producer) Gena has parlayed her experience from the venture capital world into notable film projects as she is recognized for her innovative, fiscally-rigorous ability to design and plan highly strategic film investment structures with a focus on minimizing risk, utilizing tax incentives/credits and increasing investor profits over the life of the film, and developing a specialization in global distribution and merchandising. Gena has cultivated relationships with some of the most influential players behind the scenes. She continues to foster relationships with actors, directors, producers, screenwriters, cinematographers, and editors who are leading the talent pool in the motion picture industry, in Hollywood and abroad.

In 2011, Gena launched Legacy Entertainment Partners, LLC., and the company is an all-inclusive operation, specializing not only in the provision of full production and entertainment business consultancy services, but also the acquisition and development of literal properties with the capability provided by a team of funding and distribution experts.

Luis Sinibaldi (Executive Producer)

Luis Sinibaldi's talents are vast: he is a film producer, a superb directory of photography, an imaginative technological inventor, and a coveted architect. After graduating from the only Architecture accredited school in New Jersey in 1996, Luis joined an award-winning design firm in New York City, while moonlighting as a 3D visual artist, which ignited his love for storytelling. As these skills developed in tandem, he pursued training in all facets of visual narrative production, developing expert skills in camerawork, lighting editing, et al., as well

inventing applied technologies wholly his own. Luis established a well-respected reputation of always being able to get things done even when budgets were restrictive: high concept, high production value, and on

budget. Indeed, on set, he became known as "Super Lu" because he could always finagle the results the director wanted and needed under tight deadlines notwithstandin g seemingly impossible circumstances. In addition, Luis refined the various film and technologically-based products he had been inventing for years, which became highly sought by filmmakers for the particular and previously-unavailable technical contributions Luis' inventions added. Luis brings the highest level of creative, technological, innovative skills in all aspects of film production, from concept to delivery.

Ryan P. Hudson (Executive Producer) Ryan’s love for movies started at a young age after watching Star Wars: A New Hope on VHS. That passion followed him throughout high school – evolving into the love of movie making. Eventually, he caught the acting and producing bug. Ryan launched his acting career as an extra and has been in several short films, as well as obtaining experience behind the camera. Ryan is the Executive Producer of Say-O-Productions and signed a production agreement with Legacy Entertainment Partners (2016). Ryan’s acting and producing credits include SMOSH and other film and television

projects, executive producer for Janitors, and co-creator and actor on Ruthless.

Ron Brokenbrough (Assistant Director) Ron has always had a passion and talent in film, television, and production. Ron began his venture into acting in 2005 with a pilot for a reality game show in which he was the host. Ron studied Theater Arts at Sacramento City College, Core Acting with Evan Nosoff, and has completed a number of advanced actor workshops with George Elliott. Ron has acted in a number of independent features, commercials, and short films. He currently resides in Elk Grove, California with his wife and has four daughters.

The Branding The competitive advantage of The Bend is the role of Sheriff Eli Kegan played by Kevin Nash. Kevin’s recent work on the big screen includes Tarzan in Magic Mike XXL (2015) and Francis in John Wick (2014). Also, he has been able to maintain a large and successful brand image with wrestling fans. Kevin has also developed a large social media presence and as of 8/30/16, Kevin’s Twitter account (@RealKevinNash) has approximately 829,000 followers.

As of 8/30/16, Kevin’s Instagram account (nash5959) has approximately 76,700 followers.

In addition to Kevin’s social media presence, he continues to work and frequently makes guest appearances through the Comic-Con circuit which allows him to directly connect with his fans to build and maintain their loyalty. To build a brand presence for The Bend, the Production Team has developed a strategic plan to utilize every opportunity where Kevin will be able to discuss his upcoming role as Sheriff Eli Kegan. Furthermore, the Production Team will establish various “meet and greet Kevin Nash” venues to discuss his experiences in life, professional wrestling, but most importantly, discuss opportunities where his fans can help support the production of The Bend. The Production Team will also equip Kevin with various merchandising items (such as pens, posters, t-shirts, hats, etc.) to either be worn, used, or distributed to his fans to promote The Bend.

The Financing The financial requirement for this plan is $350,000 (USD). The funds will provide for the development, production, and post-production deliverables for the film. The structure allows for both a traditional distribution path of an acquisition deal.

The Distribution & Sales The Producers of The Bend intend to build alliances with strong international film sales organizations as well as engage in direct sales to distributors who facilitate theatrical, cable, video on demand (VOD), and DVD. The Bend Film 2017 LLC., has established a strong partnership with Legacy Entertainment Partners, LLC. (LEP). Legacy’s strong relationships with global distribution companies who have expressed not only initial interest in the film, but also have provided counsel for content presentation, casting, marketing, and sales positioning with an eye to the greatest international audience reach. The budget for the proposed film has been designed with a pre-calculated financial return. The return strategy is based on a practical plan for accessing traditional dramatic film markets.

Additionally, the Producers will target adult audiences that recognize the value of a suspense thriller film starring Kevin Nash, Tom Sizemore, and Henriett Novak. Theatrical, broadcast, traditional DVD, cable, video on demand (VOD), direct consumer DVD, digital download, internet streaming websites, and foreign distribution outlets will be pursued.

The Risk Management and Mitigation An investment in producing a motion picture is speculative and involves a degree of risk. Producers will seek accredited investors who understand this risk. The ideal investor is one who recognizes that The Bend will be an immediate must-see given Kevin Nash’s and Tom Sizemore’s multi-layered roles as well as an opportunity to showcase the exceptional skills of Henriett Novak, and that both the story and talent will draw a large global appeal. To minimize risk, Producers have established an accurate estimated budget and have prepared a marketing strategy for major and minor releases with established risk mitigation methodologies to ensure profitability. Production Risk Inexperienced filmmakers often make the mistake of underestimating the costs of development and production of a motion picture, then begin pre-production and principal photography before all the elements are in place for the successful completion and delivery of a quality product. The Producers of The Bend intend to mitigate these production risks in four ways.

1. Ensuring key elements are satisfactorily addressed and resolved before the production phase (larger expenditures) begins. Such issues include: finalizing a script that demands recognizable talent, engaging a reputable script clearance company to address legal issues, engaging a completion bond company that will create internal accountability and assuring the completion of the film, and insuring the film has a committed case in place that have both the skills and draw to attract distributors as well as an audience.

2. Create alternate plans for personnel and workflow that limit production delays due to

unexpected circumstances. The Producers of The Bend are experienced in the field and possess excellent production planning and execution skills. Essential factors in planning are to have qualified personnel available to step into key positions in case of an emergency. Additionally, the Producers will have alternate shooting sites available when inclement weather is anticipated and will build the production schedule so it can easily accommodate necessary changes.

3. Comprehensive production insurance is in place to mitigate any expense that might truly be out of the producer’s control. Procuring business insurance might seem obvious; however, too often inexperienced producers take shortcuts when it comes to production

insurance. Although the Production Team’s first goal is to continue working once the momentum of full production starts, it is vital that all measures be taken to ensure the project will be completed, and there is no legal exposure that endangers delivery of a high-quality product. Comprehensive coverage will include Film Producer’s Indemnity (Cast Insurance), Negative Film Coverage (or digital equivalent), Producer’s Errors and Omissions, etc.

4. Engage global distribution partners at the onset of production development, rather than as late stage consideration. As discussed above, the Producers have already begun this work.

The Financial Plan Investment Strategy & Return on Investment (ROI) Investors will recoup up to 120% of their investment before any profits will be distributed. After that point, all the net profits will be split on a 50/50 basis with 50% being distributed to the investor(s) on a pro-rata basis and the other 50% going to the producing/creative entity. There are 35 shares being offered at $10,000.00 (USD) per share. 1.43% will be the assigned net profit percentage per share. Financial Requirements The Bend Film 2017, LLC., intends to raise $350,000.00 (USD) to produce and market The Bend. An estimated budget is included within this investment prospectus.

The Return Predicting precise return on any investment is speculative, but such speculation can be, and will be, diminished by The Bend Producers known for being aggressive in proven risk-mitigation techniques and aggressive in ROI return methods.

1. The projected budget of The Bend is appropriate for other comparable independent films previously produced in the market. At the American Film Market and European Film Markets in 2015, it was widely observed and reported the buyers were specifically looking for projects with negative production costs between $50,000 and $5,000,000. Projects with larger budgets were broadly ignored, regardless of attached talent.

2. The Producers of The Bend are accumulating global projection specific data. In the pre-production phase of The Bend, the Production team is assembling project-specific data. Not only will the Producers be operating from “realistic” pricing for the film, but foreign sales agents with which we have relationships, and whom we engage at the onset, will continue to advise with the focus of maximizing foreign market revenues. The data collected will be based on this film and not guessed based on other comparable films.

3. The Producers of The Bend are exploring all possible revenue streams over the full life of the film. The Bend is slated for release via theatrical, video on demand (VOD) for internet and cable, DVD/Blue-Ray, broadcast, and foreign distribution. Specific strategies will be explored for all revenue streams, such as inclusion in subscription-steaming offerings (i.e. Netflix, Hulu, Amazon Prime, etc.), as well as adapted for mobile and tablet viewing.

4. The Producers of The Bend are bringing in marketing experts to assess trendy budget expenditures, while understanding that The Bend needs to be appreciated as the unique film it will be – a genuine immediate classic both of story and with attached talent that audiences will find irresistible. A recent analysis of spending indicated that a 10% increase in talent expenditures is currently yielding approximately a 2% return. However, a 10% increase in market spending, is yielding approximately a 10% increase in return. The Producers are evaluating budget allocations with the assistance of a marketing and film public relations expert given the unique story of The Bend.

The Assumptions that Affect the Bottom Line Return In evaluating the financial potential for The Bend, the Producers have used a conservative and conventional approach based on industry standards:

1. Domestic Box Office reflects gross dollars of ticket sales before the exhibitor splits the total with distributor.

2. All funds flow from each revenue source (exhibitor) to distributor, who deducts his print and advertising expenses before distributing revenue to the production company.

3. Distribution fees are generally based on 25% of all distributor gross revenue, both domestic and foreign. This is a generally accepted estimate method used by industry analysts and trade publications. Distribution deals are based on negotiation.

4. A period of at least one-year form start of principal photography to delivery of finished film should be anticipated for this, or any other feature film. This period can vary, but accommodates most circumstances that can affect delivery.

5. The film's release date depends on finalization of distribution arrangements, which may occur either before or after the film has been completed, and is an unknown variable at this time. The budget, also known as the films “negative cost,” covers only the expenses that are needed to create the master print of the film with a relatively modest publicity budget. All marketing costs, or “distribution expenses,” which include copies of the master print, digital distribution conversions, and major advertising costs, are distributor costs and are normally recouped by the distribution company before monies are disbursed to the producers.

6. Production costs are projected to fall on the high side of estimates. This is done to minimize the likelihood of financial shortfall. If there are overage in funds available, these funds will be assessed to determine if best spent on marketing or if they will be returned to the investors.

7. The majority of revenues are traditionally realized within three years of the release date. Although the earning life of the film can be much longer (an accepted average is seven years), the Producers are assuming this trend will hold true for The Bend.

8. The Producers will seek an advance from distributors to cover the initial loan, allowing for an earlier payout. However, such a payment is not guaranteed.

The Marketing and Release Competitive Advantages Leading Industry Professionals

The Producers will utilize proven industry professionals and/or qualified consultants for services and department head positions to ensure completion of a quality product and to best protect the interest of investors. Start to Finish Marketing Although in the early stages of development, the Producers of The Bend have already begun evaluation of marketing analysis, as noted above. Marketing starts at the beginning of development and finishes after release on all distribution platforms. The Producers are in the process of constructing widespread social media designed to targeted genre fan bases and a complimentary website for email capture and fan interaction. Sales Realism The Bend excels in that it recognizes the necessity of the sales input from an early stage. By using Legacy Entertainment Partners’ knowledge, skills, abilities, and proven success record as a sales company, The Bend is able to execute on strong cast selections, generate early interest in the film before production is complete and introduce the concept of the market before beginning physical sales. Foreign Sales Legacy Entertainment Partners has a United States and global based distributors that specialize in foreign markets. These companies with which have relationships, deal with networks of sub-distributors in various countries. (NOTE: There are distinct differences between a distributor and a foreign sales agent when working with foreign countries. If a company is granted the rights to a film for distribution of a foreign market, that company becomes the foreign distributor. If the producer retains these rights and grants someone only a percentage of the box office, in exchange for obtaining distribution contracts for these territories, then that person is called a sales agent.)

There is no “typical” distribution deal, but the Producers for The Bend will negotiate for as much as possible and give away as little as possible. How much gross a distribution company will want to retain depends on its participation in the negative costs of the film. The greater the distribution company’s expenses up front, the greater the percentage of incoming revenues it will seek. In this case, the Producers intend to secure partial financing through private equity resources, thus reducing the back-end participation demand from a distributor. The Bend will seek a distribution deal where we would receive a favorable percentage of the adjusted gross revenues from our film in all domestic distribution outlets, to split with our investors. We also plan to grant the foreign distribution rights of the film directly to groups who specialize in these foreign markets. This is intended to avoid accounting issues concerning actual foreign box-office receipts.
