CONDIZIONI GENERALI DI VENDITA
1. PREMESSALe presenti condizioni generali di vendita si considerano conosciute da ogni acqui-rente. Pertanto il conferimento di un ordine o l’accettazione di un’offerta, dati sotto qualsiasi forma, valgono come espressa integrale accettazione di tali Condizioni Generali di Vendita, senza riserva di sorta. Ogni ordine viene pertanto accettato ed ogni fornitura viene eseguita esclusivamente alle sotto indicate condizioni gene-rali di vendita, anche se le stesse non vengono esplicitamente dichiarate. Eventuali deroghe saranno valide solo se confermate per iscritto dalla Tubifor.
2. PREZZII prezzi di vendita si intendono per merce resa franco magazzino o franco deposito di Tubifor. I prezzi a listino hanno carattere indicativo e la Tubifor si riserva il diritto di apportare agli stessi variazioni in funzione dei costi di produzione vigenti il giorno della spedizione.
3. CONSEGNAI termini di consegna, anche se pattuiti per iscritto, hanno carattere puramente in-dicativo. In nessun caso di ritardo di consegna o spedizione, il Committente potrà rifiutare tutta o una parte della merce o chiedere indennizzi per danni diretti o in-diretti.
4. TRASPORTI, IMBALLI E STOCCAGGIOLa merce, accuratamente imballata, viaggia sempre a rischio e pericolo del Commit-tente, anche se spedita in porto franco. La resa è concessa Porto Franco per un im-porto d’ordine minimo di Euro 1500,00, al netto degli sconti. Non si assume nessuna responsabilità per furti, avarie o manomissioni che si potessero verificare durante il trasporto. I pallets utilizzati per la consegna sono di proprietà della Tubifor e devono essere resi ai nostri corrieri ad ogni successiva consegna. La merce dev’essere stoc-cata dal compratore in modo appropriato in luoghi asciutti e coperti e a temperatura compresa tra -5°C e +45°C.
5. PAGAMENTOIl pagamento della fornitura deve avvenire presso il domicilio della Tubifor alle condizioni specificate nella fattura. Il ritardato pagamento delle fatture, anche se parziale, da luogo all’immediata decorrenza degli interessi secondo quanto stabilito dalla Direttiva Europea 2000/35/CE. Il mancato pagamento autorizza la Tubifor a sospendere ulteriori forniture. Per pagamenti contro tratta le spese d’incasso e bollo si intendono a carico del Committente. La consegna del materiale si intende fatta ed accettata con riservato dominio di proprietà della Tubifor sino al totale assolvimento degli obblighi di pagamento dovuti.
6. RESINon si accettano resi di materiale se non preventivamente autorizzati per iscritto dal-la Tubifor. In caso di reso autorizzato il materiale deve essere spedito esclusivamente in porto franco al magazzino della Tubifor e sarà accreditato al prezzo d’acquisto e gravato da un rimborso spese nella misura convenzionale del 15% (quindici per cento).
7. DATI TECNICILe indicazioni di misure, pesi e disegni dei prodotti sono date a solo titolo indicativo e possono essere apportate senza preavviso tutte le modifiche che la Tubifor riterrà necessarie al miglioramento della qualità e della funzionalità del prodotto.
8. GARANZIEI prodotti illustrati nei cataloghi della Tubifor sono costruiti a regola d’arte in materia di sicurezza e se installati correttamente da personale esperto, in conformità alla loro destinazione e sottoposti a regolare manutenzione, salvaguardano la sicurezza delle persone, degli animali domestici e dei beni. Qualsiasi reclamo per vizi e difetti di qualità dei prodotti, anche se non apparenti, deve essere proposto, sotto pena di decadenza, entro il termine di otto giorni dal ricevimento della merce ed esclusiva-mente per iscritto. Per l’ammissibilità del reclamo, l’Acquirente dovrà dimostrare la corretta conservazione e, se il prodotto fosse già stato installato, anche la corretta installazione. La garanzia prevede, a scelta della Tubifor, la sostituzione dei pezzi avariati o il rimborso del prezzo pagato, con esclusione del risarcimento di qualsiasi danno sia diretto che indiretto.
9. FORO COMPETENTEPer ogni controversia è competente il foro presso il quale viene eletto il domicilio legale della Tubifor con rinuncia della controparte ad ogni eccezione al riguardo.
GENERAL CONDITIONS OF SALE
1. PREMISEThe present general conditions of sale are considered known by every buyer. Therefore the confirmation of an order or the acceptance of an offer, given under any form, are valid as express integral acceptance of the following General Conditions of Sale, without any reserve. Each order is therefore accepted and exclusively delivered in accordance with the general conditions of sale as indicated below, even in the case they are not expressly declared. Exceptions are valid only by written agreement of Tubifor.
2. PRICES The prices of sale are ex works or ex our warehouses. The prices quoted in the present price-list have to be considered indicative. Tubifor has the right to modify the prices depending on the production costs ruling at the day of the shipment.
3. DELIVERYAny delivery times quoted for despatch are indicative only and the Company shall not be liable for any delay unless the buyer suffered losses. The buyer cannot refuse in whole or in part and ask for payments for both direct and indirect damages.
4. TRANSPORT, PACKAGING AND STOCKINGThe goods properly packed, are carried at risk of the Buyer. The company shall not be liable fur such steals, damages and illegal opening of the goods. The pallets are property of Tubifor and must be consigned to the lorry driver on the next consignment. The products have to be stocked in appropriate way, in dry and covered places at the temperature between -5°C and +45°C.
5. PAYMENTSThe payment must be effected in favour and at the domicile of Tubifor according to the terms agreed and specified on the invoice. In case of delay also partial of the payments, the Company shall be entitled to apply the interest at the official discount rate according the directive 2000/35/CE and to suspend deliveries without notice of any of the Buyer’s orders or to cancel such orders if any payment from the Buyer becomes overdue. The deliveries of the goods is effected with right of property when the total and definitive payment of the Buyer will extinguish the debt. 6. RETURN OF THE GOODSThe goods cannot be returned if not previously agreement by written authorization of Tubifor. In the case of authorized return, the goods must be despatched free carriage at the buying prices charged of the 15% reimbursement costs.
7. TECHNICAL DATA All descriptive and forwarding specifications, drawings and details of weight and size issued by the company are approximate only, and are intended to present a general idea of the product to which they refer and shall not form part of the contract. They can be changed at any time without notice in order to improve the quality and the reliability of the materials.
8. WARRANTIESThe products shown in the catalogue are manufactured to comply with the highest quality and security standards; their reliability is maximum when installed by expert installers, in conformity with their application and if properly maintained, for the safe of people, animal, objects and goods, even if not evident, must be presented exclusively by written communication within eight days from the reception. To be admitted the Buyer has to demonstrate that the good is correctly preserved and if already installed that it has been correctly installed. The company will give the Buyer the benefit of substitution of the defeated parts or reimbursement of the corresponding amount, excluding any direct or indirect damage.

CONDITIONS DE VENTE
1. INTRODUCTION Ces conditions générales de vente sont considérées connues par tous nos clients.
