En el último trimestre de 2009 culminaremos una de las operaciones más
importantes de los últimos años, la fusión de Cintra y Ferrovial. La nueva empresa
constituirá uno de los mayores grupos de infraestructuras del mundo. Como
hemos repetido en los últimos meses, en este caso se rompe la regla matemática
y uno más uno suma más de dos.
La realidad actual de nuestra empresa es, entre otras razones, consecuencia del
equipo humano que se ha ido formando al cabo de los años. Un equipo que ha
ido cultivando un sentido del esfuerzo, de la responsabilidad, del compromiso y
de la capacidad de gestión, que nos han llevado a las cotas que hoy ocupamos
como uno de los líderes mundiales en infraestructuras y servicios. Más de
107.000 personas componen hoy en día la plantilla de Ferrovial en el mundo,
una cifra que impresiona en sí misma y que da idea del tamaño de nuestra
realidad empresarial. Como no podría ser de otra manera, la fusión multiplica
las oportunidades para quienes componemos Ferrovial, en este mundo global
y cercano que nos ha tocado vivir. La diversidad geográfica y de negocios
de la nueva Ferrovial ofrece nuevos alicientes para el desarrollo de nuestros
profesionales y multitud de oportunidades para aquellos que crean en el
crecimiento y en el progreso.
Este hecho también abre una ventana que debe conectarnos con nuestros valores. En primer lugar,

sociales como culturales. Estamos especialmente volcados en nuestro programa en Tanzania,
construyendo infraestructuras de agua que beneficiarán a una población de 50.000 personas.

New challenges, the same values
In the last quarter of 2009 we bring one of the most important operations of the last few years to a close: the merger of Cintra and Ferrovial. The new company will be one of the largest infrastructure groups in the world. As we have reiterated in recent months, in this case the arithmetic rule is broken, and one plus one equals more than two.
The current reality of our company is a con-sequence of, among other reasons, the hu-man team which has taken shape over recent years. This is a team instilled with a sense of effort, responsibility, commitment and man-agement capacity which has raised us to the ranks of today’s world leaders in infrastruc-ture and services. Today, more than 107,000 people make up Ferrovial’s global workforce, an impressive figure which gives an idea of the size of our business. Since it wouldn’t make sense otherwise, the merger multiplies
the opportunities available to those of us who comprise Ferrovial, in this global, interconnected world in which we live. The geographic and business diversity of the new Ferrovial provides new incentives for the development of our professionals and a wealth of opportunities for those who want to grow and progress.
This event also presents us with a new opportunity to connect with our values. First and foremost, integrity and respect in our personal and professional rela-tions. Also the team work and capacity to innovate, without forgetting efficiency and the ability to find solutions to our problems.
Ferrovial has always been at the cutting edge in terms of finding new spaces and roles which companies should fulfill in society. We have been pioneers in responding to environmental and corporate responsibility issues, introducing criteria, parameters and regulations which have become benchmarks in the places where we operate. In regards to the environment, we hold a firm com-mitment to identify and reduce our carbon footprint, minimize water and elec-tricity consumption and provide appropriate waste treatment. Our company is also characterized by its efforts to act as a good corporate citizen, looking after the environment wherever it operates, in both social and cultural terms. We are currently putting all our energy behind our programme in Tanzania, building water infrastructure which will benefit a population of fifty thousand people. We encourage our employees to participate in the “Juntos Sumamos” (Strong-er Together) programme, which facilitates the active contribution of all our staff in initiatives that benefit society directly. The entire concept of community rela-tions steers us, as a company, towards a sustainability model that will enhance our contribution to the present and to furthering progress.
We have made the decision to merge both companies because the markets have changed substantially as a result of the world economic situation. After the op-eration, Ferrovial will have increased solvency and a more solid balance sheet to compete and raise capital in international markets. The merger benefits the shareholders of both companies and opens new horizons to our professionals. The new Ferrovial will also be advantageous for our clients, to whom we will be able to give a more dynamic response tailored to their needs. Approximately 1.2 billion people per year use the infrastructures that we manage, modernize and maintain. As a result of the company’s new structure, Cintra now has the ad-equate financial and technical base to continue to grow and develop increasingly more complex and attractive projects. The new Ferrovial is a 21st century com-pany ready to compete in the global markets.

The Ferrovial and Cintra merger operation marks a milestone in the recent history of the company. It is a strategic move which facilitates management in the new global economic context and has a positive effect on the Group as a whole. We talk to Rafael del Pino, Chairman of Ferrovial, on the key issues and future challenges of the new company.

¿Qué ha marcado la evolución de Ferro-vial en el último año?Ninguna empresa puede aspirar a salir forta-
lecida de la crisis económica actual si previa-
mente no ha adaptado su estrategia al nuevo
contexto financiero mundial. La integración
con Cintra responde a la lógica empresarial
del nuevo entorno. El conjunto es mayor que
la suma de las partes.
¿Tenía Ferrovial hechos sus deberes?La diversificación e internacionalización
del negocio durante los últimos años han
mejorado nuestra estabilidad. Hemos re-
ducido drásticamente nuestra exposición
a un único sector o mercado. Nuestro Re-
sultado Bruto de Explotación proviene hoy
principalmente de actividades ajenas a la
construcción en mercados como el Reino
Unido y Norteamérica. además, aunque el
momento actual, sin duda, exige una ges-
tión estricta de los costes y del flujo de caja,
estos son fundamentos de la cultura de Fe-
rrovial desde nuestros orígenes.
La crisis actual, ¿conlleva un cambio de estrategia?Queremos seguir invirtiendo en infraestruc-
turas de transporte en los mercados donde
operamos, creando valor tanto para nuestros
accionistas como para nuestros clientes y
usuarios.
¿Qué beneficios aporta la integración con Cintra?Se trata de unir fuerzas y crear una platafor-
ma más competitiva para el futuro. Queremos
seguir siendo uno de los líderes mundiales en
infraestructuras de transporte. El acceso a los
mercados de capitales se hará desde una pla-
taforma de mayor peso y Ferrovial presentará
una mayor capitalización y un balance más só-
lido. la capacidad de una empresa para con-
seguir financiación deriva de la calidad de sus
activos y de sus perspectivas de futuro, que
mejoran con la fusión.
¿Cómo ha sido el proceso de integra-ción?Hemos seguido las mejores prácticas de go-
bierno corporativo. El proceso ha sido liderado
por la Comisión de operaciones Vinculadas de
Cintra y aprobado por unanimidad por ambos
Consejos. dos entidades de referencia han
expresado su opinión favorable a la ecuación
de canje, que también ha sido ratificada por
el experto independiente nombrado por el Re-
gistro Mercantil.
¿Cómo mejorará la gestión del flujo de caja?los negocios de construcción y de servicios
son intrínsecamente generadores de caja.
Desde 2001 hasta 2008, el flujo de operacio-
nes acumulado de Ferrovial, incluido Cintra,
fue de 5.500 millones. Casi el 70% provino de
Construcción y servicios, que han sido el pilar
básico de la diversificación del Grupo. Tenien-
do en cuenta que Cintra desarrolla una acti-
vidad esencialmente inversora, la fusión per-
mitirá que sus iniciativas promotoras puedan
financiarse mediante el acceso a dichos flujos
y que tanto éstos como los procedentes de
desinversiones sean gestionados de manera
eficiente en todo momento.
¿Cuáles serán las fortalezas de la nueva Ferrovial?somos ya uno de los mayores inversores priva-
dos de infraestructuras de transporte en todo
el mundo, habiendo liderado una inversión
total hasta la fecha superior a 70.000 millones
What has marked the evolution of Ferrovial in the last year?No company can expect to emerge stronger from the current economic crisis if it has not previously adapted its strategy to the new global financial context. The merger with Cintra responds to the business logic of this new context. The whole is bigger than the sum of the parts.
Had Ferrovial done its homework?The diversification and internationalization of the business in the last few years have improved our stability. We have drastically reduced our exposure to a single sector or market. Today, our gross operating income mainly comes from non-construction operations in leading markets like the U.K. and North america. also, although the current moment obviously calls for strict management of costs and cash flow, these principles have been part of Ferrovial’s culture ever since our beginnings.
Does the current crisis entail a change of strategy?We want to continue to invest in transport infrastructures in the markets in which we operate, generating value for our shareholders, clients and users.
What are the benefits of the merger with Cintra?It is about joining forces and creating a more competitive platform for the future. We want to continue to be a world leader in transport infrastructures. access to money markets will be gained from a platform with more weight and Ferrovial will have increased capitalization and a more solid balance sheet. A company’s capacity to raise capital lies in the quality of its assets and its future prospects, which improve with the merger.
How has the merger process gone?We have followed the best corporate governance practices. The process has been headed by Cintra’s Related Party Transactions Committee and approved unanimously by both Boards of directors. Two leading entities have expressed their favourable opinion on the share exchange ratio, which was also ratified by the independent expert appointed by the Commercial Registry.
How does cash-flow management improve?The Construction and services businesses are intrinsically cash generators. Between 2001 and 2008, the accumulated cash flow from the operations of Ferrovial, including Cintra, was 5.5 billion euros. Nearly 70% came from Construction and Services, which were the basic pillars of the Group’s diversification. Bearing in mind that Cintra performs an essentially investment activity, the merger will mean that its development initiatives can be financed through access to said cash flow, and that this, plus the proceeds from divestitures, will be efficiently managed at all times.
What will be the strengths of the new Ferrovial?We are already one of the world’s biggest private investors in transport infrastructures, having led the ranking of total investment to date with more than 70 billion dollars [source: “Public Works Financing”]. Ferrovial has two benchmark assets, the 407 ETR highway in Toronto and Heathrow airport in london. The merger will mean greater competitive strength to manage the entire life cycle of an infrastructure, from its development and financing to its construction, operation and

Rafael del Pino graduated in Civil Engineering from the Universidad Politécnica in Madrid (1981) and obtained an MBa from the MIT sloan school of Management (1986). He was CEo of Grupo Ferrovial from 1992 to 1999, when he was appointed Executive Vice Chairman.
He is currently Executive Chairman of Ferrovial, Chairman of the Board of Cintra and member of the Board of Banesto, of Blackstone International advisory Board and of the advisory Board of spain’s Confederation of Employers (CEoE).
Rafael del Pino is actively involved with the academic world through membership of the MIT Corporation, the MIT sloan school of Management dean’s advisory Council, and the MIT Energy Initiative’s External advisory Board. He is also a member of the International advisory Board of IEsE and of Harvard Business school European advisory Board.
He was named a Global leader for Tomorrow by the World Economic Forum and is a former member of the Board of Uralita and of the Boards of Círculo de Empresarios and spain’s Family Enterprise Institute.

Ferrovial cuenta con dos activos de referencia,
como son la autopista 407 ETR en Toronto y el
aeropuerto de Heathrow en londres. la fusión
conlleva una mayor fortaleza competitiva para
gestionar todo el ciclo de vida de una infraes-
tructura, desde su promoción y financiación
hasta su construcción, operación y manteni-
miento. Es nuestra intención poner mayor énfa-
sis, a partir de ahora, en proyectos ‘greenfield’
(desde su construcción inicial), donde podemos
aportar mayor valor y nos diferenciamos más
de nuestros competidores.
¿Ferrovial ha dejado de ser una cons-tructora?Ferrovial se ha convertido en una empresa
global de gestión de infraestructuras, que
cuenta con la ventaja de tener una construc-
tora en el Grupo que le permite ser más com-
petitiva en proyectos que incluyan una parte
importante de construcción.
¿Cómo ha cambiado el mercado conce-sional en los últimos años?En los últimos años se ha producido un aumen-
to del número de competidores internacionales,
y el mercado financiero ha sufrido una impor-
tante contracción. se han reducido las posibi-
lidades de captación de recursos ajenos y han
cobrado mayor importancia la solidez de los
proyectos y de los promotores, lo que hará que
nuestra posición mejore con la fusión.
¿Qué efecto espera que tenga la fusión para la cotización de Ferrovial?En el mercado de valores la integración im-
plicará un mayor tamaño y profundidad del
capital flotante. Esto permitirá incrementar la
liquidez del valor. Desde el anuncio del proyec-
to de fusión la acción se ha comportado mejor
que el mercado, lo que nos hace pensar que
estamos en el camino adecuado.
¿Cómo visualiza el futuro?Estamos en un momento sin precedentes en
el último siglo. Tenderemos a ritmos de cre-
cimiento más lentos que en los últimos años,
pero soy optimista. Ferrovial siempre ha sido
capaz de progresar en las crisis y mejorar su
posición relativa en tiempos difíciles. la com-
pañía está gestionada por un equipo directivo
de primer nivel, con probada experiencia inter-
nacional. Estoy seguro de que saldrá reforzada
de esta tormenta económica, apoyándose en la
robustez de su modelo de negocio y en la cali-
dad de su gestión.
¿Es Ferrovial “una empresa británica que cotiza en Madrid”?yo diría más bien que somos una empresa
multinacional de origen español. Tras la inver-
sión en Baa en 2006, los aeropuertos son un
negocio muy importante y se nos conoce por
ser co-propietarios de Heathrow, por donde
pasan casi 70 millones de pasajeros al año.
En apenas tres años, la calidad del servicio en
los aeropuertos de londres ha mejorado sen-
siblemente. de hecho, según airports Council
International, Heathrow ya está entre los pri-
meros grandes “hubs” europeos en niveles de
satisfacción del cliente. Queremos convertir
este aeropuerto en un referente mundial por
su modernidad, eficiencia, respeto al medio
ambiente y capacidad para atender la deman-
da durante muchos años. además, a través de
Tube lines, gestionamos tres líneas del metro
de Londres, que son utilizadas por dos millo-
nes de personas cada día. También tenemos
ya grandes proyectos en mercados como
Texas, Grecia y Polonia, además de la 407 ETR
en Canadá y por tanto, somos una empresa
muy internacional. debemos seguir trabajan-
do y manteniendo nuestra orientación a los
resultados, la calidad del servicio, el control de
los costes, la eficiencia y el trabajo en equipo.
¿Ferrovial será reconocida en el Reino Unido por la buena gestión de los ae-ropuertos?Heathrow es un icono mundial. La amenaza
terrorista de 2006 cambió los estándares de
seguridad y el funcionamiento de todos los
aeropuertos. En londres habían transcurrido
muchos años sin que se realizaran grandes in-
versiones, que son muy necesarias y deben ser
incentivadas. Heathrow se pensó para 45 mi-
llones de pasajeros, y gestiona casi 70 millones
cada año. la nueva Terminal 5 ha sido el primer
paso para la transformación y modernización
del principal “hub” del Reino Unido. se trata de
un país serio y Ferrovial es un inversor a largo
plazo. Estamos haciendo las cosas bien y, por lo
tanto, espero que se acabará apreciando y re-
conociendo el trabajo que estamos realizando.
Algunos periódicos se refieren a Ferro-vial como “a debt-laden spanish builder”.así ha sido hasta ahora. En cuanto a españo-
les, estamos orgullosos de serlo, a pesar de
que nuestras ventas son mayoritariamente
internacionales, y la actividad de construc-
ción representa un porcentaje pequeño del
Resultado Bruto de explotación del Grupo.
la posición de deuda de Ferrovial, sin contar
proyectos de infraestructuras, es muy razo-
nable. También es sólida la deuda asociada
a estos proyectos, pues está garantizada por
activos de la máxima calidad como se ha visto
por la resistencia de sus ingresos en momen-
tos de crisis, en un negocio necesariamente
intensivo en capital. Ferrovial se ha converti-
do en un operador global de infraestructuras
y, por tanto, ni somos tan españoles como
dicen, ni tenemos tanta deuda, ni somos úni-
camente constructores.
Como operador global, Ferrovial debe demostrar su compromiso con el medio-ambienteEl desarrollo de infraestructuras está ligado al
futuro de la movilidad. las personas necesitan
desplazarse en medios de transporte eficientes
y seguros, que minimicen el impacto medioam-
biental. Una gestión “ecoeficiente” de las infra-

Has Ferrovial ceased to be a construction company?Ferrovial has become a global infrastructure management company, with the advantage of having a construction company in the Group which enables it to be more competitive in projects that include a considerable amount of construction work.
How has the concessions market changed in the last few years?In recent years there has been an increase in the number of international competitors and the financial market has suffered a strong contraction. The possibilities of raising external finance have decreased and the soundness of projects and development companies has become more important to access the financial markets, which means that we will find ourselves in a better position with the merger.
What effect do you expect the merger to have on Ferrovial’s share price?In the securities market, the merger will result in increased size and depth of the “free float” which will increase the liquidity of the security. Since the announcement of the planned merger, the shares have outperformed the market, which leads us to believe that we are on the right path.
How do you see the future?This is a moment with no precedents in the last century. We will tend towards slower rhythms of growth than in the past years, but I am optimistic. Ferrovial has always managed to progress and improve its relative position in difficult times. The company is managed by an excellent team with proven international experience. I am sure that it will come out of this economic turmoil with renewed strength, backed by its solid business model and good management.
Is Ferrovial “a British company listed in Madrid”?I consider it more fitting to say that we are a multinational company of Spanish origin. after the investment in Baa in 2006, airports have become a very important business and we are now recognised as co-proprietors of Heathrow, which handles nearly 70 million passengers per year. In barely three years the quality of the service in London’s airports has improved significantly. In fact, according to the Airports Council International, Heathrow is already among the top largest European ‘hubs’ in levels of customer satisfaction. We want to make Heathrow airport a world leader for its modernness, efficiency, respect for the environment and capacity to meet demand for many years to come. additionally, through Tube lines, we manage three london Underground lines, which are used by two million people a day. We already have large projects in such markets as Texas, Greece and Poland, as well as the 407 ETR in Canada. We are a very international company, and therefore we must continue to work with a focus on results, quality service, cost control, efficiency and team work.
Will Ferrovial be recognised in the United Kingdom for its efficient airport management?Heathrow is a world icon. The terrorist threat of 2006 changed the security requirements and the operation of all airports. No large investments had been made in london in many years, which are very necessary and should be fostered. Heathrow was originally designed to handle 45 million passengers per year, and now handles nearly 70 million. The new Terminal 5 has been the first step towards the transformation and modernization of the main hub in the United Kingdom. It is a reliable country and Ferrovial is a long-term investor. We are doing things properly and I therefore hope that our efforts will eventually be recognized and appreciated.
some newspapers refer to Ferrovial as ‘a debt-laden spanish builder’yes, that was the case up until now. With regard to being spanish, we are proud of that, despite the fact that our sales are mostly international and construction only represents a small percentage of the Group’s gross operating income. Ferrovial’s debt position, excluding infrastructure projects, is very reasonable. The debt associated with these projects is also solid since it is guaranteed by top quality assets, as shown by the resistance of their earnings in times of crisis, in a business that is intrinsically intensive in capital. Ferrovial has become a global operator in infrastructures therefore we are not as spanish as some might say, nor do we have so much debt, nor are we only a construction company.
As a global operator, Ferrovial must demonstrate its commitment to the environmentInfrastructure development is linked to the future of mobility. People need to move in efficient and safe means of transport which minimize the impact on the environment. An “ecoefficient” management of infrastructures not only
does not entail higher costs, it also minimizes the risks. In 1997, Ferrovial was one of the first construction companies in the world to introduce a certified management system, with public data on our environmental performance index. Hace ya muchos años que Rafael del Pino y Moreno
llamó por teléfono a Pepe Martínez, jefe de personal
de Ferrovial. Le preguntó que dónde había una plaza
para un joven ingeniero. Martínez le respondió que
en libia. al día siguiente se presentó en el despa-
cho de Martínez un joven ingeniero que se llamaba
Rafael del Pino y Calvo Sotelo. Hizo sus maletas y se
desplazó a trabajar en la construcción de una carre-
tera en el desierto libio durante más de un año.
Este viaje, este primer acercamiento al mundo de
Ferrovial, refleja las inquietudes vivenciales y pro-
fesionales de Rafael del Pino. su vida se ha movido
entre la búsqueda de la exploración y la responsa-
bilidad de la dirección de una de las empresas sobre
las que se vertebra la economía española. los vo-
cablos empresa y aventura tienen mucho de sinó-
nimo. Toda aventura, toda exploración, representa
en sí misma una empresa. y sin duda, cualquier em-
presa esconde en sí misma una aventura llena de
pasión, de éxito y de sinsabores.
Ernest Shackelton protagonizó entre 1902 y 1920
una de las páginas más estremecedoras y conmo-
vedoras de la humanidad. Fue uno de los principa-
les protagonistas de la lucha por poner la primera
bandera en el Polo sur y la conquista de la antárti-
da. Esa carrera atrajo el interés de la humanidad y
sus protagonistas se convirtieron en protagonistas
y héroes de aquellos primeros años del siglo XX.
En una de sus expediciones, shackelton fue patrón
de un barco llamado Endurance, que acogió una
expedición, que aspiraba a cruzar el continente de
mar a mar por el polo. su barco tuvo el destino
trágico de los héroes y encalló en un hielo polar
que le impedía avanzar. Su lucha por la vida es un
canto a la resistencia humana, a la tenacidad, a la
capacidad de sufrir y de luchar codo con codo por
la supervivencia.
El libro “Endurance”, que narra aquella dura vivencia
humana, forma parte de la mesilla de noche de Ra-
fael del Pino como lectura recurrente y ha ido confor-
mando desde su juventud alguno de los rasgos de su
personalidad. Una personalidad que se proyecta en
las decisiones que ha ido tomando en Ferrovial y que
se encuentra en la forma de ser y actuar de la gente
que viste de amarillo. Rafael ha hecho de Ferrovial un
proyecto que tiene como única frontera el crecimiento
y el pensar en un siguiente paso. Fue un protagonis-
ta en la estrategia de concentrar a la empresa en
los negocios donde debía estar, empezando por
la construcción y siguiendo por las autovías, los
servicios y los aeropuertos. Todo ello hasta ha-
cerla el líder mundial en infraestructuras que es
hoy. Tomó la decisión de no conformarse con es-
tar en España y en américa latina, sino de salir a
américa del Norte y al resto de Europa y comprar
los activos que permitieran a Ferrovial saltar a la
siguiente frontera, de subir ese peldaño más. Es
una empresa, es una aventura.
Pero también se aprecian muchos de los valo-
res de la expedición del “Endurance” en la tri-
pulación de Ferrovial. Cualquiera que vista de
amarillo sabe que el esfuerzo, la integridad, la
posibilidad de decir lo que se piensa, el traba-
jo en equipo y el culto a hacer las cosas bien,
forman parte del adN de una compañía sin más
fronteras que sus propios límites.
Por eso, Rafael del Pino emplea su tiempo libre en
refugiarse en su África anhelada, en cruzar el At-
lántico a vela con sus hijos o en recorrer cualquier
paisaje helado en unos esquís de montaña.
It was many years ago that Rafael del Pino y Moreno phoned Pepe Martínez, Head of staff at Ferrovial. He asked him where there was a job for a young engineer. Martínez told him Libya. The next day a young engineer called Rafael del Pino y Calvo Sotelo turned up at Martínez’s office. He packed his bags and went to work for over a year on the construction of a road in the Libyan desert. This trip, this first contact with the world of Ferrovial, reflects the personal and professional interests of Rafael del Pino. His life has moved between the quest of exploration and the responsibility of managing one of the business enterprises that lie at the heart of the spanish economy. The words enterprise and adventure are to a large degree synonymous. any adventure, any exploration, represents an enterprise in itself. Without doubt, all enterprises contain hidden adventures full of passion, success and heartache. Between 1902 and 1920, Ernest shackelton led one of humanity’s most daunting and moving episodes. He was one of the main figures in the fight to raise the first flag at the South Pole and conquer Antarctica.
This race attracted the interest of all humanity and those involved became the protagonists and heroes of the early years of the 20th century. In one of the expeditions, shackelton was the skipper of a boat called Endurance which accommodated an expedition that aimed to cross the continent, from coast to coast, via the Pole. His boat suffered the tragic fate of a hero. It got stranded in the polar ice which prevented it from advancing. His fight for life is a testament to human resistance, tenacity and the ability to suffer and struggle, arm in arm, in order to survive. The book “Endurance”, which tells of that formidable human experience, has been repeated reading on Rafael del Pino’s bedside table ever since he was young and has shaped certain aspects of his personality. His character can be seen in the decisions that have been taken by Ferrovial and the attitudes and behaviour of its employees.
Rafael has turned Ferrovial into a project whose only frontier is growth and thinking about the next step. He led the strategy of focussing the company’s activities where they needed to be, starting with construction and then continuing with roads, services and airports. so much so that it is now a world leader in infrastructures. He decided that it was not enough to be present in spain and latin america but that it should enter North america and the rest of Europe, buying assets that would enable Ferrovial to leap to the next frontier, to go one step further. It is an enterprise, an adventure. Nonetheless, many of the values of the “Endurance” expedition can be observed among the Ferrovial crew. Everyone that works there knows that hard work, integrity, the possibility to speak your mind, teamwork and a desire to do things well form part of the dNa of the company, a company whose only frontiers are its own limits. For this reason, Rafael del Pino spends his free time taking refuge in his beloved Africa, sailing across the Atlantic with his children and skiing across frozen landscapes.

Ferrovial is joining forces with Cintra. two leaders in infrastructure management thus become a single integrated company, capable of offering the best solutions to its clients, shareholders and employees. the operation evidences the Group’s capacity to adapt to a world in the midst of change.
the merger project, presented to the stock exchange watchdog on July 30th, explains that the result of the operation will be greater than the sum of its parts. the arithmetic works in favor of the new Ferrovial, which, with the new platform, will more easily combine and multiply the capacity of its subsidiaries in the activities of airport and highway management, construction and services.
the new Ferrovial emerges with 57 years’ experience behind it and an impressive letter of introduction: 107,000 employees, operations in 49 countries and revenue of 14.1 billion euros in 2008.
“the merger facilitates our strategy and streamlines the company’s management. there is no doubt that it improves our financial profile and gives added value to shareholders,” explains Íñigo Meirás, Chief Executive Officer.
the merger is a new milestone in Ferrovial’s long history as an infrastructure operator and, more specifically, toll highways. The company has been a pioneer in this business since as early as 1968 when it was awarded the construction and operation of the Bilbao-Behobia highway. A great deal has happened since then, and in 2003 the highway completed its 35 years of concession and was handed back to the public Administration.
Ferrovial founded Cintra in 1998 in order to group together and boost its infrastructure businesses. It did so with what was then an unprecedented premise that would, over the years, become a reference for the entire sector: we need to generate value through the management of infrastructure rather than simply using it to generate a portfolio of work for the construction company.
Cintra set itself some ambitious expansion objectives and, to meet them, opened the door to Macquarie, which acquired 40% of its share capital. In 2004, the Australian company floated its stake in Cintra on the stock market and the company’s shares began to be traded.
When originally founded, Cintra held just a handful of highways in Spain, Colombia and Chile. A decade later, it manages 23 public concessions totaling 2,841 kilometers in seven countries: Canada, Spain, USA, Chile, Portugal, Greece and Ireland.
Its brand has become synonymous with quality and innovation, as a result of its participation in such projects as Chicago Skyway, Indiana toll Road, and 407 EtR. the 407 EtR serves as a bypass through Toronto and was the first open-access, all-electronic toll highway in the world. Working on such a complex system has provided Cintra with valuable technological “know-how”, giving it a competitive edge in tenders for new concessions.

En el proyecto de fusión, presentado al re-
gulador bursátil el 30 de julio, se decía que
el resultado de la operación será mayor que
la suma de las partes. La aritmética juega a
favor de la nueva Ferrovial, que, con la nue-
va plataforma, combinará y multiplicará más
fácilmente las capacidades de sus filiales en
las actividades de gestión de aeropuertos y
autopistas, construcción y servicios.
La nueva Ferrovial nace con una experien-
cia de 57 años y con una imponente carta de
presentación: 107.000 empleados, presen-
cia en 49 países y unos ingresos de 14.100
millones de euros en 2008.
“La fusión facilita nuestra estrategia y agiliza
la gestión de la compañía. No cabe duda de
que mejora nuestro perfil financiero y apor-
ta valor añadido a los accionistas”, explica
Íñigo Meirás, Consejero Delegado.
La fusión representa un nuevo hito en la di-
latada trayectoria de Ferrovial como gestor
de infraestructuras y, más concretamente,
de autopistas de peaje. La compañía fue
pionera en este negocio, ya que en 1968 se
adjudicó la construcción y explotación de la
vía Bilbao-Behobia. Ha llovido tanto desde
entonces que en 2003 la autopista agotó
sus 35 años de concesión y fue entregada a
la Administración pública.
Ferrovial constituyó Cintra en 1998 para
agrupar y dar un impulso a sus negocios de
infraestructuras. Lo hizo con una premisa
entonces inédita y que con el tiempo se ha
convertido en referencia para todo el sector:
hay que crear valor con la gestión de infra-
estructuras y no sólo utilizarlas para generar
cartera para la constructora.
Cintra se marcó unos ambiciosos objetivos
de crecimiento y para cumplirlos dio entrada
con el 40% del capital a la firma Macquarie.
La australiana colocó en 2004 su participa-
ción en bolsa y la gestora de autopistas co-
menzó a cotizar.

La filial de Ferrovial sale de Bolsa tras la fu-

Ventajas paratodas las partes
La gestión integral de infraestructuras y
servicios es la seña de identidad de Ferro-
vial. La estrategia es clara: desempeñar un
papel de primer orden en el mercado inter-
nacional de las infraestructuras.
La fusión va a dar un nuevo impulso en esa
dirección. Pero, ¿cómo? contar con la mis-
ma base accionarial permitirá a la empresa
desarrollar los proyectos de una forma más
adecuada y eficiente. Y poner el énfasis, es-
pecialmente, en los llamados “greenfield”,
que implican la promoción de la autopista
desde cero, desde su construcción. En ellos,
la coordinación de Ferrovial Agroman y Cin-
tra es, y lo será más en el futuro, esencial.
Además, la fusión sirve para optimizar los
recursos financieros. Para empezar, porque
elimina las barreras al movimiento de los
flujos de caja dentro de la compañía. Actual-
mente existen límites debido a la diversidad
accionarial de ambas compañías. La fusión
hará posible el acceso a estos fondos de to-
das las compañías que componen Ferrovial.
Hay también razones externas que acon-
sejan la fusión. En un momento como este
en el que el crédito se restringe, la nueva
Ferrovial contará con un mejor acceso a los
mercados de capitales para obtener fondos
ajenos con los que financiar su crecimiento.
La nueva plataforma tendrá un mayor peso
y una mejor capacidad de interlocución con
los agentes financieros.
Los accionistas de la nueva empresa tam-
bién se beneficiarán de una gestión de las
obligaciones tributarias más eficiente, por-
que se reduce la carga administrativa que
supone mantener dos grupos consolidados
fiscales diferenciados.
La nueva compañía tendrá un mayor capital
flotante en bolsa y, por lo tanto, una acción
más líquida. La empresa gana capitalización
bursátil y avanza posiciones en el índice se-
lectivo español Ibex 35.
La fusión no tendrá impacto para el empleo.
Los profesionales que componen el grupo
reforzarán sus oportunidades de desarrollo
y ampliarán su movilidad geográfica.

Advantages all-round
the integrated management of infrastructures and services is Ferrovial’s hallmark and part of its DNA. the strategy is clear: to play a leading role in the international infrastructure market.
the merger is going to give a new boost in this direction. But how? Having the same shareholder base will enable the company to develop projects in a more adequate and efficient way, and place particular emphasis on so-called “Greenfield” projects, which involve developing highways from scratch, from the construction phase. Co-ordination between Ferrovial Agromán and Cintra is essential in these projects, and will be even more so in the future.
Furthermore, the merger will help to optimize financial resources. Firstly, as it eliminates the barriers to the movement of cash flows within the group. Whereas there are currently limits owing to the shareholder diversity of both companies, the merger will provide access to the funds of all the companies which make up Ferrovial.
there also are external reasons favoring the merger. In these times of restricted credit the new Ferrovial will have greater access to money markets in order to obtain outside funding for expansion. the new platform will have more weight and greater capacity to negotiate with financial agents.
The shareholders of the new company will also benefit from a more efficient management of the tax liabilities, given that the administrative burden entailed in running two fiscally different consolidated groups is reduced.
The new company will have an increased amount of “free-float” shares on the stock market and, therefore, more liquid shares. the company will gain market capitalization and advance positions in the Spanish Ibex 35 index.
the merger will not have an impact on jobs. the professionals that make up the group will enjoy even greater development and geographic mobility opportunities. the company, excluding Swissport, is present in twenty countries.
Corporate ResponsibilityWith the merger, Ferrovial has undertaken to observe the principles and commitments assumed in the area of social responsibility. Since 2002, the company has been adhered to the UN Global Compact Framework Agreement, and in 2007 it assumed these principles as the Corporate Responsibility standard for its operations throughout the world. Furthermore, it has a Code of Business Ethics.

Si hay un hito que marca un punto de inflexión en la historia de Cintra, ese es, sin duda, la ad-
judicación en 1999 de la canadiense 407 ETR. Y no sólo por el importe de la inversión realizada,
sino, sobre todo, por el reto que suponía gestionar una autopista tan compleja como esta.
Los 2.400 millones de euros que se pagaron por la concesión la convirtieron en la mayor
privatización de la historia de Canadá y en la mayor inversión en concesiones abordada por
una empresa española en el exterior.
Sin embargo, el aspecto más relevante venía marcado por el hecho de que la 407 EtR fue la pri-
mera autopista completamente electrónica y sin barreras del mundo. De esta forma el usuario
no tiene que detenerse para realizar el pago del peaje sino que la entrada y salida del vehículo
se detecta en los pórticos de acceso mediante dispositivos de pago electrónico o a través de
cámaras de vídeo. Este sistema permite gestionar un mayor volumen de tráfico a la vez que se
reducen las esperas.
La otra característica singular de esta autopista es la libertad tarifaria. Mediante este mecanis-
mo, la tarifa se puede modificar libremente siempre que el tráfico se mantenga por encima de
un umbral determinado. De esta forma, se pueden optimizar los ingresos de la autopista ajus-
tando la tarifa al ahorro de tiempo que se proporciona a los usuarios.
Una década después, los resultados son elocuentes y muestran como Cintra ha sabido dar
respuesta a los retos planteados mediante la introducción de las mejoras operativas nece-
sarias para optimizar la eficiencia de la autopista a la vez que se incrementa la calidad del
servicio prestado a los usuarios (como se refleja claramente en la evolución de las encues-
tas de satisfacción de los usuarios). La autopista cuenta con más de 300.000 usuarios al día
que recorrieron más de 2.250 millones de kilómetros durante 2008.
La experiencia adquirida en la gestión de la 407 EtR constituye una de las ventajas competitivas
en las que se fundamenta el desarrollo de nuestra estrategia de crecimiento y que nos ha permi-
tido incorporar 17 nuevas concesiones a nuestra cartera de activos durante los diez últimos años.
Ferrovial y Cintra han sido pioneros en el sector de las concesiones desde 1968 y la integración
de ambas compañías refuerza las capacidades del nuevo Grupo para seguir siendo un referente
mundial en el desarrollo del sector de infraestructuras.

If there is one milestone that stands out as a defining moment in the history of Cintra, without doubt it was being awarded the Canadian 407 EtR in 1999. Aside from the size of the investment involved, above all what posed the real challenge was managing a highway as complex as this.
the 2.4 billion euros paid for this transport concession made it the largest privatization in Canadian history and the largest ever investment in a concession by a Spanish company abroad.
However, the most important feature of the 407 EtR is that it is the world’s first open-access, all-electronic toll highway. This means that users are not required to stop in order to pay the toll fee, rather their vehicles are detected automatically by an overhead gantry as they enter and exit the highway, via transponders or video cameras. this system facilitates the management of a greater volume of traffic, whilst at the same time reducing waiting times.
the other unique feature of this highway is the ability to set tolls. Through this mechanism tolls can be freely modified, provided traffic levels are kept above a certain threshold. this allows the company to optimize revenues from the highway, by adjusting the toll fee to the time-saving experienced by users.
A decade on, and the results speak for themselves. Cintra has clearly been able to respond to the challenges posed by the introduction of operational improvements to optimize the efficiency of the highway while increasing the quality of service provided to users (as is clearly reflected in the improvement of the customer satisfaction surveys). The highway serves more than 300,000 users daily, who traveled more than 2,250 million kilometers in 2008.

Our operational performance at Heathrow Airport is improving. Punctuality is significantly better than it was a year ago and secu-rity queues no longer dominate terminal buildings and newspaper columns. Terminal 5 works well and regularly outperforms Euro-pean competitors in passenger surveys.
But we can do a lot better. A culture of continuous improvement, coupled with strong leadership which cares about every area of the airport -from check-in to immigration- will allow us to provide the standards of facilities and service that our passengers and airlines demand. Our philosophy is simple: make every passenger journey better than the last one.
The fabric of the airport is also changing, as we spend £1 billion a year on an exciting capital programme that will rebuild large parts of Heathrow.
The centre-piece of this investment is the new home for Star Allian-ce airlines – Terminal 2. This modern terminal will house 25 of the Star airlines under one roof, providing a significantly better expe-rience for passengers and airlines. The carbon footprint of Terminal 2 will be 40% smaller than the buildings it is replacing, putting Hea-throw at the forefront of global innovative airport infrastructure.
In the coming years we face many challenges, not least the lack of runway capacity that underlies many of our passengers’ frustra-tions, particularly delays and congestion.
Whatever happens, Heathrow remains an iconic part of our global industry and we are fortunate to be overseeing its wholesale mo-dernisation today, making every journey a better one and laying the foundations of the airport’s long-term success.

En el último número de “Inforvial” describía-
mos una de las infraestructuras inteligentes
más avanzadas del mundo: el puente St.
Anthony Falls de Minneapolis (EEUU). En
este número vamos a ampliar esta visión
describiendo cómo Ferrovial está en la van-
guardia de esta tendencia en numerosos
desarrollos e iniciativas en marcha.
“Las infraestructuras inteligentes son, con
diferencia, el mejor camino para crear nue-
vos puestos de trabajo competitivos a nivel
global y para estimular el crecimiento”, ha
dicho Samuel J. Palmisano, presidente de
IBM. Este asunto de estimular la economía
se ha convertido en el gran mantra y la ob-
sesión de los Gobiernos de todo el mundo,
más o menos afectados por la peor crisis
económica desde la postguerra. Muchas
Administraciones se han lanzado con un
impulso sin precedentes a gigantescos pla-
nes de infraestructuras, tanto en los países
más avanzados como en el Tercer Mundo.
Se perderá una oportunidad sin igual si en
estos planes no se incluyen tecnologías de
inteligencia, al menos básicas, que hagan el
proyecto más eficiente, más rápido de cons-
truir, más duradero y más sostenible.
Estamos inmersos en la economía del cono-
cimiento, que es un cambio de paradigma
producto del increíble desarrollo de la infor-
mática en las últimas décadas, de Internet y
del macrosector emergente de las TICs.
Durante los últimos 70 años, el objetivo bá-
sico ha sido mejorar la productividad de la
gente. Ahora, los informáticos y especialis-
tas se centran cada vez más en el potencial
de la tecnología para combatir las limitacio-
nes de los recursos del planeta: el agua, la

The open-access, all-electronic toll highway system makes it possible to handle large volumes of traffic without delays. Additionally, a dynamic tariff system eases and speeds up payments, avoiding penalization above a pre-established level.
A lane management model is applied here which, through both toll and toll-free lanes, reduces congestion and average journey times.
