This matter came before the Court for hearing pursuant to the Order of this Court, dated

March 18, 2005, on the application of the parties for approval of the settlement set forth in the

Stipulation and Agreement of Settlement (the "Stipulation") dated as of March 14, 2005 . Due

and adequate notice have been given to the Class as required in said Order, and the Court

having considered all papers filed and proceedings herein and otherwise being fully informed i n

the premises and good cause appearing therefore , IT IS HEREBY ORDERED, ADJUDGED

AND DECREED that :

I . This Judgment incorporates by reference the definitions in the Stipulation, an d

all terms used herein shall have the same meanings as set forth in the Stipulation .

2. This Court has jurisdiction over the subject matter of the Litigation, including al l

matters necessary to effectuate the Settlement, and over all parties to the Action, including Lead

Plaintiff the Florida State Board of Administration, all Members of the Class and th e

Defendants .

3. Pursuant to Rule 23 of the Federal Rules of Civil Procedure, this Cou rt cert ified a

Class of all Persons (other than those Persons who timely and validly requested exclusion from

the Class) who purchased or otherwise acquired the publicly traded common stock or call

options or sold put options of Applied Micro Circuits Corporation during the period November

13, 2000 through February 5, 2001, inclusive . Excluded from the Class are the Litigation

Defendants, members of the immediate families of the Litigation Defendants, any entity in

which any Litigation Defendants, members of the immediate families of the Litigation

Defendants, any entity in which any Litigation Defendant has a controlling interest, and th e

legal affiliates, representatives, heirs, controlling persons, and successors in interest or assigns

of any such excluded person .

4. Except as to any individual claim of those Persons (identified in Exhibit I hereto)

who have previously validly and timely requested exclusion from the Class, the Litigation and

all claims contained therein, as well as all of the Released Claims are dismissed with prejudic e

as to the Lead Plaintiff in the Litigation and as to all other Members of the Class, and as agains t

the Litigation Defendants and their Related Persons . The Released Claims do not include

claims for breach of the Stipulation. The Settling Parties are to bear their own costs, except as

I otherwise provided in the Stipulation .

5 . The Court finds that the Stipulation and settlement are fair, just, reasonable an d

adequate as to each of the Settling Parties, and that the Stipulation and Settlement are hereby

finally approved in all respects, and the Settling Parties are hereby directed to perform its terms ,

if the Settling Parties have not already done so .

6 . Upon the Effective Date hereof, the Lead Plaintiff and each of the Members o f

the Class shall be deemed to have, and by operation of this Judgment shall have, fully, finally,

and forever released, relinquished and discharged all Litigation Released Claims (as defined i n

the Stipulation) and any and all claims they have or may have arising from the conduct in or

relating to the defense, settlement or resolution of the Litigation against the Litigation

Defendants and their Related Persons, respectively, whether or not such Class Member execute s

and delivers the Proof of Claim and Release .

7 . All Class Members are hereby forever barred and enjoined from prosecuting th e

Litigation Released Claims against the Litigation Defendants and their Related Persons .

8 . Upon the Effective Date hereto, each of the Defendants shall be deemed to have,

and by operation of this Judgment shall have, fully, finally, and forever released, relinquished

and discharged each and all of the Members of the Class, the Lead Plaintiff and plaintiffs and

their counsel, including their agents, from all claims, known or unknown, relating to or arising

out of, or in connection with the institution, maintenance or prosecution of, or conduct in or

relating to the litigation, settlement or resolution of the Litigation .

9 . The Notices given to the Class were the best notice practicable under th e

I circumstances, including the individual notice to all Members of the Class who could be

identified through reasonable effort . Said notice provided the best notice practicable under the

circumstances of those proceedings and of the matters set forth therein, including the proposed

settlement set forth in the Stipulation, to all Persons entitled to such notice, and said notice fully

satisfied the requirements of Federal Rules of Civil Procedure 23 and the requirements of du e

process .

11 . Neither the Stipulation nor the settlement contained therein, nor any act

performed or document executed pursuant to or in furtherance of the Stipulation or the

Settlement : (a) is or may be deemed to be or may be used as an admission of, or evidence of,

any fault or omission of any of the Defendants and/or the Related Persons in any civil, criminal

or administrative proceeding in any court, administrative agency or other tribunal . To the extent

appropriate, Defendants and/or the Related Persons may file the Stipulation and/or Judgment i n

any action that may be brought against them in order to support a defense or counterclaim based

on principles of resjudicata, collateral estoppel, release, good faith settlement, judgment bar or

reduction or any theory of claim preclusion or issue preclusion or similar defense o r

counterclaim.

12. Without affecting the finality of this Judgment in any way, this Court hereby

retains continuing jurisdiction over : (a) implementation of this settlement and any award or

distribution of the Settlement Fund, including interest earned thereon ; (b) disposition of th e

Settlement Fund; (c) hearing and determining applications for attorneys' fees, interest and

expenses in the Action ; and (d) all parties hereto for the purpose of construing, enforcing and

administering the Stipulation .

13. The Court finds that during the course of Action, the Settling Parties and their

respective counsel including their agents at all times complied with the requirements of Federal

Rules of Civil Procedure l 1(b) .

14. In the event that the Settlement does not become effective in accordance with th e

terms of the Stipulation , then this Judgment shall be rendered null and void to -the extent

provided by and in accordance with the Stipulation and shall be vacated and, in such event, all

CLASS DEFINITION AND PARTIES

This is to notify you that there is now pending before the Honorable Judith N . Keep, United States District Judge, United StatesDistrict Court for the Southern District of Ca)ifomia, San Diego (the "Court"), a consolidated class action lawsuit (the "Action") that hasbeen brought on behalf of all persons and entities who purchased AMCC common stock or call options or said AMCC put options duringthe period of November 13, 2000 through and including February 5, 2001 (the "Class Period") against defendants AMCC and its officers,David M . Rickey, William E . Bendush, Douglas C . Spreng, Brent E . Little, Thomas L. Tullie, Vincent DeMaioribus, Candace H. Kilburn,Stephen M . Smith, Ramakrishna R . Sudireddy and Greg A . Winner and its director Roger A . Smuilen, Sr . (the "individual Defendants") .

On November 5 . 2001, the Court appointed the Florida State Board of Administration (the "Lead Plaintiff" or "FSBA") as lead

plaintiff in the Action . On July 15 . 2003, this Court certified the Action to proceed as a class action under Rule 23(a) and (b)(3) of theFederal Rules of Civil Procedure on behalf of the following class :

All persons and entities who, during the period November 13, 2000 through and including February 5, 2001, purchased or otherwiseacquired Applied Micro Circuits Corporation common stock or call options or sold AMCC put options, excluding the defendantsherein, members of the immediate family of the defendants, any entity in which any defendant has a controlling interest , and the legalaffiliates . representatives, heirs. controlling persons, successors, and predecessors in interest or assigns of any such excluded party .

BRIEF DESCRIPTION OF THE ACTION

On June 21 . 2002, Lead Plaintiff filed a First Amended Consolidated Class Action Complaint alleging, among other things , that duringthe Class Pe ri od defendants violated the federal securities laws by falsely portraying AMCC's then existing business condition , businessprospects and value and by failing to adequately disclose mate ri ally adverse information regarding AMCC when selling AMCC stock .

Lead Plaintiff contends that during the Class Period , defendants intentionally issued false and misleading statements to the effect thatAMCC's business was robust and that AMCC was not expe ri encing the same problems - reduced demand , order push- outs and canceledorders - as its competitors and custome rs . Lead Plaintiff also contends that at the same time that defendants were publicly making positivestatements , they knew but failed to timely or adequately disclose that mate ri al amounts of AMCC's customer contracts were beingcanceled , pushed-out or delayed, amid weakening or declining orders or demand and mate ri ally adverse t rends that were alre ady materially,end negatively affecting AMCC business and prospects . Meanwhile , duri ng the Class Period . the Individual Defendants collectively soldover 5100 million of their holdings in AMCC common stock . After AMCC publicly stated on February 5 . 2001 . among other things, that"on existing orders we have also seen some push -outs and cancellations in the past week", its common stock , once trading as high as$85 .25 per share during the Class Period, declined $ 9 .32 from its trading p rice immediately pri or to the announcement to close at $55 .06 pers hare on February 6, 2001 and declined further thereafter.

Lead Plaintiff seeks monetary damages an behalf of itself and all other plaintiffs and members of the Class . The amount of monetarydamages. if any, will be determined at trial .

Defendants deny that they engaged in any alleged wrongdoing . Defendants also raise several affirmative defenses including that theyacted in good faith and in conformity with all applicable federal securities laws. The Court has not ruled on the merits of Lead Plaintiff'sallegations or on the denials and defenses made by the defendants . BRIEF DESCRIPTION OF THE ACTION

On June 21 . 2002 . Lead Plaintiff filed a First Amended Consolidated Class Action Complaint alleging , among other things , that duringthe Class Period defendants violated the federal securities laws by falsely portraying AMCC' s then existing business condition, businessprospects and value and by failing to adequately disclose materially adverse information regarding AMCC when selling AMCC stock .

Lead Plaintiff contends that during the Class Period, defendants intentionally issued false and misleading statements to the effect thatAMCC's business was robust and that AMCC was not experiencing the same problems - reduced demand, order push -outs and canceledorders -. as its competitors and customers . Lead Plaintiff also contends that at the same time that defendants were publicly making positivestatements. they knew but failed to timely or adequately disclose that mate ri al amounts of AMCC's customer contracts were beingcanceled . pushed-out or delayed . amid weakening or declining orders or demand and materially adverse t re nds that were already materiallyand negatively affecting AMCC business and prospects . Meanwhile, during the Class Pe ri od , the Individual Defendants collectively soldover 51UQ million of their holdings in AMCC common stock . After AMCC publicly stated on February 5, 2001, among other things, that"on e .tisting orders we have also seen some push-outs and cancellations in the past week", its common stock, once trading as high asSH5 .2 per share during the Class Period, declined 59 .32 from its trading price im ;nediately prior to the announcement to close at 555 .06 pershare on February 6, 2001 and declined further thereafter.

BRIEF DESCRIPTION OF THE ACTION

On June 21 . 2002 . Lead Plaintiff filed a First Amended Consolidated Class Action Complaint alleging, among other things, that duringthe Class Period defendants violated the federal securities laws by falsely portraying AMCC's then existing business condition, businessprospects and value and by failing to adequately disclose materially adverse information regarding AMCC when selling AMCC stock .

Lead Plaintiff contends that during the Class Period, defendants intentionally issued false and misleading statements to the effect thatAMCC's business was robust and that AMCC was not experiencing the same problems - reduced demand, order push-outs and canceledorders - as its competitors and customers . Lead Plaintiff also contends that at the same time that defendants were publicly making positivestatements . they knew but failed to timely or adequately disclose that material amounts of AMCC's customer contracts were beingcanceled, pushed-out or delayed . amid weakening or declining orders or demand and materially adverse trends that were already materiallyand negatively affecting AMCC business and prospects. Meanwhile, during the Class Period, the Individual Defendants collectively soldover S 100 million of their holdings in AMCC common stock . After AMCC publicly stated on February 5, 2001 . among other things, that
