in Singapore. A high degree of uncertainty as to how tokens and token-related activities are to be

Introduction
BACKGROUND1.1
Bountie is a platform for gamers in Asia to make a living while playing their favorite games.By using the latest technology in Blockchain
and Cryptocurrency, our platform reduces the
chances of fraud and high transactional fees. This
in turn will open up a new experience in esports
and gaming.
4
01
Introduction
The future of gaming lies in competitions and tournaments. Blockchain is the perfect technology to use for this
Bountie Technologies started in Singapore in July 2017 to build an ultra high-tech platform for gamers to play tournaments and make an income in cryptocurrency. The motto, “Get Paid To Play” lays out a vision of the future where gamers can earn cryptocurrency on the Bountie platform by winning against their friends or other members of the public in game tournaments. Bountie wants gamers to be able to make a living solely from the income earned winning competitive games in tournaments – just as pro tennis or golf players live off of income earned participating in tournaments.
Bountie is not just a gaming platform. It creates an economy for gamers, which circulates tokens through an ecosystem that would also benefit shoutcasters, game referees, content creators, brand partners and merchants. Bountie’s vision did not originally set out to utilize blockchain technology, but the team decided to go down this path after considering 1) the mainstream adoption of cryptocurrencies; 2) the fully automated nature of smart contracts for processing results and sending cryptocurrencies; and 3) the increased trust and lower costs from the decentralization of the platform.
Bountie’s core product is in essence a bracket generator for organizing esports tournaments, and it pads on multiple high-tech features that are
described in detail below. Development is split into two phases: Phase 1 (due in Q3 2018) introducing a tournament platform with smart contract integration allowing users to pay registration fees and features a Ricardian contract for settlement of game outcomes; Phase 2 (due in Q4 2019) will include all the features listed in this whitepaper, notably Bountie’s proprietary matchmaking algorithm that takes gamers history, and precise data such as movement speeds into consideration, while matchmaking players with similar skillsets and aiming for a 50-50 calculated outcome of victory for either player. Bountie will also store these gamers data on the blockchain, thereby creating a “LinkedIn for gamers” – a profile showing a gamer’s various usage statistics, which can be used for esports purposes or for targeted advertising, wherein merchants can buy this coveted user data using Bountie tokens – a portion of which flows back to the gamers themselves.
The relationship between Bountie and the game developers works in two ways: in the first instance, Bountie would take a hands-off approach with the developer, to avoid any licensing requirements. Gamers can simply use Bountie’s platform for their entire gameplay experience, which includes, but is not limited to, the organizing and execution of tournaments as well as the safe settlement of tournament outcomes. This (non-) relationship to
5
01
Introduction
the game publishers will define Phase 1 of the project, and our business development team has already sourced tangible relationships with tournament organizers who will use this user-friendly application for organizing their tournaments. The second relationship with the game publishers is more high-tech, and involves building API connections together with the game publishers so that the game can be accessed and controlled directly from within the Bountie platform. From a business perspective though, the team’s internal research has found that while building access to the games code would be more convenient, it may not necessarily add more than marginal user satisfaction to the product.
Bountie is a decentralized app, although the majority use case for Bountie tokens revolves around its platform. The major core functionalities within the platform run on smart contracts, such as player registration fee, leaderboard pool split and referral programs. Due to the nature of esports, however, there is also an inherent need for centralized features such as refereeing (witnessing), which activates a separate set of procedures that come from the platform administrator. Bountie’s decentralization still benefits from reduced transaction fees and the use of Bountie tokens eliminates the problem of cross-border cryptocurrency transactions. The broader gaming ecosystem that Bountie sets out to create also propagates a token economy that allows gamers from anywhere in the world to buy, sell, earn and spend Bountie tokens on other non-tournament related items such as gaming accessories or industry services such as private shoutcasting.
Bountie tokens may be acquired via winning tournaments, purchasing on
exchange, reaching and maintaining a position on the Bountie leaderboard (there are weekly and monthly leaderboards), referral programs, unlocking trophies, producing content such as streaming and refereeing.
As a tournament platform in an industry that commonly faces issues like hacking, boosting and smurfing, preserving the integrity of the system is critical. Therefore the role of referee is central to match verification. In order to act as a Referee, users must enable Referee support for their account. Referee nodes are the curators of matches. They serve as the final gateway before matches and rewards are processed. The network of Referee nodes act as a decentralized proxy that has the ability to connect to game APIs and cross-refer game outcomes to ensure no false, fraudulent, or suspicious matches are being processed by the platform.
Upon opting to become a referee, a user will be added to the “Referee Pool”. At the start of each match, referees will be selected to keep track of the game’s results along with the system. The number of referees to be selected will be calculated based on the following factors:1. Pot size: More high-value matches will warrant more witnesses to ensure the integrity of the result2. MMR: Matches of more highly-ranked players will require more referees3. Match type: Tournaments get more referees in general, later matches in the tournament even more so
A referee’s probability of being selected to oversee a match is semi-
6
01
Introduction
random, as it is directly proportional to the amount of time he’s been available as a referee but not assigned a game to do “witnessing”. This will ensure that everyone who opts in will receive relatively similar benefits.
Rewards for refereeing a game will be taken directly out of the game’s “pot”, scaling from 1% (minimum) to 3% (maximum) depending on the game’s length. This reward will be split evenly between all of the match’s witnesses.
Overall, refereeing is a quality of life feature, intended as a highly scalable solution to providing a hack/fraud-free environment in Bountie, while also providing more people with passive income.
Ultimately, hosting tournaments is the key feature of the product. Bountie provides bracketing and seeding support for all popular tournament formats (round-robin, single elimination, double elimination, round-robin group + single/double elimination playoffs, etc.) Tournaments receive support from all standard Bountie features in addition to the following:
1. Tournament Matchmaking Ranking (MMR): Bountie provides a single source to consolidate tournament performance, a key metric to identify how a player performs on a competitive level. Spotting new talent has been a long-standing problem of competitive gaming, especially for team games. This is mostly due to:a. Big tournaments being dominated by established teams, against whom a single good, new player without a developed team will be hard-pressed to compete
b. Having no single source to capture player performance on small tournaments2. Public MMR integration: Convert tournament wins/losses into public MMR. Allow tournament participants to not have to sacrifice public MMR when they are competing in tournaments.3. Tournament sponsorship: Allow Bountie’s partners and/or players to sponsor tournaments.4. PR Support: Bountie helps to resolve the difficulty of small tournaments trying to gain traction by making themselves known to the player base and getting enough good players to compete.
Bountie’s Proprietary Matchmaking AlgorithmThe two main goals behind the development of the Matchmaking Ranking (MMR) are: 1. Finding equal matches: Players will be matched against those with skill level (MMR) as close to theirs as possible2. Decreasing queue times: Players will spend less time finding matches and more time actually playing
7
01
Introduction
As such, Bountie’s matchmaking system will start off trying to match the players against those of almost identical MMR level, and slowly widen the search range as the player spends more time in the “finding match” queue. The accepted MMR range will be as follows:
Griefing & User Reputation Point system“Griefing” can be a serious demotivator in online gaming, and may heavily affect post-game customer experience. Bountie can address this issue seriously via our post-game report system:
Each player is given 3 “Commend” and 3 “Report” flagging rights each day, which they may use on other players in the game after the game ends. These Commends and Reports will affect the player’s “Reputation Point” as follows:
New Reputation Points = Old RP –/+ (Number of Reports/Commends from current match)^2
These adjustments are made on a per-match basis, based on the assumption that if one report is likely a personal grudge, but multiple reports against the same person are exponentially more likely to be a griefer.
Reputation Points: What are the impacts? Not only will a player’s reputation points be publicly viewable, certain features on Bountie will also be unavailable for badly reputed players, namely:1. Tournament participation2. Special promotion packages (in-app micro transactions available only with Bountie tokens)
Players’ MMR - (3*t)
Min. MMR< Accepted MMR <
Players’ MMR + (3*t)
Max. MMR
Where t = the number of seconds the player has spent in the queue looking for a match.
Bountie’s various leader boards all employ standard chess ELO systems to calculate users’ ratings. The formulation is a little too complex to be included as part of this paper in detail, but a quick summary may be found below:
If Player A has a rating of RA and Player B a rating of RB, the exact formula (using the logistic curve) for the expected score of Player A is:
EA =1
1 + 10(RB - RA)/400
Similarly the expected score for Player B is:
EB =1
1 + 10(RA - RB)/400
Also note that EA + EB = 1. In practice, since the true strength of each player is unknown, the expected scores are calculated using the player’s current ratings.
https://en.wikipedia.org/wiki/Elo_rating_system

01
Introduction
Similarly, some promotions will be exclusive to players of a certain Reputation level, which Bountie hopes will courage competition and positive behavior. The Reputation level of players ties in to the overall rankings of the player as Bountie creates the “LinkedIn of Pro-Gaming”, combining the earlier mentioned player rankings with their Reputation scores.
Bountie will maintain leader boards that rank players based on a separate MMR number for each of them:
1. Monthly Leaderboard: Maintain a list of top performers for that month. Functions as a “season” of sorts, which will reset competitions, and keep things fresh2. Lifetime Leaderboard: Maintain a listing of players based on their lifetime MMR3. Tournament Leaderboard: Maintain a listing of players based on their tournament performance (especially useful as reference for the competitive scene)
Leaders of these boards will be given periodical (weekly, monthly, etc.) rewards for their high rank in various forms: special promotions, gifts, free Ping-zapping services, or even Bountie tokens.
Quality of LifePing-zapping supportBad ping has always been an issue that plagues players, especially those coming from South East Asia, South America & Oceania. The issue is
extremely pronounced for FPS (First-person shooting games) and MOBA (Multiplayer Online Battle Arena games), and even worse still for cross-region games. Bountie’s solution is to allow gamers to use Bountie tokens to pay for better ping.
There have been solutions to handle this issue, but unfortunately their penetration rate is not high. Bountie plans to partner up with these solution providers (WTFast, Ping Zapper, Battle Ping, etc.) and make this feature available to all Bountie players. This ensures the best gaming experience that is not yet provided by any other gaming platform.
Bountie is releasing its Minimum Viable Product (MVP) in June/July 2018. The pre-sale ICO is set to begin on September 23rd, and run four phases of sales lasting through to November 7th. Funds received during the ICO will be used in the following allocations:33.75% Development18.75% Marketing11.25% Security and Legal11.25% eSports Arena15% Partners 10% Team
Bountie is setting out to forever change the esports gaming landscape and make getting “Paid to Play” a reality for passionate gamers. The rest of the whitepaper below has been structured to present our business plan as clearly as possible in a break from the more academic writing tradition. PartnersBountie
Bountie wants to create a gaming ecosystem that revolves around the gamers, partners and Bountie itself. When we mention partners, we mean computer hardware companies like Logitech, ASUS, and Samsung, as well as game publishers and developers like Bluehole Studio (PlayerUnknown’s Battleground) and Valve Corporation (Dota 2).
Hardware companies can sell their products offline and online via Bountie’s platform directly to gamers seamlessly. Bountie can also handle sweepstakes and tournaments that allow players to win products.
Bountie will work closely with such partners to gather feedback on their products and games, create in-house content around them, and help publicize their products to target gamers and customers.
We aim to create an ecosystem where everyone needs everyone, with a strong network effect that strengthens as each element scales.

THE PROBLEM3.1
Gamers have limited ways to monetise their skills and time spent on playing games.
Professional bodies have trouble finding talented gamers because there is no centralized and detailed public platform which contains accurate gamer profiles, rankings, and stats.
The top 3% of the gaming community receives 90% of the investment and prize money in esports.
The increased number of jobs nowadays is made redundant due to automated systems and AI in the near future.
Most games have a short life span of 3 to 6 months. Gamers lose interest after completing a typical game.
The majority of gamers are fond of participating in esports. However, the current landscape is limited in competitions and avenues for non-professionals and elite professionals.

Bountie will give players a sense of instant gratification. Players pay a small fee to participate in competitive matches. They will then immediately receive earnings when they win these matches.
Because of technical and fraud prevention, Bountie will display “Pending Winnings” inside the winner’s wallet. The Bountie Tokens will only be transferred in a week when the match has been verified; whether it was won fair and square by the jury (which is either an admin from Bountie or a group of fellow gamers).
Bountie enables players to group up with friends and play their favourite games together. They can choose to go solo as well if they wish. In team-based matches, solo players will be grouped with other similarly-ranked players via matchmaking.
Players can earn Bountie Tokens by completing daily quests. Play 10 games, get 50 kills: basic objectives that can net you tokens quick. Share your results on social media too!

We aim to become a Software As A Service (SAAS) company for the gaming industry. We will do this by creating technology that will charge video game publisher a subscription fee in order to give them access to tournament-hosting services, gaming solutions, and unique APIs. The tournament API in particular would allow games from our client game publishers to be seamlessly linked to our platform. Additionally, the information that we pull from the games will be pushed to our comprehensive gamers profile which will also be available to the publishers.
Tournament API
This segment is Bountie’s biggest revenue generator. We will be taking a small transaction fee per tournament / match that we organize on our platform. This will be our biggest revenue generator because of the sheer scale of activity that will be seen on our platform. Scalability of our platform means that Bountie will be able to simultaneously host thousands of tournaments and earn fees from each one.

Bountie has plans for our approach to the e-commerce side of our platform. Bountie will incorporate a similar model to that of businesses like Lazada, whereby we will offer our users/gamers goods and services from a range of businesses and take a percentage from the vendors/brands that we integrate on to our platform. Our gamers will also be offered a rebate in the form of Bountie tokens, further incentivising them to make purchases on our platform, helping drive our partners’ sales.
Sales Commission
Bountie will be offering its very own products and in-game items on the platform. Our vision is that someday soon Bountie tokens will be the sole industry standard cryptocurrency in gaming. However, this vision does not end there - we see Bountie tokens being utilized to buy food (from vendors like UberEats), booking hotels, renting cars, buying hardware, and so on and so on. The possibilities are limitless.

and Bountie Tokens, as well as gain more exposure.
Bountie will also arrange meetups between brands and
esports organizations to help scout for potential talent.
Gamers may be good at what they do, but they
may not be familiar with how cryptocurrencies and
blockchain tech works. Bountie’s offline support will
be at the Esports Arena to assist them.
Our regional offices will be located in and within the
vicinity of the Esports Arena. We want to be as close
to the action as possible and also be close to our
community.
29
Bountie will be opening registrations for our very own Gaming Team in 2018Gamers who wish to play and train full-time can join our
team.
Our development plans for this include organizing random matchup battles against the Bountie Gaming Team. The rewards for the match will double up and an additional Bountie amount will be given to the team who wins.
The Bountie Gaming Team will be sponsored fully to take part in worldwide Dota 2 and Counter-Strike: Global Offensive esports tournaments.
We also have plans to work with game developers to create games in 2018 that are competitive, skill-based, and fun. This will ensure that Bountie has control over the direction for its portfolio of supported games and developed games.

6.2 TOKEN & SMART CONTRACTS
Bountie is implementing smart contracts on our Token sales, as well as platform functionalities like player registration fee, leaderboard pool split, pool-to-platform split, and referral programs for a start.
The use of smart contract will allow Bountie to take advantage of the security that
the Ethereum protocol provides without having the technical complexity to monitor and execute the conditional logic needed for the above transactions.
These transactions would then be verifiable via the blockchains. This makes fraud and tampering impossible.
Bountie Tokens will be created using Ethereum’s ERC20 Token Standard as it enables us to control our Tokens in a formalized and standardised manner. We will be using its functions to issue, distribute, and control the Bountie Tokens.

6.2 STORING GAMER PROFILES ON THE BLOCKCHAIN
Bountie is building a “LinkedIn for Gamers” that will revolutionize gamer profiling for the next generation.
When he was younger, Bountie’s CEO Lex used to spend countless hours playing Warcraft III. Lex quickly found himself ranked 8th in the world, while boasting an extremely impressive 80-90% win rate over thousands of games played. Now here’s the problem, fast forward 15 years, Lex is a working professional with no way of accessing his stellar Warcraft III profile, or any of the associated stats for that matter.
Imagine having not only your gaming history but that of others all around the world, regardless of what games or on what platform they play, right at your fingertips and easily accessed through cutting-edge blockchain technology. This is Bountie’s vision. In short, Bountie are creating a LinkedIn for Gamers.
Currently, tech giants like Facebook and Google, hold an inconceivable amount of data, and power as a result, in their hands. These corporations are able to access the data of billions of users in order to use them
for their own benefits. Bountie wants to empower gamers to hold the keys to their profiles and set their own level of privacy, while simultaneously allowing other people around the world access to whatever data is public, as it is stored on a decentralized blockchain.
Bountie believes that the knock-on effects of this new system will have huge implications for virtually everyone! To list a few ways in which Bountie envisions the impact of this system: it will allow professional teams to find their potential team members much more easily, it will allow gamers to find prospective partners or sponsors, and most importantly it will allow for advertisers to utilize a sophisticated level of micro-targeting unlike anything Bountie have seen.

POTENTIAL RISK FACTORS RELATING TO PURCHASE, SALE, AND USE OF BOUNTIE TOKENS
i
By purchasing, owning, and using Bountie Tokens, you expressly acknowledge and assume the following risks:
1. GENERAL SUITABILITY OF TOKEN PURCHASEThe Company advises that the purchase of tokens should be undertaken by financially sophisticated
persons who are capable of evaluating the merits and risks of such a purchase, or other persons who
have undertaken advice from professional persons with regard to token purchase, and who have
sufficient financial resources to be able to bear any losses that may arise therefrom (which can be
equal to the whole amount spent with regard to the token purchase). Such a purchase should not be
regarded as a financial asset or an investment.
2. RISK OF LOSING ACCESS TO TOKENS DUE TO LOSS OF PRIVATE KEY(S), CUSTODIALERROR OR PURCHASER ERRORA private key, or combination of private keys, is required in order to be able to control and dispose
any, or all, tokens stored in your digital wallet(s) or vault. As such, the loss of said private key(s) linked
to your digital wallet(s) or vault (storing such tokens) will result in the loss of the tokens. Moreover, it
should be common knowledge that any third party that gains access to the aforementioned private
key(s), including by gaining access to login credentials of a hosted wallet service you use, may be
able to misappropriate your tokens. Any errors or malfunctions caused by or otherwise related to
the digital or vault you choose to receive and store tokens, including your own failure to correctly
maintain or use said digital wallet(s) or vault, may also result in the loss of your tokens. Additionally,
your failure to accurately follow the procedures set forth for buying and receiving tokens, including,
for instance, providing the wrong address for Purchaser Address, or an address that is not ERC-20
compatible, may ultimately result in the loss of your tokens.
3. RISK ASSOCIATED WITH THE ETHEREUM PROTOCOLDue to the nature of the tokens and the Platform being based on the Ethereum protocol, any
malfunction, breakdown, or abandonment of the Ethereum protocol may have a substantial adverse
effect on the tokens or Platform. Furthermore, any advances in cryptography, or related technical
advancements such as the development of quantum computing, could potentially present risks
to the tokens and the Platform, including, but not limited to, the utility of the tokens for obtaining
services, by rendering the cryptographic consensus mechanism that underpins the Ethereum
protocol as ineffective.
4. RISK OF MINING ATTACKSAs is the case with other decentralized cryptographic tokens based on the Ethereum protocol,
tokens are prone to attacks by miners in the course of validating token transactions on the Ethereum
blockchain, including, but not limited, to double-spending attacks, majority mining power attacks,
and selfish-mining attacks. Any successful attacks present a potential risk to the Platform and the
tokens, including, but not limited to, the accurate recording and execution of transactions involving
the tokens.
5. RISK OF HACKING AND SECURITY WEAKNESSESHackers or other malicious individuals/groups/organizations may attempt to interfere with the
Platform or the tokens in a variety of ways, including, but not limited to, malware attacks, denial of
service attacks, consensus-based attacks, Sybil attacks, smurfing and spoofing. Additionally, as the
nature of the Platform is such that it is based on open-source software, there is that a third party or
a member of the Company team may intentionally or unintentionally introduce weaknesses into
the core infrastructure of the Platform, which carries the potential to negatively affect the Platform
and the tokens, including the utility of the tokens for obtaining goods and services. That being said,
hackers, or other malicious individuals/groups/organizations, may also attempt to obtain access to
private keys or other access credentials in the Wallet or any other wallet, vault, or other storage
mechanism that is used to receive and hold tokens. This would result in the tokens being lost forever.
6. RISK OF UNINSURED LOSSESTokens are uninsured unless one specifically obtains private insurance as a measure of protection.
Thus, in the event of loss or loss of utility value, there is no acting public insurer, such as the Federal
Deposit Insurance Corporation, or private insurance arranged by Bountie Technologies Pte Ltd, to
offer recourse to you.
7. RISK ASSOCIATED WITH UNCERTAIN REGULATIONS As of the current date of this document, the regulatory status of the tokens and distributed ledger
technology is unclear or unsettled in many jurisdictions. As such, it is difficult to predict how or
whether regulatory agencies may apply existing regulation with respect to such technology and
its applications, including the Platform and the tokens. Likewise, it is difficult to predict whether or
how legislatures or regulatory agencies may implement changes to law and regulation affecting
distributed ledger technology and its applications, including the Platform and the tokens. Regulatory
actions could negatively impact the Platform and the tokens in various ways, including, for purposes
of illustration only, through a determination that the purchase, sale and delivery of the Tokens
constitutes unlawful activity or that the tokens are a regulated instrument that require registration
or licensing of those instruments or some or all of the parties involved in the purchase, sale and
delivery thereof. Should the laws change within a jurisdiction, such that it is now illegal to operate
in the jurisdiction, the company may cease all operations with respect to the regulatory actions.
8. RISK ARISING FROM TAXATION Presently, the tax characterization of tokens is the subject of hot debate, making their future status
uncertain. We implore you to seek your own tax advice when purchasing tokens. Failure to do so
may result in adverse tax consequences to you, including, and not limited to, withholding taxes,
income taxes and tax reporting requirements. Furthermore, the proceeds of the token sale (including
any money that the purchaser has paid for the tokens) may be taxable to the Company, which may
adversely affect the financial resources available to the Company, the Company’s business and the
Company’s ability to achieve its business objectives.
9. RISK OF COMPETING PLATFORMS It is within the realm of possibility that alternative Platforms could be established, which utilize the
same open source code and protocol underlying the Platform and attempt to facilitate services that
are materially similar to the Services. The Platform may compete with these alternatives; however, it
should be known that this could negatively impact the Platform and tokens, including the utility of
the tokens for obtaining Services.
10. RISK OF INSUFFICIENT INTEREST IN THE PLATFORM OR DISTRIBUTED APPLICATIONS It is possible that the Platform will not be adopted and sued by a large number of individuals,
companies and other entities or that there will be limited public interest in general regarding the
creation and development of the Platform, or distributed Platforms. This lack of interest or use
could negatively impact the development of the Platform and thus the potential utility of the
token, including the utility of the tokens for obtaining Services.
11. RISK ASSOCIATED WITH THE DEVELOPMENT AND MAINTENANCE OF THE PLATFORM While the Platform is still in its early development, it should be noted that it may undergo
significant changes over time from its original state. Although the Company intends for the
tokens and Platform to function as described and intends to take commercially reasonable steps
toward those ends, the Company may have to make changes to the specifications of the tokens
or Platform for any number of legitimate reasons. Furthermore, the Company has no control over
how other participants will use the platform, what third party products or services will be offered
through the platform, or how third party products and services will utilize the tokens. Therein
creating the possibility that the tokens or Platform, as further developed and maintained, may
not meet your expectations at the time of purchase. Moreover, despite the Company’s good faith
efforts to develop and participate in the Platform, it is still possible that the Platform will experience
malfunctions or otherwise fail to be adequately developed or maintained, which could negatively
affect the Platform and tokens, and the potential utility of the tokens, including the utility of said
tokens to obtain Services.
i
12. RISK OF AN UNFAVORABLE FLUCTUATION OF ETH, BTC OR OTHER COIN VALUE The fluctuation in values of ETH, BTC, or other coins, is out of the hands of the Company. Should
the value of said coins fluctuate unfavourably during or after the token sale, the Company may
not be able to fund development, or may not be able to develop or maintain the Platform in the
manner that it intended. Aside from regular market forces, there are several potential events which
could exacerbate the risk of unfavourable fluctuation in the value of ETH, BTC, or other coins,
including another DAO-like attack on the Ethereum network, or other significantly impactful
security incidents or market irregularities at one or more of the major cryptocurrency exchanges.
13. RISK OF AN UNFAVORABLE FLUCTUATION OF ETH, BTC OR OTHER COIN VALUE It is possible that, due to any number of reasons, including, but not limited to, an unfavourable
fluctuation in the value of ETH, BTC or ICOCOIN (or other cryptographic and fiat currencies),
decrease in the tokens’ utility (including their utility for obtaining Services), the failure of commercial
relationships, or intellectual property ownership challenges, the Platform may no longer be viable
to operate or the Company may dissolve.
14. RISK ARISING FROM LACK OF GOVERNANCE RIGHTS All decisions involving the Company’s products or services within the Platform or the Company
itself will be made by the Company at its sole discretion, as the tokens confer no governance rights
of any kind with respect to the Platform or the Company. These decisions include, but are not
limited to, decisions to discontinue its products or services in the Platform or to sell or liquidate the
Company. These decisions could adversely affect the Platform and the utility of any tokens you
own, including their utility for obtaining services.
15. REGULATORY RISKSThe Company, and by extension the Platform, is subject to a variety of federal, state and
international laws and regulations, including those with respect to privacy and data protection,
consumer protection, data security, and others. These laws and regulations, and the interpretation
or application of these laws and regulations, could change. In addition, new laws or regulations
affecting the Platform could be enacted, which could impact the utility of the Tokens in the
Platform. Additionally, the Platform participants are subject to industry specific laws and regulations
or licensing requirements. If any of these parties fails to comply with any of these licensing
requirements or other applicable laws or regulations, or if such laws and regulations or licensing
requirements become more stringent or are otherwise expanded, it could adversely impact the
Platform and the Tokens, including the Tokens’ utility for obtaining Services.
Also, changes in laws or regulations governing the Company’s operations may adversely affect its
business. Any change in the Company’s tax status, or in taxation legislation in the United States or
elsewhere, could affect the value of its financial holdings, its business and the Company’s ability to
achieve its business objective. Prospective purchasers are urged to consult their tax advisers with
respect to their particular tax situations and the tax effects of the purchase of Tokens from the
Company.
16. OPERATIONAL RISKSIt is essential to understand that the Company is a young company, and that the growth of the
team and its capabilities may take longer than expected to result in the intended usefulness for
the tokens. The wide adoption of our tokens and Platform may take longer than expected as the
tokens are just one product in a highly competitive market. The usefulness of the tokens depends
on the extent of widespread adoption of the offered technology by the marketplace.
17. RISK OF LACK OF ADOPTIONThe success of the Platform, and its tokens, is dependent largely on the adoption of the Platform,
Services, and underlying technology by users. It is possible that users do not adopt or use the
Platform, which could negatively impact the development of the Platform and therefore the
potential utility of the tokens, including the utility of the tokens for obtaining services.
18. TECHNOLOGY RISKSThe Company, and its tokens, is operating in a space that is dependent on emerging technologies,
whose capabilities have not fully been defined yet. As the technology matures, new capabilities
may dramatically alter the usefulness of the tokens or the ability to use or sell them. The
functionality of the tokens is complex, will require enhancements and product support over time;
thus, full functionality may take longer than expected. The full functionality of the tokens is not yet
complete and no assurance can be provided of such completion.
