New York State is home to many distinct regions. From the tip of Long Island, across the five boroughs of New York City, through the historic State Capitol in Albany, west past the breathtaking Niagara Falls and north along the Canadian border to Plattsburgh, each enjoys unique economic strengths and face individual challenges, but all share the same top priority —jobs, jobs, jobs.

Nooneknowshowtocreatejobsandmeetlocaleconomicneedsbetterthanthepeoplewholiveandworkineachregion.ThatiswhyGovernorAndrewCuomocreatedthetenRegionalEconomicDevelopmentCouncils.

Inthepast,Albanyimposedatop-downapproachtoeconomicdevelopmentthatleftNewYork’sregionsisolatedandwithoutacoordinatedmechanismforgrowth.InJuly2011,theRegionalCouncilsbegantheshiftfromthisoldmodeltoacommunity-based,performance-drivenapproachwhichempoweredregionstodeveloptheirownstrategiesforjobcreationandbusinessgrowthandwhichalignedStateagencyresourceswiththeachievementofthoseregionalgoals.

EachRegionalCouncilincludesmembersfromlocalbusiness,academia,communityandnot-for-profitorganizations.TogetherwithrepresentativesofkeyStateagencies,thispublic-privatepartnershipembarkedonastrategicplanningprocesstoidentifyprojectsandprioritiesthatleverageinvestment,attractbusiness,andcreatejobs.

Byallaccounts,theenthusiasm,engagementandparticipationfosteredbytheRegionalCouncilprocessexceededexpectations.Injustfourshortmonths,onanincrediblytightschedule,theRegionalCouncilsdevelopedstrategicplansandidentifiedPriorityProjectswithinputfromabroadspectrumofstakeholders,takingintoaccounteachregion’suniquestrengthsandweaknesses.Thesestrategicplansserveasfive-yearroadmapsguidingeachregiontowarditseconomicvisionandwillevolveandexpandovertime.

TheregionalapproachalsomarksafundamentalshiftinthewaytheStateallocatesresources.TheConsolidatedFundingApplication(CFA)processreplacedmultipleapplicationsforeconomicdevelopmentprojectswithasingleapplicationfornearly$1billioninStateeconomicdevelopmentresourcesfromnumerousStateagencies.Inthepast,applicantsseekingfundinghadtonavigatedozensofagencieswithoutanymechanismforcoordination.TheCFAsuccessfullyfunctionedasthesingleentrypointforover2,500applicantsinthefirstroundoftheRegionalCouncilinitiative,streamlinedtheapplicationprocessandinstitutionalizedtheroleoftheRegionalCouncilsinidentifyingprioritiesforStateresources.

In2012,theRegionalCouncilswillcontinuetoadvisetheStateandwillbuildontheenthusiasmandmomentumgeneratedthesepastmonthsandbegintoimplementthestrategiestostimulategrowthineveryregionandimprovethebusinessclimatestatewide.Asdriversforeconomicdevelopment,theRegionalCouncilswillworkwithprivateandnonprofitsectors,localgovernmentsandStateagencyteamstoimplementtheirstrategies,harnesslocalexpertiseandempowercommunitiestostimulateregionaldevelopmentandcreatejobsstatewide.

Regional Council Organization Membership and Work Groups

RegionalCouncilmembershipisdrawnfromabroadspectrumofregionalstakeholdersrepresentingprivatebusiness,includingsmallbusinesses;minority-andwomen-ownedbusinessenterprises(MWBEs);non-profitorganizations;chambersofcommerceandtradeorganizations;organizedlabor;highereducation;community-basedorganizations;andtheagriculturalcommunity.Memberseachservetwo-yearterms.

TheNewYorkStateAssemblySpeakerandSenateMajorityLeadereachappointonevotingmembertoeveryRegionalCouncil.AllotherStatelegislatorsserveasnon-voting,ex-officiomembersandareencouragedtoparticipateinthediscussionsandplanningprocess.Countyandlocalofficialscontinuetoserveasex-officiomembersoftheRegionalCouncils.

County & Local Officials

For the New York City region, members include:

• The president of each borough, or his or her representative

• One representative appointed by the Mayor of the City of New York.

For Long Island, members include:

• The chief executive of each county, or his or her representative

• The chief executive of the two largest towns within each county, or his or her representative.

For all other regions, members include:

• The chief executive or supervisor of each county or his or her representative

• The chief executive or supervisor of the three municipalities with the largest population, or his or her representative (limit one municipal representative per county).

Workgroupsplayedanintegralroleinthedevelopmentofthestrategicplans.Membersprovidedsubjectmatterexpertiseandallowedforabroaderrangeofinputfromregionalstakeholdersacrossindustries,geographies,communitiesandinterestgroups.RegionalCouncilsareencouragedtocontinuetoengageexistingornewworkgroupsthatcanassistintheimplementationprocess.

Code of Conduct

TheRegionalCouncilsserveinanadvisorycapacitytotheState,buttransparencyandaccountabilityremainatoppriority.Membersallhaveaninteresttheeconomicdevelopmentoftheirregionandoccasionalconflictsmayarisebetweenmembers’interestsandtheiradvisoryroleontheCouncil.Toaddresstheseissues,aCodeofConducthasbeenestablishedtoensurenoconflictinterfereswithanymemberactinginthebestinterestofallNewYorkers.Inaddition,allmembersarerequiredtoparticipateinethicstrainingandrecusethemselvesfromdeliberationsregardinganyprojectormatterinwhichtheyhaveanactualorpotentialconflict.

2011 CompetitionRegional Strategic Planning Process

TosupporttheRegionalCouncilinitiative,GovernorCuomomadenearly$1billioninStateresourcesavailablein2011,including$200millionintargetedeconomicdevelopmentfundstoincentivizethestrategicplanningprocessandjump-startprojectactivity:

• $130millionfromtheRegionalEconomicDevelopmentProjectscapitalfund

• $70millionintaxcreditsfromtheExcelsiorJobsProgram

RegionalCouncilscompetedforStateresourcesthroughthecreationofregionalstrategicplansthatweretheproductofmonthsofintenselaborbyRegionalCouncilmembersandinputfromthepublic.AspartoftheRegionalCouncilmodel’sunprecedentedlevelofpublicparticipation,thestrategicplanningprocessincludedpublicmeetings,forumsandcommunityworkshopsacrosstheState,wherethousandsofNewYorkershadauniqueopportunitytomakesuretheirvisionforeconomicgrowthwasreflectedinthefinalstrategicplans.

Additionally,dozensofworkgroupswereformedtoengageindividualswithsubjectmatterexpertisetohelpcraftthestrategicplansandidentifycoreindustryclusterstodrivelocaleconomicopportunities.Asoneofthekeystodevelopingasuccessfulstrategicplan,eachRegionalCouncilestablishedinnovativecollaborationstoprovideastrongfoundationtoidentifyandadvanceregionalPriorityProjects.

InNovember2011,eachofthetenRegionalEconomicDevelopmentCouncilssubmittedfive-yearstrategicplanstoGovernorCuomothatrepresentacommunity-driven,comprehensive,holisticapproachtoeconomicdevelopmentfortheirregions.TheseplanswerereviewedbyaStrategicPlanReviewCommitteeusingestablishedcriteria.

ThemembershipoftheStrategicPlanReviewCommitteeincludedexpertsfromtheprivateandpublicsectorsaswellasacademia,eachofwhomhasyearsofexperienceworkingonStateandnationaleconomicdevelopmentprojectsandplanning.

• AlloftheRegionalCouncilsundertookthestrategicplanningeffortwithatremendoussenseofurgencyandfocus.Announcedduringatimeofseverenationalandglobaleconomicchallenge,theRegionalCouncilinitiativewasembracedasNewYork’sboldplanforsuccess.

• Eachplansoughttomaximizetheregion’sstrengthswhileaddressingweaknesses,andeachofferedarealisticvisionforfuturegrowthandablueprintforjobcreationintheregion.

Western New York

“AStrategyforProsperityinWesternNewYork”demonstratesanenthusiasticcommitmenttoinclusivenessintheRegion’seconomicresurgence.Theplandrawsacompellingconnectionamongasoundeducation,targetedtrainingandjobopportunitiesforminorityyouth.Theplanalsoadvancesasolidstrategyforsmartgrowthinvestmentthatwillhelptorevitalizeurbancoresandattractprivateinvestment.Theregion’scommitmenttoaholisticapproachtodowntownrevitalizationisacentralanddistinctiveelementofitsplan.Inaddition,theplanidentifiedeightindustrysectorsasstrategictotheregion’sgrowth:healthandlifesciences,advancedmanufacturing,energy,highereducation,professionalservices,agriculture,bi-nationallogisticsandtourism.AswiththeNorthCountry,WesternNewYorkrecognizesandseekstoexploitthelinkagebetweentheCanadianeconomyanditsown.

Finger Lakes

TheFingerLakesregionprovidesaplantoaccelerateitstransformationtoadiverse,knowledge-basedeconomybybuildingonstrengthssuchasitssuccessfulhistoryofcollaborationbetweenpublicandprivateinstitutionsinordertobecomeanationalleaderininnovationandcommercializationofideas.Theregionputsforthprojectsinareassuchasrenewableenergyandtechnologyinnovation,sectorswhichdirectlyconnecttoitsstrategicgoals.Thestrategicplanrecognizesandbuildsontheregion’ssignificantnaturalresources,atalentedandeducatedworkforce,andacommitmenttoinnovationandphilanthropy.Italsohighlightsthearea’sstandingastheState’stopagriculturalregion.

Southern Tier

TheSouthernTier’sstrategicplanpresentsaclearvisionthatstrikesabalancebetweenahightecheconomy,groundedinhighereducationandlargeremployers,andtheappealsofsmall-townlife.Theplanprovidesacomprehensivereviewoftheregion’sstrengthsandweaknesses.Itidentifiesstrategiestomaketheregionaleaderinrenewableenergytechnology,strengthenitstransportationtechnologyandmanufacturingsector,integratehealthcareandhighereducation,andrevitalizeitsruralfarmandforest-basedeconomy. 

Central New York

TheCentralNewYorkplanembracestheregion’ssocio-economicdiversityandproposesspecificmeasurestoenhancethequalityoflifeandtheeconomicpotentialofthoseliving,workingandlearningintheregion’surbancore.Theplanproposescommunityrevitalizationbybuildinguponpartnershipsbetweenanchorinstitutionsanddiversebusinesses,repurposingexistingurbanassetsthroughadaptivereuse,andaligninghigh-demandcareerswithworkforcetraining.Italsoplacesaspecialfocusonimprovingcompetitivenessinandconnectionstotheregional,nationalandglobaleconomiesbystrengtheningtargetedindustryconcentrationsthatleveragetheregion’suniqueeconomicassets,andthroughstrategiestopromoteentrepreneurship,smallbusinessdevelopmentandworkforcetraining.

Mohawk Valley

TheMohawkValleyplanleveragestheregion’sassetsandeconomicheritagetocreateacohesiveregionalnetworkoftechnologicalinnovation,multi-modaltransportation,andcommunityrevitalization. Theplanisdesignedtopromotetheregion’sbusinesses,growthpotential,employmentconcentrations,workforceskills,andexpandthedevelopmentofnewproducts,services,andtechnologies.

TheNorthCountry’splanisthefirst-evercollaborativeregionaleconomicdevelopmenteffortinthelargestgeographicareainthecompetition.ItincludesasophisticatedexplicationoftheintegrationoftheCanadianandNorthCountryeconomies,anditmakesapowerfulstatementofsupportforbroadbandaccessasakeytogrowingsmallbusinessthroughouttheregion.Thisroadmapwillattractprivateinvestment,promoteandfacilitateconnectivityamongcommunities,andcreateaclimatethatwillallowentrepreneurstoflourishwhilecontinuingtoprotectitsnaturalresources.Itputsforthwaystoachieveitsvisionbycapitalizingontheregion’snaturalassets,talentedlaborpool,andentrepreneurialpopulation. 

Capital Region

TheCapitalRegion’splanidentifiesbroadgoalsthatleveragethearea’srobustresearchcapacityandrevitalizesurbancenters.Theplanpromotessuccessbymaximizingtheregion’scorestrengthsineducation,research,technologyandadvancedmanufacturing,whilehighlightingitsnaturalresourceassets.Itseekstorevitalizeurbancenters,attractvisitorsandnewresidentsandbusinessesbypositioningitsnaturalenvironment,history,andartsandcultureheritageasbeaconsfortheregion.

TheMid-Hudson’sstrategicplanstressesitsuniquelocationnorthofNewYorkCityandsouthandeastofNewYork’supstatecounties,anditrecognizestheskillsofitscitizensandhighqualityoflifeasassetsforfutureeconomicdevelopment.Theplanestablishesacogentstrategyforexpandingtheregion’sbiomedicalcapacityandseekstotargetinvestmentsintheregion’sdevelopingtechnology-basedindustriessuchashigh-techmanufacturingandinformationtechnology.

New York City

NewYorkCity’sstrategicplanfocusesonacceleratingeconomicgrowthandjobcreationbybuildingonthecity’sstrengths,whileensuringthatlowerincomecommunitiesandpopulationshavegreateropportunitiestoparticipateinthebenefitsofgrowth.Theplansupportstheprominentindustriesandlargeinstitutionsthatanchorthecity’seconomy,whileexpandingcollaborationwithotherregionsacrosstheStatetobuildnewindustryclusters.

Long Island

TheLongIslandRegionalCouncil’shonestappraisalofitsconditionledtoitscommitmenttotransformlow-incomeminoritycommunities.Theplan’suseofthesmartgrowthprincipleoftransit-orienteddevelopmenttoshiftfromasprawlingdevelopmentpatterntoonethatfocusesondowntownrevitalizationpositionstheregionwellforsustainabledevelopment.Simultaneously,itoffersLongIsland’sexistingdowntownsamuch-neededfaceliftthatwillprovideasignificanteconomicstimulusacrosstheregion.Theprimarystrategyistogrowtheadvancedmanufacturingbasewhileencouraginginnovationinfiveindustryclusters.

Competitive Regional Economic Development Resources

ToencouragetheimplementationoftheRegionalEconomicDevelopmentCouncils’strategicplansandtocontinuetomotivateinvestmentopportunitiesandjobcreation,theRegionalCouncilswillcompetein2012forupto$150millionincapitalfundsand$70millioninExcelsiorTaxCreditsforprojectsidentifiedbytheRegionalCouncilsasprioritiesintheirregions.

Byincentivizingimplementationofthestrategicplans,RegionalCouncilsandstakeholdergroupslikebusinesses,educationinstitution,localgovernments,andnot-for-profitgroupsarefurthermotivatedtoworktogethertoaccomplishtheregionalvision.Whileprojectfundingwillbeawardedinall10RegionalCouncilsthroughthesecondroundoftheCFA,thecompetitionplacesemphasisonRegionalCouncilperformanceandactiontoimplementstrategies.EncouraginggenuinecooperationamongtheRegionalCouncilsandrepresentativesofthecommunityiskeytoachievingeconomicdevelopmentsuccess.

Fiveawardsof$25millionwillbemade.Thecompetitionwillbesplitintwoparts:

• First,thefourregionswiththe2011BestPlanswillcompetefortwoawardsofupto$25millioneachincapitalfunds.AwardswillbemadebasedontheprogresstheRegionalCouncilshavemadeimplementingtheirstrategiesandevolutionoftheirstrategicplansincludinganyrevisionsorupdates.

• Second,theremainingsixregionswillcompeteforthreeawardsofupto$25millioneachincapitalfunds.Awardswillbemadebasedontheregions’revisedandupdatedstrategicplansandprogressmadeimplementingtheirstrategies.

Thebalanceofthe$25millionincapitalfundswillbedividedamongtheremainingregions.Eachregionwillalsobeeligibleforupto$10millioninExcelsiorTaxCreditstohelpattractandgrowbusinessintheregion.

Establish a Framework to Advance Plans

Toensureeffectiveimplementationofeachstrategicplan,theRegionalCouncilswillneedtosetthestrategicplansinmotion.Alreadyunderway,stepsincludetheformationofanExecutiveCommitteefortimelydecisionmaking;reviewandrevisionofworkgroupsandthemembership;reviewandupdatingofPriorityProjectselectioncriteria;andcreatingaPriorityProjectpipeline.

NowthattheRegionalCouncilshavecommittedtostrategicplansforeconomicgrowthandjobcreation,thenextstepistoimplementthestrategicplans.

RegionalCouncilsshouldidentifythestrategiestheywillpursuein2012through2013andreviewtheImplementationAgendasubmittedwiththeirinitial5-yearstrategicplanstoensureallnecessaryactionsarebeingtakentoimplementthestrategies.Theywillclarifywhatactionsmustbetaken,thetimelineforcompletingtheaction,andwhowillberesponsibleformakingsuretheactiongetstakenandprogressismeasured.

Create a Project Pipeline

In2012,RegionalCouncilsshouldidentifypriorityprojectstocompeteforthecapitalfundsandExcelsiortaxcreditsinthecompetitiveround.RegionalCouncilsshouldcontinuetoconsultwithbusinessandcommunityleadersinthetargetedindustriesandeconomicsectorstoidentifynewprojectideasorthenextphaseofprojectsandactions.

Report on Progress

InSeptember2012,eachRegionalCouncilwillreportonprogressmadeimplementingitsstrategicplan.ThisreportshoulddescribethesignificantaccomplishmentstheRegionalCouncilhasmadeadvancingitsstrategiesthroughtheactionsithastaken.

ByexaminingandreportingonprogressontheImplementationAgenda,aRegionalCouncilwillbeabletodeterminewhetheritsplanishavingthedesiredeffect,andwhetheritneedstomodifyitsstrategiestobetterachieveitsvision.

Engaging Stakeholders and the Public in Implementation

Duringthedevelopmentofstrategicplans,RegionalCouncilsusedvariousmethodstogarnerpublicinputandtogaugepublicreactionstodraftportionsoftheplan.Theyengagedstakeholdersinworkgroups,soughtideasviatheirwebsitesandsocialmediatools,andheldpublicforums.

NowthatRegionalCouncilshaveadoptedtheirplans,theyshouldcontinuethedialoguewiththepublic,businesscommunity,not-for-profits,andlocal,Stateandfederalagencies.Throughthisdialogue,RegionalCouncilsshouldbuildplansupport,solicitfeedbackandnewideas,promotetheprojectpipeline,andleverageimplementationassistance.  

EachRegionalCouncilshouldbuilduponthepublicparticipationstrategyitusedwhendevelopingitsinitialplan,andcontinuetofindcreativewaystotrulyengagethepublic.AstheworkoftheRegionalCouncilexpandsintoimplementation,therewillbeopportunitiestoinvolvegreaternumbersofstakeholders,reachnewconstituenciesandengendergreaterregionalownership.Forexample,peoplefromlabororacademicorganizationscouldjoinwithlocalworkforceinvestmentboardstodeveloptrainingtargetedatspecificskills.MainStreetbusinessownerscanjointogethertoundertakefacadeimprovementsaspartoftheefforttorevitalizedowntowns.

Consolidated Funding ApplicationAspartofGovernorCuomo’seffortstoredesignthewayState

governmentsupportseconomicdevelopment,theConsolidatedFundingApplication(CFA)wascreatedin2011togiveeconomicdevelopmentprojectapplicantsexpeditedandstreamlinedaccesstoacombinedpoolofgrantmoneyandtaxcreditsfromdozensofexistingprograms.

Inadditiontoupto$150millionincapitaland$70millioninExcelsiortaxcreditsavailableforRegionalCouncilPriorityProjects,upto$530millionwillbeavailablethroughtheCFAfordirectassistancetobusinesses,agriculturaleconomicdevelopment,sustainableplanningefforts,communityrevitalization,environmentalinfrastructure,waterfrontdevelopment,workforcedevelopment,andtoprovidelowcostfinancing.

TheCFAwillbeopentoapplicantsonMay3,2012andapplicationsmustbesubmittedby4:00PMonJuly16,2012.CFAswillbereviewedbythelocalRegionalCouncilbasedonalignmentwiththestrategicplanandregionalpriorities,andwillbereviewedonatechnicalbasisbytherelevantStateagencies.

Tomaximizeparticipationintheprocessandensurehigh-qualityapplications,over30publicworkshopswillbeheldstatewidetoexplaintheprogramsandeligibilitystandards,aswellasimprovementstotheapplicationprocess.

SECTION1.CODEOFETHICS.

MembersofeachRegionalEconomicDevelopmentCouncil(“Council”)shouldexercisetheirdutiesandresponsibilitiesasmembersinthepublicinterestoftheinhabitantsoftheState,regardlessoftheiraffiliationwith,orrelationshipto,anybusiness,agencyorprogram,orinterestgroup.Theprincipleswhichshouldguidetheconductofmembersinclude,butarenotlimitedtothefollowing:

(a) Amembershouldendeavortopursueacourseofconductwhichwillnotraisesuspicionamongthepublicthatheorsheislikelytobeengagedinactsthatareinviolationofhisorhertrustasamember.(b) Nomembershouldpermithisorheremploymentorrelationshipwithanyentitythatmightbenefitfromthedecisionsmadebythecounciltoimpairhisorherindependenceofjudgmentintheexerciseofhisorherdutiesasamember.(c) Nomembershoulddiscloseconfidentialinformationacquiredbyhimorherinthecourseofhisorherdutiesasamemberorbyreasonofhisorherpositionasamemberorusesuchinformationtofurtherhisorherpersonalinterests.(d) Nomembershoulduseorattempttousehisorherpositionasamembertosecureunwarrantedprivilegesorexemptionsforhimorherselforothers,exceptthatamemberthatreceivesan“incidentalbenefit,”asthattermisdefinedbelow,shallnotbeinviolationofthisprovisionasaresult.(e) NomembershouldengageinanytransactionasarepresentativeoragentoftheStatewithanybusinessentityinwhichheorshehasadirectorindirectfinancialinterestthatmightreasonablytendtoconflictwiththeproperdischargeofhisorherdutiesasamember,exceptthatamemberthatreceivesan“incidentalbenefit,”asthattermisdefinedbelow,shallnotbeinviolationofthisprovisionasaresult.(f) AmembershouldrefrainfrommakingpersonalinvestmentsinenterpriseswhichheorshehasreasontobelievemaybedirectlyinvolvedindecisionstobemadebyhimorherasaCouncilmemberorwhichwillotherwisecreatesubstantialconflictbetweenhisorherdutyasaCouncilmembertoactinthepublicinterestandhisorherprivateinterest,exceptthatamemberthatreceivesan“incidentalbenefit,”asthattermisdefinedbelow,shallnotbeinviolationofthisprovisionasaresult.

SECTION2.STATEMENTOFINTEREST.

Within30daysofappointmenttotheCouncil,eachmembershallsubmittotheChairoftheCouncilawrittenstatementidentifyinganybusinessentityorenterpriseinwhichheorshe,oramemberofhisorherfamily,hasanownershipinterest,whetherasanowner,officer,director,fiduciaryemployee,orconsultant.Forpurposeofthiscode,“family”shallincludespouse,domesticpartner,unemancipatedchildrenunder21yearsofage,andanyotherrelativelivinginthemember’shousehold.

Section3.DisclosureandDisqualificationfromProceedingonaMatter

(a) AbsoluteDisqualificationfromProceedingonaMatter.Whenamemberorhisorherfamilyhasanownershipinterestin,orisanofficer,director,fiduciaryemployee,orconsultanttoabusinessorenterprisewhichwouldreceiveaspecialbenefitnotsharedbyothersimilarlysituatedbusinessesorenterprisesorindividualsintheStatefromaproposedcourseofactionbeforetheCouncil(an“ImpermissibleConflict”),thatmembershall:

(i)refrainfromdiscussingsuchmatterwithanymemberatanytimebeforeoratanymeetingwhenthematteristobeconsideredinamannerthatcouldreasonablybeinterpretedasanattempttoinfluencethevoteofanymember;

(ii)identifysuchinteresttotheCouncilatanymeetingwhenthematterisconsidered;(iii)absenthimselforherselffromanyportionofanymeetingwhensuchmatterisconsidered;and(iv)notparticipateinanyvoteoftheCouncilonthatmatter.Amemberwhohas,orwhosefamilyhas,anown-ershipinterestin,orisanofficer,director,fiduciaryemployee,orconsultanttoabusinessorenterprisewhichwouldreceiveabenefitfromaproposedcourseofactionbeforetheCouncilshallnothaveanImpermissibleConflictwherethebenefitinquestionwouldbereceivedalsobysimilarlysituatedbusinessesorenterprisesorindividualsintheState(an“IncidentalBenefit”).AmembershallnotbedisqualifiedfromanyproceedingsorconsiderationregardingamatterbeforetheCouncilsolelybecausethememberorhisorherfamilymayreceiveanIncidentalBenefitfromacourseofactiontakenbytheCouncil.

(b) DisclosureandPossibleDisqualificationfromProceedingonaMatter.Whenamemberorhisorherfamily,hasanyoftheabovenotedinterestsinabusinessentityorenterprisewhichmightreasonablybeaffectedbyanotherbusinessorenterprisewhichisthesubjectofaproposedcourseofactionbeforetheCouncil,orwhenamemberhasaninterestorassociationwhichmightreasonablybeconstruedastendingtoembarrasstheCouncilorelicitpublicsuspicionthatheorshemightbeengagedinactsinviolationofhistrustasamember,heorsheshall,atthetimeofformalconsiderationofsuchmatterbytheCouncil,disclosesuchinterestorassocia-tionsothattheChairand,ifnecessary,theCouncilcanthendeterminewhetherhisorherparticipationinthediscussionofsuchmatterorthevoteoftheCouncilwouldbeproper.

(c) Procedure.Afteramotionismadeconcerningarecommendationoraproposedcourseofactionandpriortodiscussionorvote,andattherequestoftheChair,themembersshalldiscloseallactualorpotentialconflictsand,whenappropriate,explaintheconflicts.Whenamemberdoesnotdiscloseanactualorpotentialconflict,theChairmayremindsuchmemberofsuchactualorpotentialconflict.Inthecaseofconflictscon-stitutingAbsoluteDisqualification,thememberswithsuchconflictsshallimmediatelyleavethemeetingandremainabsentduringtheperiodwhenthematterinquestionisunderconsideration.Inthecaseofconflictsconstitutingpossibledisqualification,theChairshallruleuponsuchconflictssubjecttoappealbymotiontotheCouncilwhichmayoverridetheChair’sdecisionbuttheaffirmativevoteofamajorityofthosememberspres-ent,excludingthosememberswhoarethesubjectofthevote.Inmakingsuchdetermination,theChairandtheCouncilshallconsider,amongotherfactors,whetherthememberappearstohaveanImpermissibleConflictorinsteadmayreceiveonlyanIncidentalBenefitasaresultofactionbytheCouncil.

(d) ChairRequest.Beforeanydiscussionorvoteonamatterunderreview,theChairmay,athisorherdis-cretion,requestmemberstodiscloseanyconversationorcorrespondencetheyhavehadwithanybusinessentityorenterprises,anyCouncilmembers,anyofficialoftheStateofNewYorkregardingthematterinquestion.
