Long of Boerne, Texas, H. Edward Tracy of Miami, Florida, and Joseph A. Lugo of New York City, New York, seeking injunctive relief to prevent further violations of the regis- tration and antifraud provisions of the Securities Act of 1933, the Securities Exchange Act of 1934, as well as an accounting and disgorgement. The Complaint alleges that Long and Tracy effected a " free-ridingn scheme involving shares of Alpha International Corp. and Eurocapital Corp. It also alleges that Long, Tracy, and Lugo violated the registration and antifraud provisions by the offer and sale of unregistered Alpha shares and the release of false, misleading, and incomplete informational releases to broker-dealers and the over-the-counter market in and in connection with these transactions. APPROVAL OF PROPOSED INDEX PARTICIPATIONS DISCLOSURE DOCUMENT

The Commission approved a proposed index participations (IPs) disclosure document filed by The Options Clearing Corporation, The Philadelphia and American Stock Exchanges,and The Chicago Board Options Exchange (collectively, the SROs). The Commission also approved a request by the SROs to designate IPs as other OCC-issued securities for the disclosure purposes of Rule 9b-l of the Securities Exchange Act of 1934 and to treat IPs similar to standardized options for purposes of Rules 134a and 153b and Form S-20 under the Securities Act of 1933.
