Introduction

The Pace Investor Rights Clinic produced this Guideto Securities Industry Disputes for the individualinvestor who hopes to prevent or may already have adispute with his or her securities broker. Our goal isfor investors to learn more about their legal rights andbest practices for responsible investing, before adispute arises, and to gain an understanding of theiroptions in case a dispute does arise. We hope thatinformed investors will be better able to preventdisputes with their broker as well as identify andresolve legitimate grievances.

The first section of this Guide covers investors’ rightsand responsibilities, tips on how to researchbrokerage firms and brokers, and brokers’ duties totheir customers. The second section takes youthrough the arbitration process, including whenarbitration is appropriate, procedural requirements,fees, and what to expect at the hearing. The third andfinal section focuses on mediation, an increasinglypopular alternative to arbitration.

This Guide can also assist individual investorsrepresenting themselves (“pro se” investors) byproviding a foundation in the basic rules andprocedures in arbitration and mediation.

What are the top ten best practices forresponsible investing?

Responsible investing may help to protect you from unexpected lossesand avoid disputes with your broker. This section lists and details thetop ten “best practices” you can follow to avoid disputes.

1Understand that all investments involve risk.

When you invest, you take certain risks. Some of these risks include:

Market risk With many types of securities, such as stocks, bonds, and mutualfunds, one of the risks you face is market risk, or a risk that theinvestment principal will decline in value if the price falls and you sellfor less than what you paid.

Liquidity risk You could also be taking liquidity risk, or a risk that the investmentmight not be easily sold or converted to cash when you need that cash.

Inflation risk Even with bank savings products that preserve your principal, such ascertificates of deposit (CDs), you face inflation risk, which meansinvestments may not earn enough over time to keep pace with theincreasing cost of living. If you want to reap the financial rewards of investing successfully, youhave to be willing to take some risk. In general, remember that everyinvestment carries some degree of risk—and the greater the potential forhigh returns or earnings on an investment, the greater the risks as well.

2Research the broker and the brokerage firmbefore opening an account.

Doing some research about brokers and brokeragefirms before you hand them any money can help youavoid problems later. If you are looking for a brokerto work with, try to meet with several of them face-to-face to compare them before making anydecisions. Learn about which products and serviceshe or she offers and how they would meet yourneeds. Be wary of anyone who promotes a one-size-fits-all approach to investing or who touts only oneparticular product.

Once you are considering a broker or brokerage firm,there are a few more steps you should take beforehanding anyone your money:

ASK whether the broker and firm are properlyregistered and licensed with FINRA and your state’ssecurities regulator. Ask about the broker’s workexperience, disciplinary history (including any pastcustomer complaints), and financial health (includingany outstanding arbitration awards or court judgments).Ask about the firm’s customer complaint record.

VERIFY the broker’s and firm’s registration, licensing,and other background information by using FINRABrokerCheck (www.finra.org/BrokerCheck), FINRA’sDisciplinary Actions Online Database (www.finra.org/Industry/Enforcement/DisciplinaryActions/FDAS/),and by calling your state’s securities regulator. Formore information on FINRA BrokerCheck, see theSidebar on page 6. VERIFY any professional designation(s) orcredential(s) by contacting the issuing organizationand determining whether the broker is currentlyauthorized to use the designation and whether he orshe has been disciplined. For more information, seeFINRA’s “Understanding Professional Designations,”at www.finra.org/designations.

VERIFY that the broker is also licensed by your state’sinsurance commissioner, if he or she sells anyinsurance products. In order to sell variable annuitiesor variable life insurance policies, your broker must beproperly licensed with both FINRA and your state’sinsurance commission. Look up the contactinformation of your state’s insurance commissionerthrough the National Association of InsuranceCommissioners at www.naic.org.

VERIFY that your brokerage firm is a member of theSecurities Investor Protection Corporation (SIPC).While SIPC does not insure against losses fromdeclines in the market value of your securities, SIPCdoes provide limited customer protection by replacingcertain customer assets if a firm becomes insolvent orbankrupt. See www.sipc.org for more information.

3Formulate investment goals andcommunicate them clearly to your broker.

Most people invest to achieve specific financial goals.For example, many people want to own their ownhome, send their children or grandchildren to college,and retire comfortably. Some investors may have othergoals, such as accumulating enough money to start abusiness or to leave a job to pursue other interests.Make sure to have a clear sense of your investmentgoals and when you want them to happen.Communicate this clearly to your broker beforemaking any investment decision. Your broker shouldask you for this information in order to make suitableinvestment recommendations for you and shouldrecord this information in what is called a “customerprofile” or “account record.” You should ask for acopy of this document, and make sure it accuratelyreflects your investment objectives and risk tolerance.Also update your broker whenever your financialcircumstances or goals change.

4Learn about account features.

Often investors do not know about or misunderstandthe features of their brokerage account until it’s toolate. Here are some key account features of which youshould be aware:

Pre-dispute arbitration clause — Virtually everybrokerage customer account agreement contains a pre-dispute arbitration clause, which requires that youarbitrate all claims concerning your account in asecurities arbitration forum, such as FINRA DisputeResolution. By signing the account agreement, yougive up the right to sue your broker and brokerage firmin a court of law. See Part II of this Guide for moreinformation on arbitration.

Authority to make decisions —Make sure youknow and understand exactly who has authority tomake decisions in your account. Typically, you’ll

indicate this choice in your account opening form.Having a “non-discretionary” account means that youmake investing decisions. Before you consideropening a discretionary account, be sure to considercarefully whether such an arrangement is right for you.Having a “discretionary account” means your brokercan make investment decisions for your accountwithout consulting you in advance about the price,type, amount, or timing of each trade, as long as tradesare consistent with your stated investment objectives.

Ability to borrow —You should also know whetheryou have a cash account or a margin loan account(customarily known as a “margin account”). A marginaccount allows you to borrow funds from your brokerto buy securities. In a cash account, you must pay foryour securities in full when you buy them. Typically,you’ll choose whether you want a margin loan accountor cash account in your account opening form. In somecases, however, you may be given a margin account bydefault, unless you specify otherwise. Make sure youread the account opening documents about marginaccounts carefully. If you have any questions, ask yourbroker.Beware: Borrowing money from your brokerage firm to buy securities can expose you to significant risks. 5Learn about fees you may be charged forinvestment services and products.

Investing with a brokerage firm costs money. To avoidsurprises later, it is very important that you understandup front what services your broker provides and howmuch those services cost. Always ask about all the feesrelated to your account, such as account opening, closing,transfer, and maintenance fees, as well as any othercosts. Always ask about how your broker is compensatedand how that varies depending on the different

investment products you buy. This may influence yourbroker’s investment recommendations to you.

In addition, make sure you ask about and understand allthe fees and expenses you’ll have to pay with regard toeach investment. These can include commissions, as wellas a variety of sales charges or “loads,” transfer fees,surrender charges (penalties for converting an investmentto cash before a permitted time), “markups” and annualmanagement fees. If you do not fully understand them,maybe the investment is not right for you.

6Understand your investments, and avoid anyyou do not understand.

When choosing an investment, make certain youunderstand what you are buying. This can help youform realistic expectations, avoid disputes with yourbroker, and make better buy, sell, or hold decisions.Investing in a financial product you do not fullyunderstand that promises high returns could exposeyou to risks for which you are not prepared.

It is your right to ask your broker questions until youfully understand an investment. At a minimum, youshould know:• How the investment works.• How and when the investment value grows or shrinks.• How and when you would earn money on theinvestment (for example, does the investment payinterest or dividends?).

• How much and what kinds of risk you would be taking.• How and why the investment is right for you.

7Read carefully all documents relating toyour account and investments.

When you open a new brokerage account, you willcomplete and sign a number of forms andagreements. Among the many papers you will beasked to sign is an account agreement, a legallybinding contract that governs the terms of yourrelationship with your brokerage firm. Make sure tokeep all these forms and agreements in a safe place.

As you make trades and invest in your account, youshould receive a trade confirmation for each trade,which should include details about each transaction.You should also receive regular account statementswhich summarize your holdings and your investmentactivity on a monthly or quarterly basis. Promptlyreview your trade confirmations and accountstatements. This better enables you to monitor youraccount for any unauthorized activity, and make moreinformed investment decisions.

For certain investments such as mutual funds andvariable annuities, you should receive documentsdescribing the investment, called prospectuses, ator shortly after the time of purchase. If you don’treceive these documents, request copies from yourbroker. These documents can be lengthy andcomplex, but try to read and understand them. Askquestions if you do not understand anything inthese documents.

8Keep documents and note conversationswith your broker.

You may need the following documents in the future toreport or pursue a problem, look up information for taxpurposes, or for other reasons:• Account opening agreement, including pre-disputearbitration clause.

• Customer profile and/or account record.• Any document that gives your broker discretionaryauthority over your account.

• Account statements.• Trade confirmations.• Notes of discussions with your broker.• Correspondence with your broker.• Prospectuses or other offering circulars forinvestments.

9Report any problems with your account inwriting immediately.

If you notice an error in any documents you receivefrom your broker, such as a trade confirmation thatdoes not accurately reflect your investment decision,or if you have questions about your account, write toyour broker or branch manager immediately. Thismay help you minimize financial losses and preserveyour legal rights. Also seek independent legal advice.

10Ask questions.

Asking questions is one of the best ways to invest wisely and avoid disputes between you and yourbroker. You are taking risk if you assume your brokerwill tell you everything you need to know. Rememberthat you are the customer and are entitled to have allyour questions answered—after all, it is your money at stake.

FINRA BrokerCheck

FINRA’s BrokerCheck® is a free tool to help investorsresearch the professional backgrounds of current andformer FINRA-registered brokerage firms and brokers, aswell as investment adviser firms and representatives.

The information about brokers and brokerage firms isderived from the Central Registration Depository (CRD®),the securities industry online registration and licensingdatabase. The CRD includes information aboutapproximately 1.3 million current and former FINRA-registered brokers and 17,400 current and formerFINRA-registered brokerage firms.

When researching brokerage firms, you can search by thename of the firm or by CRD number, which is a locatornumber in the FINRA database. For each firm,BrokerCheck provides the company’s profile, history, anddescription of operations, and discloses any arbitrationawards, disciplinary or regulatory events, andbankruptcies.

You can also research brokers by name or CRD number.BrokerCheck lists the states in which a broker is licensedto sell securities, the securities qualification examinationshe or she has passed, and certain information involvingarbitrations, civil litigations, and customer complaints, ifany, against the broker, as well as pending investigationsand regulatory proceedings.

The broker’s employment record may also be informative.You will be able to view the broker’s employment historygoing back ten years. You will be able to see whether thebroker has had any employment terminations for certainreasons, such as for violations of securities rules or laws.

Finally, BrokerCheck will tell you whether thebroker has been involved in any bankruptcyproceedings in the past ten years, which may also affectyour decision whether or not to use this particular brokerfor your investments.

BrokerCheck information about investment adviser firmsand representatives is derived from the Securities andExchange Commission’s Investment Adviser PublicDisclosure (IAPD) database. IAPD includes professionalbackground information on approximately 441,000current and former investment adviser representatives and45,700 current and former investment adviser firms.

You can check the background of your broker orinvestment adviser by calling (800) 289-9999, a toll-freehotline operated by FINRA, or online atwww.finra.org/brokercheck.

What duties does my broker oweto me as a customer?

Brokers owe certain duties to their customers. Thefollowing list of brokers’ duties to customers, whilenot intended to be a comprehensive restatement ofall of your broker’s legal duties to you, can helpyou prevent disputes from arising. When you knowwhat the broker is legally obligated to do, you willbe in a better position to spot a disagreementconcerning your funds and/or account, as well asviolations of the broker’s legal duties to you. Also,you will be better equipped to ask more informedquestions and take steps to correct problems rightaway, should any arise.

1Deal fairly with customers.

Brokers have a duty to observe high standards ofcommercial honor and deal fairly and equitably withcustomers in the conduct of their business. Examplesof conduct that are not considered fair dealing includetrading securities in your account without yourpermission, excessive trading for the purpose ofgenerating extra commissions, and the unauthorizeduse of your funds or securities.

2Know the customer.

Brokers must use reasonable diligence to learn abouttheir customers’ financial situation, such as theirincome, expenses, financial goals and objectives, andtheir other investments, as well as their age, tax status,investment experience and time horizon, liquidityneed, and any other information a customer discloses,before making any recommendation to purchase, sellor exchange securities. Brokers must also keep thisinformation up to date.

3Make only suitable investmentrecommendations.

Before recommending the purchase or sale of anyinvestment or investment strategy, a broker must havereasonable grounds for believing that therecommendation is suitable for a customer, afterconsidering the customer’s other investments, financialsituation, needs and objectives, and all other informationobtained through the exercise of reasonable diligence,as described above, which are known as the “essentialfacts” concerning every customer.

4Disclose accurate and truthful information.

Brokers must provide accurate and truthful informationabout investment products and strategies. Brokers mustalso provide to investors additional disclosures of therisks of investing in certain transactions or strategiesthat involve speculation such as:• Margin trading – purchasing securities with fundsborrowed in full or in part from the brokerage firm.

• Day trading – buying and selling securities withinextremely short time periods.

• Penny stock investing – buying low-priced stocks ofsmall companies that are not well-established.

• Options trading – buying and selling contracts thatgive the purchaser the right to buy or sell a securityat a fixed price which expire within a specifiedtime period.

5Trade only in accordance with thecustomer’s instructions.

Unless you have a “discretionary account,” yourbroker must separately obtain permission for eachindividual trade that he or she recommends for youand must execute any orders that you place. Note,however, that if you have borrowed funds to purchasesecurities in your margin account, there are

circumstances that allow your broker to sell any (orall) of your securities without first consulting you—whether your account is discretionary ornon-discretionary. 6Avoid excessive trading in a customer’saccount.

Frequent or excessive trading in a customer’s accountfor the purpose of generating commissions, instead ofhelping to achieve a customer’s stated investmentobjectives, is called “churning.” In the case of mutualfunds and variable annuities, it may be called“switching.” A broker who has discretionary authorityover or otherwise controls your account is prohibitedfrom churning and switching.

How can I address problems thatmay arise with my investments?

In the event that a discrepancy or dispute arises, youshould take steps to notify the firm and its compliancedepartment of the problem. The firm’s compliancepersonnel are responsible for ensuring the firm and itsemployees follow all applicable securities laws andregulations.

First: If you suspect there has been unfair or improperconduct by a securities professional related to youraccount, report it to a branch manager and/or thefirm’s compliance department. Confirm yourcomplaint in writing to the firm and keep writtenrecords of all communication between you, the brokerand/or the firm. Sometimes the compliance departmenthas the authority to act quickly to rectify the problem.If it is just a misunderstanding, managementintervention may be enough to resolve the issue.

If you receive a trade confirmation reflecting atransaction you did not authorize, you should complainimmediately to the broker and to the broker’s directsupervisor, whether it is a branch manager orcompliance officer. Any complaints should beconfirmed in writing.

Second: If you do not receive a satisfactory response,you can file a written complaint with the SEC (atwww.sec.gov/complaint.shtml) or with the FINRAInvestor Complaint Center (at www.finra.org/complaint).You can also contact your state securities regulator(obtain its contact information at www.nasaa.org). TheSEC, FINRA and state securities regulators investigatecustomer complaints for potential violations ofsecurities laws or regulations, and may bringdisciplinary action against a wrongdoer, but they cannotpursue a claim on your behalf for monetary damages.

Third: If you still are not satisfied with the response,or want to seek monetary damages, you can initiate adispute resolution process. • You can pursue any claim against a FINRA registeredbrokerage firm and/or its registered representative(your broker) in arbitration. For more informationabout arbitration, see Section II of this Guide.

• If the brokerage firm and broker consent, you canpursue mediation of your claim. For moreinformation on mediation, see Section III of thisGuide.

• If you have not signed an enforceable arbitrationagreement, consult an attorney to determine if youare able to bring your claim in state or federal court.

How can I find an attorney toassist me?

Investors often fare better in the arbitration processwhen represented by an attorney with experience insecurities arbitration matters. You should try to locatean attorney who can help you. You should be awarethat brokers and brokerage firms most likely will berepresented by attorneys, and that investors without alegal background may experience difficulty with thearbitration process. An attorney can help you assesswhether you have a claim that is likely to lead to arecovery of your losses and whether to bring the claimin an arbitration proceeding. If for some reason youare unable to obtain or pay for representation, a lawschool clinic or the FINRA Dispute Resolution staffmay be able to answer procedural questions.

What is Arbitration?

Arbitration is an alternative to court or mediation (described in Part III)in order to resolve a dispute. Arbitration panels composed of one orthree arbitrators read the claims filed by the party that initiates thearbitration, as well as the claims filed by other parties (if any), weighthe arguments of the parties, consider the evidence, and then decidehow the dispute should be resolved. The panel’s decision, called an“award,” is final and binding on all the parties. All parties must abideby the award, unless it is successfully challenged in court. Arbitrationis generally confidential, and documents submitted in arbitration arenot publicly-available, unlike court-related filings.

In 2007, FINRA published a “plain English” Code of ArbitrationProcedure for Customer Disputes for all customer arbitrations filed onor after April 16, 2007. Anyone can access the rules that apply tocustomer cases, also known as the “Customer Code,” on the FINRAweb site at www.finra.org/ArbitrationMediation/Rules/CodeOfArbitrationProcedure. Investors representing themselves shouldread these rules carefully.

Parties can agree to use arbitration either before or after a disputearises. (See “Why arbitration?” on the next page.) By agreeing toarbitration, you sacrifice some features of litigating in court. Forexample, in arbitration, you are limited in the fact-gathering processesthat you may use to build your case (called “discovery”). In addition,arbitrators are not bound by rules that govern the admission ofevidence in court. In making decisions, arbitrators are guided byprinciples of equity (fairness) and justice, rather than by a strictapplication of settled legal rules to the facts. As a result, arbitration isconsidered by many to be a faster and less expensive method to resolvedisputes than litigation.

It is very difficult to challenge an arbitration award. To do so, you mustfile the papers needed to ask a court to “vacate” (cancel) or “modify”(change) an award. But the circumstances under which courts arepermitted to do so are very limited. If you decide to challenge anarbitration decision in federal court, the Federal Arbitration Actrequires you to act quickly. You must file a motion to vacate or modifyan award within three months of the date the arbitrator delivered thedecision. Some states may have arbitration statutes that require you tofile the motion in even less time.

Why arbitration?

There are two main reasons to use arbitration toresolve your dispute:

You agreed to before the dispute arose.When youopened your brokerage account, you entered into acustomer account agreement. It is likely your customeragreement includes a clause that requires you to usearbitration to resolve all disputes with your broker.FINRA CUSTOMER CODE 12200

You want to because you prefer arbitration.Even without a pre-dispute arbitration agreement, allFINRA-registered brokerage firms (and theiremployees) must agree to arbitrate any dispute uponthe demand of the customer. FINRA CUSTOMER CODE 12201

Is there a deadline to file anarbitration?

Yes. A claim is not eligible for arbitration if “six yearshave elapsed from the occurrence or event giving riseto the claim.” There are rarely any exceptions to thisrule, and you can lose the right to recover any losses ifyou wait too long to file. Additionally, other time limitsimposed by state and federal law, called “statutes oflimitation,” may also apply, so do not delay. FINRA CUSTOMER CODE 12206

What do you file?

To initiate an arbitration proceeding, you must send toFINRA the following items:

Statement of Claim. To begin an arbitrationproceeding, the investor, or “claimant,” writes andfiles a Statement of Claim with FINRA, which, unlikea complaint filed in court, has no required format. Youcan write it as a letter or in a style more similar to aformal legal complaint. No matter what form yourStatement of Claim takes, you should state the basicfacts of the dispute and the remedies you seek, whichshould include the amount of money you believe areyour “damages.” You can also attach any documents –such as account statements, prospectuses, or tradeconfirmations – that may help to prove your claim.

Remember to submit the original to FINRA and theappropriate number of signed and dated copies – onefor each respondent (the person(s) or entity(ies)against whom the claim is asserted) and each arbitrator(one or three as determined by Customer Code 12401).FINRA CUSTOMER CODE 12302

Common legal claims investors allege in Statements ofClaim include claims that their broker, firm or both:• Breached the duty to make only suitablerecommendations (a “suitability” claim).

• Misrepresented material facts or failed to disclosematerial facts, whether inadvertent (“negligent”) orintentional (“fraudulent”).

• Excessively traded the account for commissions(“churning” or “switching”).

• Made trades in the account without permission(“unauthorized trading”).

• Failed to execute an investor’s order.• Failed to supervise a broker according to industrystandards (“negligent supervision”).

There may be other legal claims a customer can assertagainst a broker or firm. If you are unsure whether youhave a viable claim, you should seek the help of anattorney who is experienced in securities law.

Uniform Submission Agreement.Along with theStatement of Claim, you must complete, date, sign,and send to FINRA a Uniform Submission Agreementwhich states that you agree to abide by the proceduralrules of the arbitration forum and to be bound by thedecision of the arbitrator(s). Claim Information Sheet. FINRA asks that youcomplete this form to help its staff process your case.This form is also available atwww.finra.org/arbitration/ufg.

Forum Fees. You must pay an arbitration filing fee aslisted in the fee schedule in Customer Code 12900. Ifyou do not include a check for the appropriate amountin your application, FINRA will not process yourclaim. The Director may defer or waive all or part ofthe filing fee if you can show financial hardship, butyou must make a written request for a hardship waiver. FINRA CUSTOMER CODE 12900(a)

An easy way to calculate the fees you must pay toinitiate your arbitration claim is to use FINRA’s online“Arbitration Filing Fee Calculator,” located atwww.finra.org/arbitration/feecalculator.

Caution: If the application packet is incomplete,FINRA will consider your claim deficient and willrequire a correction within 30 calendar days. Youmust include all the following items to avoid havinga deficient claim:

A Statement of Claim that includes • Your home address at the time of the events thatcaused the dispute.

• Your current home address or that of your legalrepresentative.

• Your name.

A FINRA Submission Agreement that• Is properly signed and dated.• Names all the parties in your Statement of Claim.• Contains the right number of copies of the FINRASubmission Agreement, Statement of Claim, andany other document(s) you wish to include.

• Includes the correct filing fee or a hardship waiverrequest.

On the FINRA website, investors can submit an arbitration claim online. The system allows you to:

• Complete an online Claim Information Form; • Submit a Statement of Claim, signed Submission Agreement, and other supporting documentationelectronically;

• Pay the filing fee online; and• Generate a printable receipt with tracking number. Even though you may still need to use postal mail to a certain extent, online filing can help expedite the processing ofyour case. FINRA will consider receipt of the claim to be the date it receives the Submission Agreement.

What happens after a claim isinitiated?

Once you have filed the required application materials,FINRA will serve the Statement of Claim on therespondent(s) (the party or parties named in theStatement of Claim). In turn, each respondent must filean Answer, within 45 days from the day it receives theStatement of Claim, which must specify “the relevantfacts and available defenses” to the claim. In otherwords, it must contain the respondent’s version of whathappened and the reasons why the respondent believesthe claimant is not entitled to the remedies sought. FINRA CUSTOMER CODE 12303

In addition to the Answer, each respondent must file: • A signed Uniform Submission Agreement.• Any additional documents supporting the Answer.• Any counterclaim(s) against the claimant, crossclaim(s) against other respondents, or third partyclaim(s) against new parties, specifying all relevantfacts and remedies requested, with all fees requiredfor additional claims.

Parties must file with FINRA all pleadings and anyother documents subsequent to the initial Statement ofClaim at the same time and in the same manner as theyare served on, or delivered to, the other parties. Witheach filing, parties must include a certificate ofservice, which is a list stating the names of the partiesserved, the date and the method of service and theaddresses to which service was made.FINRA CUSTOMER CODE 12300(c)

Can I change the Statement ofClaim after it has been filed?

You can change the original Statement of Claimsubmitted for the case. This is called an “amendedpleading.” For instance, you may need to add a partyto the claim, you may have discovered additionalinformation that changes the type and/or number ofclaim(s) you assert, or you may need to change theamount of damages from those you originallyrequested. Here are some rules on amended pleadings: • A party may amend a pleading at any time beforeFINRA has appointed arbitrators.

• To amend a Statement of Claim that you have filedbut FINRA has not yet served (sent to) the otherparties, file a sufficient number of copies of theamended claim by sending them to FINRA.

• To amend a Statement of Claim or any otherpleading that FINRA has served on the other parties,you must send the amended pleading directly to allother parties and file a copy with FINRA. If youamend a pleading to add one or more parties to thearbitration, you must provide each new party withcopies of all arbitration documents previously servedby any party or sent to the parties by the Director.

• Once FINRA has appointed an arbitration panel, aparty may only amend a pleading if the panelallows. This means you make a motion to amend the Statement of Claim. (See “What are Motions?”on page 18.)

• A respondent must answer the amended pleadingwithin twenty days.

What are counterclaims, crossclaims and third party claims?

Counterclaims are claims asserted by a respondentagainst a claimant in response to allegations in theStatement of Claim. A cross claim is a claim by onerespondent against another respondent. Third partyclaims are any claims that a respondent files againstanother party who is not yet part of the arbitration case.

What happens when a respondentdoes not file an Answer?

If a broker or a firm does not file an Answer on time orfiles an incomplete answer, the arbitrators may, uponthe claimant’s request, bar that respondent from“presenting any defenses or facts at the hearing.”FINRA CUSTOMER CODE 12308(a)

Claimants may be able to request default proceedingsagainst any respondent that is suspended, barred, orexpelled from, or for other reasons is no longer ingood standing in the securities industry, and who failsto file an Answer. It may, however, be difficult toactually collect an award from a respondent that hasbeen barred or expelled because FINRA can no longerrequire that respondent pay the award.

If there is more than one claimant, any claimant(s)seeking to use default procedures must obtainagreement from all the other claimants in the case touse default proceedings against that respondent andnotify all the parties remaining in the case. FINRA willthen appoint a single arbitrator to consider the claimagainst the defaulting respondent, based on theStatement of Claim and other documents presented bythe claimant(s). The arbitrator will not hold in-personhearings. Even in a default arbitration proceeding,claimants must still present a sufficient basis to supportthe making of an award. The default award will haveno effect on any non-defaulting party. FINRA CUSTOMER CODE 12202 and 12801

How are arbitration feesdetermined?

In arbitration, both sides are required to pay fees.Investors must pay a filing fee when filing theStatement of Claim. The filing fee ranges from $50-$1,800, depending on the amount of damages youseek. FINRA will partially refund this fee if the claimis settled or withdrawn more than ten days before thedate of the hearing – less any other fees or costsassessed against you under the Code, including anyhearing session fees assessed under Customer Code12902. However, certain surcharges and processingfees that the brokerage firms are required to paycannot be assessed against you.

In addition to the filing fee, FINRA charges hearingsession fees for each hearing session that takes placewith the arbitrator(s), whether telephonic or in-person.For a panel with one arbitrator, the cost of one hearingsession ranges from $50-$450, depending on theamount of the claim. For a panel of three arbitrators,that amount is $600-$1,200. The total fee depends onhow many hearing sessions are conducted. A typicallive hearing day consists of two sessions, becauseFINRA defines “hearing session” as any meeting withthe arbitrators of no more than four (4) hours. In theaward, the panel decides which parties are ultimatelyresponsible for the hearing session fees. FINRA will billyou for any fees you owe after the case is closed. Agreement of the Parties

Generally speaking, your case will be governed bythe provisions in FINRA’s Customer Code.However, the Code also allows for modificationsof its provisions – if all parties agree in writing.For instance, parties can agree to remove andreplace arbitrators. They can also agree to extenddeadlines to complete arbitrator list selection, fileanswers or responses to motions, or exchangedocuments or witness lists.

How many arbitrators serve onan arbitration?

The number of arbitrators assigned to a case generallydepends on the amount of damages sought.• If a claimant seeks $50,000 or less in damages,excluding interest and costs, one arbitrator hears the case.

• If a claimant seeks more than $50,000 and up to$100,000, one arbitrator hears the case, unless theparties agree in writing to three arbitrators.

• If a claimant seeks more than $100,000 in damages,or does not specify any amount of damages, threearbitrators hear the case, unless the parties agree inwriting to one arbitrator.

Who is your arbitrator?

A one-arbitrator panel is made up of:• one public arbitrator who has no affiliation with thesecurities industry and who is qualified to bechairperson (a “chair-qualified” arbitrator).

A three-person panel can be made up of:• one chair-qualified public arbitrator,• one public arbitrator, and • one non-public (industry) arbitrator.*FINRA Customer Code 12100(p) and (u) definepublic and non-public arbitrators. FINRA CUSTOMER CODE 12402

How are the arbitrators selected?

FINRA’s Neutral List Selection System (NLSS) holdsthe names of approximately 6,500 arbitrators qualifiedto hear cases. NLSS randomly generates lists ofarbitrators for the parties, from which they can selecttheir arbitrators. Along with the lists, FINRA will sendto parties Arbitrator Disclosure Reports, whichdisclose education and employment history, pastarbitration awards and other background informationfor each of the arbitrators on the lists. You shouldreview this information, and research past awards, toconfirm that an arbitrator does not have any potentialconflicts of interest with the parties, witnesses, issuesor products in your case.

Parties select the arbitrators for their panel through aprocess of striking and ranking the arbitrators ontheir lists. For a one-arbitrator panel, FINRA will sendone list of ten public arbitrators for arbitrator selection. For a three-arbitrator panel, FINRA will send three lists: • a list of ten public arbitrators from the chair-qualified roster;

• a list of ten arbitrators from the non-public(industry) arbitrator roster; and

• a list of ten additional public arbitrators.

Under the Majority-Public Panel Rule, each separately-represented party to the arbitration can strike up to fourof the arbitrators from each list for any reason; at leastsix names must remain on each such party’s list.However, under the Optional All-Public Panel Rule,any party may strike up to all of the names on the non-public list. Each party ranks arbitrators who remain oneach list in order of preference. Each list must beranked separately. Parties may strike and rankarbitrators for any reason, including the arbitrators’educational and work experience, as well as anyperceived and/or actual conflicts of interest.

Once the deadline passes to submit arbitration rankings,FINRA consolidates the lists received and appoints thearbitrator(s) with the highest combined ranking(s) whois also available to accept the appointment. If thenumber of arbitrators available to serve from theconsolidated list(s) is not sufficient to fill an initialpanel, FINRA will appoint the required number ofarbitrators from names generated randomly by FINRA’sNLSS arbitrator database. FINRA CUSTOMER CODE 12402-04

Once appointed, you can ask any arbitrator to withdrawfrom the case for good cause. If the arbitrator refuses towithdraw from the case, you can ask the Director ofArbitration before the first hearing session begins toremove the arbitrator for conflict of interest or bias. TheDirector will grant your request to remove an arbitratorif it is reasonable to infer that the arbitrator is biased,lacks impartiality, or has a direct or indirect interest inthe outcome of the arbitration. The Director will grantthis request if you make it after the first hearing sessionbegins only if it is based on new information that wasrequired to be disclosed by the arbitrator earlier. Optional All-Public Panel Rule

Under FINRA Rule 12403, in customer casesdecided by three arbitrators, customers maydesignate their preferred panel selectionmethod in the Statement of Claim oraccompanying documentation. If the customerdoes not choose a panel selection method,FINRA will notify the customer in writing thatthe customer may elect the Optional All-PublicPanel Rule for selecting arbitrators up to 35days from FINRA's service of the Statement ofClaim. If the customer declines to elect a panelselection method in writing within 35 days, theMajority-Public Panel Rule for selectingarbitrators will apply.

What is Simplified Arbitration?

FINRA’s Simplified Arbitration process applies if aclaimant seeks damages of $50,000 or less, excludinginterest and expenses. One public arbitrator will decidethe claim and issue an award based on the writtensubmissions of the parties, unless the claimant requests ahearing. The parties can request documents andinformation from other parties to submit in support of theclaim(s) or defense(s), but discovery tends to be morelimited in scope than in non-simplified arbitration. If theamount in dispute exceeds $50,000, either because youamend the claim to increase the damages request or arespondent’s claim(s) seeks damages, the case will nolonger proceed as a Simplified Arbitration.FINRA CUSTOMER CODE 12800

Voluntary Direct Communication Between Parties and Arbitrators:

In general, no party or legal representative ofa party may communicate with any arbitratoroutside of a scheduled hearing or conferenceunless all parties (or their representatives) arepresent. If all sides have obtained legalrepresentation, however, and all parties andarbitrators agree, you can proceed under thevoluntary direct communication rules, FINRACustomer Code 12210 and 12211. These rulesallow you to send items by regular mail,overnight courier, facsimile or email directly tothe arbitrator(s) and parties in your case.Copies of all materials sent to the arbitratorsmust also be sent at the same time and in thesame manner to all parties and FINRA.

Remember: Even under this rule, parties shouldnot communicate with the arbitrators unless allparties are participating in the communication.

What are Motions?

A motion is a request for the arbitrator(s) or Directorof Arbitration to direct some act, whether by issuing anorder or ruling. For example, if you wish to changeyour hearing location or Statement of Claim after thearbitration panel is appointed, you must make amotion. A party may make motions in writingthroughout most of the arbitration process, or orallyduring a hearing session. However, FINRA requiresthat a party make an effort to resolve the matter withthe other parties before making a motion, and toinclude a description of those efforts as part of themotion. Like other arbitration filings, motions are notrequired to be in any particular form. Written motionsgenerally must be served at least twenty days before ascheduled hearing. Parties have ten days from thereceipt of a written motion to respond, unless the partymaking the motion agrees to an extension of time, orthe panel or Director of Arbitration decide otherwise.Finally, the party making the motion then has five daysto reply to that response. Please note that becauseFINRA discourages parties from filing motions todismiss an entire claim before the hearing, CustomerCode 12504 bars parties from filing motions to dismissa claim before a party has presented its case-in-chief,except in very limited circumstances.FINRA CUSTOMER CODE 12503, 12504

What is the Initial PrehearingConference?

The Initial Prehearing Conference is the first timewhen the parties and arbitrators come together to setthe schedule for the case. Usually this conferencetakes place by telephone. During this telephoneconference, the arbitration panel establishesdiscovery deadlines, schedules any motions and/orbriefs that the parties request to file, and sets datesfor the arbitration hearing.FINRA CUSTOMER CODE 12500

What is Discovery?

Discovery allows parties to obtain facts andinformation from other parties (and sometimes fromnon-parties) in order to support their own case andprepare for hearing. FINRA has published a series ofguidelines to help the parties in the discoveryprocess, called the “Discovery Guide,” which isavailable at www.finra.org/ArbitrationMediation/Rules/RuleGuidance/DiscoveryGuide.

The Discovery Guide contains lists of documents thatparties should exchange automatically. In addition,each party can request information and documents thatare relevant to the case and that may be in thepossession of an adverse, or opposing, party. Rules12505 through 12511 of the Customer Code governthe discovery process, and include provisions forparties’ requests for discovery items that are outside ofthe document production lists, parties’ objections todiscovery requests, and arbitrator authority to issuesanctions against parties for discovery abuses.

You can object to a discovery request (argue that youdon’t have to respond to it) if it asks you to providedocumentation and information that you believe is, forexample, overly burdensome, not relevant to the case,or involves confidential or privileged information.Clearly state in writing the request to which you areobjecting and why, and send the written objection toall parties in the case. There are deadlines forproducing documents, requesting additional discoveryitems, and responding and objecting to requests. Thesetimeframes are contained in Rules 12505 – 08.

If the parties cannot agree on their own how to resolveany discovery dispute, the party who still wants moredocuments or information may make a motion tocompel the reluctant party to produce the requesteddocument(s). The requesting party should explain tothe arbitrator(s) why the discovery is relevant andnecessary to the case and ask the panel to issue an

order compelling production. The arbitrator(s) mayschedule a hearing before deciding the motion.

If a party fails to produce documents or informationrequired by a discovery order, the arbitrators canissue sanctions against that party. Sanctions couldinclude assessing fees or penalties, includingattorneys’ fees; prohibiting a party from admittingevidence; drawing an adverse inference against theparty; and even dismissing a claim, defense, or eventhe entire case. The panel may also initiate adisciplinary referral against a registered broker orbrokerage firm that is involved in the proceeding.

Subpoenas

A subpoena is a legal document that compels aperson or an entity to show up at the specifieddate, time and place to testify under oath. Asubpoena duces tecum compels a person or anentity to produce the listed documents to therequesting party at a particular time and place.Parties to arbitration can use subpoenas togather information that is relevant to the case.

In a FINRA arbitration, only arbitrators – notattorneys or the parties – can issue a subpoenato third parties (persons or entities that are notclaimants or respondents in the arbitration). Ifyou believe that your case requires informationfrom third parties and want the arbitrators toissue a subpoena, you must make a writtenmotion for the arbitrators to do so. Thearbitrators will then determine whether thesubpoena should be issued and how costs will beassessed to the parties.

Document Production Lists

The Discovery Guide lists documents that partiesshould provide to each other. In general, partiesmust make available to the opposing parties alldocuments, notes and records that each partyhas pertaining to the dispute. These includeaccount opening documents, cash sweep, marginand option agreements, trading authorizations,trade confirmations and customer accountstatements during the time period of and relatingto the dispute. Parties must also producecorrespondence between the claimant and thefirm and recordings and notes of telephone calls.The broker is expected to provide the forms filedwith FINRA when employing or terminating theemployment of a broker (Forms U4 and U-5),customer complaints identified in these forms, allcustomer complaints of a similar nature againstthe broker, as well as records of disciplinaryactions by a regulator or employer for conductsimilar to the conduct alleged in the arbitration.

Claimants must also provide records regardingthe disputed issue, including any notes and/orcorrespondence. They may also be asked toprovide financial records, such as federal incometax returns for the three years prior to the firsttransaction at issue, and other financialstatements showing their assets, liabilities,and/or net worth for the periods covering threeyears prior to the first transaction at issue.Claimants are also expected to disclose any priorcomplaints that they have filed involving thebroker or any other securities matter. Orders of Production orAppearance from Members

If a FINRA-registered broker or firm who is not a partyto an arbitration case has access or to possess informationa party believes is relevant to the case, the panel mayorder the production of documents or appearance ofwitnesses, upon a motion of a party, without the use ofsubpoenas. The panel may order the appearance of anyemployee or brokers of a member of FINRA; or theproduction of any documents in the possession orcontrol of such persons or members. Generally, theparty requesting the appearance of witnesses by, or theproduction of documents from, non-parties must pay thereasonable costs of the appearance and/or production.FINRA CUSTOMER CODE 12513

Where does the hearing takeplace?

The hearing takes place in a conference room either ata regional FINRA office or in an office buildingarranged by FINRA in the city where the hearing willtake place. Generally, the Director of Arbitrationdecides the hearing location based on the claimant’sresidence at the time of the disputed transactions. Youmay seek to change the hearing location throughagreement of the parties or by writing to FINRA andrequesting a change in location.FINRA CUSTOMER CODE 12213

What happens at the hearing?

The law requires arbitrators to provide parties a fulland fair opportunity to be heard. Thus, in allarbitrations, except for those subject to SimplifiedArbitration procedures, and those settled or dismissedbefore a hearing under FINRA’s rules, the arbitratorswill conduct a live hearing. FINRA CUSTOMER CODE 12600

Testimony and EvidenceThe arbitration hearing is the proceeding when aclaimant seeks to prove the claims alleged in theStatement of Claim, and respondents try to establishany defenses to those claims and seek to prove anycounterclaims. Arbitrators usually accept two types ofproof: oral testimony by witnesses and documentaryevidence. Customer Code 12514 requires that partiesidentify for other parties the witnesses they intend tocall and provide copies of any documents or othermaterials that they plan to use at the hearing asevidence, all not less than twenty calendar days beforethe start of the hearing. Also, parties need to arrangefor witnesses and all documentary evidence to beavailable for presentation at the hearing.

During the hearing, all parties will be present in theroom, along with the arbitrators, who are known as the“panel.” The panel begins the hearing by reading froma script prepared by FINRA to cover administrativematters. Each party then has the option to give anopening statement outlining what it intends to proveduring the hearing.

Direct and Cross ExaminationGenerally, each claimant then calls witnesses to testifyon his or her behalf as to facts within that witness’personal knowledge. In addition, each claimant canask expert witnesses who have specialized education,training and/or knowledge to testify as to their opinionto help the panel draw conclusions and render adecision. The claimant conducts a direct examination;

asking questions of any witness(es) called to testify onclaimant’s behalf. Each respondent can ask questionsof claimant’s witnesses, too, during what is known as“cross examination,” and the panel can also questionany witness during the hearing.

ExhibitsParties should offer into the record as exhibits (a paperor document produced and shown to an arbitrationpanel during a hearing) any documents they would likethe arbitrators to consider as evidence. Parties canargue that any evidence presented by another partyshouldn’t be considered in the arbitrators’ decision byobjecting orally at the hearing. After considering theobjecting party’s reasons why the evidence should notbe allowed, the arbitrators will examine the documentspresented to determine if they will be admitted intoevidence (considered as part of your case ordisregarded) and into the case record. Arbitratorsgenerally will accept any authentic document into therecord, provided it is relevant and necessary to proveclaims or defenses, and it is not unfair to another party.

Rebuttal EvidenceOnce each claimant has presented his/her case, eachrespondent has the right to call fact and expertwitnesses, too, and offer relevant exhibits. Once allparties have presented their evidence on any claims,counterclaims, and/or defenses, including rebuttalevidence to contradict the other side’s arguments orevidence, each party typically makes a closingstatement, summing up the evidence and arguing tothe panel what they believe they have proven andwhat they contend the other side has not proven.Claimants should be certain to repeat their request fordamages and any other relief, and to provide specificcalculations supporting their request for a damagesamount, whether with or without expert testimony,before concluding their case.

An arbitration hearing in brief

Arbitration hearings generally take place in thisorder, although the arbitrators have authority tochange the order:

• Swearing in of arbitrators, parties and witnesses• Opening statement from each party (optional)• Presentation of facts of the case to arbitrators,including documents and live or writtentestimony – claimant(s)

• Presentation of facts of the case to arbitrators,including documents and live or writtentestimony – respondent(s)

• Presentation of any counterclaims, crossclaims or third-party claims

• Rebuttal evidence • Closing statements (claimant can choose to go last)

• Arbitration panel closes the record

After the panel has heard all testimony, receivedall documentary evidence, and closed the record,it then deliberates and issues an award.

When do the arbitrators decidethe case?

After closing the hearing, the arbitration panelconsiders all of the evidence, deliberates together, anddecides what relief to award the claimant, if any. In athree-arbitrator panel, an award is based on a majorityvote of the arbitrators; a unanimous decision is notrequired. Within thirty days of the date the record isclosed, FINRA will mail to the parties the awarddescribing the determination of the panel.FINRA CUSTOMER CODE 12904

What is contained in anarbitration award?

Awards must be in writing, but arbitrators are notrequired to write opinions or provide explanations orreasons for their decision. Decisions made in FINRAarbitrations are final; even if new evidence latersurfaces, arbitrators cannot reconsider their decisions.In the award, the panel must also decide whether toassess any costs and forum fees against any party, andhow to allocate those costs and fees among the parties.Past arbitration awards are available online at http://finraawardsonline.finra.org/.The award contains the following information:• Names of the parties• Names of the parties’ representatives, if any

• An acknowledgement by the arbitrators that theyhave each read the pleadings and other materialsfiled by the parties• A summary of the issues, including the type(s) of any security or product in controversy• Damages and other relief requested• Damages and other relief awarded• A statement of any other issues resolved• Allocation of forum fees and any other feesallocable by the panel• Name(s) of the arbitrator(s)• Dates the claim was filed and the award rendered• The number and dates of hearing session(s)• Location of the hearings• Arbitrator signaturesFINRA CUSTOMER CODE 12904

How do I collect an award orsettlement?

Many arbitration cases end with a settlement betweenthe parties, either through direct negotiation or throughmediation. Others are withdrawn or closed before theprocess begins. Roughly one-half of claimantshistorically have received some type of monetary awardin arbitration claims that go to a final decision eachyear, although that statistic has varied substantially overthe years. If you are awarded damages, you can expectto be paid within thirty days of receiving the writtenaward, unless the losing party files a motion to vacate(overturn) or modify the award in court.

If a broker or firm does not pay an award within thirtydays after it is issued and received by both parties, youshould notify FINRA. FINRA can suspend or cancelthe registration of a brokerage firm or broker who doesnot comply with an arbitration award or settlementrelated to an arbitration or mediation. As a result,brokerage firms and brokers who remain in thebusiness generally pay arbitration awards or amountsunder settlements that they owe. The broker or firmcan legitimately delay paying an award, however, if ithas filed a motion to vacate or modify the award incourt.

Alternatively, if the broker or firm is no longerregistered with FINRA, you may have to go to state orfederal court to enforce the award or settlement. Ifyour broker or brokerage firm goes out of business ordeclares bankruptcy, you might not be able to recoveryour money – even if the arbitrator or a court has ruledin your favor. Being able to collect once an award isrendered or a settlement is signed is perhaps the mostimportant reason to carefully select your broker andbrokerage firm by thoroughly checking their historyand longevity in the securities industry.

PART IIIResolving Disputes: The Mediation Alternative

What is mediation?

Mediation is an informal, voluntary, and non-binding dispute resolutionprocess in which all parties agree to present their claims to a neutralthird-party, called a mediator, who will then help the parties try to reacha mutually consensual resolution of the dispute. The mediator does notdecide who is right or wrong, or how much the parties pay.

FINRA administers a securities mediation forum. Its rules of procedureare contained in the Code of Mediation Procedure. Information aboutFINRA’s mediation forum, including its Mediation Code, is availableonline at www.finra.org/ArbitrationMediation/.

In addition, parties can agree among themselves to use any othermediation forum to which they consent, or they can even hire a privatemediator. Because mediation is an entirely consensual process withinthe parties’ control, any forum and/or mediator could facilitate asuccessful settlement of the dispute.

Why should I agree to use mediation?

There are a number of reasons why parties consider mediation as analternative to litigation or arbitration.

Mediation generally costs less than arbitration or litigation. The fees andexpenses associated with mediation are relatively modest because theprocess takes less time and involves fewer formal procedures. Forexample, there is no formal discovery process, so parties do not incurattorneys’ fees for that process. Instead, before mediation sessionsbegin, the mediator generally asks the parties to submit information thatwill help the mediator understand the dispute and their respectivepositions and interests.

The mediation process is non-binding, which means that parties may,but are not required, to settle. Because parties control the outcome,settlement potential tends to be higher. The mediator merely facilitatesnegotiations as opposed to handing down an award. Parties can entermediation without jeopardizing their option to arbitrate or litigate. Theemphasis is on reaching a satisfactory solution for both sides. Once asettlement agreement is signed, of course, it is enforceable, just like anyother contract.

Mediation typically achieves a faster resolution, withless financial strain on either party. Parties don’t havethe right to appeal a mediator’s recommendation,because it is not binding, so the process can begin andend in a matter of days, or weeks, rather than monthsor years.

The more flexible and less adversarial nature ofmediation maximizes the chances for preservingprofessional relationships.

Mediation can narrow the issues in dispute, leading toa more efficient resolution in arbitration or court.Therefore, mediation is valuable even when parties donot reach a settlement.

Mediation is confidential in most states and underFINRA rules, so you can disclose facts to a mediatorwithout worrying that the mediator will disclose thempublicly.

If these factors are important to you, you shouldconsider initiating your claim in mediation beforepursuing arbitration or litigation.

Of course, mediation is not always the best option foreveryone. For those who seek an outcome that has thepotential to publicize the broker’s and/or firm’sbehavior, perhaps to warn other investors of theconduct, arbitration or litigation (if available) may bebetter alternatives.

Small Claims Mediation PilotProgram

Parties with small claims can now use free or low costtelephonic mediation services through a FINRA pilotprogram started on January 15, 2013. Moreinformation is available atwww.finra.org/ArbitrationMediation/SmallClaims.

Mediation may not be right for everyone.Consider its features and decide whether

it is right for you.

Can parties agree to mediate andarbitrate the same dispute?

Parties may mediate before an arbitration is filed,instead of pursuing arbitration, or they can initiatemediation of all or some of the issues in dispute at anystage of a pending arbitration matter. Parties also canchoose whether or not to have the mediation runseparate from, but concurrent with, a pending arbitrationor litigation. Unless the parties agree, a pendingarbitration will not be delayed if there is a concurrentmediation. If the two procedures run concurrently, thenthe parties incur the costs of both, but do not riskprolonging the arbitration process. Alternatively, if theparties agree to postpone arbitration, they avoidpotentially unnecessary arbitration costs if the mediationis successful but do not delay the arbitration process ifthe mediation is unsuccessful.

If cost is an important factor to you, you probablyshould not pursue both mediation and arbitration at thesame time. On the other hand, if time is the mostimportant factor to you, then you should pursue themboth at the same time.

What takes place during themediation process?

1 Parties agree to mediate.

Mediation is a voluntary process. While no party canbe compelled to mediate, investors who are interestedin initiating mediation and using a case administratormust alert a mediation forum of their intent tomediate. For example, FINRA requires an “Intent toMediate” form.

2Parties submit the matter to mediation.

Once all parties to the dispute have agreed to mediate,they must sign a written agreement which indicates thatall parties agree to submit to the mediation process.FINRA calls this a “Submission Agreement.”

3Parties agree to a mediator.

Who are the mediators?Mediators are independent neutral third parties, many ofwhom have extensive knowledge of securities law andindustry practices. FINRA will provide the parties withinformation relating to the mediator’s employment,education, and professional background if the mediatoris assigned or selected from a list provided by FINRA.In addition, FINRA will describe the mediator’sexperience, training, and credentials.How are the mediators selected?

• By the parties from a list supplied by the Director ofthe forum;• By the parties from a list or other source of theirown choosing; or• By the Director of the forum if the parties do notselect a mediator after submitting a matter tomediation.

What is the mediator’s role?The mediator’s role is to help disputing parties resolvetheir differences and reach an agreement that isacceptable to all parties. Depending on the parties’needs, the mediator may have the parties meet face-to-face to discuss all of the issues surrounding the dispute.The mediator may also hold private meetings with eachparty separately, known as caucuses. It is the mediator’sjob to help the parties communicate in a constructivemanner. Therefore, the mediator may assist parties byclarifying issues, addressing questions, and offeringcreative solutions.

4Parties schedule mediation sessions.

The mediator and parties select a mutually convenientdate, time, and location for the mediation session(s).After scheduling the session(s), meetings may beconducted in person, by telephone, video conferenceor any other agreed-upon method. Both joint andprivate sessions may be appropriate. Parties maypresent facts, address liability and damages, providebackground information, and vent key concerns and/orneeds. However, participants do not provide sworntestimony and are not subject to cross examination. Mediators facilitate the exchange of settlement offersand help the parties reach a negotiated solution. Effortsto reach a settlement through mediation will continueuntil:• The parties achieve a resolution and execute awritten settlement agreement;• The parties conclude that further efforts to mediatewould be useless; or • The mediator or any party withdraws from themediation process for any reason.

5Parties may reach a settlement.

Historically, parties have reached a settlement in about75% to 80% of FINRA mediations.If the parties reach a mutually acceptable resolution, they(or their lawyers) will draft a document detailing allterms of the settlement. At the close of mediation, onceall parties have agreed to its terms, the parties sign andexecute the written settlement agreement. Thisagreement is final and binding on the parties.Even if the parties do not fully settle their dispute duringmediation, the process of mediation may improvecommunication between parties so that they may be in abetter position to settle the case at a later stage.
