(1) Registration of Company Name
The applicants must go to theCompanies Registry to checkwhether the intended companyname is the same as one alreadyregistered. If yes, the intendedcompany name must be changed.
(2)Submission of Required
Documents
A. Registration requires the submissionto the Registrar of the following
documents:
a) the memorandum of association ofthe intended company containing:
1 the name of the company2 domicile of the company3 he capital of the company4 the signature of at least 2 persons
described as 'subscribers' in thepresence of a witness who atteststhe signature
5 the number of shares taken up bysubscribers
b) The articles of association of the
intended company establishing the rules of
the company
c)
a statutory declaration declaring
compliance with the registration
requirements of the ordinance
d) a covering letter indicating the name of
the company, the presenter's name,
contact telephone number, fax number and
address
(3) Submission of Application
Applicants are to sign the documentsaforementioned in Step 2. Afterreceiving the signed documents, ourcompany would send them to therespective departments for registration.
(4)Collection of Certificate ofIncorporation
Under normal circumstances thecertificate of incorporation will beissued in about 6 working days. At thisstage a company is basicallyincorporated. Since the companycannot engage in commercial activities,it is known as a 'shell company'.
