It is mutually agreed that this Contract shall be performed subject to the conditions contained in the Contract consisting of PART I including additional clauses, if any agreed and stated in Box 30 and PART II including Annex A (Demarcation of Scope of Work). In the event of a conflict of conditions, the provisions of PART I and any additional clauses including Annex A (Demarcation of Scope of Work) shall prevail over those of PART II to the extent of such conflict but no further.

1. Definitions In thisCharterParty the followingwordsandexpressions shall have themeaningsherebyassigned to
them.
“TheOwners”shallmeanthepartyidentifiedinBox2. “TheCharterers”shallmeanthepartyidentifiedinBox3. “TheVessel”shallmeanthevesseldescribedinBox4. “LoadingPort”shallmeantheport(s),place(s)orarea(s)specifiedinBox6. “DischargingPort”shallmeantheport(s),place(s)orarea(s)specifiedinBox7. “TheCargo”shallmeananygoodsorequipmentorotheritemsdescribedinBox5. “TheTransportation”shallmeanthecarriageoftheCargoand,asmaybespecifiedinAnnexA(Demarcation
ofScopeofWork),theloadinganddischargingandallotheroperationsconnectedtherewith.
2. Voyage (a) ItisagreedbetweentheOwnersandtheCharterersthat,subjecttothetermsandconditionsofthis
CharterParty,theCargoshallbetransportedbytheVesselfromtheLoadingPort,orsoneartheretoasshemaysafelygetandliealwayssafeandafloat,totheDischargingPort,orsoneartheretoasshemaysafelygetandliealwayssafeandafloat.
(b) TheOwnersshallexerciseduediligenceinmakingtheVesselseaworthybeforeandatarrivalattheLoadingPort.TheOwnersshallperformthevoyagewithduedespatchunlessotherwiseagreed.
3. Deviation/Delays/PartCargo (a) TheVesselhasthelibertytosailwithoutpilots,totowand/orassistvesselsindistress,todeviateforthe
purposeofsavinglife,toreplenishbunkersand/ortodeviateforthepurposeofsafetyoftheCargo,crew,Vesselandforanyotherreasonablepurpose.
(b) WithoutprejudicetotheprovisionsofClause30(GeneralAverageandNewJasonClause),shouldtheMasterdecide,forthepurposeofthesafetyoftheCargo,todeviatefromtheintendedroutewhichisstipulatedinBox7,theCharterersshallpayforalltimelostasaconsequenceofthedeviationatthedemurrageratestipulatedinBox19.
ThetimelostshallincludealltimeuseduntiltheVesselreachesthesameorequidistantpositiontothatwherethedeviationcommencedandtheCharterersshallalsopayalladditionalexpensesincurredbysuchdeviationincludingbunkers,portcharges,pilotage,tugboats,agencyfeesandanyotherexpenseswhatsoeverincurred.
TheOwnersshallgivepromptnotificationofanydelayordeviationtotheCharterersandanyclaimsforadditionalcompensationshallbesupportedbyappropriatedocumentation.
(c) IftheVesselforreasonsbeyondtheOwners’controlisdelayedatLoadingPortand/orDischargingPort,includingobtainingfreepratique,customs,portclearanceorotherformalities,suchdelaysshallbepaidforbytheCharterersatthedemurrageratestipulatedinBox19.
(d) UnlesstheCargoisdescribedasafullandcompletecargoinBox5,theOwnersshallhavethelibertyofre-stowingtheCargoandofloadingandofdischargingotherpartcargoesfortheaccountofotherthantheCharterersfromplacesenrouteornotenroutetoplacesenrouteornotenroute.TherotationofloadinganddischargingplacesshallbeattheOwners’option.WhentheOwnersexercisesuchoption(s)thisshallinnowayconstituteadeviation,notwithstandinganythingelsecontainedinthisCharterParty.
4. LoadingandDischarging (a) TheCharterersshallhavetheCargoinallrespectsreadyforthesaidvoyageattheLoadingPortonthe
dateforwhichnoticeofexpectedloadreadinessisgivenbytheOwnersasperClause9(AdvanceNotices),butnotbeforethedatestatedinBox10asfirstlayday.
TheCharterersshallnominatethepreciseloadingareaorplacewithintheagreedLoadingPort,whichshallbealwayssafeandaccessibleandsuitablefortheloadingoperation,uponreceiptofthefirstnoticegivenbytheOwnerspursuanttoClause9(AdvanceNotices),alwayssubjecttotheapprovaloftheOwnersandtheMaster.Suchapprovalshallnotbeunreasonablywithheld.
(b) TheOwnersshallprovidetheequipmentstatedinBox4orinAnnexA(DemarcationofScopeofWork)

andshallintheirowntimeandattheirownexpensepreparesuchequipmentfortheloadingoperations.AllotherequipmentshallbeprovidedbytheCharterers.WhentheCargohasbeenloadedandpositioned,itshallbeseafastenedand/orlashedbytheOwnersattheirexpense,unlessotherwiseagreedinAnnexA(DemarcationofScopeofWork),tothesatisfactionoftheMaster.
(c) Attheloadingport,theCargoshallbedeliveredbytheChartererswithoutdelayinthesequencerequiredbytheMasteratanytimeduringdayornight,Saturdays,Sundays(ortheirlocalequivalent)andholidaysincludedandshallbeloadedbyoneormoreofthefollowingmethodsstatedinBox8:
(i) *IfagreedinBox8thattheCharterersshallperformtheloadingoperations,theCargoshallbeplacedonboardandpositionedbytheChartererstothefullsatisfactionoftheMaster.TheCharterersshallprocureandpayforalllabourandallnecessaryequipmentotherthanthatstatedinBox4.TheCharterersshallhavefreeuseoftheVessel’sgearoperatedbytheVessel’screw.
(ii) *IfagreedinBox8thattheCargoshallbeloadedbymeansoffloat-onmethod,theCharterersshallpositiontheCargopriortoloadingat50metresoratanagreeddistancefromtheVessel’ssubmergeddecktothefullsatisfactionoftheMaster.TheOwnersshallattachlinestotheCargoandshallpositionandsecuretheCargooverthesubmergeddeckbyusingwinchesand/ortugs.TheOwnersshallprocureandpaythenecessarylabourandwinchmeneitherfromthecreworfromshore.
TheCharterersshallprocureandpayforworkboatsandtugsrequiredforthepositioningofthecargo.TheOwnersshallhavetherighttousesuchworkboatsandtugsfortheloadingoperation.

(d) TheCharterersshallnametheprecisedischargingareaorplacewithinthedischargingport,whichshallbealwayssafeandaccessibleandsuitableforthedischargingoperation,wellinadvanceoftheVessel’sarrival,alwayssubjecttotheapprovaloftheOwnersandtheMaster.Suchapprovalshallnotbeunreasonablywithheld.
At thedischargingport theCharterersshall takedeliveryof theCargowithoutdelay inaccordancewithsub-clause(f)atanytimeduringdayornight,Saturdays,Sundays(ortheirlocalequivalent)andholidaysincluded.
TheentiredischargeoperationalwaystobedonetothefullsatisfactionoftheMaster.
(e) PriortoactualdischargetheOwnersshall,unlessotherwiseagreedinAnnexA(DemarcationofScopeofWork),removeallseafasteningand/orlashingandpreparetheVesselforthedischargeoperation.
(f) TheCargoshallbedischargedbyoneormoreofthefollowingmethodsstatedinBox9:
(i) *IfagreedinBox9thattheCharterersshalldischargetheCargo,theCharterersshallprocureandpayforthenecessaryequipmentandlabour.TheCharterersshallhavefreeuseoftheVessel’sgearoperatedbytheVessel’screw.
(ii) *IfagreedinBox9thattheCargoshallbedischargedbymeansoffloatoffmethod,theOwnersshallsubmergetheVesselandfloat-offtheCargo.TheOwnersshallprocureandpaythenecessarylabourandwinchmeneitherfromthecreworfromshore.
TheCharterersshallprocureandpayforworkboatsandtugsrequiredfordischargingtheCargo.TheOwnersshallhavetherighttousesuchworkboatsandtugsforthedischargingoperations.

(g) AllexpensesassociatedwiththeVesselsuchasharbourdues,pilotages,localtugassistance,ifrequired,agencyfees,fuelandlubricantsshallbepaidforbytheOwnersexceptasotherwiseprovidedforinthisCharterParty.
(h) Any compulsory shore labour connectedwith loading operations, lashing/seafastening, removal oflashing/seafasteningand/ordischargingoperationsrequiredbylocalauthoritiesorunionregulationsshallbefortheCharterers’account.

5. Permits/Licences (a) Allnecessarypermitsand/orlicencespertainingtotheloadingand/ordischargingoperationsshallbe
providedandpaidforbytheCharterers,unlesssuchpermitsand/orlicencescanonlybeobtainedbytheOwners,inwhichcasetheyshallbeprovidedbytheOwnersbutpaidforbytheCharterers.
TheOwnersandtheCharterersshallassisteachotherinobtainingsuchpermitsand/orlicences.
(b) AnydelaycausedbytheCharterersinobtainingthepermitsand/orlicencesrelatedtosub-clause5(a)shallbeattheCharterers’timeandanytimelostshallbepaidforatthedemurrageratestipulatedinBox19.
6. Duties,TaxesandCharges TheCharterersshallpayallduties,taxesandchargeswhatsoeverleviedorbasedontheCargoand/orthe
freightattheLoadingPortand/orDischargingPortirrespectiveofhowtheamountthereofmaybeassessed,includingagencycommissionassessedonthebasisofthefreight.
7. Quarantine UnlessduetohealthconditionsonboardtheVessel,anytimelostasaresultofquarantineformalitiesand/
orhealthrestrictionsimposedorincurredatanystageofthevoyage,includinganysuchlossoftimeattheLoadingPortand/ortheDischargingPort,shallbepaidforbytheCharterersatthedemurrageratespecifiedinBox19.TheCharterersshallalsopayforallotherexpenseswhichmaybeincurredasaresultthereof.
8. CommencementofLoading/CancellingDate (a) ThefirstlaydayshallbeonorbetweenthedatesstatedinBox10(“thePeriod”).
(b) ThePeriodshallbenarroweddowntoonefirmdate(“theFirstLayday”)inaccordancewiththenotificationscheduleinBox11. If Box11isnotfilledinthenthenotificationscheduleisinOwner’soption.
(c) EachnarrowedPeriodshallalwaysbewithinthepreviouslynotifiedPeriodandthenumberofdays’noticeshallalwaysbepriortothefirstdayofthepreviouslynotifiedPeriod.
(d) ThecancellingdateshallbethenumberofdaysstatedinBox12aftertheFirstLayday(“theCancellingDate”).IfBox12isnotfilledinthenfourteen(14)daysshallapply.
(e) ThedateofcommencementoftheloadingshallbeatanytimeonorbetweentheFirstLaydayandtheCancellingDate,bothdatesinclusive,intheOwners’option.ShouldtheOwnersgivenoticeofreadinesspriortotheFirstLayday,theCharterersmay,attheiroption,acceptsuchanearlierloadingdateandthetimeusedshallcountagainstthefreetimeinaccordancewithClause13(FreeTime/Demurrage).
(f) ShoulditappearthattheVesselwillnotbereadytocommenceloadinglatestontheCancellingDatetheOwnersshallimmediatelynotifytheCharterers.TheOwnersshallstateanewcancellingdateassoonastheyareinapositiontodosowithreasonablecertainty.
Withinseventy-two(72)runninghoursafterreceiptoftheOwners’noticeasaforesaidandlatestwhentheVesselisreadyforloading,whicheveristheearlier,theCharterersshalladvisetheOwnerswhethertheyelecttocancelthisCharterParty,failingsuchadvicethenewcancellingdateasnotifiedbytheOwnersshallbecometheCancellingDate.
(g) ShouldtheChartererscanceltheCharterPartyinaccordancewithsub-clause(f),anyamountpaidtotheOwnersinadvanceandnotearnedshallbereturnedtotheCharterersbytheOwners.
(h) TheOwnersshallnotberesponsibleforanylossordamageswhatsoeverincurredbytheCharterersasaresultoftheChartererscancellingthisCharterPartyinaccordancewithsub-clause(f)norshalltheOwnersberesponsibleforanylossordamageswhatsoeversufferedbytheCharterersasaresultofthefailureoftheVesseltobereadyforloadinglatestontheCancellingDate.
(i) ShouldtheCargoforreasonsbeyondtheOwners’controlnotbeloadedwithinfourteen(14)daysafterthefreetimeforloadingstatedinBox18hasexpired,theOwnersshallhavetheoptiontocancelthisCharterPartyortosailwithonlypartoftheCargoonboard.
(j) IftheOwnersexercisetheiroptiontocanceltheCharterPartyinaccordancewithsub-clause(i),the

CharterersshallpaytotheOwnerstheapplicableterminationfeeaccordingtotheprovisionsofClause21(Termination)inadditiontoanydemurrageincurred.
(k) IftheOwnersexercisetheiroptiontosailwithpartoftheCargoonboardinaccordancewithsub-clause(i) theCharterersshallpay to theOwners the full freightstated inBox16 inaddition toanydemurrageincurred.
9. AdvanceNotices (a) AdvanceNoticesofExpectedLoad-readiness TheOwnersshallgivenoticesoftheexpecteddayoftheVessel’sarrivaland/orreadinesstoloadfourteen
(14)days,seven(7)daysandthree(3)daysinadvanceunlessotherwisestatedinBox13.Furthermore,theOwnersshallgivetwenty-four(24)hoursapproximatenoticeoftheexpectedhouroftheVessel’sreadinessto load.
(b) DuringthevoyagetheOwnersshallgivenoticeofexpectedtimeofarrivalattheDischargingPortwithintervalsofthenumberofdaysstipulatedinBox14.
10. NoticeofReadiness TheOwnersshallgivenoticeofreadinessasperBox13advisingwhentheVesselisreadytocommence
loadingattheloadingportandwhentheVesselisreadytocommencedischargeatthedischargingportasperBox14.Allnoticesmaybegivenatanytimeofthedayornight,Saturdays,Sundays(ortheirlocalequivalent)andholidaysincludedandnotwithstandinghindrancesasreferredtoinClause3(c)(Deviation/Delays/PartCargo).
11. MarineSurveyor/ConditionoftheVesselandCargo (a) TheMarineSurveyor(s)statedinBox15shallbeappointedforthisTransportation.IfBox15hasnot
beenfilledintheCharterersandtheOwnersshallagreeontheappointmentofMarineSurveyor(s)acceptabletothecargounderwriters.
(b) AllrelevantdocumentationrequiredbytheMarineSurveyor(s)fortheirapprovaloftheTransportationshallbesubmittedtotheMarineSurveyorattheearliestpossiblestageafterthisCharterPartyisconcluded,ifnotalreadysubmittedearlier.Assoonaspossibleaftersubmissionoftherelevantdocumentation,TransportationapprovalshallbegivenbytheMarineSurveyor.
(c) TheCharterersshallpayallexpensesrelatingtotheproductionofdocumentationrelatedtotheCargoand/ortheCharterers’equipment.TheOwnersshallpayallexpensesrelatingtodocumentationrelatedtotheVesselandallotherequipmentbeingprovidedbytheOwnersintheperformanceoftheTransportation.
(d) TheCharterersshallarrangeandpayforalltheMarineSurveyor(s)services,includingapprovaloftheTransportation.
(e) TheChartererswarrantthatthefulldescriptionoftheCargostatedinBox5iscorrectandfurtherwarrantthattheCargoisinallrespectstight,staunch,strongandineverywayfitfortheTransportation.
(f) ShouldtheCargoand/oritsdescriptionnotbeincompliancewiththeaforesaidthentheOwnersshallhavetheoptiontocancelthisCharterParty.
(g) If theOwnersexercise theiroption tocancel theCharterParty inaccordancewith thisClause, theCharterersshallpaytotheOwnerstheapplicableterminationfeeaccordingtotheprovisionsofClause21(Termination).
12. Freight (a) The freightstipulated inBox16shallbepaid in instalments inaccordancewithBox17. If Box17
isnot completed then freight shall be fullyprepaiduponcompletionof loadingagainst surrenderof theHEAVYCONRECEIPT2007orHEAVYCONBILL2007whichever the casemaybe.The freight shall bedeemedearneduponcompletionofloadingandshallbenon-returnablewhethertheVesseland/orCargoislostornotlostandwhetherlostduetoperilsoftheseaorhowsoever.ThefreightinstalmentsshallbepaidinfullwithoutanydeductionsinthecurrencyandtotheOwners’bankaccountstatedinBox17.
(b) Intheeventofchangeinapplicable lawsorregulationsand/or interpretationthereof,resultinginanunavoidableanddocumentedchangeoftheOwners’costsafterthedateofenteringintotheCharterParty,

13. FreeTime/Demurrage (a) TheCharterersareallowedthefreetimestipulatedinBox18intheloadinganddischargingport(s)and
forcanaltransitifapplicable,Saturdays,Sundays(ortheirlocalequivalent)andholidaysincluded.
The free timeat theLoadingPort shall start countingwhennoticeof readinesshasbeen tendered, inaccordancewithClause10(NoticeofReadiness),whetherinberthornot,unlessloadinghascommencedearlierandshallcountuntilthecargoisinallrespectsfullyseafastenedonboardtheVesselandapprovedbytheMarineSurveyor(s).
ThefreetimeattheDischargingPortshallstartcountingwhennoticeofreadinesshasbeentenderedinaccordancewithClause10(NoticeofReadiness),whetherinberthornot,unlessdischargehascommencedearlierandshallcountuntilthecargoisinallrespectsremovedfromtheVessel.
(b) Demurrageshallbepayableforalltimeusedinexcessofthefreetime.ThedemurrageratefortheVesselistheamountstipulatedinBox19calculatedperdayorprorataforpartofaday.
(c) FreetimeshallnotcountandiftheVesselisondemurrage,demurrageshallnotaccruefortimelostbyreasonofdeficiencyoftheMaster,officersorcreworstrikeorlockoutoftheMaster,officersorcreworbyreasonofbreakdownoftheVesseloritsequipment.
(d) DemurrageandotheramountswhicharecalculatedatthedemurrageratefallduedaybydayandarepayablebytheChartererspromptly,uponpresentationoftheOwners’invoice,totheOwners’bankaccountstatedinBox17.
14. Mobilisation/Demobilisation (a) Mobilisation IfagreeduponinBox20theCharterersshallpaythelumpsumstipulatedthereininrespectofmobilisation,
whichamountshallbeearnedandnon-returnableupontheVessel’sarrivalintheloadingport.
(b) Demobilisation IfagreeduponinBox21theCharterersshallpaythelumpsumstipulatedthereininrespectofdemobilisation,
whichamountshallbeearnedandnon-returnableupontheVessel’sarrivalinthedischargingport.
(c) ThemobilisationanddemobilisationamountsshallbepayableagainsttheOwners’invoice.
15. CanalTransit (a) IftheTransportationisscheduledtopassthroughthecanalstatedinBox7,theCharterersshallbe
grantedfreetimeforanysuchtransit,andsuchfreetimeshallcountagainstthenumberofhoursstipulatedinBox18.IftheTransportationisdelayedbeyondthefreetimestipulatedtherein,theCharterersshallpayforsuchextratransittimeattherateofdemurragestipulatedinBox19andpaidinaccordancewithClause13(d)(FreeTime/Demurrage)andshall,inaddition,payforallotherdocumentedextraexpensestherebyincurred.Canaltransittimeisdefinedasfromarrivalatpilotstationorcustomarywaitingplaceoranchorage,whicheveristheearlier,anduntildroppinglastoutboundpilotwhenleavingfortheopensea.
(b) ThefreightratestipulatedinBox16isbasedupontheOwnerspayingcanaltollslimitedtotheamountstipulated inBox22.Any increase in the canal tolls and/or any additional expenses imposed on theTransportationforthecanaltransitactuallypaidbytheOwnersshallbereimbursedbytheChartererstotheOwnersuponpresentationoftheOwners’invoice.
(c) ShouldthetransitofacanalbemadeimpossibleforreasonsbeyondtheOwners’control,theCharterersshallpayforallextratimebywhichthevoyageistherebyprolongedattherateofdemurragestipulatedinBox19andpaidinaccordancewithClause13(d)(FreeTime/Demurrage).
TheCharterersshallalsopayallotherexpenses,includingforbunkers,inadditiontothosewhichwouldnormallyhavebeenincurredhadtheVesselbeenstanding-byinportlesstheamountofcanaltollssavedbytheOwnersfornothavingtransittedthecanal.
(d) Notwithstandingtheprovisionsofsub-clause(c)theOwnersmay,attheirsolediscretion,instructtheMastertodischargethecargoatthenearestsafeandreachableportorplaceandsuchdischargeshallbe

deemedduefulfilmentoftheCharterParty.AllprovisionsofthisCharterPartyregardingfreight,dischargeof thecargo,freetimeanddemurrageasagreedfortheoriginaldischargingportshallalsoapplytothedischargeatthesubstituteport.
16. BunkerEscalation ThisCharterPartyisconcludedonthebasisofthepricepermetrictonandthequantityandgradesofbunkers
statedinBox23.
IfthepriceactuallypaidbytheOwnersforthisquantityofbunkersshouldbehigher,thedifferenceshallbepaidbytheChartererstotheOwners.
IfthepriceactuallypaidbytheOwnersforthisquantityofbunkersshouldbelower,thedifferenceshallbepaidbytheOwnerstotheCharterers.
17. BIMCOIceClauseforVoyageCharterParties TheVesselshallnotbeobligedtoforceicebut,subjecttotheOwners’approvalhavingdueregardtoits
size,constructionandclass,mayfollowice-breakers.
(a) PortofLoading (i) IfatanytimeaftersettingoutontheapproachvoyagetheVessel’spassageisimpededbyice,orifon
arrivaltheloadingportisinaccessiblebyreasonofice,theMasterorOwnersshallnotifytheCharterersthereofandrequestthemtonominateasafeandaccessiblealternativeport.
IftheCharterersfailwithin48runninghours,Sundaysandholidaysincluded,tomakesuchnominationoragreetoreckonlaytimeasiftheportnamedintheCharterPartywereaccessibleordeclarethattheycanceltheCharterParty,theOwnersshallhavetheoptionofcancellingtheCharterParty.Intheeventofcancellationbyeitherparty,theCharterersshallcompensatetheOwnersforallprovenlossofearningsunderthisCharterParty.
(ii) IfatanyloadingporttheMasterconsidersthatthereisadangeroftheVesselbeingfrozenin,andprovidedthattheMasterorOwnersimmediatelynotifytheCharterersthereof,theVesselmayleavewithcargoloadedonboardandproceedtothenearestsafeandicefreeplaceandthereawaittheCharterers’nominationofasafeandaccessiblealternativeportwithin24runninghours,Sundaysandholidaysexcluded,oftheMaster’sorOwners’notification.IftheCharterersfailtonominatesuchalternativeport,thevesselmayproceedtoanyport(s),whetherornotonthecustomaryrouteforthecharteredvoyage,tocompletewithcargofortheOwners’account.
(b) PortofDischarge (i) Ifthevoyagetothedischargingportisimpededbyice,orifonarrivalthedischargingportisinaccessible
byreasonofice,theMasterorOwnersshallnotifytheCharterersthereof.Insuchcase,theCharterersshallhavetheoptionofkeepingtheVesselwaitinguntiltheportisaccessibleagainstpayingcompensationinanamountequivalenttotherateofdemurrageoroforderingtheVesseltoasafeandaccessiblealternativeport.
IftheCharterersfailtomakesuchdeclarationwithin48runninghours,Sundaysandholidaysincluded,oftheMasterorOwnershavinggivennoticetotheCharterers,theMastermayproceedwithoutfurthernoticetothenearestsafeandaccessibleportandtheredischargethecargo.
(ii) IfatanydischargingporttheMasterconsidersthatthereisadangeroftheVesselbeingfrozenin,andprovidedthattheMasterorOwnersimmediatelynotifytheCharterersthereof,theVesselmayleavewithcargo remainingonboardandproceed to thenearestsafeand ice freeplaceand thereawaittheCharterers’nominationofasafeandaccessiblealternativeportwithin24runninghours,Sundaysandholidaysexcluded,oftheMaster’sorOwners’notification.IftheCharterersfailtonominatesuchalternativeport,theVesselmayproceedtothenearestsafeandaccessibleportandtheredischargetheremainingcargo.
(c) Ondeliveryofthecargootherthanattheport(s)namedintheCharterParty,allconditionsoftheBillofLadingshallapplyandtheVesselshallreceivethesamefreightasifdischargehadbeenattheoriginalport(s)ofdestination,exceptthatifthedistanceofthesubstitutedport(s)exceeds100nauticalmiles,thefreightonthecargodeliveredatthesubstitutedport(s)shallbeincreasedproportionately.

18. DangerousCargo IfpartoftheCargoisofaninflammable,explosiveordangerousnatureorconditionoratanystagemay
developintosuchnatureorconditionitmustbepackedandstoredorstowedinaccordancewiththeIMODangerousGoodsCodeand/orotherapplicableregulationsalwaystothefullsatisfactionoftheMaster.AnydelaytotheTransportationinthisrespectshallbepaidforbytheCharterersatthedemurrageratestipulatedinBox19andinaccordancewithClause13(d)(FreeTime/Demurrage).
19. Lien TheOwnersshallhavealienontheCargoandanyCharterers’equipmentforallfreightandallotherexpenses
inrelationtotheTransportation,deadfreight,advances,demurrage,damagesfordetention,generalaverageandsalvageincludingcostsforrecoveringsame.
20. Substitution TheOwnersshall,atanytimebeforetheCancellingDate,beentitledtosubstitutetheVesselnamedinBox4
withanothervesselofequivalentcapabilityandcapacity,providedsuchsubstitutevesselisapprovedbytheMarineSurveyor(s)andsubjectalsototheCharterers’priorapproval,whichshallnotbeunreasonablywithheld.NothinghereinshallbeconstruedasimposingontheOwnersanobligationtomakesuchsubstitution.
21. Termination (a) Notwithstandinganythingelseprovidedherein, theCharterersshallhave the right to terminate this
CharterPartypriortotheVessel’sarrivalatthefirstloadingportagainstpaymentoftheapplicableamountstatedinBox24lessanyprepaidfreight.
(b) Furthermore,theCharterersshallhavetherighttoterminatethisCharterPartyaftertheVessel’sarrivalatthefirstloadingportbutnotlaterthanuponcommencementofloadingagainstpaymentoftheapplicableamountstated inBox24pluscompensation forall timespentat thefirst loadingportat thedemurrageratestatedinBox19lessanyprepaidfreighttogetherwiththeactualexpensesincurredbytheOwnersinpreparationfortheloading.
(c) If Box24isnotfilledin,thisClauseshallbedeemedtobedeleted.
22. LiabilitiesandIndemnities (a) Definitions ForthepurposeofthisClause“Owners’Group”shallmean:theOwners,andtheircontractorsandsub-
contractors,andemployeesofanyoftheforegoing.
ForthepurposeofthisClause“Charterers’Group”shallmean:theCharterers,andtheircontractors,sub-contractors,co-venturersandcustomers(havingacontractualrelationshipwiththeCharterers,alwayswithrespecttothejoborprojectonwhichtheVesselisemployed),andemployeesofanyoftheforegoing.
(b) KnockforKnock (i) Owners -Notwithstanding anything else contained in thisCharterParty exceptingClauses 24(b)
(Pollution),29(BothtoBlameCollisionClause)and30(GeneralAverageandNewJasonClause),theCharterersshallnotberesponsibleforlossofordamagetothepropertyofanymemberoftheOwners’Group,includingtheVessel,anyliabilityinrespectofwreckremovalandtheexpenseofmoving,lightingorbuoyingtheVessel,anyliabilityinrespectofpersonalinjuryordeathofanymemberoftheOwners’Group,andanyliabilityinrespectofothercargoonboardnotthesubjectofthisCharterParty,arisingoutoforinanywayconnectedwiththeperformanceofthisCharterParty,evenifsuchloss,damage,injuryordeathiscausedwhollyorpartiallybytheact,neglect,ordefaultoftheCharterers’Group,andevenifsuchloss,damage,injuryordeathiscausedwhollyorpartiallybyunseaworthinessofanyvessel;andtheOwnersshallindemnify,protect,defendandholdharmlesstheCharterersfromanyandagainstallclaims,costs,expenses,actions,proceedings,suits,demandsandliabilitieswhatsoeverarisingoutoforinconnectionwithsuchloss,damage,personalinjuryordeath.
(ii) Charterers -Notwithstandinganythingelse contained in thisCharterParty exceptingClause24(a)(Pollution),29 (Both toBlameCollisionClause)and30 (GeneralAverageandNewJasonClause),theOwnersshallnotberesponsibleforlossofordamagecausedtoorsustainedbytheCargoorthepropertyofanymemberoftheCharterers’Group,whetherownedorchartered,anyliabilityconsequentupondelaytotheCargo,anyliabilityinrespectofwreckremovalandtheexpenseofmoving,lightingorbuoyingtheCargo,anyliabilityinrespectofpersonalinjuryordeathofanymemberoftheCharterers’Group,arisingoutoforinanywayconnectedwiththeperformanceofthisCharterParty,evenifsuch

23. ConsequentialDamages Neitherpartyshallbe liable to theother foranyconsequentialdamageswhatsoeverarisingoutofor in
connectionwiththeperformanceornon-performanceof thisCharterParty,andeachpartyshallprotect,defendandindemnifytheotherfromandagainstallsuchclaimsfromanymemberofitsGroupasdefinedinClause22(LiabilitiesandIndemnities).
“Consequentialdamages”shallinclude,butnotbelimitedto,lossofuse,lossofprofits,shut-inorlossofproductionandcostofinsurance,whetherornotforeseeableatthedateofthisCharterParty.
24. Pollution (a) TheOwnersshallbeliablefor,andagreetoindemnify,defendandholdharmlesstheCharterersagainst
allclaims,costs,expenses,actions,proceedings,suits,demandsandliabilitieswhatsoeverarisingoutofactualorthreatenedpollutiondamageandthecostofcleanuporcontrolthereoforiginatingfromtheVesselorotherpropertyoftheOwners.
(b) TheCharterersshallbeliablefor,andagreetoindemnify,defendandholdharmlesstheOwnersagainstallclaims,costs,expenses,actions,proceedings,suits,demandsandliabilitieswhatsoeverarisingoutofactualorthreatenedpollutiondamageandthecostofcleanuporcontrolthereoforiginatingfromtheCargoorotherpropertyoftheCharterers.
25. BillofLadingorCargoReceipt TheOwnersandtheCharterersshallagreeandstateinBox25whetheraBillofLadingoranon-negotiable
CargoReceiptwillbeissuedbyOwnersuponloadingoftheCargo.
(a) *BillofLading If, as stated inBox25, theOwners have agreed to issue aBill of Lading, same shall be as per the
HEAVYCONBILL2007formwhichshallincorporateallterms,conditions,liberties,clausesandexceptionsofthisCharterParty,includingtheDisputeResolutionClause.Furthermore,thefollowingSub-clauses(a)(i)–(a)(iii),whicharenotpartofHEAVYCON,shallbeincorporatedintotheHEAVYCONBILL2007.
(i) TheOwnersshallnotbeliableforanyloss,damageordelaytoCargointheperiodbeforeloadingandafterdischarge.
(ii) Unlessotherwiseagreed,theCargoshallbeshippedondeckatShippers’riskandtheOwnersnottoberesponsibleforanylossordamageordelaytotheCargowhatsoeverandwhetherduetonegligenceofwhosoeverorhowsoeverarisingandbywhosoevercaused,andtheBillofLadingissuedhereundershallbesoclaused.
(iii) IftheCargoisshippedunderdeck,
(1)TheInternationalConventionfortheUnificationofCertainRulesofLawrelatingtoBillsofLadingsignedatBrusselson25August 1924 (“theHagueRules”) asamendedby theProtocol signedatBrusselson23February1968(“theHague-VisbyRules”)andasenactedinthecountryofshipmentshallapplytothisContract.WhentheHague-VisbyRulesarenotenactedinthecountryofshipment,thecorrespondinglegislationofthecountryofdestinationshallapply,irrespectiveofwhethersuchlegislationmayonlyregulateoutboundshipments.
(2)WhenthereisnoenactmentoftheHague-VisbyRulesineitherthecountryofshipmentorinthecountryofdestination,theHague-VisbyRulesshallapplytothisContractsavewheretheHagueRulesasenactedinthecountryofshipmentorifnosuchenactmentisinplace,theHagueRulesasenactedinthecountryofdestinationapplycompulsorilytothisContract.
(3)TheProtocolsignedatBrusselson21December1979(“theSDRProtocol1979”)shallapplywheretheHague-VisbyRulesapply,whethermandatorilyorbythisContract.

(4)TheCarriershallinnocaseberesponsibleforlossofordamagetocargoarisingpriortoloading,afterdischarging,orwhilethecargoisinthechargeofanothercarrier,orwithrespecttodeckcargoandliveanimals.
(b) *CargoReceipt If,asstatedinBox25,theOwnershaveagreedtoissueanon-negotiableCargoReceipt,sameshallbeas
pertheHEAVYCONRECEIPTformincorporatingallterms,conditions,liberties,clausesandexceptionsofthisCharterParty,includingtheDisputeResolutionClause.
(i) ItisexpresslyagreedthatneithertheHagueRulesnortheHague-VisbyRulesnoranystatutoryenactmentthereofshallapplytothisCharterPartyandtotheCargoReceipt,unlesscompulsorilyapplicable,inwhichcasetheOwnerstakeallreservationspossibleundersuchapplicablelegislation,relatingtotheperiodbeforeloadingandafterdischargingandwhilethegoodsareinthechargeofanothercarrier,andtodeckcargo.
(ii) Unlessotherwiseagreed,theCargoshallbeshippedondeckattheCharterers’riskandtheOwnersnottoberesponsibleforanylossordamageordelaytothecargowhatsoeverandwhetherduetonegligenceofwhosoeverorhowsoeverarisingandbywhosoevercaused,andtheCargoReceiptissuedhereundershallbesoclaused.
(iii) IftheCargoisshippedunderdeck,theCargoReceiptshallbeclausedaspersub-clause(ii)above.
(iv) TheCargoReceiptshallalwaysbeclaused“AllRisksInsurancehasbeenplacedforthefullvalueofthiscargobytheCharterersandinthenameoftheCharterersandtheOwners.”
(c) *Indicate alternative 25(a)(Bill of Lading) or 25(b)(Cargo Receipt), as agreed, in Box 25.
26. Insurance (a) WithoutprejudicetotheCharterers’obligationsandliabilitiesunderthisCharterParty,theCharterers
shallensurethatthereistakenoutandmaintainedatallmaterialtimesandthroughoutthedurationofthisCharterPartyapolicyorpoliciesofinsuranceinrespectofalllossordamagetotheCargouptothefullvalueoftheCargoincludingbutnotlimitedtoapolicyorpoliciescomprisingAllRiskscargocoverandcoveragainstliabilitiestothirdparties(includingliabilityinrespectofdeathandinjuryandclaimsforconsequentialloss),andwreckremovaloftheCargo.TheCharterersshallarrangewithoutcosttotheOwnersthattheOwnersshallbenamedasco-insuredunderthesaidpolicyorpoliciesofinsuranceandtheCharterersshallarrangethattheunderwriterswaivetherightofsubrogationagainsttheOwners.
TheCharterersherebyagreetoproducetheoriginalcertificatesofinsurancemaintainedhereundertotheOwnersortheirappointedrepresentativeswhenrequestedsotodo.
(b) TheOwnersshallarrangeat theirexpensesuch insurance(s)as required toprotect theCharterersagainsttheOwners’liabilitiesunderClause22(LiabilitiesandIndemnities).
TheOwnersherebyagreetoproducetheoriginalcertificate(s)ofinsurancemaintainedhereundertotheCharterersortheirappointedrepresentativeswhenrequestedtodoso.
27. HimalayaCargoClause ItisherebyexpresslyagreedthatnoservantoragentoftheOwners(includingeveryindependentcontractor
fromtimetotimeemployedbytheOwners)shallinanycircumstanceswhatsoeverbeunderanyliabilitywhatsoevertotheShipper,ConsigneeorowneroftheCargoortoanyHolderoftheBillofLadingforanyloss,damageordelayofwhatsoeverkindarisingorresultingdirectlyorindirectlyfromanyact,neglectordefaultontheirpartwhileactinginthecourseoforinconnectionwiththeiremploymentand,butwithoutprejudicetothegeneralityoftheforegoingprovisionsinthisClause,everyexemption,limitation,conditionandlibertyhereincontainedandeveryright,exemptionfromliability,defenceandimmunityofwhatsoevernatureapplicabletotheOwnersortowhichtheOwnersareentitledhereundershallalsobeavailableandshallextendtoprotecteverysuchservantoragentoftheOwnersactingasaforesaidandforthepurposeofalltheforegoingprovisionsofthisClausetheOwnersareorshallbedeemedtobeactingasagentortrusteeonbehalfofandforthebenefitofallpersonswhoareormightbetheirservantsoragentsfromtimetotime(includingindependentcontractorsasaforesaid)andallsuchpersonsshalltothisextentbeorbedeemedtobepartiestothisCharterParty.

TheOwnersshallbeentitledtobepaidbytheShipper,Consignee,owneroftheCargoand/orHolderoftheBillofLading(whoshallbejointlyandseverallyliabletotheOwnerstherefor)ondemandanysumrecoveredorrecoverablebyeithersuchShipper,Consignee,owneroftheCargoand/orHolderoftheBillofLadingoranyotherfromsuchservantoragentoftheOwnersforanysuchloss,damage,delayorotherwise.
28. Salvage TheOwners shallwaive their right to claimanyaward for salvageperformedonpropertyownedbyor
contractedtotheCharterers,alwaysprovidedsuchpropertywastheobjectoftheoperationtheVesselwascharteredfor,andtheVesselshallremainonhirewhenrenderingsalvageservicestosuchproperty.ThiswaiveriswithoutprejudicetoanyrighttheVessel’sMaster,officersandcrewmayhaveunderanytitle.
IftheOwnersrenderassistancetosuchpropertyindistressonthebasisof“noclaimforsalvage”,then,notwithstandinganyotherprovisionscontained in thisCharterPartyandeven in theeventofneglectordefaultoftheOwners,Master,officersorcrew:
(a) TheCharterersshallberesponsibleforandshallindemnifytheOwnersagainstpaymentsmade,underanylegalrights,totheMaster,officersandcrewinrelationtosuchassistance.
(b) TheCharterersshallberesponsibleforandshallreimbursetheOwnersforanylossordamagesustainedbytheVesselorherequipmentbyreasonofgivingsuchassistanceandshallalsopaytheOwners’additionalexpensestherebyincurred.
(c) TheCharterers shall be responsible for any actual or potential spill, seepage and/or emission ofanypollutanthowsoever causedoccurringwithin theoffshoresiteandanypollution resulting therefromwheresoever itmayoccurand includingbutnot limitedto thecostofsuchmeasuresasarereasonablynecessarytopreventormitigatepollutiondamage,andtheCharterersshallindemnifytheOwnersagainstanyliability,costorexpensearisingbyreasonofsuchactualorpotentialspill,seepageand/oremission.
(d) TheCharterersshall indemnify theOwnersagainstany liability,costand/orexpensewhatsoever inrespectofanylossoflife,injury,damageorotherlosstopersonorpropertyhowsoeverarisingfromsuchassistance.
29. Both-to-BlameCollisionClause IftheVesselcomesintocollisionwithanothervesselasaresultofthenegligenceoftheothervesselandany
act,neglectordefaultoftheMaster,mariner,pilotortheservantsoftheOwnersinthenavigationorinthemanagementoftheVessel,theownersofthecargocarriedhereunderwillindemnifytheOwnersagainstalllossorliabilitytotheotherornon-carryingvesselorherOwnersinsofarassuchlossorliabilityrepresentslossof,ordamageto,oranyclaimwhatsoeveroftheownersofthesaidcargo,paidorpayablebytheotherornon-carryingvesselorherownerstotheownersofsaidcargoandset-off,recoupedorrecoveredbytheotherornon-carryingvesselorherownersaspartoftheirclaimagainstthecarryingvesselorOwners.
Theforegoingprovisionsshallalsoapplywheretheowners,operatorsorthoseinchargeofanyvesselorvesselsorobjectsotherthan,orinadditionto,thecollidingvesselsorobjectsareatfaultinrespectofacollisionorcontact.
30. GeneralAverageandNewJasonClause GeneralaverageshallbeadjustedandsettledinLondonunlessotherwisestatedinBox26,accordingtothe
York/AntwerpRules,1994,butif,notwithstandingtheprovisionsspecifiedinBox26,theadjustmentismadeinaccordancewiththelawandpracticeoftheUnitedStatesofAmerica,thefollowingclauseshallapply:
“Intheeventofaccident,danger,damageordisasterbeforeorafter thecommencementof thevoyage,resultingfromanycausewhatsoever,whetherduetonegligenceornot,forwhich,orfortheconsequenceofwhich,Ownersarenotresponsible,bystatute,contractorotherwise,thegoods,shippers,consigneesorownersofthegoodsshallcontributewithOwnersingeneralaveragetothepaymentofanysacrifices,lossesorexpensesofageneralaveragenaturethatmaybemadeorincurredandshallpaysalvageandspecialchargesincurredinrespectofthegoods.IfasalvingvesselisownedoroperatedbyOwners,salvageshallbepaidforasfullyasifthesaidsalvingvesselorvesselsbelongedtostrangers.SuchdepositasOwners,ortheiragents,maydeemsufficienttocovertheestimatedcontributionofthegoodsandanysalvageandspecialchargesthereonshall, ifrequired,bemadebythegoods,shippers,consigneesorownersofthegoodstoOwnersbeforedelivery”.

31. WarRisks(VOYWAR2004) (a) ForthepurposeofthisClause,thewords:
(i) “Owners” shall include the shipowners, bareboat charterers, disponent owners,managers or otheroperatorswhoarechargedwiththemanagementoftheVessel,andtheMaster;and
(ii) “WarRisks”shallincludeanyactual,threatenedorreported:
War;actofwar;civilwar;hostilities;revolution;rebellion;civilcommotion;warlikeoperations;layingofmines;actsofpiracy;actsofterrorists;actsofhostilityormaliciousdamage;blockades(whetherimposedagainstallvesselsorimposedselectivelyagainstvesselsofcertainflagsorownership,oragainstcertaincargoesorcrewsorotherwisehowsoever);byanyperson,body,terroristorpoliticalgroup,ortheGovernmentofanystatewhatsoever,which,inthereasonablejudgementoftheMasterand/ortheOwners,maybedangerousorarelikelytobeortobecomedangeroustotheVessel,hercargo,creworotherpersonsonboardtheVessel.
(b) IfatanytimebeforetheVesselcommencesloading,itappearsthat,inthereasonablejudgementoftheMasterand/ortheOwners,performanceoftheCharterParty,oranypartofit,mayexpose,orislikelytoexpose,theVessel,hercargo,creworotherpersonsonboardtheVesseltoWarRisks,theOwnersmaygivenoticetotheChartererscancellingthisCharterParty,ormayrefusetoperformsuchpartofitasmayexpose,ormaybelikelytoexpose,theVessel,hercargo,creworotherpersonsonboardtheVesseltoWarRisks;providedalwaysthatifthisCharterPartyprovidesthatloadingordischargingistotakeplacewithinarangeofports,andattheportorportsnominatedbytheChartererstheVessel,hercargo,crew,orotherpersonsonboardtheVesselmaybeexposed,ormaybelikelytobeexposed,toWarRisks,theOwnersshallfirstrequiretheChartererstonominateanyothersafeportwhichlieswithintherangeforloadingordischarging,andmayonlycancelthisCharterPartyiftheCharterersshallnothavenominatedsuchsafeportorportswithin48hoursofreceiptofnoticeofsuchrequirement.
(c) TheOwnersshallnotberequiredtocontinuetoloadcargoforanyvoyage,ortosignBillsofLadingforanyportorplace,ortoproceedorcontinueonanyvoyage,oronanypartthereof,ortoproceedthroughanycanalorwaterway,ortoproceedtoorremainatanyportorplacewhatsoever,whereitappears,eitheraftertheloadingofthecargocommences,oratanystageofthevoyagethereafterbeforethedischargeofthecargoiscompleted,that,inthereasonablejudgementoftheMasterand/ortheOwners,theVessel,hercargo(oranypartthereof),creworotherpersonsonboardtheVessel(oranyoneormoreofthem)maybe,orarelikelytobe,exposedtoWarRisks.Ifitshouldsoappear,theOwnersmaybynoticerequesttheChartererstonominateasafeportforthedischargeofthecargooranypartthereof,andifwithin48hoursofthereceiptofsuchnotice,theCharterersshallnothavenominatedsuchaport,theOwnersmaydischargethecargoatanysafeportoftheirchoice(includingtheportofloading)incompletefulfilmentoftheCharterParty.TheOwnersshallbeentitledtorecoverfromtheChartererstheextraexpensesofsuchdischargeand,ifthedischargetakesplaceatanyportotherthantheloadingport,toreceivethefullfreightasthoughthecargohadbeencarriedtothedischargingportandiftheextradistanceexceeds100miles,toadditionalfreightwhichshallbethesamepercentageofthefreightcontractedforasthepercentagewhichtheextradistancerepresentstothedistanceofthenormalandcustomaryroute,theOwnershavingalienonthecargoforsuchexpensesandfreight.
(d) Ifatanystageofthevoyageaftertheloadingofthecargocommences,itappearsthat,inthereasonablejudgementoftheMasterand/ortheOwners,theVessel,hercargo,creworotherpersonsonboardtheVesselmaybe,orarelikelytobe,exposedtoWarRisksonanypartoftheroute(includinganycanalorwaterway)whichisnormallyandcustomarilyusedinavoyageofthenaturecontractedfor,andthereisanotherlongerroutetothedischargingport,theOwnersshallgivenoticetotheCharterersthatthisroutewillbetaken.InthiseventtheOwnersshallbeentitled,ifthetotalextradistanceexceeds100miles,toadditionalfreightwhichshallbethesamepercentageofthefreightcontractedforasthepercentagewhichtheextradistancerepresentstothedistanceofthenormalandcustomaryroute.
(e) (i)TheOwnersmayeffectwarrisksinsuranceinrespectoftheHullandMachineryoftheVesselandtheirother interests (including,butnot limited to, lossofearningsanddetention, thecrewand theirProtectionandIndemnityRisks),andthepremiumsand/orcallsthereforshallbefortheiraccount.
(ii) IftheUnderwritersofsuchinsuranceshouldrequirepaymentofpremiumsand/orcallsbecause,pursuanttotheCharterers’orders,orinordertofulfiltheOwners’obligationunderthisCharterParty,theVesseliswithin,orisduetoenterandremainwithin,orpassthroughanyareaorareaswhicharespecifiedbysuch

UnderwritersasbeingsubjecttoadditionalpremiumsbecauseofWarRisks,thentheactualpremiumsand/orcallspaidshallbereimbursedbytheChartererstotheOwnerswithin14daysafterreceiptoftheOwners’invoice.IftheVesseldischargesallofhercargowithinanareasubjecttoadditionalpremiumsashereinsetforth,theCharterersshallreimbursetheOwnersfortheactualadditionalpremiumspaidwhichmayaccruefromcompletionofdischargeuntiltheVesselleavessuchareaorareasreferredtoabove.TheOwnersshallleavetheareaassoonaspossibleaftercompletionofdischarge.
(f) TheVesselshallhaveliberty:-
(i) tocomplywithallorders,directions,recommendationsoradviceastodeparture,arrival,routes,sailinginconvoy,portsofcall,stoppages,destinations,dischargeofcargo,deliveryorinanywaywhatsoeverwhicharegivenbytheGovernmentoftheNationunderwhoseflagtheVesselsails,orotherGovernmenttowhoselawstheOwnersaresubject,oranyotherGovernmentwhichsorequires,oranybodyorgroupactingwiththepowertocompelcompliancewiththeirordersordirections;
(ii) tocomplywiththeorders,directionsorrecommendationsofanywarrisksunderwriterswhohavetheauthoritytogivethesameunderthetermsofthewarrisksinsurance;
(iii) tocomplywiththetermsofanyresolutionoftheSecurityCounciloftheUnitedNations,theeffectiveordersofanyotherSupranationalbodywhichhastherighttoissueandgivethesame,andwithnationallawsaimedatenforcingthesametowhichtheOwnersaresubject,andtoobeytheordersanddirectionsofthosewhoarechargedwiththeirenforcement;
(iv) todischargeatanyotherportanycargoorpartthereofwhichmayrendertheVesselliabletoconfiscationasacontrabandcarrier;
(v) tocallatanyotherporttochangethecreworanypartthereoforotherpersonsonboardtheVesselwhenthereisreasontobelievethattheymaybesubjecttointernment,imprisonmentorothersanctions;
(vi) wherecargohasnotbeenloadedorhasbeendischargedbytheOwnersunderanyprovisionsofthisClause,toloadothercargofortheOwners’ownbenefitandcarryittoanyotherportorportswhatsoever,whetherbackwardsorforwardsorinacontrarydirectiontotheordinaryorcustomaryroute.
(g) Ifincompliancewithanyoftheprovisionsofsub-clauses(b)to(e)ofthisClauseanythingisdoneornotdone,suchshallnotbedeemedtobeadeviation,butshallbeconsideredasduefulfilmentoftheCharterParty.
32. LimitationofLiability AnyprovisionsofthisCharterPartytothecontrarynotwithstanding,theOwnersshallhavethebenefitofall
limitationsof,andexemptionsfrom,liabilityaccordedtotheownersorcharteredownersofvesselsbyanyapplicablestatuteorruleoflawforthetimebeinginforce,andthesamebenefitstoapplyregardlessoftheformofsignaturesgiventothisCharterParty.
33. Interest IfanyamountsdueunderthisCharterPartyarenotpaidwhendue,theninterestattherateof1.5%per
monthorprorataforpartofamonthshallbepaidonallsuchamountsuntilpaymentisreceived.
34. Agency TheVesselshallbeaddressedtoOwners’agentsatport(s)ofloadinganddischarging.
35. Brokerage TheOwnersshallpayabrokerageattheratestatedinBox28(i)totheBroker(s)mentionedinBox28(ii)on
anyfreight,demurrage,mobilisationfee,demobilisationfeeand/orterminationfeepaidunderthisCharterParty.
IfthefullamountsasaforesaidarenotpaidowingtobreachofthisCharterPartybyeitheroftheparties,thepartyliablethereforshallindemnifytheBroker(s)againsthisortheirlossofbrokerage.
36. BIMCOISPS/MTSAClauseforVoyageCharterParties2005 (a) (i)TheOwnersshallcomplywiththerequirementsoftheInternationalCodefortheSecurityofShips
andofPortFacilitiesandtherelevantamendmentstoChapterXIofSOLAS(ISPSCode)relatingto

theVesseland“theCompany”(asdefinedbytheISPSCode).IftradingtoorfromtheUnitedStatesorpassingthroughUnitedStateswaters,theOwnersshallalsocomplywiththerequirementsoftheUSMaritimeTransportationSecurityAct2002(MTSA)relatingtotheVesselandthe“Owner”(asdefinedbytheMTSA).
(ii) UponrequesttheOwnersshallprovidetheChartererswithacopyoftherelevantInternationalShipSecurityCertificate(ortheInterimInternationalShipSecurityCertificate)andthefullstylecontactdetailsoftheCompanySecurityOfficer(CSO).
(iii) Loss,damages,expenseordelay(excludingconsequentialloss,damages,expenseordelay)causedbyfailureonthepartoftheOwnersor“theCompany”/“Owner”tocomplywiththerequirementsoftheISPSCode/MTSAorthisClauseshallbefortheOwners’account,exceptasotherwiseprovidedinthisCharterParty.
(b) (i)TheCharterersshallprovidetheOwnersandtheMasterwiththeirfullstylecontactdetailsand,uponrequest,anyotherinformationtheOwnersrequiretocomplywiththeISPSCode/MTSA.
(ii) Loss,damagesorexpense(excludingconsequentialloss,damagesorexpense)causedbyfailureonthepartoftheChartererstocomplywiththisClauseshallbefortheCharterers’account,exceptasotherwiseprovidedinthisCharterParty,andanydelaycausedbysuchfailureshallcountaslaytimeortimeondemurrage.
(c) ProvidedthatthedelayisnotcausedbytheOwners’failuretocomplywiththeirobligationsundertheISPSCode/MTSA,thefollowingshallapply:
(i) Notwithstandinganything to thecontraryprovided in thisCharterParty, theVesselshallbeentitledtotenderNoticeofReadinessevenifnotclearedduetoapplicablesecurityregulationsormeasuresimposedbyaportfacilityoranyrelevantauthorityundertheISPSCode/MTSA.
(ii) AnydelayresultingfrommeasuresimposedbyaportfacilityorbyanyrelevantauthorityundertheISPSCode/MTSAshallcountaslaytimeortimeondemurrage,unlesssuchmeasuresresultsolelyfromthenegligenceoftheOwners,MasterorcrewortheprevioustradingoftheVessel,thenationalityofthecrewortheidentityoftheOwners’managers.
(d) NotwithstandinganythingtothecontraryprovidedinthisCharterParty,anycostsorexpenseswhatsoeversolelyarisingoutoforrelatedtosecurityregulationsormeasuresrequiredbytheportfacilityoranyrelevantauthority inaccordancewith the ISPSCode/MTSA including,butnot limited to, securityguards, launchservices,vesselescorts,securityfeesortaxesandinspections,shallbefortheCharterers’account,unlesssuchcostsorexpensesresultsolelyfromthenegligenceoftheOwners,MasterorcrewortheprevioustradingoftheVessel,thenationalityofthecrewortheidentityoftheOwners’managers.AllmeasuresrequiredbytheOwnerstocomplywiththeShipSecurityPlanshallbefortheOwners’account.
(e) Ifeitherpartymakesanypaymentwhichisfortheotherparty’saccountaccordingtothisClause,theotherpartyshallindemnifythepayingparty.
37. DoubleBanking (a) TheCharterersshallhavetheright,whereandwhenitiscustomaryandsafeforvesselsofsimilarsize
andtypetodoso,toperformtheloadingand/ordischargingoperationswhiletheVessel liesorremainsalongsideanothervesselorvesselsofanysizeordescriptionwhatsoeverortoordersuchvesselstocomeand remain alongsideat such safe dock,wharf, anchorageor other place for transhipment, loadingordischargingoftheCargo.
(b) TheCharterersshallpayforandprovidesuchassistanceandequipmentasmayberequiredtoenableanyoftheoperationsmentionedinthisclausesafelytobecompletedandshallgivetheOwnerssuchadvancenoticeastheyreasonablycanofthedetailsofanysuchoperations.
(c) WithoutprejudicetothegeneralityoftheCharterers’rightsunder(a)and(b),itisexpresslyagreedthattheMastershallhavetherighttorefusetoallowtheVesseltoperformasprovidedin(a)and(b)ifinhisreasonableopinionitisnotsafesotodo.
(d) TheOwnersshallbeentitledtoinsureanydeductibleundertheVessel’shullpolicyandtheCharterers

shallreimbursetheOwnersanyadditionalpremium(s)statedinBox27(i)requiredbytheVessel’sUnderwritersand/orthecostsstatedinBox27(ii)ofinsuringanydeductibleundertheVessel’shullpolicy.
38. Confidentiality AllinformationordataprovidedorobtainedinconnectionwiththeperformanceofthisCharterPartyisand
shallremainconfidentialandnotbedisclosedwithoutthepriorwrittenconsentoftheotherpartyexceptasmayberequiredbyeitherpartytocomplywiththeirobligationsunderthisCharterParty.Thepartiesshallusetheirbesteffortstoensurethatsuchinformationshallnotbedisclosedtoanythirdpartybyanyoftheirsub-contractors,employeesandagents.ThisClauseshallnotapply toany informationordata thathasalreadybeenpublishedorisinthepublicdomain.
Allinformationanddataprovidedbyapartyisandshallremainthepropertyofthatparty.
39. BIMCODisputeResolutionClause (a) *ThisCharterPartyshallbegovernedbyandconstruedinaccordancewithEnglishlawandanydispute
arisingoutoforinconnectionwiththisCharterPartyshallbereferredtoarbitrationinLondoninaccordancewiththeArbitrationAct1996oranystatutorymodificationorre-enactmentthereofsavetotheextentnecessarytogiveeffecttotheprovisionsofthisClause.
ThearbitrationshallbeconductedinaccordancewiththeLondonMaritimeArbitratorsAssociation(LMAA)Termscurrentatthetimewhenthearbitrationproceedingsarecommenced.
Thereferenceshallbetothreearbitrators.Apartywishingtoreferadisputetoarbitrationshallappointitsarbitratorandsendnoticeofsuchappointmentinwritingtotheotherpartyrequiringtheotherpartytoappointitsownarbitratorwithin14calendardaysofthatnoticeandstatingthatitwillappointitsarbitratorassolearbitratorunlesstheotherpartyappointsitsownarbitratorandgivesnoticethatithasdonesowithinthe14daysspecified.Iftheotherpartydoesnotappointitsownarbitratorandgivenoticethatithasdonesowithinthe14daysspecified,thepartyreferringadisputetoarbitrationmay,withouttherequirementofanyfurtherpriornoticetotheotherparty,appointitsarbitratorassolearbitratorandshalladvisetheotherpartyaccordingly.Theawardofasolearbitratorshallbebindingonbothpartiesasifhehadbeenappointedbyagreement.
Nothing herein shall prevent the parties agreeing inwriting to vary theseprovisions to provide for theappointmentofasolearbitrator.
IncaseswhereneithertheclaimnoranycounterclaimexceedsthesumofUS$50,000(orsuchothersumasthepartiesmayagree)thearbitrationshallbeconductedinaccordancewiththeLMAASmallClaimsProcedurecurrentatthetimewhenthearbitrationproceedingsarecommenced.
(b) *ThisCharterPartyshallbegovernedbyandconstruedinaccordancewithTitle9oftheUnitedStatesCodeandtheMaritimeLawoftheUnitedStatesandanydisputearisingoutoforinconnectionwiththisCharterPartyshallbereferredtothreepersonsatNewYork,onetobeappointedbyeachofthepartieshereto,andthethirdbythetwosochosen;theirdecisionorthatofanytwoofthemshallbefinal,andforthepurposesofenforcinganyaward,judgmentmaybeenteredonanawardbyanycourtofcompetentjurisdiction.TheproceedingsshallbeconductedinaccordancewiththerulesoftheSocietyofMaritimeArbitrators,Inc.
IncaseswhereneithertheclaimnoranycounterclaimexceedsthesumofUS$50,000(orsuchothersumasthepartiesmayagree)thearbitrationshallbeconductedinaccordancewiththeShortenedArbitrationProcedureoftheSocietyofMaritimeArbitrators,Inc.currentatthetimewhenthearbitrationproceedingsarecommenced.
(c) *ThisCharterPartyshallbegovernedbyandconstruedinaccordancewiththelawsoftheplacemutuallyagreedbythepartiesandanydisputearisingoutoforinconnectionwiththisCharterPartyshallbereferredtoarbitrationatamutuallyagreedplace,subjecttotheproceduresapplicablethere.
(d) Notwithstanding(a),(b)or(c)above,thepartiesmayagreeatanytimetorefertomediationanydifferenceand/ordisputearisingoutoforinconnectionwiththisCharterParty.
Inthecaseofadisputeinrespectofwhicharbitrationhasbeencommencedunder(a),(b)or(c)above,thefollowingshallapply:

(i) Eitherpartymayatanytimeandfromtimetotimeelecttoreferthedisputeorpartofthedisputetomediationbyserviceontheotherpartyofawrittennotice(the“MediationNotice”)callingontheotherpartytoagreetomediation.
(ii) Theotherpartyshallthereuponwithin14calendardaysofreceiptoftheMediationNoticeconfirmthattheyagreetomediation,inwhichcasethepartiesshallthereafteragreeamediatorwithinafurther14calendardays,failingwhichontheapplicationofeitherpartyamediatorwillbeappointedpromptlybytheArbitrationTribunal(“theTribunal”)orsuchpersonastheTribunalmaydesignateforthatpurpose.Themediationshallbeconductedinsuchplaceandinaccordancewithsuchprocedureandonsuchtermsasthepartiesmayagreeor,intheeventofdisagreement,asmaybesetbythemediator.
(iii) Iftheotherpartydoesnotagreetomediate,thatfactmaybebroughttotheattentionoftheTribunalandmaybetakenintoaccountbytheTribunalwhenallocatingthecostsofthearbitrationasbetweentheparties.
(iv) Themediationshallnotaffecttherightofeitherpartytoseeksuchreliefortakesuchstepsasitconsidersnecessarytoprotectitsinterest.
(v) EitherpartymayadvisetheTribunalthattheyhaveagreedtomediation.Thearbitrationprocedureshallcontinueduringtheconductof themediationbuttheTribunalmaytakethemediationtimetable intoaccountwhensettingthetimetableforstepsinthearbitration.
(vi) Unlessotherwiseagreedorspecifiedinthemediationterms,eachpartyshallbearitsowncostsincurredinthemediationandthepartiesshallshareequallythemediator’scostsandexpenses.
(vii)Themediationprocessshallbewithoutprejudiceandconfidentialandno informationordocumentsdisclosedduringitshallberevealedtotheTribunalexcepttotheextentthattheyaredisclosableunderthelawandproceduregoverningthearbitration.
(Note:Thepartiesshouldbeawarethatthemediationprocessmaynotnecessarilyinterrupttimelimits.)

40. BIMCONoticesClause (a) Allnoticesgivenbyeitherpartyortheiragentstotheotherpartyortheiragentsinaccordancewiththe

(b) ForthepurposesofthisCharterParty,“inwriting”shallmeananymethodoflegiblecommunication.Anoticemaybegivenbyanyeffectivemeansincluding,butnotlimitedto,cable,telex,fax,e-mail,registeredorrecordedmail,orbypersonalservice.
41. EntireAgreement ThisCharterParty, includingallAnnexes referencedherein andattachedhereto, constitutes theentire
agreementofthepartiesandnopromise,undertaking,representation,warrantyorstatementbyeitherpartypriortothedateofthisCharterPartystatedinBox1shallaffectthisCharterParty.AnymodificationofthisCharterPartyshallnotbeofanyeffectunlessinwritingsignedbyoronbehalfoftheparties.
