Tissue Culture Net Pot Plant:

The term Tissue Culture Net Pot plants shall mean and include only the healthy Tissue

Culture plantlets produced in Laboratory and fully hardened in Net House & approved by

the representatives of GATL.

Dear Sir,

GSFC Agrotech Ltd- GATL is engaged in the business of production of Tissue Culture

plants. Clfl has newly developed modern Tissue Culture Production Laboratory ol25Lr. ."pr.ity in Fertilizernagar as per DBT standards. GATL wants to outsource the new

lab production as well as hardening activity of 25 Lac plants.

For this purpose Bids are invited for raising, hardening and supply of primary/secondary fully

hardened (twenty five lac) tissue culture plants per annum, as a Continuous process for GATL.

Bidders are advised to go through the entire tender document and then submit the

information in Tablel and Table 2 (technical bid) attached herewith for prequalification

of vendors.

Bidders should have to give their rate online (Etender) (per plant cost) by using GATL's

New TC laboratory and bidder's hardening facilities.

Bidders should visit the production site & study the available facility before quoting the

rates.

Payment Terms

The payment terms will be as per the following conditions:' All the payments to the TCSP will be made by GATL direcily to the TCSp on the

basis of number of primary/secondary fully haidened Plants iupplied to GATL.' The bill shall.be raised on quantity of plants dispatched or remaining plants readyto be dispatch.

' TCSP shall have to submit the bills on 10 days interval, mentioning workcompleted during the period in prescribed format of Table A of this tender' The TCSP will be paid their bill amount on certification by GATL's concern officiatand if found satisfactory within 45 (forty five) days of submission of bills to GATL.. No advance will be paid.

' No escalation will be paid in offered rates during the entire contract period and inextension.

' Electricity and water charges (Lumpsum basis) shall be paid to GATL on monthlybasis as per GATL's electric meter reading.

GST:-

GST charged on the services should be shown separately in the monthly bill mentioningthe Service Accounting Code (SAC) and GSTIN. The copy of GST RegistrationCertificate obtained by the Service Provider shall be attached with the offer.

ln case of non compliance by the service provider of the GST provisions and blockage

of any input tax credit, he shall be liable to indemnify the organization, if in future GST

liability is to be borne by the recipient, and the same will be claimed from the TCSP by

way of raising debit notes.

EARNEST MONEY DEPOS|T (EMD) SECURITY DEPOSIT

in the form of Bank Guarantee or DD in favour of GSFC Agrotech Limited payable atFertilizernagar. lnterest will not be paid on the said EIMD. The offer without EIMD willnot be considered. The EITID will be refunded to unsuccessful parties within 30 daysafter finalization of contract. Without EMD, GATL has the right to reject the quotation.

GATL will not pay any interest on the EMD of such successful TCSP.

Rates and Remuneration:-

o The rates quoted and agreed to shall be as stipulated in the contract.. Risk Purchase: ln case the Service provider on successful award of the Tender

the course of the implementation of the contract at any point of time.. GATL will have the right to recover the damages/losses at its discretion, terminate

the contract in part or full TCSP in the following events:o Non-compliance to quality standardso lf the progress of the work is not satisfactory and/oro Non-fulfillment of any of the terms and conditions of the contract

o lf the TCSP does not deploy adequate manpower for the services stipulatedunder the contract, GATL will have the right to employ people from any alternatesource and recover the extra cost incurred from the running bill of the TCSPand/or its Security Deposit and/or by availing legal remedies.

. GATL reserves the right to terminate the contract without assigning any reasonsor without payment of compensation. The decision of GATL in this regard, shallbe final and binding to the TCSP.

. The TCSP is not appointed as an exclusive party for this job and GATL reservesthe right to appoint one or more agencies.

o This being a job contract, lncome-Applicable Taxes as per extant rules will be

deducted from the TCSP's each bill.

o The lnterested TCSP shall have to submit required details in attached Tablel andTable 2 (technical bid) for pre-qualification and submit the same in sealedcover - {.

. TCSP's shall also have to submit the rates through online (n-procure) portal.

. TCSP's, whose Technical Bid is meeting the tender requirements, shall beconsidered technically qualified & shall only be approved for opening of financialoffer.

r Price Bid of TCSP not technically qualified by GATL shall not be approved foropening of price bid.

Comparison and Evaluation of Tenders:

The tenders shall be compared on the basis of price quoted by the TCSP for theentire scope of proposal.GATL authority will negotiate the price bid offered by successive TCSP's.

Riqht to Place the Order:

ny dispute or difference whatsoever arises between theparties hereto in respect of or relating to or-this Contract, the parties shall try tosettle such disputes or difference amicably. Any such dispute or difference, whichthe parties cannot resolve in an amicable manner, shall be finally settled in

accordance with the Arbitration and Conciliation Act, 1996 and Rules framedthere under. The decision of the Arbitrator shall be final and binding on theparties. Arbitration proceedings shall be conducted in Vadodara only and thelanguage of arbitration shall be in English.

Any suit or proceedings to enforce the rights of either party under this contractshall be instituted and tried by the court in the city of Vadodara only, and partieshereto expressly agree to submit to the exclusive jurisdiction of courts inVadodara.

Technical terms & conditions-

1.0 TcsP should have experience to run a DBT certified laboratory.2.0 The production should be carried out in GATL's new production facility, and in

special case at bidder's production facility with due permission of GATL.3'0 TCSP should have an experience to produce banana at large scale as well as other

crops like Panual, Sugarcane, pomegranate, Guava, Lemon etc.4.0 TCSP must have their own protocol for micro propagation of Banana and preferabty

for Parval, Pomegranate, Sugarcane, Guava, Lemon, etc.5'0 All the production process shall be carried out as per the DBT Norms. The company

will supervise for the same,6.0 TCSP shall have to maintain the premises neat and clean.7.0 The mother plant selection shall be done by the TCSP under strict supervision of

company. TCSP shall have to collect the same and use for further procedure at theirown cost.

8'0 The required QC (virus and genetic fidelity) shall be arranged by TCSp as per thenorms at their own cost however to recheck, tentative quantity of quality testing (virusand genetic fidelity) of mother plant may be done by the company.

9.0 The required arrangement for DBT accreditation/renewal shall be done by TCSp incoordination with company.

10.0 The Electricity and water shall be provided by company on charged basis as percompany's rate, but in case of unavaitability TCSP have to make arrangement for thesame.

11.0 All the instruments are newly installed; TCSP has to take care for the same. Therequired repair and maintenance, validation etc shall be arranged by the party itself.

12.0 The required chemicals/consumables shall be arranged by the party as per therequired standard given by the company.

13.0 TCSP shall have to arrange manpower and procure all raw materials etc requiredfor execution of the work at their own cost.

14.0 The TCSP cannot claim the plants produced in any other brand name. plantsshall be sold in the name of sardar Tissue cutture plant only.

16.0 During the contract period, TCSP shall be responsible for any damage and loss ofthe property. At the end of the contract, party shall have to handover items as theywere received during commencement of the contract eg. AC, Equipments etc.

17.0 Since Tissue Culture plants are produced by the TCSP, the TCSP is responsible

for the quality of the plants, which includes genetic and physical purity with regular

supervision from GATL. Any complaint whenever received from the farmers/Govt.

authorities after sales will be attended by the company at primary level. However iffarmer/ Govt. authorities raises claim for damages, responsibility shall be vested with

TCSP who shall settle the same at their own cost.18.0 All records which are required to carry out the production as per the DBT norms

shall be maintained by the TCSP and regularly checked by GATL supervisor.19.0 TCSP will take care of maintenance of all instruments, fans, lights, glasswares,

furniture and building. However, in case of damage or loss to any of these items dueto any act or omission attributable to the TCSP or his employees, TCSP will have tobear the expenses towards repairs/replacement.

20.0 TCSP shall have to make his own arrangement of transport for his men andmaterials etc.

1.1 PERIOD OF CONTRACT: - The period of contract is for three years from thedate of work order with review after every year of completion.

TCSP will not assign or sub contract the work awarded to them, withoutGATL's prior written permission.

TCSP shall have to arrange manpower and procure required number of tools,tackles, spares etc for execution of the job work at their own costs.

TCSP shall arrange and obtain Licence under the provisions of Contract Labour(Regulation & Abolition) Act, 1970 and Rules 1972 there under, before deployingthe necessary manpower for commencing contract work and submit a copy ofthe same to GATL. ln absence of such Licence, contract shall be liable to beterminated without assigning any reasons thereof and liabilities whether legal,statutory or financial as a result and consequence thereof shall be on the TCSP.TCSP shall comply with all the requirements of all Labour & lndustrial Lawsincluding Contract Labour (Regulation & Abolition) Act, 1970 and such otherActs and Statutes as may be applicable to the TCSP in respect of all theiremployees employed by the TCSP in connection with the job work awarded tothem.

TCSP shall be liable and responsible for and shall make good forthwith alllosses, damages and expenses incurred or suffered by GATL and shall keepGATL harmless and indemnify against all or any claim, injuries, losses sufferedor caused to be suffered or incurred by GATL or by any of TCSP's employees,workmen, representatives, agents or to all or any of GATL properties, plant,

machinery, equipments, materials or goods or personnel or to a third party, byreasons or consequence of any act, omission or negligence committed oromitted to be done during the course of their performance of this contract and

within the terms of the contract. TCSP's manpower shall not be engaged in any

sort of strike.

1.6 GATL shall not be liable for all or any claim, injury, loss, damages, cost ofexpenses which may be made against or caused to be suffered or incurred byTCSP, their representatives, employees, workmen, or agents or properties,

machinery, equipments, materials or goods during the course of their work underthis contract.

1.7 ln case of accident, injury, losses caused, suffered or incurred by all or any ofTCSP's employees, workmen, representatives or agents, TCSP will be whollyand solely responsible to meet with the expenses of accident, treatment andpayment of compensation as per the Workmen's Compensation Act.

1.8 GATL shall be at liberty to terminate the contract during the period of thecontract without compensation and without any notice/reference to TCSPand without prejudice to their right, should the TCSP fail to fulfill or carryout all orany of their obligations covered under this contract or commit default or breachof any or all the terms and conditions of this contract. The TCSP can terminatethe contract by giving Three months written notice to the company.

1.9 TCSP shall forthwith remove or replace any of their employees who in theopinion of GATL's Officers, is unfit on any account to be associated with theexecution of jobs awarded to the TCSP.

1.10 No worker, employee or agent or sub-agent or any of TCSP's dependents shallsmoke or light anything within the factory premises. Carrying of matchboxilighter or any other explosive and/or inflammable materials inside the plant,

is strictly prohibited.

1.11 ln case canteen facilities are utilized by the TCSP's worker, employee or agentor sub-agent or any of their dependents, suitable amount will be paid to thecanteen directly by the TCSP.

1.12 TCSP shall maintain suitable register to enter relevant particulars concerningeach document handed over by GATL to the TCSP within the scope of workawarded to the TCSP. TCSP will have to maintain all statutory registers, recordsand returns to be submitted under different laws.

1.13 TCSP shall submit to the concerned Officer of GATL daily statements, showingpending work and progress of work in such a format and manner as may berequired.

1.14 GATL reserves its right to carry out any or all the jobs mentioned under thescope of work departmentally or through any other agency for which TCSP shallhave no claim whatsoever.

TCSP shall faithfully, honestly and with due diligence and care, execute, perform

and carryout all the work as per contract.

lf due to the negligence or delay attributable to TCSP or due to any failure on

their part or their agent or their employee in exercise of due diligence, care,caution or due to non-compliance of any of the provisions or directions given byGATL, GATL suffer or are caused to suffer any loss or damage or incur any costor expenses, TCSP shall be liable to reimburse and make good such lossesand/or damages, costs and expenses immediately. The decision of GATL in thisregard shall be final and binding.

Any damage to buildings or to roads or to any other properties at site of workwhich may be caused by TCSP or their agent or their sub-TCSP or theiremployees, shall have to be repaired, replaced or made good by the TCSPimmediately at their own costs as required by GATL. ln case, the TCSP fails tocarry out such repair/replacement job, then GATL will get such job done andcost of such job have to be reimbursed by the TCSP and GATL reserves its rightto also recover the said dues payable from the TCSP. The decision of GATL in

this regard shall be final and binding.

1.16 The TCSP shall ensure and make available sufficient labour force and shallput such manpower into such a position so as to carry out and dischargeobligations and liabilities under the contract and to carry out the jobs awarded tothe TCSP, in such a way that the work is carried out properly, smoothly, steadily,expeditiously.

A) ln case if the TCSP fails to provide required number of man-power as requiredby GATL, GATL shall arrange to procure at TCSP's costs and risk adequatemanpower. The TCSP shall have to borne the expenses towards the same. lnsuch case the decision of GATL will be final and binding to the TCSP.

B) TCSP will provide effective supervision on all the jobs awarded to them. TheTCSP shall engage suitable qualified and experienced full time supervisor forthe purpose.

C) Employees below the age of 14 & above the age of 60 shall not be engagedfor any of the jobs.

D) Jobs shall have to be carried out ordinarily during the relevant shift. ln case ofemergency, jobs may be continued till the completion. ln that case prior writtenpermission from the Head-TC shall have to be obtained by the TCSP.

E) The decision of the requirement of number of persons, qualification ofpersons, tools & tackles and safety equipments, for any jobs, will be taken bythe TCSP in such a manner that the work assigned is smoothly carried outand quality and quantity standards are maintained to the satisfaction of theGATL.

F) The TCSP shall issue gumboots to the workers as and when required. lt shallbe the responsibility of the TCSP to issue the safety items as applicable andensure that the same is properly used by them. ln case of default, pertainingto use, misuse, non-use of applicable safety items, the penalty equivalent todouble the price of safety item multiplied by the number of persons not usingthe items shall be levied on the TCSP, and any consequences caused due tonon use and implementation of the safety items and norms, respectively, theTCSP shall be solely liable.

ln case the safety items have become non-usable due to any reasonwhatsoever, it shall be replaced against the old one on demand by the TCSPto GATL, at the cost of TCSP.

ln case of loss, pilferage or theft of the items, the new items shall be issued onthe requisition of the TCSP and the cost of items shall be recovered from theTCSP.

G) The TCSP shall be required to submit a statistical statement in the prescribedperform to the concerned authority before 15th of each month in respect ofwork done in the previous calendar month, failing which the payment of thebills payable shall be withheld.

TCSP shall have to supply the plant as per the planningi the remaining extraplants if any shall not be taken by GATL if there is no requirement. lf TCSpshall produce more than 25 Lac plants in the laboratory then for the extra

plants GATL shall take Rs 1.S/plant as royalty charges.

Labour Laws:

TCSP shall be solely responsible for strictly following all Labour Laws,lndustrial laws, Factories Act, and such other laws which are applicable fromtime to time including but not limited to the notification amendments oradditions which are made to these laws during the period of contract. TheTCSP shall also be responsible for various levies of State Government,Government of lndia or any Statutory Body. The TCSp shall have to, at hisown expenses, comply with labour laws and keep the company indemnified inrespect thereof. Some of the major liabilities under various Labour andlndustrial Laws which the TCSp shall comply with are, as under but notllmited to:

The TCSP shall submit following documents to GATL if Work Order is placed toyou

i. Valid labor license from Asst. Labor commissioner as applicable or othernecessary license etc. as applicable.

ii. P.F. Code and abide by the relevant laws & rules.iii, ESI Code and abide by the relevant laws & rules.

iv. The service provider shall be bound to pay the minimum. wages as per the extant

rules of the concerned State Goveinment where the manpow-er-shall be

deployed, Minimum wages plus PF Employer contribution, ESIC, Bonus as

other records applicable as per labor laws'

vii. The Service provider shall inform GATL prior to engaging or removing the labors

from the area of work,

viii. The work shall oe-gorerned by the specifications, general terms & conditions of

GATL contract, splcial conditions, environment related conditions, new safety

clause and any other relevant conditions applicable from time to time'

ix. lD cards / tokens shall be issued by the service provider to all its employees'

x. No bill will be entertained until the wages of workers, as applicable are paid and

PF and ESI are dePosited'

xi. workmen must follow the safety norms and use protective devices for work

wherever required.

xii. The service provider will have to protect the GATL assets and material from fire

hazards or any other damages or loss'

xiii. All necessary precaution! for safety of the man/assets, fire hazard &

environmental aspects shall have to be taken by the service provider for the

activities performed by his workers'

xiv. Provide copy of the registration of Professional Tax (PT).

xv, The payment of WC lolicy/ ESIC shall be made on the actual basis

subjectio submission of proof of payment & the policy.

xvi. The statutory bonus shall be reimbursed at actual basis; however, you

are required to shall submit the list of employee along with the proof of

p"y*"ht made on this account under the payment of bonus act'

xvii. Annual leave with wages shall be paid at actual basis upon

submission of Proof.xviii. The Gratuity shall be reimbursed on actual payment made and proof

submitted to GATL.

xix.ln case of non-compliance of any of the labor laws as per act by the Service

provider, he will be responsible ior expenses / liability occurring / accruing on

GATL on account of above including expenditure on legal proceedings' All such

expenses shall be recoverable from the Service provider from any of his running

contracts with GATL or any contract entered thereafter.

After verification of above stated docunrents, contract labourers can start

working in the Premises TCSP.All app'iicable safety rules & regulations shall have to be followed'

3.00 The value of job shall con stitute the sole and inclusive remuneration of the

contract under contract and no further or other payment whatsoever shall

The TCSP shall be responsible for deploying any categories of laboursrequired for execution of job awarded to them.

The TCSP will be required to maintain requisite registers, records, etc. asrequired to be maintained under applicable statutes and would be requiredto show the same to representative of Personnel Department of GATL ondemand.

The TCSP shall not deploy more number of labourers than mentioned inthe contract Labour Licence as per Section 12(1) of Contract Labour(Regulation & Abolition) Act.

The said Licence shall have to be renewed from time to time by the TCSPwithout any default.

The TCSP shall have to maintain record of details of workers employed inForm No.13, giving the details of theirdate of entry, full address and theirspecimen signatures or left hand thumb impression.

The TCSP shall issue attendance card in Form No.14 to all the labourdeployed by them.

The TCSP shall maintain attendance register in Form No.14 and salaryregister in Form No.17. The TCSP shall also issue salary slips to all thelabour deployed by them in Form No.19 before the disbursement of salaryis made.

The TCSP shall maintain the register of advance in Form No.23 and anyadvance disbursed to any labour should be in presence of therepresentative of Personnel Deptt. of GATL.

4.2.8 The TCSP shall maintain overtime register in Form No.23.

4.2.9 The TCSP shall prepare shift schedule in respect of labour required to bedeployed in shift A, B & c respectively and shail arrange to submit to thePersonnel Department of GATL on or before 24th instant of the previousmonth.

4.2.10 The TCSP shall display on their Notice Board giving the details of wageperiod, place of disbursement of wages and time. The copy of this noticeshould be sent to the Personnel Deptt. of GATL at least 24 hours beforethe disbursement of wages is to be made.

The TCSP shall maintain wage deduction register in Form No.20 and fineregister in Form No.21.

The TCSP shall prepare half yearly return in Form No.24 on 30th June and

31st December respectively and shall submit the same on the next working

day to the Personnel Deptt. of GATL without fail. The TCSP shall forward

the Half Yearly Return to the Labour Commissioner, Government ofGujarat, Ahmedabad.

The TCSP shall give leave card to all their employees and maintain theleave register required under the Factories Act.

The TCSP shall issue ldentity Card with Photograph to all the labourdeployed by them within 3 (Three) days of their date of entry.

The TCSP shall immediately inform the Personnel Deptt. of GATL anyaccident occurred in the premises of GATL and shall fill-up the accidentform in Form No.21 and submit immediately to the Personnel Deptt. ofGATL.

4.2.16 The summary of the Contract Labour Regulation Act in Gujarati would be

displayed by the TCSP on their Notice Board. The TCSP would also exhibitthe notice on their Notice Board at the place of work regarding hours ofwork, wage period, place of wage disbursement and its time and send thecopies of these Notices to the Local Officer of the Factory lnspector and toGATL.

4.2.17 The TCSP shall keep and maintain all records, registers, returns, etc. inGATL premises and should be update from time to time and should beshown to the representatives of Personnel Deptt. of GATL on demand.

4.2.18 The TCSP shall send a copy of all the notices, shift schedules, etc. to theconcerned Government Labour Officer or Factory lnspector as the casemay be, with a copy to Personnel Deptt. of GATL.

4.2.19 The TCSP shall maintain Provident Fund eligibility register and ProvidentFund Deduction register, etc. and shall submit to the Personnel Deptt. ofGATL every month for inspection.

4.2.20 The TCSP shall maintain register A, B & C under Payment of Bonus Act,1965 and shall submit to the Personnel Deptt. of GATL on demand.

4.2.21 The TCSP shall within 10(ten) days after last date of the month, submit toGATL a certificate/declaration duly signed, stating that they have compliedwith all requirements of the Labour Laws and PF Act and has notcommitted any default or breach of any law applicable to them.

5.OO PENALTY CLAUSE:

lf TCSP unable to supply the plant as per the planning, TCSP should have

arrange the good quality plants at the same rate with quality assurance.

lf TCSP unable to arrange the plants then GATL will procure the plants from

outside and TCSP shall have to pay as actual plus Rs 2 per plant as penalty'

TCSP shall have to maintain the overall premises neat and clean on regular

basis, if it not observed the penalty will be charged as Rs. 9Oo/incidence'

6.4 Minimum work of three years in Tissue culture business- duly certificate by CA.
