INSTRUCTIONS TO TENDERERS

TENDER No. RRB/SS/2012/Security Date: 16/10/2013 1 NAME OF WORK: - Provision of Security Monitoring System for Railway Recruitment

Board, Mumbai. 1.1 SALE OF TENDER FORMS:

1.1.1 Tender form can be obtained from the office of the Chairman,Railway Recruitment Board, Western Railway, Divisional Railway Manager’s Office compound, Mumbai Central, Mumbai 400 008 on working days on production of a cash receipt for Rs 1,000/- (Rs One Thousand only) or Rs.1,500 (Rs. One Thousand Five Hundred only if obtained by post) (non refundable) deposited with the Station Master of any railway station of Western Railway or Demand Draft in name of Sr. Divisional Finance Manager, Western Railway Mumbai Central, Mumbai-400008.Tenders will be sold up to 14.00 hrs. on 15/11/2013 Sealed tenders will be received upto 14.30 hrs. on 15/11/2013. Under no circumstances, the amount paid for the tender will be refunded. Tender form is non-transferable.

1.1.2 The tender documents can be down loaded from web site www.rrbmumbai.gov.in and the cost of tender document in above said form shall be submitted along with tender documents & it should not merged with Earnest money.

1.1.3 Bids from Tenderers who have not purchased the documents from Railway Recruitment Board or downloaded from web site and cost of tender is not submitted in above said form with tender document and Bids not accompanied by Earnest Money are liable to be summarily rejected.

1.1.4 Telex/fax and incomplete offers are liable to be ignored. 1.2 NATURE OF TENDERING: 1.2.1 The tender document in original along with the schedule of material & works duly filled in and

duly signed and stamped on each page, complete in all respects shall be enclosed in an envelope. This envelope shall then be sealed and following shall be super scribed on the envelope:

This envelope should be addressed to Chairman, Railway Recruitment Board, Western Railway Divisional Railway Manager’s office compound, Mumbai Central, Mumbai 400 008. The Tender should be deposited in the Tender Box in the office of the Chairman Railway Recruitment Board, Divisional Railway Manager’s office compound, Western Railway, Mumbai Central, Mumbai 400 008, before closing of the tender box at 14:30 hrs. Sharp on 15/11/2013 Tender sealed and super scribed as mentioned above, can also be sent by Registered Post with acknowledgement to the above mentioned office, but no tender received after the 14.30 hrs on date 15/11/2013 shall ordinarily be considered.

1.3 SYSTEM OF QUOTING RATES: Tenders are requested to quote their rates in terms of percentage above or below the estimated cost of the Railway Recruitment Board. The quoted rates shall includes all duties, Taxes, charges etc. Tenderers if quoting any other rates anywhere other than the Schedule of material & Works shall not be considered.

1.5.1 The tenders shall be opened on date 15/11/2013 at 15.00 hrs. in the office of the Chairman, Railway Recruitment Board, Divisional Railway Manager’s office Compound, Mumbai Central, Mumbai 400 008 and the rates will be read out in the presence of the Tenderers or their representatives, who may be present.

1.6 DOCUMENTS TO ACCOMPANY THE OFFER: 1.6.1 The following documents shall invariably be accompanied with the offer. Hence the firm is

well advised to ensure that all the minimum documents, as laid down hereunder are attached with their offer.

1.6.2 Accepted form of Earnest Money amounting to Rs. 8000/-(Rs. Eight Thousand ) drawn in favour of the Senior Divisional Finance Manager Western Railway, Mumbai Central, Mumbai 400 008. Bank Guarantee is not acceptable form of Earnest Money Deposit.

1.6.3 Original Tender documents purchased from Railway Recruitment Board, or the work including schedule of Material & Works duly signed and stamped on each page. The tenderer shall indicate Compliance of each and every clause of special conditions of contracts chapter-III, technical specifications chapter-IV, failing which the offer shall be considered as rejected.

1.6.4 List of personnel, organization available on hand and proposed to be engaged for the subject work, covering name, designation, experience, contact telephone/ mobile numbers etc.

1.6.5 List of Plant & Machinery available on hand (own) and proposed to be inducted (own and hired to be given separately) for the subject work.

1.6.6 List of works completed in the last three financial years giving description of work, organization for whom executed, approximate value of contract at the time of award, date of award and date of scheduled completion of work. Date of actual start, actual completion and final value of contract should also be given.

1.6.7 List of works on hand indicating description of work, contract value, approximate value of balance work yet to be done and date of award.

1.6.8 Certified copy of Partnership deed in case of partnership firms as per clause 15 annexure-1 (second sheet) of GCC, Memorandum of Articles of Association of the firm, extract of board of directors meeting authorizing signatory to submit the offer to the Railway Recruitment Board.

1.6.9 Power of Attorney, (if any), in acceptable form duly notarized from Magistrate as per GCC clause 16 of Annexure-1 Tender form (second sheet).

Note: 1) In support of items 1.6.6 and 1.6.7 above, supportive documents/ certificates from organizations with whom they worked/ are working should be enclosed.

2) Certificates from private individuals for who such works are executed/ being executed shall not be accepted.

1.7(a) As far as possible the tender/s bid should not have any condition or specification or assumption contrary to the provisions in these tender documents on which the tender/s bid is based. Tenderer/s Special Conditions, not in conformity with the tender specifications / drawings are required to be listed separately with details of exact financial implications, if any. Railway Recruitment Board will not take cognizance of conditions / variations from the tender documents or drawings etc.

(b) It needs to be emphasized that only such conditions / stipulations which are at variance with the tender conditions, codal provision stipulated in the tender documents need be mentioned, in case Tenderer/s choose to stipulate such special conditions taking into account the restrictions mentioned elsewhere in the tender document.

(c) Only such special conditions / specifications stipulated by the tenders/s which have been specifically approved by the Railway Recruitment Board in writing shall be accepted by the Railway Recruitment Board and shall form part of the Contract Agreement. The Tenderer/s stipulations which are at variance with the tender conditions/stipulations, codal provisions and not approved / accepted by Railway Recruitment Board shall be withdrawn by the Tenderer/s.

1.8 EARNEST MONEY: (a) The tender must be accompanied with requisite Earnest money mentioned in the tender

notice, deposited in cash or in any of the forms as mentioned below drawn in favour of " Senior Divisional Finance Manager, Western Railway, Mumbai Central, Mumbai 400 008", Payable at Mumbai, failing which the tender will be summarily rejected.

Deposit receipt, Pay orders and Demand drafts. These forms of earnest money could be either of the State Bank of India or of any Nationalized Banks. No confirmatory advice from the Reserve Bank of India will be necessary.

Deposit receipt executed by the Scheduled Banks ( other than the State Bank Of India and the Nationalized Banks ) approved by the Reserve Bank Of India for the purpose.

The earnest money wherever it is deposited in cash should be remitted to the Chief Cashier, Western Railway, Churchgate, Mumbai 400 020 and the receipt obtained thereof should be enclosed with the tender as a proof of the deposit of requisite earnest money. The earnest money should not be deposited with Stations.

(b) Lump sum/Standing Earnest money is not acceptable as EMD. (c) The Tenderer(s) shall keep the offer open for a minimum period of validity as mentioned in the

top sheet of the tender document. It is understood that the tender document has been sold/issued to the Tenderer(s) and the Tenderer(s) is / are permitted to tender in consideration of the stipulation on his/their part that after submitting his/their tender subject to the period being extended further if required by mutual agreement from time to time, he will not resile from his offer or modify the terms and conditions thereof in a manner not acceptable to Railway Recruitment Board. Should the Tenderer fail to observe or comply with the foregoing stipulation, the amount deposited as Ear`nest Money for the due performance of the above stipulation shall be forfeited to the Railway Recruitment Board.

(d) If the tender is accepted, the amount of Earnest Money will be retained and adjusted as Security Deposit for the due and faithful fulfillment of the contract. This amount of Security Deposit shall be forfeited without prejudice to any other right or remedies if the tenderer do not execute the contract agreement after acceptance of the tender within 15 (Fifteen) days after receipt of notice issued by the Railway Recruitment Board that such documents are ready and or the tenderer do not commence the work within fifteen days from date of issue of acceptance letter.

The Earnest Money of the unsuccessful tenderer (s) will, save as here-in-before provided, be returned to the unsuccessful tenderer(s) within a reasonable time but the Railway Recruitment Board shall not be responsible for any loss or depreciation that may happen to the Security for the due performance of the stipulation to keep the offer open for the period specified in the tender documents or to the Earnest Money while in their possession nor be liable to pay interest thereon.

1.9 GENERAL 1.9.1 Authorised agents are allowed to buy the tender documents on behalf of their principals, with

letter of authority from the principal. 1.9.2 Tender submitted by the tenders who have not purchased the tender documents themselves

or through their agents and tenders from agents without letter of authority from the principals will be summarily rejected.

1.9.3 Telex/fax and incomplete offers will be summarily rejected. 1.9.4 Offer should be very clear. Any ambiguity in rates/ offer shall be summarily rejected. 1.9.5 All corrections and over-writing must be attested / countersigned by the tenderer. 1.9.6 The Tenderer should read the conditions carefully and also see the schedule of supply and

works before submitting the offer and also ascertain site conditions and the magnitude of works involved.

1.9.7 New Arbitration Act 1996 will be in force in place of Arbitration Act 1940. 1.9.8 All Drawing if any mentioned in the tender will be given by the Railway Recruitment

Board to the tenderers on demand after making necessary payment as per extent rule 1.10 FORMS TO BE ISSUED:

Railways will issue concessional forms and other forms for payment of statutory duties, such as Sales Tax, Octroi exemption certificate in the name of the Contractor only on demand, in accordance with the existing rules.

1.12 Booklet of General conditions of Contract (GCC) Works Hand Book Parts I & II, August 98 edition/latest amendments, may be purchased by Tenderer from Engineering Deptt. Of Western Railway at their own cost.

SPECIAL CONDITIONS OF CONTRACT

1 SPECIAL CONDITIONS OF CONTRACT 1.1 Tender shall be governed by condition of tender, General Conditions of Contracts (although

meant for civil engineering works but will also be applicable to this work), Technical specifications etc. Where there is any conflict between the instructions to tenderer, conditions of tendering, special condition of contract, Tender forms, annexure etc. on one hand and General Conditions of Contract on the other, the former (special conditions) shall prevail.

1.2 Any Special conditions stated by the Tenderer in the covering letter submitted along with the tender shall be deemed to be part of the Contract to such extent only as have been explicitly accepted by the Railway Recruitment Board.

1.3 Performed and the method of construction, these specifications/documents describe the material to be supplied, work to be for the complete installation in strict accordance with the drawings and specifications mentioned here and such instructions as may from time to time be given by the Railway Recruitment Board.

1.4 It should clearly be understood that the contractor agrees to furnish, without any extra cost, anything and everything necessary for the complete installation and its reliable, safe and satisfactory working except such items as are specifically stated as being supplied by the Railway Recruitment Board in this specification and at the time of placing the contract by the written agreement, the contractor shall quote for the work, given all information.

1.5 Completion period: the entire work shall be completed within a period of 120 days from the date of issue of LOA of the tender.

2 SCOPE OF WORK: 2.1 Supply of material/ Equipment as per Schedule of Material & Works. 2.2 Installation, testing, and commissioning of CCTV System and cameras at Railway

Recruitment Board /Mumbai Central. 2.3 Installation, Testing, and commissioning of LCD TVs in at Railway Recruitment Board

/Mumbai Central. 2.4 All hardware and Software required for commissioning of CCTV System and cameras in

Railway Recruitment Board office /Mumbai Central will be supplied by the contractor. 2.5 All wiring of various types of data cable, screen cable and power cable will be carried out by

the contractor (including supply of required data cables, power cable, spike guards and PVC casing/capping etc.).

3 RAILWAY RECRUITMENT BOARD SHALL PROVIDE FOLLOWING: i) Location for installation testing & commissioning of CCTV System

ii) Electric Power Supply will be provided as per extent rule.

4 QUANTUM OF WORK, SPARES & OPTIONAL ITEMS 4.1 The schedule of work mentions the quantities of various items required to be installed and

commissioned. It should be clearly noted that the item and the quantities mentioned have been worked out by Railway Recruitment Board as per their requirement. However if the tenderer feels that the desired features cannot be achieved or some of the essential features cannot be obtained through the quantities asked in the schedule, then quantity as required for the work in the opinion of the tenderer shall be quoted. In such cases, tender shall give, full justification for such variation, clearly mentioning the consequences of procuring the quantities suggested by the contractor instead of quantities indicated in schedule.

4.2 Quotations for any other item necessary for satisfactory functioning of the tendered equipment in accordance with the objective of requirement shall be quoted separately, along with detail justification of need of the item to achieve end objective.

4.3 Costs for optional items shall be quoted separately wherever necessary.

5. . RATES, PRICE VARIATION & DUTIES/TAXES 5.1 No price variation is admissible in the contract. However any variation arising out of changes

in statutory duties will be admissible on proof of documentary evidence. No claim due to variation in duties will be accepted during the extended period of Contract unless such extension is granted on Railway Recruitment Board Account.

5.2 The net cost of the unit along with the duty rates structure, customs duty, counter availing duty, excise, sales tax etc, shall be mentioned clearly. The various duty rates structure taken into account to arrive at the rates shall be mentioned, so as to settle the claims in the event of any change in statutory duties in future.

5.3 Railway Recruitment Board will not be bound to accept the duty structure given by the contractor, as mentioned in para above, while deciding the claims arising out of change in duty structure. To decide such claim the contractor will have to produce the documentary evidence of the duties prevailing at the time of opening of tender as well as at the time of submission of such claims. If it is found that there is a difference in the rate of duties actually prevailing at the time of submission of tender and the duties shown by the contractor as the basis of his calculation of rates, the Railway Recruitment Board will be free to choose any of these two figures to settle such claim.

5.4 Claims on account of change in duties will be admissible only if the duties directly levied on the items, rates of which are shown by the contractor in Schedules, get changed. No claim will be admissible on account of any change in duties on components; sub-assemblies or production machinery etc. will not entitle the tenderer for any claims.

5.5 Various duties and taxes shall be considered against concessional forms and shall be paid at actual against documentary proof.

5.6 Octroi duty/ Municipal taxes, if any, shall be to the Contractor’s account. Railway Recruitment Board will issue octroi exemption certificate as per extant rules. In case, however, the exemption certificate is not honored by the Municipal Authorities/State Governments for whatever reasons, the octroi duty shall be borne by the Contractor.

6. SECURITY DEPOSIT:

6.1 Security deposit will be at a flat rate of 5 % of the contract value as per latest GCC.

6.2 The earnest money deposit of successful tender will be retained as a part of security deposit. The amount over and above the earnest money so retained to make up the full security deposit will be recovered from each running bill/ final bill at the rate of 10 % of the bill amount till the full security deposit is recovered. The balance to make up the full security deposit will be recovered only from the running bills. Bank guarantee, fixed deposit, Government securities etc. will not be accepted for security deposit.

6.3 No interest is payable on Security deposit.

6.4 Security deposit will be returned to the contractor only after ,

(a) The expiry of maintenance / warranty period and after passing the final bill based on an unconditional and unequivocal ‘No claim certificate’ is signed by the contractor and submitted to the Railway Recruitment Board official. OR

After the work is physically completed, security deposit recovered from the running bills of a contractor can be returned to him if he so desires, in lieu of FDR/irrevocable Bank Guarntee for equivalent amount to be submitted by him .(Reference :Rly Boards’s letter no. 2007/CE-1/CT/18 dtd.07/03/2008).

(b) Certification by the contract signing authority but not less than the rank of JA grade officer

( Member Secretary in this case) for having completed the work satisfactorily..

7. AGREEMENT 7.1 The successful Tenderer shall, within 15 days after having been called upon by notice to do

so, be bound to execute an agreement based on accepted rates and conditions, in such form as the Railway Recruitment Board may prescribe, and lodge the same with the Railway Recruitment Board together with the conditions of contract, specifications and Schedule of prices referred to therein duly completed. Failure to do so will constitute breach of agreement effected by acceptance of Letter of Acceptance in such case EMD will be forfeited without prejudice to any other right or remedy open to Railway Recruitment Board.

8. PERFORMANCE GUARANTEE.

(Revised Clause 16(4) to Indian Railways General Conditions of Contract.) (Ref : Item-1 to Railway Board’s letter No. 2007/CE.I/CT/18 Pt.XII, dated 31.12.2010)

The procedure for obtaining Performance Guarantee is outlined below:

(a) The successful bidder shall have to submit a Performance Guarantee (PG) within 30 (thirty) days from the date of issue of Letter Of Acceptance (LOA). Extension of time for Submission of PG beyond 30 (thirty) days and upto 60 days from the date of issue of LOA may be given by the Authority who is competent to sign the contract agreement. However, a penal interest of 15% per annum shall be charged for the delay beyond 30 (thirty) days, i.e. from 31st day after the date of issue of LOA. In case the contractor fails to submit the requisite PG even after 60 days from the date of issue of LOA, the contract shall be terminated duly forfeiting EMD and other dues, if any payable against that contract. The failed contractor shall be debarred from participating in re-tender for that work.

(b) The successful bidder shall submit the Performance Guarantee (PG) in any of the following

forms, amounting to 5% of the contract value: (i) A deposit of Cash; (ii) Irrevocable Bank Guarantee; (iii) Government Securities including State Loan Bonds at 5% below the market value; (iv) Deposit Receipts, Pay Orders, Demand Drafts and Guarantee Bonds. These forms of Performance Guarantee could be either of the State Bank of India or of any of the Nationalized Banks; (v) Guarantee Bonds executed or Deposits Receipts tendered by all Scheduled Banks; (vi) A Deposit in the Post Office Saving Bank;

(vii) A Deposit in the National Savings Certificates; (Viii) Twelve years National Defence Certificates;

(ix) Ten years Defence Deposits; (x) National Defence Bonds and

(xi) Unit Trust Certificates at 5% below market value or at the face value whichever is less. Also, FDR in favour of FA&CAO (free from any encumbrance) may be accepted.

NOTE: The instruments as listed above will also be acceptable for Guarantees in case of Mobilisation Advance.

(c) The Performance Guarantee shall be submitted by the successful bidder after the Letter Of

Acceptance (LOA) has been issued, but before signing of the contract agreement. This P.G. shall be initially valid upto the stipulated date of completion plus 60 days beyond that. In case, the time for completion of work gets extended, the contractor shall get the validity of P.G. extended to cover such extended time for completion of work plus 60 days.

(d) The value of PG to be submitted by the contractor will not change for variation upto 25% (either

increase or decrease). In case during the course of execution, value of the contract increases by more than 25% of the original contract value, an additional Performance Guarantee amounting to 5% (five percent) for the excess value over the original contract value shall be deposited by the contractor."

(e) The Performance Guarantee (PG) shall be released after physical completion of the work based

on 'Completion Certificate' issued by the competent authority stating that the contractor has completed the work in all respects satisfactorily. The Security Deposit shall, however, be released only after expiry of the maintenance period and after passing the final biII based on 'No Claim Certificate' from the contractor.

(f) Whenever the contract is rescinded, the Security Deposit shall be forfeited and the Performance

Guarantee shall be encashed. The balance work shall be got done independently without risk & cost of the failed contractor. The failed contractor shall be debarred from participating in the tender for executing the balance work. If the failed contractor is a JV or a Partnership firm, then every member/partner of such a firm shall be debarred from participating in the tender for the balance work in his/her individual capacity or as a partner of any other JV/partnership firm.

(g) The engineer shall not make a claim under the Performance Guarantee except for amounts to which the President of India is entitled under the contract (not withstanding and/or without prejudice to any other provisions in the contract agreement) in the event of: (h) Failure by the contractor to extend the validity of the Performance Guarantee as described

herein above, in which event the Engineer may claim the full amount of the Performance Guarantee.

(i) Failure by the contractor to pay President of India any amount due, either as agreed by the

contractor or determined under any of the Clauses/Conditions of the Agreement, within 30 days of the service of notice to this effect by Engineer.

(j) The Contract being determined or rescinded under provision of the GCC, the Performance

Guarantee shall be forfeited in full and shall be absolutely at the disposal of the President of India

9. MODIFICATION TO CONTRACT QUANTITIES New Clause 42(4) to Indian Railways General Conditions of Contract (Ref: Item-9 to Railway Board’s letter No. 2007/CE-I/CT/18, dated 28.09.2007 and Item-2 to letter No. 2007/CE.I/CT/18 Pt. XII, dated 31.12.2010), The procedure detailed below shall be adopted for dealing with variations in quantities during execution of works contracts:

9.1 Individual NS items in contracts shall be operated with variation of plus or minus 25% and

payment would be made as per the agreement rate. For this, no finance concurrence would be required.

9.2 In case an increase in quantity of an individual item by more than 25% of the agreement

quantity is considered unavoidable, the same shall be got executed by floating a fresh tender. If floating a fresh tender for operating that item is considered not practicable, quantity of that item may be operated in excess of 125% of the agreement quantity subject to the following conditions:

(a) Operation of an item by more than 125% of the agreement quantity needs the approval of

an officer of the rank not less than S.A. Grade;

(i) Quantities operated in excess of 125% but upto 140% of the agreement quantity of the concerned item, shall be paid at 98% of the rate awarded for that item in that particular tender;

(ii) Quantities operated in excess of 140% but upto 150% of the agreement quantity of the

concerned item shall be paid at 96% of the rate awarded for that item in that particular tender;

(iii) Variation in quantities of individual items beyond 150% will be prohibited and would be

permitted only in exceptional unavoidable circumstances with the concurrence of associate finance and shall be paid at 96% of the rate awarded for that item in that particular tender.

(b) The variation in quantities as per the above formula will apply only to the Individual items of

the contract and not on the overall contract value. (c) Execution of quantities beyond 150% of the overall agreemental value should not be

permitted and, if found necessary, should be only through fresh tenders or by negotiating with existing contractor, with prior personal concurrence of FA&CAO/ FA&CAO(C) and approval of General Manager.

9.3 In cases where decrease is involved during execution of contract: (a) The contract signing authority can decrease the items upto 25% of individual item without

finance concurrence. (b) For decrease beyond 25% for individual items or 25% of contract agreement value, the

approval of an officer not less than rank of S.A. Grade may be taken, after obtaining 'No Claim Certificate' from the contractor and with finance concurrence, giving detailed reasons for each such decrease in the quantities.

(c) It should be certified that the work proposed to be reduced will not be required in the same work.

9.4 The limit for varying quantities for minor value items shall be l00% (as against 25% prescribed

for other items). A minor value item for this purpose is defined as an item whose original agreement value is less than 1% of the total original agreement value.

9.5 No such quantity variation limit shall apply for foundation items. 9.6 As far as SOR items are concerned, the limit of 25% would apply to the value of SOR

schedule as a whole and not on individual SOR items. However, in case of NS items, the limit of 25% would apply on the individual items irrespective of the manner of quoting the rate (single percentage rate or individual item rate).

9.7. For the tenders accepted at Railway Recruitment Board level, variations in the quantities will be approved by the authority in whose powers revised value of the agreement lies.

9.8. For tenders accepted by General Manager, variations upto 125% of the original agreement value may be accepted by General Manager.

9.9. For tenders accepted by Board Members and Railway Ministers, variations upto 110% of the

original agreement value may be accepted by General Manager. 9.10. The aspect of vitiation of tender with respect to variation in quantities should be checked

and avoided. In case of vitiation of the tender (both for increase as well as decrease of value of contract agreement), sanction of the competent authority as per single tender should be obtained.

10 PROGRAMME OF WORK: 10.1 The Contractor shall have necessary resources to execute the work so that the entire work

is completed within the period as mentioned in the “Letter of Acceptance” of the tender. 10.2 Within a period of 15 days beginning from the date of issue of “Letter of Acceptance”, the

Contractor shall submit the detailed Time Schedule for the execution of work based on the conditions in consultation with the Railway Recruitment Board

10.3 The Contractor on his part will have to employ supervisors, technicians and labours in full strength commensurate with working area available. He will also arrange matching materials and equipments to complete the job most expeditiously so as to ensure that the work is completed in phases within the stipulated period.

10.4 No extra payment shall be allowed on this account and for taking any precautions or wastage of contractor’s labour, time etc. due to train working.

10.5 The cost of transit insurance required as per rules will be borne by the tenderer. 10.6 The tenderer shall make his own arrangement for accommodation, for his staff during

testing and commissioning period. 10.7 Water for drinking purpose if available at the station will be given. However, Railway

Recruitment Board take no guarantee for this facility. Free power will be given for installation, soldering, testing and commissioning work including battery charging, only wherever available. Non-availability of Power will not be a reason for the slow progress of work. If power is not available, the contractor shall make his own arrangement for Generator set / electrical power.

10.8 The tenderer shall do no work that may interfere with general working until adequate protection has been arranged as per the instruction of the Site in charge.

11. SITE ORDER BOOK: 11.1 An Inspection Register/ Site Order book shall be maintained at the site of work by the

contractor, wherein the Engineer incharge of the work or his executive subordinate shall record instructions regarding the working etc. It is expected that the Contractor or his representative at the site shall note such instructions whenever asked upon to do so and take action accordingly. This register shall have entry on day-to-day basis regarding the progress of work. Record should also be kept with joint signature of Railway Recruitment Board & firms representative. This should be produced during the inspection & check of Railway Recruitment Board official incharge along with drawing showing new installation locations.

12. STORES TO BE SUPPLIED BY CONTRACTOR: 12.1 All materials mentioned in the schedule of material and works required for the execution of the

contract, shall be arranged and supplied by the Contractor as to realise the end objective. 12.2 The material mentioned in the schedule shall be supplied in the stores of the Chairman,

RRB/BCT/ site as per instruction of officer In charge. 12.3 The material required for work at site will be issued to the contractor by Railway Recruitment

Board officials at Mumbai Central. The transportation of material from stores of RRB to site of work will be the responsibility of contractor.

12.4 The contractor will be responsible for the safety of the material at site from the date of issue to the date of commissioning of the system.

12.5 RRB officials will keep record of material on day-to-day basis in summarised form and shall convey monthly position of store(supplied by and issued to the contractor) to the engineer incharge of the work.

13. WORK SPECIFIC DRAWINGS: 13.1 The documents, like system of working, block diagram/ circuit diagram, function of individual

cards, step-by-step fault diagnostic and remedial action to be taken along with procedure for maintenance of equipments specific in this work should be supplied by the contractor.

14 QUALITY ASSURANCE DOCUMENTATION :( FOR SUPPLY OF MATERIALS) a) The tenderer shall submit the quality control plan along with the tender including full details of

in-house quality assurance organization, procedures and documentation. During the manufacturing process, proper record shall be maintained for the purpose of inspections and all the tests should be carried out according to that.

b) In the event of Railway Recruitment Board waving off the inspection, all tests provided in the test schedules approved by Railway Recruitment Board shall be carried out by the quality assurance organization and proper record of all such tests and results thereof shall be maintained and supplied to Railway Recruitment Board on demand along with the supply.

c) It is desirable that tenderer has to submit detail list of acceptance test & procedure, method of test required to be carried out by the Railway Recruitment Board for the assurance of the quality and real functionality of the system.

15 FUTURE AVAILABILITY OF SPARES AND ADDITIONAL PARTS:

For future expansion maintenance of the system, spares and additional parts or other components shall be required by the Railway Recruitment Board. Tenderer shall guarantee that Spares and such additional parts will be supplied as and when Railway Recruitment Board place order for the same therefore firm has to given full detailed specification of the items being used & supplied by him as ordering details. Tenderer shall also warranty that this material will be supplied at a rate not exceeding the rate accepted by the Railway Recruitment Board which is shown in the break-up of the costs in Schedule of Work upto the expiry of warranty period. Any order placed by Railway Recruitment Board on the Contractor within the expiry of warranty period will be fully honoured and the materials will be supplied within the period of 60 days or as required by the Railway Recruitment Board. The fact that contractor is supplying some materials from 3rd party will not absolve the tenderer from his responsibility.

16 TEST & MEASURING INSTRUMENTS, SPECIAL TOOLS AND INSTALLATION MATERIAL:

a) All tests and measuring instruments and other arrangements required for all the acceptance tests shall be made available by the contractor free of cost for conducting the tests.

b) Special tools required for installation and maintenance of all the equipments shall be arranged by the contractor in adequate quantities. The contractor shall provide all installation material for complete commissioning of the system.

17 INSPECTION OF MATERIAL: 17.1 The inspection of material shall be done by RDSO/or supervisor in charge of the work at

Railway Recruitment Board or a technical railway staff nominated by Chairman, R.R.B., Mumbai, in the factory premises/assembling unit of the contractor.

17.2 All equipment, materials, fittings and components will be subject to inspection by the purchaser or his representative at the manufacturer’s factory premises/assembling unit, before dispatch and no materials shall be dispatched from the manufacturer’s factory/assembling unit prior to inspection and/or approval by the Railways. The purchaser or his representative may also inspect the materials again at the contractor’s depot or with consignee. The Purchaser or his representative shall have the right to be present during all stages of manufacturing and test process and shall offer, reasonable facilities for inspection and testing of the material at all the stage so as to satisfy himself that the materials are in accordance with the specifications and approved drawing/designs. Any unreasonable delay in inspection will be on reasonable ground for extension of time for completion of the work.

17.3 Materials put up for inspection shall be exactly of the type, quality and quantity laid down in the

schedule of materials. Any variation shall require the prior approval of the Railway before the material is manufactured, tendered or offered for inspection.

17.4 The cost of services of Railway Engineers or other personnel for inspection of material will be to the Railway’s account subject to other provisions herein contained. The Contractor shall give at least Two weeks’ notice to the purchaser or his nominee to enable him to arrange necessary inspection.

17.5 During the execution of the contract, samples may be taken from all the materials employed for the purpose of test and/or analysis, under the conditions laid down in specification; such samples to be prepared for testing and forwarded to the testing entity shall be free of cost to the Railways.

17.6 The decision of the purchaser or his successor shall be final in respect of acceptability of any material, equipment etc. required for the work. The cost of equipment and materials, all tests and/or analysis performed for inspection shall be borne by the Contractor.

17.7 The inspection charges for the RDSO inspection service if rendered by the RDSO to the

contractors executing works shall be borne by the contractor and will be recovered from the running/final bill of the contractor @ 1% of the cost of material inclusive of Excise duty & Sales tax etc."

18 INSPECTION OF WORKS 18.1 The Engineer or RRB representative may inspect and test the various portions of the work at

all stages and shall have full power to reject all or any portion of the work that he may consider to be defective or inferior in quality of materials, workmanship or design in comparison to what is called for in the specification. In the event of rejection of any work already executed and not in accordance with specification as in this tender and/or as determined by the Engineer or which the Contractor has been apprised, the Contractor shall carry out alterations/replacements to such works to the satisfaction of the Engineer incharge of the work for which no additional payment will be borne by the Railways.

19. INSPECTING OFFICER – POWER OF REJECTION 19.1 To reject any items submitted as not being in accordance with the tenderd technical

specification. 19.2 To reject the whole of the installment offered for inspection, if after inspection the inspection

authority is satisfied that the material offered for inspection is unsatisfactory.

19.3 To mark the rejected stores with a rejection mark, so that they can be easily identified if resubmitted.

19.4 The inspecting officer’s decision as regards the rejection shall be final and binding on the contractor.

20. CONSIGNEE’S RIGHT OF REJECTION: 20.1 Notwithstanding any approval which the inspecting officer may have given in respect of the

stores or any materials or the work or workmanship involved in the performance of the contract (Whether with or without any test carried out by the contractor or the Inspecting officer or under the direction of the Inspecting officer) and notwithstanding delivery of the stores where so provided to the interim consignee, it shall be lawful for the consignee, on behalf of the purchaser, to reject the stores or any part, portion of consignment thereof within a reasonable time after actual delivery thereof to him at the place or destination specified in the contract. If such stores or part, portion of consignment thereof is not in all respects in conformity with the terms and conditions of the contract whether on account of any loss, deterioration or damage before dispatch or delivery or during transit or otherwise whatsoever

20.2 When any stores delivered at the consignee’s depots are rejected, this shall be removed by the contractor within 15 days from the date of rejection. Such rejected stores shall lie at the contractor’s risk from the date of rejection. If the stores are not removed by the contractor within this period, the purchaser or his nominee shall have the right to dispose of such stores, as deemed fit, at the contractor’s risk and account.

20.3 The purchaser shall also be entitled to recover from the contractor, handling and ground rent/demurrage and any other charges for the period the rejected stores are not removed after the aforementioned period.

20.4 Stores that have been dispatched by rail and rejected after arrival at destination may be taken back by the contractor either at the station where they were rejected or at the station where they were dispatched. If the contract is placed for delivery F.O.R. station of dispatch, the contractor shall pay the carriage charges on the rejected consignment at Public Tariff Rates from the station of dispatch to station where they were rejected. If the contractor prefers to take back the goods at the station from which they were dispatched, the goods shall, in addition, be booked back to him, freight to pay at Public Tariff Rates and at owner’s risk.

21 CONSEQUENCES OF REJECTION: 21.1 If on the stores being rejected by the Inspecting Officer or consignee at the destination, the

contractor fails to make satisfactory supplies within the stipulated period of delivery, the purchaser shall be at liberty to: -

a) Request the contractor to replace the rejected store forthwith but in any event not later than period of 21 days from the date of rejection and the contractor shall bear all the cost of such replacement, including freight, if any, on such replacing and replaced stores but without being entitled to any extra payment on the or any other account.

b) Purchase or authorize the purchase of quantity of the stores rejected or others of a similar description (when stores exactly complying with the particulars are not readily available, in the opinion of the purchaser, which shall be final), without notice to the contractor, at his risk and cost and without affecting the contractor’s liability as regards to the supply of any further installment due under the contract, OR

C) Cancel the contract and purchase or authorise the purchase of the stores or others of a similar description (when stores exactly complying with the particulars are not readily available, in the opinion of the purchaser, which shall be final) at the risk and cost of the contractor.

22 RIGHT TO RAILWAY TO KEEP BACK FROM THE CONTRACT OR ANY PORTION OF THE WORK.

22.1 The successful tenderer will however, have no claim or right in the execution of work which in the opinion of the Railway Recruitment Board should be carried out departmentally or otherwise and the Railway Recruitment Board reserves the right that any time after acceptance of the tender, to keep back from the contract and carry out the work or any portion of work, through any other agent. No claim for compensation/loss or whatsoever on this account will be entertained by the Railways.

23. SUBLETTING AND ASSIGNMENT:

23.1 The contractor may sublet a part of the works under this contract and enter into contract with suppliers for supply of materials.

23.2 The names of all subject contractors proposed to be employed for execution of work or any part thereof including manufacturing of equipment and other materials shall be submitted by the contractor to the Railway and got approved by him before the contractor enter into an agreement with the sub contractor for the purchase.

23.3 The contractor shall arrange for effective supervision of sub contractor’s work and remain solely responsible for materials supplied and for works carried out on his behalf by the sub contractor. The contractor shall not, save with the previous consent in writing of the Purchaser, sublet, transfer or assign the contract or any part thereof or interest therein or benefit or advantage thereof any manner whatsoever.

23.4 In the event of the Contractor’s subletting of assigning this contract or any part thereof without such permission, the purchaser shall be entitled to cancel the contract and to purchase the stores elsewhere at the Contractor’s risk and cost and the Contractor shall be liable for any loss or damage which the Purchase may sustain in consequence or arising out of such purpose.

24. EXECUTION OF WORK 24.1 All the work shall be executed in strict conformity to the provisions of the contract document

and with such explanatory detailed drawings, specifications and instructions as may be approved from time to time by the Railways, based on detailed design and engineering carried out by the contractor in line with requirements as per contract document. The contractor shall be responsible for ensuring that the work throughout are executed in the most substantial, proper and workmanlike manner with the quality of material and workmanship in strict accordance with the specifications and as per sound industrial practices and to the entire satisfaction of the Railways.

25. PROGRESS REPORTING 25.1 The Contractor shall submit the periodic progress reports at regular intervals regarding the

state and progress of work to the Railway Recruitment Board. The details and Performa of the report will mutually be agreed after award of the contract. Such reports shall be for daily manpower, equipment and plant development, weekly work progress and monthly progress review reports. All actions as directed by Railways, pursuant to such reports shall be promptly attended to by Contractor.

26. PROVISIONAL ACCEPTANCE TEST 26.1 As soon as the Contractor informs the Railway Recruitment Board and determines that the

works are completed from end to end, Railway Recruitment Board shall carry out all tests as per the acceptance test schedule. Any component, modules, sub-assemblies or equipment failing during the commissioning test shall be replaced/repaired free of cost by the tenderer. When all the tests are successfully completed end to end, the provisional test report will be jointly prepared.

27. OBSERVATION PERIOD 27.1 After the completion of provisional acceptance test, system shall be put under observation for

period of 15 days. During this period Railway may at their discretion connect the user equipment and observe the performance from the end user point of view. If any defects or failures are noticed during this period the contractor will replace or rectify such modules and additional test or repetition of some of the tests will be carried out to make sure that all parameters are within specified values.

28. PROVISIONAL ACCEPTANCE CERTIFICATE 28.1 After completion of provisional acceptance test and if no problems are noticed during

observation period, Purchaser’s Engineer or authorized representative shall issue a Provisional Acceptance Certificate for successfully commission of whole system covering all materials and services included in the Schedule of works, after the acceptance test and as per the approved test procedure have been completed and the performance has been found to meet the specifications. Railway Recruitment Board’s decision in this respect shall be final. The date of issue of the Provisional Acceptance Certificate will be treated as the date of Completion of the work.

29. PART COMMISSIONING 29.1 If the works are not completed as per the programme of work and there is deviation from the

milestones to be achieved Railways will be free to make use of the partially commissioned work. Making such use of partially commissioned work will not be deemed as provisional acceptance from the Railways.

30. PLACING IN SERVICE AND MAINTENANCE 30.1 After the equipment has been commissioned and placed in service and Provisional

Acceptance Certificate is issued by the Railway Recruitment Board or representative the contractor shall be responsible for proper maintenance of the equipment for a period of one year from the date of issuing of the provisional acceptance certificate. For this purpose he shall prepare a maintenance plan and make available the services of qualified maintenance engineers.

30.2 Service engineers for maintenance shall normally be out of those engineers associated with the execution of the work. Changes, if any on special case shall be with the specific approval of railways. Details of the Service Personnel/Engineers (Bio-data and experience) proposed to be associated with maintenance, shall be furnished by the Contractor to the Railway Recruitment Board well in advance of the commencement of the maintenance period.

30.3 The team will comprise of at least one Maintenance Engineers and other supporting staff (preferably located in the Mumbai suburban section). Maintenance Engineers will be stationed at the location approved by Purchaser’s Engineer and Contractor will make sure that they can be easily contacted through telephones/Pagers/Cell Phones at any time.

30.4 Railway Recruitment Board staff shall be fully associated with the maintenance work under maintenance team will do the preventive maintenance of all indicators and system at least once in a month. The difference between two consecutive maintenance must not exceed 30 days for any station.

30.5 If any lacuna is noticed in the functioned as a result of any defect in design or manufacture, the same will be rectified by the contractor free of cost. During such rectification if any faulty equipment/modules need replacement or repair, they shall be provided by the contractor from the set of equipment or modules that the contractor should bring to the site of installation in addition to all the materials to be supplied against this contract. Use of spare modules covered under the schedule of material of this tender shall not be permitted to be used during installation, commissioning and during the period of maintenance/supervision for twelve months.

31. MAINTENANCE PERIOD:

31.1 The contractor shall maintain the work in all respect including material & works free of charge for any defect & fault for a period of 12 months from the date of issue of Provisional Acceptance Certificate.

32. WARRANTY 32.1 The contractor shall warrant that every equipment shall be free from defects and faults in

design, materials, workmanship and manufacture and shall be of highest grade and consistent with the established and generally accepted standards for goods of the type ordered.

32.2 The warranty of the products shall be for a period of 12 months from the date of completion of the work i.e. dates of issue of the Provisional Acceptance Certificate.

32.3 During warranty period all modules, which have turned defective, shall be replaced immediately his own cost.

33. PENALTY

Failure to replenish the spare stock of the Railway Recruitment Board, utilized by the contractor for the purpose of maintenance during the warranty period with in 45 days, will invite a penalty of 5% of the cost of the Railway Recruitment Board’s spare per week or part thereof upto 3 months. Beyond three months, Railway Recruitment Board will be free to procure the spare items at risk and cost of the contractor. Permission to use Railway Recruitment Board’s spare stock supplied against the contract does not absolve contractor of his responsibilities of keeping his additional spare stock also for immediate attending to defects.

34. FINAL ACCEPTANCE 34.1 The final acceptance of the entire equipment installed in the section shall take effect from the

date of expiry of the period of maintenance, after testing and certification of representative incharge.

34.2 The contract shall not be considered as completed until the issue of Final Acceptance certificate by the Purchaser.

34.3 The purchaser shall not be liable to the Contractor for any matter arising out of or in connection with the contract or execution of the work unless the contract shall have made a claim in writing in respect thereof before the issue of Final Acceptance Certificate under this clause.

34.4 Notwithstanding the issue of Final Acceptance Certificate, the contractor and the purchaser (subject to Sub Clause as above) shall remain liable for fulfillment of any obligation incurred under the provision of the contract prior to the issue of Final Acceptance Certificate which remains unperformed at the time such certificate is issued and for determining the nature and extent of such obligation the contract shall be deemed to remain in force between the parties hereto.

35. MEASUREMENT OF WORKS 35.1 Payments for the works shall be made in accordance with approved designs and drawings and

measured in relevant units. The measurements will be made generally in accordance with standard engineering practice and in conformity with the General Condition of Contract.

36. MEANING AND INTERPRETATION BY RAILWAY RECRUITMENT BOARD TO BE FINAL 36.1 All measurement, method of measurement, meaning and intent of specifications and

interpretation of Special Conditions of Contract, given and made by the Purchaser or by the Purchaser Engineer shall be final and binding and shall be considered “excepted matters” in terms of conditions laid down in the General Conditions of Contract.

37. TERMS OF PAYMENT 37.1 Subject to any deductions or recovery which the Railway Recruitment Board may be entitled

to make under contract, the Contractor will be entitled to be paid from time to time by way of on account payment for supply of goods and progress payment for works as in the opinion of the Engineer he has executed in terms of contract.

38.1 On Account Payment” will be made for supply of equipment, materials indicated in the supply

Schedule on receipt of material at Consignee’s depot and physical installation at site. On Account payments made will subsequently be adjusted against payments due on Provisional Acceptance or Final Acceptance.

38.2 80% (Eighty Percent) of the value of supplied items shall be paid on production of the following documents.

a) On physical installation, integration, testing, commissioning and observation of the materials for one month at site duly accepted by the Purchaser’s Engineer or representative.

b) Original Inspection certificate issued by Inspecting Officer.

c) Challan/Invoice in duplicate.

d) A certificate should be submitted by the contractor that the materials supplied are as per the contract and the amount claimed in the invoice is correct as per terms of the contract.

38.3 20% (Twenty percent) value of goods supplied and 100% of execution carried out by the firm shall be paid after the successful completion of work to the satisfaction of Engineer or authroised representative.

38.4 Security deposit will be as per clause 6 of chapter-III. 38.5 Cost of per plan/Drawing will be charged on demand as per extent rule. 39 FINAL SETTLEMENT 39.1 Security deposit and Performance bank Guarantee will be released as per clause 6 & 8 of

chapter –III respectively, after adjustment of any dues payable by the Contractor. 40 DEDUCTION FROM ON ACCOUNT PAYMENT BILLS 40.1 All costs, damages or expenses, which Railway Recruitment Board may have paid or

incurred, which under the provisions of contract are Contractor’s obligations will be deducted by Railway Recruitment Board from progress payment Bills/Invoice of Contractor, as and when it is understood that such an expenses has been incurred or paid for.

40.2 All such claims of Railway Recruitment Board shall, however, be duly supported by

appropriate and certified vouchers, receipts or explanations as are available to enable the Contractor to identity such claims.

41 TAXES

41.1 Deduction of Income Tax at source as per provisions of Finance Act and Income tax in force shall be made from the Contractor/Sub-Contractor and the amount so deducted will be credited to the central Government. Settlement of Income Tax should be made with Income Tax authorities. Wherever the law makes it statutory for the Purchaser to deduct on amount towards Sales Tax on Works Contract, the same will be deducted and remitted to the concerned authority.

41.2 The contractor and all personnel employed by him shall pay such taxes like Income Tax as are payable under statutory laws of India and the Purchaser will not accept any liability for the same.

42.1 The Contractor shall take out and keep in force a Policy or policies of Insurance for all materials including Railway Recruitment Board supply materials/equipment irrespective of whether used up in the portion of work already done or kept for the use in the balance portion of the work until such works are provisionally handed over to the Railway Recruitment Board. For this purpose the works are deemed to have been provisionally handed over when provisional acceptance certificate is issued.

42.2 The contractor shall not be liable for losses/damages to the materials either used up in the portion of work done or his material kept for use at site, inconsequence of mutiny, or other similar causes over which the Contractor has no control and which cannot be insured. Such losses or damages shall be the liability of the Purchaser and if required by the Purchaser, be made good by the contractor, at the cost of the Purchaser.

42.3 The contractor should, however insure the stores brought to site against risks in consequence of war and invasion as required under the Emergency Risk (Goods Insurance) Act in force from time to time.

43 FORCE MAJOR CLAUSE 43.1 If at any time, during continuance of this Contract, the performance, in whole or part, by either

party, of any obligation under this contract shall be prevented or delayed by reason of any war, hostility, act of the public enemy, civil Commotion, Sabotage, fires, Floods, Earth quakes, explosions, strikes, epidemics, quarantine, restrictions, lockouts, any statute, statutory rules, regulations, order of requisitions issued by any Government Department or Competent Authority or acts of God (here-in-after referred to as event) then provided notice of the happening of any such event is given by either party to the other within twenty one days from the date of occurrence there of neither party shall by reason of such event be entitled to terminate this Contract nor shall either party have any claim for damage against the other in respect of such non-performance or delay in performance, and the obligations under the Contract shall be resumed as soon as practicable after such event has come to an end or ceased to exist, PROVIDED FURTHER that if the performance in whole or part of any obligation under this contract is prevented or delayed by reason of any such event beyond a period as mutually agreed to by the Railway Recruitment Board and the Contractor after any event or 60 days in the absence of such an agreement whichever is more, either party may at its option terminate the Contract provided also that if the contract is so terminated under this clause the Railway Recruitment Board may at the time of such termination take over from the Contractor at prices as provided for in the contract, all works executed or works under execution.

44 ARBITRATION ACT 44.1 Arbitration and conciliation ordinance 1996/ Arbitration act 1996 will be valid for this tender

in place of Arbitration Act 1940. 45. SETTLEMENT OF DISPUTES:

a) The disputes will be settled under the arbitration act 1996. b) The successful tenderer/s shall put up his / their claim as per clause 43 of the General

Conditions of Contract during the progress of work and not after completion of the work. All such claims and disputes shall be settled promptly during the progress of the works. The final authority for giving the decision on claims and disputes put up by the tenderer/s, contractor/s shall be the Chairman,Railway Recruitment Board, Mumbai only.

c) The provision of Clauses 63 & 64 to the General Condition of Contract will be applicable only

for settlement of claims or disputes between the parties for values less than or equal to 20% of the value of the contract, and when claim or disputes are of value more than 20% of the contract, provision of Clauses 63 & 64 and other relevant clauses of the General Conditions of Contract will not be applicable and arbitration will not be a remedy for settlement of such disputes.

d) The contractor shall not be entitled to ask for reference to arbitration, before the completion of the work assigned to him / them under this contract. The contractor/s shall seek reference to arbitration to settle disputes only once within the ambit of condition 45-(c) above.

e) The contractor/s shall not be entitled to make any claim whatsoever against the Railway Recruitment Board under or by virtue of or arising out of this contract, nor shall the Railway Recruitment Board entertain or consider any such claim, if made by the contractor/s after he/they would have signed a ‘No Claim Certificate’ in favour of the Railway Recruitment Board, in such form as shall be required by the Railway Recruitment Board after the works are finally measured up. The contractor/s shall be debarred from disputing the correctness of the items covered by ‘No Claim Certificate’ or demanding a reference to arbitration, in respect thereof. After clear ‘no claim‘ as given by contractor the dispute if any will not be arbitrable.

46. TRAINING 46.1 Contractor have to arrange training to 2 personnel for operation and maintenance of the

system including all hardware and software in the company premises.

( 1) GENERAL The work envisages Installation, testing, and commissioning of CCTV System and cameras in Railway Recruitment Board, Mumbai Central. Installation, Testing, and commissioning of Surveillance viewing screen at Railway Recruitment Board /Mumbai Central. ANNEXURE-I INSTRUCTIONS FOR SUBMITTING THE TENDERS AS JOINT VENTURE FIRMS

1. Separate Identity / name should be given to the Joint Venture firm / establishment. 2. In case of parties to the Joint Venture Agreement have agreed to designate one of the partner

as “Lead partner” the clause specifying the details of authorities, powers, rights, duties given to him should be included in the agreement in clear terms.

3. Share of profit and loss along with share of individual/parties should be clearly indicated therein.

4. For the interest of Railway Recruitment Board a specific provision should be made in the J/V agreement in which the party to the agreement should be made jointly and severally liable/responsible in case of any default by either of the parties to the Joint Venture Agreement.

5. If both the parties of J/V firm are partnership firms, the name of all the partners be mentioned in the J/V Agreement and should be signed by the all the partners OR their Power of Attorney should form an enclosure of the J/V Agreement.

6. In case of one or more parties to the Joint Venture Agreement are partnership firm/s, the following documents should be enclosed: a) Certified copy of Partnership Deed b) Consent of all the partners to enter into the Joint Venture Agreement on a stamp paper

of appropriate valuation c) Power of attorney in favour of one of the partner to sign the Joint Venture Agreement on

behalf of all the partners and create liability against the firm 7. In case one or more parties are Proprietary firm OR HUF: the following documents should be

enclosed: Affidavit on Stamp paper of appropriate valuation declaring that his concern is a Proprietary concern and he is sole proprietor of the concern OR he is in position of “KARTA” of Hindu Undivided Family and he has authority, power and consent given by other co-partners to act on behalf of HUF.

8. In case of one or more partners are limited companies, following documents should be submitted a) Certified copy of minutes of meeting of the directors of the company in which resolution

was passed to the effect b) Copy of Memorandum and articles of Association of the company. c) Power of Attorney by the Competent Authorizing person to do act mentioned in the (iii)

above. 9. Documents:

9.1.1 of entering into the Joint Venture Agreement. 9.1.2 of authorizing Managing Director/One of the director/manager of the company to sign

the Joint Venture Agreement 9.1.3 of authorizing M.D. / Director/Manager or any other person to sign all other

10. While evaluating the performance of Joint Venture firms following criteria shall be applicable.

i) Solvency/Turnover: Solvency / Turnover of all the parties/firms should invariably be submitted along with tender documents indicating their proportion in each company/firm. Total solvency shall be calculated based on their proportion.

Example: 2 individuals A & B from Joint Venture with 60% and 40% share ‘A’ has partnership with firm

XI and X2 having stake of (say) 30% and 40% respectively having turnover of Z1 and Z2 respectively ‘B’ has partnership with firm Y1 and Y2 having stake of (say) 50% and 20% respectively having turnover of Z3 and Z4 respectively.

Then Solvency / Turnover of a Joint Venture firm shall be: = (0.3Z1 + 0.4Z2) X 60 + 40 X (0.5 Z3 + 0.2 Z4) 1 100 100 1

ii) Technical Criteria: One of the parties of Joint Venture firm should invariably fit in the technical eligibility criteria fixed in tender documents.

11. Purchase of Tender Documents:

Tender documents may be purchased either in the name of one of the Partners of Joint Venture firm OR in the name of J/V firm. Earnest money should be deposited in the name of J/V firm only.

12. The Joint Venture Agreement should invariably contain clauses related to following subject/

issues in the manner specified herein below:

12.1 Joint and Several Liability:

The parties hereto shall if awarded the contract for the project be jointly and severally liable to Employer for execution of the project in accordance with General & Special conditions of the contract. The parties hereto also undertake to be liable jointly and severally for loss, damages caused to the Employer in course of execution or due to non-execution of the contract or part thereof or arising out of the contract.

12.2 Validity of the Joint Venture Agreement:

The Joint Venture Agreement must be executed prior to the date of submitting the tender and it should be duly registered or duly notarized by Notary Public. The Joint Venture Agreement shall not be terminated unless and until the work awarded under the contract is completed in all respect and also till the maintenance period is over or till all the contractual liabilities are discharged completely.

12.3 Notices and correspondences:

All correspondences of notices to the Joint Venture shall be addressed to M/s. (Shri)______________________ at the address stated herein below: ______________________________ ______________________________

12.4.Governing laws: The Joint Venture Agreement shall in all respect be governed by and interpreted in accordance with Indian Laws.

ii) Assignability: No party to the Joint Venture has the right to assign or transfer the interest, right or liability in the contract without the written consent of the other party and that of the employer in respect of the said tender / contract.

iii) Use of Machinery, Instruments, Labour force etc.:

The parties here to undertake that whatever the machinery, instruments, labour force, (including unskilled, skilled, inspector, Engineers etc.) they posses at the time of entering into Joint Venture Agreement or which subsequently shall come in their possession and if such machinery, instruments, labour force is required for the speedy and efficient execution of the work, the party/parties having the control over the said machinery, instruments, labour force etc. without having any regard to their share of profit and loss agreed to between the parties in Joint Venture Agreement shall hand over the same at the disposal of the other party who is actually executing the work for purpose of execution of the contract without any hindrance and obstacle.

iv) Execution Non Judicial Stamp Paper:

The Joint Venture Agreement must be on Non Judicial Stamp Paper of Rs.100/- or as per Stamp Act of the concerned State where agreement has been executed.

I/We offer to do the work for the President of India, acting through the Chairman Railway Recruitment Board,Mumbai Central Mumbai: 400008, at the rates quoted in the attached schedule and hereby bind myself/ourselves to complete the work in ___________ months from the date of issue of letter of acceptance of the tender. I/We also hereby agree to abide by the General and Special Conditions of Contract and to carry out the work according to the specifications for materials and works laid down by the Railway Recruitment Board for the present contract.

INSTRUCTIONS TO TENDERER (I) Tenderer/s who is/are not borne on the approved list of contractors of this Railway

Recruitment Board or who have not satisfactorily completed any such work before on this Railway Recruitment Board must supply the following information along with their tender: -

(i) A statement showing the set up of their firm and if they are partnership firm, the names of partners, their addresses and other particulars with regard to their business, etc.

(ii) Documentary proof regarding their financial status and ability to carry out the work as an independent experienced reliable contractor.

(iii) Certified copies of testimonials and other reference in connection with previous experience of the tenderer in the capacity of the contractor for a similar and other works.

CONDITIONS OF TENDER 1. Standard general conditions of the contract of the Western Railway as amended up-to-date,

special conditions, specifications, etc. which form the part of tender documents shall be applicable.

2. (i) With his tender, the tenderer shall submit a detailed Schedule A’ on his own tender forms of all materials necessary for the installation in accordance with the specifications and plans and quote the prices in Indian rupees F.O.R. site of work for the supply as well as indicating separately foreign exchange requirements, if any, for each unit.

Unit rates of items of materials and items of work shall also be indicated in Schedule `A’ No. Lumpsum rate should be quoted except for the items for which detailed quantities cannot be worked out.

(ii) (a) The rates tendered shall be inclusive of all taxes and duty leviabe. The rate at which Sales Tax, General Tax, Inter-State taxes or any other t axes or duties if any have been presumed in arriving at the price also be given.

(b) Prices quoted shall be firm, without any price variation clauses.

(c) If there is variation between the rates quoted in figures and in words, the rates quoted in `words’ also be taken as correct. If more than one or improper rate is tendered for the same item, the tender is liable to be rejected.

(d) The tenderers are advised to visit the site of work and investigate actual conditions

regarding nature and local conditions availability of materials, water and labour, probable site for labour camps, stores, godowns etc. They should also satisfy themselves to the source of supply and sufficiency and adequacy for their respective purpose of different materials referred to in the specification or indicated in the drawings. Any difficulty involved in execution of work should also be examined before formulating the rates for complete item of works described in the schedule.

(iii) The tenderer/s shall submit also a schedule of cost summaries of the work based on schedule of rates and quantities to enable the Railway Recruitment Board to arrive at the approximate total cost of each portion of the work. The total cost of the work shall also be worked out and given.

3(a) Should a tender find any discrepancy in or omission from the drawings or any of the tender form or he has any doubt as to their meaning, he should at once notify to the Chairman Railway Recruitment Board, Mumbai Central Mumbai: 400008, who may send a written instruction to all tenderers. It shall be understood that every endeavor has been made to avoid any error which can materially affect the basis of the tender and the successful tenderer shall take upon himself and provide for the risk of any error which may subsequently be discovered and shall make no subsequent claim on account thereof.

Tenders containing erasures and alterations of the tender documents are liable to be rejected. Any corrections made by the Tenderer/Tenderers in his/their entries must be attested by him/them.

(b) Each page of the tender papers is required to be signed and dated by the tenderer/s or such person/s on his/their behalf who is/are legally authorized to sign for him/them.

(c) The tenderer/s should detail all modification that he/they may consider desirable or necessary in the specifications. Requests of such modifications at a late date will not be normally entertained. The Railway Recruitment Board, however, reserves the right to agree or/to reject such modifications.

4(a) The tender must be accompanied by a sum of Rs. ___________ as Earnest Money, in the manner prescribed in Para 4(b) failing which tender will be summarily rejected.

(i) The tenderer shall be required to deposit a sum of Rs. __________ with the tender as a

Security Deposit for the due performance of the stipulation to keep the offer open till such date as might be specified in the tender. It shall be understood that the tender documents have been sold/issued to the tenderer and the tenderer is permitted to tender inconsideration of the stipulation on his in a manner not acceptable to the he will not resile from his offer or modify the terms and conditions thereof part that after submitting his tender Chairman Railway Recruitment Board,Mumbai Central Mumbai: 400008, should the tenderer fail to observe or comply with the said stipulation, the aforesaid amount shall be liable to be forefeited to the Railway Recruitment Board.

(ii) The tender shall also be required to deposit a sum of Rs. _______ towards the earnest money with tender. The sum mentioned in (i) above together with the sum mentioned in (ii) constitute the earnest money. If this tender is accepted this earnest money will be retained as part of security deposit for the due and faithful fulfillment of the contract, in terms of clause 16 of the General Conditions of Contract. The earnest money of other tenderers shall save as hereinbefore provided, be returned to them but the Railway Recruitment Board shall not be responsible for any loss or depreciation that may happen thereto while in their possession nor be liable to pay interest thereon.

(b) The tenderers required to deposit with the Chief Cashier/Divisional Cashier, Western Railway

______________ the earnest money in cash. He should attach official receipt thereof, if paid in cash, failing which the tender will not be considered. Tenders unaccompanied by the requisite earnest money will be summarily rejected. The earnest money should be in cash or in any of the following forms:-

(i) Deposit receipts, pay orders, demand drafts and guarantee bonds. These forms of earnest money could be either of the State Bank of India or of any of the Nationalised Banks. No confirmatory advise from the Reserve Bank of India will be necessary.

(ii) Deposit receipts by the Scheduled Banks (other than the State Bank of India and the Nationaliased Banks), approved by the Reserve bank of India for the purpose. No confirmatory advice from the Reserve Bank of India will be necessary.

(iii) Deposit receipts tendered by the Scheduled Banks which have not been approved by the Reserve Bank of India for the purpose provided.

or (c) the Bank concerned lodges with the Reserve Bank of India requisite securities viz cash deposits

or Government securities in respect of the deposit receipt to be tendered by it. Apart from the above provision prior concurrence of Reserve Bank of India in writing would be necessary before accepting Bank Guarantee or deposit receipts under (iii) (a)

NOTE:- (i) Deposits/Receipts/Pay Orders/Demand Draft should be drawn in favour of “Senior Divisional

Finance Manager, Western Railway, Mumbai Central, Mumbai 400 008” (ii) Approved contractors who have placed with Railway Recruitment Board a lumpsum of Rs.

10,000 / 20,000 / 50,000 & 100,000/- as per instructions contained in Board’s Letter No. 88/CE-1/CT/1 Vol.II dated 6/8/96 should quote reference to the certificate granted to them.

(iii) Earnest money in the form of Guarantee bond not acceptable. 5. If the tenderer deliberately gives/tenderers deliberately give wrong information in his/their tender or

creates/create circumstances for the acceptance of his/their tender, the Railway Recruitment Board reserves the right to reject such tender at any stage.

6. If a tenderer expires after the submission of his tender or after the acceptance of his tender, the Railway Recruitment Board shall deem such tender as cancelled. If a partner of a firm expires after the submission of their tender or after the acceptance of their tender, the Railway Recruitment Board shall deem such tender as cancelled, unless the firm retains its character.

7. The earnest money will be refunded to the unsuccessful tenderer/tenderers within a reasonable time. The earnest money deposit of the successful tenderer/tenderers will be retained towards the security deposit for the due fulfillment, of the contract but shall be fortified without prejudice to any other rights or remedies, if the contractor fails/contractors fail to execute the contract agreement bond or to start the work within the period stipulated in clause 2 of Tender Form (First Sheet)

8 (a) (i) The tender is/tenderers are required to produce along with his/their tender two authorized copies of the Income Tax clearance certificate or a sworn affidavit duly countersigned by the Income Tax Officer to the effect that he has/they have no taxable income. Documents testifying to the Tenderer’s/Tenderer’s previous experience and financial status should be produced when desired by the Chairman Railway Recruitment Board, Mumbai Central Mumbai: 400008. Contractor should submit Income Tax clearance certificates covering the entire period of the currency of the contracts as this fall due from time to time failing which the payment of all dues to the contractors including security deposits would be withheld.

(ii) Railway will deduct 2% income tax on the works contract portion as distinct from supply portion while, making payment to the contractor. The settlement of Income Tax should be made with Income Tax authorities.

(b) (i) Except where specifically stated otherwise in the special conditions of contract, the work is to be carried out in accordance with the Western Railway General conditions of Contract as amended to date.

(ii) Any special conditions stated by the tenderers in covering letter submitted along with the tender shall be deemed as a part of offer and shall be deemed to be a part of contract only to such extent as have been explicitly been accepted by the Railway Recruitment Board.

(iii) Every possible fluctuation in the rate of labour, material and general commodities and other possibilities of each and every kind should be considered before quoting the rates and no claim on this account shall be entertained by the Railway Recruitment Board under any circumstances.

(iv) The contractor shall pay at his own expense unless otherwise specified or provided all fees

and charges payable to the Government or to the Municipal or other authorities as aforesaid and shall satisfy all claims arising out of the non-compliance with any law, ordinance regulations or other bye laws etc.

9. The tenderer shall clearly specify whether the tender is submitted on his own behalf or on

behalf of partnership concern. If the tender is submitted on behalf of partnership concern, he should submit the certified copy of partnership deed along with the tender and authorization to sign the tender documents on behalf of partnership concern. If these documents are not enclosed along with tender documents, the tender will be treated as having been submitted by the individual signing the tender documents. The Railway Recruitment Board will not be bound by any power of attorney granted by the tenderer or by changes in the compensation of the firm made subsequent to the executing of the contract. It may, however recognise such power of attorney and changes after obtaining proper legal advise, the cost of which will be chargeable to the contractor. If the tenderer is a company registered under Indian Companies Act, the tender should be submitted expressly for and on behalf of the Company and the tender should be signed by a person duly authorised to submit the same for and behalf of the tendering company.

RECOGNITION OF POWER OF ATTORNEY

i. A fee of Rs. 100/- each will be charged for scrutiny of Power and other documents from the contractor. In case where the documents are found legally defective and are required to be re-examined after correction, a further fee of Rs.50/- will have to be paid.

ii. Non-compliance with any of the conditions set forth therein is liable to result in the tender being rejected.

iii. The authority for the acceptance of the tender will rest with the Railway Recruitment Board Administration, on behalf of the President of India, who does not bind himself to accept the lowest of any other tender nor does he undertake to assign reasons for declining to consider any particular tender or tenders. The Railway Recruitment Board reserves the right for accepting any tender in part or full without assigning any reasons.

iv. (a) All documents to be submitted in connection with this tender will be in English/Hindi. (b)Additional conditions or stipulations if any must be made by the tenderer/s in

covering letter with the tender. It should however be noted that the Railway Recruitment Board reserves the right not to consider conditional tenders and reject the same without assigning any reason.

14. The tenderer whose tender is accepted shall be required to present himself or his duly authorised representative in person at the office of the Chairman, Railway Recruitment Board, Mumbai Central to execute the contract documents within seven days after receipt of notice that the contract documents are ready. Failure to do so shall constitute a breach of the agreement effected by the acceptance of the tender in which case the earnest money accompanying the tender shall be forfeited by the Railway as liquidated damages for such default, without prejudice to any other right or remedies open to the Railway. In the event any tenderer whose tender is accepted shall refuse to execute the contract documents as here in before provided the Railway may determine that such tenderer has abandoned the contract and thereupon his tender and the acceptance there of shall be null and void and the railway shall be entitled to forfeit the earnest money as liquidated damages for such default, without prejudice to any other right or remedies open to the Railway.

15. Should a tenderer be a retired Signal & Telecommunication Engineer of the Gazetted rank or any other Gazetted Officer working before his retirement whether in the executive or administrative capacity or whether holding a pensionable post or not, in the Signal & telecommunication Engineering Department of any of the Railway owned and administered by the President of India for the time being or, should a tenderer being partnership firm have as one of its partners a retired Signal & Telecommunication Engineer or a retired gazetted officer as aforesaid or should a tenderer being an incorporated company have any such retired Signal & Telecommunication Engineer or retire Gazetted officer as one of its directors, or should a tenderer have in his employment any retired Signal & Telecommunication Engineer or retired gazetted officer as aforesaid the full information as to the date of retirement of such Signal & Telecommunication Engineer or Gazetted Officer from the said service and in case where such Signal and Telecom. Engineer or officer had not retired from Government service at least two years prior to the date of the submission of the tender as to whether permission for taking such contract, or if the contractor be a partnership firm or an in-corporate company to become a partner or director as the case may be, or to take employment under the contractor, has been obtained by the tenderer or the Signal & telecom. Engineer or the officer as the case may be from the President of India or any officer duly authorised by him in this behalf, shall be clearly stated in writing at the time of submitting the tender. Tenders without the information above referred to or a statement to the effect that no such retired Signal & Telecom. Engineer or retired gazetted officer is so associated with the tenderer, as the case may be, shall be rejected.

16. Should a tenderer have relative or relatives, or in the case of a firm or company of contractors, one or more of its shareholders or a relative or relatives of the shareholders employed in gazetted capacity in the, Railway Recruitment Board office the authority inviting tenders shall be informed of the fact at the time of submission of tender, failing which the tender may be disqualified or if such fact subsequently comes to light the contract may be rescind in accordance with the provisions in Clause 62 of the General Conditions of Contract.

17. The tenderer shall hold the offer open for a period of 120 days from the date fixed for receiving the same, it being understood that the tender documents have been sold to the tender and the tenderers is being permitted to tender in consideration of the stipulation on his part that after submitting his tender he will not resile there from or modify the terms and conditions thereof a manner not acceptable to the Chairman Railway Recruitment Board, Mumbai Central Mumbai: 400008 should the tenderer fail to observe or comply with the foregoing stipulation the amount mentioned in condition 4 (a) (i) shall be liable to be forfeited to the Government.

18. Payment of custom duties of taxes made by the Contractor under any mis-apprehension of law or due to the goods being valued higher than stated would not be reimbursed by the purchaser.

19. No Railway Recruitment Board Material consignment of priority certificate shall be issued for the carriage of tools, plants and other materials belonging to the contractors.

20. The tenderer/s shall not increase his/their rates in case the Railway Recruitment Board Administration negotiate for reduction of rates. Such negotiations shall not amount cancellation or withdrawal of the original offer and rates originally quoted will be binding on the tenderer.

21. The tenderer/s shall submit an analysis of rates if called upon to do so. 22. The tenderer/s should note that he/they would be responsible if applicable for the compliance

of the provisions of the Payments of Wages Act 1936 as amended from time to time and rules framed there under in respect of labour employed for the works allotted to him./ them.

23. Cess and water charges will be recovered from the contractor as per rules in force, if

applicable. 24. The tender documents are not transferable.
