TheBoardoftheCommunicationsRegulatoryAuthorityofNamibia,intermsofthe“RegulationsRegarding Rule-Making Procedures: Communications Act, 2009” as published in GovernmentGazetteNo.4630,NoticeNumber334,dated17December2010,andsections28and29of theCommunicationsAct, 2009 (ActNo. 8 of 2009) hereby publishes these “RegulationsRegardingConfidentialInformationandConfidentialCommunicationswiththeAuthority”effectivefromthedateofpublicationintheGovernment Gazette.
Definitions
1. Intheseregulations,anywordorexpressiontowhichameaningisassignedintheAct,shallhavethesamemeaningand–
“Act”meanstheCommunicationsAct,No.8of2009.
Submission of documents to the Authority
2. Intheseregulations,whenpersonsarepermittedorcalledupontosubmitinformationtotheAuthorityinwriting,theymaydosoeitherphysicallyorelectronically-
(1) by hand to the head offices of theAuthority, namelyCommunicationHouse, 56RobertMugabeAvenue,Windhoek;
(2) byposttotheheadofficesoftheAuthority,namelyPrivateBag13309,Windhoek9000;
(3) byelectronicmailtothefollowingaddress:[email protected]
(4) byfacsimiletothefollowingfacsimilenumber:+26461222790;or
(5) inanyothermanneroratalternativeaddressessetoutbytheAuthorityfromtimetotime.
Applicability
3. Theseregulationsareapplicableto-

(1) confidentialinformationsubmittedtotheAuthorityascontemplatedinsection28oftheAct,and
(2) confidentialcommunicationswiththeAuthorityascontemplatedinsection29oftheAct.
Confidential information
4. (1) Subjecttosub-regulation(4),anypersonsubmittingwritteninformationtotheAuthoritymaydesignateallorpartoftheinformationconfidential,intermsofsection28(1)oftheAct.
(2) Ifapersondesignatesallorpartoftheinformationconfidential,itmustsubmitinwritingtotheAuthority,clearandconcisereasonswhytheinformationisdesignatedconfidential.
(3) If the Authority has reason to believe that the designated information is notconfidential,itwillinformthepersonalongwithitsreasonsforthatbelief,andinformthepersonthatshemaywithdrawtheinformation,consentthatitwillnotbetreatedasconfidential,orrequestahearingontheissueofconfidentialitytobeconductedintermsofsection28oftheAct.
(4) AnyinformationthatisrequiredtobemadepublicbyapersonortheAuthorityintermsoftheActoranyregulationsmadeintermsoftheAct,maynotbedesignatedconfidential.
Hearings
5. (1) Ifthepersonclaimingconfidentialityintermsofsection28(3)(c)oftheActrequestsahearing,theAuthoritymayholdeitherapaperhearingoranoralhearingorboth.
(2) In terms of section 28(4), the burden of proof lies with the person claimingconfidentiality.
Written Submissions (Paper hearings)
6. (1) If theAuthoritydecides toholdapaperhearing, itwill invite thepersonrequestingthehearingtosubmitinwritingtotheAuthorityreasonswhythepersondisagreeswiththeAuthority’sbeliefthatthedesignatedinformationisnotconfidential,withinthetimesetoutintheinvitation.
(2) The Authority may request further written or oral submissions which must beprovidedtotheAuthorityinthemannersetoutbytheAuthority.
(3) Allwrittensubmissionsmust-
(a) containthenameandcontactdetailsofthepersonmakingthesubmissionandthenameandcontactdetailsofthepersonforwhomthesubmissionismade,ifdifferent;
(b) beclearandconcise;and
(c) conformtoanyfurtherrequirementsdeterminedbytheAuthority.
Oral hearings
7. (1) If theAuthoritydecides tohold anoral hearing, itwill invite thepersonrequesting thehearing tomakeoralsubmissions to theAuthoritywith regard to the reasonswhythepersondisagreeswiththeAuthority’sbeliefthatthedesignatedinformationisnotconfidential,withinthetimesetoutintheinvitation.

(2) TheformatandagendaofthehearingisatthediscretionoftheAuthority.
(3) Alloralsubmissionsmust-
(a) includeastatementindicatingthenameandcontactdetailsofthepersonmakingtheoralsubmissionandthenameandcontactdetailsofthepersonforwhomtheoralsubmissionismade,ifdifferent;
(b) beclearandconcise;and
(c) conformtoanyfurtherrequirementsdeterminedbytheAuthority.
(4) TheAuthority may request further oral or written submissions, which must beprovidedtotheAuthorityinthemannersetoutbytheAuthority.
Decisions of the Authority
8. (1) At the conclusion of the hearing, theAuthority will decide whether thedesignatedinformationisconfidential.
(2) TheAuthority’sdecisionandreasonswillbecommunicatedtothepersonrequestingthehearing,andifthedecisionisthattheinformationisnotconfidential,theAuthoritywillinformthepersonthatshemaywithdrawtheinformationorconsentthatitwillnotbetreatedasconfidential.
Ex Parte Communications
9. ApersonmaynotcommunicatewiththemembersoftheBoard,theCEOorstaffmembersof,orconsultantstotheAuthority,todiscussthesubjectmatterofrequestforconfidentiality,exceptasprovidedforherein.
Record of proceedings
10. (1) All documents deemed relevant by the Authority to the proceedingscontemplatedbytheseregulations,includingtheAuthority’sdecisionandreasons,mustbemaintainedbytheAuthorityinitsfileslocatedattheheadofficesoftheAuthority.
(2) Exceptforconfidentialinformation,anypersonmayexaminetheAuthority’sfilesattheheadofficesoftheAuthorityduringnormalbusinesshoursandcopiesmaybemadeonpaymentofafeedeterminedbytheAuthorityfromtimetotime,and,ifavailable,ontheAuthority’swebsitewherecopiesmaybedownloadedfreeofcharge.
Reconsideration
11. (1) TheAuthoritymay,onitsown,reconsideranydecisionmadeintermsoftheseregulationswithinthetimesetoutinsection31oftheAct.
(2) Any personmay submit to theAuthority in writing a request to reconsider anydecisionmadeintermsoftheseregulationswithin30daysofnoticeofthedecision,andtheAuthoritymustreconsidersuchregulationwithinthetimesetoutinsection31oftheAct.
(3) TheAuthoritymaypublishinGovernmentGazetteitsdecisiononreconsiderationwithoutfurthersubmissionsbeingreceived,oritmayprovideanopportunityforfurthersubmissionsinamannersetoutbytheAuthority.

Confidential communications with the Authority
12. (1) Subjecttosub-regulation(2),apersonmaysubmitinwritingtotheAuthorityarequestforaconfidentialmeetingwiththeAuthority,intermsofsection29(1)oftheAct.
(2) ApersonmaynotrequestaconfidentialmeetingwiththeAuthority-
(a) ifthetopic(s)ofthemeetingconcernsinformationthattheAuthoritybelievesorhasdecidedisnotconfidentialintermsoftheActandtheseregulations;or
(b) if that person is prohibited from engaging in ex parte communicationswith theAuthorityonthetopic(s)oftherequestedmeetingbyanyregulationsmadeintermsofAct.
(3) TherequestforaconfidentialmeetingwiththeAuthoritymustinclude-
(a) thenameandcontactdetailsof thepersonmaking the requestand thenameandcontactdetailsofthepersonforwhomtherequestismade,ifdifferent;
(b) aclearandconcisestatement(s)ofthetopic(s)ofthemeeting;
(c) alistofallthepersonswhowillattendthemeeting;and
(d) alistofallofthewritteninformation,ifany,thatwillbesubmittedtotheAuthorityatthemeeting.
(4) IftheAuthoritygrantstherequestintermsofsection29(3)oftheAct,itwillpublishnoticeofthemeetingintheGovernment Gazetteatleastsevendayspriortothemeeting,providedthatifthepersonrequestingthemeetinghasshownsufficientcauseforurgency,publicationintheGovernment Gazettemaybemadelessthansevendays.
(5) At the conclusion of themeeting, theAuthoritywill prepare a report setting outallrelevantdetailsofthemeetingandkeepthatreportinitsfileslocatedattheheadofficesoftheAuthority.
(6) AnywritteninformationsubmittedtotheAuthorityatthemeetingwillbetreatedasifdesignatedconfidentialintermsofsection28oftheAct,inwhichcasetheregulationshereinregardingconfidentialinformationwillapply,subjecttosection29(5)oftheAct. Definitions
1. Intheseregulations,anywordorexpressiontowhichameaningisassignedintheAct,shallhavethesamemeaningand–
“Act”meanstheCommunicationsAct,2009(ActNo.8of2009).
Purpose
2. These regulations impose conditions on telecommunications service licensees inadditiontotheconditionsimposedbytheAct.
Applicability 3. Theseregulationsareapplicableto-
(a) Alltelecommunicationsservicelicensees.
Authorisation
4. (1) All ECS licensees, issued with a telecommunications service are dulyauthorised to provide telecommunications services in terms of the “Regulations Setting outBroadcasting andTelecommunications Service LicenceCategories” as published inGovernmentGazette4714,NoticeNo.124,dated18May2011.
(2) All licensees issued with an ECNS and Comprehensive telecommunicationsservice(ECSandECNS)licencearedulyauthorisedtoinstall,maintainandoperatethenecessaryinfrastructure in that regard toprovide telecommunications services in termsof the“RegulationsSetting out Broadcasting and Telecommunications Service Licence Categories” as published inGovernmentGazette4714,NoticeNo.124,dated18May2011.
Licence Area
5. ThelicenceareaistheRepublicofNamibiaoranypartthereof.
Hours of Operation
6. (1) ALicenseemustprovideanelectroniccommunicationnetworkandservicesfortwentyfour(24)hours,threehundredandsixtyfive(365)daysperyear.
(2) Where a Licensee cannot provide the licensed network and/or service due tocircumstancesbeyonditscontrolforacontinuousperiodoftwelve(12)hoursorlonger,thelicenseemustnotifytheAuthorityinwritingofsuchcircumstanceswithintwelve(12)hours.
Technical conditions
7. The licenseesshallcomplywith the technicalconditionsaswillbeprescribed intermsofsections38,39,44,48,49,50,and80oftheActaswellasanyspecifictermsandconditionscontainedinthelicence.

Quality of Service
8. ThelicenseesshallcomplywithqualityofservicestandardsasprescribedbytheAuthorityfromtimetotimeintermsoftherule-makingregulationswithregardtonetworkquality,infrastructure,billingandservicequality.
Publication of tariffs and fees
9. Aspersection53oftheAct,thelicenseemustprovidetheAuthoritywillalltariffsandfeespertainingtoelectroniccommunicationservicesoffered, includinginfrastructuresharingsubjecttosection50oftheAct.
Competition
10. Thelicenseesshallcomplywithsections33,35and48oftheAct.
Consumer Protection
11. Thelicenseesshallcomplywiththeprovisionsrelatingtoconsumerprotectionasprescribedintermsofsections79oftheActaswellasanyspecifictermsandconditionscontainedintherule-makingregulationsforqualityofservice.
Interconnection
12. Licenseeshave theobligation to interconnectwithother licensees in compliancewithsection49oftheActwithinthirty(30)daysfromreceivingaformalrequestforanotherlicenseessubjecttotheprovisionscontainedinsection49oftheAct
Infrastructure Sharing
13. Licenseeshavetherightsandobligationstoleasefacilitiesfromandtoanyotherlicensee,subject toandinaccordancewitharrangementsagreedbetweenthem,failingwhichtheAuthoritymaytaketheappropriatestepsintermsofsections48and50oftheAct.
Rights of way
14. (1) AlllicenseesissuedwithanECNSandComprehensivetelecommunicationsservice(ECSandECNS)licencearegrantedrightsintermsofsection59oftheActinsofarasithasbeenmadeapplicabletothemintermsofsection38(12)or38(13).
(2) Subject to subparagraph 12(1) all licenseesmust complywith the provisions ofsection60to68oftheActinprovidinginfrastructureandservicesaspartoftheirlicenceobligations.
Safety Measures
15. Licensees shall, in respect of all apparatus, equipment and installations that itowns, leasesoruses, takesuchmeasuresasmaybeprescribedand inanyeventsuchreasonableandnecessarysafetymeasurestosafeguardlifeorproperty,andlimitexposuretoelectromagneticemissionandrelatedrisksascontainedinsection80oftheAct.
Payment of Fees
16. (1) LicencesshallonlybeawardedafterpaymentoftheapplicablefeestotheAuthority.

(2) Except for community broadcasting licensees, licensees shall pay an annualregulatorylevyasdeterminedbytheAuthorityintermsofsection23,fromtimetotime,asperitsannualfinancialstatementsasapprovedbyitsindependentauditorsandmembers,intermsoftherelevantregulation.
(3) Thelevyshallbepayablewithinsixty(60)daysoftheAct,fromthedateofapprovalofitsannualfinancialstatementsintermsofsection55.
(4) ThelicenseesshallsubmittheirannualfinancialstatementstotheAuthorityintermsofsection91oftheAct.
(5) TheAuthorityshallnotbeobligedtoissueaninvoicetothelicenseebutshallissueareceiptuponreceiptoftheverifiedandcorrectpayment.
Duration of licences
17. (1) Intermsofsection38(9),theauthorisationtoprovidetelecommunicationsservices shall automatically expire after 15 years, from the date of publishing of final licenceconditionsintheGovernment Gazette.
(2) Licenseesshallapplytorenewtheirlicencessix(6)monthspriortotheexpiryofthelicenceintermsofsection40and42oftheAct.
(3) Intermsofsection42(3)oftheAct,intheeventthatthelicenseesfailtosettlefeespayable,theAuthoritymaydeclarethelicencetobeforfeited.
(4) Alicencewilllapsesix(6)monthsafterthedateoftheissueofthatlicenceintheeventthatnocommercialtelecommunicationsservicesareprovidedunderthatlicence.TheAuthoritymay,afterconsideringawrittenrequestfromalicensee,extend,inwriting,forsuchfurtherperiodsasmaybedeterminedbytheAuthorityand,ifapplicable,condonethelicensee’sfailuretocommencerenderingtelecommunicationsservicestimeously,inwhicheventthelicencewilllapseattheexpiryofsuchextendedperiod.
Ownership and control
18. Thelicenceshallbeawardedsubjecttosection46oftheAct.
Amendment, renewal and transfer of licence or transfer of control of licence
19. For the amendment, renewal and transfer of licence or transfer of control oflicence, the licensee shall comply with the “Regulations Regarding Licensing Procedures forTelecommunicationsandBroadcastingServiceLicencesandSpectrumUseLicences”,publishedinGovernment GazetteNo.4785,NoticeNumber272,dated29August2011,asmaybeamendedfromtimetotime.
Reporting, monitoring and compliance
20. (1) TheAuthoritymayrequestany information in theformatasrequestedby theAuthorityand,determinedbyitasrelevantfromthelicenseesforthepurposesofmonitoringandensuringcompliancewiththeActandtheregulationsprescribedbytheAuthority,towhichrequestthelicenseeshallcomplyinthemannersetoutbytheAuthorityandintermsofsection55oftheAct.
(2) TheAuthoritymay,inthecourseofcarryingoutitsobligationsundertheActrequireaLicenseetoprovideinformation,soastoenableitto:

(a) Monitor and enforce consumer protection, quality of service, competition,compliancewithlicenceconditionsandotherrequirementsoftheActandrelatedlegislation;
(b) Facilitateefficientuseofscarceresources;
(c) collect and compile information to be used for the purpose of sectoral analysis,planning,reportingandconductinginquiries.
(3) Inrespecttoeachrequestforinformationreferredtoinsub-clause(2),exceptwhereotherwiseaddressedinapplicableregulations,theAuthoritywillprovideadetailedspecificationofitsinformationrequest,applicableresponsetimesandidentifyacontactpersontowhomqueriesmaybeaddressed.
Regulatory offences
21. TheAuthoritywillprosecuteregulatoryoffencesandenforcetheselicenceconditionsintermsofsections114and115oftheAct.
Universal Service Fund
22. Licenseesmaybegranteduniversalserviceobligationsand/ormayberequiredtocontributetowardstheUniversalServiceFundinthemannerasprescribedbytheAuthorityintermsofrelevantlegislationandregulations,inthemannerassetforthbytheAuthority,fromtimetotime.
Revocation of licence
23. Thelicencemayberevokedintermsofsections42and115oftheAct.
Amendment of licence conditions
24. TheAuthoritymayamendtheseconditionsfromtimetotimeintermsoftherule-makingprocedureregulations.
Supervision by authority
25. TheAuthorityshallsupervisecompliancewiththeseconditionsintermsofsections,114and115oftheAct.
Duty to furnish information
26. The licensees are obliged to supply information in advance to theAuthority intermsofsection55relating tochangesregardingitscontactdetails,contactpersons,statisticsonits communications services, intended change of ownership, intended change of control, changeofbusinessaddress,courtordersmadeagainstit,oranymatterthatmateriallyaffectsitslicensedoperations,butnotlimitedtheretoandasmaybereasonablyrequiredtomeettheobjectionsoftheAct.

Definitions
1. Intheseregulations,anywordorexpressiontowhichameaningisassignedintheAct,shallhavethesamemeaningand–
“Act”meanstheCommunicationsAct,2009(ActNo.8of2009).
Purpose
2. These regulations impose conditions on broadcasting licences in addition to theconditionsimposedbytheAct.
Applicability
3. Theseregulationsareapplicableto-
(1) All broadcasting service licensees, except for the Namibian BroadcastingCorporation.
(2) These regulations shall be applicable to theNamibianBroadcastingCorporationfromthedatedeterminedbytheMinisterintermsofsection93(1)and(3)oftheActandsubjecttotheprovisionsofsection86(2)(d),(e),(f)and(g).
Authorisation
4. (1) All licensees, issued with a broadcasting licence in accordance withAnnexureA,aredulyauthorised toprovidebroadcasting servicesasand to install,maintainandoperatethenecessaryinfrastructureinthatregard.Furthermorealllicenseesareauthorisedtooperatetheirownmultiplexerequipmentandelectroniccommunicationsnetworkforsignaldistributionforthepurposeofdeliveringbroadcastingservicesontheirownbehalf.
(2) Thelicenceshallbeawardedinaccordancewiththeprovisionssection85(8)oftheAct.
(3) LicenseesshallinformtheAuthorityinwritingofitsintentionstoprovidebothradioand/ortelevisionbroadcastingservicessixty(60)dayspriortoprovidingsuchservices,intheeventitdidnotprovidethatserviceinthepast.
Signal distribution
5. Subjecttoapplyingforandbeinggrantedaspectrumuselicence(s),alllicensees,issuedwithabroadcastinglicenceinaccordancewithAnnexureA,aredulyauthorisedtoprovide

6. The licenseesshallcomplywith the technicalconditionsaswillbeprescribed intermsofsection86oftheAct.
Competition
7. Thelicenseesshallcomplywithsections33to35oftheAct.
Facilities Leasing
8. Licenseeshavetherightsandobligationstoleasefacilitiesfromandtoanyotherlicensee,subject toandinaccordancewitharrangementsagreedbetweenthem,failingwhichtheAuthoritymaytaketheappropriatesteps.
Safety Measures
9. Licensees shall, in respect of all apparatus, equipment and installations that itowns, leasesoruses, takesuchmeasuresasmaybeprescribedand inanyeventsuchreasonableandnecessarysafetymeasurestosafeguardlifeorproperty,andlimitexposuretoelectromagneticemissionandrelatedrisks.
Broadcasting code
10. TheAuthoritymaymakeabroadcastingcodeintermsofsections89oftheActandshallenforcecompliancewithsuchcodeintermsofsection90oftheAct.
Payment of Fees
11. (1) LicencesshallonlybeawardedafterpaymentoftheapplicablefeestotheAuthority.
(2) Except for community broadcasting licensees, licensees shall pay an annualregulatorylevyasdeterminedbytheAuthorityintermsofsection23,fromtimetotime,asperitsannualfinancialstatementsasapprovedbyitsindependentauditorsandmembers,intermsoftherelevantregulation.
(3) Thelevyshallbepayablewithinsixty(60)daysintermsofsection88oftheAct,fromthedateofapprovalofitsannualfinancialstatements.
(4) ThelicenseesshallsubmittheirannualfinancialstatementstotheAuthorityintermsofsection91oftheAct.
(5) TheAuthorityshallnotbeobligedtoissueaninvoicetothelicenseebutshallissueareceiptuponreceiptoftheverifiedandcorrectpayment.
Duration of licences
12. (1) Intermsofsection87(1)(a),theauthorisationtoprovideradiobroadcastingservicesshallautomaticallyexpireafterfive(5)years, fromthedateof issueof thebroadcastinglicencebytheAuthority,withrespecttoalicenseeprovidingradiobroadcastingservices.

(2) In terms of section 87(1)(b), the authorisation to provide television broadcastingservicesshallautomaticallyexpireafterten(10)years,fromthedateofissueofthebroadcastinglicencebytheAuthority,withrespecttoalicenseeprovidingtelevisionbroadcastingservices.
(3) Licenseesshallapply to renewtheir licencesprior to theexpiryof the licence intermsofsection87(3)oftheActandassetoutinthe“RegulationsRegardingLicensingProceduresforTelecommunicationsandBroadcastingServiceLicencesandSpectrumUseLicenses”,publishedinGovernmentGazetteNo.4785,NoticeNumber272,dated29August2011,asmaybeamendedfromtimetotime.
(4) In terms of section 87(7) of theAct, in the event licensees fail to commencebroadcastingserviceswithinaperiodofsix(6)monthsfromthedateofissueofthelicence,suchlicenceshallautomaticallyexpireattheendofthesix(6)monthperiod,withouttheAuthorityhavingtogivenoticetothelicensee,unlessasotherwiseapprovedbytheAuthorityinadvance.
Ownership and control
13. Thelicenceshallbeawardedsubjecttosection85oftheAct.
Amendment, renewal and transfer of licence or transfer of control of licence
14. For the Amendment, renewal and transfer of licence or transfer of control oflicence, the licensee shall comply with the “Regulations Regarding Licensing Procedures forTelecommunicationsandBroadcastingServiceLicencesandSpectrumUseLicences”,publishedinGovernment GazetteNo.4785,NoticeNumber272,dated29August2011,asmaybeamendedfromtimetotime.
Reporting, monitoring and compliance
15. TheAuthoritymayrequestanyinformation,determinedbyitasrelevantfromthelicenseesforthepurposesofmonitoringandensuringcompliancewiththeActandtheregulationsprescribedbytheAuthority,towhichrequestthelicenseeshallcomplyinthemannersetoutbytheAuthorityandintermsofsections90,114-126oftheAct.
Regulatory offences
16. TheAuthoritywillprosecuteregulatoryoffencesandenforcetheselicenceconditionsintermsofsections114and115oftheAct.
Universal Service Fund and Obligations
17. Licenseesmaybegranteduniversalserviceobligationsand/ormayberequiredtocontributetowardstheUniversalServiceFundinthemannerasprescribedbytheAuthorityintermsofrelevantlegislationandregulations,inthemannerassetforthbytheAuthority,fromtimetotime.
Revocation of licence

Definitions
1. Intheseregulations,anywordorexpressiontowhichameaningisassignedintheAct,shallhavethesamemeaningand–
“Act”meanstheCommunicationsAct,2009(ActNo.8of2009).
Submission of documents to the Authority
2. Intheseregulations,whenpersonsarepermittedorcalledupontosubmitinformationtotheAuthorityinwriting,theymaydosoeitherphysicallyorelectronically-

Applicability
3. (1) TheseregulationsareapplicabletohearingsconductedbytheAuthorityintermsoftheActorregulationsmadeintermsoftheAct.
(2) These regulationsmust be readwith any relevant provisions of theAct and anyregulationsmadeintermsoftheAct.
The Authority’s discretion to hold hearings
4. IftheActorregulationsrequiretheAuthoritytoholdahearingoriftheAuthorityexercisesitsdiscretiontoholdahearing,exceptifthereisaspecificrequirementtoholdapaper(bysubmittingwrittensubmissions)ororalhearing,theAuthoritymayholdeitherapaperhearingoranoralhearingorboth.
Written Submission (Paper hearings)
5. (1) IftheAuthoritydecidestoholdapaperhearing,itwillinviteallrelevantpersonsintermsoftheActandregulations,tosubmitinwritingtotheAuthoritywrittenrepresentations,withinthetimesetoutintheinvitation.

(2) IftheAuthorityconsidersitnecessaryorappropriate,itwillprovidetheopportunityforwrittenresponsestowrittensubmissionsandforwrittenrepliestowrittenresponses.
(3) WrittenresponsesandwrittenrepliesmustbesubmittedinwritingtotheAuthoritywithinthetimesetoutbytheAuthority.
(4) Thetimesforthesubmissionofwrittenrepresentations,responsesandreplieswillbedeterminedbytheAuthorityinlightofthenatureofthehearing.
(5) The Authority may consider written submissions not timeously filed, if, in itsopinion,itispracticableandappropriatetodoso.
(6) The Authority may request further written or oral submissions which must beprovidedtotheAuthorityinthemannersetoutbytheAuthority.
(7) Allwrittensubmissionsmust-
(a) containthenameandcontactdetailsofthepersonmakingthesubmissionandthenameandcontactdetailsofthepersonforwhomthesubmissionismade,ifdifferent;
(b) beclearandconcise;and
(c) conformtoanyfurtherrequirementsdeterminedbytheAuthority.
Oral hearings
6. (1) If theAuthoritydecides toholdanoralhearing, itwill inviteall relevantpersons in terms of theAct and regulations tomake oral submissions at the time set out in theinvitation.
(2) UnlessotherwisespecifiedbytheAuthority,hearingswillbeopentothepublic.
(3) TheformatandagendaofthehearingisatthediscretionoftheAuthority,dependingonthenatureofthehearing.
(4) TheAuthority may request further oral or written submissions, which must beprovidedtotheAuthorityinthemannersetoutbytheAuthority.
(5) Alloralsubmissionsmust-
(a) includeastatementindicatingthenameandcontactdetailsofthepersonmakingtheoralsubmissionandthenameandcontactdetailsofthepersonforwhomtheoralsubmissionismade,ifdifferent;
(b) beclearandconcise;and
(c) conformtoanyfurtherrequirementsdeterminedbytheAuthority.
Decisions of the Authority
7. (1) Aftertheconclusionofthehearing,theAuthoritywilldecidetheissueorissuesrequiredtobedecidedintermsoftheActorregulations.
(2) TheAuthority’sdecisionandreasonswillbecommunicatedtoallrelevantpersonswithinsixty(60)daysfromdateofhearingandmaybepublishedintheGazette.

(3) TheAuthoritywillkeeparegisterofdecisions,whichwillbeheldattheheadofficesoftheAuthorityandifpracticable,ontheAuthority’swebsite.
(4) Except for confidential information, any person may examine any decision andreasonsattheheadofficesoftheAuthorityduringnormalbusinesshoursandcopiesmaybemadeonpaymentofafeedeterminedbytheAuthorityfromtimetotime,and,ifavailable,ontheAuthority’swebsitewherecopiesmaybedownloadedfreeofcharge.
Confidential information and communications
8. (1) AnypersonprovidingwritteninformationtotheAuthoritymaydesignateallorpartoftheinformation,confidential,intermsofsection28(1)oftheAct,inwhichcase,theAuthority’sRegulationsregardingConfidentialInformationandConfidentialCommunicationswiththeAuthoritywillapply.
(2) Anypersonmakingoralsubmissionsmayrequestaclosedhearingonthegroundsthatthesubmissionsareconfidential,inwhichcase,thesubmissionswillbetreatedasaconfidentialmeeting in termsofsection29of theActand theAuthority’sRegulationsregardingConfidentialInformationandConfidentialCommunicationswiththeAuthoritywillapply.
Ex Parte communications
9. ApersonmaynotcommunicatewiththemembersoftheBoard,theCEOorstaffmembersof,orconsultantstotheAuthority,todiscussthesubjectmatterofrequestforconfidentialityproceeding,exceptasprovidedforherein.
Record of proceedings
10. (1) AlldocumentsdeemedrelevantbytheAuthoritytothehearingscontemplatedbytheseregulationsmustbemaintainedbytheAuthorityinitsfileslocatedattheheadofficesoftheAuthority.
(2) Exceptforconfidentialinformation,anypersonmayexaminetheAuthority’sfilesattheheadofficesoftheAuthorityduringnormalbusinesshoursandcopiesmaybemadeonpaymentofafeedeterminedbytheAuthorityfromtimetotime,and,ifavailable,ontheAuthority’swebsitewherecopiesmaybedownloadedfreeofcharge.
Reconsideration
11. (1) TheAuthoritymay,onitsown,reconsideranydecisionmadeintermsoftheseregulationswithinthetimesetoutinsection31oftheAct.
(2) Any personmay submit to theAuthority in writing a request to reconsider anydecisionmadeintermsoftheseregulationswithin30daysofnoticeofthedecision,andtheAuthoritymustreconsidersuchdecisionwithinthetimesetoutinsection31oftheAct.
(3) The Authority may publish its decision on reconsideration without furthersubmissionsbeingreceived,oritmayprovideanopportunityforfurthersubmissionsinamannersetoutbytheAuthority.

Reasons for decision
With regards to Telecommunication Services, section 23 of the Communications Act, 2009providesthatCRANmay,afterarulemakingprocedure,imposearegulatorylevyonprovidersofcommunicationsservices.Section38(10)(f)providesthatCRANmayimposeonlicenseesthefeespayableforthegrant,managementandcontrolofalicence.Section42(3)providesthatCRANmaydeclarealicencetobeforfeitedifanyfeesoranyotheramountpayabletoCRANbyalicenseearenotpaid.
WithregardstoBroadcastingServices,section85(1)oftheCommunicationsAct,2009providesthatCRANmaydetermineprescribedfeesinrespectofbroadcastinglicences.Section88providesthatCRANmaydeclarealicencetobeforfeitedifanyfeesarenotpaid.
Section 129 provides that CRAN may make regulations prescribing fees payable to it whenapplicationsaremadeandwhenlicencesareissued.
Accordingly,CRANhasmadeapplicationandlicencefeesapplicable to telecommunicationsandbroadcastingservicelicences.
In respect of the above, CRAN has published draft regulations and received public commentsregardingthefeesforrenewalapplicationsbeingtoohighandthusshouldbereduced.Incontrastcommentswerealso received that theapplication feeswere low.CRANhasdecided tokeep theapplicationfeesasperthedraftregulations.AccordingtotheCommunicationsActNo.8of2009,renewalaretobemadeevery5to10yearsandshouldnotimpactonbusinessoflicenseesadversely.InadditiontheapplicationfeeswillbeadjustedintermsofRegulation5,withtheConsumerPriceIndexannually.
Further comments were received; particularly with regards to the TelecommunicationsIndividual Comprehensive (ECNS and ECS) licences and that the fees should only be paid onthetelecommunicationsrelatedbusiness.CRANisoftheviewthatthelevythatischargedisonelectroniccommunicationnetworkservicesandonelectroniccommunicationservices.Furthermorelicenseesare reminded that the licensesare serviceand technologyneutral.CRANdoes regulatetelecommunicationsequipmentand thus incursadministrativecosts in this respect. IfCRANhastoimplementachartofaccountsandcostallocationmanualitwouldbeanadministrativeburdenforbothCRANandthelicensees.CRANishoweveratlookingconductingastudyregardingcostsaccountingproceduresinthisregard,whichwilladdressthismatter.
Further, CRAN has in benchmarking itself to neighbouring countries found that they have notsuccessfullyimplementedachartofaccountsandcostallocationmanualsandthatittookyearstodeviseandimplementsame.
CRANhas considered the commentsmade regarding the usage of net profit or gross profit as apercentageoftheannuallicensefees.CRANisoftheviewthatthesecreatemeasurementchallengesandthereforecalculationonannuallicensefeeswillremainonturnover,especiallygiventhefactthatcostaccountingproceduresareyettobefullyinvestigatedforimplementation.Turnoverhasbeenusedasabasisinmanycountriesbenchmarkedforthepurposeofthisstudy.

CRANhashoweverconsideredthecommentsonthepercentageoftheannuallicensefeeandhasdecidedonusingaprogressivelicencefeeformula, in termsofwhichthepercentageof turnoverpayableasalicensefeeisbasedonaformulathatcapsthemaximumpercentageat1.5%.
In addition to the progressive licence fee formula all licensees shall pay a annual regulatoryadministrativelevyasperregulation(3)below.
Theformulaisdesignedinawaysothatthepercentagelevyincreasesevenlyfrom0%to1.5%forturnoverrangingfromzerotoonebillionNamibiandollars.LicenseeswithlessthanonebillionN$turnoverpayalowerpercentageandonlylicenseesandoperatorsthatexceedonebillionNamibiandollarsinturnoverpaythefulllevy.
Theformulaworksasfollows:Levy%=Minimum(1.5%,0.00000000002*Turnover).Theformulaselectsthelowervalueoutof1.5%and0.00000000002*turnover.
Examples:a)5millionturnover:Minimum(1.5%,0.00000000002*5,000,000)=0.01%.b)500millionturnover:Minimum(1.5%,0.00000000002*500,000,000)=1%.c)2billionturnover:Minimum(1.5%,0.00000000002*2,000,000,000)=1,5%.
Pleasenotethat0.00000000002*2,000,000,000=4%andhencethelower1.5%isselected.
Thisprogressivelicensefeeformulahasthefollowingadvantages:• Asingleformulacanbeappliedtoallsectorsandlicensees.• Smaller licensees and new entrants are paying a much smaller levy percentage, which
encouragesmarketentryandcompetition.• OncealicenseehasreachedaturnoverofonebillionNamibiandollars,thefulllevybecomes
applicable.• Theprogressivelicensefeeformulareducesthemarketexitriskwhilemaintainingasound
baseforthefundingofCRANinordertodefrayitsexpenses.• Theprogressive licence fee formula and the annual regulatory administrative levy is not
unreasonablydiscriminatory.
CRANwouldliketheindustrytonotethatit is inthesettingupphaseandthattherearevariousregulatoryprojectsthatneedtoberolledouttoensurethatCRANcanregulatethesectoreffectively.Additionally, CRAN is looking at additional transfer of funds from government to address itsregulatoryprogram.
Regulations Regarding the Application and Licence Fees for Service Licences
The Board of the Communications Regulatory Authority of Namibia hereby publishes theseRegulations RegardingApplication and Licence Fees for Service Licences, in terms of sections23, 38(10)(f), 42(3), 85(1), 88, and 129of theCommunicationsAct, 2009 (ActNo. 8 of 2009),whichregulationsamendNoticesNo.212andNo.213inGovernmentGazetteNo.3942dated13November2007andNoticeNo.108inGovernmentGazetteNo.3858dated15June2007,insofarastheyareinconsistentwiththesenewregulations.

(5) Thelicensee’sannualaudited(orsignedandsworn)financialstatementsmustbesubmittedtotheAuthorityonorbeforetheduedateforpaymentofthelicencefee,whichsubmissionmustbeaccompaniedbydocumentaryproofofpaymentofthelicencefee.
Interest and Penalties in respect of Payment of Licence Fees
8. (1) Ifalicenseefailstopayitsannuallicencefeeorfailstosubmititsannualaudited(orsignedandsworn)financialstatementsonorbeforetheduedate,thelicenseemayalsopayinterestontheoverdueamountfromtheduedatetothedateofpayment(orthedatesofsubmissionofitsannualaudited(orsignedandsworn)financialstatements),attherateofthreepercentabovethethencurrentoverdraftinterestratebeingchargedbytheAuthority’sbankers. (2) Ifalicenseefailstopayitsannuallicencefeeorfailstosubmititsannualaudited(orsignedandsworn)financialstatementswithin45daysaftertheduedate,thelicenseemay,inadditiontopaying interestassetoutabove,alsopaya latepaymentpenaltyof25percentof theoverdueamount.
(3) Ifalicenseefailstopayitsannuallicencefeeorsubmititsannualaudited(orsignedandsworn)financialstatementswithin120daysaftertheduedate,thelicenseemay,inadditiontopayingtheinterestsetoutabove,musteither-
(a) alsopayalatepaymentpenaltyupto50percentoftheoverdueamount;or
(b) surrenderitslicenceorlicencestotheAuthority. (4) Ifalicenseefailstopayitsannuallicencefeeorsubmititsannualaudited(orsignedandsworn)financialstatementsandfailstopayinterestandthelatepaymentpenaltysetoutabove,withinsixmonthsaftertheduedate,andfailstosurrenderitslicenceorlicencestotheAuthority,theAuthorityshall,afterfollowingadueprocessspecifiedunderregulations(6)and(7)below,declarethelicence(andrelatedspectrumuseorotherlicences)forfeitedand/orimposeafinenotexceedingN$5000000.00.
(5) TheAuthoritymustbeforeimposinganinterestratepenalty,latepaymentpenaltyorbeforedeclaringtheforfeitureofalicenseofalicenseeasaresultofthelatesubmissionofannualfinancialstatementsandlatepaymentofitsannuallicenseandnon-surrenderofthelicence,followadueprocessasdescribedinregulations(6)and(7)below.
(6) TheAuthoritymust,givethelicenseeanopportunitytobeheardandshallgrantaperiodofnotlessthan14daystothelicenseewithinwhichtomakerepresentationstotheAuthorityaboutthematter.
(7) AfterconsiderationoftherepresentationsreferredtoorifnosuchrepresentationshavebeenmadetheAuthoritymaydeterminewhethertoimposetheinterestratepenalty,latepaymentpenaltyordeclaretheforfeitureofthelicenseofthelicensee.
