1. VALIDITY Until further notice, these Shipping Instructions shall apply to deliveries from consignors, such as: suppliers, lo-gistic contractors' distribution warehouses, warehouses at harbours and airports or other logistic contractors (stated in the following text), to those plants of Volkswagen AG, AUDI AG, SEAT S.A. and Gearbox listed under Item 2. The plant-specific logistics concepts/shipping instructions may amend or partly replace these Instructions andshould be regarded as overriding them. As regards the NLC (New Logistics Concept), differing guidelines for transport handling may apply to selected-suppliers. These guidelines will be communicated to the suppliers by the individual plants.

3. Choice of transportation mode A consignment is the sum of all goods for a consignee from a sender on one loading day for one receiving location, including external warehouses, which are to be loaded onto one collection vehicle, whenev- er possible, provided that it meets the necessary weight or volume requirements.

In the context of call-offs received, consignments to Volkswagen/Audi must be handled as follows:

3.1 Express and parcel service consignments Packages and consignments (multiple packages per receiving plant, including external warehouses) are, as a rule, to be sent via the express and parcel service company UPS (shipments within Germany only, in the transi-tion period also from the countries listed under item 3.1.2) and DHL (shipments in Europe excluding those within Germany, in the transition period from countries listed under item 3.1.3). In doing so, the following restrictions must be observed:

The carriage of dangerous goods is excluded. Such consignments are to be handled through regional freight forwarders.

Possible additional services are: o Higher level of service (see UPS/DHL) o Saturday delivery o Saturday collection o Late collection

Higher levels of service and additional services are possible only with the approval of the respective Volkswagen Group plant and after the responsible Volkswagen employee has given authorisation, and the following is to be entered in the reference box:

All consignments for AUDI, Gyoer are to be processed via Speditionslager Syncreon GVZ-Halle F, Maria- Goeppert-Str. 1 D-85057 Ingolstadt. Direct shipping may be determined for the supplier bilaterally by AHM-Gyoer. In case of a direct shipment concept to Audi Gyoer, Hungary in a consolidated consignment (see appendix 2, Shipping times in Europe to Volkswagen Group production sites), all consignments are to be sent directly to AUDI Hungaria Motor Kft. H-9027Győr, Kardán u.1.

All consignments sent to AutoEuropa from carriage regions 1, 2 and 3 and from Scandinavia, the Netherlands, the UK, Ireland and Poland must be cleared by the Group Consolidation Center (KCC), company: Rudolf, Han-noversche Str. 5, D-34225 Baunatal. Consignments to AutoEuropa sent from all other regions (with the exception of France, Spain and Portugal) must be cleared by the Group Consolidation Center (KCC), company: Rudolph c/o AutoEuropa (specifying AutoEuropa’s addresses and unloading points), Am Rangierbahnhof 60, D- 70806 Kornwestheim. Direct shipping may be determined for the supplier bilaterally by AutoEuropa.

Consignments for SEAT, Gearbox and Lamborghini must only be cleared by the Group Consolidation Center (KCC) company: Rudolph c/o SEAT (specifying the addresses and unloading points), Am Rangierbahnhof 60, D- 70806 Kornwestheim if they originate in Germany, Liechtenstein, France (Dep. 25, 52, 54, 55, 57, 67, 68, 70, 88, 90), The Netherlands, Belgium, Luxembourg, Austria, Switzerland, Norway, Denmark, Finland, Sweden, the UK, Ireland, Slovenia, the Czech Republic, Slovakia, Poland or Hungary. The weight limits for deliveries to German plants shall apply. Direct shipping may be determined for the supplier bilaterally by SEAT, Gearbox, or Lamborghini.

3.1.1 Packing guidelines Small items in a small load container, which could fall out if inclined to 45 degrees, must additionally be packed in polythene bags. Cardboard lids of small load containers are to be secured in such a fashion that safe transportation is ensured during transport.

3.1.2 UPS for consignments from: Germany, domestic (shipping within Germany)

The maximum total gross weight allowed for consignments is 70 kg. Consignments are to be non-palletised (If a palette is essential, the consignment can be handled only by a regional freight forwarder. This must be noted and justified in the shipping documentation.)

3.1.2.1 Weight and dimension guidelines: Maximum values per package:

3.1.2.2 Shipping time The binding shipping times are attached as an appendix to these shipping instructions as "UPS shipping times" The document is also available through the supplier platform at http://www.vwgroupsupply.com

3.1.2.3 Levels of service UPS Standard service is specified. Higher levels of service with next-day delivery are

Express Saver: Delivery by 12:00 p.m. at the latest Express: Delivery by 10:30 a.m. at the latest Express Plus: Delivery by 9:00 a.m. at the latest

and are possible only with the approval of the respective Volkswagen Group plant and after the responsible Volkswagen employee has given authorisation. The following information must be entered in reference box 1:

3.1.2.4 Registering and ordering a consignment To register or order the shipment of consignments for which the Volkswagen Group is to pay the freight costs, use the System UPS CampusShip, accessible via the UPS link: https://www.campusship.ups.com/login/00vw11vwlogistic.

3.1.2.4.1 Notification and collection times The following deadlines for notification are to be observed:

Sporadic customers, UPS Standard o Notification by 6:00 p.m. o Collection by 6:00 p.m. on the next day

Sporadic UPS customers, all levels of Express service o Notification by 12:00 p.m. o Collection by 6:00 p.m. on the same day

Regular customers o No notification required o Regular daily collection by 6:00 p.m. at the latest

If daily collections are permanently scheduled, the shipper and UPS can agree on other notification and collection times than stated above. These must be made in writing.

3.1.2.4.2 Shipping label Procedure for producing and handling shipping labels: Every package must bear a shipping label generated automatically by the UPS CampusShip shipping mod-

ules https://www.campusship.ups.com/login/00vw11vwlogistic The sticker on the package must display the address and unloading point and/or final unloading point as

specified on the order. The shipping label must be attached using only adhesive dots for textiles. See Volkswagen packing guide-

lines and instructions on labelling containers.

3.1.2.4.3 Delivery note The delivery note (in duplicate) must be displayed in a transparent envelope on the outside of the package. The delivery note must include the following:

The delivery note number should be available online as reference.

3.1.2.4.4 Liability Currently, UPS is liable only for up to €510 per consignment, regardless of the value of the goods. Greater liability insurance on the part of the sender is not necessary because the brands Volkswagen AG and Audi AG carry their own transport insurance. In the event that the supplier takes out its own or higher insurance with UPS, the supplier shall meet any additional costs resulting from this.

Consignments with a total gross weight >45kg to 70kg can only be advised in the service level Express pre12 and Express Close of Business with appropriate authorization by Volkswagen (see point 3.1.3.3) Palletised consignments may be made using the following levels of service:

3.1.3.2 Shipping time The binding shipping times can be found in the DHL order system at the internet address: http://dct.dhl.com/input.jsp?langId=de&originCCId=DE.

3.1.3.3 Levels of service Economy Select promises delivery by the end of the workday. If Economy Select is not available or the shipping time is not adequate, the following services are prescribed:

Express pre12, delivery by 12:00 p.m. Express Close of Business promises delivery by the end of the workday

The higher level Express pre9, with delivery by 9:00 a.m. and shipments which weigh between >45 and 70 kg in service levels Express pre12 and Close of Business are possible only with the approval of the respective Volkswagen Group plant and following authorisation by the responsible Volkswagen employee. The following must be entered in the reference box:

3.1.3.4.1 Notification and collection times The following deadlines for notification are to be observed:

3.1.3.4.2 Shipping label The sender must attach to every package a shipping label generated automatically by the shipping modules From suppliers, the DHL shipping module EPP is to be used, see Point 3.1.3. From Volkswagen Group production sites, the available shipping module (VTS, etc.) is to be used. The sticker on the package must display the address and unloading point and/or final unloading point as

specified on the order. The shipping label must be attached using adhesive dots for textiles or a self-adhesive clear plastic envelope.

3.1.3.4.3 Delivery note The delivery note (in duplicate) must be displayed in a transparent envelope on the outside of the package. The delivery note must include the following:

Dutiable consignments must be accompanied by all documentation relevant to customs.

3.1.3.4.4 Liability Liability insurance on the part of the sender is not necessary because the brands Volkswagen AG and Audi AG carry their own transport insurance. In the event that the supplier takes out its own or higher insurance with DHL, the supplier shall meet any additional costs resulting from this.

3.1.4 Processing small goods consignments to VW Navarra Only consignments with a total gross weight of up to a maximum of 100 kg are to be sent with the courier, express and parcel delivery service TNT. These consignments are to be shipped directly to VW Navarra. The suppliers and scheduling managers for the VW Navarra factory are to notify TNT ([email protected]) of the consignment. The shipping time for each consignment must be agreed upon by VW Navarra and TNT.

Small items in a small load container, which could fall out if inclined to 45 degrees, must additionally be packed in a polythene bag. Cardboard lids of small load containers are to be secured in such a fashion that safe transportation is ensured during transport on conveyor systems.

Small goods consignments must always be cleared without pallet. Exceptions must be approved by VW Na- varra and substantiated in a way-bill.

3.2 Direct loads Factory Logistics can then specify a suitable carrier for direct loads (e.g. full loads, milk runs) in agreement with Volkswagen Logistics. In such cases, a plant-specific delivery regulation will be prepared.

Loads for the SEAT Martorell 49-UP06, Zona Franca 41-UP05 and Gearbox 48-UP04 factories are carried out through the specific carriers, depending on the gross weight or volumes of the consignment (see item 3.5.2, Consignments to SEAT Martorell 49-UP06, SEAT Zona Franca 41-UP05 and Gearbox 48-UP04). The suppliers concerned will receive separate, advance advice/instruction from SEAT and Gearbox.

3.4 Transport of hazardous goods Legal responsibilities concerning the transport of dangerous goods in accordance with dangerous goods transportation legislation and the subordinate directives must always be satisfied. The legal obligations of the packer, section 22 and the loader, sections 21, 27 and 29 of the German Ordi-nance on the Transport of Dangerous Goods by Road, Rail and Inland Waterways (GGVSEB) must be satis-fied. Furthermore, the dangerous goods must be registered with the carrier in writing. The following information must be provided:

3.5 Part loads Part loads are consignments which exceed the small goods restrictions (definition, see item 3.1) and do not constitute direct loads (see item 3.3). These consignments must be dispatched by truck via the appropriate regional carrier. (See table)

To determine the responsible regional carrier, the destination (suppliers’ place of delivery for consign-ments) is decisive.

For deliveries to sites in Germany, please refer to the postcode table below for the regional carrier (see Ap-pendix 1, Page 20).

4. AMES-T Parallel to the conventional delivery process, the Volkswagen Group is implementing a transport agreement and controlled pick-up with the AMES-T process. Each supplier will be notified of the new process by the affected plant.

The items below in these Shipping Instructions outline the special details of this new process. Further information relating to AMES-T can be obtained directly by Email [email protected] or at http://www.vwgroupsupply.com or by telephone 05361-9 33099.

5. Registration with the carrier

5.1 Conventional supply process Consignments must be registered with the carrier in due time (taking shipping times into account) no later than the day before shipment:

- 4:00 p.m. for shipments from German delivery centres to Volkswagen, Audi, Volkswagen Commercial Vehicles and SEAT/Gearbox for consignments <5t/20m³. - 12:00 p.m. for complete loads from German supplier sites for Seat/Gearbox and consignments >5t/20m³, for VW Navarra for complete loads and consignments >18t/65m³ - 12:00 p.m. for shipments from all non-German delivery centres.

By fax or, in agreement with the carrier, by email.

The notification of dispatch readiness must contain the following: a) weight, number and type of VW containers b) weight, number and dimensions of disposable packaging, crates, cardboard boxes and their

stacking capability c) recipient plant / warehouse, including specific details (warehouse group and unloading point)

d) complete dangerous goods declaration (UN no., correct descriptor, label no., packaging group if required) e) delivery deadline to Volkswagen/AUDI/Seat/Gearbox in accordance with call-off

The VW Group notification form (appendix 3) must be used for your registration. The notification form can be downloaded from the internet at http://www.vwgroupsupply.com at the supplier platform under the menu item Information, Business areas, Production and Logistics, Shipping Instruc-tions. Bilateral agreements between the carrier and the supplier which deviate from the standard are possible.

5.2 AMES-T supply process (not valid for VW Navarra and SEAT) Under the AMES-T procedure, the coordination process begins with notification of the consignment via the supplier interface. The supplier must ensure that the supplier interface is installed and functioning and must use this supplier interface to advise the carrier of any changes in the scope of delivery by 4 p.m. on the day prior to delivery.

Information on shipping times is contained in Appendix 2 or is available from the freight carrier or Volkswagen Logistics and must be taken into account accordingly at the time of registration. Country-specific and/or regional driving bans for trucks, including driving bans in transit regions, will possibly prolong shipment times. If you need information, contact the respective carrier about transport options/times. For complete loads to VW Navarra, the collection days are to be agreed bilaterally with VW Navarra.

The supplier is under obligation to keep a record of registration for a period of at least 3 months.

Notifications after 4:00 p.m. or 12:00 p.m. (in accordance with items 5.1 and 5.2) and changes to notifications (+/- 500 kg or +/- 2 m³) require a special transport number or other written mutual agreement with the relevant factory logistics department, including the allocation of additional costs, or the goods will not be accepted. For active delivery management at the factories (defined delivery days per week), quantity information per delivery days is binding for the supplier.

Additional expenses resulting from processing which has not been agreed or deviates from what has been agreed shall be assumed by the supplier. Also see item 14.

6. Availability of consignment for collection from supplier Collection times should be agreed in writing between the supplier and the carrier. Any changes must be communicated in good time and in writing by both parties.

(Consignment loading must be possible between 6:00 a.m. and 8:00 p.m.).

A delivery of empties must be possible at the time of collection. Unloading of the empties for the supplier and loading (including paperwork!) must take place within one hour of the agreed time. By setting up delivery time slots at the plants, specific pick-up times can be arranged with the carrier.

7. Loading at the supplier site The registered quantities must be packed in accordance with the guidelines and instructions of Volkswagen/AUDI/SEAT/Gearbox, loaded onto suitable vehicles by the sender in a safe manner, and securely fastened (HGB, STVO, VBG). Should the cargo require special securing for transport, the carrier must be advised in writing of the type and quantity of required securing devices by no later than at the time of notification. The operating safety of loading procedures must be assessed and accepted by expert staff. All additional costs resulting from additional or less loading without agreement with the receiving factories, including statement of assumption of costs, shall be assumed by the supplier. (Also see references, Item 5).

8. Documentation The supply process must include the following documentation:

8.1 Conventional supply process Transport and consignment note in accordance with VDA 4939 (TSB) The use of a transport and consignment note (TSB) as documentation will be obligatory as of 1 December 2010, in accordance with VDA 4939. This document replaces the waybill/carrier order in accordance with VDA 4922/DIN 5018 and the delivery note. The TSB is to be used provided no legal grounds exist requiring the use of other documents. If no in-house system is available to generate the TSB, Volkswagen will provide the free "TSB generator". TSBs can be created using this and VDA 4913 or EDIFACT DESADV. The programme is available for downloading in the restricted area of the Volkswagen supplier's platform atwww.vwgroupsupply.com. A Pick Up Sheet (PUS) is to be used for deliveries under the “New Logistics Concept” (NLC). This is a modified form of the TBS in accordance with VDA 4939. The modified PUS format can also be used for pre-viously conventional deliveries.

It is important to ensure that the physical scope of delivery (including pallets/packaging) and all delivery data (including EDI) and records correspond.

8.2 AMES-T supply process To ensure that the AMES-T process is followed, a transport and consignment note in accordance with VDA 4939 (TSB) must always be handed over with the consignment. Transport and consignment notes may be prepared using the TSB Generator (software available free of charge on the supplier platform at: http://www.vwgroupsupply.com).

8.3 Customs and export documents The export documents for deliveries to non-EU countries must be handed over at the time of collection (as defined in the conditions of delivery) according to the physical scope of delivery. For technical questions con-cerning processes, customs processing staff are available by phone at +49 (0)5361 - 9 - 20900.

Goods from non-EU countries must always be shipped duty-free and tax-free!!!

9. DTP procedure EDI delivery-note, transport and container data and records must be provided for deliveries of goods and empty containers. These data and records must be issued in accordance with Volkswagen/Audi EDI Implementation Guidelines, based on both VDA recommendations and Odette or EDIFACT standards, and must be sent out in due time (accompanying a consignment) to the plants and the freight carriers (only delivery-note information to carriers). From suppliers who do not have EDI, we expect delivery-note and transport information from our “WebEDI” internet application, which are created by the suppliers on the basis of our delivery instructions. They must be registered on the supplier platform to be able to do this. Exception Seat and VW Navarra: for which EDIWEB is to be used. The relevant information will be provided to you directly by GEDAS (T-Systems), the IT service provider. If you have any questions please contact: [email protected]. A charge will be made in accordance with the process-costs charge catalogue (see item 14) for any deviations from this after a transitional period of 3 months.

10. Empty container handling Requests for empties are to be made via the internet address http://www.vwgroupsupply.com. This internet ad-dress also provides the names of contacts with their supplier number ranges, telephone and fax numbers.

To obtain access to the Container Management application, please contact your company’s administrator, whocan assign you the role LisonLieferanten_BM in the User Management System (UMS) of the Volkswagen B2BPortal and connect your supplier number.

Additional costs generated by the consignment-notification or loading process (Item 5 or Item 7) due to the insuf-ficient or incorrect supply of empties shall be assumed by Volkswagen / AUDI / SEAT / Gearbox. The burden of proof lies with the supplier.

The delivery terms for the shipment of empties are agreed in the respective delivery agreement.

11. Regulations on packaging and receptacles, alternative packaging We expressly refer to our packaging regulations. The stipulations and information referred to here are binding for suppliers. They can be downloaded from this internet address http://www.vwgroupsupply.com Please note in particular the stipulations concerning alternative packaging. The supplier may use its own supplier receptacles only if technical aspects have been discussed in advance with and agreed in writing by the recipient plants or Volkswagen Logistics. It is imperative that the following be heeded regarding the supplier's own receptacles or one-way packaging:

1. Packaging must be in accordance with recognised technical regulations.

2. The legal regulations on occupational safety and environmental protection shall apply to all packaging.

3. Packaging must be sufficiently stable to withstand static and dynamic forces and thus ensure material pro-tection.

4. It must be suitable to allow handling by means of a forklift or similar device.

5. Packaging must be suitable for stacking to a height of 3 metres during transportation, thus ensuring that no additional freight costs ensue due to the packaging. Packaging must be visibly labelled to indicate its capacities for load bearing and stacking.

6. The dimensions of packaging should always be in keeping with those of the original receptacle.

7. Package descriptors on freight papers must consist of codes in accordance with the following EDI Guide: VDA (German Association of the Automotive Industry) 4913/4.

8. Dangerous goods packaging must be UN design approved.

9. One-way packaging must be single-type packaging for recycling purposes (no compound materials).

10. One-way packaging and inner packaging made of disposable material shall be disposed of by the recipi-ent plant.

12. Processing special tours with air freight For special tours or transport which deviates from our general instructions, the supplier is responsible for ensur-ing that all details are always recorded in the delivery papers and carrier order forms.

In all cases of special runs or deviation from general instructions, the ordering party (name, department code) and, if necessary, the special run number must be specified in addition to the exact VW/AUDI/SEAT part num-ber.

If the special run is required by VW AG / AUDI AG / SEAT / Gearbox, the destination plant shall decide upon the carrier. If the special run is required and the costs assumed by the supplier, the carrier may be selected by the supplier. In this case, the following data must be forwarded to the recipient’s scheduler: the supplier’s point of contact, including phone number and email address; name of the company initiating the special run and the point of contact at that company, including an emergency number and email address; the vehicle registration number; the scheduled date of arrival; and the driver’s mobile phone number. For VW Navarra, this should always be arranged in advance with VW Navarra before implementation.

International regulations determine special safety requirements for air freight. These requirements must be com- plied with by the country of origin and the supplier.

Air freight processed in Germany must comply with the safety and security regulations of the German Federal Aviation Agency (LBA). The goal of the directive and the security concept of the LBA and the underlying air safety law is the prevention of unlawful intervention in civil aviation.

According to the requirements of the LBA, regulated authorized (carriers) can declare the freight forwarders (dealers and packers) to “secure shippers” by means of a “Shipper's Declaration”. 13. “Free-plant” deliveries For transport of both full and empty containers executed by carriers commissioned by you, a time frame for the vehicles to arrive and load at the plant must be agreed with the delivery coordination centres at the recipient plants.

If deliveries are made “free plant”, these Instructions are to be regarded as recommendations. In case of deviations, the delivery concept (e.g. - the AMES-T procedure) must be agreed with the recipi-ent plant.

14. General information We refer once again to our conditions of purchase, in which it is stated that deliveries are to be carried out in accordance with our instructions.

As a rule, shipments are not to be dispatched to COD.

With immediate effect, the General Shipping Instructions, including all the Appendices, are available at the Internet address http://www.vwgroupsupply.com on the supplier platform under the menu item Information, Business areas, Production and Logistics, Shipping Instructions.

In the event of any dispute, the German version of these Shipping Instructions shall have exclusive application.

If Group service providers are used to send back material at the expense of the supplier, the freight costs can be charged to the supplier by a Group department (e.g Freight Auditing) or directly by the service providers used in accordance with the agreements concerning material remaining in the test report.

We expressly draw your attention to the fact that any and all additional costs incurred as a result of non- compliance with our Shipping Instructions shall be charged to the supplier.

Similarly, in the event of non-compliance with the Dispatch Instructions, the carrier/supplier is entitled to invoice the supplier/carrier for the additional costs incurred, provided this is agreed in advance with Volkswagen/AUDI/SEAT/Gearbox.

Shipping times - Europe to European sites (Appendix 2)

The days Monday through Saturday are considered transport days. Exception: for deliveries to SEAT/Gearbox which are not conducted via KCC-Süd in Kornwestheim, transport days are Monday to Friday. Loading and unloading on Saturdays is generally not possible. At individual recipient plants, loading and/or unloading on Saturdays can be arranged temporarily or permanently. Sundays and public holidays or country-specific and/or regional driving bans for trucks, including driving bans in transit regions, will possibly prolong shipping times. If you need information, contact the respective carrier about transport options/times.

Duration of transport for consignments in outgoing goods (e.g. the shipment of empties, return shipment of material…): Duration of transport of filled containers (consolidated consignments) + 1 additional day
