Chapter 1: INTRODUCTION

Kuwait National Petroleum Company (KSC) hereinafter referred to as the

"Company", seeks to prequalify foreign Contractors of international reputation

and local Contractors who have the capability and experience for undertaking

various Engineering, Procurement and Construction (EPC) project works of

Company from time to time in Company’s three Refineries and other locations in

the State of Kuwait. Such EPC project works would include Plant and/or Marine

Facilities.

Chapter 2: ENGINEERING, PROCUREMENT AND CONSTRUCTION (EPC) DUTIES

The EPC’s scope of work for any Project shall be clearly stipulated in the Tender documents.

However, in general the scope of work for EPC shall include, but shall not be limited to the following:

- Detailed engineering for the various process units and facility segments.

- Prepare and issue Issued For Construction (IFC) drawings to site along with illustrating all tie-ins to the existing utility and offsites facilities as required.

- Engineering, procurement, inspection, supply, transportation, unloading at the Project site, installation and testing of all new equipment, machinery and materials including proprietary equipment and long lead equipment in accordance with the contract documents and requirements.

- Engineering, procurement, inspection, supply, transportation to the Project site, unloading at site, installation and testing of all field instrumentation, Control Systems, ESD and Electrical equipment.

- Procurement, inspection, supply, transportation to the Project site, unloading of capital, operational and startup spares (including the supply of spares and special tools for the construction, pre-commissioning and commissioning activities).

- Liaison with KNPC and State of Kuwait statutory authorities regarding obtaining any and all permits required in the execution of the Project.

- Demolition of facilities including disposal of all debris and unusable materials.

- Full and complete erection / construction and mechanical completion of the plant.

- Full and complete testing and inspection of the plant.







- Preparation of the required detailed operating / technical manuals.

- Supply and loading of first charge of calibration gases, oils, chemicals, adsorbents, molecular sieves and catalyst.

- Screening, loading and unloading equipment & facilities.

- Scheduling, coordinating and supervising all tie-in, construction and precommissioning activities for the plant in coordination with Owner.

- Implement a quality management program to provide procedures for engineering, procurement, construction and commissioning which meet the Project and ISO 9000 quality system requirements.

- Provide an inspection and quality management program which shall ensure that all equipment and materials meet the requirements of the project and that all construction activities are inspected and tested as required by the quality management program.

- Implement and comply with all local regulations on health, safety and environment in the design and the execution of the works and maintain an effective safety plan on site during construction, precommissioning, commissioning and start-up of the projects.

- Conduct HAZOP and other similar studies for the projects in association with the chosen Licensors and Owner.

- Implement and maintain an effective, well established and approved planning system for the control and scheduling of all activities and development of reports to Owner in accordance with the requirements of the Project.

- Provide assistance and coordinate with Owner, Licensors, and Vendors during commissioning, start-up and performance testing of plant.

- Provide required services of vendor representatives and specialists for critical or specialized activities during construction, precommissioning and commissioning as deemed necessary by Owner.

- Carry out any warranty or guarantee obligations during the maintenance guarantee and / or warranty periods.







- Provide Owner with all electronic files (digital files) of drawings and documents of the plant.

- Supply and erect materials or equipment and perform any engineering work which is deemed necessary to fulfill any process and safety requirements or environmental and governmental regulations.







Chapter 3: INSTRUCTIONS TO APPLICANT

3.1 Before attending the application:

3.1.1 Only applicants that had successfully executed EPC Contracts on a turnkey basis and/or commissioned grass-root projects over the past ten (10) years shall be considered.

3.1.2 Applicant should be capable and prepared to undertake Engineering, Procurement and Construction (EPC) projects for oil and gas facilities, from Front End Engineering Design stage to successful completion including commissioning and performance testing of these facilities.

3.1.3 It is solely up to the Company’s to determine whether the prequalification information submitted by the applicant is acceptable or not and therefore whether the applicant is approved or not. It is totally up to the Company to pursue or not unclear application submission.

3.1.4 If Applicant performs work on regional basis (thru affiliate(s)/subsidiary(s)), experience of the regional office where work will be administered and managed shall be proven. Financial, administrative, supportive ties shall be proven established as well between the parent and the subsidiary.

3.1.5 Applicant agrees -without reservation- upon the submission of the application, that the Company has the full right to contact any of the references provided in the application.

3.1.6 Applicant shall understand that the described duties (or scope) in Chapter 2 above is for prequalification purposes only, and that this application is not an Invitation to Bid.

3.1.7 Applications –and if any further replies- shall be treated as strictly confidential. Submitted application forms will be retained in the Company’s records.

3.1.8 Application is designed to allow most of the answers to be filled in directly on the specific forms. It is recommend to read the instructions and questions carefully and to be brief and complete with the answers.







3.1.9 General leaflets that give an impression of the activities and organizational structure of the applicant are welcomed.

3.1.10 Applicant seeking prequalification based

3.2 Important Requirements for evaluation:

3.2.1 A Record of completed projects for the Applicant as described in this

document, as a main contractor fully responsible for the entire project. The

record must show at least three projects in accordance with the

Prequalification Document.

3.2.2 Current workload to prove the Applicant is coincidentally active in EPC

activities. Present workload has to be consistent with applicant’s resources,

manpower and financial standing. Any work awarded by the company

would not burden the Applicant’s current capability dealing with current

workload.

3.2.3 Applicant is employing adequate resources of manpower and

expertise to cope with current workload, and has an access to additional

resources if required in the event of award of Works by the company.

3.2.4 Applicants should clearly type the answers to all questions in English

language.

3.2.5 Application Document duly filled in, answered, signed and stamped by

Applicant’s authorized person (application signed by local agent on behalf

of the Foreign Applicant will not be accepted), must be submitted in sealed

envelopes marked "PRE-QUALIFICATION FOR EPC CONTRACTORS” to the

EPC PQ Committee Chairman–KNPC.







3.2.6 Applicant should provide proof to its statements as necessary with

regard to its financial stability, engineering capabilities, organizational

structure, experienced personnel, equipment, expertise in relevant types of

oil and gas facility construction and familiarity with Kuwaiti laws and

Regulations.

3.2.7 All sections of this application are to be attended with special

attention given to the must answer Mandatory Questions in (Part I, B).

Applicant must submit all the answers and details/documents specified in

Chapter 4, Part I and Part II (Sections 1-7) of this application.

3.2.8 The Applicant shall attest that all information which has been

submitted are accurate and in that effect shall fill, sign and stamp Part I A

to this application document "Declaration For Prequalification".

3.2.9 It is important that all requested information be provided (without

blanks/emptiness) and presented clearly and in an orderly manner using

the formats attached to this application document. Failing to do so may

render the application void.

3.2.10 Ensure application includes relevant attachments listed in the

different Sections.

3.2.11 Additional pages if needed should be inserted where applicable for

replying to the questions. Any additional information that the applicant

want to offer should be clearly separated from specific required responses

of the application.

3.3 Post qualification:

3.3.1 Invitation to bid process is subject to the laws of the state of Kuwait

particularly public tendering law 37/1964.







3.3.2 The selected (qualified applicant) contractor shall be responsible for

the performance of the Works carried by itself and/or the associated

Engineering Contractor/Sub -Contractor, if any and the Guarantees thereof.

Sub-contracting of project management is not acceptable.

3.3.3 Foreign Applicant, through its Kuwaiti Local Agent, accepts full

responsibility to act as a sponsor for its employees according to relevant

Kuwaiti laws, all that in case it is first qualified and later on awarded a

contract for executing -for the Company- a scope of work relevant to the

works applied for.

3.3.4 From the total awarded contract, at least twenty percent (20%) of

either engineering, procurement or construction work is to be

subcontracted to Kuwaiti companies.

3.3.5 All qualified companies are susceptible to removal from Approved List

if one or more of the following conditions occurs:

No response to invitation to bid on three consecutive occasions

without adequate explanation.

Pre-Qualification data is 5 years old.

Low performance to KNPC requirements in undertaking an EPC

contract.

Major violation to KNPC HSE policies and regulations.

Failure to submit updated details/information as and when

requested by KNPC.







Chapter 4: LIST OF REQUIRED DOCUMENTS TO BE SUBMITTED

Please fill and submit Appendix 1 along with your response to this PQ Document.

Part I

A. DECLARATION

Dear Sir,

We have examined the Prequalification questionnaire and replied to all its

enquiries/questions accurately and truthfully and our representative's signature

here below testifies to this effect.

We wish to be considered for inclusion in the list of bidders for selection as

Contractor for various Kuwait National Petroleum Company (KNPC) works and

assure of our competence and resources to execute fully the works to the highest

ethical and professional standards and as per requirements of Kuwait National

Petroleum Company.

We acknowledge and accept that to satisfactorily evaluate our submittal, Kuwait

National Petroleum Company shall have the right at its own option, to visit our

offices, project sites and works in progress, with a view to audit and verify our

financial, technical and other resources. We assure to make available to Kuwait

National Petroleum Company representatives all facilities required for this

purpose.

Further, we acknowledge and accept that Kuwait National Petroleum Company

shall have the right at its own option, to communicate with our client(s) directly







where similar Contract(s) have been completed and/or are being executed as well

as to communicate with our banker(s) and auditor(s).

We confirm that all charges related to the preparation of Pre-qualification

document shall be borne by us.

Information submitted by us in response to the requirements of this

Prequalification Document is true and correct in every detail and we take full

responsibility to its authenticity.

We acknowledge fully that Kuwait National Petroleum Company has absolute

discretion in the selection of Bidders for their various works and that Kuwait

National Petroleum Company shall not be obligated nor required in any manner

whatsoever to assign a reason for refusing the issue of Bid Documents to us or to

enter into any correspondence concerning the selection of Bidders.

PART II

Section No. 1: ORGANIZATION AND STRUCTURE

1.1 Provide Applicant’s Information including name, type of business, address and

contact details, legal status, etc. as per Part I of Form 1-1 of this section.

The Applicant's PQ submittal shall determine the country where the company

was formed and registered. This country shall be known as the "Country of

Control" for the Applicant.

1.2 Provide Name and title of Applicant’s authorized signatory allowed to enter

into correspondence regarding this prequalification application as per Part II

of Form 1-1 of this section. Please attach an authorization of the designated

individual.

1.3 Where the Applicant is wholly owned or a subsidiary of a parent company, the

applicant shall provide the required details as per Form 1-2 for the parent

company. If there is a tier of such parent companies, Applicant shall complete

Form 1-2 for each company up to and including the ultimate parent company.

1.4 Where the Applicant is a subsidiary of two or more holding companies, the

Applicant shall provide details, for each of the holding companies involved as

per Form 1-3 of this section. If any of the holding companies are themselves

wholly or jointly owned subsidiaries of other companies, please complete

Form 1-3 for each company up to and including the ultimate parent company.

1.5 Provide as Attachment 1-01, the Applicant’s Company Organization Chart

from the upper hierarchy level to Managers level.







1.6 Provide as Attachment 1-02, the Applicant’s Parent/Holding Company

Organization Chart; including the ultimate holding company, if any. Explain

relationship during execution of EPC work.

1.7 Provide as Attachment 1-03, Example of Organization Chart for a typical EPC

project showing the project team at contractor’s home office during

Engineering and Procurement Phase and at site during Construction Phase

indicating the maximum possible detailing of all tiers and positions down to

construction foreman levels (include shops, factory…etc. where applicable).

Section No. 2: PREVIOUS EXPERIENCE

The Applicant must provide all of the attachments and information called for and

in the format as indicated in this section

2.1a Provide as Attachment 2-01 to this Section a list of all relevant EPC

contracts completed over the past ten (10) years and the ongoing EPC

projects by the Applicant worldwide including home country.

2.1b In addition to Attachment 2-01, Applicant to provide detailed information

as required in Form 2-1 herein for each project listed in Attachment 2-01.

2.2 Provide as Attachment 2-02 to this Section, details of Applicant’s prequalification status for EPC works in Kuwait Oil Sector Companies and Companies in the Gulf Council Countries (GCC).

2.3 Claims and Suits Applicant to provide information if failed to complete Works awarded, if

there are any judgments, claims, arbitration proceedings or suits against your company or its officers and if filed any law suits or requested arbitration with regards to construction Contracts within the last 5 years and to provide description and details as per Form 2-2 and Attachment 2-03 to this section.

2.4 Joint Venture/ Alliances / Kuwait Operation

If the Applicant operates in Joint Venture, Alliances and/ or operates in

Kuwait, provide the required information as per Form 2-3 to this section.

Section No. 3: FINANCIAL DATA

3.1 Applicant is requested to provide as Attachment 3-01, audited copies of its complete annual reports for the last three years, including Statement of Financial Position & Income Statement after final auditing.

3.2 Applicant is to indicate in Attachment 3-02 if there have been any significant changes in its balance sheet for this current year with reference to last year’s audited balance sheet.

3.3 Applicant is requested to provide as Attachment 3-03 copies of any financial statements released to its shareholders or to the public subsequent to the publication of the latest audited accounts.

3.4 Applicant is requested to provide in From 3-1, the financial information for

the past three (3) years. (All Values to be given in US. $)

3.5 Applicant is requested to provide in Form 3-2 the name(s) and address(es) of its bank(s).

3.6 Applicant is requested to specify in Form 3-3 the amount(s) (in US. $) of

Tender and Performance Bond(s) of its current undertaken projects. 3.7 Applicant to provide as Attachment 3-04 its current bonding capacity. 3.8 Applicant is requested to provide in Form 3-4 the name and address of its

external auditors used by it during the past three (3) years.

Section No. 4: MANPOWER AND RESOURCES

4.1 Applicant is requested to provide in Form 4-1 what is the total permanent and contracted manpower available within its organization for each of the indicated categories.

4.2 Does the Applicant have any established relationships or affiliations with specialized consultants and/or licensors of technology? If the answer is “yes”, provide details and if not, please affirm by “NONE”. Provide the response as Attachment 4-01.

4.3 Applicant is requested to provide in Form 4-2 information of its worldwide offices, indicating the activities and functions of each of these offices.

Section No. 5: CURRENT WORK LOAD

5.1 Applicant is requested to provide as Attachment 5-01, a typical staffing plan

for the EPC services and manpower deployment chart for its largest performed project, indicating manpower loading versus time.

5.2 Applicant is requested to provide details of the number of engagements that it is currently committed to and/or bidding for as detailed in Form 5-1 and its work load graph (manpower Loading Chart/Histogram) projected through the next 6 years showing available manpower versus committed and projected in addition to the information requested in Form 5-2.

5.3 Provide as Attachment 5-02 to this Section, a listing of references and

telephone numbers for all EPC contracts at hand as of this date. Please provide detailed information for each project as specified in Form 5-3.

Section No. 6: QA/QC SYSTEM (QUALITY MANAGEMENT)

6.1 Applicant is requested to state which Quality Management system it is accredited to and provide certified copy of such accreditation. Applicant to provide response as Attachment 6-01.

6.2 Does your quality management system accredited by international agencies also cover Project Management, Engineering, Procurement and Project Execution? Submit proof of the same along with the management systems, procedures and methodologies used. Provide response as Attachment 6-02.

6.3 Applicant is requested to provide as Attachment 6-03, its organization chart

for Quality Assurance/Quality Control.

6.4 Applicant is requested to state when their last audit was done and to submit a copy of the audit report of the Quality Assurance System carried out by third party. Provide response as Attachment 6-04.

6.5 Applicant is requested to submit as Attachment 6-05, a copy of its latest

Quality Plan implemented for an EPC Refinery or Petrochemical project similar in type and category applied for.

6.6 Applicant is requested to describe its Procurement and Material

Management System and how tracking delivery, projections, slippages and initiating expediting actions are carried out and explain also how it plans to ensure timely delivery of both out of the State of Kuwait and within the State of Kuwait purchases. Provide response as Attachment 6-06.

6.7 Please answer the questions in Form 6-1 if you are not accredited with a Quality Management system.

Section No. 7: HEALTH, SAFETY AND ENVIRONMENT (HSE)

7.1 Applicant is requested to provide as Attachment 7-01, a copy of its Safety

Program and Procedures that it follows during EPC project activities and construction at site activities.

7.2 Applicant is requested to elaborate on what type of first-aid and other

facilities it offers to its employees and workers on a working site. Provide response as Attachment 7-02.

7.3 Applicant is requested to provide as Attachment 7-03, a copy of its safety

training program for its employees and workers assigned to work sites and describe how the requirements of its policy are published and communicated to inform its personnel on health and safety matters.

7.4 Applicant is requested to submit details of its safety, health, and

environment performance by completing the attached Form 7-1, Applicant Safety Performance.

7.5 Applicant is requested to elaborate on whether it carried out PHA, HAZID, ENVID or HAZOP studies in the past on any Petrochemical, Refinery or Oil & Gas Projects, and if so, provide details and copy of such studies and the procedures being followed by the Applicant for such studies and the methodology (arrangement) between the Applicant, Technology Licensor and Owner. Provide response as Attachment 7-04.
