acu.edu/facul or blogs.acu.edu/facul Revised: February 2015 Article I - Name The name of this organization shall be "Friends of Abilene Christian University Library," also known as Friends of ACU Library or FACUL.

Article II - Purpose Section A The purpose of this organization shall be to promote learning by enhancing the ACU Library in the following ways: informing members and others of library resources and services; encouraging gifts of service, money and materials; encouraging use of library resources; and providing a forum for sharing an interest in the world of letters. Section BThis organization shall at all times cooperate with the administration, Dean of Library and Information Resources, Library Liaison and the Development Office of Abilene Christian University.

Article III - Membership and Dues Section A Any person interested in the Library and its development shall be eligible for membership. Section BThe kinds of membership available with their annual dues shall be:

Honorary membership may be conferred by members present at the Friends of ACU Library annual lectureship dinner.Candidates are presented by the Board of Directors; members may nominate candidates to be considered for the honor. Section CMembers may make Book Endowments to place books on the library shelves each year. Endowments of $500, $1000, or $1500 would provide one, two, or three books annually. Section D In either cumulative gifts or in a single donation, members who donate $1000 or more will be classed as a "Patron," those who donate $3000 or more as a "Grand Patron", and those who donate $5000 or more as a "Benefactor." Section E The membership year shall begin January 1 and extend through December 31. Dues for the current year may be paid any time after the beginning of the year. Notice of dues payable for the following year shall be sent at the end of the calendar year.

Article IV - Board of Directors Section 1. Membership. The Board shall consist of 9 people chosen from among the members of the Friends of the ACU Library, with at least two members coming from outside of Abilene, and no more than four current ACU Faculty members.  Library faculty and staff shall not be eligible for the Board of Directors. Section 2. Election. Board members shall be nominated by a committee appointed by the President and election shall be by majority vote during the annual meeting of FACUL members.  Vacancies in the Board of Directors shall be filled by special appointment of the President until the next election cycle.  Board members may be reelected. Section 3. Terms.Terms for the Board of Directors shall be three years, with 1/3 the board rotating off each year. Section 4. Meetings. The FACUL Board will meet at least twice a year. Section 5. Responsibilities and Duties. 1. Support the ACU Library through regular prayer for its faculty, staff, and patrons. 2. Make an annual gift to the ACU Brown Library endowment.

-  Encourage your peers to give to the library endowment. -  Encourage other interested individuals to give to the Library endowment.

3. Attend all Board meetings. 4. With the exception of the officers, the other eight members of the Board shall serve, in teams of two, on

one of the FACUL committees as comprised now or in the future.

5. Share ideas about raising funds, acquiring important collections, or otherwise enhancing the ACU Library.

Article V - Officers Section 1. Membership. The officers shall consist of a President, Vice-President, Secretary, and Treasurer.

Section 2. Election. Officers shall be elected by the Board from among the Board members. Vacancies in the Officers shall be filled by special appointment of the President until the next election cycle.  Officers may be reelected. Section 3. Terms Term of office shall be for two years.  On adoption of this constitution, the President and Vice President will be elected for two year terms.  Secretary and Treasurer will be elected for a one year term and subsequently for terms of two years. Section 3. Meetings. The Officers shall meet when called upon by the President or by the Vice-President acting on the authority of the President.  Three members of the Officers shall constitute a quorum. Section 4. Duties. 1. The President shall preside at all meetings and shall execute any duties assigned by the Constitution.  He

shall also provide the framework for the FACUL strategic plan to be designed in coordination with the Library strategic plan.

2. The Vice-President shall preside at meetings when the President is unavailable.  He shall sit ex-officio on FACUL committees.

3. The Secretary shall be responsible for recording of the minutes, shall provide the minutes of the pervious meetings, and shall perform any other duties customarily associated with this office.

4. The Treasurer shall be the custodian of the funds deposited into a place designated by University policy.  He will give a report on the funds at the meetings or at the request of the President.

Article VI - Relationship with the Brown Library To foster and maintain the Friends status as separate but supportive of the Brown Library, the Dean of the Library and the Library Liaison shall meet with the FACUL board when requested by the President.

Section 1. Dean of the Library. The Dean shall provide regular updates on Library programs and development and shall give reports as requested by the President. Section 2. Library Liaison. The Liaison shall serve as a clearinghouse for information necessary to enable the Board to accomplish its stated goals and objectives by compiling and analyzing financial reports, coordinating mailings, assisting in information gathering and research as needed, and distributing minutes, newsletters, or other relevant reports.  The Liaison will maintain gift records and membership participant lists and the FACUL web site.

Article VII - Standing Committees The Board will appoint standing committees as necessary to achieve its goals and objectives.

Article VIII - Liability No officer, member, or committee of this organization shall make any contract or incur any indebtedness in the name of the organization without the approval of the Officers.  No officer or member shall have authority to incur any indebtedness beyond the amount on hand after deducting all unpaid obligations.

Article IX - Dedication to Abilene Christian University Library This organization shall be a non-profit organization dedicated solely to the interests of the Library of Abilene Christian University.  No monies or resources shall accrue to any officer, member of the board, or member of the organization, nor shall any resources which may be donated to it be given to any other organization or any other part of the University.  However, nothing in this paragraph shall preclude the expenditures of necessary funds for required organizational expenses.

Article X - Amendments This constitution may be amended at any meeting of the Board of Directors by a two-thirds vote of the members present. Any members of FACUL may propose amendments to this constitution to the Executive Board.
