Annex·7POWER SUPPLY AGREEMENT FOR SUPPLY OF LOW TENSION ELECTRICAL ENERGY

1. DEfiNITIONS:In thisAgreement, unlessthe context otherwiserequires:

a. "Act" shallmean the ElectricityAct, 2003or suchother enactment governing thesupplyand useof electrical energy asmay be in force from time to time.

b. "Conditions of Supply" sholl mean the "Conditions of Supply of Electricity ofDistributionLicensee in the State of Karnataka" approved by the KarnatakaElectricityRegulatoryCommissionand asamended from time to time.

c. "Commission"meansthe KarnatakaElectricityRegulatoryCommission.d. "Street" includes any way, road, lane, square, court, alley, passage or open

space, whether a thoroughfare or not, overwhich the public have a right of way,and alsothe roadway and footway over any public bridge or causeway:

2. CONDITIONS OF SUPPLY:a. The Licensee shall supply electrical energy to the aforesaid premisesof theConsumer from its distributingmain for the purpose at low tension as specified in the"Conditions of Supply"under classificationof supplyand the Consumershall take fromthe Licensee,electricity required for the purpose herein above recited at the singlepoint of supply up to a maximumextent of __ KW/ HP,being the load sanctioned.Theenergy so supplied shallbe utilizedwithin the premisesmentioned hereto, for thebonafide useof the Consumer.

b. Electricalenergy supplied to the premisesshallnot be utilizedby the Consumerinany manner prejudicial to the Licenseeand all usage must be according to suchmethod or methods approved by the Licensee.Theuseof power mustbe confined tosuch places as shallhave been previouslyapproved inwriting by the Licensee.In caseprejudicial use of power is detected, the Consumer shall pay penal charges inaccordance with the provisionsof the "Conditions of Supply"as in force from time totime. Besides,for dishonestabstraction / use/ consumptionof electricity or interferencewith the metering equipment or accessories,the Consumershall also be liable forprosecution under the Act and any other law for the time being in force, and theinstallationshallbe liable for disconnection.

c. The Consumer shall permit the Licensee, free of cost. to erect posts, distributionlines, structures. equipments, cables and other apparatus necessary for .the supply ofelectrical energy under this Agreement over the land belonging to, or in the possessionof, the Consumer.

d. The Consumer agrees to take supply under any conditions of restrictions of loadand time that may be fixed by the Licensee.from time to time and to pay fixed chargesunder this Agreement in full notwithstanding such restrictions.

e. The supply is liable to be restricted, staggered or cut off altogether, as the casemay be, if the power position or any other emergency warrants such a course ofaction. The Licensee reserves the right to periodical shutdown, as and when required,tor the purposes of routine maintenance after giving reasonable intimation to theConsumer.

f. From the date o'f commencement of supply as defined in the "Condi1ions of Supplv'" "until termination of agreement, the Consumer shall make payment to the Licensee forthe electricity supplied during the prescribed billing period at the rates specified in theLicensee's tariff from time to time and applicable to the class of power supplyirrespective of the installation being in service or under disconnection.

g. Subject to the provisions of the Act. the "Conditions of Supply" and any other lawfor the time being in force, the supply under this Agreement isvalid initially for a periodof two years from the date of commencement of supply and shall stand automatically

<::.> renewed from year to year thereafter, until terminated by either of the parties.However, in case of TEMPORARYPOWERSUPPLY,the period of agreement shall be fora period of days/weeks/months which period may beextended by the Licensee at the request of the Consumer. The power supply shall bedisconnected after the expiration of the stipulated period unless a requisition isreceived for extension of the period, and such further deposit as may be demandedby the Licensee ispaid by the Consumer before the expiry date.

h.Without prejudice to the rights and liabilities of the parties in respect of any matterantecedent to termination, either party to this Agreement may terminate thisAgreement by giving three months prior notice in writing.

i. The Licensee shall not be liable to pay any damages or compensation in connectionwith lossof life or property arising, occurring or resulting from the use of power.

j. The industrial/ I.P. Set Consumer shall obtain written permission from the Licensee forany changes to be made in the equipment, machinery or motors installed by him atthe time of servicing though hissanctioned load does not exceed due to such change.

k.In case of street light installations, the maintenance of lamps and fixtures shall becarried out by the Consumer himself/herself/itself.

I. Where the Consumer is required to obtain a license or permit or 'No objectioncertificate' for running his Industrial/ commercial concern or lift irrigation scheme andthe License or permit is suspended or cancelled, or the validity of the 'No objectioncertificate' issued by the competent authority to lift water has expired, the Licenseeshall have the right to discontinue power supply during the period when the License orpermit is cancelled or suspended or the validity of the No Objection Certificate issuedby the competent authority has expired,

3, METERS:The energy supplied shall be measured and registered by a meter or meters in or uponthe said premises to be provided, fixed and kept in proper order by the Licensee.The procedure for billing when the meter is not provided or is faulty shall be regulatedas per the relevant provisions of the Act and the "Conditions of Supply".

4. SECURITY DEPOSIT:

The Consumer, on a request made by the Licensee in this regard, .shallrenew orreplenish all security deposits in the event of the same becoming exhausted orinsufficient.

5. TARifF AND PAYMENT OF ELECTRICITY CHARG!S:

Fromthe date thisAgreement comesinto force, the Consumershallbe bound by, andshallpay the Licensee,fixed charges,energy charges,and additional securitydepositin accordance with the tariffsapproved by the Commissionand the "Conditions ofSLIPply" of the Licenseefrom time to time for the appropriate classof Consumers.TheConsumershallpay t~e Licer.seethe tax on electricity charg-esas determined by theGovernment of i<arnatakafrom"timeto time. In case even after disconnection, if thedues remain unpaid, then the Licenseeshall be entitled to take recourse to theprovisionsstipulated in the "Conditionsof Supply"and other lawsfor the time being inforce to recover the arrears.

6. DISCONNECTION FOR ARREARS AND RECONNECCTION:Incase the Consumerfailsto pay the chargesdue for the electricitysuppliedwithin thedue date, the Licenseeshallbe entitled to cut off the supplyafter giving due notice asprovided in the Act and "Conditionsof Supply"and power supplyshallbe restoredonlyon payment of all arrearsincluding interestand reconnection charges as stipulatedfrom time to time in the "Conditionsof Supply".

7. CONTINUITY OF POWER SUPPLY:

The Licenseeshall take all reasonable precautions to ensurecontinuity of supply ofpower to the Consumer at the point of commencement of supply. However, theLicenseeshallnot be liable to the Consumerfor any lossdue to the interruption in thesupply of power by reasonof damage to the equipment of the Licenseeduring war,mutiny, riot, strikeor by earth-quake, hurricane tempest or any accident or causesbeyond the control of the Licensee.

8. ENTRY INTO CONSUMER'S PREMISES:TheLicenseeshallhave accessto the premisesof the Consumerat all reasonabletimeswithout notice for meter reading, inspection, testing and I or for any other purposeincidental to, or connected with the propermaintenance of supply.

TheLicenseeshallhave accessto the premisesat any time for inspection,if there isanyreason to suspect breach of the provision of this Agreement, the Act and the"Conditionsof Supply".

If the Consumer,hisagent, employeesor anyone elsepurporting to act on hisbehalfattempts to obstruct or impede the Licenseeor its employeesor authorizedperson inthis regard, the Licenseeshall be entitled to immediately cut off power supply. TheConsumershallalsobe liable to pay suchpenalty asmay be imposedby the Licenseein thisregard.

9. ASSIGNMENTS OR TRANSFEROF THE BENEFITOF THIS AGREEMENT BY THECONSUMER:The Consumer shall not, without the previous consent in writing of the Licensee, assign,transfer or part with the benefit of this Agreement and shall not in any manner partwith, or create any partial/separate interest in it.

10. APPLICATION OF THE PROVISIONS OF THEACT AND THE "CONDITIONS OF SUPPLY":

In all matters not herein specifically provided for, the provisions of the Act, the"Conditions of Supply" and other laws for the time being in force sholl apply.

Whereasthe land / premisesdetailed hereunder, belongs to Sri/Smt and I am onlylessee/ tenant / occupier of the said land / premiseswhere I have applied for the electricityconnection to the said land / premisesand I am not able to obtain the consent of Sri /Smt.. but -produced the proof of occupancy, ie valid power of attorney/Iotest rent paid receipt / registeredlease deed.

Thereto I, in consideration of the grant of electricity connection to me on the conditions ofsupply for which I have executed the Agreement, further agree to indemnityand keep harmlessthe Licenseefrom all damages and claims,whatsoever, including costsof suit.original petitionsand all manner of legal or other proceedings that the Licenseemay incur or likely to incur onaccount of any action or threat by or at the instance of the owner of the said land I premises(whether such owner be the said Sri/ Smt cr any other). I also further agreethat such loss,damages and any other claim resultingout of the electricity connection beinggiven to me without the consent of the owner of the land / premisesere also recoverable fromme and my propertiesunder the provisionsof the RevenueRecoveryAct, in force at the time ofsuch recovery, or by such other proceedings as the Licenseemay deem fit to initiate.
