INTRODUCTION

Francis Camarota, Esq. (“Requester”) submitted a request (“Request”) to the West Chester

Area School District (“District”) pursuant to the Right-to-Know Law (“RTKL”), 65 P.S. §§ 67.101

et seq., seeking records related to a construction project in the District. The District partially

denied the pertinent parts of the Request, citing the attorney-client privilege, and the Requester

appealed to the Office of Open Records (“OOR”). For the reasons set forth in this Final

Determination, the appeal is granted in part, denied in part, and dismissed as moot in part, and

the District is required to take additional action as directed.

FACTUAL BACKGROUND

On April 30, 2019, the Request was filed, seeking, in pertinent part:

22. All emails and correspondence between any representative of the [District] and Kate Mooney of Blackney Hayes Architects relating to the Project from September 1, 2017 to the present.

On June 20, 2019, following an agreed upon extension to respond to Items 1-22, 65 P.S. §

67.902(b), the District partially denied the Request, claiming attorney-client privilege.

On July 1, 2019, the Requester appealed to the OOR, challenging the denial and stating

grounds for disclosure. Specifically, the Requester noted that there were discrepancies between

the privilege log the District provided and the documents provided. The OOR invited both parties

to supplement the record and directed the District to notify any third parties of their ability to

participate in this appeal. 65 P.S. § 67.1101(c).

On July 11, 2019, the District submitted a position statement reiterating its grounds for

denial. The District claimed that all responsive records have been provided to the Requester and

the discrepancies noted by the Requester are a misunderstanding due to the process by which they

collected documents. The District also claimed that records were properly withheld under the

attorney-client privilege. The District explained that upon receipt of the Request, all potentially

responsive records were uploaded to a platform for counsel to review. Counsel reviewed the

documents and removed a large number that were nonresponsive. Each document was assigned a

number containing the prefix “Steubner.” The “Steubner” numbers did not update following the

removal. A privilege log was created utilizing these nonconsecutive numbers. The documents

and privilege log originally provided to the Requester on June 20, 2019 (“Original Log”) contained

the “Steubner” numbers.

However, following assembly of the documents, they were Bates stamped with a number

utilizing the prefix “ERSteubner.” The Original Log identified privileged documents by the

“Steubner” number although the documents also had a Bates stamp “ERSteubner” number on it.

The “ERSteubner” numbers had no correlation to the Original Log

On appeal, the District created a new privilege log titled “Appeal Log” that contained the

“Steubner” number as well as a new column identifying the Bates stamped number (now with the

prefix “Privileged” followed by an eight-digit number). In support of its position, the District

submitted the affidavits of Mark Groves, the Capital Programs Manager of the District and

Attorney Daniel LePera, an attorney at Unruh, Turner Burke & Freese, the appointed solicitor for

the District.

The OOR ordered in camera review and the District provided another log. The in camera

privilege log (“in camera log”) shows a Bates stamp number for each page of each record (1-

2899). It also has a column for “privileged record number,” which corresponds to the

“Privileged”/Bates stamp in the Appeal Log. For clarity’s sake, the OOR will utilize the in camera

log numbers as much as possible and will identify the relevant log if any other numbers are utilized.

On March 4, 2021, the Requester emailed the OOR attempting to withdraw his indefinite

extension such that a final determination would be due by March 25, 2021. The OOR does not

permit a party to withdraw an indefinite extension; however, because the OOR was able to meet

this deadline, the OOR saw no reason to respond to the demand.

LEGAL ANALYSIS

“The objective of the Right to Know Law ... is to empower citizens by affording them

access to information concerning the activities of their government.” SWB Yankees L.L.C. v.

Wintermantel, 45 A.3d 1029, 1041 (Pa. 2012). Further, this important open-government law is

“designed to promote access to official government information in order to prohibit secrets,

scrutinize the actions of public officials and make public officials accountable for their

actions.” Bowling v. Office of Open Records, 990 A.2d 813, 824 (Pa. Commw. Ct. 2010), aff’d 75

A.3d 453 (Pa. 2013).

The OOR is authorized to hear appeals for all Commonwealth and local agencies. See 65

P.S. § 67.503(a). An appeals officer is required “to review all information filed relating to the

request” and may consider testimony, evidence and documents that are reasonably probative and

relevant to the matter at issue. 65 P.S. § 67.1102(a)(2). An appeals officer may conduct a hearing

to resolve an appeal. The decision to hold a hearing is discretionary and non-appealable. Id. Here,

in camera review was requested and granted.

The District is a local agency subject to the RTKL that is required to disclose public

records. 65 P.S. § 67.302. Records in possession of a local agency are presumed public unless

exempt under the RTKL or other law or protected by a privilege, judicial order or decree. See 65

P.S. § 67.305. Upon receipt of a request, an agency is required to assess whether a record requested

is within its possession, custody or control and respond within five business days. 65 P.S. § 67.901.

An agency bears the burden of proving the applicability of any cited exemptions. See 65 P.S. §

67.708(b).

Section 708 of the RTKL places the burden of proof on the public body to demonstrate that

a record is exempt. In pertinent part, Section 708(a) states: “(1) The burden of proving that a

record of a Commonwealth agency or local agency is exempt from public access shall be on the

Commonwealth agency or local agency receiving a request by a preponderance of the

evidence.” 65 P.S. § 67.708(a)(1). The burden of proof in claiming a privilege is on the party

asserting that privilege. Levy v. Senate of Pa., 34 A.3d 243, 249 (Pa. Commw. Ct. 2011).]

Preponderance of the evidence has been defined as “such proof as leads the fact-finder … to find

that the existence of a contested fact is more probable than its nonexistence.” Pa. State Troopers

Ass’n v. Scolforo, 18 A.3d 435, 439 (Pa. Commw. Ct. 2011) (quoting Pa. Dep’t of Transp. v. Agric.

Lands Condemnation Approval Bd., 5 A.3d 821, 827 (Pa. Commw. Ct. 2010)).

1. The District provided additional responsive records during the appeal

During the appeal, the District provided additional records that are responsive to the

Request. As such, the appeal as to the records identified in the in camera log Bates Nos. 806, 807-

810, 811-826, and 827-834, and in the Appeal Log as Privileged-00000150, Privileged-00000151,

Privileged-00000152, Privileged-00000153, Privileged-00000601, and Privileged-00000605, is

dismissed as moot.

2. All responsive records have been identified and/or provided

The Requester asserts that not all responsive records were provided and there are

significant discrepancies regarding the Bates numbers on the records. However, as explained in

the Factual Background, the District utilized multiple number systems. With the in camera log

and in camera review, this issue is now moot.

3. The District has demonstrated that some records are protected by the attorney-client privilege

The RTKL defines “privilege” as “[t]he attorney-client privilege, the doctor-patient

privilege, the speech and debate privilege or other privilege recognized by a court interpreting the

laws of this Commonwealth.” 65 P.S. § 67.102. In order for the attorney-client privilege to apply,

an agency must demonstrate that: 1) the asserted holder of the privilege is or sought to become a

client; 2) the person to whom the communication was made is a member of the bar of a court, or

his subordinate; 3) the communication relates to a fact of which the attorney was informed by his

client, without the presence of strangers, for the purpose of securing either an opinion of law, legal

services or assistance in a legal matter, and not for the purpose of committing a crime or tort; and

4) the privilege has been claimed and is not waived by the client. See Nationwide Mut. Ins. Co. v.

Fleming, 924 A.2d 1259, 1263-64 (Pa. Super. Ct. 2007). “[A]fter an agency establishes the

privilege was properly invoked under the first three prongs, the party challenging invocation of

the privilege must prove waiver under the fourth prong.” Office of the Governor v. Davis, 122

A.3d 1185, 1192 (Pa. Commw. Ct. 2014) (citing Id.). An agency may not rely on a bald assertion

that the attorney-client privilege applies; instead, the agency must prove all four elements. See

Clement v. Berks County, OOR Dkt. AP 2011-0110, 2011 PA O.O.R.D. LEXIS 139 (“Simply

invoking the phrase ‘attorney-client privilege’ or ‘legal advice’ does not excuse the agency from

the burden it must meet to withhold records”). The attorney-client privilege protects only those

disclosures necessary to obtain informed legal advice, where the disclosure might not have

occurred absent the privilege, and where the client’s goal is to obtain legal advice. Joe v. Prison

Health Services, Inc., 782 A.2d 24 (Pa. Commw. Ct. 2001). The privilege applies where the

client’s ultimate goal is legal advice and does not extend to busines advice or protect clients from

factual investigation. See Davis, 122 A.3d at 1192 (citations omitted).

Attorney LePera affirms that his firm, Unruh Turner Burke & Frees, is the appointed

solicitor for the District. The OOR conducted in camera review of the records withheld as

privileged. Many records are not protected by the attorney-client privilege as they are not to or

from an attorney for the purpose of securing legal advice. On their face, the contents of many

records consist of routine scheduling and transmittal correspondence or are comprised of factual

information that is not protected by privilege. Pa. Dep’t of Educ. v. Bagwell, 114 A.3d 1113, 1124

(Pa. Commw. Ct. 2015) (citing Commonwealth v. Vartan, 733 A.2d 1258 (Pa. 1999)); see also

Upjohn Co. v. United States, 449 U.S. 383 (1981) (privilege extends only to communications and

not to fact).

Furthermore, many records are not protected by the attorney-client privilege because, even

though an attorney is a sender or recipient, the information is purely factual in nature and not

related to securing legal advice, i.e. forwarding emails from opposing counsel for “information

purposes.” Several of the redacted pages contain no substantive information, but rather are blank

or nearly blank pages with email closings; there is at least one out of office email that is not

protected by the privilege. Similarly, emails from opposing counsel are not protected by attorney-

client privilege. Emails that forward attachments are protected in some cases, if the email contains

or seeks legal advice, but the attachments themselves may not be protected. For example,

complaints filed with the court, letters from third parties, judicial orders, emergency injunctions,

and filed briefs. Blank bid forms, bid abstracts and other documentation of fact collected by the

District are not protected by the attorney-client privilege, merely because they have been

forwarded to an attorney. Based upon in camera review, the District has demonstrated that only

the records identified in the attached Addendum are protected by the attorney-client privilege.

CONCLUSION

For the foregoing reasons, the appeal is granted in part, denied in part, and dismissed

as moot in part, and the District is required to provide all responsive records not identified in the

attached Addendum within thirty days. This Final Determination is binding on all parties. Within

thirty days of the mailing date of this Final Determination, any party may appeal to the Chester

County Court of Common Pleas. 65 P.S. § 67.1302(a). All parties must be served with notice of

the appeal. The OOR also shall be served notice and have an opportunity to respond as per Section

1303 of the RTKL. 65 P.S. § 67.1303. However, as the quasi-judicial tribunal adjudicating this

matter, the OOR is not a proper party to any appeal and should not be named as a party.1 This

Final Determination shall be placed on the OOR website at: http://openrecords.pa.gov.
