22. Pricing Flexibility Contract Offerings

22.210 Contract Offer No. 210 - DS1, DS3 Special Access Service Offer

22.210.1 General Description

This DS1, DS3 Service Offer (Contract Offer No. 210) is an access discountpricing plan which requires the Customer to satisfy a Minimum Annual RevenueCommitment (MARC), as described in Section 22.210.5 herein. The MARC willinclude recurring revenues, in the aggregate, from all Subject Services and Non-Subject Services purchased from the Telephone Company. Subject Servicesand Non-Subject Services, as defined in Section 22.210.2, may be referred to as“Contributory Services.”

Contract Offer No. 210 will be available for subscription only from October 17,2012 through November 17, 2012.

22.210.2 Contributory Services

The MARC shall include revenue from all Contributory Servicespurchased from the Telephone Company. Subject Services and Non-Subject Services together will be referred to as “Contributory Services.”Recurring revenues for all Contributory Services shall be included for thepurposes of determining the amount of the MARC and the Customer’ssatisfaction of the MARC.

(A) Subject Services are pricing flexibility-qualified interstate specialaccess services listed in Table A, below. Subject Services aresubject to all rates, terms and conditions of this Contract Offer.

22.210.3 Eligibility Criteria

The Customer must meet the following eligibility criteria to subscribe tothis Contract Offer:

(A) As of the time the Customer subscribes to this Contract Offer, theCustomer must be purchasing from the Telephone Company no fewer thanseven hundred fifty (750) DS1 special access circuits and no more thanone thousand (1,000) DS1 special access circuits from the TelephoneCompany.

(B) As of the time the Customer subscribes to this Contract Offer, theCustomer must be purchasing from the Telephone Company no fewer thanone hundred eighty (180) DS3 special access circuits and no more thantwo hundred fifty (250) DS3 special access circuits from the TelephoneCompany.

(C) As of the time the Customer subscribes to this Contract Offer, theCustomer must not be purchasing special access service under anyvolume or revenue commitment plans in Ameritech Operating Companies(Ameritech) Tariff F.C.C. No. 2.

(D) Within one year prior to the date on which the Customer subscribes to thisContract Offer, the Customer must have converted no fewer than fivehundred (500) DS1 and/or DS3 unbundled local loops purchased from theTelephone Company to special access.

22.210.4 Terms and Conditions

(A) Term Period. The term of this Contract Offer (Term Period) shall be sixty(60) months, beginning on the date a signed Letter of Subscription (LOS) isreceived from the Customer by the Telephone Company (the SubscriptionDate).

(B) The Customer must order Subject Services pursuant to an OptionalPayment Plan (OPP), as provided in Ameritech Tariff F.C.C. No. 2, Section7, and shall continue to purchase all Subject Services under an OPPthroughout the Term Period. Subject Services will be governed by therates, terms and conditions of the OPP during the Term Period, except asprovided to the contrary in this Contract Offer. Upon the expiration of theTerm Period or termination of this Contract Offer, each Subject Service willbe governed by the rates, terms and conditions of the applicable OPP forthe remainder of its OPP term.

(C) For any Subject Service that was being purchased by the Customer prior tothe Subscription Date, the OPP term for each Subject Service shall beginon the date of the Customer’s subscription to this Contract Offer. For anySubject Service ordered during the Term Period, the OPP term shall beginwhen the Subject Service is placed in service.

(D) The Customer may purchase no more than two thousand eight hundred(2,800) DS1 Subject Services and no more than eight hundred (800) DS3Subject Services under this Contract Offer.

(E) To subscribe to this Contract Offer, the Customer must submit a signedLetter of Subscription (LOS) to the Telephone Company. The Customermust provide, at the time of subscription, all Access Customer NameAbbreviations (ACNAs) that the Customer designates for inclusion in thisContract Offer (Eligible ACNAs). Services ordered or purchased underother ACNAs may not be transferred to, or converted for inclusion under,this Contract Offer.

(F) Subject Services eligible for Portability Incentive Credits, as described inSection 22.210.6 of this Contract Offer, shall not be subject to similartermination liability waivers under any other pricing flexibility contract offer,promotional offering, discount plan or other arrangement, unless expresslypermitted by such other pricing flexibility contract offer, promotionaloffering, discount plan or other arrangement.

(G) Contributory Services under this Contract Offer No. 210 may not bepurchased pursuant to any pricing flexibility contract offer, broadbandservices agreement, or other individually negotiated tariff or agreement(referred to as “Other Commitment Agreement”) that includes any revenuecommitment, unless the Other Commitment Agreement expressly refers tothis Contract Offer and expressly permits the Customer to purchase suchservices subject to both this Contract Offer and the Other CommitmentAgreement. The word “purchase,” as used in the foregoing sentencerefers to the Customer obtaining or using any service in exchange forcompensation, regardless of when the service was ordered or installed.

22.210.5 Minimum Annual Revenue Commitment (MARC)

This Contract Offer requires the Customer to satisfy a Minimum AnnualRevenue Commitment (MARC) throughout the Term Period. Eachperiod of three hundred sixty-five (365) days during the Term Periodshall be known as a “Term Year” and shall begin on the SubscriptionDate. Revenue contributing to the MARC shall consist of gross billedrecurring revenue, after application of any discounts or credits applicableto those recurring revenues and any adjustments for overbilling, under-billing and billing dispute settlements, with respect to ContributoryServices (“MARC Revenue”). As clarification, but not to modify theforegoing sentence, non-recurring charges shall not be included inMARC Revenue.

(A) Minimum Annual Revenue Commitment

For the first Term Year, the Customer’s MARC shall be the greaterof: (i) four million dollars ($4,000,000) or (ii) four (4) times theCustomer’s revenue for those services that comprise ContributoryServices under this Contract Offer, for the most recent three (3)full months prior to the Subscription Date, times eighty-two percent(82%), rounded up to the nearest thousand dollars ($1,000). Forsubsequent Term Years, the Customer’s MARC shall be equal tothe greater of: (i) four (4) times the Customer’s MARC Revenuefor the last three (3) full months of the immediate prior Term Year,or (ii) the MARC applicable during the immediate prior Term Year.

(B) Annual True-Up

The Telephone Company shall determine the Customer’s totalMARC Revenue as of the end of each Term Year. If, for any TermYear, the Customer’s MARC Revenue is less than the MARCapplicable during that Term Year, the Telephone Company willnotify the Customer, and the Customer will be required to make a“True-Up Payment” equal to the difference between theCustomer’s MARC Revenue and the MARC for the relevant TermYear. The True-Up Payment will be due ninety (90) days after theTelephone Company provides notice of the amount of the True-UpPayment to the Customer. The True-Up Payment will becalculated as follows:

(C) Failure to Achieve the MARCIf, for any Term Year, the Customer fails to satisfy the MARC, theCustomer shall pay a True-Up Payment as provided in Section22.210.5 (B), above. If the Customer fails to make an AnnualTrue-Up payment to the Telephone Company when due, theCustomer shall be deemed to have terminated this Contract Offerand termination charges will apply, as set forth in Section22.210.10, herein.

22.210.6 Portability Incentive Credits

The Telephone Company will issue credits to the Customer to offsetotherwise applicable termination liability charges (Portability IncentiveCredits) for moves and/or disconnects of Subject Services, providedthat the Customer satisfies the conditions set forth below.

(A) The Customer must be in compliance with all Terms andConditions of this Contract Offer;

(B) DS1 Subject Services must have been in service for a minimum oftwelve (12) months to be eligible for portability;

(C) DS3 Subject Services must have been in service for a minimum oftwenty four (24) months to be eligible for portability; and

(D) For each six (6) month period of the Term Period, beginning withthe first six (6) months following the date of the Customer’ssubscription to this Contract Offer, the number of DS1 SubjectServices and DS3 Subject Services that have been added mustbe equal to or greater than the number of such Subject Servicesthat have been disconnected. To apply this criterion, theTelephone Company will compare the total number of “add” ordersseparately for each bandwidth (i.e., DS1 and DS3) to the totalnumber of “disconnect” orders for each bandwidth during the six(6) months prior to the date of the review. The Customer willqualify for Portability Incentive Credits for each six (6) monthperiod only if and to the extent the number of “add” orders is atleast equal to the number of “disconnect” orders for eachbandwidth during that six (6) month period. Any applicablePortability Incentive Credits will be issued within ninety (90) daysafter the end of the relevant six (6) month period.

22.210.7 Rates

The Customer will initially be billed the otherwise applicable MonthlyRecurring Charges (MRCs) according to the Optional Payment Plan(OPP) applicable to each Subject Service. The Customer will then becredited in an amount equal to five percent (5%) off the applicable OPPrates for the rate elements listed in Tables D and E, below. Credits willbe applied monthly, in arrears. Taxes, if applicable, will be charged onthe OPP rates, but will not be included in the credits applied to theCustomer's bill.

22.210.8 Assignment/Transfer

If the Customer wishes to assign or transfer its use of services under thisContract Offer pursuant to Ameritech Tariff F.C.C. No. 2, Section 2.1.2,the Telephone Company will acknowledge such transfer or assignment ifthe criteria in Ameritech Tariff F.C.C. No. 2, Section 2.1.2, are fulfilled,unless 1) the proposed assignee or transferee demonstrates a lack ofcredit worthiness under one of the criteria in (A), (B) or (C), below, or 2)if the proposed assignee or transferee or its parent has commenced avoluntary receivership or bankruptcy proceeding (or had a receivershipor bankruptcy proceeding initiated against it).

(A) Any debt securities of the proposed assignee or transferee or its parent(defined as an entity that owns directly or indirectly more than fifty percent(50%) of the equity of the proposed assignee or transferee) are ratedbelow investment grade, as defined by the Securities and ExchangeCommission; or

22.210.8 Assignment/Transfer (Cont’d)

(B) The proposed assignee or transferee or its parent does not have anyoutstanding securities rated by credit rating agencies, e.g., Standard andPoor's, but does have a Dun and Bradstreet rating, and the proposedassignee or transferee is rated:

(1) "fair" or below in a composite credit appraisal published by Dun andBradstreet; or

(2) "high risk" in a Paydex score as published by Dun and Bradstreet.

(C) If the information required to review the assignee or transferee’s creditworthiness pursuant to either Subsection (A) or (B) of this Section 22.210.8is not available, the Telephone Company shall exercise its reasonablediscretion in determining the credit worthiness of the assignee or transfereebased on any information available.

22.210.9 Mergers and Acquisitions

All provisions of this Contract Offer shall continue in full force and effectif the Customer, in whole or in part, merges with, acquires, is acquiredby, sells all or substantially all of its stock or assets to any other entity, orpurchases all stock or substantially all stock or certain assets of anothercompany (the foregoing generally referred to herein as a merger oracquisition). Upon the Transaction Close Date of the merger oracquisition, if the other company involved in the merger or acquisitionalso purchases Subject Services from the Telephone Company, theSubject Services, as provided for in this Contract Offer, will continue tobe maintained at the same volume, rates, and Terms and Conditions asoutlined herein. The Transaction Close Date shall be defined as thedate that the stock purchase is complete and/or the final date on whichthe assets of the acquired/merged company have been purchased.

22.210.10 Termination Liability

Termination liability charges, as described below, apply in lieu of thetermination liability charges that apply to the relevant OPP Terminationcharges, and shall become due as of the effective date of thetermination.

(A) If the Customer terminates this Contract Offer, or if the Customer fails tocomply with any of the terms and conditions of this Contract Offer or anyother applicable tariff provision, the Customer shall be liable for atermination charge, which shall be equal to:

At the time of termination, the Customer has satisfied$3,400,000 of the MARC for Year Three. The termination liability chargeshall be:
