Key Provisions – continued Master Licensing Agreement AASHTO granted a perpetual license with

“walking-away” rights for the entire FieldManager suite, plus FieldNet and all derivative works

Divides market/licensing/administration of the FieldManager/FieldNet products:

AASHTO can license to members and Affiliate members, administers licenses, and collects associated revenue

ITI licenses all “other entities”, including Associate members of AASHTO

ITI agrees not to license to AASHTO members or affiliates for duration of agreement and for 5 years after termination.

Key Provisions – continued Master Licensing Agreement

AASHTO agrees to reinvest 85% of revenue toward support, maintenance and enhancement of the FieldMgr/FieldNet products through the annual MSE.

AASHTO receives 10% on all licenses made by ITI to other entities. Increases to 12.5% after the first $2.5 million in revenue, and to 15% after $5 million.

AASHTO, ITI and Michigan must agree on any re-naming of the products, re-naming will not affect ownership rights
