I. INTRODUCTION

Metra is the public corporation responsible for all commuter rail transportation in the six countyregion of northeastern Illinois. On average, Metra transports approximately 300,000 cornrnutersdaily and 112,000 on weekends. Metra provided nearly 82 million passenger trips in 2016.Metra operates both commuter rail service and contracts for such service with private sectorfreight oriented railroads. On the lines Metra operates itself, it employs approximately 2,900people. These employees are responsible for the direct operation of the Rock Island District, theMetra Electric District, the Milwaukee District, the North Central Service, the Heritage Corridor,

- and the Southwest Service.

Metra is subject to federal, state, county and city laws and regulations that protect individualsfrom all forms of discrimination and harassment. However, Metra's co?itment to fairness andnon-discrimination in the workplace goes one step further. In order to address changes that havecome about as its workforce has become more diverse, in the early 1990's Metra began itsDiversity Initiative. Since those early years, Metra has moved from managing its DiversityInitiatives as a program, to the realization that it is an ever evolving process. Consequently, whileMetra seeks a Consultant knowledgeable of the laws and regulations that govern discriminationand non-harassment and the agencies that enforce those laws, Metra also seeks a Consultant thatis knowledgeable of organizational culture and its relationship to managing a diverse workforce.

In an effort to encourage free exchange of ideas between employee participants, historically,Metra has outsourced the diversity and conflict resolution portion of its Equal EmploymentOpportunity (EEO) and Affirmative Action training. Implicit in the nature of diversity trainingis the need for face-to-face interaction. Moreover, regulatory agencies such as the EqualEmployment Opportunity Comrnission (EEOC) and Illinois Department of Human Rights(IDHR) have looked favorably upon Metra's proactive diversity training initiatives when theyare presented in defense of allegations of discrimination. As a result, diversity training is not thetype of instmction suitable for web-based training.

II. OBJECTIVES

Metra is seeking proposals from qualified Training Consultants (?Consultant?) to conduct (PartA) Managing Diversity/Inclusive Leadership training for all management Metra employees and(Part B) Cultural Awareness training for all Metra employees. Metra seeks a Consultant that canprovide training and materials that will address the changing racial, et?c and gender makeup ofMetra's workforce. Consultant will also be required to provide an annual Executive Sumrnarythat identifies areas within the organization that may negatively impact Metra and can lead todiscriminatory lawsuits or non-compliance. In doing so, Metra's goal is to positively addressthose areas and create a corporate environment that allows all kinds of people to reach their fullpotential in pursuit of corporate objectives. Other aspects of EEO/Diversity training areconducted in-house.

III. PROJECT DESCRIPTION

In the 21s' century business environment, managing work team diversity, conflict andproductivity has become the new norm. Metra needs a workforce that understands theimportance of opening doors, building bridges, creating alliances and breaking down walls.Consultant should exhibit skills, experience and competency to effectively address thesedynamics. Metra has approximately 384 employees at the supervisor/managerial level. Due tothe continual retirement of the baby boomer generation, Metra estimates that it will promote/hirea significant number of employees per year into supervisor/managerial positions who will benefitfrom attending the three (3) day session described in Part A below. Proposer may submit aproposal for all services listed in Part A and Part B below as a single source or in partnershipwith another provider.

IV. SCOPE OF SERVICES

PART A - MANAGING DIVERSITY/INCLUSIVE LEADERSHIP

During the specified contract period, Consultant will be responsible for training employees toaddress issues related to Diversity and Inclusive Leadership. At a minimum, the 3-day sessionshall include:

TRAINING TIMELINE

Of Metra's 384 Foremen/Supervisors/Managers/Dept. Heads/Directors, 302 have not attendedManaging a Diverse Workforce training. The Consultant must have the capability of handlingup to four (4) three-day workshops per all five (5) years; totaling 20 workshops. This shouldconsist of three (3) eight hour sessions to be held over the course of three (3) consecutive weeks,typically from 8:00 a.m. - 4:30 p.m. each day. Approximate class size for training described willbe 25 - 30 employees per class; approximately 100-120 employees will be trained each year.

Metra will give the Consultant at least ten (10) days' notice before scheduling a session. Metrareserves the right to order less than four (4) sessions per year.

PART B - CULTURAL AWARENESS

Metra is committed to fostering a workplace that is team oriented and inclusive. Metra's totalworkforce is over 2900 employees. All Metra employees, management/supervisory and stafflevel personnel will attend the Cultural Awareness training described below.

Consultant will provide training and materials that will address the changing demographicalracial, ethnic and gender makeup of Metra's workforce. In doing so, we hope to create acorporate environment that allows all kinds of people to reach their full potential in pursuit ofcorporate objectives. The Consultant shall conduct 2.5 hour sessions, which integratemanagement/ supervisory personnel with staff level employees. At a minimum sessions shallinclude:

V. TRAINING MATERIALS/RESOURCES

Training material (slides, videos, facilitator's manuals)supplied by the vendor must be approved by Metra prior to use. Training and facilitatormanuals, videos and slides developed for the program will become property of Metra and will beprovided to Metra in electronic form, i.e. thumb drive or DVD. Alternatively, Metra may, at itsoption, supply some or all of the necessary training materials, all of which will be property ofMetra. All training materials/resources provided by the Consultant shall become the property ofMetra to use for internal training

VI. DELIVERABLES

Consultant will be required to participate in a post-award kick-off meeting prior to thecommencement of any training.

The trainer(s) will be responsible to ODCR and will coordinate its efforts with that department.Records of all participants and their date(s) of attendance must be kept by the trainer and turnedover to ODCR at the conclusion of each training session. The trainer(s) will also be responsiblefor either transporting necessary workshop materials to workshop locations or coordinating withODCR staff to make sure necessary materials are at each location including but not limited to:workshop manuals, pencils, markers, and notepaper. Further, the trainer will be required tosubmit on an annual basis an Executive Sumrnary of the training that will include:

Addendum No. 2, dated 9/6/17At the end of each calendar year the Consultant will assess and evaluate Metra's workforceconcerns to help increase and improve ODCR's service delivery. The Consultant will develop aone-page questionnaire to be submitted to participants at the end of each session/workshop, onorganizational competence, including understanding and commitment involved in establishing amulticultural, multi-generational, workplace. The Consultant will provide a real-time assessmentbased on session evaluations and questionnaire responses followed by a ?next steps? analysis andsuggestions for improvement. Audit results must be completed and received by ODCR before theend of the first quarter of each calendar year. That summary should include but not be limited toparticipant feedback and recommendations to further enhance Metra's Diversity Initiative.

VII, SCHEDULING

Due to the unpredictable nature of the transportation industry, emergency service intermptionsare sometimes unavoidably necessary for a variety of reasons, including but not limited toinclement weather. In emergency situations, it may be necessary for Metra to cancel apreviously scheduled training session without prior notice or with very little notice.

VIII. PERIOD OF PERFORMANCE

Metra is soliciting proposals for a three (3) year contract with two (2) one-year options.

IX. PROPOSAL SUBMITTAL REQUIREMENTSThe following documents shall be submitted by Proposers:

A. Statement of Offerm Proposal must be signed by an individual authorized to bind the offer and

state that the proposal is valid for 180 days from the proposal due date,indicating the RFP number to which the offer applies.Provide the name, title, address, email and telephone number of theindividual authorized to negotiate and contractually bind the companyduring the period of proposal evaluation and contract finalization.Provide the name, title, address, email and telephone number of theindividual who should be contacted during the period of proposalevaluation.

B. General Requirementsw One (l) complete copy of the RFP and Addenda (if applicable). This

complete document shall include an executed Professional ServicesAgreement (Exhibit l) with original signature and acknowledgement ofAddenda, and a signed and notarized copy of Exhibit 1 -B -Affidavits/Certifications for Consultants.

Cost

The enclosed Exhibit 1 -C -Price Proposal page will be used to submit your pricing.Only one (l) copy of the proposal pricing, sealed separately from thetechnical proposals, shall be included with the complete proposal submittal.Pricing will be evaluated separately from the technical criteria.

VII. EVALUATION CRITERIA

All proposals will be evaluated by Metra in accordance with the Evaluation Criteriastated herein. Award shall be made to the highest ranked proposer offering the best valueto Metra. Metra will review and evaluate all responsive written proposals submitted inresponse to this RFP in order to determine the Competitive Range. Metra may elect toconduct interviews with those firms in the Competitive Range, which will be separatelyscored in accordance with the Evaluation Criteria stated herein. The written and interviewscores will be combined to determine the total scores and establish the final ranking.Failure of a Contractor to report for an interview will be cause for removing theContractor's proposal from further consideration provided that Metra has given adequatenotice for the Contractor to prepare for the interview. Such adequate notice shall bedetermined solely by Metra. Evaluation and ranking of those proposals that Metra deemsresponsive and most advantageous to Metra will be based upon the following criterialisted in order of importance:

VIII. RESERVATIONS

You must read and understand the solicitation and tailor your proposal to ensurecompliance. Metra reserves the right to: (i) amend the solicitation; and (ii) reject any orall proposals submitted. Metra is not responsible for and will not pay any costs associatedwith the preparation and submission of your proposal. No proposer shall have any rightsagainst Metra arising at any state of the solicitation from any negotiations that take place,or from the fact that Metra does not select a proposer for negotiation, or because Metrachooses another proposer with whom to contract. If your firm is selected, you shall notcornrnence, and will not be paid for any work performed prior to the date all partiesexecute the contract and a Notice to Proceed is issued.

IX. METRA'S PROPOSAL PROTEST PROCEDURES

Metra will use, if necessary, the applicable provisions of its Proposal Protest Procedures(Procedures) for this RFP. References under the procedures to bid, bidders, and thelowest bidder shall mean proposal, proposers, and highest ranked proposal, respectively.The proposer has the right to protest against the RFP. There are important time limits setforth in the Procedures which are summarized here, but this paragraph is not meant to bea substitute for the Procedures. For a complete copy of Metra's Procedures andinstructions on the applicable ternns and provisions, contact the Contracting Officer. Anydiscrepancies between this paragraph and the Procedures shall be decided by applying theProcedures, except that deadlines stated below are specifically for this RFP. If you wishto protest this solicitation, the protest must be filed with Metra no later than five (5) daysbefore the Due Date. If you wish to protest the bid evaluation, the protest must be filedwith Metra no later than five (5) days after you have been notified that your proposal wasrejected as non-responsive. If you wish to protest award of the Contract, the protest mustbe filed with Metra, in writing, no later than five (5) days after Metra notifies proposers,in writing or orally, of its intent to award the Contract.

X. GOVERNING LAW AND FORUM

This Request for Proposal and any resulting contract there-from shall be governed by thelaws of the State of Illinois, and venue for any disputes that may arise shall be either theCircuit Court of Cook County Illinois or the United States District Court for the NorthernDistrict of Illinois.

XI. FOIA REQUIREMENTSMetra is subject to the Illinois Freedom of Inforrnation Act (5 ILCS 140/1 et seq.,"FOIA?), and pursuant to FOIA, your proposal and any subsequent agreement is subjectto disclosure. In addition, from time to time, Metra may be required to produce certain?public records? as defined in Section 2 of the FOIA,' that are in the possession of orunder the control of proposer/operator. Upon Metra's notification to proposer/operator ofa request pursuant to the FOIA, proposer/operator will, within two (2) business days ofMetra's notice, either (i) produce the public records, (ii) notify Metra, in writing, thatadditional time is required to produce the public records, or (iii) notify Metra, in writing,that the public records do not exist or have been destroyed. In the event that

Addendum No. 2, dated 9/6/17proposer/operator requires additional time to produce the public records, the writtennotification under (ii), above, will provide an explanation for the delay and the date whenthe public records will be received from proposer/operator by Metra. Proposer/operatoragrees that in no event shall a delay to produce records exceed five (5) business days.

If any failure by proposer/operator to timely comply with a request for public recordsresults in any adverse consequences to Metra, including, but not limited to, fines orpenalties being imposed on Metra, said failure by proposer/operator shall be deemed amaterial breach of this Agreement, and proposer/operator shall indemnify, defend, andhold harmless Metra for any damages, costs, liabilities, and fees (including attorney'sfees) that result from such breach.

XII. CONFLICTS OF INTEREST

By submission of a proposal the Contractor agrees that the Contractor is prohibited fromperforming any work or services for Metra that conflicts with the role of the Contractor inany other contracts between the Contractor and Metra. The contractor understands andagrees that the restrictions provided in this paragraph are applicable to all sub-Contractors, which are to be used by the Prime Contractor for the proposed services. TheContractor has sole responsibility for compliance with this provision. Submission of anyresponse to this RFP in violation of this requirement will not be considered further andconstitutes a material breach of this contract which is cause for termination of this

contract.
